R2016-66 A Resolution of the City Council of the City of Pearland,Texas,authorizing the City Manager or his designee to enter into a professional services contract with Talley Landscape Architects Inc., in the amount of $252,740.00, for engineering design services associated with the Independence Park Phase 1 Project. COKER CITY ATTORNEY I Exhibit A Resolution No. R2016-66 CONTRACT FOR PROFESSIONAL SERVICES THIS CONTRACT is entered into upon final execution by and between the City of Pearland ("CITY") and Talley Landscape Architects Inc. ("CONSULTANT"). The CITY engages the CONSULTANT to perform professional services for a project known and described as Independence Park Phase I("PROJECT"). (Project#P20001) SECTION I-SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to CITY standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSULTANT shall provide landscape architecture. See Exhibit A, attached, for a detailed SCOPE OF WORK and PROJECT schedule. The PROJECT schedule shall be submitted in digital and hard copy form in the Microsoft Project for Windows format. B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost of the PROJECT. C. The CONSULTANT acknowledges that the CITY (through its employee handbook) considers the following to be misconduct that is grounds for termination of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants, and/or collecting reimbursement of expenses made for the benefit of the CITY. The CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY employee to engage in such misconduct. D. The CONSULTANT shall submit all final construction documents in both hard copy and electronic format. Plans shall be AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current CITY standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. All Record Drawings electronic files shall be submitted to the CITY in TIF format. E. The CONSULTANT recognizes that all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon request, shall become subject to the Open Records Laws of this State. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors and omissions relating to the performance of any work by the CONSULTANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers' Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and$1,000,000 for property damage. The CONSULTANT shall include the CITY as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers' Compensation. Certificates of Insurance and endorsements shall be furnished to the CITY before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and/or reduced in coverage or in limits ("Change in Coverage") except with prior written consent of the CITY and only after the CITY has been provided with written notice of such Change in Coverage, such notice to be sent to the CITY either by hand delivery to the City Manager or by certified mail, return receipt requested, and received by the City no fewer than thirty (30) days prior to the effective date of such Change in Coverage. Prior to commencing services under this CONTRACT, CONSULTANT shall furnish CITY with Certificates of Insurance, or formal endorsements as required by this CONTRACT, issued by CONSULTANT'S insurer(s), as evidence that policies providing the required coverage, conditions, and limits required by this CONTRACT are in full force and effect. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT, his officers, employees, agents, or subcontractors under this CONTRACT. H. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the CITY. SECTION II-PERIOD OF SERVICE This CONTRACT will be binding upon execution and end 24 months after the Notice to Proceed is issued. SECTION III-CONSULTANT'S COMPENSATION A. The total compensation for the services performed shall not exceed the total noted in Section B. B. The CITY shall pay the CONSULTANT in installments based upon monthly progress reports and detailed invoices submitted by the CONSULTANT based upon the following: 1. Basic Services(Lump Sum) $128,193.80 2. Additional Services shall require independent and specific authorization and shall be billed as(Lump Sum): $93,774.00 3. Bid Phase Services(Hourly Not to Exceed) $4,832.70 4. Construction Phase Services(Hourly Not to Exceed) $19,369.00 5. Reimbursable Expenses(Not to Exceed) $6,570.50 6. Total: $252,740.00 C. The CITY shall make payments to the CONSULTANT within thirty (30) days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. Design 3 of 6 DI.Revised 1/14 SECTION IV-THE CITY'S RESPONSIBILITIES A. The CITY shall designate a project manager during the term of this CONTRACT. The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the CITY on any aspect of the work shall be directed to the project manager. B. The CITY shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The CITY will keep the CONSULTANT advised concerning the progress of the CITY'S review of the work. The CONSULTANT agrees that the CITY'S inspection, review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub-consultant(s) or in any way affect the CONSULTANT'S status as an independent contractor of the CITY. SECTION V-TERMINATION A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason- - with or without cause -- by delivering written notice to CONSULTANT personally or by certified mail at P.O Box 211 Orchard, Texas 77464. Immediately after receiving such written notice, the CONSULTANT shall discontinue providing the services under this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the CITY on or before the 15`h day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination. The CITY shall make final payment within sixty(60)days after the CONSULTANT has delivered to the CITY a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum, the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the scope of work. In the event this CONTRACT is terminated, the CITY shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. F. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT breaches any provision of this CONTRACT, then the CITY shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney's fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and CITY desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this, the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. SECTION VI—ENTIRE AGREEMENT This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and supersedes all prior negotiations, representations, or contracts, either written or oral. This CONTRACT may be amended only by written instrument signed by both parties. SECTION VII—COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CONTRACT. For breach or violation of this clause, the CITY may terminate this CONTRACT without liability, and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent fee that has been paid. Landscape Architecture and Planning Regenerative Design I Proven Results I Life-Cycle Management April 11, 2016 City of Pearland Attention: Andrea Brinkley 3519 Liberty Drive Pearland, TX 77581 Subject: Proposal for TLA#113.7 Independence Park Improvements Landscape Architectural Design Services Dear Ms. Brinkley, Talley Landscape Architects, Inc. (TLA) is pleased to submit the following proposal for Professional Services in connection with the project referenced above. This Agreement is by and between Talley Landscape Architects, Inc. (TLA) and the City of Pearland (City). This CIP is focused on the first phase of renovation and providing infrastructure for the City's International Festival and numerous public gatherings. The project scope identified the following elements in the CIP Budget for this phase of work: • Preparation of conceptual plan locating the proposed elements within existing park context; • Re-orientation of the park entry to Pearland Parkway; • Relocation and replacement of the existing playground; • Improvements to the existing site electrical and lighting; • Minor architectural improvements at the pavilion to make it compatible with other structures; • Additional parking; • Landscape/irrigation development within and adjacent to this phase improvements; • Special events amphitheater with bermed seating and open air stage. SCOPE OF SERVICES Design Phase 1. Make 2 site visits with team to become familiar with the existing conditions and noted project constraints. 2. Research and coordinate information from civil engineer and surveyor to inform/prepare a common base map 3. Attend 6 meetings with City and Parks & Recreation Department. 4. Determine parking layout based on the City's Unified Development (Ch.4) code governing the number of required parking spaces and projections of use and the amenities placed in the park. An assumption will be made that the parking lot of Pearland High School can be used for additional parking during special events. 5. Prepare layouts for park elements as bulleted above 6. Relocate the entrance opposite the median opening of Pearland Parkway. This relocation match as the scope of the surveyors documents. If the location remains as it is currently, additional surveying will be necessary. 7. Final Design plans will incorporate all elements and sub-consultants portions of the work above with specifications. Prepare alignment to tie relocated entrance into the existing roadway within the park and perimeter parking lots.. Determine typical section to be used. 9. Prepare Demolition Plan for removal of old playground. 10. Provide a preliminary Opinion of Probable Cost for the park improvements. 11. Prepare four sets of plans for submittal at 30%, 60%, 90% and a final Technical Review Committee meeting in which the City Engineer seals the plans. 12. Prepare Specifications to be included in Project Manual for the civil work. 13. Provide construction schedule to complete the construction. Bid Phase 1. Attend Pre-bid meeting. 2. Respond to questions and as-builts from bidders on all portions of the project. Construction Phase (Hourly) 1. Attend Pre-construction meeting. 2. Attend monthly progress meetings. 3. Complete as-built drawings for all portions of the work based on the plans submitted by the contractor. 4. Review submittals, RFI's and change orders as required. For the playground these are numerous and involved. The City's Capital Improvement Project P20001 for Independence Park Phase 1 specifically targets elements defined above and identified a fee allocation for Design with Surveying of$240,000. All team members have worked diligently to reduce their hours to a minimum resulting in a total contract fee of $252,740.00, Two hundred fifty two thousand, seven hundred and forty dollars. The park site of 113.7 acres expanded from its historical boundaries when the city acquired the detention area to the north and infill areas to the east of Mary's Creek. Based on our meeting on March 16th with Chuck Davis and Edwin Rydel, the existing park site will require platting. To accomplish this, the survey scope requires a reconciliation of missing boundary information that is not normally part of a park platting resulting in survey costs disproportionate for a normal park project ($26,880 of the $55,530 total survey fee). Even though the scope items addressed are specific, the design implications must take into account future items planned for the park. The City has requested that during the Preliminary Design Phase the team should identify an approximate location on the site plan for a footbridge and trail across Mary's Creek to connect existing trail to northeast; update/improvement of existing restrooms; demolition of BBQ smoker; relocation of dog park; and establish public art areas. If the City decides to complete this work, a scope and fee for the work will be provided. No additional services beyond these described in the Scope of Services will be performed or invoiced without prior authorization from the City. If additional services are required, they will be invoiced on the basis of direct labor cost times a factor of 3.0 and direct costs plus 10%. As discussed the following add alternates would fall under additional services: • Addition of a footbridge and trail over Mary's Creek; improvements to the existing restroom (include cost to place new sanitary and water lines); and relocation of the dog park • The environmental and drainage work associated with review the approximate location of the footbridge. REIMBURSABLE EXPENSES The City shall pay TLA for travel expenses, mileage at the approved government rate, printing and other directly related costs. Expenses will be billed at cost, subject to review, and will be paid as invoiced by TLA. These reimbursable expenses are subject to the limit set forth in the Fee section of this contract. Submission for review and approval to the Texas Department of Licensing and Regulation of the Trail for Accessibility is included in this section of our Reimbursable Expenses. (Established fees for projects of$3 million the fees are $210 for registration, $575 for design review and $600 for final inspection for a total of$1,385). Additionally, renderings are specifically excluded from this proposal and no allocations have been set. Requested renderings will be considered additional services and prior authorization will be required for the estimated costs and invoiced outside of the limit set in the Fee section of this contract. SUBCONSULTANTS INCLUDED IN SCOPE OF SERVICES Talley Landscape Architects, Inc will serve as the Prime/Team Leader. As part of this agreement, services provided by sub-consultants are as listed below and their detailed proposals are attached: • HDR Engineering shall provide grading and drainage plans, traffic and environmental engineering by for a fee not to exceed $59,413.00 with Reimbursable Expenses not to exceed $720 for a total of$60,133.00. • CL Davis Surveying shall provide topographical survey and minor platting for a total fee not to exceed $55,530. • Geotest Engineering Inc shall provide geotechnical services (soil borings and report). for a fee not to exceed $6,256 • LJA Engineers/Frank J Dillard shall provide electrical engineering for a fee not to exceed $31,988 Subconsultants will submit monthly progress reports with invoices for all work completed to invoice date based on hours spent in that time period or a percentage of the total fees for services completed to date for services rendered plus any additional services rendered at the request of the City. (HDR) is pleased to submit our proposal for performing preliminary engineering services for the above referenced project. This proposal is based on our understanding of the project as per previous conversations and meetings. Our proposed scope of work includes performing Preliminary Engineering, Design Development, Bid Phase and Construction Phase services for preparing improvements to Independence Park. This proposal presents a general overview of the project, our scope of services, and our proposed fee. GENERAL OVERVIEW Independence Park is one of the oldest and most recognized parks in the City of Pearland. Most of the amenities at the park are outdated and in need of replacement. The City plans to update the park facilities, adjust the park entrance and add additional parking. This project will include the relocation of the entrance, parking lots within the park, design of an open air amphitheater and rehabilitation of the existing pavilion. The services presented in this proposal are for the civil engineering work and plan preparation for the proposed park improvements. The City will complete a traffic analysis to provide the number of parking spots required to be placed in the park based on use and amenities, so no costs for a traffic analysis are included in this fee proposal. The typical sections for the updated entrance will be per City of Pearland standards for intersections and driveways. Environmental permits are not anticipated at this time, so no costs for environmental permitting are included with this fee proposal. These drawings will be presented as sealed and signed full size PDF drawings. Specifications will be provided as a set of PDF documents for direct inclusion into the body of the Bid Documents. An updated budget level cost estimate will again be provided. Our ability to prepare our electrical plans in a timely and cost effective manner is highly dependent upon our receipt of the site and detailed area development plans of other involved parties in a time frame that will provide us sufficient time to complete our design efforts without the need for rushed or overtime efforts. The proposed budget includes no consideration of a requirement for our personnel to work overtime hours to meet the schedule due to delays in our receipt of background information. We at LJA propose to complete this spectrum of preliminary and detailed engineering services for a lump sum fee of$31,988. Inc.) shall render the following professional Design services to the OWNER in connection with the construction of the Park Facility Design Project. (Lump Sum) 1. Preliminary Design/Schematics a. Attend a minimum of three meetings with City, Parks & Recreation Department and external agencies including County, State and Federal entities having authority over the project. as required, to identify, and solicit necessary information and requirements, such as the • Preparation of conceptual plan locating the proposed elements within existing park context; • Re-orientation of the park entry to Pearland Parkway: • Relocation and replacement of the existing playground: • Improvements to the existing site electrical and lighting: • Minor architectural improvements at the pavilion to make it compatible with other structures: • Additional parking: • Landscape/irrigation development within and adjacent to this phase improvements. • Special events amphitheater with bermed seating and open air stage. b. Assessment of the following items for possible inclusion in the scope of work. There will be an approximate location shown on a map and the approximate design and construction cost to completed will be identified in the PER as alternates. If the City decides to complete this work, a scope and fee for the work will be provided. • Footbridge and trail across Mary's Creek to connect existing trail to northeast. • Update/improvement of existing restrooms; • Demolition of BBQ smoker: • Relocation of dog park, Design 7 o`7 D8 Revised 02 12 • Establish public art areas. c. Gather City's existing information and standards particular to the project. d. Provide or Procure additional information as required from i. Professional Land Surveyor for topographic Survey and Base plans. See attached scope from CL Davis & Company. ii. Geotechnical Consultants for basic geotechnical borings on the site and construction guidelines for small building foundations and pavement sections. See attached scope from Geotest Engineering, Inc. iii. Civil Engineering. with minimal Environmental Review and basic Traffic Engineering (along with the City) for paving. drainage, and parking analysis. See attached scope from HDR Engineering. Inc. iv. Electrical Engineering for improvements to existing electrical and site lighting. See attached scope from LJA Engineering, Inc. v. As-Built information from previously constructed related/adjacent private projects, public utilities, public infrastructure vi. Planned public infrastructure vii. External agencies and/or authorities viii. City Parks and Recreation Department e. Coordinate location of the proposed park improvements with roadway and utilities both existing and proposed f. Prepare and submit 30% schematic drawings for City's review and acceptance depicting i. Topography within established limits of project ii. Location of existing facilities and improvements iii. Overview of proposed facilities and improvements with any necessary relocations identified iv. Map showing approximate location of additional items shown in 1.b. above and the approximate cost v. Basic landscaping requirements per the underlying zoning or. if applicable. the overlay district in conjunction with City Parks Department's recommendations vii. Schedule and conduct plan review meeting(s) as required g. Provide a comment response letter with a narrative of how each review comment has been addressed. and utilize Protrak for plan submittal and review comments. h. Provide a schematic design document and renderings as required to communicate the proposed improvements. i. If any additional work is requested by the City. a scope and fee will be developed for approval by the City prior to entering the Design Development Phase. 2 Design Development Phase Services a. Prepare final plans. details. specifications and cost estimate in accordance with applicable City of Pearland Engineering Design Criteria Manual, Unified Development Code (UDC) and other special district requirements. i Prepare detailed construction drawings and draft the Project Manual for the proposed Project ii. Schedule and attend monthly progress/update meetings with the City during Design Phase and at completion review milestones. provide agenda/meeting minutes Provide four (4) sets of plans and specifications to City for review at 60%. 90% completion: Provide a comment response letter with a narrative of how each comment has been addressed, utilizing Protrak for submission of plans and comment responses. iv. Coordinate with public utilities, private utility companies and pipeline companies to identify conflicts and identify relocation requirements if any v. Coordinate submittals for review and obtain permits for entities including but not limited to: TxDOT. USACE. Nationwide or Individual permits (if required). Acquire Utility approvals and signatures indicating resolution of known conflicts viii. Prepare two (2) sets of signed and sealed 100% bid documents including Plans, Specifications, (utilizing City Standard Details and Specifications: supplement missing or needed existing City specifications and details and submit for review) and Landscape Architect's estimate: Submit to City for City Engineer's signature ix. Prepare bid sets for distribution via the City's E-bid system 3 Bid Phase Services a. Provide Notice/Invitation to Bidders (NTB) to the Project Manager in an electronic form appropriate for the E-bid system format. City is responsible for advertising. b. Provide electronic copy of bid-ready plans and specifications to the Project Manager for the e-bid system c. Schedule, plan and chair Pre-Bid meeting with agendas at City location to be determined: Respond in writing to questions from bidders and distribute responses to plan holder's list d. Attend Bid Opening e. Prepare Landscape Architect's Recommendation Letter that includes the following required content: i. Check for math errors and reconcile any mathematical discrepancies ii. Review for unbalanced bid items iii. Certified Bid Tabulation including Landscape Architect's estimate iv. Review of contractor's financial standing and past project references v. Explanation of discrepancies between the Landscape Architect's estimate and bids Design .f DS Revised 02 12 vi. Recommendation to award f. Attend City Council meeting and recommendation for award of Contract for Construction. g. Produce and transmit to selected contractor five (5) sets of Contract documents ready for execution with City's Notice of Intent to Award (NOI). 4. Construction Phase Services (hourly not to exceed) a. Construction Administration i. Attend pre-construction meeting to provide information, answer questions ii. Attend monthly progress meetings with Construction Inspector, Contractor and City of Pearland as requested iii. Review, approve and/or comment on Contractor's submittals, Request for Information (RFI), Request for Proposals (RFP), Change Order (CO) using the City of Pearland's Pro-Trak; including coordination with Project Manager on Proposals and Change Orders iv. Provide interpretive guidance for Contractor and Construction Inspector in resolution of problems v. Conduct Substantial Completion Inspection with PM to: 1. review progress of work for Substantial Completion 2. generate a punch list of items for correction 3. substantiate items that are completed 4. Conduct inspection to verify correction/completion of punch list items vi. Issue Certificate of Substantial Completion and Final Completion and Acceptance letters to City recommending acceptance and release of final payment, via Protrak system. vii. Within thirty (30) days after receipt of As-Builts from the contractor, the project Landscape Architect shall provide to the City one (1) set Desisn 6 of 7 D8 Revised 02 12 of full size reproducible record drawings, an electronic file copy (PDF format) and an AutoCAD file (.dwg), or compatible .dxf file viii. Schedule, coordinate and attend one year warranty walk-through with City and Contractor: Provide written list of any non-compliant conditions to Owner Definition: 1) As-Builts "redlines": Contractor's record of field changes to the work in line, grade and elevation 2) Record Drawings: Landscape Architect's incorporation of contractor's As-Builts Design 7 of 7 D8.Re.iced 02 12
