A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO
ENTER INTO A CONTRACT WITH KLOTZ ASSOCIATES, INC. FOR
ENGINEERING SERVICES ASSOCIATED WITH THE McHARD ROAD
PROJECT,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain Contract by and between the City of Pearland and'
KIotz Associates, Inc., a copy of which is attached hereto as Exhibit "A" and made a
part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to
execute and the City Secretary to attest the original of the attached Contract for and
on behalf of the City of Pearland.

THIS CONTRACT FOR ENGINEERING SERVICES is made by and between the City of
Pearland, hereinafter called "City," and Klotz Associates, Inc., having its principal business
address at: 1160 DairF Ashford, Suite 500, Houston, Texas 77079, hereinafter called "Engineer"
for the purpose of contracting for engineering services.
WITNESSETH
WHEREAS, Government Code, Chapter 2254, Subchapter A, "Professional Services
Procurement Act" provides for the procurement of professional services of engineers; and
WHEREAS, 43 TAC §9.30-9.41 establishes the department's policies and procedures for
contracting for engineering services; and
WHEREAS, the City desires to contract for engineering services described as follows:
Develop the Schematic, Plans, Specifications and Estimates, Environmental Assessments, Public
Involvement, Hydraulic Impact Study, and Right-of-Way Mapping for the proposed McHard Road
Extension. McHard Road will be a four lane divided curb and gutter section that extends from SH
35 to 1.1 mile East to connect with proposed Pearland Parkway.
AGREEMENT
NOW, THEREFORE, the City and the Engineer, in consideration of the mutual
covenants and agreements herein contained, do hereby mutually agree as follows:
ARTICLE 1
SCOPE OF SERVICES TO BE PROVIDED BY CITY
The City will fumish items and perform those services for fulfillment of the contract as
identified in Attachment A - Services to be Provided by the City, attached hereto and made a part
of this contract.
ARTICLE 2
SCOPE OF SERVICES TO BE PROVIDED BY ENGINEER
The Engineer shall perform those engineering services for fulfillment of the contract as
identified in Attachment B - Services to be provided by the Engineer, attached hereto and made a
part of this engineering contract.
The Engineer shall prepare a schedule of work identified as Attachment C - Work
Schedule, attached hereto and made a part of this contract. The Work Schedule shall contain a
complete schedule so that the Engineer's Scope of Services under this contract can be
accomplished within the specified time and contract cost. The Work Schedule will provide

specific work sequence and definite review times by the Texas Department of Transportation
(TxDOT), the City and the Engineer of the work performed. If the review time should take
longer than shown on the work schedule, through no fault of the Engineer, additional contract
time will be authorized by the City through a supplemental agreement if requested by a timely
written request from the Engineer and approved by the City.
ARTICLE 3
CONTRACT PERIOD
After execution of this contract, the Engineer shall not proceed with the work outlined
under Article 2 until authorized in writing by the City to proceed as provided in Article 6. This
contract shall terminate at the close of business on December 31, 2004 unless extended by
written supplemental agreement duly executed by the Engineer and the City prior to the date of
termination, as provided in Article 11 - Supplemental Agreements, or otherwise terminated as
provided in Article 19 - Termination. Any work performed or cost incurred after the date of
termination shall be ineligible for reimbursement.
The Engineer shall notify the City in writing as soon as possible if it determines, or
reasonably anticipates, that the work under this contract cannot be completed before the
termination date, and the City may, at its sole discretion, extend the contract period by timely
supplemental agreement as provided in Article 11 - Supplemental Agreements. The Engineer
shall allow adequate time for review and approval, of the request for time extension by the City
prior to expiration of this contract.
ARTICLE 4
COMPENSATION
The City shall pay and the Engineer agrees to accept the lump sum amount shown below
as full compensation for the engineering services to be performed under this contract.
The lump sum amount payable under this contract without modification of the contract is
$498,523. O0 (Four Hundred Ninety Eight Thousand Five Hundred Twenty Three Dollars) as
shown in Attachment D - Fee Schedule. The lump sum amount payable may be revised by
supplemental agreement in the event of a change in scope, additional complexity from that
originally anticipated or character of work as authorized by the City.
The Engineer shall prepare and submit, to the City monthly progress reports in sufficient
detail to support the progress of the work and in support of invoice requesting monthly payment.
Any preferred format will be identified in Attachment B. Satisfactory progress of work shall be
maintained as a condition of payment.
The fee may be adjusted if additional work is approved by supplemental agreement and
performed by the Engineer.

· . ARTICLE 5
METHOD OF PAYMENT
' Payments to the Engineer for services rendered will be made while work is in progress.
The Engineer will prepare and submit to the City, no more frequently than once per month, a
progress report stating the percent completion of the work accomplished during the billing period
and to date, and one original and one copy ora certified invoice. Payment of the lump sum fee
will be in proportion to the percent completion of the work tasks identified in Attachment D -
Fee Schedule. Upon receipt and approval of each statement, the City shall make a good faith
effort to pay the amount, which is due and payable within thirty (30) days. The City shall reserve
the right to withhold payment pending verification of satisfactory work performed. The Engineer
must submit adequate proof to the City that the task was complete.
The certified statement shall show the total amount earned to the date of submission and
the amount due and payable as of the date of the current statement. Final payment does not
relieve the Engineer of the responsibility of correcting any errors and/or omissions resulting from
its negligence.
ARTICLE 6
NOTICE TO PROCEED
The Engineer shall not proceed with any work identified under this contract until
authorized in writing to proceed. The City shall not be responsible for actions by the Engineer or
any costs incurred by the Engineer relating to additional work not included in Attachment B -
Services to be Provided by the Engineer.
ARTICLE 7
PROGRESS
The Engineer shall, from time to time during the progress of the work, confer with the
State and the City. The Engineer shall prepare and present such information as may be pertinent
and necessary, or as may be requested by the City, in order to evaluate features of the work.
At the request of the City or the Engineer, conferences shall be provided at the Engineer's
office, the office of the City, or at other locations designated by the City. These conferences
shall also include evaluation of the Engineer's services and work when requested by the City.
If federal funds are to be used on this contract, the work will be subject to periodic review
by the U.S. Department of Transportation.
Should the City determine that the progress in production of work does not satisfy the
Work Schedule, the State shall review the work schedule with the engineer to determine
corrective action needed.
The Engineer shall promptly advise the City in writing of events which have a significant
impact upon the progress of the work, including:

(1) problems, delays, adverse conditions which will materially affect the ability to attain
program objectives, prevent the meeting of time schedules and goals, or preclude the attainment
of project work units by established time periods; this disclosure will be accompanied by
statement of the action taken, or contemplated, and any State or federal assistance needed to
resolve the situation; and
(2) favorable developments or events, which enable meeting the work schedule goals
sooner than anticipated.
ARTICLE 8
SUSPENSION
Should the City desire to suspend the work, but not terminate the contract, this may be
done by thirty (30) calendar days verbal notification followed by written confirmation from the
City to that effect. The thirty-day notice; may be waived in writing by both parties. The work
may be reinstated and resumed in full force and effect within sixty (60) days of receipt of written
notice from the City to resume the work. The sixty-day, notice may be waived in writing by both
parties.
If the City suspends the work, the contract period as determined in Article 3 is not
affected and the contract will terminate on the date specified unless the contract is amended.
The City assumes no liability for work performed or costs incurred prior to the date
authorized by the City to begin work, during periods when work is suspended, or subsequent to
the contract completion date.
ARTICLE 9
ADDITIONAL WORK
If the Engineer is of the opinion that any work it has been directed to perform is beyond
the scope of this agreement and constitutes extra work, it shall promptly notify the City in
writing. In the event the City finds that such work does constitute extra work, the City shall so
advise the Engineer and a written supplemental agreement will be executed between the parties
as provided in Article 11. The Engineer shall not perform any proposed additional work or incur
any additional costs prior to the execution, by both parties, ora supplemental agreement. The
City shall not be responsible for actions by the Engineer or any costs incurred by the Engineer
relating to additional work not directly associated with the performance of the work authorized in
this contract or as amended.
ARTICLE 10
CHANGES IN WORK
If the City finds it necessary to request changes to previously satisfactorily completed
work or parts thereof which involve changes to the original scope of services or character of
work under the contract, the Engineer shall make such revisions if requested and as directed by
the City. This will be considered as additional work and paid for as specified under Article 9 -
Additional Work.

_-. _~ The Engineer shall make such revisions to the work authorized in this contract which has
been completed as are necessary to correct errors appearing therein, when required to do so by
the City. No additional compensation shall be paid for this work.
ARTICLE 11
SUPPLEMENTAL AGREEMENTS
The terms of this contract may be modified by supplemental agreement if the City
determines that there has been a significant change in (1) the scope, complexity or character of
the service to be performed; or (2) the duration of the work. Additional compensation, if
appropriate, shall be identified as provided in Article 4.
Any supplemental agreement must be executed by both parties within the contract period
specified in Article 3 - Contract Period.
It is distinctly understood and agreed that no claim for extra work done or materials
furnished shall be made by the Engineer until full execution of the supplemental agreement and
authorization to proceed is granted by the City. The City reserves the right to withhold payment
pending verification of satisfactory work performed.
ARTICLE 12
PUBLIC INFORMATION ACT
All data, basic sketches, charts, calculations, plans, specifications, amd other documents
created or collected under the terms of this contract are the exclusive property of the City, and
shall be furnished to the City upon request. All documents prepared by the Engineer and all
documents furnished to the Engineer by the City and shall be delivered to the City upon
completion or termination of this contract. The Engineer, at its own expense, may retain copies
of such documents or any other data which it has furnished the City under this Contract. Release
of information shall be in conformance with the Texas Open Records Act.
ARTICLE 13
PERSONNEL, EQUIPMENT AND MATERIAL
The Engineer shall furnish and maintain, at its own expense, quarters for the performance
of all services, and adequate and sufficient personnel and equipment to perform the services as
required. All employees of the Engineer shall have such knowledge and experience as will
enable them to perform the duties assigned to them. Any employee of the Engineer who, in the
opinion of the City, is incompetent, or whose conduct becomes detrimental to the work, shall
immediately be removed from association with the project when so instructed by the City. The
Engineer certifies that it presently has adequate qualified personnel in its employment for
performance of the services required under this contract, or will be able to obtain such personnel
from sources other than the City.
The Provider may not change the Project Manager without prior consent of the City.

.? ARTICLE 14
BUY TEXAS
The Engineer shall buy Texas products and materials for use in providing the services
authorized in this contract when said products and materials axe available at a comparable price
and in a comparable period of time. When requested by the City, the Engineer shall furnish
documentation of said purchases o1' a description of good faith efforts to do so.
ARTICLE 15
SUBCONTRACTING
The Engineer shall not assign, subcontract or transfer any portion of the work under this
contract without prior written approval from the City. All subcontracts shall include the
provisions required in this contract and shall be approved as to form, in writing, by the City prior
to work being performed under the subcontract.
No subcontract relieves the Engineer of any responsibilities under this contract.
ARTICLE 16
EVALUATION OF WORK
The City, TxDOT and, when federal funds are involved, the U.S. Department of
Transportation (USDOT) and any authorized representatives, shall have the right at all
reasonable times to review or otherwise evaluate the work performed or being performed
hereunder and the premises in which it is being performed. If any review or evaluation is made
on the premises of the Engineer or a sub-provider, the Engineer shall provide and require its sub-
providers to provide all reasonable facilities and assistance for the safety and convenience of the
City, TxDOT or USDOT representatives in the performance of their duties.
ARTICLE 17
SUBMISSION OF REPORTS
All applicable study reports; shall be submitted in preliminary form for approval by the
City before final report is issued. The City's comments on the Engineer's preliminary report will
be addressed in the final report.
ARTICLE 18
VIOLATION OF CONTRACT TERMS/BREACH OF CONTRACT
Violation of contract terms or breach of contract by the Engineer shall be grounds for
termination of the contract and any increased cost arising from the Engineer's default, breach of
contract or violation of contract terms shall be paid by the Engineer. This agreement shall not be
considered as specifying the exclusive remedy for any default, but all remedies existing at law
and in equity may be availed of by either party and shall be cumulative.

ARTICLE 19
TERMINATION
The contract may be terminated before the stated termination date by any of the following
conditions.
(1) By mutual agreement and consent, in writing of both parties.
(2) By the City by notice in writing to the Engineer as a consequence of failure by
the Engineer to perform the services set forth herein in a satisfactory manner.
(3) By either party, upon the failure of the other party to fulfill its obligations as set
forth herein.
(4) By the City for reasons of its own and not subject to the mutual consent of the
Engineer upon not less than thirty (30) days written notice to the Engineer.
(5) By satisfactory completion of all services and obligations described herein.
Should the City terminate this contract as herein provided, no fees other than fees due and
payable at the time of termination shall thereafter be paid to the Engineer. In determining the
value of the work performed by the Engineer prior to termination, the City shall be the sole
judge. Compensation for work at termination will be based on a percentage of the work
completed at that time. Should the City terminate this contract under (4) of the paragraph
identified above, the amount charged during the thirty (30) day notice period shall not exceed the
amount charged during the preceding thirty (30) days.
If the Engineer defaults in the performance of this contract or if the City terminates this
contract for fault on the part of the Engineer, the City will give consideration to the actual costs
incurred by the Engineer in performing the work to the date of default, the amount of work
required which was satisfactorily completed to date of default, the value of the work which is
usable to the City, the cost to the City of employing another firm to complete the work required
and the time required to do so, and other factors which affect the value to the City of the work
performed at the time of default.
The termination of this contract and payment of an amount in settlement as prescribed
above shall extinguish all rights, duties, and obligations of the City and the Engineer under this
contract, except the obligations, set forth in Article 19 of this contract. If the termination of this
contract is due to the failure of the Engineer to fulfill its contract obligations, the City may take
over the project and prosecute the work to completion. In such case, the Engineer shall be liable
to the City for any additional cost occasioned the City.
The Engineer shall be responsible for the settlement of all contractual and administrative
issues arising out of the procurement made by the Engineer in support of the scope of services
under this contract.
ARTICLE 20
COMPLIANCE WITH LAWS
The Engineer shall comply with all applicable Federal, State and local laws, statutes,
codes, ordinances, rules and regulations, and the orders and decrees of any court, or
administrative bodies or tribunals in any manner affecting the performance of this contract,

including, without limitation, worker's compensation laws, minimum and maximum salary and
wage statutes and regulations, and licensing laws and regulations. When required, the Engineer
shall furnish the City with satisfactory proof of its compliance therewith.
ARTICLE 21
INDEMNIFICATION
The Engineer shall save harmless the City and its officers and employees from all claims
and liability due to activities of itself, its agents, or employees, performed under this contract and
which are caused by or result from error, omission, or negligent act of the Engineer or of any
person employed by the Engineer. The Engineer shall also save harmless the City from any and
all expense, including, but not limited to, attorney fees which may be incurred by the City in
litigation or otherwise resisting said claim or liabilities which may be imposed on the City as a
result of such activities by the Engineer, its agents, or employees.
ARTICLE 22
ENGINEER'S RESPONSIBILITY
The Engineer shall be responsible for the accuracy of its work and shall promptly make
necessary revisions or corrections resulting from its errors, omissions, or negligent acts without
compensation. The Engineer's responsibility for all questions arising from design errors and/or
omissions will be determined by the City and all decisions shall be in accordance with the State
of Texas (State), the State's "Errors or Omissions Policy" in accordance with 43 TAC §9.38(e).
The Engineer will not be relieved of the responsibility for subsequent correction of any such
errors or omissions or for clarification of any ambiguities until after the construction phase of the
project has been completed. The Engineer is solely responsible for all necessary Quality Control
of the originally submitted work.
ARTICLE 23
ENGINEER'S SEAL
The responsible Engineer shall sign, seal and date all appropriate engineering
submissions to the City in accordance with the Texas Engineering Practice Act and the Rules of
the Texas Board of Professional Engineers.
ARTICLE 24
NONCOLLUSION
The Engineer warrants that it has not employed or retained any company or persons,
other than a bona fide employee working solely for the Engineer, to solicit or secure this contract
and that it has not paid or agreed to pay any company or engineer any fee, commission,
percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the
award or making of this contract. For breach or violation of this warranty, the City shall have the
right to annul this contract without liability or, in its discretion, to deduct from the contract price
or compensation, or otherwise recover, the full amount of such fee, commission, percentage,
brokerage fee, gift or contingent fee

ARTICLE 25
INSURANCE
The Engineer shall furnish the City a properly completed Certificate of Insurance (Texas
Department of Transportation form 20.102) approved by the City prior to beginning work under
this contract and shall maintain such insurance through the contract period. The completed
Certificate of Insurance shall be attached hereto and identified as Attachment G.
ARTICLE 26
GRATUITIES
Texas Transportation Commission policy mandates that employees of the State shall not
accept any benefits, gifts or favors from any person doing business or who reasonably speaking
may do business with the State under this contract. The only exceptions allowed are ordinary
business lunches and items that have received the advance written approval of the State. Any
person doing business with or who may reasonably speaking do business with the State under
this contract may not make any offer of benefits, gifts or favors to departmental employees,
except as mentioned hereinabove. Failure on the part of the Engineer to adhere to this policy
may result in the termination of this contract.
ARTICLE 27
DISADVANTAGED BUSINESS ENTERPRISE OR HISTORICALLY
UNDERUTILIZED BUSINESS REQUIREMENT
Not Applicable
ARTICLE 28
INSPECTION OF ENGINEER'S BOOKS AND RECORDS
AND AUDIT REQUIREMENTS
The State and the City shall have the exclusive right to examine the books and records of
the Engineer for the purpose of checking the amount of work performed by the Engineer at the
time of contract termination. The Engineer shall maintain all books, documents, papers,
accounting records and other evidence pertaining to cost incurred and shall make such materials
available at its office during the contract period and for four (4) years from the date of final
payment under this contract or until pending litigation has been completely and fully resolved,
whichever occurs last. The State or the City, or any of its duly authorized representatives, the
Federal Highway Administration, the U.S. Department of Transportation Office of Inspector
General and the Comptroller General shall have access to any and all books, documents, papers
and records of the Engineer which are directly pertinent to this contract for the purpose of
making audits, examinations, excerpts and transcriptions.
ARTICLE 29
PAYMENT OF FRANCHISE TAX
Pursuant to the Business Corporation Act, Texas Civil Statutes, Article 2.45 which
prohibit the State from awarding a contract to a corporation that is delinquent in paying taxes

~gnder Tax Code, Chapter 171, the Engineer hereby certifies that it is not delinquent in its Texas
franchise tax payments, or that it is exempt from, or not subject to, such a tax. A false statement
concerning corporation's franchise tax status shall constitute grounds for termination of the
contract at the sole option of the State.
ARTICLE 30
DEBARMENT, SUSPENSION AND DISCIPLINARY ACTION
The Engineer warrants that the representations included in the Debarment Certification
(Negotiated Contracts) submitted with the offer to provide services are current and still valid.
ARTICLE 31
LOBBYING CERTIFICATION
The Engineer shall comply with "Lobbying Certification \ Disclosure Form" in federal
aid contracts in excess of $100,000 or subcontracts in excess of $50,000, identified and attached
hereto as Attachment I.
ARTICLE 32
CIVIL RIGHTS COMPLIANCE
The Engineer shall comply with the regulations of the Department of Transportation (49
C.F.R. Part 21 and 23 C.F.R. §710.405) as they relate to nondiscrimination; also, Executive
Order 11246 titled Equal Employment Opportunity as amended by Executive Order 11375 and
as supplemented in Department of Labor Regulation (41 C.F.R. Part 60). See Civil Rights
Compliance," attached hereto and identified as Attachment J.
ARTICLE 33
PATENT RIGHTS AND COPYRIGHTS
The Engineer shall comply with the patent fights procedures as specified in 37 C.F.R.
Part 401 et seq., with respect to processes and inventions developed during the course of this
contract.
The State, the City and the U.S. Department of Transportation shall have the royalty free,
nonexclusive and irrevocable fight to reproduce, publish or otherwise use, and to authorize others
to use any reports developed by the Engineer for governmental purposes.
ARTICLE 34
PROPERTY MANAGEMENT AND PROCUREMENT STANDARDS
The Engineer agrees to comply with the property management standards specified in
OMB Cimular A-102 and 49 C.F.R. §18.36, in its control, use and disposition of property and
equipment governed by those standards.

The Engineer agrees to comply with the procurement standards specified in OMB
Circular A-102 and 49 C.F.R. {}18.32, in its procurement of property and equipment governed by
those standards.
ARTICLE 35
COMPUTER GRAPHICS FILES
The Engineer agrees to comply with the Special Provision "Computer Graphics Files for
Document and Information Exchange," if determined by the State to be applicable to this
contract and if so stated in Attachment B and attached hereto.
ARTICLE 36
CHILD SUPPORT STATEMENT
Under Section 231.006 of the Family Code, the Engineer certifies that the individuals or
business entity named in this contract is eligible to receive the specified grant or payment and
acknowledges that this contract may be terminated and payment withheld if this certification is
inaccurate. The Engineer further acknowledges that he or she has read Attachment K and has
provided the names and social security numbers required therein.
ARTICLE 37
DISPUTES
The Engineer shall be responsible for the settlement of all contractual and administrative
issues arising out of any procurement made by the Engineer in support of this contract's work.
Any disputes concerning the work hereunder or additional costs, or any non-procurement issues
shall be settled in accordance with Title 43, Texas Administrative Code, {}1.68.
ARTICLE 38
SUCCESSORS AND ASSIGNS
The Engineer, and the City; do hereby bind themselves, their successors, executors,
administrators and assigns to each other party of this agreement and to the successors; executors,
administrators, and assigns of such other party in respect to all covenants of this contract. The
Engineer shall not assign, subcontract or transfer its interest in this contract without the prior
written consent of the City.
ARTICLE 39
SEVERABILITY
In the event any one or more of the provisions contained in this contract shall for any
reason, be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality,
or unenforceability shall not affect any other provision thereof and this contract shall be
construed as if such invalid, illegal, or unenforceable provision had never been contained herein.

, ARTICLE 40
PRIOR CONTRACT SUPERSEDED
This contract constitutes the sole and only agreement of the parties hereto and supersedes
any prior understandings or written or oral contracts between the parties respecting the subject
matter defined herein.

All notices to either party by the other required under this contract shall; be personally
delivered or mailed to such party at the following respective address:

ARTICLE 42
SIGNATORY WARRANTY
The undersigned signatory or signatories for the Engineer hereby represent and warrant
that the signatory is an officer of the organization for which he or she has executed this contract

SERVICES TO BE PROVIDED BY THE CITY
1. The City will provide an example set of plans.
2. The City will pr°vide any previously collected survey data if available.

SERVICES TO BE PROVIDED BY THE ENGINEER
The work to be performed under this work authorization will consist of providing
engineering, planning and surveying services required for the preparation of schematics,
environmental documents, Hydraulic Impact Study, PS&E, Right-of-way Mapping and
participation in the public involvement process that is necessary to define right-of-way, if
necessary, for construction of McHard Road in Pearland, Texas. The proposed extension is
from SH35 to future Pearland Parkway and includes 1.1 mile of roadway construction. The
roadway will be four lanes, divided curb and gutter section.
Deliverable items required from the ENGINEER include:
1. Identification of utility adjustments with sufficient plan, profile and drainage facility
information to coordinate utility relocations.
2. A reproducible original and graphics file of the geometric layout of the preferred
alignment.
3. Five copies of the refined schematic layout, for review and final schematic.
4. Hydraulic Impact Study Report for storm drainage and outfall locations.
5. Two draft copies and seven final copies of the Environmental Assessment.
6. Copies of design calculations and other data required in developing the schematic and
Environmental Assessment.
7. Survey monument data, and electronic files.
8. Plans, specifications and estimate for 30%, 60%, 90%, Submittals (two copies of each
submittal).
9. Final Plans and Specifications - One Mylar Plan set, two paper copies, and one 22 x 34

Services to be provided by the ENGINEER include:
ROUTE AND DESIGN STUDIES (Function Code 110)
1. Develop Roadway Design Criteria - Develop design criteria based upon the City of
Pearland, TxDOT Operations and Procedures Manual and AASHTO.
2. Route Studies
(a) Identify and Confirm Corridor Issues
1) Research Traffic Studies, county maps, any existing transportation plans and
public correspondence to become familiar with the history of the project and
acquire available information on the project.
2) Research and identify significant issues, as perceived by the City of Pearland,
local officials and interested citizens, which may influence the location and
selection of the study alignment.

4. Design Schematic
(a) Schematic Layout
1) Develop vertical and horizontal alignment tied to the NAD83, Texas South
Central Datum. The degree of horizontal curves and vertical curve data,
including "K" values.
2) Prepare the tentative ROW limits
(a) Provide a Geopak file of the preliminary earthwork to verify ROW
requirements.
(b) Provide a graphics file containing the approved schematic.
3) Prepare the geometrics of the typical sections.
4) Prepare the current and projected traffic volumes as determined from TxDOT
and HGAC. Obtain traffic projections from Pearland Parkway at round
about.
5) Alignment will begin at SH 35 and end at the round-about at Pearland
Parkway, which is designed by others.

5. Preliminary Right-of-Way Requirements
(a) Ownership Data- Ownership Information shall be determined through Preliminary
Title Data.
(b) Utility Adjustments
1) Highway Design Data shall be furnished for Utility Adjustments and ROW
Determination as required.

6. General Guidelines for Project Development of Schematic
(a) Two copies of the schematic layout shall be submitted to the City of Pearland for
approval and subsequent coordination with the Texas Department of Transportation
(TxDOT) where applicable.
(b) All geometric design shall be in conformance with the State's Design Division
Criteria. Operations and Procedures Manual, and the City of Pearland standards,
except where variances are permitted in writing.
(c) The schematic layout shall include basic information, which is necessary for the
proper rewew and evaluation including the items listed above in the checklist for
schematic layout.
(d) The Engineer shall furnish Geopak files and a cross section plot showing original
design sections and original cross sections for the project.
SOCIAL, ECONOMIC AND ENVIRONMENTAL STUDIES, AND PUBLIC
INVOLVEMENT (Function Code 120)
The Engineer will undertake the necessary environmental studies and investigations to
prepare an Environmental Assessment (EA) document, anticipating a Finding of No
Significant Impact (FONSI). The EA will be performed to provide environmental
documentation according to TxDOT's Highway Design Division Operations and Procedures
Manual Part II-B and FHWA Technical Advisory T6640.SA. The Engineer will coordinate
work activities for the EA through the Klotz Associates, Inc. project manager.
1. Data Collection Process
(a) Readily available environmental information relative to the project area will be
acquired from the appropriate local, state, and federal agencies.
(b) An initial site survey will be conducted after the proposed location has been
surveyed and staked to depict the exact site location. During the site survey, the
Engineer will photograph and inspect the site in order to characterize the current
environmental conditions and obtain information for later inclusion in the EA.
(c) Early coordination will be initiated with the appropriate agencies which may have
jurisdictional interests in the project study area, such as the U.S. Coast Guard, U.S.
Army Corps of Engineers (COE), U.S. Fish and Wildlife Service (USFWS), Texas
Parks and Wildlife Department, U.S. Environmental Protection Agency (EPA),
Texas Historical Commission (THC), Natural Resources Conservation Service
(NRCS), Texas Natural Resources Conservation Commission (TNRCC), Federal
Emergency Management Agency (FEIMA), and any other governmental agency,
group, or individual deemed necessary. Permits that will be required will be
identified.
(d) Review alternatives for environmental issues, such as archeological sites, Superfund
sites, wetlands, fill in the flood plain, additional runoff or other critical issues that
might impact the constrnetion of the roadway in the selected areas.

2. Environmental Investigations and Assessments
The EA will consist of an evaluation of current economic, social, and environmental
conditions and potential impacts on these conditions as a result of the proposed project
including the items below:
(a) Sociai/Environmental Justice - The U.S. Department of Commerce, Bureau of the
Census, information on the census tracks for this area will be obtained and
summarized.
(b) Economic - The economic impacts on the regional and local economy.
(c) Right-of-Way Acquisitions and Displacements - The extent of displacement (if any)
will be discussed for each alternative under consideration.
(d) Pedestrian and Bicycle Facilities - The EA will discuss the current and anticipated
use of the facilities, the potential impacts of the affected alternatives, and proposed
measures, if these facilities exist.
(e) Soils and Vegetation - The soils in the area of the project will be described and
vegetation identified to evaluate potential impacts.
(f) Section 4(0 Lands - Review available data and perform on-site investigations to
ascertain the presence of any potential Section 4(f) lands.
(g) Farmlands - Complete the Farmlands Conversion Impact Rating Form AD-1006 and
submit it to the NRCS for review.
(h) Air Quality - THE ENG1NEER will perform an air quality analysis according to the
recent TxDOT guidelines for Air Quality Analysis.
(i) Traffic Noise - The Engineer will conduct a noise analysis for the proposed project.
The noise analysis will consist of the following tasks:

Subtask 2: Model existing and Predicted Future Noise Levels
Subtask 3: Noise Abatement Measures
Subtask 4: Conceptual Plan for Noise Barriers

rainfall drainage pattems will be determined and runoff water quality will be
evaluated.
(k) Permits - Permits required for the proposed project will be properly documented and
discussed.
(1) Wetlands - The Engineer will perform offsite and onsite wetland determinations for
the proposed project.

(n) Wildlife Habitat Modifications - The EA will discuss the loss of habitat and
vegetation associated with the preferred alternative, according to the executive
memorandum published April 26, 1994 as it relates to vegetation management and
landscape practices.
(o) Floodplains - National Flood Insurance Program (NFIP) maps will be reviewed to
determine if the site location will encroach upon the base (100-year) floodplain.
(p) Wild and Scenic Rivers - The EA will include a short statement indicating that the
impact category has been assessed but not applicable.
(q) Coastal Barriers and Coastal Zones - If necessary, an assessment will be conducted
for potential coastal barriers and coastal zone impacts.
(r) Threatened and Endangered Species - Wildlife habitat will be evaluated and
potential impacts on wildlife will be assessed.
(s) Historic or Archeological Preservation - A thorough investigation will be performed
to identify any historic or archeological resources.
(t) Hazardous Waste and Other Sites - A regulatory records review and aerial
photogrametrics review will be performed to identify listed hazardous waste
generators.
(u) Visual - Any potential visual impacts of the proposed project will be assessed and
described.
(v) Construction Impacts - Potential adverse impacts associated with the construction of
the project will be assessed.
(w) Secondary and Cumulative Impacts - The Engineer will assess the potential for
secondary and cumulative impacts for the proposed action.
(x) Comments and Coordination - This section will include copies of coordination
letters sent to the various governmental agencies and their responses.
3. Preparation of Environmental Assessment Documents
(a) The information above will be compiled into a draft EA report. A discussion of the
alternatives and reasons for selection of the preferred alternative will also be
included in the EA report. The EA report will also include discussions on mitigation
measures, which cam reduce or eliminate environmental impacts that are identified.
(b) Seven copies of a Preliminary Draft Report will be submitted to the City of Pearland
and TxDOT for review. Upon receipt of any comments from TxDOT and the City of
Pearland, revisions will be made and any revisions or additional information needed
to complete the items will be incorporated into a draft report. Seven copies of the
draft report will be prepared and provided to TxDOT and the City of Pearland. Upon
receipt of any comments from the City of Pearland and TxDOT - Houston District,
revisions will be made and incorporated into the final draft report for coordination
with TxDOT - Environmental Affairs Division (ENV). After receiving and
addressing any comments from ENV, seven copies of the final report will be
submitted to City of Pearland and TxDOT for distribution.

RIGHT-OF-WAY (Function 130)
I. Utility Locations/Layouts/Agreements (a) Identify Utility Locations and Conflicts.
(b) Coordinate with Utility Companies to resolve conflicts.
(c) Perform abstracting work necessary to adequately define the fight-of-way.
(d) After abstracting, any revisions to the maps due to changes in ownership will be
considered additional services.
(e) Determine fight-of-way requirements.
(f) Locate existing ROW movements.
(g) Prepare right-of-way map for use in project design. Tie to topographic survey.
(h) Locate property corners and describe comer monument.
(i) Locate buildings, foundations, storage tanks, towers, utilities, ditches, roads,
driveway, pipelines, storm sewers, railroads, and other encroachments into the
existing fight of way.
(j) All survey work shall be performed under the supervision of a Registered
Professional Land Surveyor licensed in the State of Texas. In addition all survey
work shall be done in a neat and professional manner, subject to the approval of the
City of Pearland and TxDOT. All right-of-way work and permanent benchmarks
shall be tied to surface coordinates of the Texas Coordinate System, South Central
Zone. State plane coordinates shall be multiplied by the NGS surface adjustment
factor to obtain the surface coordinates.
FIELD SURVEYING AND PHOTOGRAMMETRY (Function Code 150)
1. Field Survey
(a) Establish project baseline on the ground for limits of project and tie to TxDOT
control points. The project baseline must be coincidental with, or parallel to, the
stationed "Design Centerline." Establish baseline control points using 5/8" iron rod,
36 inches long, at P.C.'s, P.I.'s and P.T.'s of horizontal curves and at 1,000 feet
maximum intervals on tangents. Baseline control points (iron rods) will be set and
offset on both sides near existing right of way lines at a measured distance. Tie
existing fight of way angle points to the design centerline.
(b) Locate previously set benchmarks and mn levels to prove their validity. Establish
additional benchmarks at intervals not to exceed 1,000 feet for limits of project, and
tie to project baseline. Benchmarks shall be 3/4" diame'- '

located near the existing right of way line at a measured distance. Tie benchmarks to

(f) Provide additional field surveying to include:
1. Existing crossroad and side road drainage structures.
2. Profiles of existing drainage facilities.
3. Above ground and below ground utilities (both public and private).
4. Staking of soil core holes and tie to project baseline.
5. Outfall channel.
(g) Field tie to the project baseline all existing utilities (underground and overhead)
within the existing and proposed right of way for the limits of the project. The
location of existing and underground utilities will be field determined by probing or
excavation by utility company (mainly pipeline) to expose utility. Tie of utilities to
the project baseline will be performed by the surveyor by station, offset, and
elevation. The probing or excavation to expose utility will be requested by the
Consultant and performed by the utility owner. Furnish a complete description of
the utilities, including size and limits for underground pipeline.
(h) Cross section outfails at both right of way lines. Obtain cross sections 600 feet from
each right of way line at 100 foot intervals. All cross sections will be at right angles
to the drainage channels.
Any traverse related to the project will be performed with appropriate modified
second order procedures by closed loop into project horizontal control points.
Closures will be one part in 20,000 or better.
Ail control leveling work will be performed using appropriate modified second order
procedures with closed loops into the project vertical control. Closures will be better
than 0.02-foot times the square root of the number of miles in the loop.
(i) Provide office computations and drafting as needed in support of the above services.
(J) Secure right of entry into private property short of litigation.
(k) Document all field work and submit field data to TxDOT.
(1) Determine size/length and material of side road culverts to be removed (no
elevations). Determine the location, size, and elevation profiles 20 feet outside of
the right of way for all driveways. Also, determine surfacing and base materials by
visual inspection only.
(m) Stake centerline and set permanent reference point monuments of proposed McHard
Road from State Highway 35 to proposed Pearland P ,
arkway at 200 stations
including points of curvature, points of tangency and angle points for United States
Corps of Engineers.
(n) Locate wetland areas as staked (horizontal and vertical) (fee based on one day of

ROADWAY DESIGN CONTROLS (Function Code 160)
The roadway will meet the Design criteria previously identified in the ROUTE studies
process.
(a) Develop design plan and profile according to TxDOT and the City of Pearland
guidelines, which includes: Plan and Profile Sheets, Intersection Contour Sheets (if
needed), Title Sheets, Index of Sheets, Summary of Roadway Quantities and
Miscellaneous Details.
(b) Identify and Incorporate TxDOT and City of Pearland standards into plan set
(c) Develop typical sections
(d) Develop Design Cross Sections
1. Provide cross section sheets. Cross sections should be at 100 feet intervals.
Cross section sheets should show existing and proposed sections and cut and fill at

DRAINAGE (Function Code 161)
1. Report Preparation - Prepare a report, complete with text, tables, exhibits, and
appendices detailing the project assumptions, procedures, results, and conclusions as
outlined in Exhibit "A". This report will be provided as a Special Service under
Function Code 161.
2. Develop Drainage Area Map for PS&E

not be required.

(a) Plan sheets will be double banked on with a scale of 1:100
9. Storm Water Quality Management is not anticipated and not included in the scope of
work.
10. Permits - Permits and signatures from local governmental agencies are not part of this
scope of work.
SIGNING, MARKINGS AND SIGNALIZATIONS (Function Code 162)
All elements of this function will be designed in accordance with the Texas Manual on
Uniform Traffic Control Devices, TxDOT standards and the City of Pearland standards.
1. Signing and Pavement Markings - Determine location and type of warning signs,
regulatory signs, and guide signs according to criteria furnished by TxDOT Manual on
Uniform Traffic Control Devices (MUTCD), and prepare signing plans and details.
(a) Signing and Pavement Marking Layout - Incorporated on the same sheets.
(b) Intersection Signing - Which includes those signs needed for SH35 and Old Alvin
Road.
(c) Signing and Pavement Standards - Incorporate of required TxDOT and the City of
Pearland Signing and Pavement Standards.
(d) Summary of Signing and Pavement Markings.
2. Prepare Plans and details of safety lighting and traffic signals at each signalized
intersection.
(a) Coordinate with Houston District.
3. Roadway Illumination
(a) Permanent field lighting is not required.
4. Level of service analysis for geometric improvement and potential signal timing for the
SH 35 intersection and Old Alvin Road.
MISCELLANEOUS (Roadway) (Function Code 163)
1. Determine the project construction sequence, and design a traffic control plan based
upon the MUTCD and the latest Houston District design requirements. This shall
include evaluation of traffic counts and field investigations into such items as any storm
sewer work, utilities, right o£way restrictions, adjacent properties and cross street
access, and other items which may ultimately affect the safe handling of traffic during
the construction sequence. Traffic control shall be in accordance with Exhibit B.
(a) Meet with Houston District personnel early in the project design as soon as a
construction sequence is developed, and periodically as the design continues.

(b) A copy of the General Guidelines for Traffic Handling and the required Traffic

construction. The drawings shall indicate traffic lanes versus work zones per phase,
including all required detours. The drawings will be used by the District to obtain
final approval of the TCP at the monthly Safety Review Team Meeting.
(d) Based on the results of the Safety Review Team Meeting, the detailed Traffic
Control Plans, Specifications and Estimate will be completed. Quantities for the
traffic control plans will be computed for each pay item.

6. Estimate Construction Time Schedule
(a) Prepare an estimate for the time required to construct the project in accordance with
TxDOT Administrative Circular No. 17-93.
7. Reviews and Approvals
(a) Revi. ew project performance on a periodic basis including both in-house
requncements and those established by TxDOT.
1. Submit monthly progress reports to TxDOT.
2. Submit materials as required for scheduled milestones.
(b) Obtain regulatory agency approvals as required or otherwise outlined in the scope of
services.
8. Geotechnical Services
(a) Field Exploration - Drill sixteen 20-ft deep borings along the proposed alignment to
evaluate the subsurface condition. The borings will have an approximate 500-fi
spacing in accordance with TxDOT criteria. The soil samples will be sampled
continuously to the boring completion depths. All drilling will be performed in
accordance with TxDOT criteria. TxDOT cone penetrometer test (THD Cone) will
be performed at 5-ft intervals. Transport representative portions of the recovered
samples to our soil mechanics laboratory for testing. We will backfill the project
borings upon completion of the 24-hour water level measurements.
(b) Laboratory Testing - Perform soil mechanics laboratory tests to measure physical
and engineering properties of selected representative soil samples from the project
borings. The testing will generally include Unconfined Compression, Atterberg
Limits, Percent Finer than the No. 200 Sieve, and natural Moisture Content. TxDOT
testing criteria will be followed.
(c) .Engineering Report - Prepare an engineering report that will document the field
~nvestigation and testing and provide TxDOT with geoteclmical design and

construction recommendations for the proposed paving and storm sewer
construction, including:
1. Soil stratigraphy
2. Groundwater conditions
3. Subgrade preparation and stabilization requirements
4. Fill requirements
5. Paving design in accordance with AASHTO and TxDOT specifications
6. Storm sewer bedding and backfill requirements
7. Retention criteria and groundwater control
ADDITIONAL RESPONSIBILITIES
1. Meetings - Meetings will be held with the City, TxDOT, property owners, utility
owners, railroad companies, other consulting firms, as needed or required by the City or
TxDOT. The Engineer shall coordinate through the City Engineer for the development
of this project with any local entity having jurisdiction or interest in the project (i.e., city
and county).
2. Project Manager/Engineer Communications - The Engineer shall designate one Texas
Licensed Professional Engineer to be responsible throughout the project for project
management and all communications, including billing, with the City's Project Manager.
Any replacements to the Engineer's designated Project Manager/Engineer; must be
approved by the City.
Engineering documents produced for Engineering project shall be signed, sealed and
dated or CADDSEALed in accordance with Administrative Order No. 5~89 and
Administrative Circular No. 26-91.
3. Design Responsibilities - The Engineer is responsible for design errors and/or omissions
that become evident before, during or after construction of the project. The Engineer's
responsibility for all questions arising from design errors and/or omissions will be
determined by the City and all decisions shall be final and abiding.
4. Public Meetings - The Engineer is responsible to conduct one Public Meeting before a
route alternative is chosen for Schematic Design. The Engineer is responsible for
providing equipment and drawings necessary to present the project to the public.
Alternatives will be presented by layout either on Board or by Power Point Presentation.
5. Review Submittals - 1 l"x17" Plan Submittals will occur at the 30%, 60%, 90%; stages
of completion. Two Plan sets will be supplied for each submittal and general notes and
specifications. Submittals will be in accordance with TxDOT Submittal Process.
6. Summary of Quantities - Construction costs estimates will be submitted at the 60%,
90% and 100% stages of completion.
7. Time Estimate - Time estimates will be submitted at the 90% and 100% stages of
completion.
8. Plan Set Format:
(a) All plans and Mylar's shall be submitted in 1 l"xl 7" format.
(b) Horizontal, vertical and cross section calculations shall be in Geopak format.

Drainage Report Scope of Work
Preliminary Hydrologic and Hydraulic Investigation:
The following tasks shall be completed before the preparation of the final roadway profile
and drainage report:
· Determine preliminary profile for the proposed roadway
· Obtain profile of existing ground along the proposed right-of-way lines
· Determine high water elevations for the 10, 25, 50, amd 100 year frequencies (25 year
will be interpolated)
These profiles are to be superimposed on the same profile drawing. The profile drawings
will provide an overall view of the roadway and existing ground elevations with respect to
the various design frequencies for the length of the project. This will enable TxDOT to
determine the most feasible roadway profile. The scope of work for McHard Road will be a
design of the roadway at or below grade.
Final Report:
On approval of the preliminary hydrologic and hydraulic investigation, the Engineer will
prepare a drainage study for a portion of McHard Road (SH-35 to Pearland Parkway). The
report will include the following items:
A. The Engineer will determine the existing and proposed drainage area boundaries
based on the available data. The original hydrologic and hydraulic models and
analyses are assumed to be readily available. This proposal is based on working
FEMA models being available.
B. The Engineer shall obtain existing HEC-1 and HEC-2 models, from applicable
drainage authorities, to the extent possible, for use in analysis and determination of
existing 10-, 25~, 50-, and 100-year water surface elevations on McHard Road at
Hickory Slough and Clear Creek. This data will be utilized in the development of the
aforementioned profiles.
C. The Engineer will evaluate the impact of the proposed new roadway and will develop
a storm sewer and detention system to accommodate the effects of the new roadway.
Siting of improvements will be based on the ultimate roadway section. Storm sewer
will be designed as a conveyance system for McHard Road.

D. Storm sewer will be designed with the following criteria;
* Tailwater will be the starting basis of design and will begin at the outfall
e Headlosses for junctions will not be computed in the hydraulic grade line
calculation
E. The total detention storage to control storm water runoff for the design frequency will
be determined. Detention will be designed within the esplanade.
F. The volume of flood plain water displaced from the proposed roadway improvements
will be roughly determined as well as approximate estimate of the available on-site
volume. Mitigation will be designed within the right of way
G. A conceptual 100 year sheet flow analysis will be prepared.
H. The Engineer will prepare a report which shall include road ditch and storm sewer
sizing, preliminary detention storage volumes, and initial recommendations on how to
mitigate the storm water impact on the receiving streams. Cost alternative shall be
provided for recommendations. Three copies of the report shall be provided.
I. Coordination with any government agencies through TxDOT will be conducted in all
phases of this study.

_Traffic Control Plans - Specifications and Estima~s
The traffic control work consists of the completed Traffic Control Plans (TCP), the
appropriate specifications and general notes, and the traffic control construction cost
estimate.
General
A TCP shall show the detailed construction sequences and the necessary phases complete
with all barricades, signing, striping, delineation, detours, temporary traffic signals and their
adjustments, and any other devices necessary to control traffic during construction. The
purpose of the plan is to protect the traveling public and provide safety to the construction
forces, with least inconvenience to the travelers consistent with expeditious completion of the
project in time and costs, within the federal and state standards and guidelines.
A. .Standards and Guidelines
The following standards and guidelines are essential to the development of the TCP.
· Texas State Department of Highways and Public Transportation (SDHPT) 1982 Standard
Specifications for Construction of Highways, Streets, and Bridges.
· Texas Manual on Uniform Traffic Control Devices 1980 (MUTCD)
· Barricades and Standards BC
· Pavement Drop-Off Standard
Other standard drawings available, as needed, are Construction Vehicle Impact Attenuators
(VIA), Portable Crash Cushions, Temporary Barrel Mounted Metal Beam Guard Fence TB
(BMGF) and Precast and Portable Concrete Traffic Barriers (CTB), and appropriate signing
standards. Paper copies or film (mylar) drawings, for inclusion in the PS&E final package,
are available from the SDHPT.

C. Traffic Control Plans
Before beginning the TCP, hourly traffic counts of the major roadway and cross streets shall
be obtained.
Field conditions regarding access to adjacent properties shall be verified and shown on the
plan.
The traffic control plans shall show the construction sequence and all traffic control devices
for each phase of the project.
The plans shall be to a large enough scale to depict all existing and proposed structures as
they occur in each sequence and phase. The plan and profile drawings usually drawn to 1" to
50', is generally adequate for the TCP. A scale smaller than this is usually unacceptable and
shall require prior approval of the SDHPT.
Where detours or temporary pavement are required, a separate phase shall be shown for this
construction, complete with traffic handling and control devices.
Each phase of the TCP shall show the location of the traffic flow indicated b d

cross hatching. All barricades, traffic barriers, VIAs, delineators, pavement markings,

previous phase or that will be built in later phases shall not be shown·
Cross-sections shown the traffic lanes, construction pavement markings, delineators, barriers,
buffer zone for barrels and CTB, pavement drop-off, and construction detail shall be shown
on each sheet and for each roadway variation on that sheet. All construction signing shall be
represented pictorially and designated with the appropriate identification
the MUTCD. All other traffic control number as shown in
cross-sections and fully identified, devices shall be shown pictorially in the plans and
BC sheets and other appropriate standard drawings shall be included in the TCP package.
General Notes and Specifications
General Notes and Specifications for Traffic Control Bid Items shall be included in the
overall project bid package.

PROPOSAL FOR GEOTECHNICAL SERVICES
MCHARD ROAD
FROM S.H. 35 TO PEAR.LAND PARKWAY

Dear Mr. Brown:
Tolunay-Wong Engineers, Inc. (TWEI) is pleased to submit our proposal for geotechnical field
and engineering services for the McHard Road Project in Pearland, Texas. Project details were provided
verbally by you.
The proposed alignment will start at just east of S.H. 35 and end at Pearland Parkway. The
alignment is about 1.5 miles long and will consist of pavement and storm sewer.
Scope of Services .'
Our scope of services will include field exploration, laboratory testing and engineering analysis
for the proposed project.
Field Exploration. We propose to drill sixteen 20-ft deep borings along the proposed alignment
to evaluate the subsurface condition. The borings will have an approximate 500-ft spacing in accordance
with TxDOT criteria. The soil samples will be sampled continuously to the boring completion depths.
All drilling will be performed in accordance with TxDOT criteria. TxDOT cone penetrometer test (THD
Cone) will be performed at 5-ft intervals. We will transport representative portions of the recovered
samples to our soil mechanics laboratory for testing. We will grout the project borings upon completion
of the 24-hour water level measurements.
Laboratory Testing. We will perform soil mechanics laboratory tests to measure physical and
engineering properties of selected representative soil samples from the project borings. The testing will
generally include Unconfined Compression, Atterberg Limits, Percent Finer than The No. 200 Sieve, and
natural Moisture Content. TxI)OT testing criteria will be followed.
Eneineerine Reoort. We will prepare an engineering report that will present out findings and
provide you with geotechnical design and construction recommendations for the proposed bridge, paving
and storm sewer construction, including:

Schedule
We can mobilize our crew within three to four days after authorization is given provided site
utility clearance is complete. We can complete the fieldwork in three days and issue our engineering
report within fifteen working days after the field work exploration. We can furnish you with verbal

CIVIL RIGHTS COMPLIANCE
During the performance of this contract, Klotz Associates, Inc. ., for itself, its assignees and successors in interest
(hereinafter referred to as the "Engineer"),agrees as follows:
(1) Compliance with Regulations: The Engineer shall comply with the Regulations relative to nondiscrimination
in Federally-assisted programs of the U.S. Department of Transportation, Title 49, Code of Federal Regulations,
Part 21, and Title 23, Code of Federal Regulations,Part 710.405(b), as they may be amended from time to time
(hereinafter referred to as the Regulations), which are herein incorporated by reference and made a part of this
contract.
(2) Nondiscrimination: The Engineer,with regard to the work performed by him during the contract, shall not
discriminate on the grounds of race, color, sex,or national origin in the selection and retention of subcontractors,
including procurements of materials and leases of equipment. The Engineer shall not participate either directly or
indirectly in the discrimination prohibited by Section 21.5 and Part 710.405(b) of the Regulations, including
employment practices when the contract covers a program set forth in Appendix B of the Regulations.
(3) Solicitations for Subcontracts,Including Procurements of Materials and Equipment: In all solicitations either
by competitive bidding or negotiation made by the Engineer for work to be performed under a subcontract,

(4) Information and Reports: The Engineer shall provide all information and reports required by the Regulations,

information, and his facilities as may be determined by the Texas Department of Transportation or the Federal
Highway Administration to be pertinent to ascertain compliance with such Regulations or directives. Where any
information required of the Engineer is in the exclusive possession of another who fails or refuses to furnish this
information, the Engineer shall so certify to the Texas Department of Transportation or the Federal Highway
Administration, as appropriate, and shall set forth what efforts he has made to obtain the information.
(5) Sanctions for Noncompliance: In the event of the Engineer's noncompliance with the nondiscrimination
provisions of this contract, the Texas Department of Transportation shall impose such contract sanctions as it or
the Federal Highway Administration may determine to be appropriate, including,but not limited to:
(a) withholding of payments to the Engineer under the contract until the Engineer complies and/or
(b) cancellation,termination, or suspension of the contract,in whole or in part.
(6) Incorporation of Provisions: The Engineer shall include the provisions of paragraphs(1)through(6)in every
subcontract, including procurements of materials and leases of equipment, unless exempt by the Regulations or
directives issued pursuant thereto. The Engineer shall take such action with respect to any subcontract or
procurement as the Texas Department of Transportation or the Federal Highway Administration may direct as a
means of enforcing such provisions including sanctions for noncompliance provided, however, that in the event
an engineer becomes involved in,or is threatened with,litigation with a subcontractor or supplier as a result of such
direction,the Engineer may request the Texas Department of Transportation to enter into such litigation to protect
the interests of the State; and,in addition,the Engineer may request the United States to enter into such litigation
