A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
PEARLAND, TEXAS, AUTHORIZING THE CITY MANAGER OR HIS
DESIGNEE TO ENTER INTO AN ENGINEERING CONTRACT WITH
S & B INFRASTRUCTURE, LTD. FOR ENGINEERING SERVICES
ASSOCIATED WITH THE STATE HIGHWAY 35 PROJECT.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract by and between the City of Pearland and
S & B Infrastructure, Ltd., a copy of which is attached hereto as Exhibit "A" and made a
part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to
execute and the City Secretary to attest a contract with S & B Infrastructure, Ltd., for
engineering services associated with the State Highway 35 Project.

CITY OF PEARLAND
STANDARD AGREEMENT
FOR ENGINEERING SERVICES
This Contract (Contract) is made between the City of Pearland, Texas
(hereinafter"City"), and S&B Infrastructure, Ltd., a Texas Limited Partnership,
(hereinafter "Engineer") as follows:
1. Summary of Contract Terms. The following information and referenced documents
shall be a part of this Contract:

Description of Project: Utility Relocations and Landscaping along State
Highway 35 from Beltway 8 to Fm 518 Pearland,
Brazoria County, Texas
Maximum Contract Amount: $378,649

Cost
2. Services and Payment.
Engineer shall perform services within the Standard of Care of the Engineering
profession as follows:
A. Engineer will furnish services to the City in accordance with the terms and
conditions specified in this Contract. Progress payments may be requested by
Engineer based on the amount of services completed. Payment for the services of
Engineer shall be due and payable upon submission of a statement for services to City.
Statements for services shall not be submitted more frequently than monthly. Any
applicable new taxes imposed upon services, expenses, and charges by any
governmental body after the execution of this Contract will be added to Engineer's
compensation.
If City fails to make any payment due Engineer for services and expenses within
thirty (30) days after receipt of Engineers statement for services therefore, the amounts
due Engineer will be increased at the rate of one percent (1%) per month from said
thirtieth (30th) day, and, in addition, Engineer may, after giving seven (7) days' written
notice to City, suspend services under this Contract until Engineer has been paid in full,
all amounts due for services, expenses, and charges.
B. All the Engineer's working drawings, plans, and specifications, if required under
this Contract, shall be sufficiently accurate, detailed, and complete so that competitive
bids for the work can be obtained and the improvements constructed.
C. Approval of the Engineer's work by the City shall not release the Engineer, its
employees, agents, or consultants, from the responsibility and liability for the accuracy
and competency of their designs, working drawings, and specifications, or other
documents and services.
D. Subject to Article 9 herein or as otherwise agreed, the Engineer shall promptly
correct errors in the Engineer's work, including errors discovered after final payment,
without receiving additional compensation.
E. The Engineer shall prepare a schedule of work identified as an attachment to
this agreement and submit it for review within 15 calendar days after receiving a Notice-
to-Proceed. The Work Schedule shall be submitted in digital and paper form, in the
Microsoft Project for Windows format. The Work Schedule shall contain a complete
schedule so that the Engineer's scope of services under this contract can be
accomplished within the specified time and contract cost. The Work Schedule will
provide specific work sequence and definite review times by the City and the Engineer
of the work performed. If the review time should take longer than shown on the work
schedule, through no fault of the Engineer, additional contract time will be authorized by
the City through a supplemental agreement, if requested by a timely written request
from the Engineer and approved by the City.
3. Term and Termination. This Contract term will begin and end on the dates shown
above. The City may terminate this Contract at any time during its term by giving
written notice to Engineer. The City shall pay the Engineer for all services rendered to
the date of termination.
4. Modifications. City without invalidating the Contract, may order changes within the
general scope of the work required by the Contract by altering, adding to and/or
deducting from the work to be performed. If any change under this clause causes an
increase or decrease in Engineer's cost of, or the time required for, the performance of
any part of the Services under the Contract, an equitable adjustment will be made by
mutual agreement and the Contract modified in writing accordingly.
5. Subcontracts. If, for any reason, at any time during the progress of providing
services, City determines that any subcontractor for Engineer is incompetent or
undesirable, City will notify Engineer accordingly and Engineer shall take immediate
steps for cancellation of such subcontract. Subletting by subcontractors shall be subject
to the same regulations. Nothing contained in the Contract shall create any contractual
relation between any subcontractor and City.
6. Ownership of Documents. All drawings, report data, and other project information
developed in the execution of the services provided under this Contract shall be the
property of the City upon payment of Engineer's fees for services. Engineer may retain
copies for record purposes. Owner agrees such documents are not intended or
represented to be suitable for reuse by City or others. Any rouse by City or by those
who obtained said documents from City without written verification or adaptation by
Engineer will be at City's sole risk and without liability or legal exposure to Engineer, or
to Engineer's independent associates or consultants, and City shall indemnify and hold
harmless Engineer and Engineer's independent associates and consultants from all
claims, damages, losses, and expenses including attorneys' fees arising out of or
resulting therefrom. Any such verification or adaptation will entitle Engineer to further
reasonable compensation. Engineer may reuse all drawings, report data, and other
project information in the execution of the services provided under this Contract in
Engineer's other activities. Any reuse by Engineer will be at Engineer's sole risk and
without liability or legal exposure to City, and Engineer shall indemnify and hold
harmless City from all claims, damages, losses, and expenses including attorneys' fees
arising out of or resulting therefrom.
7. Construction Representation. If required by the Contract, Engineer will furnish
Construction Representation according to the defined scope for these services.
Engineer will observe the progress and the quality of work to determine in general if the
work is proceeding in accordance with the contract documents. In performing these
services, Engineer will endeavor to protect City against defects and deficiencies in the
work of contractors; Engineer will report any observed deficiencies to City, however, it is
understood that Engineer does not guarantee the contractor's performance, nor is
Engineer responsible for the supervision of the contractor's operation and employees.
Engineer shall not be responsible for the means, methods, techniques, sequences or
procedures of construction selected by the contractor, or the safety precautions and
programs incident to the work of the contractor. Engineer shall not be responsible for
the acts or omissions of any person (except his own employees or agents) at the project
site or otherwise 3erforming any of the work of the project.
8. Insurance.
^. The Engineer shall procure and maintain for the duration of this Agreement,
insurance against claims for injuries to persons, damages to property, or any errors and
omissions relating to the performance of any work by the Engineer, its agents,
employees or subcontractors under this Agreement, as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate.
(3) Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of any one person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering owned,
hired, and non-owned vehicles, with minimum limits of $1,000,000 for
injury or death of any one person, $1,000,000 for each occurrence, and
$1,000,000 for property damage.
B. The Engineer shall include the City as an additional insured under the policies,
with the exception of the Professional Liability insurance and Workers' Compensation.
Certificates of Insurance and endorsements shall be furnished to the City before work
commences. Each insurance policy shall be endorsed to state that coverage shall not
be suspended, voided, canceled, reduced in coverage or in limits except after thirty (30)
days prior written notice by certified mail, return receipt requested, has been given to
the City. Upon request, certified copies of all insurance policies shall be furnished to the
City.
9. Indemnity. Engineer shall indemnify and hold the City, its officers, agents, and
employees, harmless from any claim, loss, damage, suit, and liability of every kind for
which Engineer is legally liable, including all expenses of litigation, court costs, and
attorney's fees, for injury to or death of any person, for damage to any property, or
errors in design, any of which are caused by the negligent act or omission of the
Engineer, his officers, employees, agents, or subcontractors under this Contract.
10. Assignment. Engineer shall not assign this Contract without the prior written
consent of the City.
11. Law Governing and Venue. This Contract shall be governed by the law of the State
of Texas and no lawsuit shall be prosecuted on this Contract except in a court of
competent jurisdiction located in Brazoria County, Texas.
12. Entire Contract. This Contract represents the entire Contract between the City and
the Engineer and supersedes all prior negotiations, representations, or contracts, either
written or oral. This Contract may be amended only by written instrument signed by
both parties. Purchase orders issued under this Agreement shall contain a statement
nullifying additional terms and conditions on the reverse side of the purchase order and
referencing this Agreement.
13. Conflicts in Contract Documents. The above provisions, other than the provisions
contained in any referenced contract document specified above, shall govern over any
conflicting provision contained in any referenced contract document specified above.
14. Dispute Resolution Procedures. The Engineer and City desire an expeditious
means to resolve any disputes that may arise between them regarding this Contract.
To accomplish this, the parties agree to mediation as follows: If a dispute arises out of
or relates to this Contract, or the breach thereof, and if the dispute cannot be settled
through negotiation, then the parties agree first to try in good faith, and before bringing
any legal action, to settle the dispute by mediation of a third party who will be selected
by agreement of the parties.

Utility Relocations and Landscaping along
State Highway 35 from Beltway 8 to Fm 5:[8
Pearland, Brazoria County, Texas
GENERAL:
The work to be furnished by S&B Infrastructure, Ltd. (Engineer) under this contract
shall consist of Engineering and Landscape Architectural services required for preparing
construction plans, specifications, and estimates (PS&E) for design of Waterline,
Sanitary Sewer And Lift Station Relocations, Landscaping, And Roadway
Illumination. This utility and landscape project is necessary for the proposed
reconstruction of SH 35 from BW 8 to Walnut Street by the Texas Department of
Transportation. These services shall be in accordance with City of Pearland (City)
design standards and in English units.
The Engineer shall furnish all equipment, materials, supplies, and incidentals as
needed to perform the services required.
The Engineer will perform all work efforts and prepare all deliverables in accordance
with the applicable/current requirements of the City's specifications, standards, and
manuals. Whenever possible, the City's standard drawings, standard specifications or
previously approved special provisions and/or special specifications will be used. If a
special provision and/or special specification must be developed for this project, it shall
be prepared in City format and, to the extent possible, incorporate references to
approved City test procedures.
The Engineer will provide traffic control in accordance with the Texas MUTCD when
performing any field activities associated with development of the PS&E package for
this contract.
The Engineer will develop and submit a work schedule with milestone activities and/or
deliverables identified.
BASIC SERVICES:
Design Phase:
The Engineer shall produce PS&E deliverables for waterline, sanitary sewer, and lift
station relocations. The Engineer shall meet with the City engineering and
maintenance staff at the beginning of the project to determine the design concepts for
the relocation of waterlines and sanitary sewer. The Engineer shall incorporate all
applicable data obtained from the geotechnical and survey subconsultants into the
PS&E package. The Engineer shall convert Microstation Metric Unit base mapping
computer files furnished by TxDoT to AutoCAD English Unit base mapping. The
Engineer shall provide standards for water line and sanitary construction and provide
details for the repair of appurtenances as a result of construction activities. The

Engineer will provide deliverables to the City at 30%, 60%, and 90% complete stages
to gather and incorporate comments as well as the 100%, or "Bid Ready" documents.
The Engineer shall assist the City with obtaining any outside construction permits. The
Engineer shall coordinate and obtain final signatures and approvals for the final set of
construction plans.

ADDITIONAL SERVICES:
The Engineer shall provide additional engineering services as described below in
connection with Base Map Conversion, Illumination (Street Lighting) and Traffic Control
PS&E deliverables, Construction Management, Reimbursable Expenses, and
Subconsultant Services and Administration,
Engineering:
Illumination Plans:
The Engineer will produce Illumination Layouts and Notes, Details, & Standards
sheets for illumination from Clear Creek to FM 518. The Consultant will coordinate
with the Texas Department of Transportation (TxDoT) and Houston Power & Light
(HL&P) in designing the roadway illumination.
Traffic Control Plans:
The Engineer shall develop traffic control plans and standards in accordance with
the Texas Manual on Uniform Traffic Control Devices (TxMUTCD) as follows:

Assist the City with obtaining TxDoT Permits
Traffic Control Plans (14 Sheets)
Traffic Control Standard for Lane Closure (~1 Sheet)

Construction Management (Semi-Resident):
The Engineer shall provide "In-house" Construction Management* services for the
duration of construction in addition to the Basic Construction Phase Services
described above including:
provide semi-resident on-site inspection (approximately 4-hours per working
day),
maintain project photograph books,
make changes to the drawings and specifications requested by the City that
are outside the original scope of the project,
maintain record "redlines" of field changes from the approved drawings,

prepare "Record" Drawings from Engineer's and construction contractor's
field redlines, and
provide the City with 2-sets of full size mylar reproducibles and one set of
electronic "TIFF" files on CD.
* Engineer will not use outside personnel for semi-resident construction
management without prior approval from the City.
Reimbursable Expenses:
The Engineer shall provide courier services, travel for Engineer's personnel to and
from official meetings and the construction site, and film processing for project
photographs. The total amount for all reimbursable expenses shall not exceed
$1,885 without prior authorization from the City.
Subconsultants:
The Engineer shall execute separate Subcontract Agreements with the
Subconsultant(s). Subconsultant invoice amounts plus 10% shall be included in the
Engineer's invoice the City. The City will not be billed directly by the
Subconsultant(s).
Geotechnical Services:
The Geotechnical Subconsultant, Aviles Engineering Corp. (AEC), shall provide
geotechnical information and soil analysis to the Consultant for the design of
waterline and sanitary sewer relocations. See Attachment "B" for a copy of AEC's
proposal.
The Engineer shall manage and coordinate the activities of AEC and assist in
determining the boring locations.
Surveying Services:
The Surveying Subconsultant, C.L. Davis & Company (CLD), shall provide
"verification" topographic field surveying services for the design of waterline and
sanitary sewer relocations as instructed by the Engineer. See Attachment "C" for a
copy of CLD's proposal.
The Engineer will manage and coordinate the activities of CLD to limit the amount
of surveying to those areas where conflicts appear likely or where a visual site
inspection with the surveyor indicates existing conditions deviate significantly from
the preliminary plans. The Engineer will process the field surveying data and verify
that the survey information meets design requirements.

Landscape Architecture:
The Landscape Architecture Subconsultant, SWA Group (SWA), shall provide
schematic design, Phase I Services, as defined under PROCEDURE below for the
following:
Pedestrian pavements,
Improvements to the existing TxDOT bridge,
Street light standards (layout by Engineer),
Landscape planting, and
Static level detention ponds, if directed by Engineer.
The Engineer will coordinate and manage the activities of SWA and provide SWA
with English unit, AutoCAD base mapping.
The goal of this phase of work is to determine a conceptual landscape design that
can be documented in Phase II Services, not a part of this Proposal.
PROCEDURE
Schematic Design
Based upon the approved program and the construction budget provided by the
Engineer, SWA shall prepare schematic design drawings defining the general
concept of landscape architectural design and development and a budgetary
estimate of probable construction cost for that scope of work based on the concept.
This will include the following tasks:
A. SWA will attend a kick-off meeting with the Engineer to obtain the program
requirements and construction budget.
Bo SWA will undertake a site visit to observe the existing conditions. SWA will
also document the existing conditions in photographs.
C. Based upon the site inventory, SWA will prepare a site analysis to document
the site opportunities and constraints.
D. SWA will prepare up to three alternative approaches for the landscape
development. Each alternative will include a typical section, a sample
schematic in plan review format. A schematic level Statement of Probable
Construction Cost will be prepared for each.
E. SWA will attend a meeting with the Engineer and City to review the
alternative approaches and cost estimates. SWA will receive direction from
the Engineer and City for documentation of the preferred approach. This
may be one of the alternatives or a combination of elements from several.

F. Based upon the direction given by the Engineer and City, SWA will further
develop and document the preferred alternative. This will include a plan and
section/elevations that describe the design intent.
(3. SWA will update the schematic level Statement of Probable Construction
Cost for the preferred alternative.
H. SWA will attend a second meeting with the Engineer and City to review the
drawings and updated costs.
Development Budgets
A. SWA understands the landscape architecture construction budget for this
project to be $180,000 - $200,000.
Design Approval
Engineer shall designate a person responsible for the design direction to SWA for
this project with the authority for design approval. In the event that the design, as
approved by Engineer is rejected by City, and re-design is required, such re-design
services shall be compensated as Extra Services.
Additional meetings shall be billed as Extra Services. Travel expenses shall be
billed as Reimbursable Expenses.
Exclusions to Scope of Services
Engineer shall provide the following information or services as required for
performance of the work. SWA assumes no responsibility for the accuracy of such
information or services and shall not be liable for error or omissions therein. Should
SWA be required to provide services in obtaining or coordinating compilation of this
information, such services shall be charged as Extra Services.
A. Topography and boundary surveys in digital format.
B. Soil testing and/or engineering.
C. Existing site engineering and utility base information.
D. Engineering other than that provided within the Scope of Services..
E. Digital base sheet information in AutoCAD Release 2000 format including
existing conditions, proposed engineering improvements, and other proposed
improvements.
F. Design Development, Construction Documentation, Bidding & Negotiating, and
Construction Phase Services.
Fees and Terms
Services described above shall be provided on an hourly basis not to exceed
$20,000 (twenty thousand dollars).

INTRODUCTION
As you requested, Avil6s Engineering Corporation (AEC) is pleased to submit this revised proposal for a
geoteclmical investigation for the above referenced utility relocation project for the City of Pearland, located
along SH 35 from BW 8 to FM 518 in Pearland, Texas.
PROJECT DESCRIPTION
The project will consist of water and sewer line relocation in the area between the future edge of paving and
the proposed ROW of SH 35. The proposed water and sewer lines will be 12- and 16~in diameter pipes. The
water line alignment is about 13,000 feet long. The project will also include a lift station up to 15 feet deep.
We understand that the water and sewer line inverts will be from about 5 to 12 feet below the existing
pavement. According to the drawings provided to us, some manholes will be constructed at intervals ranging
from about 20 to 500 feet along the alignment. We anticipate that the project will be constructed using open-
cut; we assume that tunneling will not be required for this project.
SC PE 0 ERVICES
As you requested, the field exploration will consist of drilling and sampling: 8 borings to a depth of 10 ft.
3 borings to a depth of 8 ft., and 3 borings to a depth 16 ft. along the alignment and one boring to a depth
of 25 ft. near the existing lift station. We recommend that the boring locations be surveyed prior to
mobilization of the drill rig and crew. AEC's field engineer will perform a site reconnaissance and coordinate
with the Texas One Call System to have the existing underground utilities checked. We request that you
provide us with drawings showing any underground utilities or structures to further assist us in finalizing the
boring locations.
Undisturbed samples will be obtained in cohesive soils and Standard Penetration Tests performed on granular
soils. Groundwater depths (if encountered) will be recorded in the borings during and upon completion of
drilling. Representative portions of all samples will be sealed, packaged and transported to our laboratory.

We will install 3 piezometers along the alignment; one will be at the lift station boring, one in the 16-ft deep
boring at the end of the alignment and the third in the 10-ft deep boring at the other end of the alignment.
We will monitor the groundwater levels twice over a one month period. The piezometers will be left in-place
for future monitoring by others.
Laboratory testing will consist of Atterberg limits, minus No.200 sieve, moisture contents, dry density,
unconfined compressive strength, and triaxial shear strength (unconsolidated-undrained).
We will analyze the field and laboratory data and provide geotechnical guidelines for:
· temporary open-cut excavations for the water and sewer lines (assuming open-cut excavation),
· OSHA excavation criteria,
· lateral pressures for excavations and permanent buried structures (lift station and man_holes),
· uplift resistance criteria for buried slxuctures,
· foundation support for buried structures,

Our findings and the above recommendations will be presented in a geotechnical report which will also
contain a boring location plan, logs of borings and summary of the results; five copies will be submitted.
ESTIMATED FEE
The estimated fee for the services described above is $15,002 as itemized in the attachment. We will invoice
our services on a lump sum basis. Please inform ns if our project description is incomplete or inaccurate so
that we may revise the scope, fee and schedule if necessary.
The fee includes one mob/demob for a truck-mounted drill rig and a site reconnaissance for AEC's field
engineer. The fee assumes the site is open and accessible to truck-mounted drilling equipment and that our
services will be performed in 2001. Surveying, entry/access permits, standby time, clearing, fault evaluation,
working with hazardous materials and attendance at meetings are not included in the above fee. Pavement
coring and patching are included to the extent shown on the attachment; additional coring and patching will
be invoiced at the unit rates in the attachment.
Changes in project details described in this proposal or additional details that are provided to us later may
result in additional fees if new or reviaed exploration, testing or analyses are required as a result. We
therefore request that you inform us about any design details that are proposed so that we may incorporate
the changes at this time and make necessary revisions to the proposal, schedule and fee, if applicable.
