A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO
ENTER INTO AN AMENDMENT OF A DEVELOPMENT AGREEMENT
WITH SHS PARTNERS, LTD.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain Amendment to Development Agreement by and between
the City of Pearland and SHS Partners, Ltd., a copy of which is attached hereto as Exhibit
"A" and made a part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest said Amendment to Development Agreement with SHS
Partners, Ltd.

Exhibit "A"
OVERSIZE AGREEMENT
This Agreement is entered into this 10 day of December , 2012, by and
between the CITY OF PEARLAND, TEXAS, (hereinafter "City"), and SHS PARTNERS, LTD.,
a Texas limited partnership (hereinafter "Developer").
WHEREAS, Developer owns and/or is developing property which will be served by the proposed
improvements shown on Exhibit"A" attached hereto (the "Developer's Property"); and
WHEREAS, Developer plans to construct sanitary sewer improvement (hereinafter
"Improvements"), necessary for the City to provide services to Developer's Property and to
dedicate said Improvements to the City for operation and maintenance; and
WHEREAS, City desires to cooperate with Developer to provide sanitary sewer service to
Developer's Property, and at the same time, increase and improve City's capacity to serve other
properties in the general area; and
WHEREAS, City and Developer desire an agreement to set forth their respective responsibilities
with regard to providing the Improvements.
WITNESSETH :
NOW THEREFORE, in consideration of the foregoing premises and other good and valuable
consideration the receipt and sufficiency of which is hereby acknowledged, it is hereby agreed as
follows:
1. Improvements
a. Developer shall enter into one or more contracts to design and install the
Improvements in accordance with Exhibit"A"attached hereto.
b. To serve additional tracts,the City has requested and Developer agrees to oversize the
Improvements as described in Exhibit"A."
c. The estimated cost for the Improvements to serve Developer's requirements is
$1,775,816.76. The estimated cost for the oversized Improvements as requested by
the City is estimated to be $2,455,425.83. Therefore, the total estimated cost to be
reimbursed by City to Developer is $679,609.07 ("City's Cost") as shown on Exhibit
"A" attached hereto. Reimbursement shall be made in accordance with Section 4
hereof.
d. The Improvements may be built in Phases and in accordance with the schedule
described in Exhibit"B" attached hereto.
2. Upon approval of this Agreement Developer shall contract for the engineering costs for
the design of the various Phases of the Improvements. The scope and fees of the contract
shall be reviewed and approved by Developer and City prior to execution of the contract.
3. Upon approval of the plans and specifications for the Improvements by the City,
Developer's engineers shall obtain competitive line item bids in accordance with Local
Government Code Chapter 252 for the construction of the various Phases of the
Improvements. The bids shall be reviewed by Developer and City, and Developer shall
award contracts to the successful bidder upon approval of the bid by Developer and the
City. Developer may reject any bid before submitting same to the City for approval.
City reserves the right to reject any and all bids for the construction of the Improvements
within ten (10) days following submission of the bids to the City for review. If the City
fails to reject any bid during the ten (10) day review period, said bid shall be deemed
approved by the City.
4. Following City's approval of the bids for each Phase of the Improvements, Developer
shall award a contract to the successful bidder and issue a notice to proceed to the
contractor for the construction of the Improvements within thirty (30) days following the
approval of the bids (subject to any delays caused by the contractor's failure to sign the
contract or produce any bonds or insurance certificates in a timely manner) and shall
cause the contractor to complete the Improvements substantially in accordance with the
plans and specifications. If Developer shall fail to cause construction of any Phase to
commence as required in this section, the City, following thirty (30) days' written notice
to Developer, shall have the right to terminate this Agreement without any further
liability to developer except for the Phases of the Improvements that have been
constructed or that are in the process of being constructed. Developer's engineer and the
City Engineer or designee shall monitor the progress and workmanship of the contractor.
Developer shall advance the funds necessary to pay the contractor for the work
performed. Developer shall cause the City to be named as an additional obligee under
any performance bond obtained by Developer to secure the construction of the
Improvements.
5. The City shall reimburse the Developer for the City's Cost on a monthly percentage-
completed basis in accordance with the following procedure:
a. Engineering Costs
i. Developer may submit to the City no more often than monthly its engineering,
surveying, and soil testing invoices (collectively, "Engineering Costs") along
with a letter from Developer stating the portion of the costs enumerated in the
submittal that is allocable to the City and has been completed, along with the
City's cost related hereto(collectively, an "Invoice").
ii. Within ten (10) days following a receipt of the Invoice, the City will review
the progress of the engineering work associated with the Engineering Costs.
iii. Within twenty (20) days following the City's review, the City shall approve
the content of an Invoice, or disapprove in writing, stating the specific reasons
therefor. Such approval shall not be unreasonably withheld. If the City fails
to reject any Invoice during the twenty (10) day review period, said Invoice
shall be deemed approved by the City.
iv. Upon the City's approval of an Invoice, the City shall disburse to Developer
the City's portion applicable to the Engineering Costs as set forth in the
Invoice.
b. Construction Costs
i. In the event dewatering is encountered in the field for any Phase of the
Improvements, the Geotechnical Engineer shall determine the depth at which
the dewatering and wet sand construction is required. The City shall not be
responsible for the dewatering and wet sand construction cost if the
geotechnical engineer determines that the dewatering and wet sand
construction items would have been required in the absence of the City's
participation in oversizing the Improvements. The Developer shall not be
responsible for the dewatering and wet sand construction cost if the
Geotechnical Engineer determines that the dewatering and wet sand
construction items would not have been required in the absence of the City's
participation in oversizing the Improvements.
ii. Developer may submit to the City no more often than monthly its contractor's
draw request along with a letter from Developer's engineer stating the portion
of the Improvements enumerated in the draw request that is allocable to the
City and that have been constructed, along with the City's Cost relating
thereto (collectively, a"Request").
iii. Within five (5) days following a receipt of a Request, the City shall inspect
the progress of construction of the Improvements with respect to the City's
Cost.
iv. Within ten (10) days following the City's inspection, the City shall approve
the content of a Request, or disapprove in writing, stating the specific reasons
therefor. Such approval shall not be unreasonably withheld. If the City fails
to reject any Request during the ten (10) day review period, said Request shall
be deemed approved by the City.
v. Upon the City's approval of a Request, the City shall disburse to Developer
the portion of the City's Cost applicable to the construction of the
Improvements as set forth in the Request, less any percentage of retainage
pursuant to the terms of the contractor's contract with Developer, all of which
retainage shall be disbursed by the City along with the final disbursement
pursuant to the final Request, or at such earlier time as the City shall
determine.
c. The City shall not be obligated to reimburse Developer for more than 105% of the
estimated City's Cost, unless the City Council shall approve such increase.
6. The Improvements shall be inspected, accepted, maintained and warranted by the parties,
as applicable, in accordance with the City's Unified Development Code [the"UDC"].
7. The initial term of this Agreement shall be for a period of forty-eight (48) months
("Initial Term"), commencing on the 1 1 day of 17.3v , 2012, and terminating on
the ( 1-day of , 20 IS, provided, however, that this Agreement shall be
automatically be renewed in one (1) year increments ("Renewal Terms"). Following the
Initial Term, either party may terminate this Agreement during any Renewal Term by
providing the other party ninety(90)days written notice.
8. This Agreement may only be amended, modified, or supplemented by written agreement
and signed by both parties.
9. No assignment by a party hereto of any rights under or interests in this Agreement will be
binding on another party hereto without the written consent of the party sought to be
bound; and specifically but without limitation moneys that may become due and moneys
that are due may not be assigned without such consent (except to the extent that the effect
of this restriction may be limited by law), and unless specifically stated to the contrary in
any written consent to an assignment no assignment will release or discharge the assignor
from any duty or responsibility under this Agreement. Notwithstanding the foregoing, in
the event Developer sells a portion of Developer's Property to Meritage Homes of Texas,
LLC ("Meritage") and Meritage agrees to assume Developer's obligations hereunder in
writing, then the City will consent to the assignment by Developer of its rights hereunder
to Meritage.
10. Nothing herein is intended to supersede or waive any City ordinance or regulation
pertaining to such construction.
11. Whenever possible, each provision of this Agreement shall be interpreted in such manner
as to be effective and valid under applicable law, but if any provision of this Agreement
is prohibitive or invalid under applicable law, such provision shall be ineffective to the
extent of such provision or invalidity, without invalidating the remainder of such
provision or the remaining provisions of this Agreement.
12. This Agreement shall be construed and enforced in accordance with and governed by the
laws of the State of Texas.
13. This Agreement and all obligations created hereunder shall be performable in
Brazoria and Harris Counties, Texas.
14. To accomplish execution of this Agreement, it may be executed in multiple counterparts.
15. DEVELOPER HEREBY RELEASES, ACQUITS, AND FOREVER DISCHARGES
THE CITY,ITS OFFICERS, AGENTS, EMPLOYEES, SUCCESSORS, AND
ASSIGNS FROM ANY AND ALL CLAIMS, DEMANDS, RIGHTS OR CAUSES
OF ACTION OF WHATSOEVER CHARACTER OR NATURE, INCLUDING
ATTORNEYS' FEES, ARISING FROM OR BY REASON OF ANY AND ALL
BODILY OR PERSONAL INJURIES, INCLUDING DEATH AND MENTAL
ANGUISH, DAMAGE TO PROPERTY AND THE CONSEQUENCES THEREOF
WHICH MAY BE SUSTAINED BY CITY, ITS HEIRS, EXECUTORS,
ADMINISTRATORS, SUCCESSORS, OR ASSIGNS AS A RESULT OF THE
NEGLIGENT DESIGN BY DEVELOPER OF THE IMPROVEMENTS
REFERENCED ABOVE, UNLESS CAUSED IN WHOLE OR IN PART BY THE
NEGLIGENCE OF THE CITY, ITS OFFICERS, AGENTS, EMPLOYEES,
SUCCESSORS, OR ASSIGNS. THE PROVISIONS OF THIS SECTION SHALL
SURVIVE THE TERMINATION, EXPIRATION, OR CANCELLATION OF
THIS AGREEMENT.
16. The Parties agree that any suit arising out of or related to this Agreement shall be filed in
Brazoria or Harris Counties, Texas.
17. All notices which are required or may be given pursuant to this Agreement shall be in
writing and shall be sufficient if delivered personally or by first class mail, postage
prepaid, return receipt requested, or by a nationally recognized courier, to the parties and
their attorneys at the addresses set out below or such other addresses as the parties or
their attorneys may hereafter notify one another:

Notice delivered in accordance with the terms hereof shall be effective upon receipt.
18. The parties hereby agree that this Agreement constitutes an agreement for providing
goods and/or services to the City which is subject to the provisions of Subchapter I of
Chapter 271 of the Local Government Code and any successor statute(s) (the"Code"). In
accordance with Sections 271.152 and 271.153 of the Local Government Code, and only
to the extent limited by the provisions of this section of this Agreement, the City hereby
waives, to the maximum extent allowed by law, any constitutional, statutory or common
law right to sovereign or governmental immunity from suit and expressly consents to be
sued as provided by the Code. The parties agree that this section does not waive the
City's sovereign immunity to suit for negligence or intentional torts.
