A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER TO ENTER INTO A
DEVELOPMENT AGREEMENT WITH SOWELL PROPERTY PARTNERS-
WALNUT BEND, L.P., A TEXAS LIMITED PARTNERSHIP, FOR TRAFFIC
IMPROVEMENTS ASSOCIATED WITH THE DEVELOPMENT OF THE
PARKS AT WALNUT BEND SUBDIVISION.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain Development Agreement, by and between the City of
Pearland and Sowell Property Partners-Walnut Bend, L.P., a Texas limited partnership,
a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes,
is hereby authorized and approved.
Section 2. The City Manager or his designee is hereby authorized to execute,
and the City Secretary to attest, the attached agreement and counterparts thereof.

This Agreement is entered into this ~,~'u''t day of ~g~.l~,. ,2000, by and between the CITY OF
PEARl.AND, TEXAS, (hereinafter "City"), and SOWELL PROPERTY PARTNERS-WALNUT BEND, L.P.,
a Texas limited partnership (hereinafter "Developer").
WHEREAS, Developer intends to develop a certain parcel of land containing 85.7470 acres, more or less
(the "Property), more fully described on Exhibit "A" attached hereto and incorporated herein by reference;
WHEREAS, Developer has submitted and received approval of a preliminary plat for the Property, also
known as the proposed Parks At Walnut Bend subdivision, located in Brazoria County Municipal Utility
District No. 17, such land being wholly located within the City of Pearland generally located West of
Veterans Drive, South of Walnut Street and North of the Centennial Park;
WHEREAS, In connection with development of the Land and in accordance with the City's
Comprehensive Plan, Developer plans to dedicate 9.2427 acres of Land for the right-of-way for Veterans
Drive, Walnut Street and Fire Road;
WHEREAS, City has recently completed a traffic impact analysis of the Property at the intersection of
Walnut Street and Veterans Road and the future extension of Fire Rd. ("Traffic Improvements");
WHEREAS, City and Developer desire an agreement to set forth their respective responsibilities with
regard to providing cost participation in the Traffic Improvements.
WITNESSETH:
NOW THEREFORE, in consideration of the foregoing premises and other good and valuable
consideration the receipt and sufficiency of which is hereby acknowledged, it is hereby agreed as follows:
1. Based on an engineering traffic study performed by Traffic Data & Associates, Inc. ("TDAI"),
improvements to the intersection of Veterans Drive at Walnut Street are necessary.
2. The impact of the development of the Property at the Veterans Drive and Walnut St. intersection
(to the north of proposed development) and the future extension of Fire Rd. (to the south of
proposed development) has been analyzed by TDAI for the City and Traffic Engineers, Inc.
("TEl") for the Developer.
3. The majority of the traffic volume associated with the Property wilt travel through the intersection of
Veterans Drive and Walnut St., therefore the Developer will be required to contribute to the City
for the required Traffic Improvements prior to acceptance of a Final Plat.
4. Based upon the analysis of TDAI and TEl, the estimated traffic impact from the Property results in
a cost share by the Developer of $18,620. Developer and City agree that prior to acceptance of
the Final Plat for any portion of the Properly, Developer shall pay to the City $25,000 for the
impacts on Veterans Drive, Walnut St., and the future extension of Fire Rd. and shall dedicate all
of the Right of Way for Veterans Drive, Walnut St. and Fire. Rd.
5. Developer's obligations hereunder are specifically contingent upon Developer's acquiring fee
simple title to the Land.
6. The initial term of this Agreement shall be for a period 40~ two (2) yea.~.s, commencing on ~e

which time, this agreement shall be automatically renewed in one (1) year increments. Provided,
however, notwithstanding the date set forth herein as the expiration date of this agreement, if any
construction by either Developer or City of any improvements contemplated in this Agreement
has commenced on or before said expiration date, then this Agreement shall automatically extend
as necessary to allow for the completion of said construction.
7. This agreement may only be amended, modified, or supplemented by written agreement and
signed by both parties.
8. No assignment by a party hereto of any rights under or interests in this agreement will be binding
on another party hereto without the written consent of the party sought to be bound; and
specifically but without limitation moneys that may become due and moneys that are due may not
be assigned without such consent (except to the extent that the effect of this restriction may be
limited by law), and unless specifically stated to the contrary in any written consent to an
assignment no assignment will release or discharge the assignor from any duty or responsibility
under this agreement.
9. With the exception of the City's waiver of the requirement for the Developer to construct the Fite
Road extension through his Property, nothing herein is intended to supersede or waive any City
ordinance or regulation pertaining to such construction.
10. Whenever possible, each provision of this agreement shall be interpreted in such manner as to
be effective and valid under applicable law, but if any provision of this agreement is prohibitive or
invalid under applicable law, such provision shall be ineffective to the extent of such prevision or
invalidity, without invalidating the remainder of such provision or the remaining provisions of this
agreement.
11. This agreement shall be construed and enforced in accordance with and governed by the laws of
the State of Texas.
12. This agreement and all obligations created hereunder shall be performable in Brazoria County,
Texas.
13. Resolution No. RJ~°-%~- is incorporated herein and made a part of this Development Agreement
for all purposes.
14. To accomplish execution of this agreement, it may be executed in multiple counterparts.
22. DEVELOPER HEREBY RELEASE, ACQUIT, AND FOREVER DISCHARGE THE CITY, ITS
OFFICERS, AGENTS, EMPLOYEES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL
CLAIMS, DEMANDS, RIGHTS OR CAUSES OF ACTION OF WHATSOEVER CHARACTER
OR NATURE, INCLUDING ATTORNEYS' FEES, ARISING FROM OR BY REASON OF ANY
AND ALL BODILY OR PERSONAL INJURIES, INCLUDING DEATH AND MENTAL ANGUISH,
DAMAGE TO PROPERTY AND THE CONSEQUENCES THEREOF WHICH MAY BE
SUSTAINED BY DEVELOPER, ITS HEIRS, EXECUTORS, ADMINISTRATORS,
SUCCESSORS, OR ASSIGNS AS A RESULT OF THE CONSTRUCTION BY DEVELOPER OF
THE IMPROVEMENTS REFERENCED ABOVE, UNLESS CAUSED IN WHOLE OR IN PART
BY THE NEGLIGENCE OF THE CITY,' ITS OFFICERS, AGENTS, EMPLOYEES,
SUCCESSORS, OR ASSIGNS. DEVELOPER SHALL KEEP AND HOLD HARMLESS THE
CITY, ITS OFFICERS, AGENTS, EMPLOYEES, SUCCESSORS, AND ASSIGNS FROM ANY
AND ALL COST, LIABILITY, DAMAGE OR EXPENSE OF ANY NATURE AND HOWSOEVER
CAUSED, INCLUDING ATTORNEYS' FEES, CLAIMED OR RECOVERED BY ANYONE BY
REASON OF INJURY TO OR DEATH OF ANY PERSON OR PERSONS OR DAMAGE TO OR
DESTRUCTION OF PROPERTY CAUSED BY OR RESULTING FROM THE NEGLIGENCE OF
DEVELOPER, THEIR AGENTS, EMPLOYEES, SUCCESSORS, OR ASSIGNS ARISING IN
CONNECTION WITH ~UCH CONSTRUCTION BY DEVELOPER. THE PROVISIONS OF THIS

Review of the traffic access value associated with the proposed 250 single-family dwelling units (The Parks at Walnut
Bend Subdivision) located on the southwest quadrant of the intersection of Walnut Road and Veterans Drive indicates
the following:
1. In general, the interconnection of collector streets to local streets is a desirable transportation policy in order to
provide for the efficient movement of traffic. The design of communities with multiple access points allows
for enhanced public safety, by providing alternate access for emergency vehicles if one access route is blocked.
This design policy also allows for more efficient movement of other traffic, including service, delivery,
and other municipal vehicles such as school buses.
Factors that affect accessibility ofa site are its geographic location with respect to other areas of activity, the
efficiency of the roadways system serving the site, and planned roadway improvements. Roadway systems
efficiency is a function of traffic volumes and available roadway capacity.
The directions from which the vehicles will approach and depart the site depends on the efficiency and
direcmess of the roadway network surrounding the site, the distribution of population and employment within
the market area, and the location of competing land uses within the market area.
The analysis performed for this development did not account for the background traffic at the key intersection
that provides access to the proposed subdivision. Field observations performed at the key intersection (Walnut
Road at Veteran Drive) during the critical AM and PM peak, and 24-hour traffic counts collected along Walnut
Road and Veteran Drive indicates that this intersection is in need of traffic control enhancement in order to
accommodate any additional traffic volumes. Attached are recent traffic counts collected at this intersection.
Analysis of these counts will further demonstrate the need for intersection improvements.
2. This review concurs with the long-term need of Fire Road extension. In the interim, the applicant should
dedicate right of way for future extension of Fire Road, and participate equitably towards the realignment of Veterans
Drive and intersection improvements at Walnut Road and Veterans Drive.

Dear Mr. Cornelius:
This is in reference to your request to determine the traffic access value that would be added to your project,
Parks at Walnut Bend Subdivision, by the extension of Fite Road. I have included below a brief analysis of
the expected traffic generation and distribution.
Analysis
The purpose of this analysis is to determine the traffic access value that would be added to the Parks at
Walnut Bend Subdivision if Fite Road were to be extended from Mclean to Veterans.
The Parks at Walnut Bend Subdivision will consist of 250 single family lots in the southwest quadrant of the
intersection of Veterans and Walnut.
Traffic generated by the subdivision will have destinations skewed toward the north and east due to its
location with respect to surrounding community services. There are few services to the west. The
subdivision will have streets connecting to both Walnut and Veterans that will ultimately give residents
access to FM 518 and SH 35. Walnut and Veterans will provide immediate access for east-west and north-
south trips. FM 518 and SH 35 will provide east-west and north-south access for longer trips.
It is anticipated that the development will produce 2,500 trips per day. These trips will be distributed first to
Walnut and Veterans with a small percentage to Apple Springs Drive (an internal collector street). It is
estimated that 75% of the external trips will have destinations to the north (40%), east (30%), and west (5%)
from the development using Walnut and Veterans, 5% of the trips will use Apple Springs Drive to the west,
and 20% of the trips are expected to use Veterans to the south.
If Fite Road were extended to Veterans, it is anticipated that no more than 5% (125 vehicles per day) of the
traffic generated by the subdivision would use Fite Road. There is no street that would intersect Fite road

from the subdivision, there is a very low attraction rate toward the west, and Walnut appears to be more than
adequate to handle the modest increase in traffic that would be generated by the subdivision.
Summary
While the extension of Fite Road appears to be a good long range improvement for the area, the extension is of no
significant value to the subdivision that you are developing and does not appear to be needed in the short term.
