R2001.62 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO ENTER INTO A CONTRACT WITH CARTER-BURGESS, INC. FOR ENGINEERING SERVICES ASSOCIATED WITH THE WASTEWATER MASTER PLAN FOR THE WESTERN FM 518 CORRIDOR. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain contract by and between the City of Pearland and Carter-Burgess, Inc., a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest a contract with Carter-Burgess, Inc., for engineering services associated with the Wastewater Master Plan for the Western FM 518 Corridor. COKER CITY ATTORNEY CITY OF PEARLAND STANDARD AGREEMENT FOR ENGINEERING SERVICES This Contract (Contract) is made between the City of Pearland, Texas (hereinafter "City"), and Carter & Burgess, Inc., (hereinafter "Engineer") as follows: 1. Summary of Contract Terms. The following information and referenced documents shall be a part of this Contract: Engineer: Carter & Burgess, Inc. Services and Payment. Engineer shall perform services within the Standard of Care of the Engineering profession as follows: A. Engineer will furnish services to the City in accordance with the terms and conditions specified in this Contract. Progress payments may be requested by Engineer based on the amount of services completed. Payment for the services of Engineer shall be due and payable upon submission of a statement for services to City. Statements for services shall not be submitted more frequently than monthly. Any applicable new taxes imposed upon services, expenses, and charges by any governmental body after the execution of this Contract will be added to Engineer's compensation. If City fails to make any payment due Engineer for services and expenses within thirty (30) days after receipt of Engineer's statement for services therefore, the amounts due Engineer will be increased at the rate of one percent (1%) per month from said thirtieth (30th) day, and, in addition, Engineer may, after giving seven (7) days' written notice to City, suspend services under this Contract until Engineer has been paid in full, all amounts due for services, expenses, and charges. B. All the Engineer's working drawings, plans, and specifications, if required under this Contract, shall be sufficiently accurate, detailed, and complete so that competitive bids for the work can be obtained and the improvements constructed. C. Approval of the Engineer's work by the City shall not release the Engineer, its employees, agents, or consultants, from the responsibility and liability for the accuracy and competency of their designs, working drawings, and specifications, or other documents and services. D. Subject to Article 9 herein or as otherwise agreed, the Engineer shall promptly correct errors in the Engineer's work, including errors discovered after final payment, without receiving additional compensation. E. The Engineer shall prepare a schedule of work identified as an attachment to this agreement and submit it for review within 15 calendar days after receiving a Notice- to-Proceed. The Work Schedule shall be submitted in digital and paper form, in the Microsoft Project for Windows format. The Work Schedule shall contain a complete schedule so that the Engineer's scope of services under this contract can be accomplished within the specified time and contract cost. The Work Schedule will provide specific work sequence and definite review times by the City and the Engineer of the work performed. If the review time should take longer than shown on the work schedule, through no fault of the Engineer, additional contract time will be authorized by the City through a supplemental agreement, if requested by a timely written request from the Engineer and approved by the City. 3. Term and Termination. This Contract term will begin and end on the dates shown above. The City may terminate this Contract at any time during its term by giving written notice to Engineer. The City shall pay the Engineer for all services rendered to the date of termination. 4. Modifications. City without invalidating the Contract, may order changes within the general scope of the work required by the Contract by altering, adding to and/or deducting from the work to be performed. If any change under this clause causes an increase or decrease in Engineer's cost of, or the time required for, the performance of any part of the Services under the Contract, an equitable adjustment will be made by mutual agreement and the Contract modified in writing accordingly. 5. Subcontracts. If, for any reason, at any time during the progress of providing services, City determines that any subcontractor for Engineer is incompetent or undesirable, City will notify Engineer accordingly and Engineer shall take immediate steps for cancellation of such subcontract. Subletting by subcontractors shall be subject to the same regulations. Nothing contained in the Contract shall create any contractual relation between any subcontractor and City. 6. Ownership of Documents. All drawings, report data, and other project information developed in the execution of the services provided under this Contract shall be the property of the City upon payment of Engineer's fees for services. Engineer may retain copies for record purposes. Owner agrees such documents are not intended or represented to be suitable for reuse by City or others. Any reuse by City or by those who obtained said documents from City without written verification or adaptation by Engineer will be at City's sole risk and without liability or legal exposure to Engineer, or to Engineer's independent associates or consultants, and City shall indemnify and hold harmless Engineer and Engineer's independent associates and consultants from all claims, damages, losses, and expenses including attorneys' fees arising out of or resulting therefrom. Any such verification or adaptation will entitle Engineer to further reasonable compensation. Engineer may reuse all drawings, report data, and other project information in the execution of the services provided under this Contract in Engineer's other activities. Any reuse by Engineer will be at Engineer's sole risk and without liability or legal exposure to City, and Engineer shall indemnify and hold harmless City from all claims, damages, losses, and expenses including attorneys' fees arising out of or resulting therefrom. 7. Construction Representation. If required by the Contract, Engineer will furnish Construction Representation according to the defined scope for these services. Engineer will observe the progress and the quality of work to determine in general if the work is proceeding in accordance with the contract documents. In performing these services, Engineer will endeavor to protect City against defe~ts and deficiencies in the work of contractors; Engineer will report any observed deficiencies to City, however, it is understood that Engineer does not guarantee the contractor's performance, nor is Engineer responsible for the supervision of the contractor's operation and employees. Engineer shall not be responsible for the means, methods, techniques, sequences or procedures of construction selected by the contractor, or the safety precautions and programs incident to the work of the contractor. Engineer shall not be responsible for the acts or omissions of any person (except his own employees or agents) at the project site or otherwise performing any of the work of the project. 8. Insurance. A. The Engineer shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors and omissions relating to the performance of any work by the Engineer, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers' Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. B. The Engineer shall include the City as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers' Compensation. Certificates of Insurance and endorsements shall be furnished to the City before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, reduced in coverage or in limits except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City. Upon request, certified copies of all insurance policies shall be furnished to the City. 9. Indemnity. Engineer shall indemnify and hold the City, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which Engineer is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the Engineer, his officers, employees, agents, or subcontractors under this Contract. 10. Assignment. Engineer shall not assign this Contract without the prior written consent of the City. 11. Law Governing and Venue. This Contract shall be governed by the law of the State of Texas and no lawsuit shall be prosecuted on this Contract except in a court of competent jurisdiction located in Brazoria County, Texas. 12. Entire Contract. This Contract represents the entire Contract between the City and the Engineer and supersedes all prior negotiations, representations, or contracts, either written or oral. This Contract may be amended only by written instrument signed by both parties. Purchase orders issued under this Agreement shall contain a statement nullifying additional terms and conditions on the reverse side of the purchase order and referencing this Agreement. 13. Conflicts in Contract Documents. The above provisions, other than the provisions contained in any referenced contract document specified above, shall govern over any conflicting provision contained in any referenced contract document specified above. 14. Dispute Resolution Procedures. The Engineer and City desire an expeditious means to resolve any disputes that may arise between them regarding this Contract. To accomplish this, the parties agree to mediation and arbitration as follows: A. Mediation. If a dispute arises out of or relates to this Contract, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before bringing any legal action, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. B. Arbitration. If the parties cannot resolve by mediation any claim or dispute relating to this Contract and the claim or dispute involves a sum that exceeds $100,000, then, upon the demand of either party, whether before or after the filing of any suit, any controversy or claim arising out of or related to this Contract shall be settled by binding arbitration in accordance with the Federal Arbitration Act and the Commemial Arbitration Rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. DEFINITION OF PROJECT The City of Pearland (City or Client) has requested that Carter & Burgess, Inc. (Engineer) provide a contract for Engineering services necessary to assist the Client with the planning of wastewater services for the portion of the City bounded by CR 403 to the North, MUD 6 to the South, SH 285 to the West, and Cullen Road / CR 89 to the East. The area of MUD 5 located inside these boundaries will be excluded from the planning area. The attached exhibit B shows the proposed planning area. A portion of this planning area was initially intended to be served by the FM 518 sewer line extension that was part of the City's second State Revolving Fund (SRF) loan from the Texas Water Development Board (TWDB). This part of the loan had been put on hold pending the determination of available funding after the bidding of the other projects included in the loan application. This is the only project in the loan that is not currently under construction or design. The City has indicated that the basis for the planning of the FM 518 sewer line extension has changed since the original engineering and environmental reports were prepared. This is the result of development in the planning area, which has resulted in the changing of service area boundaries for trunk lines and treatment plants. As a result of these changes, the City has requested this master plan to determine if the FM 518 extension, as previously submitted, is still a feasible project and to determine the most cost effective method of serving the entire planning area utilizing the Southwest Environmental Center (SWEC) and Country Place Wastewater Treatment Plants (WWTP). The Pearland Economic Development Corporation will fund this project; therefore, the engineering and environmental investigations are not required to be prepared in the formats prescribed by the TWDB. If the City wishes to use SRF funding on these projects in the future, then additional work will be required. A detailed man-hour estimate and schedule are attached as exhibits C & D respectively. B. SCOPE OF SERVICES Part t, Task A - System Modeling The Engineer shall model the existing sanitary sewer system to determine the maximum allowable capacity in the 12" sewer line at Cullen and FM 518 {Cullen sewer line) and in the 24" sewer line at CR 89 and Fite read (Fite/Harkey sewer line). This will require an analysis of the down stream system extending to the Southwest Environmental Center wastewater treatment plant. Flow input to the system will be based on land area and land use. Flow and operating data for the City's lift stations and treatment plants shall be provided to the Engineer to assist Wastewater Master Planning, EFR, and 05/08/2001 Page 1 of 6 ESA for the Western FM 518 Corridor. Contract for Engineering Services for Wastewater Master Planning, Engineering Feasibility Report and Environmental Site Assessment for the Western FM 518 Corridor Exhibit A - Engineer's Scope of Services and Compensation in estimating the appropriate flow contributions from the different sub areas. It is anticipated that some of the work provided in previous reports can be used for portions of this analysis. The information in the previous reports will be verified to ensure that it is still accurate and will be updated as required based on current development patterns. The flow modeling will be accomplished utilizing Microsoft excel spreadsheets and Manning equations to determine line sizes and capacities. Either current census data or population information obtained from HGAC will be used to estimate the number of people per household. This information will be combined with current wastewater plant flow data provided by the City to determine the estimated flows per connection. This information will then be used to determine the wastewater contributions from different sub-areas within the overall planning area. The Engineer shall produce a map of the existing sewer system within the planning area that will be provided to the City in both hard copy and electronic format. The Engineer will request any special requirements for the City's desired digital format prior to making the submittals. This information will be provided to the Engineer from the City upon receipt of the request. The cost for this task will be based on the City not having a current, consolidated sanitary sewer map of the entire system available in an AutoCAD format. We plan to prepare the proposed sewer map of the planning area from copies of individual sewer plans, city maps and interviews with public works personnel. The City shall provide copies of all individual maps required to prepare the exhibit in hard copy or electronic format, if available. Part 1, Task B- Determine New Service Areas for Cullen and Fite/Harkey Sewer Lines The Engineer shall determine the maximum areas that can be served by the Cullen and Fite/Harkey sewer lines based on the capacities determined in Part 1, Task A. This will involve looking at aerial photographs and city maps to determine the existing developed areas along with their lot densities, applying appropriate connections per acre factors to undeveloped areas and looking at current lower density areas for potential redevelopment into higher density areas. The population data obtain in Part 1, Task A will be used to estimate the populations within these areas. It is our understanding that the City will be able to provide up to date aerial photographs (less than 1 year old) in electronic format for our use on this project. If aerial photographs are not available then they will be obtained by the Engineer and invoiced as a raimbursable expense. Contract for Engineering Services for Wastewater Master Planning, Engineering Feasibility Report and Environmental Site Assessment for the Western FM 518 Corridor Exhibit A - Engineer's Scope of Services and Compensation Part I, Task C- Present Three Conceptual Options for Serving the Planning Area The Engineer shall use the information from Part 1, Task B to develop up to three conceptual options for providing wastewater service to the entire planning area. The two treatment facilities that the City plans to use to process the wastewater from the planning area are the Southwest Environmental Center (SWEC) WWTP and the Country Place WWTP. The flowing full capacities of the Cullen and Fite/Harkey sewer lines shall determine the maximum flow that can be conveyed to the SWEC WWTP. All additional flows are to be conveyed to the Country Place VVVVTP. The Engineer for the Country Place WWTP will be contacted to determine the ultimate capacity and service area for the WWTP, as it currently exists. This information will be combined with flow projections from this report to estimate an ultimate capacity and ultimate site requirements for the WWTP. The study of other service areas not included in the boundaries described above is not included in the scope of services. More detailed site, capacity and process evaluations for both the SWEC and Country Place WWTPs could be provided as an additional service. Potential options for serving the planning area consist of a combination of gravity sewer lines, lift stations and/or force mains to convey the flow to the treatment facilities through the 12" Cullen and/or the 24" Fite/Harkey sewer lines. An exhibit will be prepared for each option showing the .location of the proposed improvements along with estimated construction costs. Part 2, Task A - Detailed Planning on Selected Option The Engineer shall develop detailed recommendations for the selected option. This shall include recommended construction projects, recommended schedules, probable costs, preliminary private utility coordination along with easements and ROW requirements. Utility coordination will consist of requesting utility maps from private utility companies and incorporating the information provided into the exhibits for the selected option. It is anticipated that the city will be able to provide the documentation required to determine the approximate locations of existing ROW and easements. If property records are to be obtained by the Engineer they will be invoiced as reimbursable expenses. Field surveys of utilities and ROW or easement acquisition services are not included as part of the scope for this task. These items can be provided as an additional service once the recommended option is determined. Part 2, Task B - Engineering Feasibility Report The Engineer shall prepare an Engineering Feasibility Report (EFR) in accordance with the attached format. The following number of copies are included in the scope of services: · 2 draft copies to City · 4 final copies to City Additional copies of the EFR will be considered reimbursable expenses. Part 2, Task C - Phase I Environmental Site Assessment The Carter & Burgess Environmental Services Division will perform a Phase I Environmental Site Assessment (ESA) and wetlands reconnaissance on the selected option. The scope of services and cost included in this proposal is based on an approximate 2.0 mile stretch of the Western FM 518 Corridor beginning approximately 1700' feet east of State Highway 288 and proceeding to Old Chocolate Bayou Road (CR 89). The ESA will also include potential auxiliary corridors such as Cullen Road, Old Chocolate Bayou Road (CR 89), and Fite Road. The objective of the Phase I ESA will be to identify, to the extent feasible pursuant to the processes prescribed in ASTM Standard Practice E 1527-00, "Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process", recognized environmental conditions in connection with the subject corridor which could seriously impact the construction of the proposed sanitary sewer system. In addition to this corridor study, the ESA will also include any tract acquired for the installation of a lift station. A detailed description of the Scope of Services required for the Phase I ESA is included as Exhibit F. If any changes to the scope of services or costs for this item are required, due to the selected option, the City will be notified in writing prior to the start of the Phase I ESA. If wetlands or other permits are required these will be c~)mpleted as an additional service. Part 3, Task A - Plans and Specifications The scope and fees for the preparation of plans an~ specifications, including engineering, surveying, geotechnical services and property acquisition (if required) will be negotiated based on the selected option determined in Part 2. Part 3, Task B - Bidding and Construction Phase Engineering The scope and fees for the construction phase engineering will be negotiated based on the selected option determined in Part 2. C. DELIVERABLES The following deliverables are included in the scope of work for this project: Presentation of the three preliminary options Presentation of the selected option Preliminary coordination meeting with private utility companies Total of 2 draft and 4 final copies of the EFR for the City Total of 2 draft and 4 final copies of the ESA for the City Deliverables for Part 3 will be negotiated based on the selected option determined in Part 2. D. BASIS OF COMPENSATION Fees for Parts 1 and 2 are based on the following lump sum amounts. General Description A. Identify areas to be served along with the current and future populations. B. Identify the projected wastewater flows. C. Include on the map the locations of existing water & wastewater facilities, existing and proposed streets, parks, drainage ditches, creeks and streams. II. Engineering A. Provide a description of each of the three (3) alternatives considered. B. Approximate locations & sizes of improvements with an exhibit for each. C. Estimates of probable costs. Exhibit F SCOPE OF SERVICES PHASE I ESA The Scope of Services for the assessment includes the following: A minimum 50-year review of the site history through interviews with current and past owners of the tract designated to contain the proposed lift station. The review will include research of property abstracts and other governmental instruments of ownership for any tract acquired for the lift station.. A review of the properties will be conducted with interviews of knowledgeable persons and review of historical data such as City Directories and Sanborn Maps (if available) to investigate past property usage and to determine past and present practices which could result in environmental impacts to the subject property. A visual inspection of the corridor property will be conducted to determine the presence of suspicious practices, materials or spills, dumping areas, discolored soils, distressed vegetation, underground storage tanks, or other signs that would lead to a conclusion that the property could be contaminated. This inspection will include a visual and records search for any utility rights-of-way (electric, gas, petroleum), to determine if releases have or are occurring from pipelines or PCB-containing electrical equipment. Any suspicious topographical changes, excavations, or piles observed on the property will be investigated to determine the possible presence of buried materials. · Local, state, and federal officials will be contacted to review files and records pertaining to fires, explosions, chemical spills, notices of permits, registrations, violations, or enforcement actions of any kind. This review will also include identifying any federal or state Superfund sites in the vicinity. Texas Railroad Commission (TRC) oil and gas records will be researched to identify any former and/or active well sites located in the area. A review of historical aerial photographs and U.S.G.S. Topographic Maps will be performed to determine prior land use in the general area. · A literature review will be conducted to determine local geological, topographic, and hydrological conditions. Determination of the proximity of any environmentally sensitive receptors (streams, lakes, drinking water supplies, hospitals, schools, residential areas) that could be affected by an adverse environmental condition on the site. · A wetlands reconnaissance consisting of a site inspection will be conducted on the subject corridor. C:\TEMP~2001 M95003P021 .wpd EVALUATION OF RESULTS At the conclusion of the Phase I Environmental Assessment, a report will be issued addressing the findings, conclusions, and recommendations for the property. The report will address overall compliance history, conditions on and adjacent to the property, and identification of actual and potential problems. Deliverables will include two (2) draft copies of.the report and four (4) original bound reports. Recommendations set forth in our report will include additional tests and/or studies necessary to quantify any identified problems, along with an estimated cost and time frame for completion of a Phase II Investigation (if necessary). The Client will be contacted immediately if any recognized environmental conditions are encountered on the property. LIMITATIONS AND EXCEPTIONS The Phase I ESA Report, and the opinions expressed therein concerning the potential for environmental impairment liabilities from regulated sites, will be partially based on published information. Undetectable environmental risks may be present and not documented by regulatory agency files. Therefore, Carter & Burgess does not warrant, guarantee, or certify the accuracy or completeness of such regulatory information. Carter & Burgess disclaims any and all liability for errors, omissions, or inaccuracies in such information and data, and for any and all inaccurate conclusions, inadvertent or otherwise, which may be based on such inaccurate information and data obtained from third parties. This Phase I ESA Report cannot wholly eliminate uncertainty regarding the potential for recognized environmental conditions in connection with the subject property. Performance of the ASTM Practice is intended to reduce, but not eliminate, uncertainty regarding the potential for such conditions, and the ASTM Practice recognizes reasonable limits of time and cost. The Phase I ESA report will not constitute an appraisal of value or legal opinion, and Carter & Burgess will make no representations or warranties of the fitness of the property for any specific use or value. Carter & Burgess will assume no responsibility for the Client's, or a third party's misinterpretation or improper use of the Phase I ESA report. Carter & Burgess, Inc. shall not be liable for any special, consequential or exemplary damages resulting, in whole or in part, from the Client's use of the Phase I ESA report. Liability on the part of Carter & Burgess, Inc. to any impacted third party will be limited to the monetary value paid for this report. The conclusions and recommendations that will be presented in the Phase I ESA report will be based on a limited inspection and research of public documents. Conclusions drawn by others from the results of this assessment should recognize the limitations of ASTM Practice E 1527- 00. The Phase I ESA report will be produced for the exclusive use of the Client and its authorized representatives.
