A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AMENDING THE CONTRACT WITH MONTGOMERY WATSON,
INC. FOR ADDITIONAL ENGINEERING SERVICES ASSOCIATED WITH
THE FAR NORTHWEST WATER TRANSMISSION LINE AND WATER
PLANT FACILITY.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract amendment by and between the City of Pearland
and Montgomery Watson, Inc., a copy of which is attached hereto as Exhibit "A" and made
a part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manageror his designee is hereby authorized to execute
and the City Secretary to attest a contract amendment with Montgomery Watson, Inc. for
additional engineering services associated with the Far Northwest water transmission
line and water plant facility.

AMENDMENT NO. 2
This Agreement, Amendment No. 2, by and between the CITY OF PEARLAND, TEXAS
(hereinafter called "OWNER") and MONTGOMERY WATSON AMERICAS, INC.,
(hereinafter called "MONTGOMERY WATSON") is the second amendment to that certain
Agreement executed by the OWNER and MONTGOMERY WATSTON on November 10, 1998.
Only the terms which are amended by mutual agreement am set forth herein.
WITNESSETH:
NOW THEREFORE, it is mutually agreed that the Agreement approved by the OWNER and
MONTGOMERY WATSON on November 10, 1998, is hereby modified by the addition of the
following:
ARTICLE 1 - GENERAL CONDITIONS (no amendment)
ARTICLE 2 - COMPENSATION
Delete Paragraph 1 and replace with the following:
1. OWNER will pay to MONTGOMERY WATSON as full compensation for the
Basic Services described in Attachment A, Detailed Scope of Work, a lump sum
fee of $404,500. The fee for services will be based on the Schedule of Fees for
Basic Services, marked as Attachment B, and incorporated herein.

AMENDED DETAILED SCOPE OF WORK
CITY OF PEARLAND, TEXAS
COUNTY ROAD 48 WATER EXTENSION PROJECT
BACKGROUND
The City of Pearland is proposing a new 24-inch water transmission line for supply to
new developments along or between Beltway 8 and County Road 92 west of State
Highway 288. This scope of work is for Montgomery Watson to provide engineering
services for preliminary engineering, detailed design, bid phase, and office support during
construction for the proposed 24-inch water transmission line.
The proposed transmission line project has several components:
· Connection to existing 16-inch City of Houston water transmission line in
the vicinity of McHard Road and East Ripple Ridge
· Ground storage tank and fill line
· Booster pump station
· Hydropneumatic Tank
· Standby Electric Generator
· SCADA Instrumentation for Storage and Pumping
· 20-inch transmission line along McHard Road from East Ripple Ridge to
Clear Creek and then along Clear Creek to Almeda Road
· i6-inch transmission line from proposed Kirby Drive east along County Road
92 and FM 518 to point of connection with 16-inch existing City of Pearland
waterline at FM 518 and County Road 89.
BASIC SERVICES
Task 1 - Preliminary Engineering Services
Montgomery Watson shall prepare a Preliminary Engineering Report including the
following.
1. Using information provided by the City of Pearland and the City of Houston on
projected demands, available flow and pressure, perform calculations to verify the
size of proposed water lines to meet the needs of proposed developments. Develop
sizing of volume of ground storage tank (in accordance with TNRCC criteria) and
booster pump station capacity.

2. Prepare preliminary drawings and figures showing the proposed pipeline routing and
tie-in points with existing water supply pipelines. The criteria for the design of the
pipeline will be developed including special details and appurtenances.
3. Review existing water quality data, including blending studies, from City of Peariand
and City of Houston.
4. Collect and review existing information from the City of Pearland, the City of
Houston, Harris County, Harris County Flood Control District, Brazoria County, local
utility companies, pipeline companies, and industries, showing the existing pipelines
and utilities in the area.
5. Perform constructability review of the proposed pipeline routing including review of
pipeline materials and corrosion.
6. Submit preliminary pipeline drawings to the appropriate jurisdictional authorities for
review. The jurisdictional authorities include:
· Texas Water Development Board
· Harris County
· Harris County Flood Control District
· City of Houston
· Brazoria County
· BrazoriaDrainage District No. 4
7. Montgomery Watson will provide coordination for and attend the following meetings.
· Visit the site up to six times to verify existing structures, utilities, and
conditions.
· Meet with the property developers up to two times to coordinate the horizontal
alignment of the water transmission main.
· Meet with the City of Houston up to two times to coordinate the connection of
the water transmission main to the City of Houston pipeline.
· Meet with the Texas Department of Transportation once to coordinate the
horizontal alignment of the water transmission main.
· Meet with the Texas Water Development Board once to review criteria for the
water transmission main, storage tank and booster pump station.
· Meet with appropriate industries, utilities and pipeline companies up to six
times to coordinate the horizontal and vertical alignment of the water
transmtssion main with existing utilities.

8. Collect design standards, material preferences, standard specifications, and standard
details that are required by the City of Pearland, the City of Houston, Hams County,
Hams County Flood Control District, Brazoria County, TXDOT, industries, and
utilities for use in preparing the contract documents.
9. Prepare a draft report summarizing the findings and recommendations of Subtasks 1
through 7 above. A memorandum outlining the recommended requirements for
instrumentation and controls to implement a supervisory control and data
acquisition for SCADA for the storage and pumping facilities will be provided. A
meeting will be held with the City of Pearland to finalize the requirements. A
budget level cost estimate will be included in the report. A proposed schedule for
detailed design, right-of-way acquisition, and construction will be included in the
report. Ten copies of the draft report will be produced and distributed for review.
Montgomery Watson will make a formal presentation of the draft report to the City of
Pearland.
10. Prepare a final report based on the review comments received from the City of
Pearland, the City of Houston, and other agencies and utilities. Twenty-five copies of
the final report will be submitted.
11. Provide coordination and communication with the City of Pearland. Montgomery
Watson will provide the City with updates of progress, issues, schedule and budget on
a monthly basis. Montgomery Watson will attend monthly meetings with the City of
Pearland. In addition, Montgomery Watson will attend up to two City of Pearland
council meetings to discuss the project.
12. Montgomery Watson will contract directly with all subconsultants. Montgomery
Watson will prepare ali subconsultant contracts, budgets, and schedules.
13. Provide quality assurance and quality control for the preliminary engineering
services.
14. Provide supporting information to the City of Pearland for the Economic
Development Agency grant.
Task 2 - Detailed Design Services
This task is for the detailed design, preparation of contract documents, bid phase services,
and pre-award services for the project defined in the Preliminary Engineering Report.
1. Prepare detailed engineering calculations of pipelines, storage tank, metering station,
booster pump station. The design shall be based on the recommendations of the
Preliminary Engineering Report.

2. Prepare detailed drawings, specifications and contract documents for the project. The
documents shall be prepared for two construction contracts, and for selection of
construction contractors on a competitive-bid basis.
3. Drawings will be prepared on 22-inch by 34-inch sheets with standard Montgomery
Watson title blocks. Plan and profile sheets will be a scale of 1-inch -- 40 ft.
Structural, mechanical, civil, electrical and instrumentation drawings of the ground
storage tank and booster pump station will be provided. The storage tank and
booster pump station facility will include a hydropneumatic tank and stand by
generator. Electrical drawings will be for power and lighting of the storage tank site
and booster pump station. Instrumentation drawings will be for field instruments,
and wiring for controls for a SCADA system will be provided. The SCADA wiring
will terminate at the field communications unit. Additional drawings will include
special details of pipe connections, utility crossings, and canal crossings.
4. Standard Montgomery Watson technical specifications, bid forms, general conditions,

pipe material will be specified.
5. Montgomery Watson will make three interim submittals of the design and contract
documents to the City of Pearland. Three sets of drawings and specifications for
review at the 50 percent, 90 percent, and 100 percent levels of completion will be
submitted. Drawings for the 50% submittal will be submitted as half-size paper
copies. Drawings for the 90% and 100% submittals will be submitted as full-size
blue-line copies.
6. An opinion of probable construction cost for the proposed work covered by the
contract documents will be prepared. The opinion of probable construction cost will
be based on the 90 percent complete contract documents.
7. Montgomery Watson will perform a quality assurance and quality control review of
the contract documents for completeness, biddability, and constructability at
approximately the 75 percent level of completion.
8. Following review by the City of Pearland of the 50, 90, and 100 percent contract
documents, Montgomery Watson will conduct meetings with the City to obtain
comments and to resolve any questions. A total of four meetings is included.
9. Submit signed and sealed final contract documents to the City of Pearland for final
approval. After approval, tens sets of specifications, five sets of full-size bluelines
and five sets of half-size final contract documents will be submitted.
i0. Conduct progress meetings with the City of Pearland during the design phase to
review on-going work, address issues, and exchange ideas and info~wnation. A total of
eight meetings is included.
l 1. Meet with permitting agencies on design objectives and performance requirements.
Meetings will be held with Harris County, Harris County Flood Control District,
Brazoria County, TxDOT, and the City of Houston. A total of six meetings is
included. Prepare and submit permits to Harris County Flood Control District,
TxDOT, United States Army Corps of Engineers, and City of Houston.
12. Montgomery Watson will attend one City of Pearland council meeting to discuss the
project.
13. Montgomery Watson will contract directly with all subconsultants. Montgomery
Watson will prepare all subconsultant contracts, budgets, and schedules.
14. Provide quality assurance and quality control, review and checking of the contract
documents.
15. Provide supporting information to the City of Pearland for the Economic
Development Agency grant.
Task 3 - Bid Phase Services
Montgomery Watson will provide the following services associated with the
advertisement of the project for construction bids and award of the project for
construction. This scope is based on two construction contracts. Specific services to be
performed by Montgomery Watson for each contract are as follows.
1. Coordinate bid opening date, time, and place with City of Pearland, and prepare final
Invitation to Bid.
2. Assist and advise City of Pearland in placing the advertisements of the Invitation to
Bid. City of Pearland will place and pay for advertisements.
3. Identify potential contractors and suppliers, and distribute copies of the Invitation to
Bid.
4. Provide 50 sets of contract documents (half-size) for bidding purposes. Distribute the
contract documents to prospective bidders, suppliers, plan rooms, and agencies for
bidding purposes. Maintain a record of prospective bidders and suppliers (plan
holders) to whom contract documents have been issued.
5. Distribute plan holders' list to recipients of contract documents prior to bid opening.
6. Conduct a pre-bid conference dunng the advertisement period.
,, Instruct prospective bidders and suppliers as to the types of information
required by the contract documents and the format in which bids should be
presented.

· Review special project requirements and contract documents in general.
· Receive requests for interpretations or clarifications which will be issued by
addendum.
· Prepare minutes of the conference and issue by addendum.
7. Interpret construction contract documents. Prepare and issue addenda to the
construction contract documents when required.
8. Attend bid opening. Answer questions during bid opening, make preliminary
tabulation of bids, and review bids for completeness.
9. Review and evaluate the qualifications of the apparent successful bidder and the
proposed major or specialty subcontractors. Review equipment and subcontractor
questionnaires. The review and evaluation will include such factors as work
completed, equipment that is available for the work, financial resources, technical
expertise, and responses from references.
10. Prepare and distribute formal bid tabulation sheets, evaluate bids, and make a written
recommendation to City of Pearland concerning contract award.
11. After issuance of notice of award, review contractor's bonds, furnish the Contractor
with unsigned construction contract documents, and transmit the construction contract
documents to City of Pearland for signature and distribution.'
12. Prepare and distribute 2 sets of the signed construction contract documents to the
Contractor. Provide 4 sets of the signed construction contract documents to the City
of Pearland.
Task 4 - Construction Phase Services
Montgomery Watson will provide office support services during the construction phase
of the project. By performing these services, Montgomery Watson shall not have
authority or responsibihty to supervise, direct, or control the Contractor's work or the
Contractor's means, methods, techniques, sequences, or procedures of construction.
Montgomery Watson shall not have authority or responsibility for safety precautions and
programs incident to the Contractor's work or for any failure of the Contractor to comply
with laws, regulations, rules, ordinances, codes, or orders applicable to the Contractor
furnishing and performing the work. This scope is based on two construction contracts
with durations of four and twelve months. Specific services to be performed by
Montgomery Watson for each contract are as follows.
1. Review the Contractor's insurance certificates and bonds and forward the certificates
to the City of Pearland for acceptance by the City of Pearland's attorney.

Montgomery Watson's review of the insurance certificates is only for the purpose of
determining if the Contractor maintains the general types and amounts of insurance
required by the contract documents, and is not a legal review to determine if the
Contractor's insurance coverage complies with ail applicable requirements.
2. Conduct a pmconstruction conference. Montgomery Watson shall prepare an agenda
for the conference, and prepare and distribute minutes. The pmconstruction
conference will include a discussion of the Contractor's tentative schedules, lines of
communication, procedures for transmittal and review of the Contractor's submittals,
processing payment applications, critical work sequencing, change orders, record
documents, and the Contractor's responsibilities for safety and first aid.
3. Review and comment on the Contractor's initial and monthly updated construction
schedule and advise City of Pearland as to acceptability. One review per calendar
month is included.
4. Review the Contractor's initial and updated schedule of estimated monthly payments
(estimated cash flow) and advise City of Pearland as to acceptability.
5. Make periodic visits to the construction site to observe progress of the work, and
consult with City of Pearland and the Contractor concerning problems and/or progress
of the work. Montgomery Watson will prepare a written report after each visit. Two
visits per calendar month am included.
6. Review drawings and other data submitted by the Contractor as required by the
construction contract documents. Montgomery Watson's review shall be for general
conformity to the construction contract documents and shall not relieve the Contractor
of any of his contractual responsibilities. Such reviews shall not extend to means,
methods, techniques, sequences, or procedures of construction, or to safety
precautions and programs incident thereto.
7. Receive and review guarantees, bonds, and certificates of inspection, and tests and
approvals which are to be assembled by the Contractor in accordance with the
construction contract documents, and transmit them to City of Pearland.
8. Interpret construction contract documents when requested by City of Pearland or the
Contractor. Prepare and issue clarifications when required.
9. Review and process the Contractor's monthly payment requests, and forward to City
of Pearland as appropriate. Montgomery Watson's review shall be for the purpose of
making a full independent mathematical check of the Contractor's payment request.
Montgomery Watson shall be responsible for verifying the quantities of work which
are the basis of the payment requests.
10. Provide documentation and administer the processing of change orders, including
applications for extension of construction time. Evaluate the cost and scheduling

aspects of all change orders and, where necessary, negotiate with the Contractor to
obtain a fair price for the work. Said negotiation shall be subject to the approval of
City of Pearland.
11. Work related to unusually complex or unusually numerous claims or requests for
clarifications shall be considered Supplemental Services.
12. Upon completion of the project, revise the construction contract drawings to conform
to the construction records and record drawings maintained by the contractor. Submit
one set of 3-mil wash-off mylar originals.
13. Analyze data from performance testing of equipment by the Contractor or supplier
when the construction contract documents require the equipment to be tested after
installation. Submit conclusions to City of Peafland.
14. Upon substantial completion, review the work and prepare a list of the items to be
completed or corrected before final completion of the project (punch list). Submit a
summary of the review to City of Pearland and the Contractor.
15. Upon completion or correction of the items of work on the punch list, conduct a final
review to determine if the work is completed. Provide written recommendations
concerning final payment to City of Pearland, including a list of items, if any, to be
completed prior to making such payment.
16. Apply for consent of surety for final payment.
17. Provide a certification of completion of the work to the City of Pearland.
SPECIAL SERVICES
In addition to the basic services described above, Montgomery Watson will perform the
following special services.
1. Montgomery Watson shall obtain the services of a Registered Professional Land
Surveyor to perform a topographic survey along the proposed 25,500 ft alignment;
identify property lines, easement and right-of-ways; perform a field survey locating
existing pipelines and utilities; and prepare topographic mapping. One set of
topographic map files in digital format will be provided to the City of Pearland.
2. Montgomery Watson shall obtain the services of a geotechnical subconsultant to
perform a geotechnical field investigation. The investigation shall include soil
borings at approximately 1,500-foot intervals along the proposed water transmission
main alignment. In addition borings will be taken at the proposed ground storage
tank/booster pump station site, metering station site, and Clear Creek crossing site. A
total of 25 borings (20 borings along alignment plus five special site borings) is

included. A geotechnical report identifying the findings and recommendations of the
field investigation will be prepared.
3. Montgomery Watson shall obtain services of a geotechnical subconsultant to
perform an investigation to the plant site for loading and preparation of site. The
site will be prepared by others for compliance with flood plain permitting. Input
will be provided on the requirement for this site preparation work.
4. Montgomery Watson shall obtain the services of a subconsultant to perform an
environmental site assessment along the water transmission main alignment. The
assessment will include review of records, photographs, and documents to identify
possible contamination sites along the ahgnment. A report describing the findings of
the assessment will be prepared.
5. Montgomery Watson shall obtain the services of a subconsultant to prepare a report
of recommendations for cathodic protection systems for the water transmission main.
The recommendations will be incorporated into the design of the transmission main.
6. Montgomery Watson shall obtain the services of a subconsultant to perform
additional environmental assessments of the proposed alignment to include:
· Wetlands determination
· Endangered species assessment
· Antiquities assessment
SUPPLEMENTAL SERVICES
Supplemental Services are those services which are not included in the Basic or Special
Services, but may be needed at some time during the completion of the project. These
Supplemental Services will be authorized on an as-required basis by a separate notice to
proceed from the City of Pearland.
1. Travel outside of Houston/Pearland area.
2. Reproduction of additional reports or contract documents not specifically identified as
a Basic Service.
3. Preliminary design of more than one alignment alternative.
4. Detailed design of more than two alternative pipe materials.
5. Computer modeling of distribution system.
6. Water quality and water blending studies beyond the work described in Task 1, Item
3.

7. Preparatton of a wetlands m~tigation plan.
8. Phase II environmental assessment.
9. On-site daily monitoring of construction activities.
10. Contracting and coordination of construction testing laboratory.
11. Services required for acquisition of land, easements, and right-of-way.
12. Any work not identified as Basic or Special Services above.
SCHEDULE
The anticipated duration of the entire project is approximately 23 calendar months. See
the attached schedule for a breakdown by task and activity.
