RESOLUTION NO. R2012 -11 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, AUTHORIZING A CONTRACT FOR ENGINEERING SERVICES ASSOCIATED WITH THE MCHARD ROAD PRELIMINARY ENGINEERING REPORT AND THE MCHARD ROAD WATER LINE DESIGN. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain contract for engineering services associated with the McHard Road Preliminary Engineering Report and the McHard Road Water Line Design, a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest a contract for engineering services associated with the McHard Road Preliminary Engineering Report and the McHard Road Water Line Design. COKER CITY ATTORNEY Exhibit Resolution No. R2012 -011 CONTRACT FOR PROFESSIONAL SERVICES THIS CONTRACT is entered into on January 23, 2012, by and between the City of Pearland ( "CITY ") and Freese Nichols, Inc. ( "CONSULTANT "). The CITY engages the CONSULTANT to perform professional services for a project known and described as McHard 16" Water Line Design and McHard Road PER ( "PROJECT "). (Project # WAl201) SECTION I - SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to CITY standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSULTANT shall provide preliminary design services for the McHard Road 16" Water Line and McHard Road Extension between Cullen Parkway and Mykawa Road and Final Design, Bid Phase, and Construction Phase Services for the McHard 16" Water Line. See Exhibit A, attached, for a detailed SCOPE OF WORK and PROJECT schedule. The PROJECT schedule shall be submitted in digital and hard copy form in the Microsoft Project for Windows format. B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost of the PROJECT. C. The CONSULTANT acknowledges that the CITY (through its employee handbook) considers the following to be misconduct that is grounds for termination of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants, and/or collecting reimbursement of expenses made for the benefit of the CITY. The CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY employee to engage in such misconduct. D. The CONSULTANT shall submit all final construction documents in both hard copy and electronic format. Plans shall be AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current CITY standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. All Record Drawings electronic files shall be submitted to the CITY in TIF format. E. The CONSULTANT recognizes that all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon request, shall become subject to the Open Records Laws of this State. Design 1 of 6 DI. Revised 2/10 F. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors and omissions relating to the performance of any work by the CONSULTANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers' Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non -owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. The CONSULTANT shall include the CITY as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers' Compensation. Certificates of Insurance and endorsements shall be furnished to the CITY before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and /or reduced in coverage or in limits ( "Change in Coverage ") except with prior written consent of the CITY and only after the CITY has been provided with written notice of such Change in Coverage, such notice to be sent to the CITY either by hand delivery to the City Manager or by certified mail, return receipt requested, and received by the City no fewer than thirty (30) days prior to the effective date of such Change in Coverage. Prior to commencing services under this CONTRACT, CONSULTANT shall furnish CITY with Certificates of Insurance, or formal endorsements as required by this CONTRACT, issued by CONSULTANT'S insurer(s), as evidence that policies providing the required coverage, conditions, and limits required by this CONTRACT are in full force and effect. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT, his officers, employees, agents, or subcontractors under this CONTRACT. H. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the CITY. SECTION II - PERIOD OF SERVICE This CONTRACT will be binding upon execution and end upon completion of the project but not to exceed 42 months. SECTION III - CONSULTANT'S COMPENSATION A. The method of payment for this CONTRACT is lump sum for Preliminary and Final Design Phase Service, hourly not -to- exceed for Bid Phase, Construction Phase Services and Additional Services. Total compensation for the services performed shall not exceed $1,336,710.00. B. The CITY shall pay the CONSULTANT in installments based upon monthly progress reports and detailed invoices submitted by the CONSULTANT subject to the following limitations: 1. Prior to approval of the preliminary design 30% plans, payments to the CONSULTANT shall not exceed 25% of the total CONTRACT amount. 2. Prior to approval of the final design documents, payments to the CONSULTANTS shall not exceed 90% of the total CONTRACT amount. The final approval and payment will be made within a reasonable period of time regardless of the project construction schedule. B. The CITY shall make payments to the CONSULTANT within thirty (30) days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. Design 3 of 6 D1. Revised 2/10 SECTION IV - THE CITY'S RESPONSIBILITIES A. The CITY shall designate a project manager during the term of this CONTRACT. The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the CITY on any aspect of the work shall be directed to the project manager. B. The CITY shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The CITY will keep the CONSULTANT advised concerning the progress of the CITY'S review of the work. The CONSULTANT agrees that the CITY'S inspection, review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub- consultant(s) or in any way affect the CONSULTANT'S status as an independent contractor of the CITY. SECTION V - TERMINATION A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason - - with or without cause -- by delivering written notice to CONSULTANT personally or by certified mail at Freese Nichols, Inc., 11200 Broadway Street, Suite 2332, Pearland, TX 77584. Immediately after receiving such written notice, the CONSULTANT shall discontinue providing the services under this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the CITY on or before the 15 day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination. The CITY shall make final payment within sixty (60) days after the CONSULTANT has delivered to the CITY a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum, the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the scope of work. In the event this CONTRACT is terminated, the CITY shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. F. If the CITY terminates this CONTRACT for cause and/or if the CONTRACTOR breaches any provision of this CONTRACT, then the CITY shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney's fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and CITY desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this, the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. SECTION VI — ENTIRE AGREEMENT This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and supersedes all prior negotiations, representations, or contracts, either written or oral. This CONTRACT may be amended only by written instrument signed by both parties. SECTION VII — COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CONTRACT. For breach or violation of this clause, the CITY may terminate this CONTRACT without liability, and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent fee that has been paid. Design 5 of 6 D1. Revised 2/10 SECTION VIII- SUCCESSORS AND ASSIGNS This CONTRACT shall not be assignable except upon the written consent of the parties hereto. Revised 12/11 BASIC SERVICES: The Consultant shall render the following professional engineering services to the OWNER in connection with the construction of the Project. Preliminary Design Phase Services 1. Data Collection a) Attend Design Kick -Off meeting with City. i. Review City informational resources and make arrangements to obtain these. ii. Discuss objectives of project and adjacent projects. b) Procure such additional data as required through other services and /or sub consultants. c) Provide survey (metes, bounds & topography) info d) Geotechnical data as required. e) Environmental if required. 2. Prepare and Submit Preliminary Engineering Report (PER), consisting of, but not limited to: i. Route Study exploring at least two alternative routes / alignments. ii. Recommendation for one route. iii. Proposed construction methodology and materials. iv. Cost estimate with 15% contingency. v. 30% Plans consisting of Plan & Profile Topographic Survey with parcel data vi. Analysis of Utility Relocation Effort required in notification of utility companies. vii. Preliminary parcel map identifying any required Right of Way (ROW) or easements along with property owner data. viii. Review, consolidate and prepare written response to City's review committee ix. Submit for review detailed construction plans at 60% & 90% (along with specifications form at 60% - include bid form & completed "front end documents" at 90 %). ii. Coordinate with external regulatory and permitting agencies, including but not limited to TCEQ, TXDOT, Brazoria DD #4 & Harris County Flood Control & USACE (US Army Corp of Engineers). iv. Provide Traffic Control plan and SWP3 plans and specifications, if required. v. Submit plans for City Engineer's signature. vi. Prepare bid sets for distribution via the City's e -bid system. Provide Notice to Bidders (NTB) and list of bid items to the Project Manager in an electronic form appropriate for the e -bid system format. City is responsible for advertising. b. Provide electronic copy of bid -ready plans to the Project Manager for the e -bid system. c. Chair pre -bid meeting and attend Bid Opening d. Respond in writing to questions from bidders and prepare addenda, coordinate with Project Manager as necessary. e. Assist with design of Bid Proposal* f. Prepare Engineer's Recommendation of Award Letter that includes the following required content: i. Check for math errors and reconcile any mathematical discrepancies ii. Review for unbalanced bid items iii. Certified Bid Tabulation including Engineer's estimate iv. Review of contractor's financial standing and references provided v. Explanation of discrepancies between the Engineer's estimate and bids vi. Recommendation to award 2. Attend City Council meeting and recommendation for award of Contract for Construction. 3. Revised 7/08 SUPPLEMENTAL SCOPE OF SERVICES ARTICLE I BASIC SERVICES: Freese and Nichols, Inc. (FNI) shall render the following professional services in connection with the development of the Project described as: McHard Water Transmission Line & Roadway Extension. Project limits for Water Transmission Line is from State Highway 35 to Business Center Drive or approximately 34,000'. Scope for Water Transmission Line will include Preliminary Engineering Report, Design, and Construction Administration. Project limits for the Roadway Extension is from Mykawa Road to Cullen Boulevard. Scope for Roadway Extension will include a 15% -level Preliminary Engineering Report. Scope of work for both efforts are more defined and detailed below. A. PRELIMINARY DESIGN PHASE SERVICES Al. Water Transmission Line Preliminary Engineering Phase services Upon authorization from the CITY, FNI shall render the following services: a) Data Collection: perform services defined in items 1 a thru 1 c of Exhibit A, "Utilities Scope of Services for McHard Water Transmission Line ". b) Conduct preliminary site visit along entire Project route to assess existing conditions. Study available maps, record drawings, etc. to propose a route for the proposed water transmission line. c) Using available aerial and GIS mapping and record drawings, prepare a simple base map showing the proposed route for the Water Transmission Line. Attend meeting with CITY to discuss and finalize route. Revise base map per comments. d) Coordinate and provide support to water modeling sub - consultant on meetings with City, quality control, and reviews of Technical Memorandum. e) Based upon route selection, coordinate and proceed with topographical survey, geotechnical investigation, and necessary phase I ESA for the Project. See Special Services section of Supplemental Scope of Services for detailed scope for each service. f) Based upon topographical survey and mapping, prepare base exhibits and plan /profile on 11 "xl 7" sheets with 1 " =40' (H) and 1 " =4' (V) scales for the purpose of 30% complete level design to be included as part of the PER. g) Conduct preliminary coordination with BDD #4, TxDOT, county, utility and pipeline companies as necessary for this phase of the Project. h) Attend up to ten (10) progress meetings throughout the preliminary phase to report progress and discuss and resolve preliminary design issues. i) Prepare a Preliminary Engineering Report (PER) as defined in item 2 of Exhibit A, "Utilities Scope of Services for McHard Water Transmission Line ". j) Submit five (5) copies of Draft Report to the CITY for review and comments. Attend meeting to discuss comments. FNI will provide a written response to CITY's comments. 1 k) Upon receipt of comments, finalize Report and submit five (5) bound copies along with digital files to the CITY. A2. McHard Road Extension a) Data Collection perform services defined in items 1 a thru 1 d of Exhibit B, "Modified Transportation scope of services for McHard Road PER ". b) Conduct preliminary site visit along route from Mykawa Road to Cullen Boulevard to assess existing conditions. c) Coordinate and proceed with topographical survey and geotechnical investigation for the Project limits. See Special Services section of Supplemental Scope of Services for detailed scope for each service. d) Coordinate and proceed with the H &H study for the Project to include outfall routes and detention requirements. See Special Service section of Supplemental Scope of Services for more detailed scope. e) Coordinate and proceed with the signal warrant studies for 5 intersections. See Special Service section of Supplemental Scope of Services for more detailed scope. f) Based on topographical survey and mapping and the previously approved R.O.W. alignment of McHard Road Extension between Mykawa Road and Cullen Boulevard, prepare preliminary roadway base exhibits and plan /profile on 11 "xl 7" sheets with 1 " =40' (H) and 1"=4' (V) scales for the purpose of 15% level design to be included as part of the PER. The roadway extension plan exhibits for 15% level design will be limited to preliminary layouts for a 4 -lane divided roadway, intersecting roads transitions, and plan -only location of proposed storm sewer and curb inlets. The roadway extension profile exhibits for 15% level design will be limited to preliminary roadway profile with the high and low points along the route. Storm Sewers, inlets, manholes, junction boxes will not be shown in profile. g) Conduct preliminary coordination with BDD #4, utility and pipeline companies as necessary for this phase of Project. h) Attend up to ten (10) progress meetings throughout the preliminary phase to report progress and discuss and resolve preliminary design issues. i) Prepare a Preliminary Engineering Report (PER) as defined in item 2 of Exhibit B, "Modified Transportation scope of services for McHard Road PER ". j) Submit five (5) copies of Draft Report to the CITY for review and comments. Attend meeting to discuss comments. FNI will provide a written response to CITY's comments. k) Upon receipt of comments, finalize Report and submit five (5) bound copies along with digital files to the CITY. 2 B. WATER TRANSMISSION LINE DESIGN PHASE SERVICES Upon approval of Preliminary Engineering Report for the Water Transmission Line and authorization from the CITY, FNI will proceed with the performance of services in this phase as described in Exhibit A, "Utilities Scope of Services for McHard Water Transmission Line." a) Prepare Construction Plans and Specifications i. Attend a Design Phase kick -off meeting with the CITY. ii. Conduct design related site visits. iii. Attend up to ten (10) progress meetings throughout the design phase to report progress and discuss and resolve final design issues. iv. Prepare construction plans for the water transmission line from west side of SH 35 to Business center Drive along McHard Road alignment including cover sheet, layout sheets, horizontal and vertical control sheets, detailed plan/profile sheets to 1 " =20' (H) and 1 " =2' (V) scale, connection to existing lines and facilities, cased and uncased bores, details, gathering of standard details, and other associated drawings. a. Submit five (5) sets (1 full size + 4 half size) of 60 %- complete plans to the CITY for review and comments. Attend meeting to discuss comments. FNI will provide written response to CITY's comments. b. Upon receipt of 60 %- complete comments, continue further development of construction plans and details to 90% complete level. c. Submit five (5) sets (1 full size + 4 half size) of 90 %- complete plans, technical specifications and contract documents to the CITY for review and comments. Attend meeting to discuss comments. FNI will provide written response to CITY's comments. d. Upon final approval by the CITY, FNI will provide CITY five (5) sets of "Final" plans and construction documents. In addition, FNI will provide to the CITY pdf copies of the plans and specifications on a CD. v. Prepare storm water pollution preventions plans and details for the Project. vi. Assemble TxDOT standard traffic control sheet(s) to be included in the plans. vii. Conduct design phase coordination and approvals from BDD #4, county, utility and pipeline companies as necessary for the Project. viii. Assist CITY to apply and receive approval from TxDOT for the water transmission line crossing at FM 865 (Cullen Blvd.) and State Highway 288. C. WATER TRANSMISSION LINE BID PHASE SERVICES Upon authorization from the CITY, FNI will proceed with the performance of services in this phase as indicated in Exhibit A, "Utilities Scope of Services for McHard Water Transmission Line." D. WATER TRANSMISSION LINE CONSTRUCTION PHASE SERVICES Upon Authorization from the CITY and completion of the bid phase services, FNI will proceed with the performance of construction phase services as described in Exhibit A, "Utilities Scope of Services for McHard Water Transmission Line." FNI will endeavor to protect CITY in providing these services however, it is understood that FNI does not guarantee the Contractor's performance, nor is FNI responsible for supervision of the Contractor's operation and employees. FNI shall not be responsible for the means, methods, techniques, sequences or procedures of construction selected by the Contractor, or any safety precautions and programs relating in any way to the condition of the premises, the work of the Contractor or any Subcontractor. FNI shall not be responsible for the acts or 3 omissions of any person (except its own employees or agents) at the Project site or otherwise performing any of the work of the Project. E. SPECIAL SERVICES Upon authorization from the CITY, FNI provide the following Special Services: 1. Conduct Phase I Environmental Site Assessment for two segments of water transmission route which had not been performed previously. The two segments are 1) from SH 35 to Mykawa Road, 2) from Cullen Blvd. to Business Center Drive. The segment from Mykawa Road to Cullen Blvd. was previously performed under preliminary McHard Road alignment. This service will be performed by FNI. See Attachment 1 for detailed scope. 2. Conduct topographical field survey, mapping, necessary boundary and preparation of parcel taking descriptions for water transmission line easements for the Project. See Attachment 2 for detailed scope from sub - consultant. 3. Conduct geotechnical investigation for the Project consisting of 49 borings of which 43 will be 15' deep and 6 will be 40' deep. See Attachment 3 for detailed scope from sub - consultant. 4. Perform water system modeling update as pertains to timing of future water treatment plant, maintaining water pressure on the west side, and the need for 2 million gallon elevated storage tank near Kirby and Riley. See Attachment 4 for detailed scope from sub - consultant. 5. Perform Hydrology and Hydraulic analysis and prepare a Report for the McHard Road Extension from Mykawa Road to Cullen Blvd. See Attachment 5 for detailed scope from sub - consultant. 6. Perform signal warrant studies for 5 future intersections at Hatfield, 0' Day, Garden, Roy, and Max Roads. See Attachment 6 for detailed scope from sub - consultant. 7. Reimbursable project expenses such as printing, deliveries, mileage, outside printing of plans and construction document for all phases of Project. ARTICLE II ADDITIONAL SERVICES: Services that are not specifically listed in above Supplemental Scope of Services or Attachments shall be considered as Additional Services to be performed by FNI, if authorized by CITY and will be paid for as stated in the Compensation Attachment, Item D.2. ARTICLE III TIME OF COMPLETION: FNI is authorized to commence work on the Project upon execution of this AGREEMENT and agrees to complete the services in accordance with the following schedule: 1. Preliminary Phase: Upon authorization by the CITY, FNI shall proceed with performance of professional services defined as Preliminary Design Phase Services, to submit Draft Reports within 305 calendar days after date of authorization. Upon receipt of review comments, FNI shall submit Final report within 60 calendar days thereafter. Topographical survey & mapping, Phase 4 1 ESA, H &H Study, Signal Warrant Study, and Geotechnical Report will be completed in this phase. Preparation of parcel takings for water transmission line easements will be deferred to Design phase. 2. Design Phase: Upon authorization by the CITY, FNI shall proceed with performance of professional services defined as Water Transmission Line Design Phase Services, to submit Final plans and construction document for the Project within 300 calendar days after date of authorization. Approval period by the CITY and other agencies have not be accounted for. 3. Bid & Construction Phases: Upon authorization by the CITY, FNI shall proceed with performance of professional services defined Bid and Construction Phases until completion of the Project. If FNI's services are delayed through no fault of FNI, FNI shall be entitled to adjust contract schedule consistent with the number of days of delay. These delays may include but are not limited to delays in CITY or regulatory reviews, delays on the flow of information to be provided to FNI, governmental approvals, etc. ARTICLE IV RESPONSIBILITIES OF CITY: CITY shall perform the following in a timely manner so as not to delay the services of FNI: A. Designate a person to act as CITY's representative with respect to the services to be rendered. Such person shall have contract authority to transmit instructions, receive information, interpret and define CITY's policies and decisions with respect to FNI's services for the Project. B. Provide all criteria and full information as to CITY's requirements for the Project, including design objectives and constraints, space, capacity and performance requirements, flexibility and expandability, and any budgetary limitations; and furnish copies of all design and construction standards which CITY will require to be included in the drawings and specifications. C. Assist FNI by placing at FNI's disposal all available information pertinent to the Project including previous reports and any other data relative to design or construction of the Project. D. Arrange for access to and make all provisions for FNI to enter upon public and private property as required for FNI to perform services. E. Attend the pre -bid conference, bid opening, preconstruction conferences, construction progress and other job related meetings and substantial completion inspections and final payment inspections. F. Freese and Nichols will also conduct and update a Phase I ESA for the McHard Road Extension project, which includes improvements along McHard Road from FM 865 to Mykawa Road. A Phase I ESA is a preliminary evaluation of the potential for chemical contamination which involves the review of historical land use records for the site, a site visit, and interviews with property owners and tenants. It does not involve the collection and analysis of samples from soils, groundwater, or other environmental media. If a Phase I ESA identifies a significant potential for the occurrence of environmental concerns, then a Phase II ESA is typically recommended to verify the presence or absence of chemical contamination. PHASE I ESA SERVICES: This Phase I ESA will be conducted based on standards published by the Environmental Protection Agency All Appropriate Inquiries (AAI) Final Rule and ASTM International (ASTM) under Standard Guideline E1527 -05, "Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process." As a note, a Phase I ESA can reduce, but not eliminate, the level of risk for unidentified environmental contamination. No Phase I ESA can guarantee the absence of contamination. Only sampling and analysis can confirm the presence or absence of chemical contamination at a site. Sampling and analysis are beyond the Scope of Services for this Phase I ESA. Additionally, this Phase I ESA does not include an investigation or survey for the presence of mold or asbestos. In the absence of any standards, the opinions and conclusions found in the Phase I ESA will be based on caution and conservatism by an experienced professional. Environmental regulations are continually changing, and a site determined to be uncontaminated based on current regulations and /or technical standards could be considered a contaminated site in the future based on new or amended regulations or standards. Freese and Nichols shall render the following professional services in connection with completion of the Phase I ESA: 1. Historical Land Use Review Perform an investigation into prior ownership and past land uses on the subject property. Freese and Nichols will attempt to identify obvious uses of the subject property from the present back to the property's first developed use, or back to 1950, whichever is earlier. To accomplish this task, Freese and Nichols will review the following records (if available): a. Interviews with City representatives and property owners /tenants. b. Historical aerial photography. c. City directory abstracts. d. Sanborn fire insurance maps. e. Recorded environmental easements or liens on the subject property. 2. Regulatory Agency Records Review Freese and Nichols will review information found in federal and state regulatory records for the subject property, including records related to environmental- related permits, notices -of- violation, and incidents involving use, disposal, or accidental release of hazardous substances, petroleum products, or other waste materials. Local records, if available, related to the subject property will also be reviewed for indications of environmental concern. 3. Site Reconnaissance Visit Freese and Nichols will perform a site reconnaissance visit to the subject property. Existing environmental conditions will be documented on the site. Freese and Nichols will look for potential indicators of environmental concerns such as stained soils or other surfaces, stressed vegetation, exposed piping, and evidence of improper use or disposal of regulated substances. Freese and Nichols will document the condition of each property using photographs. Copies of photographs will be included in the report. 4. Report Preparation Following the completion of Tasks 1 through 3, a report will be prepared for the subject property documenting our findings. The report will contain a narrative of our findings, recommendations for additional environmental investigations, as needed, and copies of all data obtained relevant to each subject property. The report will contain appropriate maps, figures, and photographs. ADDITIONAL ENVIRONMENTAL SERVICES: Additional services to be performed by Freese and Nichols, if authorized by the CLIENT, which are not included in the above described basic Phase I ESA services, may include the following. Other tasks may be necessary which are not included in this list: A. Preparation of a Phase II ESA. If a Phase I ESA identifies a significant potential for environmental concerns, then a Phase II ESA is typically recommended to verify the presence or absence and the extent of contamination. Phase II ESAs involve a limited site investigation involving sampling of environmental media and analysis for suspected chemicals of concern (COCs). If contamination is confirmed at a subject property, there are multiple options available through the Texas Commission on Environmental Quality (TCEQ) to further investigate and address any environmental concerns found. B. Review of files at Texas Commission on Environmental Quality (TCEQ) or U.S. Environmental Protection Agency (EPA) offices. If a record of a potential environmental concern is found on the subject property or an adjacent site, additional information and actual reports regarding site conditions can often be found in public records maintained by regulatory agencies. These detailed records are not available in the general review of databases maintained by regulatory agencies. C. Meetings with the CLIENT or their designated representatives. The scope of this study is based on the information provided to us during scope meeting held at your office on October 5, 2011, your e -mail on November 1, 2011, January 4, 2012 and January 13, 2012 and will include the following: Mr. Mehran (Ron) Bavarian, P.E. Proposal No. 1140306499 Page 2 January 13, 2012 • Review the existing borings where applicable. • Core the existing pavement for boring access where required and where there is no flat (grass) area outside the pavement for drilling the borings. • Drilling and sampling of forty -nine (49) borings to depths ranging from 15 to 40 feet and installing eight (8) piezometers in existing boring. The continuous sampling will be performed from 0 to 10 feet and also in tunneling zone. The tunneling zone includes one bore diameter or minimum 6 feet above the pipe crown to one bore diameter or minimum 6 feet below the pipe invert. The intermittent sampling is performed at 5 foot intervals in the remainder depths of borings. Details of the borings and piezometer program are provided in Attachment No. 1. • Performing appropriate laboratory tests on selected samples including California Bearing Ratio (CBR) tests to develop engineering properties of the soil. • Perform engineering analyses to develop geotechnical recommendations for the design and construction of the water line and new roadway construction of McHard Road from Cullen Blvd to Mykawa. • Prepare a geotechnical report. The report will include all field data, laboratory test data and geotechnical recommendations. The recommendations as a minimum will include bedding and backfill for waterline, ground water control, earth pressure diagram for open cut and trenchless excavation, pavement thickness, subgrade stabilization and construction consideration. It is understood that the borings will be staked and tie -in after completion by your surveyors. Project Schedule The study will commence within two (2) weeks of receiving your written authorization or one (1) week after staking the boring whichever is latest. The field work should be completed in about three (3) weeks. Bad weather may require additional time. The laboratory tests should be completed in about seven (7) weeks after completion of field work. The draft report, which will include field and laboratory data and geotechnical recommendations, will be submitted in about eighteen (18) weeks after the Mr. Mehran (Ron) Bavarian, P.E. (ENGINEER) And Camp Dresser & McKee Inc. (SUBCONTRACTOR) Project Understanding Due to changes in current and expected future economic and population growth and source water and cost, the City of Pearland has a need to update the water model and associated water master plan last updated in April 2007. The City has a need for future water at the west side of the City currently provided by the Shadow Creek surface water connection. The current Capital Improvements Plan (CIP) includes future transmission from the Alice Street Water Plant across the City to the west to supplement future demand in conjunction with a plan for a west side surface water treatment plant. The City of Pearland is currently constructing a surface water connection with the City of Houston Water System at the Alice Water Plant. The project includes the expansion of the existing Alice Street Water Plant Facility to a 10 MGD surface water pump station, with a future expansion to 15 MGD, and allows the City to purchase City of Houston Southeast Water Purification Plant water at a cost of $ 0.55 per one thousand gallons. The City of Pearland's existing surface water connection with City of Houston at the Shadow Creek Water Plant has the capacity to take 6 MGD and purchases water from the City of Houston at a cost of $2.513 per thousand gallons plus a surcharge of $0.623 per one thousand gallons for flow that exceeds the minimum of 40 million gallons per month or 1.33 MGD. Because of the significant cost difference in the City of Houston water at Shadow Creek versus City of Houston SEWPP water at the Alice Street Pump Station, the City would like to review the options for expediting the McHard Road waterline currently in the CIP for 2015 to take more Alice Street Pump Station water to the west, to reduce the purchase of City of Houston water at Shadow Creek. Additionally the City would like to review the timing associated with the new west side surface water treatment plant identified in the current CIP. In order to clearly define the McHard Road waterline project, review the Shadow Creek connection, and timing associated with the new surface water plant a project specific update to the water model and master plan development is necessary. The updated model developed in the recent McHard Road Waterline Technical Memorandum will utilized as a base for this scope of work. In the McHard Road Waterline Technical Memorandum the Year 2015 demand scenario was updated to include completed projects and revised to excluded projects not expected to be complete by Year 2015. Update Existing Demand — Subcontractor will conduct a brief review of the data, assumptions, process and results of the water demand projections from the prior master plan and update demand based on current water billing data and TCEQ approved historical use data. A meeting will be scheduled with the City to verify existing demands and discuss their plans for future water demands. b. Update Development Review — Subcontractor will review the future development data from the prior master plan and update the model based on the most recent information from the city planning department. Ultimate demands will be allocated based on the allowable population density based on zoning and the projected use. c. Redevelopment Review - Review the potential for redevelopment with City Staff and updated city planning documents. Update redevelopment impacts to the City water demands. d. Update Estimate Future Demands - Combine current updated demand data (acquired from billing data and TCEQ approved historical use data), with the updated demand projections for undeveloped and redevelopment areas provided by the City to update intermediate demand scenarios between existing and build -out conditions. The update projected demands will be prepared as average summer, peak summer, peak hour, and average annual demand throughout the City. A table will be prepared clearly indicating current demand and future demands. e. Distribute Demands — Demands will be distributed based on geocoded customer billing points and demands associated with each parcel. f. Update Peaking Factor — Review current operation data and production data to identify the peak and minimum demand periods and associated factors. These factors will be applied universally to all demands to develop maximum and minimum day scenarios. Scenarios will be updated for average, minimum day, maximum day, and peak hour demand conditions. g. The demand scenarios will be updated based on growth areas, projected years, and projected population provided by the City Planning Department. The ultimate buildout demand scenario will be updated based on landuse and expected buildout density provided by the City Planning Department. Specifically the existing McHard Road waterline model scenarios to expedite the McHard Road waterline to the east and the possibility of reducing the City of Houston surface water connection to the west at Shadow Creek will be analyzed to re- evaluate the alternatives developed in the recent Technical Memorandum with and without the Kirby Road Elevated Stroage Tank project currently in the demand Year 2015. The required timing on the new west side surface water treatment plant will also be review. The updated model will be capable of evaluating changes in projected water demands, pressure criteria, fire flows, water operational modifications, and the impacts of improvements to the distribution system. The model will be verified based on data provide by the City from the distribution system and facility operations that reflects actual operation. The date will be used to compare the updated existing model predictions to field conditions. Following are the individual activities that are included in this task: a. UpdateNerify Facility Operations - Pump operations will be reviewed so they reflect current operations at each pumping location. Task 3 — Project Analysis The project analysis task includes a review of current and future conditions using the verified model and based on the previously established design criteria. The criteria to be reviewed and established include; allowable pressure ranges throughout the City, storage requirements, and facility capacities, and maximum velocities. The evaluation criteria include the requirements of the TCEQ. The analysis includes the review of the size and timing of the McHard Road waterline CIP project in the Year 2015 demand scenario during maximum and minimum day demand scenarios as is currently represented in the existing model with and without the 2 MGD Elevated Storage Tank on Kirby north of Clear Creek. This project is currently included as part of the Year 2015 demand sceanrio. The following associated scenarios will be re- evaluated based on the Kirby Elevated Storage Tank Project. • Scenario 1 — Demand Year 2015 - Analysis on break point for Shadow Creek flow for ADD with 16- inch McHard Road waterline • Scenario 2 — Demand Year 2015 - Analysis on break point for Shadow Creek flow MDD with 16- inch McHard Road waterline • Scenario 3 — Demand Year 2015 - Analysis on break point for Shadow Creek flow for ADD with 24- inch McHard Road waterline • Scenario 4 — Demand Year 2015 - Analysis on break point for Shadow Creek flow for MDD with 24- inch McHard Road waterline Additionally the analysis includes a review of the demand year timing of the new west side surface water treatment plant. The analysis would assume the McHard Road Waterline size based on the above results and final determination from the City. The new surface water treatment plant timing analysis will also assume that Shadow Creek continues to operate at the breakpoint defined above. • Scenario 5 — Between Demand Year 2015 and Buildout Demand Year - Review of the required timing of the new west side surface water treatment plant Task 4 — Deliverables — Updated Water Model and Technical Memorandum The model update deliverable will be a digital copy of the updated water model and a Technical Memorandum that documents the model update process and results. The SUBCONTRACTOR will deliver three copies of the Draft Technical Memorandum to the ENGINEER for review and comment. (FM 865) TO MYKAWA ROAD SCOPE OF SERVICES Project Description Located in City of Pearland, Texas, the proposed project is comprised of constructing /extending of approximately 3.5 -mile section of McHard Road between Cullen Blvd. (FM -865) and Mykawa Road. GC Engineering, Inc. (GCE) proposes to perform preliminary drainage analysis for this project. GCE's services will include; hydrologic and hydraulic analysis, conceptual design of storm water detention basins, storm sewer system comprising of water runoff collection and conveyance, and preparation of preliminary drainage report. It is understood that the proposed Right -of -Way (ROW) will be 120 feet wide in conformance with the City of Pearland (The City) requirements for a Major Thoroughfare. The proposed storm drainage system for the project will be based on the ultimate pavement section for a major thoroughfare which would consist of three 11 -foot wide lanes in each direction. GCE will render the following professional services to the City in connection with the development of the proposed project. A. Data Collection/ Site Reconnaissance GCE will obtain available information for the project area, which may include the following: o Latest LiDAR, topographic and aerial mapping for the area o Design plans and engineering studies for the existing McHard Road to the west of Cullen Blvd. and east of Mykawa Road, if available. o Conceptual roadway alignment drawings and other related documents prepared for the project by Freese & Nichols, Inc. (FNI) o Available latest hydrologic and hydraulic models for Clear Creek and Hickory Slough in the project vicinity. o Available subdivision plats and drainage reports for neighboring developments. o USGS 1:24000 scale quadrangles o Federal Emergency Management Agency (FEMA) Flood Insurance Rate Maps (FIRM) o FEMA effective Hydrologic and Hydraulic (H &H) models and studies for the area, and o USDA Soil Conservation District (SCD) soil maps. A preliminary site reconnaissance will be performed to identify site constraints such as; existing drainage structures, visible utilities, neighboring developments, streams, ditches, and other open water bodies and soil stratigraphy. Surveying Basic survey needs for this drainage study is included in the survey scope prepared by CL Davis Company (CLDC) for FNI. GCE will review available information, field edit drainage surveys performed by CLDC, and coordinate additional surveys, if required. CLDC surveys performed will include but not limited to: 1. Up to a total of eight (8) stream cross sections at two proposed outfall locations, one on Clear Creek and the other on Hickory Slough. 2. Limited number of cross sections on major road side ditches intersecting proposed McHard Road alignment. 3. Setting temporary bench marks including establishing vertical datum differences between Pearland Vertical Datum, HGCSD- 1987Adj., and NGVD1929- 1973Adj.; NGVD 1929- 1978Adj.; and TSARP Datum (NAVD1988- 2001Adj.). C. Hydrologic and Hydraulic Study The purpose of the Hydrologic and Hydraulic (H &H) study is to determine the existing H &H conditions and to perform a drainage impact analysis for the proposed improvements. Brief review of the available flood mapping for the project area indicates that the portion of the proposed McHard Road alignment between Garden Road (CR -109) and Mykawa Road lies within the Hickory Slough Watershed with approximately 60% of the alignment within the 100 - year floodplain. Based on the TSARP Mapping, approximately 600 feet of the proposed roadway encroaches Hickory Slough floodway longitudinally near Mykawa Road. The remainder of the project area lies within the Clear Creek Watershed with approximately 500 -foot section of the alignment near Cullen Boulevard (FM -865) located within the 100 -year floodplain. H &H Study will include the following: • Drainage design for McHard Road will be performed in accordance with the BDD4, and City of Pearland design requirements, as appropriate. GCE will review the available existing information including Hydrology/Hydraulic Studies, Geotechnical Investigation Reports, and Environmental Assessment and Wetland Delineation Reports for the project area. • Meet with the City/BDD4 to determine the parameters for design analysis for the I-I&H Study. • Perform a brief alternative analysis to determine a hydraulically efficient and cost effective drainage scheme consisting of conveyance measures through storm sewer and ditches, and storm water detention measures. In the preliminary phase, GCE will perform hydraulic analysis to determine detention needs for the proposed project. • Modify HEC -HMS and HEC -RAS hydraulic models for Clear Creek and Hickory Slough using available LiDAR and topographic information to incorporate drainage features within the project area. HEC -HMS models will be revised to separate sub drainage areas within McHard Road project limits. Iterate HEC -HMS and HEC -RAS model runs until the results converge to an acceptable range. • Analyze and determine approximate floodplain fill volumes based on the roadway alignment and available topographic information, and the provision of floodplain fill mitigation measures. • Identify up to three (3) potential storm water detention sites based on the preliminary hydraulic analysis. Preliminary review of available flood mapping for the project area indicates that the proposed widening may require two to three detention sites to fulfill storm water detention and floodplain fill mitigation needs. • Refine the H &H analysis for the selected storm water detention ponds by incorporating and routing the proposed flow through the ponds for the design storm events. D. Preliminary Drainage Report Preparation Based on the preliminary H &H analysis performed, a drainage report will be prepared. The report will include the following: • Existing Conditions including the findings from field reconnaissance and data search, • Existing and Proposed Hydrology and Hydraulics • Determination of Impacts • Proposed Floodplain Fill Mitigation and Storm Water Management Measures • Conclusions and Recommendations Preliminary Drainage Report will be submitted to Brazoria Drainage District 4 (BDD4) and the City for review and approval. Drainage design will be performed in accordance with the City and BDD4 requirements. E. Final Drainage Report Once the review comments are provided by the City and BDD4, GCE will address the comments and prepare Final Drainage Report. Final Drainage Report will be submitted to Brazoria Drainage District 4 (BDD4) and the City for review and approval. (FM 865) TO MYKAWA ROAD SCOPE OF SERVICES Project Description Located in the City of Pearland, Texas, the proposed project is comprised of the design of approximately 3.5 -mile section of McHard Road between Cullen Blvd. (FM -865) and Mykawa Road. GCE will provide Traffic Signal Warrant Studies (TSWS) for the following major road intersections along the proposed McHard Road alignment: 1. Hatfield Road 2. O'Day Road 3. Garden Road 4. Roy Road, and 5. Max Road The purpose of the TSWS is to determine the necessity for a signal installation at each of the McHard Road intersections at the road locations listed above based on safety and time delay benefits which may be derived by motorists and /or pedestrians. Analyses shall be performed in accordance with the procedures and criteria established in the latest edition of the Texas Manual on Uniform Traffic Control Devices. The work will also be performed in accordance with the City and County guidelines and procedures. GCE will utilize available traffic, accident, and other necessary information for the TSWS. GCE will also obtain from the City, the projected Average Daily Traffic (ADT) volumes for proposed McHard Road and five intersecting roads indicated above simulated using the Pearland Transportation Model currently under development. This information will be obtained for the anticipated built year as well as for the design year. In addition, GCE will conduct 24 -hour directional traffic counts at each of the five proposed intersection locations. TSWS shall be based on the project opening day traffic projections. A study report will be submitted to the Client for this task.
