R2011 -84 TOM REID MAYOR Exhibit "A" Resolution No. R2011 -84 HOUSTON GALVESTON AREA COUNCIL INTERLOCAL AGREEMENT FOR THE PEARLAND SUBREGIONAL PLANNING INITIATIVE AGREEMENT This hnterlocal Agreement, hereinafter referred to as "Agreement is made and entered into this 8 day of August, 2011, by and between the Houston Galveston Area Council, hereinafter referred to as "H -GAC having its principal place of business at 3555 Timmons Lane, Suite 1.20, Houston, Texas 77027 and the City of Pearland, TX hereinafter referred to as the "City having its principal place of business at 3519 Liberty Drive, Pearland, Texas 77581 RECITALS A. It is to the mutual benefit of the City and H -GAC that a Subregional Planning Study be performed to help achieve regional and community goals through the integration of transportation and land use planning and its incorporation into local plans, projects, and development strategies. B. The Subregional Planning Study (hereinafter called the "Study will: a. identify the transportation and land use goals and priorities of the City and other participating jurisdictions to create a subregional vision statement; b. assess existing conditions using a gap analysis to develop supportive strategies for the subregional vision; c. run scenario modeling and forecasting to evaluate transportation and land use alternatives for the subregion's future through the year 2040; and d. develop recommendations and implementation strategies based upon public /stakeholder input and scenario models to complete a Subregional Planning Initiative Plan. C. H -GAC shall fund the Study, in part, with federal funds. D. The total cash match amount of the participating jurisdictions is approximately $52,602.81. E. The City shall contribute a maximum of $44,827.37 toward the completion of the Study, as its share of the total cash match amount. F. H -GAC shall fund, or cause to be funded, the remaining cost of the Study. G. Upon Study commencement, the project timeframe will last approximately 12 months. NOW THEREFORE, for and in consideration of the mutual covenants, agreements, and benefits to the parties herein named, it is agreed as follows: 1 TERMS I. Upon execution of this Agreement, the City will deliver $44,827.37 to H -GAC as the City's cash match for the Study. Upon receipt of such funds H -GAC shall prepare, or cause to be prepared, the scope for the Study in consultation with the City. II. H -GAC will be responsible for the preparation of an agreement for professional services with a consultant in connection with the Study. H -GAC shall furnish to the City a copy of H -GAC's scope of work with the consultant. H -GAC shall forward to the City a copy of the completed Study. III. H -GAC will be responsible for administering the contract for the Study. During the course of the Study, the City shall have the right to access the Study sites, and review all docurnents, maps, plats, records, photographs, reports or drawings affecting said Study, provided however, that notice be given by telephone to H -GAC prior to any inspection of either the sites or documents and provided further that in conducting said inspections, the City shall not interfere with the work in progress. W. This Agreement shall be effective on the date the last party executes this Agreement and, except as provided in Section V, shall terminate upon the completion of the Study. Upon completion or termination of this Agreement, all data prepared for the Study shall be made available by H -GAC to the City, as provided by applicable law, without restriction or limitation on its further use. V. This agreement may be terminated for any of the following conditions by notifying the other party in writing: a. By mutual agreement and consent of both parties. b. Upon failure of either party to fulfill the obligations as set forth herein. c. Circumstances, prior to awarding the consultant contract, that increase the total Study cost. The termination of this agreement shall extinguish all rights, duties, obligations, and liabilities of H -GAC and the City under this agreement, except as provided in Section IV and Section VII. VI. H -GAC hereunder shall not use payment by the City to H -GAC for any purpose other than paying Study costs which include a state oversight fee and the development of the H -GAC Best Practices Planning and Implementation toolbox. VII. H -GAC shall cause funds paid by the City which are not needed to meet obligations due or contemplated to be due within sixty (60) days, to be invested in the same manner as similar funds are invested by H -GAC in accordance with IHI-GAC's investment policy. The determination. by H -GAC of said finds needed to meet such obligations is conclusive. Upon termination of this Agreement or completion of the Study, H -GAC will perform or cause to be performed an accounting. If total Study costs require less than the total cash amount of the participating jurisdictions, H -GAC will reimburse to the City its proportionate contribution, including interest earned, of the total cost of the project. VIII. H -GAC acknowledges and agrees that the City's sole obligation under this Agreement is to contribute match funding for the cost of the Study to the extent stated in this Agreement. 2 IX. H -GAC acknowledges that it is not an agent, servant, or employee of the City, and that it is responsible for its own acts and deeds during the performance of the work during the term of the Study. X. Each party understands and agrees that each party paying for the performance of governmental functions or services under this Agreement must make those payments from current revenues available to that party. It is expressly understood and agreed that the City and H -GAC have available the maximum sum to satisfy each entity's respective obligation under this Agreement and that the City and H -GAC shall not be obligated hereunder to expend more than that sum. XI. Any changes in the Agreement provisions or obligations of the parties hereto shall be enacted by written amendment executed by both the City and H -GAC. XII. Any notice required to be given under the provisions of this Agreement shall be in writing and shall be duly served when it shall have been deposited, enclosed in a wrapper with the proper postage prepaid thereon, and duly registered or certified, return receipt requested, in a United States Post Office, addressed to H -GAC or the City at the following addresses: City of Pearland: City of Pearland 3519 Liberty Drive Pearland, Texas 77581 Attention: Bill Eisen, City Manager H -GAC: Houston- Galveston Area Council P.O. These efforts will include the creation of a Stakeholder Advisory Committee (that will assist with the study process and assist with key project decisions), a public official's project development workshop, and public workshops. Task 3.0 Vision Development and Assessment of Current and Planned Transportation and Land Use Conditions and Needs A transportation and land use "vision"for the Pearland Subregion will be developed based on existing and future plans, stakeholder/local officials' input, and input from the public. A profile and needs assessment of current and expected multimodal transportation, land use and development, and demographics and economic development will be evaluated to determine a gap-analysis needed to reach the"vision". Task 4.0 Alternative 2040 Growth Scenario Definition and Analysis A 2040"Growth Scenario" will be defined by analyzing land use and transportation scenarios that reflect the future conditions and needs of the subregion. Task 5.0 Subregional Transportation and Land Use Plan Findings from the previous tasks, including the results of the scenario modeling and evaluation will develop a"blueprint" or vision for making planning decisions for the subregion. This Subregion Plan will describe how the transportation-land use vision can be implemented at the regional and local level. Task 6.0 Plan Implementation Workbooks Implementation workbooks will be created for each participating jurisdiction, that provide a realistic approach to implementing the subregional plan for short,medium, and long-range needs.
