TEXAS, AUTHORIZING A CONTRACT FOR ENGINEERING SERVICES
ASSOCIATED WITH THE HATFIELD BASIN TRUNK SEWER PROJECT.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract for design services associated with the Hatfield
Basin Trunk Sewer Project, a copy of which is attached hereto as Exhibit "A" and made a
part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest a contract for design services associated with the Hatfield
Basin Trunk Sewer Project.

CONTRACT FOR PROFESSIONAL SERVICES
SECTION I SERVICES OF THE CONSULTANT
Exhibit "A"

THIS CONTRACT is entered into on April 11, 2011, by and between the City of Pearland
"CITY and Freese and Nichols, Inc. "CONSULTANT
The CITY engages the CONSULTANT to perform professional services for a project known and
described as Hatfield Basin Trunk Sewer "PROJECT (Project WW1103)
The CONSULTANT shall perform the following professional services to CITY standards and in
accordance with the degree of care and skill that a professional in Texas would exercise under
the same or similar circumstances:
A. The CONSULTANT shall provide professional engineering services for
preliminary design, design, bid and construction administration phase services as
well as additional services including Phase I ESA, surveying, and geotechnical
services. See Exhibit A, attached, for a detailed SCOPE OF WORK and
PROJECT schedule. The PROJECT schedule shall be submitted in digital and
hard copy form in the Microsoft Project for Windows format.
B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost
of the PROJECT.
C. The CONSULTANT acknowledges that the CITY (through its employee
handbook) considers the following to be misconduct that is grounds for
termination of a CITY employee: Any fraud, forgery, misappropriation of funds,
receiving payment for services not performed or for hours not worked,
mishandling or untruthful reporting of money transactions, destruction of assets,
embezzlement, accepting materials of value from vendors, or consultants, and/or
collecting reimbursement of expenses made for the benefit of the CITY. The
CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY
employee to engage in such misconduct.
D. The CONSULTANT shall submit all final construction documents in both hard
copy and electronic format. Plans shall be AutoCAD compatible and all other
documents shall be Microsoft Office compatible. The software version used shall
be compatible to current CITY standards. Other support documents, for example,
structural calculations, drainage reports and geotechnical reports, shall be
submitted in hard copy only. All Record Drawings electronic files shall be
submitted to the CITY in TIF format.
E. The CONSULTANT recognizes that all drawings, special provisions, field survey
notes, reports, estimates and any and all other documents or work product
generated by the CONSULTANT under the CONTRACT shall be delivered to the
CITY upon request, shall become subject to the Open Records Laws of this State.

F. The CONSULTANT shall procure and maintain for the duration of this
Agreement, insurance against claims for injuries to persons, damages to property,
or any errors and omissions relating to the performance of any work by the
CONSULTANT, its agents, employees or subcontractors under this Agreement,
as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate.
(3)
Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of any one person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering
owned, hired, and non -owned vehicles, with minimum limits of
$1,000,000 for injury or death of any one person, $1,000,000 for each
occurrence, and $1,000,000 for property damage.
The CONSULTANT shall include the CITY as an additional insured under the
policies, with the exception of the Professional Liability Insurance and Workers'
Compensation. Certificates of Insurance and endorsements shall be furnished to
the CITY before work commences. Each insurance policy shall be endorsed to
state that coverage shall not be suspended, voided, canceled, and/or reduced in
coverage or in limits "Change in Coverage except with prior written consent of
the CITY and only after the CITY has been provided with written notice of such
Change in Coverage, such notice to be sent to the CITY either by hand delivery to
the City Manager or by certified mail, return receipt requested, and received by
the City no fewer than thirty (30) days prior to the effective date of such Change
in Coverage. Prior to commencing services under this CONTRACT,
CONSULTANT shall furnish CITY with Certificates of Insurance, or formal
endorsements as required by this CONTRACT, issued by CONSULTANT'S
insurer(s), as evidence that policies providing the required coverage, conditions,
and limits required by this CONTRACT are in full force and effect.

G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and
employees, harmless from any claim, loss, damage, suit, and liability of every
kind for which CONSULTANT is legally liable, including all expenses of
litigation, court costs, and attorney's fees, for injury to or death of any person, for
damage to any property, or errors in design, any of which are caused by the
negligent act or omission of the CONSULTANT, his officers, employees, agents,
or subcontractors under this CONTRACT.
H. All parties intend that the CONSULTANT, in performing services pursuant to this
CONTRACT, shall act as an independent contractor and shall have control of its
own work and the manner in which it is performed. The CONSULTANT is not to
be considered an agent or employee of the CITY.
SECTION II PERIOD OF SERVICE
This CONTRACT will be binding upon execution and end upon completion of construction.
SECTION III CONSULTANT'S COMPENSATION
A. The method of payment for this CONTRACT is payment by installments and
hourly not to exceed. Total compensation for the services performed shall be the
sum not to exceed $505,000.00.
B. The CITY shall pay the CONSULTANT in installments based upon monthly
progress reports and detailed invoices submitted by the CONSULTANT subject
to the following limitations:
1. Prior to approval of the preliminary design (30% plans), payments to the
CONSULTANT shall not exceed 30% of the total CONTRACT amount.
2. Prior to approval of the final design documents, payments to the
CONSULTANTS shall not exceed 60% of the total CONTRACT amount.
The final approval and payment will be made within a reasonable period
of time regardless of the project construction schedule.
3. If the scope of work of this CONTRACT includes the preparation of
studies, design concepts, or other investigations, progress payments shall
not exceed 90% of the total CONTRACT amount prior to submittal of the
fmal report deliverables.

C. The CITY shall make payments to the CONSULTANT within thirty (30) days
after receipt and approval of a detailed invoice. Invoices shall be submitted on a
monthly basis.
SECTION IV THE CITY'S RESPONSIBILITIES
A. The CITY shall designate a project manager during the term of this CONTRACT.
The project manager has the authority to administer this CONTRACT and shall
monitor compliance with all terms and conditions stated herein. All requests for
information from or a decision by the CITY on any aspect of the work shall be
directed to the project manager.
B. The CITY shall review submittals by the CONSULTANT and provide prompt
response to questions and rendering of decisions pertaining thereto, to minimize
delay in the progress of the CONSULTANT'S work. The CITY will keep the
CONSULTANT advised concerning the progress of the CITY'S review of the
work. The CONSULTANT agrees that the CITY'S inspection, review,
acceptance or approval of CONSULTANT'S work shall not relieve
CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or
its sub consultant(s) or in any way affect the CONSULTANT'S status as an
independent contractor of the CITY.
SECTION V TERMINATION
A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason
with or without cause by delivering written notice to CONSULTANT
personally or by certified mail at 11200 Broadway St. #2332, Pearland, Texas
77584 -9786. Immediately after receiving such written notice, the
CONSULTANT shall discontinue providing the services under this CONTRACT.
13. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all
drawings, special provisions, field survey notes, reports, estimates and any and all
other documents or work product generated by the CONSULTANT under the
CONTRACT, entirely or partially completed, together with all unused materials
supplied by the CITY on or before the 15 day following termination of the
CONTRACT.
C. In the event of such termination, the CONSULTANT shall be paid for services
performed prior to receipt of the written notice of termination. The CITY shall
make fmal payment within sixty (60) days after the CONSULTANT has delivered
to the CITY a detailed invoice for services rendered and the documents or work
product generated by the CONSULTANT under the CONTRACT.

D. If the remuneration scheduled under this contract is based upon a fixed fee or
definitely ascertainable sum, the portion of such sum payable shall be
proportionate to the percentage of services completed by the CONSULTANT
based upon the scope of work.
E. In the event this CONTRACT is terminated, the CITY shall have the option of
completing the work, or entering into a CONTRACT with another party for the
completion of the work.
F. If the CITY terminates this CONTRACT for cause and/or if the CONTRACTOR
breaches any provision of this CONTRACT, then the CITY shall have all rights
and remedies in law and/or equity against CONSULTANT. Venue for any action
or dispute arising out of or relating to this CONTRACT shall be in Brazoria
County, Texas. The laws of the State of Texas shall govern the terms of this
CONTRACT. The prevailing party in the action shall be entitled to recover its
actual damages with interest, attorney's fees, costs and expenses incurred in
connection with the dispute and/or action. CONSULTANT and CITY desire an
expeditious means to resolve any disputes that may arise between under this
CONTRACT. To accomplish this, the parties agree to mediation as follows: If a
dispute arises out of or relates to this CONTRACT, or the breach thereof, and if
the dispute cannot be settled through negotiation, then the parties agree first to try
in good faith, and before pursuing any legal remedies, to settle the dispute by
mediation of a third party who will be selected by agreement of the parties.
SECTION VI ENTIRE AGREEMENT
This CONTRACT represents the entire agreement between the CITY and the CONSULTANT
and supersedes all prior negotiations, representations, or contracts, either written or oral. This
CONTRACT may be amended only by written instrument signed by both parties. This
agreement supersedes any conflicting language in the proposal or scope
SECTION VII COVENANT AGAINST CONTINGENT FEES
The CONSULTANT affirms that he has not employed or retained any company or person, other
than a bona fide employee working for the CONSULTANT to solicit or secure this
CONTRACT, and that he has not paid or agreed to pay any company or person, other than a
bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other
consideration, contingent upon or resulting from the award or making of the CONTRACT. For
breach or violation of this clause, the CITY may terminate this CONTRACT without liability,
and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise
recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent
fee that has been paid.

SECTION VIII- SUCCESSORS AND ASSIGNS
This CONTRACT shall not be assignable except upon the written consent of the parties hereto.
The parties have executed this CONTRACT this 1 lth day of April, 2011.

Freese and Nichols (FNI) will render professional services in connection with the development
of the Project as defined in Exhibit A, Utilities Scope of Service for Hatfield Basin Trunk Sewer
and the Supplemental Scope of Services with Attachments.
FNI proposes to furnish our services as described herein in accordance with Attachment CO,
"Compensation The total fee shall be computed on the basis of Attachment CO but shall be a

Preliminary Design Phase Services

ARTICLE I
SUPPLEMENTAL SCOPE OF SERVICES
BASIC SERVICES: Freese and Nichols, Inc. (FNI) shall render the following professional services in
connection with the development of the Project described as: Hatfield Basin Trunk Sewer. Project limits are:
1) Hatfield Road from Magnolia Road to approximately 2,700' north of Broadway to a lift station named
Hatfield 2. This route will include a lift station named Hatfield 1 at Broadway; 2) Along a proposed easement
north of Mary's Creek from Hatfield Road to approximately 1,600' east and north to a lift station named
Centennial Village; 3) Fite Road from Hatfield Road to approximately 3,500' east and then north to a lift
station named Willowick. This route will include a lift station named Ashton Park at Fite McLean; 4)
McLean from Fite Road to approximately 1,900' north to a new manhole near McLean Water Plant for flow
diversion; 5) Broadway from Hatfield Road to Woody Street; and 6) Woody Street from Broadway to lift
station named Woody.
A. PRELIMINARY DESIGN PHASE SERVICES
Upon authorization from the CITY, FNI shall render the following services:
1. Data Collection
Items a) thru c) per Exhibit A, "Utilities Scope of Services for Hatfield Basin Trunk Sewer"
d) Coordinate with the Surveyor to gather critical flow lines, locations, depths related to six (6)
lift stations within the Project routes, connecting manhole on Magnolia Road, pipelines
information, and other pertaining information for the purpose of a preliminary assessment of
proposed trunk sewers.
e) Using the CITY's wastewater collection system GIS mapping, and scope of work as defined
herein, coordinate to receive maps, data, reports, lift station pumps capacity data, record
drawings, etc. on the existing wastewater collection lines and lift stations within the Project's
routes. Conduct a preliminary study of gathered information. Use Wastewater Model
information from CITY's InfoWorks system.
2. Prepare and Submit Preliminary Engineering Report (PER)
a) Conduct preliminary site visits along entire Project routes and lift stations to assess current
conditions.
b) Attend up to 5 progress meetings throughout the preliminary phase to report progress and
discuss and resolve preliminary design issues.
c) Use C1TY's latest GIS and aerial mapping to create a base map for the Project and place the
preliminary field survey information gathered onto this base map.
d) Using the base map, field information on lift stations and intake manhole on Magnolia Road,
data gathered from the CITY, conduct a conceptual trunk sewer engineering analysis to
establish limits of 36 24 and 12" trunk sewers, establish routes along right -of ways or
easements, and determine how many of six (6) lift stations can be eliminated based on their
depths versus trunk sewer depth. Loolc at alternative routes as necessary to facilitate easier
conflict resolutions, design and construction, in order to refine the location of the proposed
alignments.

e) Based upon refined locations, coordinate and authorize topographical survey, geotechnical
investigation, and Phase I ESA for the Project. See special services for detailed scopes.
f) Based on topographical survey and mapping prepare base exhibits and plan /profiles on 11x17
sheets with 1 =40' (H) and 1 =4' (V) scales for the purpose of 30% design to be included as
part of the PER.
g)
Conduct preliminary coordination with BDD #4, utility and pipeline companies as necessary
for this phase of Project.
h) Submit five (5) copies of Draft Report to the CITY for review and comments. Attend meeting
to discuss comments. FNI will provide a response to CITY's comments in writing.
i) Upon receipt of comments, finalize Report and submit five (5) bound copies along with
digital files to the CITY.
B. DESIGN PHASE SERVICES
Upon approval of Preliminary Engineering Report and authorization from the CITY, FNI shall provide
professional services in this phase as follows:
a) Prepare Construction Plans and Specifications
i. Attend a Design Phase kick -off meeting with the CITY.
ii. Conduct design related site visits.
iii. Attend up to 5 progress meetings throughout the design phase to report progress and discuss
and resolve final design issues.
iv. Prepare construction plans including cover sheet, layout sheets, horizontal and vertical control
sheets, detailed plan /profile sheets to 1 =20' (H) and 1 =2' (V) scale, connection to existing
lift stations being proposed to be removed, cased and encased bores, details, gathering of
standard details, and other associated drawings.
a. Submit five (5) sets (1 full size 4 half size) of 60 complete plans to the CITY for
review and comments. Attend meeting to discuss comments. FNI will provide a
response to CITY's comments in writing.
b. Upon receipt of 60 complete comments, continue further development of construction
plans and details to 90% level.
c. Submit five (5) sets (I full size 4 half size) of 90 complete plans, technical
specification and contract documents to the CITY for review and comments. Attend
meeting to discuss comments. FNI will provide a response to CITY's comments in
writing.
d. Upon final approval by the CITY, FNI will provide CITY five (5) sets of "Final" plans
and construction documents. In addition, FNI will provide the CITY with pdf copies of
the plans and specifications on a CD.
v. Prepare stormwater pollution preventions plans and details for the Project.
vi. Prepare TxDOT standard traffic control sheets to be included in the plans
C. BID PHASE SERVICES
Upon authorization from the CITY, FNI will proceed with the performance of services in this phase as
indicated in Exhibit A, "Utilities Scope of Services for Hatfield Basin Trunk Sewer."

ARTICLE II
ADDITIONAL SERVICES: Services that are not specifically listed in above Supplemental Scope of
Services or Attachments shall be considered as Additional Services to be performed by FNI, if authorized by
CITY and will be paid for as stated in the Compensation Attachment, Item D.2.
ARTICLE III
Upon separate Authorization from the CITY, and upon completion of the bid phase services, FNI will
proceed with the performance of construction phase services as described Exhibit A, "Utilities Scope
of Services for Hatfield Basin Trunk Sewer." FNI will endeavor to protect CITY in providing these
services however, it is understood that FNI does not guarantee the Contractor's performance, nor is
FNI responsible for supervision of the Contractor's operation and employees. FNI shall not be
responsible for the means, methods, techniques, sequences or procedures of construction selected by
the Contractor, or any safety precautions and programs relating in any way to the condition of the
premises, the work of the Contractor or any Subcontractor. FNI shall not be responsible for the acts or
omissions of any person (except its own employees or agents) at the Project site or otherwise
performing any of the work of the Project.
Upon authorization from the CITY, FNI provide the following Special Services:
1. Conduct Phase I Environmental Site Assessment for the proposed routes of the Project. This
service will be performed by FNI. See Attachment 1 for detailed scope.
2. Conduct topographical field survey, mapping, necessary boundary and preparation of parcel taking
descriptions for right -of -ways /easements for the Project. See Attachment 2 for detailed scope
from sub consultant.
3. Conduct geotechnical investigation for the Project consisting of 18 borings of which 8 will be 30'
deep and 9 will be 25' deep. See attachment 3 for detailed scope from sub consultant.
4. Reimbursable project expenses such as printing, deliveries, mileage, outside printing of plans and
construction document for all phases of Project.
TIME OF COMPLETION: FNI is authorized to commence work on the Project upon execution of this
AGREEMENT and agrees to complete the services in accordance with the following schedule:
1. Preliminary Phase: Upon authorization by the CITY, FNI shall proceed with performance of
professional services defined as Preliminary Design Phase, to submit Draft Report within 150
calendar days after date of authorization. Upon receipt of review comrnents, FNI shall submit
Final report within 30 calendar days thereafter. Topographical survey mapping, Phase 1 ESA
and Geotechnical Report will be completed in this phase. Preparation of parcel takings for
easements /ROW will be deferred to Design phase.

ARTICLE P1
2. Design Phase: Upon authorization by the CITY, FNI shall proceed with performance of
professional services defined as Design Phase, to submit Final plans and construction document
within 150 calendar days after date of authorization. Approval period by the CITY and other
agencies have not be accounted for.
3. Bid Construction Phases: Upon authorization by the CITY, FNI shall proceed with
performance of professional services defined Bid and Construction Phases until completion of the
Project.
If FNI's services are delayed through no fault of FNI, FNI shall be entitled to adjust contract schedule
consistent with the number of days of delay. These delays may include but are not limited to delays in CITY or
regulatory reviews, delays on the flow of information to be provided to FNI, governmental approvals, etc.
RESPONSIBILITIES OF CITY: CITY shall perform the following in a timely manner so as not to delay the
services of FNI:
A. Designate a person to act as CITY's representative with respect to the services to be rendered. Such
person shall have contract authority to transmit instructions, receive information, interpret and define
CITY's policies and decisions with respect to FNI's services for the Project.
B. Provide all criteria and full information as to CITY's requirements for the Project, including design
objectives and constraints, space, capacity and performance requirements, flexibility and
expandability, and any budgetary limitations; and furnish copies of all design and construction
standards which CITY will require to be included in the drawings and specifications.
C. Assist FNI by placing at FNI's disposal all available information pertinent to the Project including
previous reports and any other data relative to design or construction of the Project.
D. Arrange for access to and make all provisions for FNI to enter upon public and private property as
required for FNI to perform services.
E. Attend the pre -bid conference, bid opening, preconstruction conferences, construction progress and
otherjob related meetings and substantial completion inspections and final payment inspections.
F. Give prompt written notice to FNI whenever CITY observes or otherwise becomes aware of any
development that affects the scope or timing of FNI' s services, or any defect or nonconformance of the
work of any Contractor.

Phase I ESA Scope of Work
PHASE I ENVIRONMENTAL SITE ASSESSMENT
SCOPE OF WORK
The following Scope of Services describes tasks and responsibilities for Freese and Nichols, Inc. to
conduct a Phase I Environmental Site Assessment (ESA) for the proposed City of Pearland Hatfield
Basin Sanitary Sewer Trunk Line project, which includes installation of approximately 16,000 linear
feet of 36 -inch, 24 -inch, and 12 -inch sanitary sewer lines.
A Phase I ESA is a preliminary evaluation of the potential for chemical contamination which involves
the review of historical land use records for the site, a site visit, and interviews with property CITYs and
tenants. It does not involve the collection and analysis of samples from soils, groundwater, or other
environmental media. If a Phase I ESA identifies a significant potential for the occurrence of
environmental concerns, then a Phase II ESA is typically recommended to verify the presence or
absence of chemical contamination.
PHASE I ESA SERVICES:
This Phase I ESA will be conducted based on standards published by the Environmental Protection
Agency All Appropriate Inquiries (AAI) Final Rule and ASTM International (ASTM) under Standard
Guideline El 527-05, "Standard Practice for Environmental Site Assessments: Phase I Environmental
Site Assessment Process."
As a note, a Phase I ESA can reduce, but not eliminate, the level of risk for unidentified environmental
contamination. No Phase I ESA can guarantee the absence of contamination. Only sampling and
analysis can confirm the presence or absence of chemical contamination at a site. Sampling and analysis
are beyond the Scope of Services for this Phase I ESA. Additionally, this Phase 1 ESA does not include
an investigation or survey for the presence of mold or asbestos.
In the absence of any standards, the opinions and conclusions found in the Phase I ESA will be based on
caution and conservatism by an experienced professional. Environmental regulations are continually
changing, and a site determined to be uncontaminated based on current regulations and /or technical
standards could be considered a contaminated site in the future based on new or amended regulations or
standards.
Freese and Nichols shall render the following professional services in connection with completion of the
Phase 1 ESA:
1. Historical Land Use Review
Perform an investigation into prior CITYship and past land uses on the subject property. Freese
and Nichols will attempt to identify obvious' uses of the subject property from the present back
to the property's first developed use, or back to 1950, whichever is earlier. To accomplish this
task, Freese and Nichols will review the following records (if available):
a. Interviews with City representatives and property CITYs /tenants.
b. Historical aerial photography.
c. City directory abstracts.
d. Sanborn fire insurance maps.
e. Recorded environmental easements or liens on the subject property.
2. Regulatory Agency Records Review
Freese and Nichols will review information found in federal and state regulatory records for the subject
property, including records related to environmental related permits, notices -of- violation, and incidents
involving use, disposal, or accidental release of hazardous substances, petroleum products, or other waste
materials. Local records, if available, related to the subject property will also be reviewed for indications
of environmental concern.
3. Site Reconnaissance Visit
Freese and Nichols will perform a site reconnaissance visit to the subject property. Existing
environmental conditions will be documented on the site. Freese and Nichols will look for
potential indicators of environmental concerns such as stained soils or other surfaces, stressed
vegetation, exposed piping, and evidence of improper use or disposal of regulated substances.
Freese and Nichols will document the condition of each property using photographs. Copies of
photographs will be included in the report.
4. Report Preparation
Following the completion of Tasks 1 through 3, a report will be prepared for the subject
property documenting our findings. The report will contain a narrative of our findings,
recommendations for additional environmental investigations, as needed, and copies of all data
obtained relevant to each subject property. The report will contain appropriate maps, figures,
and photographs.
ADDITIONAL ENVIRONMENTAL SERVICES:
Additional services to be performed by Freese and Nichols, if authorized by the CLIENT, which are not
included in the above described basic Phase I ESA services, may include the following. Other tasks
may be necessary which are not included in this list:
A. Preparation of a Phase II ESA. If a Phase I ESA identifies a significant potential for
environmental concerns, then a Phase Il ESA is typically recommended to verify the presence or
absence and the extent of contamination. Phase 11 ESAs involve a limited site investigation
involving sampling of environmental media and analysis for suspected chemicals of concern
(COCs). If contamination is confirmed at a subject property, there are multiple options available
through the Texas Commission on Environmental Quality (TCEQ) to further investigate and
address any environmental concerns found.
B. Review of files at Texas Commission on Environmental Quality (TCEQ) or U.S.
Environmental Protection Agency (EPA) offices. If a record of a potential environmental
concern is found on the subject property or an adjacent site, additional information and actual
reports regarding site conditions can often be found in public records maintained by regulatory
agencies. These detailed records are not available in the general review of databases maintained
by regulatory agencies.
C. Meetings with the CLIENT or their designated representatives.
RESPONSIBILITIES OF TIIE CLIENT:
A. Obtain access to the properties /proposed right-of-way for Freese and Nichols to conduct site
visit.
B. Provide Freese and Nichols with access to any environmental records or other information
possessed by the Client regarding the subject property, including but not limited to permits,
confirmation sampling results, hazardous substance inventories, disposal records, records of
spills or complaints, etc.

Dear Mr. Bavarian,
This letter is our proposal to provide surveying and mapping services in connection with the
proposed Hatfield Basin Trunk Sewer Project for the City of Pearland, Brazoria County, Texas.
Based on our discussions, the information you furnished and visits to the sites, our
understanding of the project scope of work is as follows:
PRELIMINARY ENGINEERING STUDY
1. Establish horizontal control based on the NAD83 Texas State Plane Coordinate System,
South Central Zone.
2. Establish vertical control based on the City of Pearland Control Monuments using NGVD
1929, 1987 adjusted values.
3. Horizontally locate the six (6) lift stations and two (2) sanitary sewer manholes that are
identified as being part of this study.
4. Determine the flowline elevation of the influent pipe to the wetwells in the six (6) lift
stations and the flowline elevations of the pipes in the two (2) sanitary sewer manholes
identified as being part of this study.
5. Have the two (2) pipelines that cross Hatfield Road within the project area probed and
marked for location and amount of cover. WSG will then determine the horizontal
location and elevation of the top of pipe of the two (2) pipelines.
6. Determine the flowline elevation of the "Corrigan Diversion Ditch" and the flowline
elevation of Mary's Creek within the project area.
7. Prepare an Excel spreadsheet to report the coordinates and elevations determined for
the six (6) lift stations, two (2) sanitary sewer manholes, the two (2) pipelines and the
two (2) creek /ditch crossings.
8. Provide the excel spreadsheet information to Freese Nichols.

TOPOGRAPHIC SURVEYS
The areas to be surveyed will cover one -half (1/2) of the following right -of -way segments:
Hatfield Road From the Lift Station located approximately 1070 -feet south of Orange
Street southward to Jasper Road and along Jasper Road to the north right -of -way line
of West Broadway Street. (Approx. 2,600 L.F.)
Hatfield Road From West Broadway Street southward to the existing sanitary sewer
manhole located on the north side of Magnolia Blvd. (Approx. 5,250 L.F.)
West Broadway Street From Jasper Road eastward to Woody Road (Approx. 2,200
L.F.)
Woody Road From the north line of West Broadway Street northward to the Lift
Station located at the north end of the Jamison Middle School detention pond. (Approx.
1,500-feet)
Fite Road From Hatfield Road eastward to the Willowick Subdivision Detention Pond
and then northward to the Lift Station located at the north end of the detention pond.
(Approx. 4,600 L.F.)
McLean Road From Fite Road northward to the sanitary sewer manhole located on
the north side of water tower. (Approx. 1,900 L.F.)
Mary's Creek Frorn Hatfield Road eastward along the north side of Mary's Creek and
then northward between the Centennial Village Subdivision Detention Pond and the
Ashton Park Subdivision Detention Pond to the Lift Station. (Approx. 1,500 L.F.)
The survey will cover from the centerline of pavement to 25 -feet outside of the right -of -way
line. The half of the right -of -way to be surveyed will be mutually determined by the City of
Pearland and Freese Nichols and reported to The Wilson Survey Group (WSG) prior to the
commencement of the topographic surveys.
1. Establish horizontal and vertical control points for each segment to be surveyed. The
nature, location and density of the points will be sufficient to be recovered or re-
established and utilized during the construction phase of this project.
2. Contact the private utility providers and pipeline companies to mark and provide the
depth of the underground utilities within the project areas. We understand that the City of
Pearland will be responsible for marking the underground routing of the City water lines.
3. Recover sufficient property corner monumentation to be able to establish the horizontal
location of the right -of -way line.
4. Horizontally locate all visible features within the project areas, including, but not limited
to: pavement, drives, culverts, signs, significant trees (or the edge of the limits of trees
in high density areas), power poles, valves, meters, fire hydrants, pipeline markers,
ditches, bridges, manholes, inlets, structures, etc.
5. Establish cross section elevations at 50 -foot intervals. A typical cross section will have
elevations established at the centerline of pavement, edge of pavement, top of banks of
ditch, flowline of ditch, right -of -way line and 25 -feet outside of the right -of -way.
6. WSG will prepare a 2 -D plan map with the surface TIN created showing the results of
the survey using AutoCAD Civil 3D 2011. WSG will provide the DWG files of the final
drawings.

PARCEL ACQUISITION
1. Obtain copies of the recorded deeds and subdivision maps for the parcels to be
acquired.
2. Recover sufficient property corner monumentation to establish property lines in the
areas that will require additional easements to accommodate the proposed sewer lines.
3. Perform the calculations necessary to define the lines and areas of the tracts to be
acquired.
4. Prepare a right -of -way map showing the parcels to be acquired for each segment.
5. Prepare metes and bounds descriptions and individual parcel maps for each tract to be
acquired.
6. Provide four (4) signed and sealed copies of each parcel map, description and right -of-
way map. The DWG files of these maps will also be provided.
7. There is an allowance of a maximum of twenty -four (24) parcels in this proposal.
RECOVER AND RE -MARK CONTROL FOR CONTRACTOR
WSG will recover and re -mark the horizontal and vertical control points for the construction
contractor provided this request is made within eighteen (18) months of the completion of the
field surveys. There is a maximum of three (3) mobilizations allowed in this proposal. WSG
reserves the right to submit current hourly rates if this portion of the work is authorized more
than one (1) year after the completion of the field surveys.
We propose to perform the outlined work on an hourly basis, not to exceed $140,000.00. Actual
invoicing will be in accordance with the attached Hourly Rate Sheet. The schedule for
accomplishing this work will be determined at the time of authorization.

qualifications to provide Geotechnical Engineering Services for the above referenced project.
This letter outlines our understanding of the scope of services to be performed by Terracon for
this project and provides an estimate of the cost of our services.
A. PROJECT INFORMATION
This project includes approximately 18,000 linear feet of sanitary sewer installation along
Hatfield Road, Fite Road, Broadway Street and Woody Road in Pearland, Texas. A plan of the
proposed sanitary sewer alignment is attached with this document. The proposed trunk sewer
lines are planned to be 12 -inch, 24 -inch and 36 -inch in diameter.
We understand the majority of the installation will be open excavated with a minimum of about
6 feet of cover. If augering method is utilized, we anticipate the installation will have augerline
depths ranging from about 15 to 20 feet. We understand the proposed sanitary sewer will cross
Mary's Creek near Magnolia Street and near Broadway Street. Slope stability analysis of Mary's
Creek at proposed pipeline crossings is not requested at this time.

B. SCOPE OF SERVICES

A brief summary of the services to be provided by Terracon is provided in the following
paragraphs.
Field Program. As requested, the field program is planned to consist of drilling a total of
eighteen (18) borings to depths ranging from 25 to 30 feet. Borings may be advanced through
the existing pavement. In addition, five (5) piezometers are requested to be installed to observe
groundwater levels. The locations of the piezometers will be decided at the time of our field
program.
Based on the information provided to us, the boring schedule is planned to be as follows:
We anticipate that the proposed project alignment can be accessed with ATV (All- Terrain
Vehicle) mounted drilling equipment. The drilling services for this project will be performed by a
drilling subcontractor or Terracon's in -house drillers. During drilling, soil samples will generally
be collected utilizing open tube samplers or the Standard Penetration Test. Once the samples
have been collected and classified in the field, they will be properly prepared and placed in
appropriate sample containers for transport to our laboratory.
The borings will be located by measuring distances from existing street and /or property corners,
which shall be shown on the drawings provided to us. Therefore, the layout of the borings and
test locations will be approximate. Boring depths will be measured from existing grades. At the
completion of drilling, the borings will be backfilled with soil cuttings and patched at the surface
with concrete (if necessary).
The piezometers are planned to be 2 -inch PVC pipes with a 10 -foot screen surrounded by filter
sand (No. 20 to No.40 sieve material). Water level readings are planned to be obtained on a
weekly basis for a period of one month after installation of the piezometers. After the monitoring
period of one month, the piezometers are planned to be left in place.

This document does not include services associated with boundary and topographic survey
work, and site access for unusually soft or wet surface conditions. Terracon will notify DIG
TESS, a free utility locating service, to help locate public utilities within the vicinity of the
alignment. If underground utilities are known to exist along the waterline, Terracon should be
provided the opportunity to review utility plans to avoid the existing lines. Terracon cannot be
responsible for damage to unmarked and /or unlocated utilities for which we are unaware or that
are improperly located.
Since some of the borings may be located on existing pavements, we anticipate that some form
of traffic control may be needed during our field activities. We recommend that traffic control be
arranged by the Client. If desired, Terracon can arrange for traffic control, which will be provided
by a sub contractor familiar with local traffic safety ordinances. The additional cost associated
with traffic control is provided in the "Details of Cost Estimate" sheet.
Laboratory Testing. The sample classifications will be reviewed by a Geotechnical Engineer in
the laboratory, and a laboratory testing program will be assigned which will be specific to the
project requirements and the subsurface conditions observed. The testing program could
include, but may not be limited to, moisture contents, unit dry weights, Atterberg Limits,
compressive strength tests, and grain size analyses.
Engineering Report. The results of our field and laboratory programs will be evaluated by a
registered professional Geotechnical Engineer. Based on the results of our evaluation, an
Engineering report will be prepared which details the results of the testing performed and
provide Boring Logs and a Boring Location Diagram. The report will provide Geotechnical
Engineering recommendations which will address soil and groundwater conditions, groundwater
control, utility excavations, trench bedding and backfill, uplift, augering, and general earthwork
recommendations. In addition, recommendations will be provided for subgrade preparation for
pavement repairs, if necessary.
Schedule. We can initiate our field operations within three to five working days following
authorization to proceed, if site access and weather conditions will permit. Our field activities
should be completed within about four to five days. We anticipate completion of our services
and submittal of our final report within three weeks after completion of our field services. In
situations where information is needed prior to submittal of our report, we can provide verbal
information or recommendations for specific project requirements directly after we have
completed our field and laboratory programs.

C. COMPENSATION
For the scope of services outlined in this document, we estimate the following costs.

The cost of our services will not exceed this estimate unless the scope of work is modified with
the approval of the client.
Additional consultation (such as attendance on project meetings, conference calls, engineering
analyses, review of project documents, etc.) requested will be performed on a time and material
basis. The fee to provide additional consultation services will be invoiced in accordance with the
attached unit rates in concurrence with your approval. Any project and /or scope changes
requiring additional or revised analyses will also incur additional charges. We will provide you an
estimate of additional charges for authorization prior to executing the scope changes.
D. CLOSURE
Environmental Considerations. In an effort to reduce the potential for cross contamination of
subsurface media and exposure of site workers to contaminants that might be present at the
site, Terracon requests that prior to mobilization to the site, the Client informs Terracon of
known or suspected environmental conditions at or adjacent to the site. If adverse
environmental conditions are present, additional expenses may be necessary to properly protect
site workers and abandon borings that penetrate affected groundwater- bearing units. If an
environmental assessment has not been conducted at the site, Terracon can submit a proposal
for the performance of a Phase 1 Environmental Site Assessment (ESA).
If Terracon is not informed of potentially adverse environmental conditions prior to the initiation
of Geotechnical field services, Terracon will not be responsible for cross- contamination of
groundwater aquifers, soil contamination, or any modification to the environmental conditions to
the site that may occur during our Geotechnical services. The Geotechnical Scope of Services
described above is based on our assumption that the site does not pose environmental risks to
the personnel conducting the Geotechnical exploration services.

Agreement for Services. The work will be performed under a mutually agreed upon client's
Agreement for Professional Services which will be signed once the budget estimate is accepted,
and upon completion of review by our legal department. We will provide you with our comments,
once our review is completed.
