R98-37 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, AUTHORIZING THE CITY MANAGER TO EXECUTE A PIPELINE ADJUSTMENT AGREEMENT WITH TEXACO PIPELINE INC., A DELAWARE CORPORATION, FOR ADJUSTMENT OF PIPELINES IN CONNECTION WITH THE IVIcHARD ROAD OVERPASS. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain P/pe//ne Adjustment Agreement by and between the City of Pearland and Texaco Pipeline Inc., a Delaware corporation, a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest the original of the attached agreement for and on behalf of the City of Pearland. Mueller 3519 Liberty Drive Pearland, Texas 77581-5416-19 Dear Mr. Mueller: Re: Adjust West Columbia-E.Houston: 16-Inch Pipeline To Accommodate Construction of New Road Surface McHard Road Pearland, Texas W.O. 9265 Walsh Engineering, Inc. has requested that Texaco Pipeline Inc. adjust its sixteen- inch pipeline to accommodate the installation of a new road (McHard Road) across its pipeline in Pearland, Texas. Texaco Pipeline Inc. will make the necessary adjustment and furnish all labor and material provided the City of Pearland will reimburse said Company the entire cost of the project which includes 16% related indirect cost. For your information, the total cost is estimated to be $81,179.00, all as shown on copy of estimate attached hereto. You are advised that this is an estimate only based on current prices and any delay or unforeseen contingencies could possibly increase the cost; however, reimbursement will be based on the final total costs. Our offer to make this adjustment in accordance with the terms herein is valid for a period of ninety days (90) from the date of this letter. Texaco Pipeline Inc. proposes to use its blanket contractor to make this adjustment. It is acknowledged that the City of Pearland has heretofore paid $1,000.00 to sai Company as advance payment for the preliminary engineering involved with the adjustment and that said $1,000.00 shall be credited toward the total cost of the adjustment. Therefore, if you are agreeable to the above proposal and to the use of the Company's blanket contractor, please indicate your acceptance by having this letter signed in the space provided below and returning the original Alan Mueller Page 2 April 7, 1998 to this office along with the minutes of the meeting authorizing its execution and a Cashier's Check in the amount of$80,179.00. Upon completion of the work and final accounting, should the total cost of the project exceed the estimate amount, the City of Pearland will pay the additional amount. Each company requires that their approved contractors perform the work on the pipeline and the City reimburse them for the work. We already have an executed agreement with Houston Pipeline for$99,407 and I am still waiting for the agreement from Seminole (cost estimate is $50,000). Attached is the agreement from Texaco (cost estimate is $81,179). Texaco requires a specific authorization from the Council and a copy of the minutes before they will proceed. Please prepare a resolution for the April 27 Council meeting authorizing Paul to sign the agreement. Please contact me if you have any questions. Thanks.
