R2003-143 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, AUTHORIZING THE PEARLAND ECONOMIC DEVELOPMENT COPORATION TO ENTER INTO AN ENGINEERING CONTRACT WITH TURNER, COLLIE AND BRADEN FOR PRELIMINARY ENGINEERING SERVICES ASSOCIATED WITH THE EXTENSION OF KIRBY DRIVE. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain contract by and between the Pearland Economic Development Corporation and Turner Collie and Braden, a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved. COKER CITY ATTORNEY CITY OF PEARLAND STANDARD AGREEMENT FOR ENGINEERING SERVICES Exhibit "A" Resolution R2003-143 This Contract (Contract) is made between the City of Pearland, Texas (hereinafter "City"), and Turner Collie & Braden Inc. (hereinafter "Engineer") as follows: 1. Summary of Contract Terms. The following information and referenced documents shall be a part of this Contract: Description of Project: Provide professional engineering, survey, geotechnical and environmental services for Kirby Drive from Beltway 8 to FM 2234. Delivery of PER, Geotechnical, Environmental and H&H Reports: 90 Calendar Days from written Notice to Proceed. Attachments: Scope of Services - Exhibit A Project Schedule - Exhibit B 2. Services and Payment. Engineer shall perform services within the Standard of Care of the Engineering profession as follows: A. Engineer will furnish services to the City in accordance with the terms and conditions specified in this Contract. Payment for the services of Engineer shall be due and payable upon submission and approval of a statement for services to City. Statements for services shall not be submitted more frequently than monthly. After consultation with the City, the Engineer shall specify the basis of compensation in the scope of work for the project. The Engineer shall provide adequate detail of the basis of compensation so that the City can determine the reasonableness of the fees and have the ability to make reasonable progress payments to the Engineer based upon work completed at the payment intervals. The Engineer shall subcontract for all subconsultants, subject to City approval, necessary to complete the scope of work. The subconsultant's fees and administrative mark-up, if any, shall be included in the scope of work. Unless otherwise agreed upon, the method of compensation shall be one of the following methods: 1. Salary Cost Times Multiplier Plus Direct Nonsalary Expense ("Salary") Compensation shall be based on 1) the direct salaries (including benefits) of the Engineer's employees whose time is directly chargeable to the project; 2) an agreed upon multiplier to compensate the Engineer for overhead and profit; and 3) reimbursement for direct nonsalary expenditures and subconsultant contracts as defined in the scope of work for the project. The Engineer shall provide a proposal that includes the total fees for the project, which shall not be exceeded without prior City approval. 2. Per Diem ("Per Diem") Compensation shall be based upon 1) an agreed upon lump sum per day for specific services; and 2) reimbursement for direct nonsalary expenditures and subconsultant contracts as defined in the scope of work for the project. This method is best suited to expert witness work or other short-term engagements involving intermittent services. 3o Cost Plus Fixed Fee ("Cost Plus") Compensation shall be based upon 1) reimbursement of the actual costs of all services and supplies related to the project and 2) an agreed upon fixed fee (profit). The Engineer shall provide an estimate of the costs to be reimbursed, but actual compensation shall be based upon invoices and supporting documentation provided by the Engineer. 2 4. Lump Sum ("Lump") Compensation shall be based upon an agreed lump sum payment for completing the entire scope of work. This method is best suited to investigations or studies and for basic services with limited scope and complexity. 5. Percent of Construction ("Percent") Compensation shall be based upon 1) the "Harris County Curve for Engineering Compensation" for basic and construction phase services; and 2) reimbursement for direct nonsalary expenditures and subconsultant contracts as defined in the scope of work for the project. The Engineer shall provide a proposal that includes the estimated construction cost of the project and the total fees for the project. If the actual Iow bid for construction is 20% above or below the estimate, the engineering fees are subject to equitable adjustment by mutual agreement of the Engineer and City. If City fails to make any payment due Engineer for services and expenses within thirty (30) days after receipt and approval of Engineer's statement for services therefore, the amounts due Engineer will be increased at the rate of one percent (1%) per month from said thirtieth (30th) day, and, in addition, Engineer may, after giving seven (7) days' written notice to City, suspend services under this Contract until Engineer has been paid in full, all amounts due for services, expenses, and charges. B. All the Engineer's working drawings, plans, and specifications, if required under this Contract, shall be sufficiently accurate, detailed, and complete so that competitive bids for the work can be obtained and the improvements constructed. C. Approval of the Engineer's work by the City shall not release the Engineer, its employees, agents, or consultants, from the responsibility and liability for the accuracy and competency of their designs, working drawings, and specifications, or other documents and services. D. Subject to Article 8 herein or as otherwise agreed, the Engineer shall promptly correct errors in the Engineer's work, including errors discovered after final payment, without receiving additional compensation. E. Prior to execution of this agreement, the Engineer shall have prepared a project schedule identified as an attachment to this agreement. The Project Schedule shall be submitted in digital and paper form, in the Microsoft Project for Windows format. The Project Schedule shall contain a complete schedule so that the Engineer's scope of services under this contract can be accomplished within the specified time and contract cost. The Project Schedule will provide specific work sequence and definite review times by the City and the Engineer of the work performed. If the review time should take' longer than shown on the project schedule, through no fault of the Engineer, additional contract time may be authorized by the City through a supplemental agreement, if requested by a timely written request from the Engineer and approved by the City. 3. Term and Termination. This Contract term will begin upon execution and end sixty days after issuance of the certification of completion of construction by the Engineer. The City may terminate this Contract at any time during its term by giving written notice to Engineer. The City shall pay the Engineer for all services rendered to the date of termination. 4. Modifications. City without invalidating the Contract, may order changes within the general scope of the work required by the Contract by altering, adding to and/or deducting from the work to be performed. If any change under this clause causes an increase or decrease in Engineer's cost of, or the time required for, the performance of any part of the Services under the Contract, an equitable adjustment will be made by mutual agreement and the Contract modified in writing accordingly. 5. Subcontracts. If, for any reason, at any time during the progress of providing services, City determines that any subcontractor for Engineer is incompetent or undesirable, City will notify Engineer accordingly and Engineer shall take immediate corrective action, which may include cancellation of such subcontract. Subletting by subcontractors shall be subject to the same regulations. Nothing contained in the Contract shall create any contractual relation between any subcontractor and City. 6. Ownership of Documents. All drawings, report data, and other project information developed in the execution of the services provided under this Contract shall be the property of the City upon payment of Engineer's fees for services. Engineer may retain copies for record purposes. Owner agrees such documents are not intended or represented to be suitable for reuse by City or others. Any reuse by City or by those who obtained said documents from City without written verification or adaptation by Engineer will be at City's sole risk and without liability or legal exposure to Engineer, or to Engineer's independent associates or consultants, and City shall indemnify and hold harmless Engineer and Engineer's independent associates and consultants from all claims, damages, losses, and expenses including attorneys' fees arising out of or resulting therefrom. Any such verification or adaptation will entitle Engineer to further reasonable compensation. Engineer may reuse all drawings, report data, and other project information in the execution of the services provided under this Contract in Engineer's other activities. Any reuse by Engineer will be at Engineer's sole risk and without liability or legal exposure to City, and Engineer shall indemnify and hold harmless City from all claims, damages, losses, and expenses including attorneys' fees arising out of or resulting therefrom. 7. insurance. A. The Engineer shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors and omissions relating to the performance of any work by the Engineer, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers' Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person,. $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. B. The Engineer shall include the City as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers' Compensation. Certificates of Insurance and endorsements shall be furnished to the City before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, reduced in coverage or in limits except after thirty (30) days prior written notice by certified mail, return receipt requested, has been given to the City. Upon request, certified copies of all insurance policies shall be furnished to the City. 8. Indemnity. Engineer shall indemnify and hold the City, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which Engineer is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the Engineer, his officers, employees, agents, or subcontractors under this Contract. 9. Assignment. Engineer shall not assign this Contract without the prior written consent of the City. 10. Law Governing and Venue. This Contract shall be governed by the law of the State of Texas and no lawsuit shall be prosecuted on this Contract except in a court of competent jurisdiction located in Brazoria County, Texas. 11. "Entire Contract. This Contract represents the entire Contract between the City and the Engineer and supersedes all prior negotiations, representations, or contracts, either written or oral. This Contract may be amended only by written instrument signed by both parties. Purchase orders issued under this Agreement shall contain a statement nullifying additional terms and conditions on the reverse side of the purchase order and referencing this Agreement. 12. Conflicts in Contract Documents. The above provisions shall govern over any conflicting provision contained in any referenced contract document specified above. 13. Dispute Resolution Procedures. The Engineer and City desire an expeditious means to resolve any disputes that may arise between them regarding this Contract. To accomplish this, the parties agree to mediation as follows: If a dispute arises out of or relates to this Contract, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before bringing any legal action, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. (TCB) is pleased to submit this proposal to provide professional engineering services for the above-referenced project. The engineering services consist of performing preliminary engineering services to detail the extension of Kirby Drive and utilities from Beltway 8 south to FM 2234. The project is described as follows: PROJECT This project extends Kirby Drive south from Beltway 8, across Clear Creek to the end of the existing pavement north of FM 2234. The project will include four-lane divided concrete pavement with left turn lanes, storm sewers, stormwater detention facilities, sanitary sewers, wastewater lift station, water mains, bridge across Clear Creek and traffic signals at Beltway 8. Water and wastewater systems will be tied into the existing utility facilities at Kirby and FM 2234. SCOPE OF SERVICES Preliminary Engineering TCB will prepare the preliminary engineering studies and designs for the Project. Such studies and designs shall consist of preliminary layouts, sketches, recommended final design criteria, outline of specifications, and construction cost estimates. A Preliminary Engineering Report shall be prepared in sufficient detail so as to (1) clearly indicate anticipated problems; (2) recommended alternate solutions to the problems; (3) identify the possible "alternate" bid items for the Project recommended by TCB; and (4) show recommended division into separate construction packages, if any. TCB shall attend conferences with officials from local, state and federal agencies, utility companies, PEDC, and other entities as necessary for the Project. Topographic and Right-of-Way Surveys Survcon Inc. will perform the topographic and ROW surveys for this project. It is anticipated that all visible above-ground features in the project area will be picked up. The underground utilities will be surveyed as marked on the ground by the utility owners. Cross sections will be taken along the proposed roadway and Clear Creek. Available record drawings from the City of Pearland will be collected to check the surveyed data. Private utility company representatives will be contacted for information on their existing facilities. The survey will conform to the City of Pearland and Brazoria County Drainage District No. 4 surveying requirements. 1. Phase I Tasks B. C. D. E. Abstract the property Establish horizontal and vertical control Obtain fight-of-entry to the private property Determine the boundaries of the parent tracts Establish a control baseline along the approximate route of the proposed right-of- way and staking same on the ground Prepare package of digital information for purpose of establishing the centerline of the proposed right-of-way. All control for the project will be tied to the Texas State Plane Coordinate System, South Central Zone. GPS will be utilized to establish the primary control points. City of Pearland monuments will be used as the basis of the control, if possible. The property will be abstracted to determine ownership as well as determine if any easements or rights-of- way currently exist. Based on tax maps obtained from the Harris County Appraisal District, there are approximately twenty (20) parcels that will need to be abstracted. Sufficient field work and office calculations will be performed to establish the locations of the boundaries of the overall tracts along the proposed route. Per your request, rights-of- entry will be obtained not only for survey personnel but also for Terra-Mar, Inc., the firm performing the environmental/geotechnical work on the site. August 22, 2003 Mr. Fred Welch, CECD Pearland Economic Development Corporation Page 3 overall parcel map both in hard copy and electronic form which will show the location of the boundary lines and the survey control for the purpose of establishing the preliminary horizontal alignment of the proposed right-of-way. Phase II Tasks B. C. D. E. Topographic survey along the proposed right-of-way (approximately 6,100 feet) Location of wetlands areas along or in the area of the proposed right-of-way Establish equation between project datum used and FEMA datum Establish site TBM's Furnish electronic data for purpose of creating plan-profiles for the proposed street design. The topographic survey will eXtend from the north side of the westbound feeder road of the South Sam Houston Tollway to a point approximately one hundred (100) feet into the existing portion of Kirby Drive on the south side of Clear Creek. Cross sections will be taken at 100~foot intervals along the proposed centerline. These cross sections will extend outward to 100 feet either side of the proposed centerline. Cross sections taken on intersecting ditches and roads will extend outward 250 feet either side of the proposed centefline. Manholes and inlets will be located and the depths and sizes of pipe will be determined. We will also define the limits of any wooded areas. No individual trees will be located by this topographic survey. Wetlands areas delineated by the environmental/geotechnical finn will be located. Where conditions allow, the wetlands areas will be located utilizing GPS. Site temporary bench marks (TBM's) will be located at various points along the proposed right-of-way. These will be referenced and will be set so as to minimize the chance of being disturbed by future construction. Phase III Tasks Preparation of parcel maps for right-of-way takings Preparation of metes and bounds descriptions for each parcel Staking of right-of-way parcels on the ground. We will perform the necessary computations to determine the various right-of-way parcels and prepare survey maps of each parcel. Metes and bounds descriptions for each parcel will also be prepared. Each parcel will be staked on the ground. We will coordinate with 3,-3 Turner Collie _ Braden Inc. August 22, 2003 Mr. Fred Welch, CECD Peafland Economic Development Corporation Page 4 the City of Pearland to determine their requirements with regard to the format and other aspects for the parcel maps. It is our understanding that some parcels may be created through development and platting rather than being created by separate instrument. We will only prepare parcel maps and descriptions for those parcels being created by a separate instrument. These will be prepared on an as-needed basis. Geotechnical Investigation Terra Mar, Inc. (TMI) will perform a geotechnical investigation for this project. The geotechnical investigation will be to evaluate the subsurface soil and groundwater conditions, in addition to developing design criteria for the construction of the utility lines, new pavement section for Kirby Drive and foundations for the 3~span bridge at Clear Creek. Field Investigation. Explore the subsurface conditions for this project by drilling and sampling a total of twelve borings. Nine borings are proposed for the new pavements and utilities. Twelve borings are required for the total linear footage of roadway, but we plan to incorporate three borings drilled previously for the 105-acre tract south of Beltway 8. The nine roadway pavement and utility borings will be drilled to a depth of about 20 feet below existing grade. The remaining three borings will be drilled for the 3-span bridge at Clear Creek. We plan to drill one boring on each side of the creek about 140 feet from the centerline of Clear Creek. The remaining boring will be drilled near the bottom of Clear Creek. Each bridge boring will be drilled to a depth of 70 feet below existing grades. The total drilling footage for this project is 390 feet. Soil samples will be obtained continuously to a depth often feet, and at about 5~foot intervals thereafter until boring termination. Granular soil sampling will be performed utilizing the standard penetration test (SPT) using split spoon sampler (ASTM D 1588). Cohesive soils will be sampled using a thin walled sampler (ASTM D1587). The boreholes will be backfilled with soil cuttings after the completion of drilling operation. Soil Clearing Services. Based on a review of the available aerial photography, site clearing will be required to access the boring locations. The site clearing should be limited to the area north of FM 2344 to near Fruge Road. An area within the alignment Turner Collie Braden Inc. August 22, 2003 Mr. Fred Welch, CECD Pearland Economic Development Corporation Page 5 will be cleared, as appropriate. The path created will be about 14 feet in width. We will limit the amount of disturbance to the native surroundings. Laboratory Testing. Laboratory tests will be performed on selected soil samples to develop the engineering properties of the soil. These tests may include pocket penetrometer, unconfined compression (ASTM D2166), unconsolidated, undrained triaxial tests (ASTM D2850), in sim moisture content (ASTM D2216), liquid and plastic limits (ASTM D4318), and minus No. 200 sieve (ASTM D1140), as appropriate. Engineering Analyses and Report. The field and laboratory data will be evaluated to develop geotechnical-engineering recommendations for the design and construction of the proposed utilities, pavements and bridge foundations. The results of the study will be presented in an engineering report that will include the following: Eo Fo Logs of boring, boring site plan, water level data and laboratory test results. Cross sections showing the soil profile across the site. Recommendations for utility lines embedment, backfill, excavation and dewatering requirements, and temporary bracing and shoring requirements in accordance with OSHA. Recommendations for the design and construction of rigid pavements using the AASHTO Guide for Design of Pavement Structures, 1993. Recommendations for bridge foundation types, downward net allowable bearing pressures, uplift resistance, and lateral load capacity. Estimated settlements of foundations. Six (6) copies of the geotechnical engineering report will be submitted for the referenced project, unless otherwise requested. Hydrologic and Hydraulic Study 1. TCB will obtain the existing hydraulic models for Clear Creek. TCB will determine the water surface elevation for Clear Creek for the 100-year event and the 25-year event. 3. TCB will calculate the detention volume required for the extension of Kirby Drive. Turner Collie 'Braden Inc. August 22, 2003 Mr. Fred Welch, CECD Pearland Economic Development Corporation Page 6 TCB will determine the low chord elevation for the proposed bridge structure over Clear Creek. o An evaluation of the impact of the proposed bridge foundations on Clear Creek will be determined and mitigation of these impacts will be proposed. 6. TCB will calculate the volume of fill to be placed in the flood plain. A letter report will be prepared summarizing the findings and recommendations for each item described above. Environmental Study 1. Phase 1 Environmental Site Assessment Terra-Mar, Inc, (TMI) personnel will conduct and document the following activities during the Phase I Environmental Site Assessment: Historical review of land use. This will be accomplished by reviewing aerial photographs, soil conservation maps, or other historical data that may be available. In addition, a review of the records available from past and current land owner(s) and conversations with same, if available, will be conducted. Bo Contact federal, state and local agency officials to determine if records exist that would indicate the presence of environmental damage at the site. Agencies that may be contacted: Environmental Protection Agency, Texas Commission on Environmental Quality, City/County Health Department and Fire Department. Review surrounding properties to determine if their land usage may contaminate or may have contributed to the contamination of the site. Site reconnaissance to evaluate site topography and observe any visual aspects of the site which may lead to consideration that the site may be contaminated, i.e., dump piles, 55-gallon storage drums, underground storage tanks. Turner Collie Braden Inc. August 22, 2003 Mr. Fred Welch, CECD Pearland Economic Development Corporation Page 7 Evaluation of the general geologic formations underlying the site. This will be ascertained by review of applicable geological literature. Fo Evaluation, through literature search and site reconnaissance, of the general hydrology of the site to include groundwater and surface water runoff. Threatened/Endangered Species Survey A. Review of U.S. Fish and Wildlife Service documentation for the site, and Bo Onsite inspection to identify potential listed species habitats and the likelihood of their occurrence onsite. Preliminary Wetland Determination The objective of this task is to gather data and render an opinion on the likelihood of potential wetland areas which are presently regulated by the U.S. Army Corps of Engineers (USACE). TMI personnel will conduct and document the following: Review of available aerial photographs, national Wetland Inventory maps, topographic maps and soil surveys;; and Bo Onsite inspection to identify dominant plant species, soil properties, and hydrological characteristics typical of a wetland environment; and C. Identify potential wetland habitats on a site drawing and estimate acreages. Historical/Archeological Survey The objective of this task is to gather data and render an opinion on the existence of prehistoric or historic districts, buildings, structures, or objects and sites of historic, cultural, architectural significance that are included, or are eligible for inclusion, in the National Register of Historic Places, being in the study area. TMI personnel will conduct and document the following: Turner Collie Braden Inc. August 22, 2003 Mr. Fred Welch, CECD Pearland Economic Development Corporation Page 8 Ac Review of available aerial photographs, National Register of Historic Places website, Texas Historic Sites Atlas website, and topographic maps; and B. Onsite inspection to identify any possible historic sites; and If necessary, contact the State Historic Preservation Office (SHPO) to determine site eligibility. 5. Phase I ESA Report TMI will provide a written report based on the information obtained in the ESA which shall outline the results of the findings with conclusions. Reimbursable Expenses Reproduction, long distance telephone and fax, out-of-town travel expenses, and vehicle mileage shall be billed at actual invoice cost plus 10 percent. SCHEDULE OF COMPLETION TCB proposes to perform the above tasks within 90 calendar days after receipt of the written Notice to Proceed from the Pearland Economic Development Corporation. BASIS OF COMPENSATION Turner Collie & Braden Inc. requests a contract authorization of $286,700 for the professional services described above. The breakdown provided in Attachment "A" shows the amount authorized and the method of payment and consists of $141,800 for basic preliminary engineering services, $139,715 for additional services, and $5,185 for direct reimbursable expenses. Included as Attachment "B" is the preliminary probable construction cost estimate.
