A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, APPROVING A CONTRACT ASSOCIATED WITH THE
UNIVERSITY OF HOUSTON CLEAR LAKE PEARLAND CAMPUS.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract associated with the University of Houston Clear
Lake Pearland Campus, a copy of which is attached hereto as Exhibit "A" and made a
part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest the contract associated with the University of Houston
Clear Lake Pearland Campus.

Energy Houston Electric, LLC, herein called Grantee, whose principal address is P. O. Box
1700, Houston, Texas 77251 -1700, has GRANTED, SOLD AND CONVEYED and by these
presents, does GRANT, SELL AND CONVEY unto said Grantee, its successors and
assigns, all or in part, an exclusive, perpetual blanket easement (hereinafter referred to as
the "Easement Area whether one or more) for electric distribution and communication
facilities (hereinafter referred to as "Facilities consisting of a variable number of wires and
cables and all necessary and desirable equipment and appurtenances, including, but not
limited to, towers or poles made of wood, metal or other materials, props and guys, Tying
within the following described lands owned by Grantor, to wit:
Lot 1 in Block 1 of Minor Plat of Pearland Gateway Subdivision, a subdivision
out of the Dorril .H.M. Hunter Survey, Abstract No. 76, and the H.T. B. RR
Co. Survey, Abstract No. 233, Brazoria County, Texas, according to the map
or plat thereof recorded in Plat No. 2009019090 of the Plat Records of said
county and state.

The locations of Facilities shown on the attached Exhibit "A" are approximate.
Grantor or its successors or assigns shall observe and exercise all notification laws as per
the Underground Facility Damage Prevention and Safety Act, also known as "ONE CALL"
"CALL BEFORE YOU DIG" when working in or near the Easement Area.
To the extent that such Laws and Codes apply to Grantor, its successors or assigns,
Grantor or its successors or assigns shall observe all safety codes and laws which apply to
working along, within and or near the Easement Area and Facilities during construction
activities and safe clearance from such Facilities, including O.S.H.A., Chapter 752 of the
Texas Health and Safety Code, the National Electric Code, and the National Electrical
Safety Code. Grantor, its successors or assigns, is hereby obligated to place National
Electrical Safety Code notices into Community Deed Restrictions when Easement Areas
fall within Residential Developments.
The Easement Area herein granted is a blanket easement and shall apply only
insofar as the boundaries of the above described property will permit. Grantee further
reserves the right to extend services and drops within the herein described property and to
adjacent land owners from said Facilities.
Grantor shall not allow other utilities to cross within twenty -four (24) inches of
Grantee's Facilities.
No structures shall be permitted closer than five (5) feet to the centerline of any
below ground and above ground Facilities.

No structures shall be permitted closer than fifteen (15) feet to the centerline of any
overhead electrical Facilities, beginning at a plane sixteen (16) feet above the ground and
extending upward.
If Grantor, its successors or assigns should, at any future date, request that the
easement herein granted be further defined, Grantee agrees, at Grantor's expense, to
prepare a new, defined easement described by a sealed survey sketch. Defined
easements shall be unobstructed and may be further described by, but not limited to, the
following descriptions:
1.) A five (5) foot ground easement for underground facilities;
2.) A ten (10) foot ground easement for underground facilities;
3.) A ten (10) foot ground easement with ten (10) foot aerial easement
adjoining both sides of said ten (10) foot ground easement for facilities
that are not located adjacent to property lines;
4.) A ten (10) foot ground easement with an adjoining eleven (11) foot, six
(6) inch aerial easement for perimeter facilities;
5.) A fourteen (14) foot ground easement with an adjoining seven (7) foot, six
(6) inch aerial easement for perimeter facilities;
6.) A sixteen (16) foot ground easement with an adjoining five (5) foot, six (6)
inch aerial easement for perimeter facilities;
7.) An easement fifteen (15) feet wide and seventeen (17) feet long for
Grantee's pad- mounted transformer station purposes.
8.) An easement sixteen (16) feet wide and twenty (20) feet long for
Grantee's pad- mounted transformer station purposes.
Grantee further agrees to release the herein above described blanket easement
upon execution and delivery of the new defined easement by Grantor.
In the event that Grantor, its successors and assigns, desires that Grantee's
Facilities be relocated, then Grantee agrees to relocate said Facilities provided that Grantor
furnishes a suitable and feasible site or location for such relocation and, provided that

Grantor, its successors and assigns, shall, if requested by Grantee, furnish to Grantee a
suitable and acceptable easement covering the new location. Any and all costs associated
with relocating said Facilities will be at Grantor's sole expense.
Grantee shall also have reasonable rights of ingress and egress to and from said
Easement Area, together with reasonable working space, for the purposes of erecting,
installing, operating, maintaining, replacing, inspecting, and removing said Facilities,
together with the additional right to remove from said easement and land adjoining thereto,
all bushes, trees and parts thereof, or other structures which, in the opinion of Grantees,
endanger or may interfere with the efficiency, safe and proper operation, and maintenance
of said Facilities.
TO HAVE AND TO HOLD the above described Easement Area, together with all
and singular the rights and appurtenances thereto in anywise belonging, unto Grantee, its
successors or assigns, forever, and Grantor does hereby bind itself and its successors,
heirs, assigns, and legal representatives, to fully warrant and forever defend all and
singular the above described Easement Area and rights unto said Grantee, its successors
and assigns, against every person whomsoever lawfully claiming or to claim the same or
any part thereof, by, through or under Grantor, but not otherwise. In the event of a
deficiency in title or actions taken by others which results in the relocation of Grantee's
Facilities, the Grantor herein, its successors and assigns, will be responsible for all costs
associated with the relocation and /or removal of Grantee's Facilities.

Huitt-Zollars, Inc. (HZ) has reviewed the four.(4) bids submitted on the referenced project.
Attached is a copy of the bid tabulation for the four bids received: Boring &Tunneling-:Co.:of
America (Bortunco) submitted the lowest bid of$96,.122.
However, Bortunco's mobilization bid item(Item No. 1) exceeds the 3% maximum allowed for the project(maximum 3% of total bid price minus Item No. 1). This miscalculation can be
corrected by limiting Bortunco's mobilization-amount to the required 3% and adjusting the
remaining schedule of"valves so that the total bid price is equal.to Bortunco's bid.
HZ has reviewed the.:bids and feels the bid prices are appropriate for the work.involved.
Bortunco has completed similar projects in.a satisfactory Manner. :If the City accepts the
proposed adjustment to the Mobilization Item issue, we recommend that the City of Pearland
award the contract based on the:low bid of$96,122 to Bortunco.

Pursuant to the published Invitation to Bidders, and Instructions to Bidders, the undersigned
Bidder hereby proposes to do all the work and furnish all necessary superintendence, labor,
machinery, equipment, tools and materials, and whatever else may be necessary to.complete all
the work described in or reasonably inferable from the Contract Documents for the construction of •
the Underground Primary Feeder for U of H Clear Lake, Pearland Campus with all related
appurtenances,complete,tested, and operational,in accordance with the Plans,and Specifications
prepared by the Engineer, Huitt-Zollars, Inc., under the City of Pearland's inspection for the unit
prices or applicable prices set forth in Exhibit "A", bid form, which bears the undersigned's
initials for identification. It is understood that,in the event any changes are ordered on any part of
the Work, the applicable unit prices bid shall apply as additions to or deductions from the total
prices for the parts of the Work so changed.
The Bid Security required under the Instructions to Bidders is included with this Bid Proposal.
The Bidder agrees to submit to the Owner the Qualifications of Bidder, including the Financial
Statement of Bidder,as required by the Instructions to Bidders if requested to do so as a condition
of the Bid review.
The Bidder binds himself, upon acceptance of his proposal, to execute the Standard Form of
Agreement and furnish a Performance Bond and a Payment Bond, each in the amount of one
hundred percent (100%) of the total Contract Price, according to the forms included in the
Contract Documents, for performing and completing the said work within the time stated and for
the prices stated in Exhibit"A"of this proposal.
The undersigned Bidder agrees to commence work within 10 days after the date of a written notice
to commence work. It is understood that the Work is to be Substantially Complete within 60 +y-

after the date of the notice to commence work. Time for Substantial Completion shall begin on
.the date established by the notice to commence work. The Contractor will pay liquidated damages
in the amount(s) specified in Document 00500 - Standard Form of Agreement in the event the
Work is not Substantially Complete in this time limit.
It is agreed that the Contract Price may be increased or decreased to cover work added, altered,or I
deleted by order of the Engineer,in accordance with the provisions of the General Conditions of
Agreement.
The undersigned agrees that the amounts bid in this Bid Proposal will not be withdrawn or
modified for sixty(60)days following date of Bid Proposal opening, or such longer period as may
be agreed to in writing by the City of Pearland and Bidder.
It is understood that in the event the Successful Bidder fails to enter into the Standard Form of
Agreement and/or to furnish a Performance Bond and Payment Bond, each in the amount of one
hundred (100) percent of the Contract Price, within ten (10) days of the Notice of Award, the
Successful Bidder will forfeit the Bid Security as provided in the Instructions to Bidders. Unless
otherwise expressly provided herein, all references to"day(s)"shall mean calendar day(s).
The following Addenda have been received. The modifications to the Bidding Documents noted
therein have been considered and all costs thereto are included in the Bid Proposal prices.

Please find attached the Terms and Conditions (T&C) package, applicable for
providing City of Pearland with the requested underground service of 450 kVA from a
500 kVA, 12.47 kV - 480Y/277 V, 3 phase, 4 wire, pad mounted transformer. Also
included in this agreement are specifications for the installation of (1) 12.47 kV
underground feeder extension.
After applying a credit for standard overhead service, the cost for the facilities required to
provide the requested underground service is as follows:

The above cost is based on using CenterPoint Energy's (CNP) standard installation

After applying a partial credit for the standard_ overhead feeder tie, the cost for the
facilities required providing the requested underground feeder extension is as follows:

6.3 AGREEMENTS AND FORMS
6.3.1 FACILITIES EXTENSION AGREEMENT
This Facilities Extension Agreement is entered into by and between CITY OF PEARLAND
,herein called"Retail
Customer"and CenterPoint Energy Houston Electric,LLC,herein called"Company" (hereinafter
referred to as Agreement)for the construction,extension,installation,modification,repair,upgrade,
conversion,relocation,de-energization or removal of Company's Delivery System,including temporary
facilities(hereinafter referred to as facilities extension or extension),as described herein.
This Agreement covers the facilities extension to Retail Customer location at 1200 PEARLAND PKWY
The Company agrees to accept payment of$90,584 Dollars
to be paid by the Retail Customer, as a Non-Refundable Construction Payment in connection
with the Retail Customer request to extend Company facilities to the above described location as
follows:INSTALLATION OF NON STANDARD CENTERPOINT ENERGY DISTRIBUTION FACILI I IES
In consideration of said Non-Refundable Payment,to be paid to Company by Retail Customer
prior to commencement of construction, Company agrees to install and operate lines and
equipment necessary to distribute electric service to the identified location under the following
General Conditions:
• Company shall at all times have title to and complete ownership and control over
facilities installed by Company.
• Retail Customer must make satisfactory payment arrangements(if payment is required to
extend Company facilities)and sign and return this Agreement before Company can
proceed with the requested extension.
• Extension of service facilities is contingent on acquisition of all necessary easements and
rights of way

Nothing herein contained within this Agreement shall be construed as a waiver or relinquishment
by Company of any right that it has or may hereafter have to discontinue service for or on

This Agreement shall not be binding upon Company unless and until it is signed'by an
authorized representative of the Company.
