A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, ESTABLISHING THE COMPOSITION, TERMS, AND
PROCEDURAL GUIDELINES FOR THE PARK, RECREATION AND
BEAUTIFICATION BOARD.
WHEREAS, the City Charter provides for an advisory Park, Recreation and
Beautification Board, created to study the recreation, park facilities, and beautification
programs of the City, which advises the City Manager and makes recommendations
to City Council regarding rules for said programs; and
WHEREAS, the character, duties, responsibilities, and size of the Board have
varied from time to time; and
WHEREAS, guidelines should be established to ensure consistency with other
City boards and to clarify procedural matters; now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That Procedural Guidelines for the Park, Recreation and
Beautification Board, a copy of which is attached hereto as Exhibit "A" and
incorporated herein for all purposes, is hereby adopted. and implemented.

PROCEDURAL GUIDELINES
FOR THE
PARK, RECREATION AND BEAUTIFICATION BOARD

I. MEMBERSHIP
The Park, Recreation and Beautification Board ("Board") shall consist of
seven (7) members appointed by the City Council of the City of Pearland,
Brazoria and Harris Counties, Texas.
Board members shall reside within the City limits and be qualified to perform the
duties of the Board as determined by the City Council.
Board members shall serve a term of three (3) years, ending with the City's fiscal
year and shall be eligible to serve two consecutive terms, after which time said
Board member will not be eligible for reappointment until the expiration of one
year.
If a Board member's term is complete and that Board member holds the office of
Chairperson, the term shall end after the election of new officers at the first
meeting of the next fiscal year.
An appointment to complete an unexpired term shall be considered as the Board
member's first term, unle~;s the unexpired term is less than eighteen (18) months,
in which case the Board member may complete the unexpired term and still be
eligible to serve two (2) consecutive full terms.
Board members shall serve without compensation, but may be reimbursed for
personal expenses incurred in the performance of their duties when authorized in
advance by City Council.

II. MEETINGS
The Board may hold meetings at such times and places as deemed necessary.
Additional meetings may be called by the Chairperson or upon the written request
of two (2) Board members.
Notice of all meetings shall be posted as required by law in the places designated
for such purposes.
A majority of the duly appointed Board members shall constitute a quorum for
the transaction of business.

The vote of a majority of the Board members present and voting at a meeting at
which a quorum is present shall be sufficient to constitute the act of the Board.
Board members may not vote by proxy.
Parliamentary business of the Board shall be conducted in accordance with City
Council procedures and the latest edition of Roberts Rules of Order.
The Board may adopt, enforce, and promulgate any reasonable rules and
regulations for conducting business of the Board from time to time as needed, so
long as said rules and regulations do not conflict with the guidelines herein.
The Chairperson, with approval of the Board, at any meeting, may appoint
special committees as needed to conduct business of the Board.

III. OFFICERS
The Board shall elect officers including a Chairperson, Chairperson Pro-Tem, and
Secretary. Officers shall serve these elected terms for a period of one (1) year
beginning at the first meeting of the fiscal year. Officers shall be eligible for re-
election each year of their term as a Board member without limitation.
The Chairperson is responsible for conducting Board meetings and assuming other
responsibilities as required. The Chairperson Pro-Tem shall act in the absence
of the Chairperson and perform other such duties as directed by the Chairperson.
The Secretary shall take minutes and keep a permanent record of the proceedings
of the Board, and shall perform other such duties as directed by the Chairperson.
At the last Board meeting of the fiscal year, the Chairperson shall appoint a
Nominating Committee consisting of at least three (3) Board members to prepare
a slate of candidates for each office to be presented at the first meeting of the
next fiscal year.
Additional nominations may be made for any office at the first meeting of the
fiscal year, and only those who have consented to hold an office shall be
nominated. If no such nominations are made, the Chairperson shall declare the
member whose name appears on the slate of candidates for each office to be the
winner. If, however, nominations are made in writing or from the floor to fill
any office, there shall be at that meeting a vote taken for such office and a winner
declared accordingly.

IV. A ~FENDANCE/REMOVAL
Any Board member who is absent from three (3) meetings of the Board within
a twelve (12) month period or three (3) consecutive meetings without valid excuse
as determined by the Board shall be automatically dismissed from membership
and the City Council advised that such vacancy exists.
The City Council shall have the power to remove any and all Board members
with or without cause.
The Chairperson, with approval of the Board, may request that the City Council
remove any member from the Board if such Board member repeatedly disrupts,
hinders, impairs, or does not contribute constructively to the objectives of the
Board.
The Chairperson Pro-Tern, with approval of the Board, may request that the City
Council remove the Chairperson if the Chairperson repeatedly disrupts, hinders,
impairs, or does not contribute constructively to the objectives of the Board.

V. VACANCIES
Vacancies occurring on the Board will be filled for the remainder of the
unexpired term by appointment of the City Council.
If there is a vacancy in an office other than the Chairperson, the Chairperson may
appoint an individual to complete the term of office. If there is a vacancy in the
office of Chairperson, the Board will elect a successor at the next Board meeting
to complete the term of office.
