A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO
ENTER INTO A DEVELOPMENT AGREEMENT FOR CONSTRUCTION OF
A PORTION OF WATER LIGHTS PARKWAY.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain Development Agreement by and between the City of
Pearland and Boardwalk at the Spectrum, L.P., a copy of which is attached hereto as
Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest a Development Agreement with Boardwalk at the
Spectrum, L.P.

DEVELOPMENT AGREEMENT
(EXHIBIT A TO RESOLUTION R-2009-15)
This Agreement is entered into this ~D _ day of ~i~lZC+t , 2009, by
and between the CITY OF PEARLAND, TEXAS, (hereinafter "City") and
BOARDWALK AT THE SPECTRUM, L.P., a Texas limited partnership
(hereinafter "Developer").
WHEREAS, City desires the construction of a 2 lane section of Spectrum
Boulevard from its existing terminus to a point immediately west of the western-
most entrance to the WaterLights Development (a distance of approximately
1,000 feet) (the "Project"); and
WHEREAS, Developer plans to construct the Improvements and to dedicate said
Improvements to the City for operation and maintenance; and
WHEREAS, City, pursuant to Resolution No. R2009-15, desires to cooperate
with Developer to provide the Improvements to increase traffic mobility in the
City, and the potential for development of property in the area; and
WHEREAS, City and Developer desire an agreement to set forth their respective
responsibilities with regard to providing the Improvements.
WITNESSETH:
NOW THEREFORE, in consideration of the foregoing premises and other good
and valuable consideration the receipt and sufficiency of which is hereby
acknowledged, it is hereby agreed as follows:
Developer shall hire engineers to design the Improvements and manage
the construction of the Improvements, including the hiring of a contractor,
described in Exhibit "A" attached hereto. City shall approve all contracts
for design, supervision, and construction of the Project. Developer agrees
that the City will not be charged a fee for management services provided
by Developer. In consideration for the design and construction of the
Improvements, City agrees to add Developer as an "additional insured" on
City's liability insurance policy.
2. Design of the Improvements shall be complete within ninety (90) days of
the effective date of this Agreement. Upon the approval of the plans and
specifications by the City, Developer's engineers will obtain competitive
line item bids in accordance with Local Government Code Chapter 252 for
the plans and specifications and award of the contract for construction of
the Improvements shall be made. Developer and the City will review the
bids and Developer will award a contract to the successful bidder within
thirty (30) days following approval of the plans and specifications of the
Improvements by the City. City reserves the right to reject any and all bids
for the construction of the City Improvements within ten (10) days
following submission to the City for review, following the expiration of
which the bids selected by Developer shall be deemed approved by the
City.
3. Following award of the bid by Developer, Developer shall cause
construction of the Improvements to commence on or before a date
mutually agreed upon at the time of the bid award, and the Improvements
shall be completed in accordance with the plans and specifications within
a reasonable period of time. If Developer shall fail to cause construction
to commence by the agreed upon date, and following thirty (30) days'
written notice to Developer, the City shall have the right to terminate this
Agreement. Developer's engineer shall monitor the progress and
workmanship of the contractor. Developer shall cause the City to be
named as an additional oblige under any performance bond obtained by
Developer to secure the construction of the Improvements.
4. Developer shall monthly, on dates agreed upon by the City and
Developer, submit, to the City, invoices submitted to the Developer by the
engineers and contractors selected to design and construct the
Improvements. City shall make payments directly to the engineers and
contractors. All invoices submitted to the City pursuant this Agreement
shall be paid promptly. Developer shall, prior to submitting any invoice
covered by this Agreement, review and approve the invoice for payment.
5. The Improvements shall be inspected, accepted, maintained and
warranted by the parties, as applicable, in accordance with Sections
3.1.8.5 and 3.1.8.6 of the City's Unified Development Code [the "UDC"].
6. The initial term on this Agreement shall be for a period of eighteen (18)
months, commencing on the Zfl day of e N 2009,
and terminating on the Zo day of ~kn~ 2010,
provided, however, that this Agreement shall be automatically renewed in
one (1) month increments until all of the obligations of the parties
hereunder have been fully discharged or specifically waived in writing by
the beneficiary thereof.
7. This Agreement may only be amended, modified, or supplemented by
written agreement and signed by both parties.
8. No assignment by a party hereto of any rights under or interests in this
agreement will be binding on another party hereto without the written
consent of the party sought to be bound; and specifically but without
limitation moneys that may become due and moneys that are due may not
be assigned without such consent (except to the extent that the effect of
this restriction may be limited by law), and unless specifically stated to the
contrary in any written consent to an assignment no assignment will
release or discharge the assignor from any duty or responsibility under
this Agreement.
9. Nothing herein is intended to supersede or waive any City ordinance or
regulation pertaining to such construction.
10. Whenever possible, each provision of this Agreement shall be interpreted
in such manner as to be effective and valid under applicable law, but if any
provision of this Agreement is prohibitive or invalid under applicable law,
such provision shall be ineffective to the extent of such provision or
invalidity, without invalidating the remainder of such provision or the
remaining provisions of this Agreement.
11. This Agreement shall be construed and enforced in accordance with and
governed by the laws of the State of Texas.
12.To accomplish execution of this Agreement, it may be executed in multiple
counterparts.
13. The Parties agree that any suit arising out of or related to this Agreement
shall be filed in Brazoria County Texas.
14. All notices which are required or may be given pursuant to this Agreement
shall be in writing and shall be sufficient if delivered personally or by first
class mail, postage prepaid, return receipt requested, or by a nationally
recognized courier, to the parties and their attorneys at the addresses set
out below or such other addresses as the parties or their attorneys may
hereafter notify one another:

Under the terms of the Development Agreement to which this Exhibit A is
attached, the City of Pearland (Owner) and Boardwalk at the Spectrum, L.P.
(Developer) have agreed to a process for the design and construction of
approximately a 1,000-foot section of South Spectrum Drive (now called
Waterlights Parkway) from approximately 200 feet west of the southbound
SH-288 Frontage Road to 1,200 feet west of the southbound SH-288
Frontage Road.
The project will include construction of the south two lanes of this proposed
4-lane facility, 24 feet wide with curb and gutter consistent with the City of
Pearland requirements for a Boulevard Section. The project will also include
a gravity sanitary sewer line along the roadway,
Based on the order-of-magnitude engineers' construction cost estimate, the
construction cost of the project is approximately $1,190,000. With design
services and construction phase services, the total engineers' cost estimate is
approximately $1,340,000.

INTRODUCTION
The City of Pearland (OWNER) requests that GC Engineering, Inc. (GCE)
provide professional engineering services for the widening of approximately
1,000-foot section of South Spectrum Drive from approximately 200 feet west of
SH-288 Frontage Road to 1,200 feet west of SH-288 Frontage Road. The project
will include construction of the south two lanes of this proposed 4-lane facility, 24
feet wide with curb and gutter consistent with the City of Pearland requirements
for a Boulevard Section. The project will also include a gravity sanitary sewer line
along the roadway, Based on the order-of-magnitude engineers construction cost
estimate, the construction cost of the project is approximately $1,190,000. GCE
services shall include preliminary engineering and final design, and construction
support services.
BASIC SERVICES: The Consultant shall render the following professional
engineering services to the OWNER in connection with the construction of the
Project.
1. Preliminary Phase Services
Attend a meeting with the OWNER's representatives to establish
requirements for the Project. Attend meetings with City & external
agencies including County, State & Federal entities, as required, to
identify & solicit necessary information.
II. Collect and review the available existing information including
Hydrology/Hydraulic Studies, Geotechnical Investigation Reports, and
Environmental Assessment and Wetland Delineation Reports for the
project area.
III. Perform preliminary design of South Spectrum Drive from SH-288 South
Bound Frontage Road to Proposed Promenade Shops Drive as a 4-lane
boulevard section. Incorporate the existing pavement section (two
northern lanes from SH-288 frontage Road to the existing road to

IV. Subcontract a professional survey to develop:
a. Cross sections of the roadway at 100 feet intervals
b. Existing utilities and structures
c. Topography within the project area
d. Existing right-of-way and property boundaries within the project

V. Subcontract a geotechnical consultant to
a. Perform geotechnical investigations, and
b. Prepare a geotechnical report consisting of the investigations
performed and recommendations for subgrade preparation, paving,

2. Final Design Phase Services
a. Prepare final plans details specifications and cost estimate in
accordance with City of Pearland's Design Criteria Manual (DCM)
i. prepare detailed construction drawings, specifications and
construction bid packages for the proposed Projects
ii. Prepare construction plans including roadway geometries,
pavement, drainage, sidewalks, pavement markings, traffic
signals, utilities, landscaping and other design elements as
necessary
iii. provide work sequencing plans -coordinated with other
work and other local projects
iv. provide two (2) sets plans and specifications and estimates
to City for review at 90%; provide written
comments/resolution to City revisions/comments
v. submit 90% plans to utility company's for coordination of
utility relocating; coordinate with City on formal notifications
vi. coordinate with utility companies & pipeline companies to
identify conflicts & schedule relocations
vii. coordinate submittals for review & acquire approvals of all
permits including and not limited to: TxDOT, Railroads,
USACE, Nationwide or Individual permits (if required) &
County Drainage Districts
viii. coordinate with private developments & other public entity
engineer's for adjoining work/projects
ix. prepare bid sets including Plans, Specifications, Bid
Proposal, (utilizing City Standard Details + Specs; for details

& specification sections the City does not have, submit
proposed supplement specs; Submit to City for signatures
x. prepare Engineer's estimate
3. Bid Phase Services
a. Provide Notice to Bidders (NTB) to the Project Manager. Developer
is responsible for advertising.
b. Reproduce and disseminate bid sets to Dodge, AGC, ABC, Amtek
and (2) two sets to the City [PM (1), Purchasing {1) and interested
bidders]
c. Distribute (including the sale of) plans to interested bidders
i. Keep record of plan holder's list
d. Chair pre-bid meeting and attend the Bid Opening
e. Respond in writing to questions from bidders and prepare addenda
as necessary.
£ Assist with design of Bid Proposal -This will include the use of bid
strategies in an attempt to achieve lowest possible prices for work,
use of alternatives, etc.
g. Prepare Engineer's Recommendation of Award Letter that includes
the following required content:
i. Check for math errors and reconcile any mathematical
discrepancies
ii. Review for unbalance bid items
iii. Certified Bid Tabulation including Engineer's estimate
iv. Review of contractor's financial standing and references
provided
v. Explanation of discrepancies between the Engineer's
estimate and bids
vi. Recommendation to award
4. Produce and transmit to selected contractor five (5) sets of project
manuals ready for execution with City's Notice of Intent to Award (NOI)

5. Construction Phase Services
a. Construction Administration
i. Attend pre-construction meeting to provide information &
answer questions
ii. Attend monthly progress meetings with Construction
Manager, Contractor & City of Pearland as needed
iii. Review/approve & comment on Contractor's submittals,
RFIs, Contractor Proposals, Request for Change Orders
(RCO) including coordination with Construction Manager on
Proposals & Change Orders
iv. Provide interpretive guidance for Contractor, Construction
Manager in resolution of problems
v. Conduct Substantial Completion Inspection with CM or PM
to:
1. review progress of work for Substantial Completion
walk through
2. generate a punch list of items for correction
3. substantiate items that are completed
4. issue both Certificate of Substantial Completion
(signed/sealed from Design Engineer) & Final
Acceptance or 2nd walk through
vi. Issue Final Completion & Acceptance letter to City

1) As-Builts "redlines": Contractor's record of field changes to the work in line,
grade & elevation
2) Record Drawings: Engineer's incorporation of contractor's As-Builts
Assumptions:
1. Environmental permitting including USACE verifications and permits are
not required.
2. The proposed project will be constructed within the existing 100-foot wide
right-of-way
3. Flood Impact Analysis and Federal Emergency Management Agency
(FEMA) permitting and approvals including Conditional Letter of Map Revision
(CLOMR) will not be required.
4. Duration of construction will be 90 days.

ADDITIONAL SERVICES
Services to be provided after City authorization:
1. Surveying -Surveying services for the project will be provided by the GCE
subconsultant, The Wilson Survey Group, Inc. (WSGI). The scope of
services of WSGI is enclosed.
2. Geotechnical -Geotechnical services for the project will be provided by
the GCE subconsultant, Tolunay-Wong Engineers, Inc. (TWEI). The scope
of services of TWEI is enclosed.
3. Drainage Study -The construction plans for South Spectrum Drive
prepared by LJA indicate capturing a significant drainage area form north
of the roadway and then conveying to a proposed storm water detention to
the west of the site in storm sewer along the roadway. This drainage
scheme requires an extensive storm sewer system to handle the
significant offsite run-on. A drainage study for the project area and the
vicinity is proposed. This will include the portion of South Spectrum Drive
from SH-288 Southbound Frontage Road to Proposed Promenade Shops
Drive. The purpose of the study is to determine the ultimate storm
drainage system as well as an interim system to serve the proposed
project. The available studies and designs will be evaluated to optimize
the drainage conveyance system.
4. Storm Water Pollution Prevention Plan (SWPPP) - Prepare a SWPPP
tailored to the project for use by the Contractor during construction
operation in keeping with TCEQ regulations.
5. Traffic Signal Warrant Study - Develop a traffic signal warrant study (or
determine the need for them) for intersections in the alignment. Such
study shall determine the need for traffic signals at intersections on project
the future need for signals at intersections not being designed at ultimate
capacities in subject project.
6. Texas Department of Licensing & Review -Submit plans for accessibility
review and address all resulting comments for compliance with TAS &
ADA (Final Inspection).
7. Provide additional engineering services during construction phase for
office and field meetings with the OWNER, Contractor, and others as
necessary.
8. Provide miscellaneous expenses such as mileage, reproduction, printing,
deliveries, etc.

LUMP SUM WITH ADDITIONAL SERVICES BASED ON HOURLY RATES
For and in consideration of the services to be rendered by GCE, OWNER shall
pay the fees hereinafter set forth.
A. COMPENSATION:
1. Basic Services Compensation to GCE for the Preliminary and Design Phase
services as defined in Exhibit "A" shall be a Lump Sum of $99,607.16. If GCE
sees the Scope of Services changing so that additional services are needed,
GCE will notify OWNER for OWNER's approval before proceeding.
2. Additional Services: For Additional Services as defined in Exhibit "A", a total
budget of $49,943.28 is proposed.
Therefore, total fee shall be $149,550.44. Details concerning the fees are
included in this Exhibit "B".
B COMPENSATION TERMS:
1. "Sub-Consultant Expense" is defined as the expense that is incurred by
GCE in employment of others in outside firms for services in the nature of
foundation borings, testing, surveying, process design and similar services
that are not included in the Basic Services.
2. "Direct Non-Labor Expense" is defined as that expense for any
assignment incurred by GCE for supplies, transportation and equipment,
travel, communications, subsistence and lodging away from home and
similar incidentals in connection with that assignment.
C. BASIC SERVICES:
Upon authorization from the OWNER, GCE shall proceed with the Basic
services outlined in Exhibit "A". For the purposes of preparing monthly
statements for the preliminary and design phase of the Project, GCE
shall submit to the OWNER payment requests in proportion to that part of
the service which has been accomplished as evidenced by monthly
statements. Final payment for Preliminary Design phase shall be due
upon the completion of service, whether the work be constructed or not.
2. Upon authorization from the OWNER, GCE shall proceed with Additional
Services outlined in Exhibit "A". Monthly payment requests shall be
submitted to the OWNER for that portion of service which has been
accomplished as evidenced by monthly statements. Final payment for
construction phase services shall be due upon the completion of service.
