A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
PEARLAND, TEXAS AUTHORIZING THE CITY MANAGER OR HIS
DESIGNEE TO ENTER INTO AMENDMENT NO. 1 TO TAX
INCREMENT PARTICIPATION AGREEMENT WITH BRAZORIA
COUNTY.
BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS:
Section 1. That certain amendment to the agreement by and between the City
of Pearland, Texas; Reinvestment Zone Number Two, City of Pearland, Texas; and
Brazoria County, Texas, a copy of which is attached as Exhibit "A" and made a part
hereof for all purposes, is hereby approved.
Section 2. That the City Manager or his designee is hereby authorized to
execute and the City Secretary to attest the original of the attached amendment to the
agreement for and on behalf of the City of Pearland.

AMENDMENT NO. 1 TO TAX INCREMENT PARTICIPATION AGREEMENT
This Amendment No. 1 to Tax Increment Participation Agreement is made by
and among the CITY OF PEARLAND, TEXAS ("City"), a municipal corporation and
home-rule city of the State of Texas principally situated in the Counties of Fort Bend,
Brazoria and Harris, acting by and through its governing body, the City Council;
BRAZORIA COUNTY ("County"), located at The Brazoria County Court House, 111
Locust, Angleton, Texas 77515; and the REINVESTMENT ZONE NUMBER TWO,
CITY OF PEARLAND, TEXAS ("Reinvestment Zone"), a reinvestment zone created by
the City pursuant to Chapter 311 of the Texas Tax Code acting by and through its Board
of Directors.
This Amendment No. 1 amends the Tax Increment Participation Agreement
among the parties executed by the City on August 31, 1999, by the County on August
31, 1999, and by the Reinvestment Zone on August 23, 1999, regarding the County's
participation in the tax increment relating to the Reinvestment Zone.
Expansion of the Reinvestment Zone
A. Annexation of 457 Acres
The City and the Reinvestment Zone have approved the enlargement of the Zone
by approximately 457 acres, described on the attached Exhibit A, by approval of the
First Amendment to the Project Plan and Financing Plan dated March 27, 2006. The
County hereby agrees to participate in tax increment on the property described by the
attached Exhibit A to the same extent the County has participated in the original
Reinvestment Zone boundaries.
B. Annexation and Construction of Broadway
If added to the Reinvestment Zone by action of the Board of Directors of the
Zone and approved by vote of the City Council of the City of Pearland, the County
hereby agrees to participate in the tax increment relating to the construction of
Broadway Street (also known as FM 518), as described in the attached Exhibit B, to the
same extent the County has participated in the original Reinvestment Zone boundaries.
BC-Interlocal Agreement
C. Adoption of First Amendment to the Project Plan and Financing Plan
The County acknowledges receipt of copies of the Amendment to the Project
Plan and Financing Plan as required by the Tax Increment Participation Agreement.
Except as specifically amended hereby, the Tax Increment Participation
Agreement remains in full force and effect, enforceable in accordance with its terms.
The parties specifically agree that all the terms, mutual promises, obligations, and
benefits set forth in the Tax Increment Participation Agreement will apply to the
expansions of the Reinvestment Zone as described in Exhibits A and B.
