A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING A CONTRACT FOR ENGINEERING DESIGN
SERVICES ASSOCIATED WITH THE BAILEY ROAD PROJECT (FM1128
TO VETERANS).
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract for engineering design services associated with
the Bailey Road Project, a copy of which is attached hereto as Exhibit "A" and made a part
hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest a contract for engineering design services associated with
the Bailey Road Project.

CONTRACT FOR PROFESSIONAL SERVICES
THIS CONTRACT is entered into on August 25, , 2008 by and between the
City of Pearland ("CITY") and Wilbur Smith Associates, Ina (WSA) ("CONSULTANT").
The CITY engages the CONSULTANT to perform Engineering Services for the Bailey Road
Extension from Veterans Drive to FM1128 (Project #T08002).
SECTION I- SERVICES OF THE CONSULTANT
The CONSULTANT shall perform the following professional services to CITY standards and in
accordance with the degree of care and skill that a professional in Texas would exercise under
the same or similar circumstances:
A. The CONSULTANT shall provide Engineering Design Services for the Bailey
Road Extension from Veterans Drive to FM1128. The CONSULTANT shall
prepare and submit a detailed opinion of estimated cost of the PROJECT.
B. The CONSULTANT acknowledges that the CITY (through its employee
har�dbook) considers the following to be misconduct that is grounds for
termination of a CITY employee: Any fraud, forgery, misappropriation of funds,
receiving payment for services not performed or for hours not worked,
mishandling or untruthful reporting of money transactions, destruction of assets,
embezzlement, accepting materials of value from vendors, or consultants, and/or
collecting reimbursement of expenses made for the benefit of the CITY. The
CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY
employee to engage in such misconduct.
C. The CONSULTANT shall submit all final construction documents in both hard
copy and electronic format. Plans shall be AutoCAD compatible and all other
documents shall be Microsoft Office compatible. The software version used shall
be compatible to current CITY standards. Other support documents, for example,
structural calculations, drainage reports and geotechnical reports, shall be
submitted in hard copy only. All Record Drawings electronic files shall be
submitted to the CITY in TIF format.
D. The CONSULTANT recognizes that all drawings, special provisions, field survey
notes, reports, estimates and any and all other documents or work product
generated by the CONSULTANT under the CONTRACT shall be delivered to the
CITY upon request, shal] become subject to the Open Records Laws ofthis State.
E. The CONSULTANT shall procure and maintain for the duration of this
Agreement, insurance against claims for injuries to persons, damages to property,
or any errors and omissions relating to the performance of any work by the
CONSULTANT, its agents, employees or subcontractors under this Agreement,
as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate.
(3) Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of any one person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering
owned, hired, and non-owned vehicles, with minimum limits of
$1,000,000 for injury or death of any one person, $1,000,000 for each
occurrence, and $1,000,000 for property damage.
The CONSULTANT shall include the CITY as an additional insured under the
policies, with the exception of the Professional Liability Insurance and Workers'
Compensation. Certificates of Insurance and endorsements shall be furnished to
the CITY before work commences. Each insurance policy shall be endorsed to
state that coverage shall not be suspended, voided, canceled, and/or reduced in
coverage or in limits ("Change in Coverage") except with prior written consent of
the CITY and only after the CITY has been provided with written notice of such
Change in Coverage, such notice to be sent to the CITY either by hand delivery to
the City Manager or by certified mail, return receipt requested, and received by
the City no fewer than thirty (30) days prior to the effective date of such Change
in Coverage. Prior to commencing services under this CONTRACT,
CONSULTANT shall furnish CITY with Certificates of Insurance, or formal
endorsements as required by this CONTRACT, issued by CONSULTANT'S
insurer(s), as evidence that policies providing the required coverage, conditions,
and limits required by this CONTRACT are in full force and effect.
F. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and
employees, harmless from any claim, ]oss, damage, suit, and liability of every
kind for which CONSULTANT is legally liable, including all expenses of
litigation, court costs, and attorney's fees, for injury to or death of any person, for
damage to any property, or errors in design, any of which are caused by the
negligent act or omission of the CONSULTANT, his officers, employees, agents,
or subcontractors under this CONTRACT.
G. All parties intend that the CONSULTANT, in performing services pursuant to this
CONTRACT, shall act as an independent contractor and shall have control of its
own work and the manner in which it is performed. The CONSULTANT is not to
be considered an agent or employee of the CITY.

SECTION II - PERIOD OF SERVICE
This CONTRACT will be binding upon execution and end in 36 months.
SECTION III - CONSULTANT'S COMPENSATION
A. The method of payment for this CONTRACT is Not to Exceed. Total
compensation for the services performed shali be a lump sum fee (for all services
except for construction phase) in the amount of $1,580,118.00. Construction
Phase services wilt be provided on an hourly not to exceed basis in the amount of
$130,228.00. Total compensation is a not to exceed amount of $1,710,346.00.
B. The CITY shall pay the CONSULTANT in installments based upon monthly
progress reports and detailed invoices submitted by the CONSULTANT
C. The CITY shall make payments to the CONSULTANT within thirty (30) days
after receipt and approval of a detailed invoice. Invoices shall be submitted on a
monthly basis.
SECTION IV - THE CITY'S RESPONSIBILITIES
A. The CITY shall designate a project manager during the term of this CONTRACT.
The project manager has the authority to administer this CONTRACT and shall
monitor compliance with all terms and conditions stated herein. All requests for
information from or a decision by the CITY on any aspect of the work shall be
directed to the project manager.
B. The CITY shall review submittals by the CONSULTANT and provide prompt
response to questions and rendering of decisions pertaining thereto, to minimize
delay in the progress of the CONSULTANT'S work. The CITY will keep the
CONSULTANT advised concerning the progress of the CITY'S review of the
work. The CONSULTANT agrees that the CITY'S inspection, review,
acceptance or approval of CONSULTANT'S work shall not relieve
CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or
its sub-consultant(s) or in any way affect the CONSULTANT'S status as an
independent contractor of the CITY.
SECTION V - TERMINATION
A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason -
- with or without cause -- by delivering written notice to CONSULTANT
personally or by certified mail at Wilbur Smith Associates, 9800 Richmond
Avenue, Suite 400, Houston, Texas 77042. Immediately after receiving such
written notice, the CONSULTANT shall discontinue providing the services under
this CONTRACT.

B. If this CONTRACT is terminated, CONSULTANT shal] deliver to the CITY all
drawings, special provisions, field survey notes, reports, estimates and any and all
other documents or work product generated by the CONSULTANT under the
CONTRACT, entirely or partially completed, together with all unused materials
supplied by the CITY on or before the 15` day following termination of the
CONTRACT.
C. In the event of such termination, the CONSULTANT shall be paid for services
performed prior to receipt of the written notice of termination. The CITY shall
make final payment within sixty (60) days after the CONSULTANT has delivered
to the CITY a detailed invoice for services rendered and the documents or work
product generated by the CONSULTANT under the CONTRACT.
D. If the remuneration scheduled under this contract is based upon a lump sum fee or
definitely ascertainable sum, the portion of such sum payable shail be
proportionate to the percentage of services completed by the CONSULTANT
based upon the scope of work.
E. In the event this CONTRACT is terminated, the CITY shall have the option of
completing the work, or entering into a CONTRACT with another party for the
completion of the work.
F. If thz CITY terniinates this CONTRACT for cause and/or if thc CONTRACTOR
breaches any provision of this CONTRACT, then the CITY shall have all rights
and remedies in law and/or equity against CONSULTANT. Venue for any action
or dispute arising out of or relating to this CONTRACT shall be in Brazoria
County, Texas. The laws of the State of Texas shall govern the terms of this
CONTRACT. The prevailing party in the action shall be entitled to recover its
actual damages with interest, attorney's fees, costs and expenses incurred in
connection with the dispute and/or action. CONSULTANT and CITY desire an
expeditious means to resolve any disputes that may arise between under this
CONTRACT. To accomplish this, the parties agree to mediation as follows: If a
dispute arises out of or relates to this CONTRACT, or the breach thereof, and if
the dispute cannot be settled through negotiation, then the parties agree first to try
in good faith, and before pursuing any legal remedies, to settle the dispute by
mediation of a third party who will be selected by agreement of the parties.
SECTION VI — ENTIRE AGREEMENT
This CONTRACT represents the entire agreement between the CITY and the CONSULTANT
and supersedes all prior negotiations, representations, or contracts, either written or oral. This
CONTRACT may be amended only by written instrument signed by both parties.

SECTION VII — COVENANT AGAINST CONTINGENT FEES
The CONSULTANT affirms that he has not employed or retained any company or person, other
than a bona fide employee working for the CONSULTANT to solicit or secure this
CONTRACT, and that he has not paid or agreed to pay any company or person, other than a
bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other
consideration, contingent upon or resulting from the award or making of the CONTRACT. For
breach or violation of this clause, the CITY may terminate this CONTRACT without liability,
and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise
recover, the fiill amount of such fee, commission, percentage brokerage fee, gift, or contingent
fee that has beeu paid.
SECTION VIII- SUCCESSORS AND ASSIGNS
This CONTRACT shall not be assignable except upon the written consent of the parties hereCo.

We appreciate the opportunity to be selected by the City of Pearland to provide professional engineering
services for this important design projeM along Bailey Road. We understand [he importance of this
project to the City and recognize the extensive and continuous efforts, coordination and dedication that
will be required by all involved s[aff for its successful completion. As indicated to City staff on several
occasions during our interview and contrac[ negotiation meetings, we want to once again assure you
that the WSA/IDC Team is committed to this project today and will remain committed throughout its
duration. We look forwazd to our successful partnership with the City of Pearland as we together provide
the much needed mobility and safety improvements along Bailey Road.
Attached is the project scope (4, 4a and 4b). In addition, a fee proposal for the project that reflects the
cost associated with the approved scope is also included. Please note that [he following items of work are
not currenUy included in the scope or in the fee proposal but can be added if desired:
• Environmental services
• Tree survey
• Survey/preliminary design/final design of the detention pond SE of Veterans and Bailey Road
intersection (only included in scope for the drainage study)
• Right of way acquisition services
• Diversion ditch, roadside ditches south of Bailey Road and detention pond south of Bailey Road
• Design of utilities, including private utilities, water and/or sani[ary sewers
• Complete Subsurface Utility Engineering (only includes 6 quality level "A" holes for 3 known
pipelines and partial level "B")
• Design of electrical power distribution and service drops for sveet lighting (by Centerpoint)
• Resident construction managemenUinspection/material testing
All of these items of work can be perFormed by the team but are currently not induded in the scope and
fee.
I have also attached a schedule for completing the design 15 months after the contract is fully executed.

All services will be provided as a lump sum fee except for construction phase services (see attached
breakdown). The lump sum fee is $1,580,118 and the hourly fee is a NTE $130,228 for a total of
$1,710,346. Construction phase services will be performed on an hourly basis with a maximum fee as
described in the attached detailed cost proposal. Compensation for additional work, changes to completed
work and increases in scope will need to be addressed in a negotiated change order.

companies to identify conflicts and coordinate relocations.

including but not limited to: TxDOT, Railroads, County Drainage
Districts and USACE Narionwide or Individual permits (if

and/or right of way which includes:

of the project as necessary, customary and in keeping with best practices
for the project type and requirements. Include
i. Design Recommendation in report form for the project including
boring logs
ii. Recommend boring locations and depths
iii. Pavement design recommendations (see item 7.)

3. Storm Water Pollution Prevention Plan (SWPPP)
a. Prepare a SWPPP tailored to the project for use by the Contractor during
construction operation in keeping with TCEQ regulations.
4. Traffic Signal Warrant Study and Traffic Engineering
a. Conduct Traffic Signal Warrant Studies at two locations, specifically the
intersections along Bailey Road at Harkey Road and McLean Road to
evaluate the satisfaction of traffic signal warrants identified in the Texas
Manual on Uniform Traffic Control Devices. This task will include the
collection of available historic crash data and the weekday 24-hour
approach traffic counts along Bailey Road, Harkey Road and McLean
Road. Traffic volumes will be compared with appropriate threshold values
to determine satisfaction of the various warrants.
b. Conduct an evaluation of future traffic signal needs for intersections not
being designed at ultimate capacities as part of this project. This task will
include the conduct of 24-hour approach traffic volume counts for up to 3
other intersections. Appropriate growth rates will be applied to estimate
future traffic volumes. Signal warrant evaluation will be based on the
MUTCD using methodology outlined in the Institute of Transportation
Engineers Manual of Traffic Signal Design.
c. Rcview and modify existing traffic signal timing for Bailey Road
intersections at FM 1128 and Veterans Drive and prepare new traffic
signal timing plans for adjacent intersections at Harkey Road and McLean
Road (if signals are warranted). For this task it will be necessary to
conduct am peak, pm peak, and school peak hour intersection turning
movement counts for the two existing signal locations and the two
potential locations. Travel time runs will also be conducted during those
peak hours to help calibrate an existing conditions traffic simulation model
to be developed. Traffic simulation model will be developed using
SYNCHRO/SIMTRAFFIC. Signals will be optimized and coordinated to
optimize traffic flow along Bailey Road. Signal timings developed in
SYNCHRO/SIMTRAFFIC will be incorporated into controller

programming sheets and field implemented in the traffic signal controllers.
Field adjustments to signal timing will be made as necessary for optimum
traffic flow. This task does not indude future modification of signal
timings after new signal timings have been implemented..
d. Prepare a plan set for existing traffic signal modifications at the
intersection of Bailey Road and FM 1128 to accommodate the proposed
Bailey Road widening. The plan set will include general and construction
notes, traffic signal layout plan, interconnect layout, and plans for phasing,
timing, and wiring. Phasing and timing parameters will be developed as
part of the preceding traffic signal timing task. The traffic signal layout
sheet will include locations for vehicle detectors, signal heads, pedestrian
push buttons, street lighting, cabling, conduit, and other materials
necessary for signal operation. Design will also include proposed
pedestrian pads/curb ramps. Signal interconnect design will incorporate
hardwire or wireless technology, as required by the City of Pearland.
Intersection pavement markings and roadside signing plan will be
prepared as part of other tasks in this scope of services. Submittals will
include two sets of 22" x 34" drawings at the 60%, 90% and 100% levels
of completion for review by the City of Pearland. Final drawings at the
100% level of completion will incorporate City review comments and will
be prepared on 22" x 34" sheets bond paper at a scale of 1"=20'. Two sets
of the final drawings will be provided to the City of Pearland.
Construction specifications and a list of bid items will be provided to the
general engineer for incorporation into the bid documents. Construction
cost estimates will be prepared for approved plans.
e. Prepare a plan set for new traffic signal installation along Bailey Road at
Harkey Road and McLean Road intersections (if warranted) based on the
approach outlined in the preceding Section 4.d.
f. Design temporary signals for pre-construction and construction phases.
Prior to the widening of Bailey Road, a temporary signal is to be installed
at McLean Road to better accommodate adjacent school traffia The
additional conshuction cost associated with the installation of this

temporary traffic signal will be estimated. Traffic signal layouts for FM
1128, McLean Road, and Veterans Drive will also be prepared for each
construction phase. Traffic signal plans will include total costs associated
with temporary signalization during construction. Temporary signal design
for McLean Road is contingent on a traffic signal being warranted as
described in the preceding Section 4a.
g. Apply access management criteria to identify modifications to proposed
median openings and turn lanes, as well as additional left-turn and right-
turn lanes in order to facilitate traffic flow and improve safety. This task
will include the conduct of peak hour turning movement traffic counts at
up to ten locations (major driveways and cross-streets not being counted
as par[ of other tasks) along Bailey Road.
5. Texas Department of Licensing & Review
a. Submit plans for accessibility review and address all resulting comments
for compliance with TAS and ADA (Final Inspection). Construction
Manager (or City) to pay plan review and filing fee based on project cost.
Engineer to pay final inspection fee for inspection done as part of final
acceptance at the end of construction.
6. Subsurface Utility Engineering (SUE)
a. Horizontal and vertical locations of three pipelines (Qualiry Level A).
Limits are from ROW to ROW lines.
b. Designate horizontal location of 2 gas lines larger than 2" diameter and 3
fiber optic lines (Quality Level B) — all crossing Bailey Road.
a Location of all other utilities will be approximated by using record
information and available surface feahues like manholes, poles, pedestals
and valve boxes.
7. Life Cycle Cost Comparison — Concrete vs. Asphalt
a. Comparison of life cycle cost for a concrete paving structure and an
asphalt paving structure. This consists of a design of each structure, using

identical soil conditions and traffic loadings over the same time period.
The estimate of total life cycle costs for each structure will be computed
including initial installation and maintenance cost over equal time periods
and ROW costs associated wiYh each option.
b. The analysis will compare three roadway and associated drainage cross
sections:
i. Concrete Curb & Gutter with an underground drainage system
ii. Asphalt road with concrete C&G with U/G drainage
iii. Asphalt roadway with open ditch drainage
8. Public Open House
a. Provide staff and materials for one open house for the public, located on or
near the project. The facility and public notifications to be provided by
the City. The primary goal is to inform the nearby property owners of the
project limits, scope and schedule. In addition, staff will be available to
answer questions. Engineer to provide drawings and other support
materials. No forxnal presentation will be required of the engineer.
Written comment forms from the meeting will be summarized and
provided to the City by the engineer.
9. Drainage Study
a. Review of Drainage Reports prepared by JKC and Klotz with
recommendations of modifications
b. Preliminary recommendations for detention storage and/or mitigation, if
necessary. Recommendations shall be based on a study concept of
increasing storage in the pond east of Bailey and Veterans for the purpose
of lowering the water surface at the intersection. A preliminary revised,
smaller conduit size for the east portion of Bailey Rd will be computed. A
preliminary comparative cost study will be performed to indicate the
difference between reduced storm sewer costs and additional construction
and operating costs for the pond improvements.

1. Schematics — Planning and Preliminary Engineering Report Phases

and solicit necessary information.

Surveying And Mapping, Inc. (SAM, Inc.) gready appreciates this opportunity to provide you with
Subsurface Utility Engineering (SUE) services for [his important project. The following scope of
services is based upon our understanding of the project and the information provided to us.
1. PROJECT UNDERSTANDING
It is our understanding that the project is located in Pearland, Texas and consists of the following:
1.1 The project limit is along Bailey Road starting immedia[ely wes[ of the Veterans Road
intersection and ending approximately 1,000 linear feet west of the FM 1128 intersection.
This project consists of providing qualiry level B(QL-B: identify, locate and map existing
utilities) and qualiry level A(QL-A:Test Hole) subsurface utility engineering services .
1.2 The Bailey Road project is approximately 2.5 miles in length and is an exis[ing two (2) lane
pavement section with barzow ditched on both sides for drainage.
13 Based upon a site visit, the visible existing u[ility surface features that were evident within
the projec[ limits indicate that the following underground utilities systems exist: petroleum
pipeline, natural gas, electric, and telecommunications (including fiber optic) systems.
1 A The scope of service for this project is to provide the following:
1.4.1 QL-A services to uncover the top of pipe on the petroleum pipelines only. A[est hole
will be provided for the following pipelines:
• Houston Pipeline Company (2 Test Holes — one on each side of the roadway),
• Seminole Natural Gas PL Company (2 Tes[ Holes — one on each side of the
roadway), and
• TEPPCO petroleum pipeline (2 Tes[ Holes — one on each side of the roadway).
There are a total of 6 tes[ holes projected for this project.
1.4.2 QL-B services to identify, locate and map the approximate horizo�tal location of the

• An existing Cen[erpoint 4" diameter gas pipeline crossing Bailey Road along the
east right-of-way (ROW) of FM ] 128,
• An existing Cen[erpoint 4" diameter gas pipeline crossing Bailey Road at the
McLea� in[ersec[ion, and
• Three (3) fiber optic AT&T communication lines crossing Bailey Road at [he
McLean, Hazkey and Veteran Drive intersections.
1.5 Wilbur Smith Associates will provide an electronic file of recent 2D planime[ric mapping of
the project areas requiring QL-B and QL-A services. This file will be used as background
information for the SAM, Inc. deliverables on this project.
1.6 SAM, Inc. will prepare and process right-of entry letters for a maximum of six (6) property
owners for the sole purpose of accessing their property to excavate the test holes as
previously lis[ed. This service includes identifying the property owners and the preparation
and processing the right-of-en[ry letters to obtain access approval.
1.7 SAM, Inc. will use existing horizontal and vertical control as provided by Wilbur Smith
Associates for preparing the test hole reports. The scope of services for this projec[ does not
include SAM, Inc. establishing and/or re-establishing existing horizontal and vertical
control.
1.8 It is assumed by SAM, Inc. that excava[ion permits are not required by [he City of Peadand
for this project since all vacuum excavation activi[ies will be within the right-of-way of
Bailey Road; but, not within the pavement areas.
1.9 The location of the [est holes will require [raffic con[rol services for closing one lane of
Bailey Road during vacuum excavation operations. SAM, Inc. will provide these services
through United Rentals.
2. SERVICES TO BE PROVIDED
SAM, lnc. will provide the following Subsurface Utility Engineering (SUE) services for this project:
2.1 Quality Service Level D(QL-D) — This level of service is inclusive of QL-B services and
consists of the collection of existing utiliry record informatio� (as-buil[) from AT&T and
Centerpoint.
2.2 Quality Service Level C(QL-C) — This level of service is inclusive of QL-B services and
consists of field locating to obtain accura[e horizontal position of visible utility surface
features for all of the u[ility systems requiring QL-B services.
23 Quality Service Level B(QL-B Designating Services) - Designa[e is [o indicate, by
marking with paint, the presence and approximate horizontal loca[ion of subsurface utilities
using geophysical prospecting techniques, including, without limita[ions, electromagnetic,
sonic aud acous[ical techniques. SAM, Inc. will provide the following designating services
to aid the Client in the design of site, righFOf-way, construction plans or project
development plans, or for other purposes as agreed to by the parties. SAM, Inc. will:
1. Provide all equipment, personnel and supplies required for performing designating
services. SAM, Inc. shall determine which equipment; personnel and supplies are
required to perform designating services.

3. Designate the approximate horizon[al location of the exis[ing utilities within Che
projec[ limits as previously described in the Projec[ Understanding sec[ion of this
contract.
4. Mark with paint the approximate horizontal position of the utilities on the ground [o
be surveyed.
5. Mazkings on the ground are to be used for design purposes and not for construction
excavation purposes. The use of information provided does not relieve any
contractor from the duty to comply with applicable utility damage prevention laws
and regulations, including, but not limited [o, giving notification to utility owners or
`bne-calP' centers before excavation.
6. The accuracy of subsurface data can be influenced by factors beyond our control,
such as conductivity of materials and [heir surroundings, soil mois[ure content,
proximity of other underground utilities or structures, depth of utility, etc.
Therefore, only the accuracy of data obtained by actual physical verification
(through vacuum excavation or otherwise) can be guaranteed [o applicable
engineering and/or surveying standards.
7. SAM, Inc. will provide all SUE services to the prevailing standard of care applicable
in the Subsurface U[ility Engineering profession.
2.4 Quality Service Level A- Locating (Tes[ Hole) Services - Locating services is to locate
the accurate horizontal and vertical posi[ion of subsurface utilities by excava[ing a tes[ hole
using vacuum excavation [echniques and equipment that is non-destructive to utilities. In
performing locating (test hole) services, SAM, Inc. will:
1. Provide all equipment, personnel and supplies required to perform locating services.
SAM, Inc. shall determine which equipment, personnel and supplies are required to
perform such services.
2. U[ilize existing records and designa[ed utilities a[ the si[e and investigate site
conditions.
3. Excavate test holes to expose the utility to be measured in such a manner that ensures
the safety of the excava[ion and the integrity of the utility to be measured. In
performing such excavations, SAM, Inc. shall comply with applicable utility damage
prevention laws and coordinate with u[iliry inspectors, as required. Excavations will
be performed using specially developed vacuum excavation equipment that is non-
destructive to existing facili[ies. If contaminated soils are discovered during [he
excavation process, SAM, Inc. will so notify the Clien[.
4. Investigate, evaluate, measure and record a) actual dep[h to top of utility referenced [o
a mazker installed directly above the cen[erline of [he exposed utility s[ructure and b)
ou[side diameter of utility and configuration of non-encased, mul[i-condui[ systems.
5. Furnish and install markers dicectly above the centedine of utility structure and in
each excavated test hole.
6. Backfill around the exposed facility using the excavated materials. Excavations will
be backfilled and compacted in lifts. Compac[ion will comply with permit
requirements.
7. Provide permanen[ restora[ion of pavement wi[hin limits of original cut. When test
holes are excavated in areas other than roadway pavement, these disturbed areas
shall be restored as nearly as reasonably possible to the condition that existed prior
to excavation.
8. Evaluate and compare field information with utility information described in u[ility
records and resolve conflicts.

SAM, Inc. will provide all services to the standard of care applicable in the subsurface engineering
profession. The services will meet or exceed the standazd guidelines of ASCE GI 38-02 circular for
"Standard Guideline For The Collection And Depiction Of Existing Subsurface Utility Data".
4. PROJECT DELIVERABLES:
4.1 Two (2) hardcopy sets of test hole reports for each excavation signed and sealed by a
registered Texas Professional Engineer.
4.2 Two(2) sets of colored plan sheets at a 1'= 50' scale on 24"x 36" sheets.
4.3 Two (2) sets of electronic files on CD-ROM with PDF files of collected record information.
5. FEE SCHEDULE: SAM, Inc. will provide the services described above as follows:

HVJ Associates, Inc. is pleased to submit this revised proposal for the above project. This proposal
outlines our understanding of the project and our approach for providing a geotechnical study for
the proposed Road. The proposal is revised to include an asphalt pavement design altemative and
life cycle cost comparison between concrete and asphalt pavements.
The project includes construction o£ four-lane concrete roadways with curbs and gutters along
Bailey Road from 1000 feet west of FM 1428 to Veteran's Road in Pearland, Texas. A previous
geotechnical investigation was performed for the project by HVJ Associates (HVJ Repart No. Ol-
187GF I-2) and a draft geotechnical report was submitted to Turner Collie & Braden, Inc. in May,
2003.
Our current scope will include providing geotechnical recommendations for the installation of storm
sewers alon� the proposed alignment based on our previous borings drilled at the site, design an
asphalt pavement alternative, perform a life cycle cost comparison for a concrete paving structure
and an asphalt paving structure, and submit a final signed and sealed engineering report
documenting the results. We will finalize the repart based on the information we have from the
e�cisting borings only. If it is required to increase the number of borings, an additional geotechnical
investigation will be performed at an additional cost.
Scope of Work
The purpose of this study is to provide Foundation recommendauons for the proposed storm
sewers, design one asphalt pavement section alternaave, and perform a life cycle cost comparison
For one concrete and one asphalt pavement section. The asphalt pavement design and the life cycle
cost analysis will be performed using the AASHTO DARWin computer program, based on a 40
year life cycle and a 20-year initial performance period.
We expect to complete this assignment in about three weeks following our receipt of your written
notice to proceed.

Fees and Conditions
Based on the scope of work outlined, the lump fee for geotechnical services is $7,090. Our credit
terms are net 30 days. Our fee is based on the assumption that the following information will be
provided to us by the City of Pearland:
• The concrete pavement section to be included in the life cycle cost analysis, From which the
associated traffic will be selected for the asphalt pavement design (one of the four concrete
thickness options and associated ESALs provided in the draft report)
• Project length (mi), number of lanes in each direction and lane width
• Unit prices for initial construction of both pavement sections (no drainage costs included,
assuming curb and gutter for both options)
• Confirmation of typical inidal perFormance period (time in years to major rehabilitation) for
asphalt and concrete pavements based on possible values from HVJ
• Confirmation o£ annual maintenance cost per lane mile for asphalt and concrete pavements
based on potential numbers from HVJ
• Confirmation o£ typical rehabilitation types and associated performance periods for asphalt
and concrete pavements (i.e. overlay; mill and overlay; slurry seal; full depth repair; joint
reseal; etc.) based on options from HVJ
Insurance certificates veri£ying HVJ Associates' general liability, auto, worker compensation, and
errors and omissions insurance coverage, listing the City of Pearland as a certificate holder, will be
provided upon request.
