A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO
ENTER INTO AN ENGINEERING CONTRACT WITH OTHON, INC. FOR
ENGINEERING DESIGN AND SURVEYING SERVICES ASSOCIATED
WITH THE HICKORY CREEK WATER AND SEWER PROJECT.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract by and between the City of Pearland and Othon,
Inc., a copy of which is attached hereto as Exhibit "A" and made a part hereof for all
purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest a contract with Othon, Inc. for engineering design and
surveying services associated with the Hickory Creek Water and Sewer Project.

STANDARD AMENDMENT TO
· CONSULTANT SERVICES AGREEMENT
This Amendment (hereinafter "Amendment") is made between the City of
Pearland, Texas (hereinafter "City"), and Othon, Inc. (hereinafter "Consultant") to amend
that Engineering serVices contract (the "Coptract") between the City and the Engineer
executed on December 10, 2001 for Engineering SerVices associated with the Hickory
Creek Water and Sanitary Sewer.
1. Amended Terms. The City and the Consultant hereby agree that the Contract is
amended as follows:
A. Increase Maximum Contract Amount by $45,412.00; changing the total contract
amount from 205,836 to 251,248
B. See Attachment for additional serVices.
2. Contract to Remain in Force. Other than the provisions of the Contract expressly
amended herein, the Contract shall remain in full force and its enforceability shall be
unaffected by this Amendment.

Dear Mr. Hague:
In response to comments received by Othon on September 26, 2002 and on November 13, 2002,
Othon is please to submit this revised proposal for a fee adjustment.
Background Information:
During the development of the Preliminary Engineering Report (PER) and the 30% Review
Construction Drawings, several unexpected situations arose that warranted the inclusion of
several items in the project that were outside of the scope of the original agreement. These items
are described in more detail below and basically fall into two categories. The first category
contains items that increased the scope of the project by adding additional service area to the
project, and the second category contains items that require updating previously completed
design work in order to comply with the recently completed Wastewater Collection System
Master Plan. For these, Othon is requesting a fee adjustment for the incorporation of these items
into the above referenced projects.
Additional Scope:
Below is a detailed list of the items that were added to the scope of the projects. Most of the
additions were the inclusion of service areas adjacent to the subdivisions to provide water and
sewer service to currently unserved areas. This increase in service area caused an increase in the
total length of water and sanitary sewer for the project as well as an increase in pipe size for

some of the most downstream sewers, and ultimately contributed to an increase in the anticipated
construction cost.
Hickory Creek Water and Sanitary Sewer:
· Additional sanitary sewer and water on Steven Drive to serve an area to the south of the
Hickory Creek Subdivision,
· Additional sanitary sewer and water on Carroll Drive to serve an area to the north of the
Hickory Creek Subdivision,
· Additional sanitary sewer on Garden Road to serve an area to the north of the Hickory
Creek Subdivision,
· Additional area served by the sanitary sewer on Garden Road to the west and south of the
Hickory Creek Subdivision,
Update of Design:
On August 29, 2002, Othon met with members of the City staff, and their consultant, MWH, to
discuss items related to the Wastewater Collection System Master Plan as they relate to current
design project. At this meeting it was decided, that changes needed to be made to both the
Hickory Creek Subdivision sanitary sewer in order to incorporate elements of the master plan
into this project.
On the Hickory Creek Subdivision project, the decision was made to reroute the flow of the
proposed wastewater collection system to connect to a new 24-inch trunk sewer on O'Day. Up
to this point, the Preliminary Engineering Report (PER) and the 30% construction drawings have
been developed with a wastewater collection system designed to convey the wastewater flow to a
connection point on Garden Road. Therefore, the PER and 30% construction drawings need to
be updated to reflect this new design concept. Please note that the design of the 24-inch trunk
sewer is not included in this request, and it is included in a separate proposal submitted to the
city.
Fee Adjustment:
For these items, Othon proposes to use a lump sum fee adjustment. Attached to this letter are
spreadsheets showing the justification for the fee adjustment broken down by task and the effort
required to complete each task. The fee for additional surveying is contained on the attached
proposals from the Wilson Surveying Group.
Othon will perform all items described above for a lump sum contract adjustment of
$45,412.00 (FORTY FIVE THOUSAND FOUR HUNDRED TWELVE DOLLARS). The
detailed calculation of this fee adjustment is contained on the attached worksheets and
summarized below. This adjustment includes a 10% mark-up on subconsultant contracts
for additional services.

It is important to note that a portion of the above amount represents work that has already been
performed by Othon. Specifically, the portion of each item that represents the preliminary
design was completed during the development of the PER. Also, a portion of the final design
has been completed up to a 30% design level.
Contract Time:
In addition to an adjustment to the contract amount, Othon is requesting an extension to the
contract schedule as well. Othon is requesting 30 calendar days following the approval of this
request for the update of the PER and the 30% construction drawings. Following resubmittal of
the PER and the 30% construction drawings, the City will have time for their review, and the
project will proceed as noted on the attached revised schedule.
Upon acceptance of this proposal, Othon will add these items to the project scope and include
related information in the final bid package. Also, this fee adjustment will be represented on the
next invoice following acceptance of this proposal.
