A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO
ENTER INTO AN ENGINEERING CONTRACT WITH S & B
INFRASTRUCTURE FOR ENGINEERING DESIGN SERVICES
ASSOCIATED WITH THE VETERANS DRIVE SEWER PROJECT.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract by and between the City of Pearland and S & B
Infrastructure, a copy of which is attached hereto as Exhibit "A" and made a part hereof for
all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest a contract with S & B Infrastructure for engineering design
services associated with the Veterans Drive Sewer Project.

CITY OF PEARLAND
STANDARD AGREEMENT
FOR ENGINEERING SERVICES
This Contract (Contract) is made between the City of Pearland, Texas
(hereinafter "City"), and S&B Infrastructure, LTD. (hereinafter "Engineer") as follows:
1. Summary of Contract Terms. The following information and referenced documents
shall be a part of this Contract:

* All financial obligations created by this agreement are between the City and
Engineer, and shall not be construed to be between City and any subconsultant.

Engineering Services.

2. Services and Payment.
Engineer shall perform services within the Standard of Care of the Engineering
profession as follows:
A. Engineer will furnish services to the City in accordance with the terms and
conditions specified in this Contract. Payment for the services of Engineer shall be due
and payable upon submission and approval of a statement for services to City.
Statements for services shall not be submitted more frequently than monthly.
After consultation with the City, the Engineer shall specify the basis of
compensation in the scope of work for the project. The Engineer shall provide ade.quate
detail of the basis of compensation so that the City can determine the reasonableness
of the fees and have the ability to make reasonable progress payments to the Engineer
based upon work completed at the payment intervals. The Engineer shall subcontract
for all subconsultants, subject to City approval, necessary to complete the scope of
work. The subconsultant's fees and administrative mark-up, if any, shall be included in
the scope of work. Unless otherwise agreed upon, the method of compensation shall
be one of the following methods:

1. Salary Cost Times Multiplier Plus Direct Nonsalary Expense ("Salary")
Compensation shall be based on 1) the direct salaries (including benefits)
of the Engineer's employees whose time is directly chargeable to the
project; 2) an agreed upon multiplier to compensate the Engineer for
overhead and profit; and 3) reimbursement for direct nonsalary
e~(penditures and subconsultant contracts as defined in the scope of work
for the project. The Engineer shall provide a proposal that includes the
total fees for the project, which shall not be exceeded without prior City
approval.
2. Per Diem ("Per Diem")
Compensation shall be based upon 1) an agreed upon lump sum per day
for specific services; and 2) reimbursement for direct nonsalary
expenditures and subconsultant contracts as defined in the scope of work
for the project. This method is best suited to expert witness work or other
short-term engagements involving intermittent services.
3. Cost Plus Fixed Fee ("Cost Plus")
Compensation shall be based upon 1) reimbursement of the actual costs
of all services and supplies related to the project and 2) an agreed upon
fixed fee (profit). The Engineer shall provide an estimate of the costs to
be reimbursed, but actual compensation shall be based upon invoices and
supporting documentation provided by the Engineer.
4. Lump Sum ("Lump")
Compensation shall be based upon an agreed lump sum payment for
completing the entire scope of work. This method is best suited to
investigations or studies and for basic services with limited scope and
complexity.
5. Percent of Construction ("Percent")
Compensation shall be based upon 1) the "Harris County Curve for
Engineering Compensation" for basic and construction phase services;
and 2) reimbursement for direct nonsalary expenditures and subconsultant
contracts as defined in the scope of work for the project. The Engineer
shall provide a proposal that includes the estimated construction cost of
the project and the total fees for the project. If the actual Iow bid for
construction is 20% above or below the estimate, the engineering fees are
subject to equitable adjustment by mutual agreement of the Engineer and

If City fails to make any payment due Engineer for services and expenses within
thirty (30) days after receipt and approval of Engineer's statement for services therefore,
the amounts due Engineer will be increased at the rate of one percent (1%) per month
from said thirtieth (30th) day, and, in addition, Engineer may, after giving seven (7) days'
written notice to City, suspend services under this Contract until Engineer has been paid
in full, all amounts due for services, expenses, and charges.
B. All the"Engineer's working drawings, plans, and specifications, if required under
this Contract, shall be sufficiently accurate, detailed, and complete so that competitive
bids for the work can be obtained and the improvements constructed.
C. Approval of the Engineer's work by the City shall not release the Engineer, its
employees, agents, or consultants, from the responsibility and liability for the accuracy
and competency of their designs, working drawings, and specifications, or other
documents and services.
D. Subject to Article 8 herein or as otherwise agreed, the Engineer shall promptly
correct errors in the Engineer's work, including errors discovered after final payment,
without receiving additional compensation.
E. Prior to execution of this agreement, the Engineer shall have prepared a project
schedule identified as an attachment to this agreement. The Project Schedule shall be
submitted in digital and paper form, in the Microsoft Project for Windows format.. The
Project Schedule shall contain a complete schedule so that the Engineer's scope of
services under this contract can be accomplished within the specified time and contract
cost. The Project Schedule will provide specific work sequence and definite review
times by the City and the Engineer of the work performed. If the review time should
take longer than shown on the project schedule, through no fault of the Engineer,
additional contract time may be authorized by the City through a supplemental
agreement, if requested by a timely written request from the Engineer and approved by
the City.
3. Term and Termination. This Contract term will begin upon execution and end sixty
days after issuance of the certification of completion of construction by the Engineer.
The City may terminate this Contract at any time during its term by giving written notice
to Engineer. The City shall pay the Engineer for all services rendered to the date of
termination.
4. Modifications. City without invalidating the Contract, may order changes within the
general scope of the work required by the Contract by altering, adding to and/or
deducting from the work to be performed. If any change under this clause causes an
increase or decrease in Engineer's cost of, or the time required for; the performance of
any part of the Services under the Contract, an equitable adjustment will be made by
mutual agreement and the Contract modified in writing accordingly.
5. Subcontracts. If, for any reason, at any time during the progress of prOviding
services, City determines that any subcontractor for Engineer is incompetent or
undesirable, City will notify Engineer accordingly and Engineer shall take immediate
corrective action, which may include cancellation of such subcontract. Subletting by
subcontractors shall be subject to the same regulations. Nothing contained in the
Contract shall create any contractual relation between any subcontractor and City.
6. Ownership of Documents. All drawings, report data, and other project information
developed in the execution of the services provided under this Contract shall be the
property of the City upon payment of Engineer's fees for services. Engineer may retain
copies for record purposes. Owner agrees such documents are not intended or
represented to be suitable for reuse by City or others. Any reuse by City or by those
who obtained said documents from City without written verification or adaptation by
Engineer will be at City's sole risk and without liability or legal exposure to Engineer, or
to Engineer's independent associates or consultants, and City shall indemnify and hold
harmless Engineer and Engineer's independent associates and consultants from all
claims, damages, losses, and expenses including attorneys' fees arising out of or
resulting therefrom. Any such verification or adaptation will entitle Engineer to further
reasonable compensation. Engineer may reuse all drawings, report data, and other
project information in the execution of the services provided under this Contract in
Engineer's other activities. Any reuse by Engineer will be at Engineer's sole risk and
without liability or legal exposure to City, and Engineer shall indemnify and hold
harmless City from all claims, damages, losses, and expenses including attorneys' fees
arising out of or resulting therefrom.
7. Insurance.
A. The Engineer shall procure and maintain for the duration of this Agreement,
insurance against claims for injuries to persons, damages to property, or any errors and
omissions relating to the performance of any work by the Engineer, its agents,
employees or subcontractors under this Agreement, as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate.
(3)
Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of any one person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.

Comprehensive Automobile and Truck Liability Insurance covering owned,
hired, and non-owned vehicles, with minimum limits of $1,000,000 for
injury or death of any one person, $1,000,000 for each occurrence, and
$1,000,000 for property damage.
B. The Engineer shall include the City as an additional insured under the policies,
with the exception of the Professional Liability Insurance and Workers' Compensation.
Certificates of'Insurance and endorsements shall be furnished to the City before work
commences. Each insurance policy shall be endorsed to state that coverage shall not
be suspended, voided, canceled, reduced in coverage or in limits except after thirty (30)
days prior written notice by certified mail, return receipt requested, has been given to
the City. Upon request, certified copies of all insurance policies shall be furnished to the
City.
8. Indemnity. Engineer shall indemnify and hold the City, its officers, agents, and
employees, harmless from any claim, loss, damage, suit, and liability of every kind for
which Engineer is legally liable, including all expenses of litigation, court costs, and
attorney's fees, for injury to or death of any person, for damage to any property, or
errors in design, any of which are caused by the negligent act or omission of the
Engineer, his officers, employees, agents, or subcontractors under this Contract.
9. Assignment. Engineer shall not assign this Contract without the prior written
consent of the City.
10. Law Governinq and Venue. This Contract shall be governed by the law of the State
of Texas and no lawsuit shall be prosecuted on this Contract except in a court of
competent jurisdiction located in Brazoria County, Texas.
11. Entire Contract. This Contract represents the entire Contract between the City and
the Engineer and supersedes all prior negotiations, representations, or contracts, either
written or oral. This Contract may be amended only by written instrument signed by
both parties. Purchase orders issued under this Agreement shall contain a statement
nullifying additional terms and conditions on the reverse side of the purchase order and
referencing this Agreement.
12. Conflicts in Contract Documents. The above provisions shall govern over any
conflicting provision contained in any referenced contract document specified above.
13. Dispute Resolution Procedures. The Engineer and City desire an expeditious
means to resolve any disputes that may arise between them regarding this Contract. To
accomplish this, the parties agree to mediation as follows: If a dispute arises out of or
relates to this Contract, or the breach thereof, and if the dispute cannot be settled
through negotiation, then the parties agree first to try in good faith, and before bringing
any legal action, to settle the dispute by medi~tic~n of a third party who will b~ ,~eJected
by agreement of the parties.

S&B Infrastructure, Ltd. (S&B) is pleased to present this revised proposal for providing Professional
Engineering Services for the referenced project. S&B proposes to provide "Basic" engineering services as
described in the attached scope of services for the Lump Sum amount of $122,804. S&B further proposes to
provide "Additional" engineering and associated services as described in the attached scope of services for the
Cost Plus amount of $42,465. Included with this proposal is a draft the City's standard agreement for

SCOPE OF SERVICES
Magnolia Street Lift Station
and
Sanitary Trunk Sewer along Veterans Drive
Pearland, Brazoria County, Texas
GENERAL:
The work to be furnished by S&B Infrastructure, Ltd. (Engineer) under this contract
shall consist of Engineering Services required for preparing a preliminary design, cost-
effectiveness analysis, letter report, and opinions of construction costs for Magnolia Lift
Station and trunk sewer along Veterans from Magnolia to the current city limits. The
preliminary design phase defines the Magnolia Lift Station Service Area including the
sanitary trunk sewers along Magnolia Drive, Veterans Drive and State Highway 35. The
scope of work shall consist of Engineering Services required for preparing construction
plans, specifications, and estimates (PS&E) for design of the Magnolia Street Lift
Station and Sanitary Trunk Sewer along Veterans Drive. This lift station and trunk
sewer project is an integral part of the City's master sanitary sewer plan. These
services shall be in accordance with City of Pearland (City) design standards and in
English units.
The Engineer shall furnish all equipment, materials, supplies, and incidentals as
needed to perform the services required.
The Engineer will perform all work efforts and prepare all deliverables in accordance
with the applicable/current requirements of the City's specifications, standards, and
manuals. Whenever possible, the City's standard drawings, standard specifications or
previously approved special provisions and/or special specifications will be used. If a
special provision and/or special specification must be developed for this project, it shall
be prepared in City format and, to the extent possible, incorporate references to
approved City test procedures.
BASIC SERVICES:
Preliminary Design Phase:
The Engineer shall produce a letter report deliverable recommending location for the
proposed Magnolia Lift Station and horizontal/vertical alignments of the trunk sewers: 1)
along Veterans from Magnolia to the current southern city limits, 2) along Magnolia from
Veterans to State Highway 35, and 3) along State Highway 35 from Swensen Road to
Dixie Farm Road. The Engineer shall meet with the City staff at the beginning of the
project to determine the design concepts for the Magnolia Lift Station. The Engineer
shall incorporate applicable data obtained from the City's hydraulic modeling
consultants into the cost-effectiveness analysis package. The Engineer shall provide
standards for sanitary sewer planning and provide details for the applied engineering
approach as a result of planning activities. The Engineer will hold progress meetings

with the City staff at 30% and 90% complete stages to gather and incorporate
comments, and to present 100% documents.
The goal of the Cost-Effectiveness Analysis is to determine the best combination of
gravity sewers, force mains, lift stations, and treatment facilities to provide sanitary
sewerage service to the Magnolia Subbasin Area. The following is a list of tasks
anticipated to be provided under basic services:
With Magnolia Lift Station at the intersection of Magnolia Road and Veterans
Drive, evaluate two viable candidates: 1) Gravity trunk sewers along Veterans
from Magnolia to the southern city limits, 2) Gravity trunk sewer along
Magnolia from Veterans to State Highway 35 and south on State Highway to
Dixie Farm Road. The intent of the study is to eliminate existing lift stations
along each route.
· Address the possibilities of flow transfers into and out of the Barry Rose
Service Area.
Define the Magnolia Lift Station Service Area sewerage system components
and it's sub-basins. Collect / develop flow criteria for the land use within the
service area. Collect/prepare population projections based on the
"Wastewater and SCADA System Master Plan" prepared by Montgomery
Watson Harza (MWH). Determine the existing and ultimate average daily
flows (ADF) for each sub-basin using the City's Zoning Map. Determine the
design Inflow/Infiltration flows for each sub-basin.
Prepare presentation maps to compare alternatives identifying major cost
components. Identify existing facilities and life-services expectancy based on
TWDB projections and modeling consultants current master plan hydraulic
model. Compare the advantages and disadvantages for each alternative.
· Coordinate with the City's Hydraulic Modeling Consultant to run the agreed
upon alternative.
Develop a cost-effectiveness workbook using historical information for
alternative components i.e. Gravity Sewers, Force Mains, List Stations and
Treatment Plants. Cost shall include facility, land, operation and
maintenance.
Prepare a letter report comparing the alternatives and make
recommendations that define future development of the sewage system
within the Magnolia Service Area.
Design Phase:
The Engineer shall produce PS&E deliverables for the sanitary sewer. The Engineer
shall meet with the City engineering and maintenance staff at the beginning of the

project to determine the design concepts for the sanitary sewer. The Engineer shall
incorporate all applicable data obtained from the geotechnical and survey
subconsultants into the PS&E package. The Engineer shall provide standards for
sanitary seweF construction and provide details for the repair of appurtenances as a
result of construction activities. The Engineer will provide review sets to the City at
30% and 90% complete stages to gather and incorporate comments, and 100%, or "Bid
Ready" documents. The Engineer shall assist the City with obtaining any outside
construction permits. The Engineer shall coordinate and obtain final signatures and
approvals for the final set of construction plans.

Subconsultants:
The Engineer shall execute separate Subcontract Agreements with the
Subconsultant(s). Subconsultant invoice amounts plus 10% shall be included in the
Engineer's invoice the City. The City will not be billed directly by the
Subconsultant(s).
Geotechnical Services:
The Geotechnical Subconsultant, Aviles Engineering Corp. (AEC) shall provide
geotechnical information and soil analysis to the Consultant for the design of the
sanitary sewer. See Attachment "B" for a copy of AEC's proposal.
The Engineer shall manage and coordinate the activities of AEC and assist in
determining the boring locations.
Surveying Services:
The Surveying Subconsultant, C.L. Davis & Company (CLD) shall provide
"verification" topographic survey, boring location, & one time construction control
staking services for the design of the sanitary sewer as instructed by the Engineer.
See Attachment "C" for a copy of CLD's proposal.

The Engineer will manage and coordinate the activities of CLD to limit the amount
of surveying to those areas where conflicts appear likely or where a visual site
inspection with the surveyor indicates existing conditions deviate significantly from
available plan data. The Engineer will process the field surveying data and verify
that the survey information meets design requirements.
The Engin?er shall provide courier services, travel for Engineer's personnel to and
from official meetings, internal and outside reproductions of reports and
presentations. The total amount for all additional services expense shall not exceed
$490 without prior authorization from the City.

Dear Mr. Kirst:
INTRODUCTION
In response to your request, Avil6s Engineering Corporation (AEC) is pleased to submit this proposal for a
geotechnical investigation for the above referenced project for the City of Pearland. AEC p.erformed a
geotechnical investigation for the reconstruction of the pavement and relocation of utilities along Magnolia
Road, from Veterans Drive to SH 35; the results of the investigation were presented in AEC Report No. G229-
02, dated September 22, 2002. Soil borings for the referenced report were terminated at a maximum depth
of 20 feet; this depth is less than the invert depth of the currently proposed 30-inqh, gravity, sewer at the
intersection of Magnolia Road and Veterans Drive. The 30-inch sewer will be installed at a depth of about 20
to 25 feet below grade using the open-cut method.
SCOPE OF SERVICES
As instructed, we will drill one boring to a depth of 30 feet at the location to be staked by S & B Infrastructure,
Ltd. AEC's field engineer will perform a site reconnaissance and coordinate with the Texas One Call System
to have the existing underground utilities checked. If existing utilities are identified, the boring may have to
be relocated. Please provide us with any utility drawings that are available.
We will drill and sample the boring using a truck-mounted drill rig. Sampling will be continuously in the top
10 feet and at 5-ft intervals thereafter. Undisturbed samples will be obtained in cohesive soils and Standard
Penetration Tests performed on granular soils. Groundwater depth will be recorded upon completion of
drilling. Representative portions of all samples will be sealed, packaged and transported to our laboratory.
The boring will be converted to a piezometet upon completion. We will monitor the groundwater level in the
piezometer one month after completion of drilling; the piezometer will be left in-place for future monitoring
by others.
Laboratory testing will consist of Atterberg limits, percent passing No. 200 sieve, moisture contents, dry
density and unconfined compressive strength.

We will analyze the field and laboratory data and provide geotechnical guidelines for:
temporary open-cut excavations for sewer line;
OSHA excavation criteria;
lateral pressures for excavations;
uplift resistance criteria for buried structures;
foundation support for buried structures;
guidance for dewatering excavations; and
bedding material and placement criteria.
Our findings and the above recommendations will be presented in a geotechnical report which will also contain
a boring location plan, log of boring and summary of test results; two copies will be submitted.
ESTIMATED FEE
The estimated fee for the services described above is $3,666.00 as itemized in the attachment. We will invoice
our services on a lump sum basis. Please inform us if our project description and/or scope of services is
inaccurate so that we may revise the scope, fee and schedule, if necessary. The fee includes one mob/demob
for a truck-mounted drill rig.
Changes in project details described in this proposal or additional details that are provided to us later may result
in additional fees if new or exploration, testing or analyses are required as a result. We therefore request that
you inform us about any design details that are proposed so that we may incorporate the changes at this time
and make necessary revisions to the proposal, schedule and fee, if applicable.
ESTIMATED SCHEDULE
Weather permitting and assuming no field delays, we anticipate starting the field exploration approximately a
week after receiving the signed contract, notice-to-proceed and required drawings. We plan to provide you
with recommendations for sewer pipe about 2 weeks after the borings are drilled. We estimate completing the
report one week after we discuss the results and recommendations with you.

INTRODUCTION
In response to your request, Avil6s Engineering Corporation (AEC) is pleased to submit this proposal for a
geotechnical investigation for the proposed Magnolia lift station in Pearland, Texas. The lift station will be
constructed at a depth of about 35 to 40 feet. Two sites are being considered for the location. The first site
will be on Magnolia Street at the intersection of Magnolia Street and Veterans Drive. The second site will be
at the intersection of John Lizer and State Highway 35. The geotechnical investigation will be perfgrmed at
one of the two sites depending on which site is chosen.
SCOPE OF SERVICES
The field exploration will consist of drilling and sampling one soil boring to a depth of 50 feet below existing
grade using a truck-mounted drill rig. AEC recommends that the boring location be staked by S & B
Infrastructure, Ltd. and that AEC be provided with drawings showing underground utilities/structures. We
will coordinate with the Texas One Call System to have existing underground utilities checked. The boring
will be drilled at the staked location or within 20 feet of the staked location. If the boring cannot be drilled
within the 20-tbot off'set due to conflict with utilities, we will notify you so that the boring will be relocated.
The boring will be sampled continuously in the top 10 feet and at 5-ft intervals thereafter. The depth to
groundwater will be recorded in the borings during and upon completion of drilling. Representative portions
of all samples will be sealed, packaged and transported to our laboratory.
The boring will be converted to a piezometer on completion; the groundwater level in the piezometer will be
monitored after one month. The piezometer will be left in-place for future monitoring by others.
Laboratory testing will consist of Atterberg limits, percent passing No. 200 sieve, moisture contents, dry
density, unconfined compressive strength, and triaxial shear strength (unconsolidated-undrained).
We will analyze the field and laboratory data and provide geotechnical guidelines for:
