RESOLUTION NO. R2008-34 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO ENTER INTO A REIMBURSEMENT AGREEMENT ASSOCIATED WITH THE INSTALLATION OF A TRAFFIC SIGNAL AT THE INTERSECTION OF SHADOW CREEK PARKWAY AND BUSINESS CENTER DRIVE. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain Reimbursement Agreement by and between the City of Pearland and BUC-EE'S, LTD, a copy of which is attached hereto as Exhibit"A"and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest a Reimbursement Agreement with BUC-EE'S, LTD. COKER CITY ATTORNEY Exhibit "A" Resolution No. R2008-34 0�-0095 REIMBURSEMENT AGREEMENT THE STATE OF TEXAS § COUNTY OF BRAZORIA § THIS REIMBURSEMENT AGREEMENT (the "Agreement"), is made and entered into by and between BUC-EE'S, LTD., hereinafter referred to as "Company", and the CITY OF PEARLAND,hereinafter referred to,as"City",whether one or more. WITNES SETH: WHEREAS, Company desires to design and construct the City approved traffic signal improvements for the intersection of FM 2234 (also known as Shadow Creek Parkway) and Business Center Drive, which are described and depicted on Exhibit "A" attached hereto (the "Improvements"). WHEREAS, City is desirous of entering into an agreement with Company whereby the Improvements will be constructed to accommodate increased traffic created as a result of commercial development in the area; and WHEREAS, Company is agreeable to entering into such an agreement, provided City reimburses Company for a portion of the actual cost incurred by Company to design, engineer and construct the Improvements. NOW THEREFORE, for and in consideration of the premises and mutual covenants herein contained, the receipt and sufficiency of which are hereby acknowledged, it is agreed as follows: 1. Within 30 days following the day Company receives a permit from the Texas Department of Transportation to construct the Improvements, Company shall initiate construction of the Improvements. Company further agrees to furnish or subcontract all the labor,tools,materials and equipment necessary for said work, and agrees that said Improvements will be substantially complete on or before 120 days following commencement of construction of the Improvements. • 2. The estimated cost of the Improvements is ONE HUNDRED TWENTY-EIGHT THOUSAND NINE HUNDRED THREE AND 80/100 DOLLARS ($128,903.80), as set forth in the City approved Cost Estimate attached hereto as Exhibit"B". 3. City agrees to deliver to Company ONE HUNDRED TWENTY-EIGHT THOUSAND NINE HUNDRED THREE AND 80/100 DOLLARS ($128,903.80) (the 1 "Reimbursement") funded from pro-rata contributions from third parties, as described on Exhibit "C" attached hereto. The Reimbursement reflects a portion of the ONE HUDRED FIFTY-SEVEN THOUSAND ONE HUNDRED SEVENTY-THREE AND NO/100 DOLLARS of pro-rata contributions collected from developments whose traffic impact analysis report indicated a significant impact on the street intersection. The Reimbursement includes Company's initial pro-rata contribution in the amount of TWENTY ONE THOUSAND TWO HUNDRED NINETY THREE AND NO/100 DOLLARS ($21,293.00). In the case that bids received exceed the cost estimate, the CITY will not reimburse more than the total contribution collected of ONE HUDRED FIFTY-SEVEN THOUSAND ONE HUNDRED SEVENTY-THREE AND NO/100 DOLLARS. • 4. It is expressly understood that Company may perform its obligations under this Agreement or may have others perform such obligations. 5. Before any failure of any party to perform its obligations under this Agreement shall be deemed to be a breach, the party claiming such failure shall notify, in writing, the party alleged to have failed to perform of the alleged failure and shall demand performance.No breach of this Agreement may be found to have occurred if performance has commenced to the reasonable satisfaction of the complaining party within 30 days of the receipt of such notice. Upon a breach of this Agreement, the non-defaulting party, in any court of competent jurisdiction, by an action or proceeding at law or in equity, may secure the specific performance of the covenants and agreements herein contained. Both parties shall have the affirmative obligation to mitigate its damages in the event of a default by the other party. 6. This Agreement shall become a binding obligation on the signatories upon execution by all signatories hereto. City warrants and represents that the individual executing this Agreement on behalf of City has full authority to execute this Agreement and bind the City to the same. Company warrants and represents that the individual executing this Agreement on its behalf has full authority to execute this Agreement and bind the Company to the same. 7. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, and all obligations of the parties created hereunder are performable in Brazoria County, Texas. Venue for any action arising under this Agreement shall lie in the state district courts of Brazoria County,Texas. 8. This Agreement constitutes the entire understanding and agreement of the parties as to the matters set forth in this Agreement. No alteration of or amendment to this Agreement shall be effective unless given in writing and signed by all of the parties hereto. 9. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which shall constitute one and the same document. 10. All notices required or permitted to be given hereunder by one party to the other shall be in writing and same shall be given and shall be deemed to have been served and given upon the first to occur of(i) delivery in person to the address set forth herein below for the party to whom the notice is given, (ii) three(3) days after placing in the United States mail by certified 2 address hereinafter specified, or (iii) one (1) day after deposit into the custody of an express, overnight courier for delivery to the address set forth herein below for the party to whom the notice is given. Any party may change its address for notices under this Agreement by giving formal written notice to the other party, specifying that the purpose of the notice is to change the party's address. For notice purposes, each party agrees to keep the other informed at all times of its current address.
