R2008-8 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, AUTHORIZING A UTILITY RELOCATION AGREEMENT ASSOCIATED WITH THE DIXIE FARM ROAD PROJECT (PHASE II). BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain Utility Relocation Agreement associated with the Dixie Farm Road Project, a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest a Utility Relocation Agreement associated with the Dixie Farm Road Project. COKER CITY ATTORNEY TOM REID MAYOR STANDARD UTILITY AGREEMENT ACTUAL COST — CITY County: Brazoria Federal Project No.: N/A ROW CSJ: 0912-31-108 Highway Project Letting Date: June 2008 Road: Dixie Farm Road From: SH 35 To: 1500 Ft S of FM 518 Exhibit "A" Resolution 2008-08 08-0078 TR0805 This Agreement by and between the City of Pearland, Texas, ("City"), acting by and through its duly authorized official, and ExxonMobil Pipeline Company, acting by and through its duly authorized representative, ("Owner"), shall be effective on the date of approval and execution by and on behalf of the City. WHEREAS, the City has determined that it is necessary to make certain improvements to Dixie Farm Road, which said changes are generally described as follows: Widen to 4 lanes WHEREAS, these proposed roadway improvements will necessitate the adjustment, removal, and/or relocation of certain facilities of Owner as indicated in the following statement of work: ExxonMobil Pipeline Company will remove approximately G 52,0 of 6" pipe running parallel to said roadway as well as the 6" vertical post on the north side of Cowart's Creek Bridge. Such work is described in Owner's estimate (estimated at $132,628.35), which is attached hereto and made a part hereof, and which is prepared in form and manner required by 23 CFR 645, Subpart A, and amendments thereto; and WHEREAS, the Owner, has provided sufficient legal authority to the City to establish an interest in properties affected by the abovementioned roadway improvements. Said facilities are located upon such properties as indicated in the statement of work as described in Exhibit "A". NOW, THEREFORE, in consideration of the covenants and agreements herein contained, the parties mutually agree as follows: The City will pay for costs incurred in the adjustment or relocation of Owner's facilities to the extent authorized under Title 23, Code of Federal Regulations, Part 645, Subpart A. The City's participation shall consist of one hundred percent (100%) of the cost of the adjustment or relocation. The Owner has determined that the method to be used in developing the adjustment or relocation costs shall be as specified for the method checked and described hereinafter: n (1) Actual direct and related indirect costs accumulated in accordance with a work order accounting procedure prescribed by the applicable Federal or State regulatory body. ® (2) Actual direct and related indirect costs accumulated in accordance with an established accounting procedure developed by the Owner and approved by the City. Subject to the participation percentage as set out above, the City will, upon satisfactory completion of the adjustment or relocation, and upon receipt of a fmal billing prepared in the form and manner prescribed by Federal regulations, make payment in the amount of one hundred percent (100%) of the eligible costs as shown in the fmal billing. Bills for work completed herein shall be submitted to the City not later than one -hundred eighty (180) days after completion of the work. Upon receipt of the final billing and conclusion of the audit, the City agrees to pay Owner one hundred percent (100%) of the eligible cost as invoiced. The City shall make payment within 45 days of acceptance of final billing. Total reimbursement under this Agreement is limited to the amount approved in Exhibit A attached hereto unless approved by the City Council of the City. Similarly, any substantial changes to the scope of work contained in Exhibit A attached hereto shall be approved in writing by the City and all changes shall be documented on the Owner's "as -built" plans supplied to the City. The City shall reimburse owner for any additional cost or expense resulting from any delays waiting for City's written approval. Upon execution of this agreement by all parties, the City will, by written notice, authorize the Owner to proceed with the necessary adjustment or relocation, and the Owner agrees to prosecute such work diligently in accordance with the Owner's plans. Such plans are attached as Exhibit "B". Owner shall provide the City with forty-eight (48) hours written notice prior to proceeding with the adjustment or relocation. The Owner will retain records of such costs in accordance with the provisions of 23 CFR Part 645, Subpart A. The Owner, by execution of this agreement, does not waive any rights to which Owner may legally have within the limits of the law. This agreement is subject to cancellation by the City at any time up to the date that work under this agreement has been authorized. City shall reimburse owner one hundred percent (100%) of all cost incurred by owner up to the date of receipt of notice of cancellation. The City Auditor may conduct an audit or investigation of any entity receiving funds from the City directly under this contract or indirectly through a subcontract under this contract. Acceptance of fiords directly under this contract or indirectly through a subcontract under this contract acts as acceptance of the authority of the City Auditor, to conduct an audit or investigation in connection with those funds. The signatories to this agreement warrant that each has the authority to enter into thisagreement on behalf of the party represented. O Such owners of the Property may construct roads, streets, T alleyways, sidewalks and various utility lines over and across CO the 50 foot easement herein confirmed and granted at an angle between the center line of any. such road, street, alley, side- walk or utility line and the center line of the Easement of not less than 30 degrees; however, if and when it shall become necessary or desirable for Crown Central Pipe Line Company to enter upon such Easement and perform any subsur- face work in connection with its rights and privileges under the Easement, the owners of the Property agree to remove any of the improvements at their sole cost, risk and expense , and the replacement of any such improvements shall likewise be at the sole cost, risk and expense of the owners of the Property even though such replacement may necessitate the use of additional materials and procedures in order to protect the pipelines in the Easement. The sampling was performed on October 26, 2007 by Ms. P. Renee Cloran (#60-2722) and Mr. Emmanuel Ayala (#60-2768) of Envirotest, Ltd. Ms. Cloran and Mr. Ayala are licensed by the Department of State Health Services as Asbestos Inspectors. Executive Summary The scope of this project was limited to suspect asbestos-containing materials associated with the Cowart's Creek Bridge and all surrounding utilities at the above referenced location. The inspection included all surfaces, expansion joints, piping, seams, fillers, paints, coatings, and all materials observed-to be suspect-asbestos containing material. Three (3) samples were collected during the inspection. ENVIIOTEST.n. n n Quality is the Priority Suspect Materials Tested During the inspection, sampled materials were assigned a sample number and a homogenous area number. Samples were collected of each area and the friability and condition of the suspect material was assessed. Table 1 contains the homogenous area numbers, material types, material descriptions, analytical results, and hazard assessments. Table 2 correlates each sample number to its homogenous area number. Analytical results and a list of definitions can be found following the text of this report. Inspection Results Three locations of suspect asbestos-containing materials were observed and sampled by the inspectors during the inspection. Analytical results indicate asbestos was found in the homogeneous area #1 material. Homogenous area #1 material is a post wrap, which contains 10% chrysotile asbestos, and is classified as a Category II non-friable material. By regulatory defmition, the asbestos-containing post wrap is not a regulated asbestos containing material (RACM) in its current condition. The post wrap material may become a regulated asbestos containing material (RACM) if it is crumbled,pulverized, or reduced to powder during demolition or renovation activities. Recommendations Recommendations concerning the Asbestos-Containing Materials (ACM) identified in this limited inspection are based on the following: 1. Condition 2. Friability 3. Potential for disturbance Condition and Friability The asbestos containing tar/felt paper post wrap was in damaged condition and considered non-friable. This material may also be maintained in place utilizing encapsulants or paint coatings. These types of encapsulating coatings will assist in maintaining the fibrous asbestos materials in a non-friable condition. If this material will become crumbled, pulverized, or reduced to powder during demolition, or if will be disturbed during renovations, then it should be removed by an EPA accredited contractor. Disposal Category I and II ACM that has become RACM must be disposed of in a landfill that operates in accordance with 61.150 and 61.154, or in an EPA-approved conversion facility described in 61.155 of the asbestos NESHAP regulations. Category I and II non-friable ACM which has not become RACM during demolition may be disposed of in a landfill that normally accepts construction debris. Analytical Methods All analyses were performed at our Houston laboratory using standard oil immersion and optical staining techniques. Envirotest, Ltd. is an American Industrial Hygiene Association (AIHA) accredited laboratory (ID #10643), a National Institute of Standards and Technology NVLAP-accredited laboratory (#101595), and licensed by the Department of State Health Services (#30-0005)for asbestos laboratory analysis. Limitations This sampling report does not guarantee that additional ACM is not present. The scope of this project was limited to the materials sampled within this report. Areas such as, but not limited to, below grade level, inside columns, beneath the roadbed, and all other areas concealed by construction surfaces were specifically excluded. The following analytical results pertain to only the samples analyzed and may not reflect the actual composition of the entire homogeneous area. Disturbance - contact which releases fibers, from ACM or debris containing ACM including activities which that disrupts the matrix of ACM, render ACM friable, or generate visible debris. Encapsulation - a method of control of asbestos fibers in which the surface of ACM is penetrated by or covered with a liquid coating prepared for that purpose. Enclosure - the construction of an airtight, impermeable, semi-permanent barrier surrounding asbestos to prevent the release of asbestos fibers into the air. Fiber -.a particulate form of asbestos, 5 micrometers or longer, with a length-to diameter ratio of at least 3 to 1. Friable Materials - any material that when dry can.be crumbled, pulverized, or reduced to powder by hand pressure. Homogeneous Area - an area of surfacing material or thermal system that is uniform in color and texture. Intact-means that the ACM has not crumbled, been pulverized, or otherwise deteriorated so that it is no longer likely to be bound with its matrix.
