A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING A CONTRACT FOR ARCHITECTURAL SERVICES
ASSOCIATED WITH THE NATATORIUM & RECREATION CENTER.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract for architectural services associated with the
Natatorium & Recreation Center, a copy of which is attached hereto as Exhibit "A" and
made a part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest a contract for architectural services associated with the
Natatorium and Recreation Center.

CONTRACT FOR PROFESSIONAL SERVICES
THIS CONTRACT is entered into on .ltlnlltlry 14 ,2008 by and between the
City of Pearland ("CITY") and PBK Architects, Inc. ("CONSULTANT").
The CITY engages the CONSULTANT to perform professional services for a project known and
described as the Natatorium and Recreation Center ("PROJECT"). (project # P20007)
SECTION I - SERVICES OF THE CONSULTANT
The CONSULTANT shall perform the following professional services to CITY standards and in
accordance with the degree of care and skill that a professional in Texas would exercise under
the same or similar circumstances:
A. The CONSULTANT shall provide professional Architectural Design services
including structural, mechanical, electrical, plumbing, civil, landscape and
swimming pool design services. See Exhibit A, attached, for a detailed SCOPE
OF WORK and PROJECT schedule. The PROJECT schedule shall be submitted
in digital and hard copy form in the Microsoft Project for Windows format.
B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost
of the PROJECT.
C. The CONSULTANT acknowledges that the CITY (through its employee
handbook) considers the following to be misconduct that is grounds for
termination of a CITY employee: Any fraud, forgery, misappropriation of funds,
receiving payment for services not performed or for hours not worked,
mishandling or untruthful reporting of money transactions, destruction of assets,
embezzlement, accepting materials of value from vendors, or consultants, and/or
collecting reimbursement of expenses made for the benefit of the CITY. The
CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY
employee to engage in such misconduct.
D. The CONSULTANT shall submit all final construction documents in both hard
copy and electronic format. Plans shall be AutoCAD compatible and all other
documents shall be Microsoft Office compatible. The software version used shall
be compatible to current CITY standards. Other support documents, for example,
structural calculations, drainage reports and geotechnical reports, shall be
submitted in hard copy only. All Record Drawings electronic files shall be
submitted to the CITY in TIF format.
E. The CONSULTANT recognizes that all drawings, special provisions, field survey
notes, reports, estimates and any and all other documents or work product
generated by the CONSULTANT under the CONTRACT shall be delivered to the
CITY upon request, shall become subject to the Open Records Laws of this State.

F. The CONSULTANT shall procure and maintain for the duration of this
Agreement, insurance against claims for injuries to persons, damages to property,
or any errors and omissions relating to the performance of any work by the
CONSULTANT, its agents, employees or subcontractors under this Agreement,
as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate.
(3) Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of anyone person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering
owned, hired, and non-owned vehicles, with minimum limits of
$1,000,000 for injury or death of anyone person, $1,000,000 for each
occurrence, and $1,000,000 for property damage.
The CONSULTANT shall include the CITY as an additional insured under the
policies, with the exception of the Professional Liability Insurance and Workers'
Compensation. Certificates of Insurance and endorsements shall be furnished to
the CITY before work commences. Each insurance policy shall be endorsed to
state that coverage shall not be suspended, voided, canceled, and/or reduced in
coverage or in limits ("Change in Coverage") except with prior written consent of
the CITY and only after the CITY has been provided with written notice of such
Change in Coverage, such notice to be sent to the CITY either by hand delivery to
the City Manager or by certified mail, return receipt requested, and received by
the City no fewer than thirty (30) days prior to the effective date of such Change
in Coverage. Prior to commencing services under this CONTRACT,
CONSULTANT shall furnish CITY with Certificates of Insurance, or formal
endorsements as required by this CONTRACT, issued by CONSULTANT'S
insurer(s), as evidence that policies providing the required coverage, conditions,
and limits required by this CONTRACT are in full force and effect.

G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and
employees, harmless from any claim, loss, damage, suit, and liability of every
kind for which CONSULTANT is legally liable, including all expenses of
litigation, court costs, and attorney's fees, for injury to or death of any person, for
damage to any property, or errors in design, any of which are caused by the
negligent act or omission of the CONSULTANT, his officers, employees, agents,
or subcontractors under this CONTRACT.
H. All parties intend that the CONSULTANT, in performing services pursuant to this
CONTRACT, shall act as an independent contractor and shall have control of its
own work and the manner in which it is performed. The CONSULTANT is not to
be considered an agent or employee of the CITY.
SECTION II - PERIOD OF SERVICE
This CONTRACT will be binding upon execution and end 27 months from the date of this
contract, approximately January 31,2010.
SECTION III - CONSULTANT'S COMPENSATION
A. The method of payment for this CONTRACT is by monthly installments for the
schematic, final and construction document phases. The method of payment
for the Proposal Procurement and Construction Phase services will be hourly
not to exceed per the direct personnel rates provided in the scope of services.
Subconsultant fees will be billed based on actual costs. Total compensation for
the services performed shall be in the total sum of $ 1,436,400.00.
B. The CITY shall pay the CONSULTANT in installments or hourly not to exceed
rates as stated below, based upon monthly progress reports and detailed invoices
submitted by the CONSULTANT subject to the following limitations:
1. Upon approval of the schematic design, payments to the CONSULTANT
shall not exceed 15% ($190,905) of the total CONTRACT amount.
2. Upon approval of the final design documents, payments to the
CONSULTANT shall not exceed 15% ($190,905) of the total
CONTRACT amount.
3. Upon approval of the construction documents, payments to the
CONSUL T ANT shall not exceed 40% ($509,080) of the total
CONTRACT amount.

4. During the Proposal Procurement and Construction Phases, payments to
the CONSULTANT shall be made on an hourly not to exceed basis (at the
direct personnel expense rates provided in the Scope of Work) as follows:
Proposal and Procurement Phase: 5% ($63,635.00) and Construction
Phase25% ($318,175.00) of the total CONTRACT amount.
5. F or sub-consultant services related to Geotechnical Engineering,
Boundary and Topographical Survey, Traffic Studies and HV AC Testing
and Balancing, the actual cost of the services will be billed in the
following not to exceed amounts: Geotechnical Engineering - $23,000.00;
Boundary and Topographical Survey - $37,500.00; Traffic Studies -
$19,000.00; HV AC Testing and Balancing - $84,200.00. These sub-
consultant services total $163,000.00.
6. The final approval and payment will be made within a reasonable period
of time regardless of the project construction schedule.
B. The CITY shall make payments to the CONSULTANT within thirty (30) days
after receipt and approval of a detailed invoice. Invoices shall be submitted on a
monthly basis.
SECTION IV - THE CITY'S RESPONSIBILITIES
A. The CITY shall designate a project manager during the term of this CONTRACT.
The project manager has the authority to administer this CONTRACT and shall
monitor compliance with all terms and conditions stated herein. All requests for
information from or a decision by the CITY on any aspect of the work shall be
directed to the project manager.
B. The CITY shall review submittals by the CONSULTANT and provide prompt
response to questions and rendering of decisions pertaining thereto, to minimize
delay in the progress of the CONSULTANT'S work. The CITY will keep the
CONSULTANT advised concerning the progress of the CITY'S review of the
work. The CONSUL T ANT agrees that the CITY'S inspection, review,
acceptance or approval of CONSULTANT'S work shall not relieve
CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or
its sub-consultant(s) or in any way affect the CONSUTANT's status as an
independent contractor of the CITY.
SECTION V - TERMINATION
A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason-
- with or without cause -- by delivering written notice to CONSULTANT
personally or by certified mail at PBK Architects, Inc., 11 Greenway Plaza, Suite
2210, Houston, TX 77046-1104. Immediately after receiving such written notice,

the CONSUL T ANT shall discontinue providing the servIces under this
CONTRACT.
B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all
drawings, special provisions, field survey notes, reports, estimates and any and all
other documents or work product generated by the CONSULTANT under the
CONTRACT, entirely or partially completed, together with all unused materials
supplied by the CITY on or before the 15th day following termination of the
CONTRACT.
C. In the event of such termination, the CONSULTANT shall be paid for services
performed prior to receipt of the written notice of termination. The CITY shall
make final payment within sixty (60) days after the CONSULTANT has delivered
to the CITY a detailed invoice for services rendered and the documents or work
product generated by the CONSULTANT under the CONTRACT.
D. If the remuneration scheduled under this contract is based upon a fixed fee or
definitely ascertainable sum, the portion of such sum payable shall be
proportionate to the percentage of services completed by the CONSULTANT
based upon the scope of work.
E. In the event this CONTRACT is terminated, the CITY shall have the option of
completing the work, or entering into a CONTRACT with another party for the
completion of the work.
F. If the CITY terminates this CONTRACT for cause and/or if the CONTRACTOR
breaches any provision of this CONTRACT, then the CITY shall have all rights
and remedies in law and/or equity against CONSULTANT. Venue for any action
or dispute arising out of or relating to this CONTRACT shall be in Brazoria
County, Texas. The laws of the State of Texas shall govern the terms of this
CONTRACT. The prevailing party in the action shall be entitled to recover its
actual damages with interest, attorney's fees, costs and expenses incurred in
connection with the dispute and/or action. CONSULTANT and CITY desire an
expeditious means to resolve any disputes that may arise between under this
CONTRACT. To accomplish this, the parties agree to mediation as follows: If a
dispute arises out of or relates to this CONTRACT, or the breach thereof, and if
the dispute cannot be settled through negotiation, then the parties agree first to try
in good faith, and before pursuing any legal remedies, to settle the dispute by
mediation ofa third party who will be selected by agreement of the parties.
SECTION VI - ENTIRE AGREEMENT
This CONTRACT represents the entire agreement between the CITY and the CONSULTANT
and supersedes all prior negotiations, representations, or contracts, either written or oral. This
CONTRACT may be amended only by written instrument signed by both parties.

SECTION VII - COVENANT AGAINST CONTINGENT FEES
The CONSULTANT affirms that he has not employed or retained any company or person, other
than a bona fide employee working for the CONSULTANT to solicit or secure this
CONTRACT, and that he has not paid or agreed to pay any company or person, other than a
bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other
consideration, contingent upon or resulting from the award or making of the CONTRACT. For
breach or violation of this clause, the CITY may terminate this CONTRACT without liability,
and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise
recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent
fee that has been paid.
SECTION VIII- SUCCESSORS AND ASSIGNS
This CONTRACT shall not be assignable except upon the written consent of the parties hereto.

Dear Mr. Epperson:
Thank you for allowing PBK Architects the opportunity of submitting this Scope of Work and Fee
Proposal for comprehensive architectural services for the New Recreational Center and Natatorium
for the City of Pearland. We appreciate the opportunity to be involved in this very exciting and
important Project.
Services:
Services provided would include complete architectural, structural, mechanical, electrical,
plumbing, civil, landscape and swimming pool design services. A brief description of services to be
provided is as follows:
I. Procure Geotechnical Investigation for the Property.
2. Procure Boundary and Topographical Survey for the Property.
3. Procure Traffic Study for the Property.
4. Enter into contract with Richard C. Scott with Aquatic Excellence for Swimming Pool
and equipment design and consultation.
5. Facilitate meetings with City of Pearland Staff to review and refine the Project
Program of Spaces.
6. Facilitate meetings with City of Pearland Staff to develop Schematic Design
Documents.
7. Prepare Schematic Design Documents and present to the City of Pearland for approval.
8. Facilitate meetings with City of Pearland Staff to develop Design Development
Documents.
9. Prepare Design Development Documents and present to the City of Pearland for
approval.
10. Prepare complete Construction Documents and Specifications and issue publicly to
receive Proposals for the Project.
11. Contract with Landscape Design firm and procure landscape design plans for Project.
12. Assist the City of Pearl and with Advertisements for Proposals.
13. Provide full proposal procurement services and review of proposals with the City of
Pearland.
14. Assist City of Pearl and for recommendation to Pearland City Council for award of
Contract for Construction. PBK will attend Council Meeting.
15. Prepare documents needed for Platting with the City of Pearl and.
16. Assist the City of Pearland in procuring Engineering Services for Construction
Materials Testing during construction.
17. Provide Construction Administration and Field Services for entire construction period.
18. Procure Engineering Services for HV AC Testing and Balancing.
19. Provide AutoCAD As-Built Drawings.
20. Provide Warranty Administration Services during the entire One Year Warranty
Period.
A. For a more detailed description of Comprehensive Architectural Services, please refer to the
attached "Exhibit A - Scope of Work".
B. For a description of time lines for the various stages of the Project, please refer to the attached
"Exhibit B - Project Schedule".

Sub-Consultant Fees:
A breakdown of all Sub-Consultant Fees is as follows: Some of these are estimated at this time due
to the fact that we have not received proposals from these Consultants to date, but are in
accordance with fees that we have experienced recently. Any proposals in excess of these amounts
indicated will be covered by the total compensation amount, and no additional requests will be
forwarded without prior approval by the City of Pearland.

A!!reement:
The contract between the City of Pearland and PBK Architects, Inc. will be executed on the City of
Pearland's standard Agreement for Professional Services.
Fees:
Total compensation for comprehensive architectural services will be $1,436,400.00. This amount
represents eight and four tenths percent (8.4%) of the City of Pearland's budgeted amount for
Construction of $17,100,000.00. All Sub-Consultant costs are included in this amount of
$1,436,400.00. Costs for Geotechnical Engineering, Boundary & Topographical Survey, Traffic
Study and HV AC Testing & Balancing will be billed for at actual amounts with no mark-up by
PBK. Any fees that are more than the estimated amount indicated in Sub-Consultant Fees above
will not be billed to the City of Pearland. Sub-Consultant Fees for MEP, Civil, Structural,
Landscaping and Swimming Pool Consulting will be billed monthly with the Architectural Fees in
accordance with work completed as follows:

C. Procure Traffic Study for the Property.
1. Enter in to Contract with Traffic Engineers to perform Traffic Study for the

3. Process copy of Traffic Report to Civil Engineer for Design.
4. Attend meetings with the City of Pearland and external agencies including
County, State and Federal entities as required to determine Project
requirements.
D. Enter into contract with Richard C. Scott with Aquatic Excellence for
Swimming Pool and equipment design and consultation.
1. Facilitate meetings with Aquatic Excellence and the City of Pearland to
assess needs of the City for this Project.
2. Work with Aquatic Excellence to prepare documents for review with the
City of Pearland.
3. Aquatic Excellence will design all swimming pool parameters and all
equipment layouts and design and submit to City of Pearland for
approval.
4. We anticipate that we will need to include Aquatic Excellence in five (5) of
our Design Meetings.
E. Facilitate meetings with City of Pearland Staff to review and refine the Project
Program of Spaces.
1. Attend meetings with City of Pearland to refine Project Program and
finalize for Design.
2. Provide document of Final Project Program of Spaces and submit to City
for approval.
F. Facilitate meetings with City of Pearland Staff to develop Schematic Design
Documents.
1. Attend meetings as necessary with City and Parks Department to develop
Schematic Design.
2. Procure documents on City Standards and Guidelines to assist in Design.
G. Prepare Schematic Design Documents and present to the City of Pearland
for approval.
a. Site Plans, paving layouts and traffic circulation.
b. Floor Plans and building circulation.
c. Exterior elevations and perspectives
d. Critical building sections and details.
e. Provide Cost Estimate for Project.

receive Proposals for the Project.
1. Submit 50% Complete Drawings and Specifications to City for review.
2. Attend follow-up meetings with City and County Building Officials.
3. Attend follow-up meetings with City and County Fire Marshals.
4. Attend monthly progress I update meetings with the City of Pearland.
5. Submit 75% Complete Drawings and Specifications to City for review.
6. Respond to all comments from City from review of 50 and 75%
Documents.
7. Coordinate with all utility companies to identify any issues.
8. Prepare Final Construction Documents and Specifications to issue for
Proposals.
9. Reproduce all Drawings and Specifications to release for Proposals. and
disseminate sets of documents to Plan Rooms. Distribute documents
to Contractors for bidding. PBK will keep record of all distribution of
documents and will provide the City with update.
10. Submit four sets of Final Construction Documents to the City for record.
11. Coordinate submittal of Construction Documents and Specifications to the
City, County, Fire Marshals, TxDot if required and County Drainage
District for Permits.
12. Submit to TDLR for accessibility review.
13. Prepare Storm Water Pollution Prevention Plan (SWPPP) for Contractor's
use.
K. Contract with Landscape Design firm and procure Landscape Design Plans
for the Project.
1. Submit proposed Landscape Design Firm to the City of Pearland for
acceptance of Sub-Consultant.
2. Facilitate meetings with Design Firm and City to obtain information
regarding Landscape Design.
3. Submit 50% Complete Landscape Plans to City for review.
4. Submit Final Landscape Design Plans and Specifications to City for
review.
5. Prepare Final Documents to release for Proposals.
L. Assist the City of Pearland with Advertisements for Proposals.
1. Give assistance to the City with any needs in preparing advertisements
for proposals.
M. Provide full proposal procurement services and review proposals with the City
of Pearland.
1. Distribute Construction Documents and Specifications to Contractors for
submission of Proposals. PBK will keep record of all distribution of
documents and will provide the City with update.
2. Facilitate Pre-Proposal Conference.
3. Respond in writing to questions from Pre-Proposal Conference and issue
Addenda as necessary.
4. Review submitted Proposals with City and determine successful
Proposer.
5. Review all references submitted by Proposers.
N. Assist the City of Pearland for recommendation to Pearland City Council for
award of Contract for Construction. PBK will attend Council Meeting.
1. Give assistance to City with any needs or review to prepare

O. Prepare documents needed for Platting with the City of Pearland.
1. Prepare all documents necessary to submit Plans for Platting procedures
and record.

P. Assist the City of Pearland in procuring Engineering Services for Construction
Materials Testing during construction.
1. Submit proposed Firm to City for approval.
2. Produce construction documents for firm to prepare Proposal for Testing
Services.
3. Review submitted proposal from Testing Firm and make recommendation
to City of Pearland.
a. Provide Construction Administration and Field Services for entire construction
period.
1. Facilitate Pre-Construction Meeting prior to construction.
2. PBK Construction Administrator will visit Site at a minimum of three times
a week.
3. PBK Construction Administrator will be on Site at all structural concrete
pours, underground piping installations and inspections, any MEP cover-
up, masonry installation, ceiling cover-ups, etc.
4. PBK Construction Administrator will conduct Pre-Installation meetings
with all Sub-contractors prior to any installation.
5. PBK will facilitate monthly Progress Meetings with Construction Manager,
Contractor and City of Pearland.
6. Review, comment and approve Contractor's Shop Drawing Submittals,
RFI's, and Request for Change Proposals.
7. Coordinate with Construction Manager and City on all Change Proposals,
Minor Changes and Construction Change Directives.
8. PBK will keep Log on all Change Proposals, Minor Changes,
Construction Change Directives, etc. and will issue updated Log at each
Progress Meeting.
9. Provide direction for questions and concerns from the Contractor and
Construction Manager in resolutions of problems.
10. Conduct Substantial Completion inspection with Construction Manager to:
a. review progress of work for Substantial Completion walk
through.
b. generate a punch list of items for correction.
c. substantiate items that are completed.
d. issue Certificate of Substantial Completion.
11. Issue Final Completion & Acceptance letter to City recommending
acceptance.
R. Procure Engineering Services for HVAC Testing and Balancing.
1. Enter in to Contract with accepted Testing and Balancing Firm.
2. Produce documents for HVAC Testing and Balancing Firm to perform
work.
3. Submit Testing and Balancing Report to Contractor for correction or
adjustment.
S. Provide AutoCAD As-Built Drawings.
1. Coordinate contractor and Construction Manager to provide complete
record of As-Built Drawings.
2. Produce full size reproducible record drawings, an electronic file copy
(PDF Format) and an AutoCAD file of Record Drawings.
T. Provide Warranty Administration Services during the entire One Year
Warranty Period.
1. At the time any warranty issue is reported by the City, PBK will review on
Site and issue Warranty Report to the Contractor.
2. Once the Contractor notifies PBK that warranty item has been completed,
PBK will review the item to verify that issue has been corrected to
satisfaction.
3. PBK will keep a Log of Warranty Reports and will issue updates to the
City of Pearland and the Construction Manager.

Project Schedule
A. Programming Phase
1. I would predict that we could review and refine the Program of Spaces in
two meetings. These meetings should occur every week for a total of a
two week period.
B. Schematic Design Phase
1. We will need a total of three meetings to occur every two weeks for a total
of a six week period. We feel we should include Aquatic Excellence in two
of these meetings.
C. Schematic Design Review by City
1. The City of Pearland should be given three weeks to review and approve
the Schematic Design Documents.
D. Design Development Phase
1. I would predict that we need a total of four meetings to complete the
Design Development Documents. These meetings should occur every
two weeks for a total of an eight week period. We feel we should include
Aquatic Excellence in three of these meetings.
E. Design Development Review by City
1. The City of Pearland should be given three weeks to review and approve
the Design Development Documents.
F. Construction Documents
1. PBK will need a total of twenty weeks to complete Construction
Documents. During that period of time, we should have meetings once a
month to review documents.

G. Proposal Procurement Phase
1. The Proposal Phase of this Project should take three weeks.
H. Award of Contract
a. We should allow a total of three weeks for presentation to City Council
and Award of Contract.
I. Construction Phase
a. The Construction Phase of this Project should take a total of fifty-six
weeks (13 months).
b. Progress meetings should take place once a month for a total of thirteen
meetings. At some of the more critical stages of the Project, we may want
to meet every two weeks. We feel that we should plan for a total of 19
meetings.
J. Project Close-out Phase
a. The Close-out of this Project should take a total of twelve weeks. We
should have meetings during this phase every four weeks.
