R2007 -197 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO ENTER INTO A CONTRACT FOR ENGINEERING SERVICES ASSOCIATED WITH THE CITY OF HOUSTON INTERCONNECT PROJECT. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain contract for engineering services associated with the City of Houston Interconnect Project, a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest a contract for engineering services associated with the City of Houston Interconnect Project. COKER ---- CITY ATTORNEY Exhibit II A" Resolution No. R2007-197 07 -0092 W42051 CONTRACT FOR PROFESSIONAL SERVICES THIS CONTRACT is entered into on December 10, 2007 by and between the City of Pearland ("CITY") and Camp, Dresser, & McKee, Inc. ("CONSULTANT"). The CITY engages the CONSULTANT to perform professional services for a project known and described as City of Houston Interconnect ("PROJECT"). (Project #W42051) SECTION I - SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to CITY standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSULTANT shall provide engineering design services, bid package preparation and limited engineering services during construction for the City of Pearland water connection with the City of Houston water system. See Exhibit A, attached, for a detailed SCOPE OF WORK and Exhibit C, attached, for the PROJECT schedule. The PROJECT schedule shall be submitted in digital and hard copy form in the Microsoft Project for Windows format. B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost of the PROJECT. C. The CONSULTANT acknowledges that the CITY (through its employee handbook) considers the following to be misconduct that is grounds for termination of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants, and/or collecting reimbursement of expenses made for the benefit of the CITY. The CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY employee to engage in such misconduct. D. The CONSULTANT shall submit all final construction documents in both hard copy and electronic format. Plans shall be AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current CITY standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. All Record Drawings electronic files shall be submitted to the CITY in TIF format. E. The CONSULTANT recognizes that all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon request, shall become subject to the Open Records Laws of this State. -1- 10. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors and omissions relating to the performance of any work by the CONSUL T ANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers' Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of anyone person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of anyone person, $1,000,000 for each occurrence, and $1,000,000 for property damage. The CONSULTANT shall include the CITY as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers' Compensation. Certificates of Insurance and endorsements shall be furnished to the CITY before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and/or reduced in coverage or in limits ("Change in Coverage") except with prior written consent of the CITY and only after the CITY has been provided with written notice of such Change in Coverage, such notice to be sent to the CITY either by hand delivery to the City Manager or by certified mail, return receipt requested, and received by the City no fewer than thirty (30) days prior to the effective date of such Change in Coverage. Prior to commencing services under this CONTRACT, CONSUL T ANT shall furnish CITY with Certificates of Insurance, or formal endorsements as required by this CONTRACT, issued by CONSULTANT'S insurer(s), as evidence that policies providing the required coverage, conditions, and limits required by this CONTRACT are in full force and effect. G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT, his officers, employees, agents, or subcontractors under this CONTRACT. -2- 10. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the CITY. SECTION II - PERIOD OF SERVICE This CONTRACT will be binding upon execution and end 810 days from contract execution. SECTION III - CONSULTANT'S COMPENSATION A. The method of payment for this CONTRACT is a Lump Sum Not to Exceed. Total compensation for the services performed shall be the sum of $ 1,743,281.00. B. The CITY shall pay the CONSULTANT in installments based upon monthly progress reports and detailed invoices submitted by the CONSULTANT C. The CITY shall make payments to the CONSULTANT within thirty (30) days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. SECTION IV - THE CITY'S RESPONSIBILITIES A. The CITY shall designate a project manager during the term of this CONTRACT. The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the CITY on any aspect of the work shall be directed to the project manager. B. The CITY shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The CITY will keep the CONSULTANT advised concerning the progress of the CITY'S review of the work. The CONSULTANT agrees that the CITY'S inspection, review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub-consultant(s) or in any way affect the CONSULTANT'S status as an independent contractor of the CITY. -3- 10. Revised 11115/07 SECTION V - TERMINATION A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason _ - with or without cause -- by delivering written notice to CONSULTANT personally or by certified mail at 3050 Post Oak Blvd., Suite 300, Houston, Texas 77056. Immediately after receiving such written notice, the CONSUL T ANT shall discontinue providing the services undcr this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the CITY on or before the 15th day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination. The CITY shall make final payment within sixty (60) days after the CONSULTANT has delivered to the CITY a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum, the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the scope of work. E. In the event this CONTRACT is terminated, the CITY shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. F. If the CITY terminates this CONTRACT for cause and/or if the CONTRACTOR breaches any provision of this CONTRACT, then the CITY shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney's fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and CITY desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this, the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. -4- 10. Revised 11/15/07 SECTION VI - ENTIRE AGREEMENT This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and supersedes all prior negotiations, representations, or contracts, either written or oral. This CONTRACT may be amended only by written instrument signed by both parties. SECTION VII - COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CONTRACT. For breach or violation of this clause, the CITY may terminate this CONTRACT without liability, and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent fee that has been paid. SECTION VIII- SUCCESSORS AND ASSIGNS This CONTRACT shall not be assignable except upon the written consent of the parties hereto. Revised 11/15/07 EXHIBIT "A" SCOPE OFSERVICES Agreement by and between the City of Pearl and, Texas (OWNER) And Camp Dresser & McKee Inc. (Consultant) PROJECT UNDERSTANDING The Project includes engineering design services bid package preparation and limited engineering services during construction for the City of Pearland Water Connection to the City of Houston Water System. The project generally includes the following: 1. New Meter Station and Connection to the Existing 72" Steel or Barwrapped Concrcte Water Line at the Intersection of Fuqua and Moers Road. This point is defined as the "Point of Beginning (POB)". Meter station will conform to City of Houston design requirements and will have additional OWNER meter and connection to OWNER SCADA system. 2. New water line from the Point of Beginning to the Alice Street Pump Station located on the northeast side of the City of Pearland. Pipeline sized to deliver a peak rate of 15 MGD from the City of Houston. Basis of Design shall assume pressure at the Point of Beginning is 84 psi. The route to the Point of Ending shall bebe: a. From POB, west along Fuqua, and then South along Monroe Road, across Beltway 8, then south along Pearland Parkway to McHard Road, then west along McHard to Alice Street Pump Station, b. Pipeline assumes an aerial crossing of Clear Creek and tunnel crossing of Beltway 8. All other non- TXDOT roads are assumed to be bored with no casing. c. Pipeline includes dual meter station at POB in accordance with City of Houston design with "extra" City of Pearl and meter and SCADA reporting via radio communication to the existing City of Pearland SCADA system. 3. Expansion of the Existing Alice Street Water Plant Facility (WP). Ultimate capacity of this plant is planned to be a 15 MGD pump station and 10 MG of ground storage and 0.5 MG of elevated storage. This project will provide an interim phase ofthc Plant expansion with a complete capacity of 10 MGD pumping and 5 MG ground storage. Dcsign will allow casy expansion to 15 MGD pumping and 10 MG ground storage. Details of the WP basis of design include: a. Evaluation and Asscssment of Usability and Sequencing of Existing Ground Storage and Booster Pumps b. Provided Ground Storage of 5 MG through combination of existing ground storage or new welded steel (painted) or prestressed concrete tank. Design documents shall be prepared for both steel and prestressed concrete tank. c. Provide 10 MGD (expandable to 15MGD) pumping through vertical turbine pumps or horizontal split case pumps. Pumps shall be sized to provide approximately 65 psi at flow rates between 4 MGD and 10 MGD d. New pump building and electrical building e. Hypochlorite and LAS chemical storage and delivery. CONSULTANT shall evaluate alternative chlorine on-sitc generation as potential cost savings measure. f. Natural Gas Generator for Backup g. Evaluation of energy recovery facility to transfer excess incoming waterline pressure to stored electrical energy. h. Incoming waterline meter to identify water loss from POB to Alice Street Pump Station. 1. Existing well shall remain on-site after completion, but Construction Contractor shall disconnect well discharge piping at final completion. Page 1 of 26 4. New 20" Distribution Line from the Alice Street Pump Station to a connection to the existing 20" line at the intersection of Old Alvin and McHard Road. 5. Preparation of Boundary Map of the additional land needed for expansion of the Alice Street Pump Station I. PIPELINE ENGINEERING SERVICES Task 1.1 - Proiect Management: 1.1. Coordinate with staff and project personnel to complete project tasks and meet project objectives; 1.2. Develop and maintain a project schedule with detailed milestones; and 1.3. Provide quality control reviews and technical reviews of all evaluations and recommendations, technical memoranda, and reports. 1.4. Unique Meetings 1.4.1 Project Initiation Meeting to clarify requirements of projcct 1.4.2 Consultant will meet with OWNER and City of Houston to review pipeline design and interconnect options. 1.4.3 Conduct project meetings with staff monthly and provide appropriate minutes of the meetings and necessary documentation; 1.4.4 Pipeline Alignment Selection Meeting 1.4.5 Draft Summary Report Progress Meeting All meetings are assumed to be 4 hours of the project manager and one project engineer. Task 1.2 - Alignment Selection 2.1. Preliminary Investigation. Consultant will coordinate with the OWNER's Project Manager and private utilities to obtain as-built plans and record documents for utilities and streets, plats, right-of-way maps, existing easement information, contour maps, and other features within and pertaining to the Project. The information and data sought by the Consultant will include, at minimum the following: · Existing water master plan and pipeline sizing information; · Existing zoning, topographic and aerial photo maps; · Existing locator maps and plans for future franchise utilities; · A vailable Geographic Information Systems ("GIS") data including water, wastewater, storm sewer, property ownership, planimetrics, contours, aerial photography, floodplain, zoning, and other information applicable to the Project; · Texas Commission on Environmental Quality ("TCEQ") rules and regulations, City of Pearl and and Houston water/wastewater basis of design, construction specifications and addenda, · Property lines and Right-of-Way; · Plans for proposed improvements in the Project corridor; · Photographic record of Project Corridor; and · Existing geotechnical reports. Page 2 of 26 2.2. Consultant will review the existing materials, reports, and maps provided by the OWNER in sub-task 3.1 that are relevant to the Project (as determined by the OWNER and the Consultant) and perform field investigations necessary to evaluate proposed alignments. 2.3. Consultant will download property ownership maps from the Harris County Appraisal District and Brazoria County Appraisal District to serve as base maps on alternative pipeline routings. 2.4. Not Used. 2.5. Alignment Selection and Schematic Design 2.5.1 Consultant will develop working maps based on the information obtained in sub task 2.1 for use in final alignment selection. 2.5.2 Consultant will identify property owners, major constructability constraints, permits required and necessary utility relocation and coordination along the proposed alignments. Consultant will develop a schematic plan for each alignment to assess impacts and will prepare a matrix ranking system of economic and non-economic factors including environmental impacts, right of way, schedule impacts, permitting, public acceptance, security, and cost. 2.5.3 Consultant will meet with the OWNER to develop and select the final alignment. The meeting agenda will include the following: · A review of alignment criteria; · Review of proposed alignments; · Identification of additional alignments for consideration; · A review of proposed materials for pipes, valves and appurtenances; · A walk or drive of the proposed alignments; · A review of potential Project phasinglbid packaging options to facilitate Project schedule and budget constraints; · Consensus on and selection of a preferred alignment; · Consensus on and selection of two pipe materials; · Consensus on and selection of preferred valve types and other pipe appurtenances; and · Consensus on and selection of preferred Project Phasing options. 2.5.4 Consultant will prepare a Summary Report summarizing the results of the meeting. The report will include the following: · Schematic Alignment - Consultant will provide the proposed alignment selected, overlaid on working maps of the Project corridor including available GIS information and supporting documentation provided during the alignment meeting. · Support Data and Exhibits - Consultant will present existing utility location maps, pictures of proposed alignment, typical sections, and other support data and exhibits applicable to this Project phase. · Estimates - Consultant will prepare an opinion of probable construction cost based on the selected alignment, pipeline, valve types, and appurtenance construction materials. · Materials and Construction Recommendations - Consultant will provide recommendations for materials, alignment, and construction methods. · Easement Needs - Consultant will identify easement requirements. It is assumed that 20' wide easements will be required when adjacent to accessible public right of way and 30'wide easements will be required when corridor is not adjacent to public right of way. · Geotechnical Needs -Consultant will identify the geotechnical needs for the Project. Page 3 of 26 · Utility Location Verification Needs -Consultant will identify utility relocations needs for the Project. · Permitting Needs - Consultant will identify required permits (if applicable). · Design Schedule - Consultant will update the design schedule for OWNER review, comment, and approval. Consultant will submit three hard copies of the Summary Report with color photographs to the OWNER. 2.5.5 Base Mapping and Preparation of Base Mapping Suitable for Design: (1) Once alignment from Summary Report is determined, Consultant will gencrate a plan of the existing Project corridor by compiling field survey data with information obtained during the preliminary investigation that includes the following: · Line work and text for all known existing utilities, paving, structures, trees, and other above-ground features; · Line work and text for existing one foot contours; · Line work and text for known proposed improvements by others; · Line work and text for existing property lines, right-of-way, easement lines, and control points; and · Text for streets, addresses, and property owners. (2) Consultant will walk the selected alignment to compare the base map with visually observed utilities, structures, and obstructions. (3) Consultant will submit the final draft base map to franchise utility companics and the OWNER for review, comment, and approval. (4) Consultant will conduct survey in accordance with City of Houston standards to meet City of Houston permit review. Task 1.3 Desilw Phase Services - 3.1 Preparation of 60% Drawings - Consultant will perform the following tasks to prepare the preliminary design ofthc Project: 3.1.1 Establish horizontal and vertical alignments; 3.1.2 Locate utility crossings from record drawings and field surveys, including nearby utilities, and other ncarby improvements; 3.1.3 Establish pipe profiles, flow lines, and ground profiles for the approved horizontal pipe alignment. Waterline dctails and embedment details will be shown on detail sheets; 3.1.4 Idcntify areas where existing utilities may conflict and verify clearances. Subsurface Utility Engineering (SUE) methods as directed by OWNER and per Task 10.1.9 and 10.1.10 not a part of basis services and are considered additional services; 3.1.5 Identify types of construction required along the alignment; 3.1.6 Identify permanent and construction easement requirements (including widths and properties affected) and prepare a right-of-way map; Page 4 of 26 3.1.7 Prepare an opinion of probable construction costs based on the preliminary design definition; 3.1.8 Update the Project schedule and forward to the OWNER for review; 3.1.9 Submit Summary Report alignment to the private utility companies for review and comment; 3.1.10 Meet with the OWNER to discuss schematic level design comments and reach consensus on refinement and revision needs; 3.1.11 Distribute the drawings to private utility companies for review and comment; 3.1.12 Incorporate OWNER comments into the schematic level design; 3.1.13 Submit three sets of22"x34" bond preliminary drawings (60% complete) to the OWNER and City of Houston for revision and comment. 3.2 Preparation of Final Design - Consultant will perform the following tasks to progress the preliminary design of the Project to the final design level: 3.2.1 Revise the preliminary (60% complete) drawings by incorporating comments from the OWNER and City of Houston; 3.2.2 Incorporate comments from the franchise utility companies; 3.2.3 Finalize the drawings for the proposed improvements; 3.2.4 Incorporate standard details into the drawing set with approved revisions as necessary and prepare additional details as required; 3.2.5 Submit three sets of 22"x34"final drawings (100% complete) and associated sheet by sheet quantity "takeoff' estimates to the OWNER for review; 3.2.6 Meet with the OWNER to discuss the final drawings (100% complete) and associated sheet by sheet quantity "takeoff' estimates; and 3.2.7 Prepare erosion control plans to comply with the TCEQ Storm Water Management Program. 3.2.8 Prepare contract documents Task 1.4. Bid Phase Services - 4.1 Preparation of Opinion of Probable Construction Costs - Consultant will prepare a final opinion of probable construction cost using the quantities defined by the final design. Opinion of Probable costs will be based on material, equipment and labor prevailing at the time of preparation without consideration for inflation and/or raw material increases that may occur. 4.2 Preparation of Final Bid Documents - Consultant will finalize the Project's bid documents. Final bid documents will include proposal forms, construction drawings, specifications, and other contract documents (as required). Consultant will distribute Page 5 of 26 bid documents in electronic format (pdf on CD) at non-refundable deposit from bidders at industry acceptable cost for reproduction. 4.3 Assistance in Bid Advertisement Process - Consultant will, if required, assist the OWNER in advertising for bids. Assistance does not include a requirement for the Consultant to pay for the advertisement. The OWNER will pay for the advertisement. 4.4 Pre-Bid Conference. CONSULTANT shall led pre-bid conference and prepare meeting minutes for distribution as an addenda. 4.5 Addenda and Contract Interpretation. Interpret construction contract documents. Prepare and issue addenda to the construction contract documents when required. A total of three addenda are anticipated for each contract 4.6 Assistance in Bid Tabulation Process - Consultant will, ifrequested, assist the OWNER in opening bids and will prepare a bid tabulation for all bidders. Consultant will prepare an engineer's letter of recommendation that includes certified bid tabulation, including Consultant's opinion of probable cost and review of Contractor's 4.5.1 Past work history; 4.5.2 Financial resources; and 4.5.3 Physical resources to construct the Project. 4.7 Proiect Manual- Consultant shall produce and transmit to the selected Contractor five (5) sets of project manuals ready for execution and three (3) sets of plans to the Contractor after contracts are executed at Pre-Construction Meeting. Task 1.5, Construction Administration - Consultant will perform administration services during the construction phase of the project. By performing these services, Consultant shall not have authority or responsibility to supervise, direct, or control the Contractor's work or the Contractor's means, methods, techniques, sequences, or procedures of construction. Consultant shall not have authority or responsibility for safety precautions and programs incident to the Contractor's work or for any failure of the Contractor to comply with laws, regulations, rules, ordinances, codes, or orders applicable to the Contractor furnishing and performing the work. Specific services to be performed by Consultant are as follows: 1. Review the Contractor's insurance certificates and forward the certificates to the Owner for acceptance by the Owner's legal counsel. Consultant's review of the insurance certificates is only for the purpose of determining if the Contractor maintains the general types and amounts of insurance required by the contract documents, and is not a legal review to determine if the Contractor's insurance coverage complies with all applicable requirements. 2. At a date and time selected by the Owner and at a facility provided by Owner, chair a preconstruction conference. It is assumed that OWNER's Construction Manager shall prepare an agenda for the conference, and prepare and distribute minutes. The preconstruction conference will include a discussion of the Contractor's tentative schedules, procedures for transmittal and review of the Contractor's submittals, processing payment applications, critical work sequencing, change orders, record documents, and the Contractor's responsibilities for safety and first aid. Page 6 of 26 3. If requested, review and commcnt on the Contractor's initial and updated construction schedule and advise Owner as to acceptability. A total of seven reviews arc anticipated. 4. If requested, analyze Contractor's construction schedule, activity sequence, and construction procedures with regard to Owner's ability to keep existing facilities in operation. 5. It is assumed that the OWNER's Construction Manager shall review the Contractor's initial and updated schedule of estimated monthly payments and advise Owner as to acccptability. A total of four reviews are anticipated for each construction contract. 6. Make periodic visits to the construction site to observe progress of the work, and consult with Owner, Construction Manager, and the Contractor concerning problems and/or progress of the work. A total of 8 site visits, including attendance at monthly progress meetings, is anticipated. 7. Review drawings and other data submitted by the Contractor as required by the construction contract documents. Consultant's review shall be for general conformity to the construction contract documents and shall not relieve the Contractor of any of his contractual responsibilities. Such reviews shall not extend to means, mcthods, techniques, sequences, or procedures of construction, or to safety precautions and programs incident thcreto. A total of 40 submittals are anticipated. 8. Receivc and review guarantces, bonds, and certificates of inspection, and tests and approvals which are to be assembled by the Contractor in accordance with the construction contract documcnts, and transmit them to Owner. 9. Interpret construction contract documents when requested by Owncr or thc Contractor. A total of 15 RFl's is anticipated 10. It is assumed that the OWNER's Construction Manager shall review and process the Contractor's monthly payment requests, and forward to Owner as appropriate. As such, this service is not included in the Consultant's Basic Services. 11. Provide documentation and administer the proccssing of change orders, including applications for extension of construction time. Evaluate the cost and scheduling aspects of all change orders and, where necessary, negotiate with the Contractor to obtain a fair price for the work. Said negotiation shall be subject to the approval of Owner. A total of five change orders are anticipated for each construction contract. Work related to unusually complex or unusually numerous claims shall be considered Additional Services. 12. Consultant will perform limited Construction Administration services for the Projcct. However. Consultant will prepare Record Documents for the Proiect. Consultant will complete this task utilizin2: information provided bv the OWNER. the as-built information provided bv the Construction Contractor. and the information resultin2: from RFIs and other Construction Contractor 2:enerated submittals. Consultant will prepare one set ofreproducible record drawings for the OWNER, including a copy of the construction plan sheets in electronic format on compact diskette. Page 7 of 26 12. Upon substantial completion, inspect the construction work and prepare a list of the itcms to be completed or corrected before final completion of the project. Submit results of the inspection to Owner and the Contractor. 13. Upon completion or correction of the items of work on the list, conduct a final inspection to determine if the work is completed. Provide written recommendations concerning final payment to Owner, including a list of items, if any, to be completed prior to making such payment. 14. It is assumed that OWNER's Construction Manager would apply for consent of surety for final payment. II. ALICE STREET ENGINEERING SERVICES Task 11.1 - Proiect Management: 1.1. Coordinate with staff and project personnel to complete project tasks and meet project objectives; 1.2. Develop and maintain a project schedule with detailed milestones; and 1.3. Provide quality control reviews and technical reviews of all evaluations and recommendations, technical memoranda, and reports. 1.4. Unique Meetings 1.4.1 Project Initiation Meeting to clarify requirements of project 1.4.2 Conduct project meetings with staff monthly and provide appropriate minutes of the meetings and necessary documentation; All meetings are assumed to be 4 hours of the project manager and one project engineer. Task 11.2 - Preliminary Engineering: 2.1 Consultant conduct site visit to review existing infrastructure and provide phased implementation plan to build out site to desired interim and ultimate capacity; 2.2 Consultant shall evaluate current pump operations for existing and future conditions. Existing Flow and pressure data will be provided by OWNER from existing SCADA system 2.3 Consultant shall prepare a preliminary engineering report (PER) for Alice Street PS and shall include the following information in the PER. A. Site Layout B. Equipment Listings C. One Line Diagram D. Block Diagram E. Control Strategies 2.4 Consultant shall contract with a geotechnical and survey firm to complete required services to support the PER. 2.5 A technical memorandum documenting the preliminary phase will be submitted in draft and final form to the OWNER. One review meeting will be held to discuss the OWNER's comments. Page 8 of 26 2.6 Consultant will develop design drawings and specifications for purposes of bidding the project for construction. In the preliminary design phase the drawings will be completed to the 30%. 2.7 Coordination with the Electrical Service Utility Company will be performed for service requirements for the pump station expansion. A total of 40 hours is included for this task. 2.8 Consultant shall submit a preliminary estimate of probable construction cost with the preliminary plans submitted. CONSULTANT shall assist OWNER in selecting the feasible and/or economical solutions to be pursued. 2.9 Consultant shall provide one boundary map of the proposed expansion for OWNER's use in negotiating title transfer of necessary property. 2.10 OWNER shall provide copies of existing vulnerability assessment for use in security design of expansion Task 11.3 Design Phase Services - 3.1 Preparation of 60% Drawings - Consultant will perform the following tasks to prepare the preliminary design of the Project: 3.1.1 Establish horizontal and vertical alignments; 3.1.2 Provide Site Layout, Electrical Layouts and Loads, Structural Requirements and Mechanical Tie-ins. SCADA and Instrumentation shall be shown. 3.1.3 Establish pipe profiles, flow lines, and ground profiles for the approved horizontal pipe alignment. 3.1.4 Prepare an opinion of probable construction costs based on the preliminary design definition; 3.1.5 Update the Project schedule and forward to the OWNER for review; 3.1.6 Meet with the OWNER to discuss schematic level design comments and reach consensus on refinement and revision needs; 3.1. 7 Incorporate OWNER comments into the schematic level design; 3.1.8 Submit three sets of 22"x34" bond preliminary drawings (60% complete) to the OWNER and City of Houston for revision and comment. 3.2 Preparation of Final Design for Two Packages - Consultant will perform the following tasks to progress the preliminary design of the Project to the final design level. Project assumes that ground storage tank will be separately bid as unique package and the remaining water plant improvements will be bid as separate package. The following work is anticipated for each of these construction packages 3.2.1 Revise the preliminary (60% complete) drawings by incorporating comments from the OWNER and City of Houston (where applicable to comply with interconnect agreement); 3.2.2 Finalize the drawings for the proposed improvements; Page 9 of 26 3.2.3 Incorporate standard details into the drawing set and prepare additional details as required; 3.2.4 Submit three sets of 22"x34"final drawings (100% complete) and associated quantity "takeoff' estimates to the OWNER for review; 3.2.5 Meet with the OWNER to discuss the final drawings (100% complete) and associated quantity "takeoff' estimates; and 3.2.6 Prepare erosion control plans to comply with the TCEQ Storm Water Management Program. Task 11.4, Bid Phase Services (For Two Construction Packages)- 4.1 Preparation of Opinion of Probable Construction Costs - Consultant will prepare a final opinion of probable construction cost using the quantities defined by the final design. Opinion of Probable costs will be based on material, equipment and labor prevailing at the time of preparation without consideration for inflation and/or raw material increases that may occur. 4.2 Preparation of Final Bid Documents - Consultant will finalize the Project's bid documents. Final bid documents will include proposal forms, construction drawings, specifications, and other contract documents (as required). Consultant will distribute bid documents in electronic format (pdf on CD) at non-refundable deposit from bidders at industry acceptable cost for reproduction. 4.3 Assistance in Bid Advertisement Process - Consultant will, if required, assist the OWNER in advertising for bids. Assistance does not include a requirement for the Consultant to pay for the advertisement. The OWNER will pay for the advertisement. 4.4 Addenda and Contract Interpretation. Interpret construction contract documents. Prepare and issue addenda to the construction contract documents when required. A total of three addenda are anticipated for each contract 4.5 Assistance in Bid Tabulation Process - Consultant will, ifrequested, assist the OWNER in opening bids and in the preparation of a bid tabulation for all bidders. Consultant shall prepare an engineer's letter of recommendation that includes certified bid tabulation, including Consultant's opinion ofprobablc cost and review of Contractor's 4.5.1 Past work history; 4.5.2 Financial resources; and 4.5.3 Physical resources to construct the Project. 4.6 Proiect Manual- Consultant shall produce and transmit to the selected Contractor five (5) sets of project manuals ready for execution and three (3) sets of plans to the Contractor after contracts are executed at Pre-Construction Meeting. Task II.S, Construction Administration (for two packages)- Consultant will perform administration services during the construction phase of the project. By performing these services, Consultant shall not have authority or responsibility to supervise, direct, or control the Contractor's work or the Contractor's means, methods, techniques, sequences, or procedures of construction. Consultant shall not have authority or responsibility for safety precautions and programs incident to the Contractor's work or for Page 10 of 26 any failure of the Contractor to comply with laws, regulations, rules, ordinances, codcs, or orders applicable to the Contractor furnishing and performing the work. Specific services to be performed by Consultant are as follows: 1. Review the Contractor's insurance certificates and forward the certificates to the Owner for acceptance by the Owner's legal counsel. Consultant's review of the insurance certificates is only for the purpose of determining if the Contractor maintains the general types and amounts of insurance required by the contract documents, and is not a legal rcview to determine if the Contractor's insurance coverage complies with all applicable requirements. 2. At a date and time selected by the Owner and at a facility provided by Owner, chair a preconstruction conference. It is assumed that OWNER's Construction Manager shall prepare an agenda for the conference, and prepare and distribute minutes. Thc preconstruction conference will include a discussion of the Contractor's tentative schedules, procedures for transmittal and review of the Contractor's submittals, processing payment applications, critical work sequencing, change orders, record documents, and the Contractor's responsibilities for safety and first aid. 3. Ifrequested, review and comment on the Contractor's initial and updated construction schedule and advise Owner as to acceptability. A total of seven reviews are anticipated. 4. Ifrequested, analyze Contractor's construction schedule, activity sequence, and construction procedures with regard to Owner's ability to keep existing facilities in operation. 5. It is assumed that the OWNER's Construction Manager shall review the Contractor's initial and updated schedule of estimated monthly payments and advise Owner as to acceptability. A total of four reviews are anticipated for each construction contract. 6. Special Services shall be requested by Consultant and approved by OWNER before conducted such Work. G. Task Six and Seven, Stress Testin2: and Public Coordination - Not Used H. Task Ei2:ht, Geotechnical Services - 8.1 General Soil Analysis - Consultant will conduct a soils evaluation and provide a general soils analysis of the Project's construction areas including taking representative borings at spacing no more than 500 feet along pipeline corridor plus additional borings at critical areas determined by the Consultant, the Geotechnical Engineer, and the OWNER. Geotechnical Investigation shall flag boreholes for survey by Consultants Survey Subcontractor. The evaluation and analysis will include the following information and recommendations: 8.1.1 Soil characteristics; Page 12 of 26 8.1.2 Location of water table; and 8.1.3 Recommendations for backfill, paving repair, and construction by other than open cut method. 8.2 It is assumed OWNER shall provide right of entry access to each identified parcel for placement of geotechnical borings and survey. 8.3 Geotechnical Investigation will begin after 60% Drawings and will locate the borings on the Centerline of the proposed pipeline. 8.3 Fault Study. Consultant shall conduct a fault study to evaluate the presence of faults. Consultant shall prepare fault report and incorporate design consideration for fault crossmgs. 1. Task Nine, Permits - 9.1 Consultant will meet with OWNER and City of Houston to review collaborative options for partnering on the Fuqua Road Segment, including development of an interloca1 agreement for such partnering. 9.2 Consultant shall prepare permit applications for the following known entities a) U.S. Army Corps of Engineers b) Texas Commission of Environmental Quality 401 c) Texas Commission of Environmental Quality - Water Infrastructure d) City of Pearland e) City of Houston f) Brazoria County Drainage District No.4 g) TXDOT and HCTRA h) HCFCD i) Texas Historical Commission J. Task Ten, Survevinl!- 10.1 Surveying for Design - The Consultant will perform a topographic survey of the Project corridor in accordance with City of Houston and City of Pearland survey requirements. Where conflicting, Consultant shall use most restrictive standard. Thc topographic survey will have a minimum 100- foot width of field including 20 feet of easement width and 80 feet of flanking corridor. Consultant will obtain and apply survey data in the development of pipeline construction drawings that includes the following: 10.1.1 Establish Project control to City of Houston and Pear1and published basis of design at time of Summary Report submission; 10.1.2 Locate and tie existing above ground utility appurtenances, structures, bushes/landscaping, trees over six inches in diameter, curbs, pavements, and fences, etc.; 10.1.3 Locate existing depths and elevations of water and wastewater pipclines (based on record information and visible appurtenances) and probing at conflict locations, when required; 10.1.4 Locate existing manhole inverts and rim elevations, if the proposed pipelinc will be crossing a sewer line; Page 13 of 26 10.1.5 Obtain existing pavement types and thicknesses based on record information and field observations; 10.1.6 Provide top of curb elevations every 50 feet where applicable; 10.1.7 Seek to locate rights-of-ways and property comers along the Project corridor; 10.1.8 Consultant will utilize geophysical prospecting equipment to designate the horizontal position of existing underground utilities that cross or are in close proximity of the proposed line (private markings will be tied into the Project survey); 10.1.9 Consultant, if directed by the OWNER, will utilize quality Level A SUE to eliminate conflicts between the proposed waterline and existing utilities or below ground facilities. This work is additional services. 10. 1.10 It is assumed OWNER shall provide right of entry access to each identified parcel for survey. 10.1.11 Locate geotechnical borings 10.1.12 Coordinate and meet with third party pipeline companies to confirm location of existing piping. 10.2 Easement Exhibits - 10.2.1 Abstracting. Consultant will perform record research and surveying services to locate and monument up to proposed permanent easements and proposed construction easements. 10.2.2 Consultant will prepare easement exhibits for permanent easements and construction easements. The construction easements will be parallel and contiguous to each side of the permanent casements. Easement Exhibits will include a metes and bounds description for each easement and a corresponding map for each parcel crossed. 10.2.3 Consultant will provide electronic data easements. 10.3 Aerial Mapping- 10.3.1 Consultant shall provide aerial mapping at 1000 foot elevation along proposed pipeline corridor with at least 0.5 foot contour accuracy. 10.3 Surveying for Construetion- 10.4.1 Consultant will provide field surveying to set horizontal and vertical control approximately every 500 feet to the lines and grades as shown on the drawings. Construction staking shall be performed by the Contractor setting horizontal control for construction. 10.5 Subsurface Utility Engineering - The following subparagraphs define the quality levels for sub-surface utility engineering ("SUE") efforts. Six Levcl A quality investigations are included as part of sub task 10.1.9. Page 14 of 26 10.4.1 Quality Level D SUE Services. The most basic levcl of information based solely upon existing records or verbal recollections. Most often these records are incomplete, inaccurate, unreliable and/or out of date. However, this level of information is appropriate for early project planning and provides a general picture, in a specific area, of underground utility congestion. Risk Level - Highest. 10.4.2 Quality Levcl C SUE Services. Currently, this is the most common level of information used on most design projects. Level C supplements Level D information by adding ground survey information on existing visible utility facilities, such as manholes, meters and valve boxes. Utilities, especially newly installed cable and fiber optic lines, can be omitted or plotted incorrectly on the final drawings. It is common for most drawings, utilizing Level C information, to include a disclaimer statement regarding the level of accuracy. Risk Level - High. 10.4.3 Quality Level B SUE Services. Level B builds upon the information obtained in Levels C and D. Information is obtained through the application of appropriate surface geophysical methods, commonly referred to as designating, that identify the existence and locate the approximate horizontal position of subsurface utilities. During the design phase of the Project, information obtained by designating is surveyed to applicable tolerance and transferred onto the drawings for customer usage. The vertical position of underground utilities is not verified at this Quality Level. Risk Level- Moderate/Low. 10.4.4 Quality Level A SUE Services. Level A provides the most comprehensive mapping by adding SUE services locating information to Level B designating information. Level A provides precise three-dimensional horizontal and vertical mapping of utilities and related structures using non-destructive vacuum excavation equipment. Small test holes provide a minimum of disruption and intrusion while providing exact information upon which to base final design decisions. Level A produces the highest level of accuracy available. This level applies appropriate survey and mapping standards dictated by the OWNER. Risk Level- Minimal. Task Eleven, Storm Water Pollution Prevention Plan- Consultant will prepare a Storm Water Pollution Prevention Plan for the proiect in accordance with the conditions of the General Permit for Storm Water Discharges from Construction Activity pursuant to TCEQ TPDES Program. Task Twelve, Phase 1 ESA - Consultant shall obtain the services of a subconsultant to perform a Phase I Environmental Site Assessment along the 42-inch and 36-inch water transmission main alignment. In addition, the Consultant shall provide a Phase 1 ESA of the adjacent required Alice Street WTP Property and the new City of Houston interconnect meter station. The assessment will include review of records, photographs, and documents to identifY possible contamination sites along the alignment. The Phase 1 ESA shall be conducted to City of Houston standards. A report describing the findings of the assessment will be prepared. Task Thirteen, Corrosion Protection - Consultant shall obtain the services of a subconsultant to prepare a report of recommendations for cathodic protection systems for the water transmission main. The recommendations will be incorporated into the design of the transmission mains. Page 15 of 26 Task Fourteen. Wetland. Endanl!ered Species. and Archeolol!ical- Consultant shall obtain the services of a subconsultant to perform the following services for the proposed alignment: · Wetland Determination · Endangered Species Assessment · Nationwide Permit Application Preparation (Corps of Engineers) Consultant shall provide mapping and other technical assistance for the preparation of the environmental reports and permit applications. Task Fifteen: Surl!e Analvsis on Interconnect Pipinl! Consultant shall conduct a surge analysis on the proposed interconnect between the City of Houston and City of Pearland to determine design provisions necessary to control unavoidable surge events. Task Sixteen: Surl!e Analvsis on Distribution Pipinl! Consultant shall conduct a surge analysis on the proposed Alice Street Pump Station and distribution piping to determine design provisions necessary to control unavoidable surge events related to loss of power or fast closing valve. It is assumed that the OWNER will provide calibrated water model Task Seventeen: Enerl!V Recoverv at Alice Street Given the City of Houston operates their water system around 84 psi, it is likely that the pressure at the Alice Street Ground Storage Tank will far exceed the minimum level necessary to reach the top of the new ground storage tanks. Thereby, there will be "excess" pressure at the Alice Street PS that could be converted into electricity through an turbine type electrical generating equipment. Consultant shall conduct an evaluation of the proposed device with an opinion of probable cost and expected energy recovery from such operation. If the OWNER desires, provisions for incorporation of such device will be included in the final design. Task Eil!hteen: Startup Service Consultant will provide an allowance to provide services to assist with start-up of all plant components. Task Nineteen: Warranty Service Consultant shall include an allowance for required services, inspections, or investigations during the one year warranty period of each construction package. In the event, the OWNER requires services related to warranty items, Consultant will provide necessary Work not to exceed the fee listed in the Project Budget. Task Twentv: Application Enl!ineerinl! and System Intel!ration Services CDM's Application Engineering Services (AES) includes the following scope of work for the project: a. Prepare submittals b. Design and implement Human Machine Interface (HMI) Input/Output (I/O) database c. Design and implement process graphic displays d. Design and implement control strategies e. Design and implement historical data management system f. Design and implement operations reports g. Final documentation h. Unwitnessed Factory Test 1. Systems Integration Test Page 16 of 26 J. Witnessed Factory Test k. Operational Readiness Test 1. Field Demonstration Test m. 30-Day Test n. Training o. Warranty 20.1. The scope of work includes the improvements as detailed in the contract documents. 20.2. Work not included: 20.2.1 Consultants's scope does not include construction services as this task is provided under separate contract and/or task. 20.2.2 CONSUL T ANT is not responsible for delays due to other contractors' negligence, non-performance, un-anticipated slippage of other entity's delivery dates and/or problems associated with any third-party software (HMI, operating system, etc.) or PLC manufacturer's software including any communication drivers that may be required, but not yet available or fully developed. 20.3. Application Engineering Tasks: - The following tasks describe in detail CONSULTANT's scope of work to provide the OWNER with a fully configured, coordinated, and operational SCADA tie-in of the new facility with the existing IFix network. 20.3.1 TASK 1 - Submittals: Each submittal defined below will be submitted first as a draft for OWNER review and comment. CONSULTANT will meet with the OWNER to review comments and clarify any questions and provide project coordination. CONSUL T ANT will update the draft submittal incorporating OWNER comments and submit the final submittal which will serve as the basis for AES programming. (1) Project Plan Submittal: This subtask includes the preparation of a project plan submittal. The submittal will provide the OWNER with the reassurance that CONSULTANT has defined milestones and project goals based on the designed system to complete the project as anticipated. (a) Deliverables: i. Two copies of the draft Project Plan submittal. ii. Two copies of the final Project Plan submittal. (2) System Standards and Conventions: Consultant shall use existing OWNER Conventions for: (a) Naming conventions (b) Operator interface, set point entry, equipment control, display navigation, etc. (c) Graphic standards, including display types, display format, colors, equipment and icon symbols, etc. (d) System security and access levels (e) Alarming (t) PLC address/memory mapping (g) PLC control strategy programming standards, including standard equipment control modules. (3) Control Loop Narratives Submittal: This submittal will include a narrative of the plant processes monitoring and control based on the as-designed process control Page 17 of 26 loops. The control loop narratives will be submitted for the OWNER's review and comment. The PLC programming and preliminary process graphic display development will begin after the OWNER's review and approval of this submittal. (a) Deliverables: i. Two copies of the draft Control Loop Narratives Submittal. ii. Two copies of the final Control Loop Narratives Submittal. (4) Process Graphic Displays and I/O Submittal: This subtask includes development of process graphic displays and trends. The graphic displays will be developed in accordance with the approved system standards and conventions. Graphic displays will include process overview displays, unit process displays, system diagnostic displays, tabular displays, equipment control pop-up displays, strategy set up displays, and alarm set point displays. The process graphics will be submitted for the OWNER's review and comment. (a) Deliverables: i. Two copies of the draft Process Graphic Displays Submittal. ii. Two copies of the final Process Graphic Displays Submittal. (5) Testing Submittal: This submittal will include the testing procedures to be utilized during the Unwitnessed Factory Test (UFT) and Field Demonstration Test (FDT), and 30-Day Test. It will also include the following items: (a) Testing plan and objectives (b) Test procedures (c) Test approval procedures (d) Procedures to address punch list Items (e) Deliverables: i. Two copies of the draft Testing Submittal. ii. Two copies of the final Testing Submittal. 20.3.2 TASK 2 - SCADA Computer System Modification Configuration: (I) CONSULTANT will meet with the OWNER to devclop the protocol of modification of existing programming to meet the OWNER's requirements. (2) HMI Database Development and System Configuration: (a) This subtask includes the devclopment of the HMI database and the configuration of the Operator Workstations (OWS). The HMI database defines all I/O interface points between the PLC and HMI. The database contains field I/O points and pseudo points. The field I/O points are analog inputs (AI), analog outputs (AO), digital inputs (01), and digital outputs (DO) that provide communication between the field equipment and the Programmable Logic Controllers (PLC). Pseudo points are start/stop control points, auto/manual control points, process set points, flow totals, equipment runtimes and any other calculated points in the PLC and transmitted to the Operator Workstations (OWS) for monitoring, recording and reporting. (b) Each database point includes various parameters associated with a point and includes items such as tag name, description, engineering range, alarm limits, etc. Page 18 of 26 The HMI database will be developed based on the naming standards and conventions developed for the project. (c) The HMI system configuration includes security, alarming, and networking of the OWS. (3) Graphic Displays Development (a) This subtask includes development of process graphic displays and trends. The graphic displays will be developed in accordance with the approved system standards and conventions. Graphic displays will include process overview displays, unit process displays, system diagnostic displays, tabular displays, equipment control pop-up displays, strategy set up displays, and alarm set point displays. (4) Control Logic Programming (a) This subtask includes programming and configuration of the PLC to provide the process monitoring and control of the treatment processes. This includes, the design, control template development, and PLC address mapping of the PLCs. The programming and configuration will be in accordance with the system standards and conventions, process control narratives, graphic displays, field I/O and HMI database. (5) Historical Database and Reports (a) This subtask includes modifications of the programming and configuration of the historical data management system and development of the operational reports. Historical data management system will collect and store process data, perform statistical calculations such as minimum, maximum, and average. Historical data will be available for trending and the generation of reports. The following report types will be provided, daily, monthly, and annual. The reports will be configured to print automatically on a predetermined schedule. (b) CONSULTANT will meet with the OWNER to develop the report types, formats and the information to be provided on each report to meet the OWNER's requirements. 20.3.3 TASK 3 - TESTING (1) Unwitnessed Factory Test for Alice Street Programming (a) This test will be performed at CONSULTANT's Dallas staging facility. This test will be performed to verify the SCADA system operates as designed and is ready for demonstration to the OWNER. All field analog and discrete input/output (I/O) points will be simulated to insure proper operation of all alarms, monitoring and control functions. The test will also include graphic display navigation and report generation. The results of the test will be provided to the OWNER for their records. (b) Deliverables: 1. Results of the Test Page 19 of 26 (2) Field Startup/Field Demonstration Test (a) CONSULTANT will provide field startup services including confirmation of field I/O and process control strategy startup. Once the facility has been started up and is operating, CONSULTANT will demonstrate to the OWNER that the control system is installed properly and operates as designed. (b) Deliverables: 1. Copies of daily log sheets and punch list items. (3) 30-Day Test (a) CONSULTANT will act in an observant and informational capacity. During the 30-Day Test, OWNER will operate the plant in a norma! capacity. CONSULTANT will assist by answering questions and observing the operation of the system. CONSULTANT will attend the first two days of the 30-Day Test and be available by telephone at all times. (b) Deliverables: 1. Results of 30-Day Test. 20.3.4 TASK 4 - Final Documentation: This task will include the assembly of the final documentation generated from the previously defined activities. The final documentation manuals will include the system standards and conventions, HMI database, control loop narratives, process graphic displays, PLC control logic programs, and reports. All hard copy material will also be provided in electronic format. (1) Deliverables: (a) O&M Manuals and electronic files. 20.3.5 TASK 5 - Warranty Period: A one year warranty period will be provided by CONSULTANT on the application programming developed by CONSULTANT. The warranty period shall begin the day after the end of the 30-Day Test. This warranty includes correction of any programming errors made by CONSULTANT. (1) Warranty items not included: (a) Failure of hardware, system software or HMI software. Providing additional graphics, computers, or additional inputs/outputs after acceptance of system. (2) During the warranty period, the following approach shall be used for diagnosing and correcting SCADA system problems. (a) Step I: OWNER shall perform initial diagnosis of the problem. If the problem is application programming related, the OWNER shall contact CONSULTANT. (b) Step 2: If OWNER can not diagnose the problem, CONSULTANT shall be contacted for telephone assistance. The OWNER will indicate to CONSULTANT the relative urgency of the problem and shall fax a description of the problem and what efforts have been made to resolve the problem. CONSULTANT will attempt to diagnose the problem via telephone or by Page 20 of 26 connecting via telephone to the SCADA system. If the problem is diagnosed as a programming issue, CONSULTANT will repair the problem under its warranty. If the problem is diagnosed as a hardware problem, the OWNER will contact the contractor for service under its warranty. (c) Step 3: If CONSULTANT cannot diagnose the problem remotely, CONSULTANT will visit the plant site for detailed diagnosis. If the problem is subsequently diagnosed as a programming problem covered by warranty, CONSUL T ANT will repair the problem at no cost to the OWNER. If the problem is diagnosed as a different problem, the OWNER shall provide for CONSULTANT incurred costs under Task Nineteen- Warranty. Task Twenty-One: Tree Mitillation Consultant will provide coordination with the City of Houston Tree Ordinance and provide necessary design documentation for tree mitigation for all pipeline work within the City of Houston only. The City of Pearland will handle tree mitigation for Right of Way clearance inside the City of Pearland. Task Twenty-Two: Radio Path Survey Consultant shall conduct a desktop and field radio path survey to determine the radio requirements from the off-site meter station to the City of Pearland SCADA system. Task Twenty-Three: Traffic Control Plans Consultant shall develop traffic control plans in accordance with TXDOT, City of Houston, and City of Pearland requirements for work in and adjacent to Right of Way of transmission and distribution piping. IV. ITEMS NOT INCLUDED IN THE EXISTING SCOPE OF SERVICES. A. Additional Services not included in the existinll Scope of Services - OWNER and Consultant agree that the following services are beyond the Basic and Special Scope of Services described in the tasks above. However, Consultant may be requested in writing by the OWNER, to perform additional services if needed. Any additional amounts paid to the Consultant resulting from any material change to the Scope of the Project shall be agreed upon in writing by both parties before the services are performed.
