A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
PEARLAND, TEXAS AUTHORIZING THE CITY MANAGER OR HIS
DESIGNEE TO ENTER INTO AMENDMENT NO. 1 TO AGREEMENT
WITH FORT BEND COUNTY.
BE IT HEREBY RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS:
Section 1. That certain amendment to the interlocal agreement by and
between the City of Pearland, Texas; Reinvestment Zone Number Two, City of
Pearland, Texas; and Fort Bend County, Texas, a copy of which is attached as Exhibit
"A" and made a part hereof for all purposes, is hereby approved.
Section 2. That the City Manager or his designee is hereby authorized to
execute and the City Secretary to attest the original of the attached amendment to the
interlocal agreement for and on behalf of the City of Pearland.

HARRIS AND BRAZORIA
AMENDMENT NO.1 TO AGREEMENT
This Amendment No.1 to Agreement is made by and among the CITY OF
PEARLAND, TEXAS ("City"), a municipal corporation and home-rule city of the State
of Texas principally situated in the Counties of Fort Bend, Brazoria and Harris, acting
by and through its governing body, the City Council; FORT BEND COUNTY
("County"), located at 301 Jackson, Suite 719, Richmond, Texas 77469; and the
REINVESTMENT ZONE NUMBER TWO, CITY OF PEARLAND, TEXAS
("Reinvestment Zone"), a reinvestment zone created by the City pursuant to Chapter
311 of the Texas Tax Code acting by and through its Board of Directors.
This Amendment No.1 to Agreement amends the Agreement among the parties
executed by the City on December 15, 1998, by the County on December 29, 1998, and
by the Reinvestment Zone on August 23, 1999, regarding the County's participation in
the tax increment relating to the Reinvestment Zone.
Expansion of the Reinvestment Zone
A. Annexation of 457 Acres
Following the required public notice and hearing, the City approved the
enlargement of the Reinvestment Zone by approximately 457 acres, described on the
attached Exhibit A, by adoption of Ordinance No. 1276 dated July 10, 2006. The County
hereby agrees to participate in tax increment on the property described by the attached
Exhibit A to the same extent the County has participated in the original Reinvestment
Zone boundaries.
B. Annexation of 10 Acres
Following the required public notice and hearing, the City approved the first
reading of Ordinance No. 1313 enlarging the Reinvestment Zone by approximately'
acres, described on the attached Exhibit B, on October 23,2006. The City has scheduled
the second and final reading for adoption of Ordinance No. 1313 on November 13, 2006.
The County hereby agrees, following final adoption of the City's Ordinance No. 1313, to
participate in the tax increment on the property described in the attached Exhibit B to
the same extent the County has participated in the original Reinvestment Zone
boundaries.

Except as specifically amended hereby, the Agreement remains in full force and
effect, enforceable in accordance with its terms. The parties specifically agree that all
the terms, mutual promises, obligations, and benefits set forth in the Agreement will
apply to the enlargement of the Reinvestment Zone as described in Exhibits A and B.
