()i--o APPROVED: BY:~ '- City Manager B i 11 Eisen Date: 11/30/06 Page 2 of2 Change Order No.2 CITY OF PEARLAND Corrigan Subdivision Drainage Improvements CONTRACT NO.3 CHANGE ORDER NO.2 BACKGROUND This 285 day project began on April 12,2006 with a contract end date of January 22,2007. In an effort to minimize the possibility of the neighborhood experiencing flooding and the compounding impact of the previous projects in the subdivision, the City accepted Reddico Construction's proposed accelerated schedule to finish the project in four months (Refer to Exhibit 1). In order to successfully expedite the work, Redicco Construction anticipated that the City would reduce the proposed storm sewer scope and be very responsive and proactive with regard to resolving project issues that would negatively impact the critical path. The contractor then mobilized up to 6 crews to fulfill the team goal of completing the project by the end of the summer. Change Order No. 1 was executed on May 19, 2006 (Refer to Exhibit 2). This change order reduced the storm sewer scope of work and added a masonry wall, wet sand construction (dewatering) and several other Unit Items that were needed to complete the project while still maintaining the accelerated schedule. ITEMS RECOMMENDED IN CHANGE ORDER NO.2 Over a four month period the following Unit Items were utilized beyond the planned quantity to expeditiously complete the work without delaying or stopping the contractor and incurring potentially significant claims: . (CO No.2 - Item No.1) Unit Item No. 84 - Wet Sand Construction. . (CO No.2 - Item No.2) Unit item No. 64 - Saw Cut; . (CO No.2 - Item No.3) - Unit Item No.4 - Corrigan Ditch Excavation, Unit Item No.5 - Grade and Compact Excavated Material Placed in Corrigan Ditch, Unit Item No. 7 - Remove, Haul and Dispose of Existing Stockpiled Soil. . (CO No.2 - Item No.4) Unit Item No. 70 - Flood Protection Wall with Foundation, Unit Item No.6 - Earthen Berm. In addition to the existing Unit Items, the following new Unit Items are recommended to be established with this change order to pay the contractor: . (CO No.2 - Item No.5) Sanitary Sewer Crossing at Corrigan Ditch. . (CO No.2 - Item No.6) French Drain Along Flood Protection Wall to Drain Residential Property. Prepared by ESP A CORP Change Order No.2 CONTRACT REFERENCE When the City sought and accepted the contractor's proposed accelerated schedule it was extremely difficult for the City to take a standard approach to managing the project. After Change Order No. 1 was executed on May 19, 2006 it was decided to use existing Unit Items to avoid delaying the contractor and incurring potential downtime claims. The decision regarding utilizing the existing Unit Items was based on the following General Conditions of the Contract; Refer to Exhibit 3: . Article 2.04 - Changes and Alterations and 6.03 - Estimated Quantities. . Article 5.03 - Hindrances & Delays and 7.03 - Extra Work. Article 2.04 gives the City the option to extend the use of established prices to enable the contractor to perform the work beyond the planned quantity as long as it is agreeable to both parties. Article 6.03 supports this further by establishing that the Contractor cannot submit claims if planned quantities differ from actual because "quantities are approximate..." and "... actual work may differ some what from the estimates". It has been our goal throughout this project to ensure that the work was installed to meet or exceed Pearland standards and to prevent the City from incurring additional cost other than the work as described in Articles 5.03 and 7.03. These articles maintain that the owner is responsible for paying the contractor's expenses if they are delayed while working on the project and if Methods A and B are chosen to perform Extra Work, the Change Order must be complete before the Work can be commenced. Given the number of crews and subcontractors working on this project, any claims for down time would have been extremely excessive. We are not suggesting that this was the only approach that could have been taken on this project. It is our understanding and interpretation of the Contract that it entailed the least amount of financial risk for the City of Pearland. Considering the magnitude of the scope adjustments that were introduced during construction, it is very significant that based on the working relationship of the project team, the Contractor opted not to be compensated beyond the established Unit Item cost or submit a claim against the City. The existing Unit Items cost and quantity were carefully documented and tracked as the work was performed. During the time period that these existing quantities exceeded the planned quantity, the project team including the contractor agreed that project cost would not exceed the original appropriated Contract Amount of $4,093,021.00. The proposed Change Order No.2 amount is $271,102.65 and is described and detailed below. Prepared by ESP A CORP 2 Change Order No.2 SCOPE AND JUSTIFICATION ITEMS UTILIZED BEYOND THE PLANNED QUANTITY 1. DEWATERING/WET SAND CONSTRUCTION $138.030.50 Scope: Increase the quantity of existing Unit Item No. 84 (dewatering! wet sand construction) to install the proposed storm sewer along Fite Road and along Chester Drive, and to perform Corrigan Ditch improvements. Justification: Unit Item No. 84 was created by Change Order No.1 to address a small length (400 linear feet (L.F.) of storm sewer installation on Fite Road where flowing wet sands were anticipated. However, due to the required cut depth, groundwater and flowing wet sands were encountered and additional dewatering was necessary for the entire length (1790 L.F. during the month of May) of sewer installation on Fite Road, for the majority of the length (1,061 L.F. during the months of May and June) on Chester Drive, and for the entire length (2,228 L.F. during the months of May, June, July, and August) of the Corrigan Ditch improvements. Therefore, the Change Order No. 1 quantity of 400 L.F. was insufficient to install the proposed work and an additional 4,679 L.F. ofthe Unit Item was necessary to complete the work expeditiously. Reference: Exhibit 4 - RFI Nos. 1, 13 & 16; Daily Reports Nos. 41, 79, Ill, & 142; Dewatering System Pictures. 2. SAW CUT FOR PAVEMENT REPLACEMENT $17.601.00 Scope: Increase the quantity of existing Unit Item No. 64 to increase the unit quantity of saw cutting to install the proposed storm sewers and replace the on-site pavement Justification: The original quantity of 3,500 L.F. was derived from removing the concrete pavement from the street centerline to back of the curb, which would require only one cut in the center of the street. Before the contractor mobilized, the City revised the drawings which changed the alignment of the storm sewer centering it in one lane and reduced the amount of concrete pavement, 6-inch curb, and driveways to be removed and replaced. Change Order No.1 was executed on May 19, 2006 which increased the quantity to 11,200 L.F. because of the new alignment the street would need to be saw cut on both sides of the storm sewer trench instead of one cut to remove the whole lane. However, this quantity was not sufficient to complete the work. Also additional saw cutting was necessary due to the removal and installation of inlets and the deteriorated condition of existing pavement to be tied into with new pavement. The total increase in the saw cutting is 5,867 L.F. @ $ 3.00/ L.F. for an amount of$17,601.00. Reference: Exhibit 5 - Change Order No.1, Daily Report Nos. 16, 17,49,80 & 110 Prepared by ESP A CORP 3 Change Order No.2 3. CORRIGAN DITCH IMPROVEMENTS $39.998.65 Scope: Increase the quantity of existing Unit Item Nos. 4, 5 and 7 to extend Corrigan Ditch excavations beyond the northern planned limit for an additional 2,862 cubic yards (C.Y.) of material removal and 535 C.Y. of material placed in the ditch invert. The additional improvements shall extend from Sta. 23+50 to Sta. 32+00. Justification: The Original Contract provided improvements to the ditch approximately 300 L.F. north ofNeches River Drive. As a result of outfall "B" elevation corrections, necessary corrections to existing erosion and pooling areas caused by improper wash out protection from the existing outfall, and proper flow line re-establishment, the re- grading of the Corrigan Ditch from Station 23+50 to the Corrigan Ditch dam near the by pass ditch, was necessary. In order to maintain the designated accelerated schedule, and avoid the next anticipated seasonal flood, the utilization of existing Unit Items was implemented. Reference: Exhibit 6 - Item No.7 of the Meeting Minutes for August 14,2006, Daily Reports Nos. 17,49,80, 111 & 142. 4. FLOOD PROTECTION WALL & EARTHEN BERM $39.796.50 Scope: Increase the quantity of existing Unit Item No. 70 and Unit Item No.6 to increase the flood protection elevation along the entire wall from 48.00' to 48.90'. Justification: The City of Pearland obtained revised hydraulic modeling data for the Corrigan Subdivision. As a result, and at the direction of city management, the Flood Protection elevation was increased from 48.00' to 48.90' to ensure that the neighborhood was protected from flooding. The increase in height resulted in an increase in the amount of reinforced concrete that was needed to obtain the revised height of 48.90'. The original cost for the lump sum item was $248,700.00. However, the change in the wall height increased the required amount of Unit Item to 14.84% above the planned lump sum amount. The increase in height also resulted in an increase in the amount of fill material that was needed to obtain the revised height of 48.90'. The increase in fill material is 527 cubic yards (C.Y.) @ $ 5.50/ c.Y. = $ 2,898.50. Reference: Exhibit 7 - Daily Reports Nos. 142 & 172; Email correspondence dated July 25,2006 and September 12, 2006. Prepared by ESP A CORP 4 Change Order No.2 NEW UNIT ITEMS TO BE ESTABLISHED 5. SANITARY SEWER CROSSING AT CORRIGAN DITCH $12.250.00 Scope: Establish new Unit Item to remove approximately 40 L.F. of Sanitary Sewer encased in concrete across Corrigan Ditch and replace with 8-inch Steel Pipe wi P401 Ceramic Epoxy Coating. Justification: The existing sanitary sewer line that crossed the Corrigan Ditch was encased on the top with 12 inches of concrete and created a dam in the Corrigan Ditch flow line. The concern was that when the excavation of the ditch was completed, the sanitary sewer line would be suspended above the flow line of the ditch. The weight of the concrete on top of the sewer line could cause the line to fail and discharge sewage into the ditch. Two proposals were submitted to repair the sewer line to prevent a failure. One was a siphon sewer line; the other was replacing the sewer line with an 8-inch steel line. The Public Works Department preferred the 8-inch steel line in lieu of an 8-inch siphon. Reference: Exihibit 8 - RFI No. 18, Item No.7 of the Progress Meeting Minutes for August 14, 2006, and Contractor's proposal letter dated August 19, 2006. 6. FRENCH DRAIN ALONG FLOOD PROTECTION WALL $23.426.00 Scope: Establish new Unit Item to install a French drain system along the Flood Protection Wall. Justification: The construction of the Flood Protection Wall was found to cause water to collect on the private residential property side of the wall between Corrigan Drive and the fire station. Several field meetings with residents along the north property line of the subdivision determined that an expedient solution was needed to prevent future flooding to these area residents caused by the new wall. A French Drain system was determined to be the best economical solution to the problem. Per reports from residents and project inspectors, no resident experienced flooding in the last two major rain events that caused area flooding in other Pearland subdivisions. Reference: Exihibit 9 - RFI No. 33 and Contractor's proposal letter dated October 18,2006. PERIOD OF PERFORMANCE The Period of Performance of the Contract is not increased as a result of this change order. Revise/adjust current bid items 8, 14, 16, 18, 19, 19~ 20, 21, ~ 23, 24, 25, 26, 29, 30, 31, 32~ 33,34, 35,36,37.38,40.41,49,50,52,60, 61A, 62, 62A, 63, and 64 to reflect revisions to stonn sewer design per UA recommendation. Reduce scope of work in reference to Bid item 81 as a result of storm sewer re-alignment/re-design. Add item 7lA, 82, 83, 84, 85, 86, 87, 8~ 89 for compensation fur masonry wall, Cleaning and TV of lines, Point repairs, wet trench, Extra C sand and landscape installation. FINDING OF FACT: Per City of Pearl and Ordinance, a masonry wall is required as separation between commercial construction and residential areas. Due to the commercial construction at Corrigan Street and FM 518, a masonry wall will replace the proposed wood fencing (as reflected in the contractor's bid) from Corrigan Ditch to approximately 30' east of Corrigan Street. (Bid Item No. 71) It is recommended that a unit item (item 7lA) be established (based on linear foot) to provide compensation to the contractor for the installation of the masomy wall. Based on the review of TV tapes of the existing stonn sewer lines in the Corrigan Subdivision by LJA (Engineering Consultant), recommendations have been supplied for stonn sewer lines that require Cured in Place Pipe repairs. There are approximately three point repair areas identified. Therefore the scope of work requiring CIPP has been drastically reduced. Using the current unit bid prices. the cost for lining (exclusive of point repairs) reduces from approximately $355,335.00 to approximately $13,2] 6.00. The stonn sewer design has been revised as a result of ' 'value engineering" which resulted in the change ofvarious pipe sizes at pertinent locations throughout the Corrigan Subdivision. The relative bid items are to be revised/adjusted as a result of renegotiation with the contractor as per Contract Specifications GenemJ Conditions section 6 and section 7. Pel" meeting with the contractor, all additional and revised scopes of work will be performed within the stipulated contract time allowed. Therefure, no additional days are recommended. The contractor has CODCUrred. MEMORANDUM OF NEGOTIATIONS: The contractor submitted a cost proposal which includes the contractor's estimate of the Jabor, equipment and materials involved to delete the installation of wood fencing from Corrigan Ditch to approximately 30' east of Corrigan Street and replace with J'DaSOIIl"Y walling, reduce scope of work in reference to Bid item 71 as a result of deletion of approximately 950 linear feet of wood fencing. No provision of any referenced standard specification, or manual shall be effective to change the duties and responsibilities ofthe Owner, Engineer, Contractor, or their consultants, employees, or representatives from those set forth in the Contract Documents, nor shall it be effective to assign to the Engineer or its consultants, employees, or representatives any duty or authority to supervise or direct the furnishing or performance of the Work or any duty or authority to undertake responsibilities contrary to provisions of the Contract Documents. 1.12 SPECIAL CONDITIONS. In the event special conditions are contained herein as part of the contract documents and said special conditions conflict with any of the general conditions contained in this Contract, then in such event the special conditions shall control. 2.0 RIGHTS AND RESPONSIBILITIES OF THE OWNER 2.01 ADEQUACY OF DESIGN. It is understood that the OWNER believes it has employed competent engineers and/or designers. It is, therefore, agreed that the OWNER shall be responsible for the adequacy of the design, sufficiency of the contract documents, the safety of the structure and the practicability of the operations of the completed project, provided that the CONTRACTOR has complied with the requirements of the said contract documents, all approved modifications thereof and additions and alterations thereto approved in writing by the OWNER. The burden of proof of such compliance shall be upon the CONTRACTOR to show that he has complied with the requirements of the contract documents and approved modifications thereof and all approved additions and alterations, thereto, as the same shall have been interpreted by the ENGINEER. 2.02 RIGHT OF ENTRY. The OWNER reserves the right to enter the property or location on which the work herein contracted for is to be constructed or installed, for itself or such agent or agents as it may select, for the purpose of inspecting the work, or for the purpose of constructing or installing such collateral work as the OWNER may desire. The OWNER shall have the right to make inspections at all reasonable times, and the CONTRACTOR shall have no cause to complain ifhis work shall be delayed by reason of such inspection, construction or installation of collateral work. 2.03 OWNERSHIP OF DRAWINGS. All drawings, specifications and copies thereof furnished by the OWNER shall not be reused on other work and, with the exception of the sets forming the part of the signed contract documents, are to be returned to the OWNER on request at the completion of the work. All drawings and models are the property of the OWNER. 2.04 CHANGES AND AL TERA TIONS. The CONTRACTOR further agrees that the Owner may make such changes and alterations as the OWNER may see fit, in the line, grade, form, dimensions, plans or materials for the work herein contemplated, or any part thereof, either before or after the beginning of constructiOll, without affecting the validity of this Contract and the accompanying Performance and Payment Bonds. If such changes or alterations diminish the quantity of the work to be done, they shall not constitute the basis for a claim for damages or anticipated profits on the work that may be dispensed with. If the amount of work is increased and the work can fairly be classified under the specifications, such increase 04/2002 00700-3 CITY OF PEARLAND GENERAL CONDITIONS shall be paid for according to the quantity actually done and at the unit price, if any, established for such work under this Contract, except as hereinafter provided for unit price items under Article 6 of this Contract; otherwise, such additional work shall be paid for as provided under Article 7 hereoffor Extra Work. In case the OWNER shall make such changes or alterations as shall make useless any work already done or material already fumished or used in said work, then the OWNER shall compensate the CONTRACTOR for any material or labor so used and for any actual loss occasioned by such change due to actual expenses incurred in preparation for the work as originally planned. 2.05 DAMAGES. In the event the CONTRACTOR is damaged in the course of the completion of the work by the act, negligence, omission, mistake or default of the OWNER, thereby causing loss to the CONTRACTOR, the OWNER agrees that he will reimburse the CONTRACTOR for such loss. In the event the OWNER is damaged in the course of the work by the act, negligence, omission, mistake or default ofthe CONTRACTOR, or should the CONTRACTOR unreasonably delay the progress of the work being done by others on the job so as to cause loss for which the OWNER becomes liable, then the CONTRACTOR shall reimburse the OWNER for such loss. 3.0 RIGHTS AND RESPONSIBILITIES OF THE ENGINEER 3.01 OWNER-ENGINEER RELATIONSHIP. The ENGINEER shall serve as the OWNER'S representative during construction. The duties, responsibilities and limitations on the authority of the ENGINEER as the OWNER's representative during construction are set forth in the contract documents; and the ENGINEER shall not have authority to extend the OWNER's liability or to bind the OWNER for any additional liability of any nature whatsoever without the written consent of the OWNER. The ENGINEER shall advise the OWNER as to the progress of the work, and any instructions by the OWNER to the CONTRACTOR shall be issued through the ENGINEER. It is the intent of this Agreement that there shall be no delay in the execution of the work; therefore, written decisions or directions rendered by the ENGINEER as the OWNER=s representative shall be promptly carried out, and any claim arising therefrom shall be adjusted as hereinafter provided. Unless otherwise specified, it is mutually agreed between the parties to this Agreement that the ENGINEER shall review all work included herein and shall have the authority to issue written stop work orders whenever such stoppage may be necessary to insure the proper execution of this Contract. 3.02 KEEPING OF PLANS AND SPECIFICATIONS ACCESSIBLE. The ENGINEER shall fumish the CONTRACTOR with an adequate and reasonable number of copies of all Plans and Specifications without expense to the CONTRACTOR, and the CONTRACTOR shall keep one copy of the same constantly accessible on the job site, with the latest revisions noted thereon. The CONTRACTOR shall be responsible for preserving the Plans and Specifications for reference and review by the OWNER or the ENGINEER. 3.03 PRELIMINARY APPROVAL. The ENGINEER shall not have the power to waive the obligations imposed under this Contract for the furnishing by the CONTRACTOR of good material, and for perfom1ing good work as herein described, and in full accordance with the Plans and Specifications, without alteration, deletion or change. No failure or omission of the ENGINEER to discover, object to or condemn any defective work or material shall release the CONTRACTOR from the obligation to fully 04/2002 00700-4 CITY OF PEARLAND GENERAL CONDITIONS 5.0 PROSECUTION AND PROGRESS 5.01 TIME AND ORDER OF COMPLETION. It is the meaning and intent of this Contract, unless otherwise herein specifically provided, that the CONTRACTOR shall be allowed to prosecute his work at such times and seasons, in such order of precedence, and in such manner as shall be most conducive to economy of construction; provided, however, that the order and the time of prosecution shall be such that the work shall be substantially completed as a whole and in part, in accordance with this Contract, the Plans and Specifications, and within the time of completion designated in the Proposal; provided, also, that when the OWNER is having other work done, either by contract or by his own force, the ENGINEER may direct the time and manner of constructing the work done under this Contract, so that conflict will be avoided and the construction of the various works being done for tbe OWNER shall be harmonized. The CONTRACTOR shall submit, at such times as may reasonably be requested by the ENGINEER, schedules which shall show the order in which the CONTRACTOR proposes to carry on the work, with dates on which the CONTRACTOR will start the several parts of the work, and estimated dates of completion of the several parts. 5.02 EXTENSION OF TIME. The CONTRACTOR agrees that he has submitted his Proposal in full recognition of the time required for the completion of this project, taking into consideration the average climatic range and industrial conditions prevailing in this locality, and has considered the liquidated damage provisions as hereinafter set forth and that he shall not be entitled to, nor will he request, an extension of time on this Contract, except when completion of the work has been delayed by any act or neglect of the OWNER, the ENGINEER, or any employee of either, by other contractors employed by the OWNER, by changes ordered in the work, by strikes, lockouts, fires and unusual delays by common carriers, by unavoidable cause or causes beyond the CONTRACTOR'S control, or by any cause which the ENGINEER shall decide justifies the delay. The CONTRACTOR shall give the ENGINEER prompt notice, in writing, of the cause of such delay; and within ten (10) days after receipt of a written request for an extension of time shall from the CONTRACTOR, supported by all requested documentation, the ENGINEER shall submit such written request, together with his written recommendation, to tbe OWNER for consideration, and the OWNER shall grant an extension oftime for completing the work, sufficient to compensate for the delay. 5.03 HINDRANCES AND DELAYS. In executing the Contract Agreement, the CONTRACTOR agrees that in undertaking to complete the work within the time herein fixed, he has taken into consideration and made allowances for all hindrances and delays incident to such work, whether growing out of delays in securing material or worJanen or otherwise. No claim shall be made by the CONTRACTOR for damages resulting fromhilldrances or delays from any cause during the progress of any portion of the work embraced in tbis Contract, except where the work is stopped by order of the OWNER, or the ENGINEER as the OWNER:;s representative for the OWNER:;s convenience, in which event such expense as in the judgement of the ENGINEER is caused by such stoppage of said work shall be paid by the OWNER to the CONTRACTOR. 5.04 LIQUIDA TED DAMAGES FOR DELAY. It is understood and agreed that time is of the 04/2002 00700-18 CITY OF PEARLAND GENERAL CONDITIONS essence, and that the CONTRACTOR will commence said work on the date specified and will complete said work within the time specified in the Proposal. It is expressly understood and agreed, by and between the CONTRACTOR and the OWNER, that the time for the completion ofthe work described herein is reasonable time for the completion of the same, taking into consideration the average climatic range and conditions and usual industrial conditions prevailing in this locality. The CONTRACTOR further agrees that a breach ofthis Contract as to completion on time will cause damage to the OWNER and that such damages cannot be accurately measured or that ascertainment will be difficult. Therefore, the parties agree that for each and every calendar day the work or any portion thereof shall remain uncompleted after the expiration of the time limit set in the Contract or as extended by the OWNER, the CONTRACTOR shall pay, as minimum liquidated damages, and not as a penalty, the amount set out in the Proposal. However, the foregoing agreement as to liquidated damages constitutes only an agreement by the OWNER and the CONTRACTOR as to the minimum amount of damages which the OWNER will sustain in any event by reason of the CONTRACTOR'S failure to complete the work within the specified time. Should the OWNER suffer damage over and above the minimum amount specified, by reason of the CONTRACTOR'S failure to begin the work when ordered, carry it forward uninterruptedly after beginning, or complete it within the specified time in strict accordance with the Plans and Specifications, the OWNER may recover such additional amount. The OWNER shall have the right to deduct and withhold the amount of any and all such damages whether it be the minimum amount stipulated above or otherwise, from any monies owing by it to said CONTRACTOR or the OWNER may recover such amount from the CONTRACTOR and the sureties of his bond; all of such remedies shall be cumulative and the OWNER shall not be required to elect any one nor be deemed to have made an election by proceeding to enforce anyone remedy. 6.0 MEASUREMENT AND PAYMENT 6.0 I DISCREPANCIES AND OMISSIONS. It is agreed that it is the intent of this Contract that all work described in the Proposal, the Plans and Specifications and other contract documents, is to be done for the prices quoted by the CONTRACTOR and that such price shall include all appurtenances necessary to complete the work in accordance with the intent of these contract documents as interpreted by the ENGINEER. If the CONTRACTOR finds any discrepancies or omissions in these Plans, Specifications or contract documents, he should notify the ENGINEER and obtain a clarification before the bids are received, and ifno such request is received by the ENGINEER prior to the opening of bids, then it shall be considered that the CONTRACTOR fully understands the work to be included and has provided sufficient sums in his Proposal to complete the work in accordance with these Plans and Specifications. It is further understood that any request for clarification must be submitted no later than five (5) days prior to the opening of bids. 6.02 QUANTITIES AND MEASUREMENTS. No extra or customary measurements of any kind will be allowed, but the actual measured and/or computed length, area, solid contents, number and weight only shall be considered, unless otherwise specifically provided. 6.03 ESTIMATED QUANTITIES. This Agreement, including the Specifications, Plans and 04/2002 00700-19 CITY OF PEARLAND GENERAL CONDITIONS estimate, is intended to show clearly all work to be done and material to be furnished hereunder. Where the.estimated quantities are shown for the various classes ofwark to be done and material to be furnished under this Contract, they are approximate and are to be used only as a basis for estimating the probable cost of tbe work and for comparing the proposals offered for the work. It is understood and agreed that the actual amount of work to be done and the materials to be furnished under this Contract may differ somewhat from the estimates and that the items listed or estimated quantities stated shall not give rise to a claim by the CONTRACTOR against the OWNER for compensation, lmless the work shall have actually been authorized, and performed and material supplied. Where payment is based on the unit price method, the CONTRACTOR agrees that he will make no claim for damages, anticipated profits or otherwise, on account of any differences which may be found between the quantities of work actually done and the material actually furnished under this Contract and the estimated quantities contemplated and contained in the Proposal. 6.04 PRICE OF WORK. In consideration of the furnishing of all the necessary labor, equipment and material and the completion of all work by the CONTRACTOR, and upon the completion of all work and the delivery of all materials embraced in this Contract in full conforn1ity with the specifications and stipulations herein contained, the OWNER agrees to pay to the CONTRACTOR the prices set forth in the Proposal attached hereto, which is made a part of this Contract, for the material actually used and services actually perforD1ed; however, the OWNER does not assume any obligation to pay for any services or material not actually authorized and used. The CONTRACTOR hereby agrees to receive such prices as payment in full for furnishing all materials and all labor required for the aforesaid work, and for all expenses incurred by him, and for full perforn1ance ofthe work and the whole thereof in the manner and according to this Agreement, the attached Plans and Specifications and contract documents, and the requirements oftlIe ENGINEER. 6.05 PAYMENTS. No payments made or certificates given shall be considered as conclusive evidence of the perforD1ance of the Contract, either in whole or in part, nor shall any certificate or payment be considered as acceptance of defective work. CONTRACTOR shall, at any time requested during the progress of the work, furnish the OWNER or the ENGINEER with a verifying certificate showing the CONTRACTOR=s total outstanding indebtedness in connection with the work. Before final payment is made, the CONTRACTOR shall satisfy the OWNER, by affidavit or otherwise, that there are no outstanding liens against OWNER =s premises by reason of any work under the Contract. Acceptance by CONTRACTOR of final payment of the contract price shall constitute a waiver of claims against OWNER which have not theretofore been timely filed as provided in this Contract. 6.06 PARTIAL PAYMENTS. On or before the tenth day of each month, the CONTRACTOR shall prepare and submit to the ENGINEER, for approval or modification, an application for partial payment, being a statement showing as completely as practicable, the total value ofthe work done by the CONTRACTOR up to and including the twenty-fifth day of the preceding month; said statement shall also include the value of all sound materials to be fabricated into the work and stored in accordance with manufacturer's recommendation at the Contractor's fully secured and insured designated area. No payment will be made for materials stored until Owner has accepted the Contractor's designated area and proof of insurance for materials stored has been provided. The ENGINEER shall then review such 04/2002 00700-20 CiTY OF PEARLAND GENERAL CONDITIONS CONTRACTOR has met all other conditions stipulated herein or in the contract documents entitling the CONTRACTOR to payment, then the OWNER shall pay to the CONTRACTOR, in addition to the sum shown as due by such statement, interest thereon at the rate of six percent (6%) per annum from date due, as provided under A6.06 PARTIAL PA YMENTS@ and A6.09 FINAL PA YMENT@, until fully paid, which shall fully liquidate any injury to the CONTRACTOR growing out of such delay in payment; but the right is expressly reserved to the CONTRACTOR, in the event payments be not promptly made as provided under A6.06 PARTIAL P A YMENTS@, to at any time thereafter treat the Contract as abandoned by the OWNER and to recover compensation as provided under A8. ABANDONMENT OF CONTRACT@, unless such payments are withheld in accordance with the provisions of A6.12 PAYMENTS WJTHHELD@. 7.0 EXTRA WORK AND CLAIMS 7.01 CHANGE ORDERS. Without invalidating this Agreement, the OWNER may, at any time or from time to time, order additions, deletions or revisions to the work; such changes will be authorized by Change Order to be prepared by the ENGINEER for execution by the OWNER and the CONTRACTOR. The Change Order shall set forth the basis for any change in contract price, as hereinafter set forth for Extra Work, and any change in contract time which may result from the change. In the event the CONTRACTOR shall refuse to approve a Change Order which has been prepared by the ENGINEER, the ENGINEER may instruct the CONTRACTOR, in writing, to proceed with the work as set forth in the Change Order, and the CONTRACTOR may make a claim against the OWNER for Extra Work involved therein. However, the CONTRACTOR shall only be entitled to payment upon the execution of the final certification and release in a form as provided for herein, and CONTRACTOR shall approve such certification before the OWNER shall be obligated to make payment. 7.02 MINOR CHANGES. The ENGINEER may authorize minor changes in the work not inconsistent with the overall intent of the contract documents and not involving an increase in contract price. If the CONTRACTOR believes that any minor changes or alteration authorized by the ENGINEER involves Extra Work or entitles him to an increase in the contract price, the CONTRACTOR shall make written request to the ENGINEER for a written Field Order. In such case, the CONTRACTOR, by copy of his communication to the ENGINEER or otherwise in writing, shall advise the OWNER of his request to the ENGINEER for a written Field Order and that the work involved may result in an increase in the contract price. Any request by the CONTRACTOR for a change in contract price shall be made prior to beginning the work covered by the proposed change. 7.03 EXTRA WORK. It is agreed that the CONTRACTOR shall perform all Extra Work under the direction of the ENGINEER when presented with a written work order signed by the ENGINEER, subject, however, to the right of the CONTRACTOR to require written confirmation of such Extra Work order by the OWNER. It is agreed that the basis of compensation to the CONTRACTOR for work either added or deleted by a Change Order, or for which a claim for Extra Work is made, shall be determined by one or more of the following methods: 04/2002 00700-24 CITY OF PEARLAND GENERAL CONDITIONS Method (A) -- By agreed unit prices; or Method (B) -- By agreed lump sum; or Method (C) -- If neither Method (A) nor Method (B) be agreed upon before the Extra Work is commenced, then the CONTRACTOR shall be paid the "actual field cost" ofthe work, plus fifteen percent (15%). In the event said Extra Work is performed and paid for under Method (C), then the provisions of this paragraph shall apply and the "actual field cost" is hereby defined to include the cost to the CONTRACTOR of all workers, such as foremen, timekeepers, mechanics and laborers, and materials, supplies, tnIcks, rentals of machinery and equipment, for the time actually employed or used on such Extra Work, plus actual transportation charges necessarily incurred together with all power, fuel, lubricants, water and similar operating expenses, plus all necessary incidental expenses incurred directly on account of such Extra Work, including Social Security, Old Age Benefits and other payroll taxes, and a rateable proportion of premiums on Performance and Payment Bonds and Maintenance Bonds, Public Liability and Property Damage and Worker's Compensation, and all other insurance as may be required by law or ordinance, or directed by the OWNER, or by them agreed to. The ENGINEER may direct the fonu in which accounts of the "actual field cost" shall be kept and the records of these accounts shall be made available to the ENGINEER. The ENGINEER or OWNER may also specify in writing, before the work commences, the method of doing the work and the type and kind of machinery and equipment to be used; otherwise these matters shall be determined by the CONTRACTOR. Unless otherwise agreed upon, the prices for the use of machinery and equipment shall be determined by using one hundred percent (100%), unless otherwise specified, of the latest schedule of Equipment Ownership Expense adopted by the Associated General Contractors of America where practicable, and the terms and prices for the use of machinery and equipment shaH be incorporated in the written Extra Work Order. The fifteen percent (15%) of the "actual field cost" to be paid to the CONTRACTOR, shall cover and compensate him for his profit, overhead, general superintendence and field office expense, and all other elements of cost and expense not embraced within the "actual field cost" as herein defined, save that where the CONTRACTOR's camp or field office must be maintained primarily on account of such Extra Work, then the cost to maintain and operate the same shall be included in the "actual field cost." No claim for Extra Work of any kind will be allowed unless ordered in writing by the ENGINEER. In case any orders or instructions, either oral or written, appear to the CONTRACTOR to involve Extra Work for which he should receive compensation or an adjustment in tlle constnIction time, he shall make written request to the ENGINEER for written order authorizing such Extra Work. Should a difference of opinion arise as to what does or does not constitute Extra Work, or as to the payment therefor, and the ENGINEER insists upon its perfomlance, the CONTRACTOR shall proceed with the work after making written request for written order and shall keep an accurate account of the Aactual field cost@ thereof, as provided under Method (C). RFI No. 1 addressed the necessity of installing a dewatering system. Although a written response has not been received, verbal discussion of this topic occurred during our first progress meeting. Reddico was verbally told that dewatering was incidental to the unit cost of the work requiring a dewatering system. Further review of the Contract Documents does in fact state where the use of a dewatering system is to be used and how payment is made for a dewatering system. Please refer to Section 01564 - Control of Groundwater and Surface Water. · METHOD OF PAYMENT - Unless otherwise specified in the Contract Documents, no separate payment will be made for control of ground lvater and sUlface water. Include the cost to control ground water and swface water in price for work requiring such controls. Reddico proceeded with the installation of the 60-inch RCP storm sewer as directed to furnish and install a dewatering system that would control the ground water so that installation of the 6O-inch stonn sewer could proceed. · SECTION 01564 3.1 - EXECUTION - GROUND WATER CONTROL and 3.2 - REQUIREMENTS FOR EDUCTOR, WELL POINTS, OR DEEP WELLS. Reddico, at the direction of the Engineer, has provided a dewatering system using one of the acceptable methods given in Section 01564.3.2. The method that Reddico is employing to control the groundwater is by using WELL POINTS. The system is successfully controlling the groundwater, and the installation of the 60-inch Storm Sewer pipe has been approved to date absent of noncompliance notices. Please refer to Section 01100 - Summary of Work in the Contract Documents. The ENGINEER knew or should have known that dewatering would be required in a quantity greater than the quantity allowed for in Bid Item No.9 since the technical data was prepared for the ENGINEER and the ENGINEER utilized the data in composing the Contract Documents. Revise/adjust cUttent bid items 8, 14, 16, 18, 19, 19A, 20,21,22,23,24,25,26,29, 30,31,32, 33,34,35,36,37,38,40,41,49,50,52,60, 61A, 62, 62A, 63, and 64 to reflect revisions to storm sewer design per UA recommendation. Reduce scope of work in reference to Bid item 81 as a result of storm sewer re-aIignmentlre-design. Add item 71A, 82, 83, 84, 85, 86, 87, 8~ 89 for compensation for masonry wall, Cleaning and TV ofIines, Point repairs, wet trench, Extra C sand and landscape installation. FINDING OF FACT: Per City of Pearl and Ordinance, a masonry wall is required as separation between commercial construction and residential areas. Due to the commercial construction at Corrigan Street and FM 518, a masonry wall will replace the proposed wood fencing (as reflected in the contractor's bid) from Corrigan Ditch to approximately 30' east of Corrigan Street. (Bid Item No. 71) It is recommended tlmt a unit item (item 71A) be established (based on linear foot) to provide compensation to the contractor for the installation of the masonry wall. Based on the review of ]V tapes of the existing stonn sewer lines in the Corrigan Subdivision by LJA (Engineering Consuhant), recommendations have been supplied fur storm sewer lines that require Cured in Place Pipe repairs. There are approximately three point repair areas identified. Therefore the scope of work requiring CIPP has been drastically reduced. Using the current unit bid prices, the cost for lining (exclusive of point repairs) reduces from approximately $355,335.00 to approximately $13,216.00. The stenn sewer design has been revised as a result of "value engineering" which resulted in the change of various pipe sizes at pertinent locations throughout the Corrigan Subdivision. The relative bid items are to be revised/adjusted as a result of renegotiation with the contractor as per Contract Specifications General Conditions section 6 and section 7. Per meeting with the contractor. all additional and revised scopes of work will be performed within the stipulated contract time allowed. Therefore, no additional days are recommended. The contractor has concl1I1'ed. Review status of work: · All storm sewers installed throughout interior of project. · Outfalls complete south of the existing sanitary sewer crossing. · All pipe in place and 100% of concrete complete on Livingston. · Flap gates installed and 100% of pipe in place on McLean. b. Review upcoming activities: · Install foundation wall. · Install paving at Corrigan, and at Apple Springs. · Install the sidewalk along McLean. 2. Report by Inspector on field observations, problems and decisions: · None reported. 3. Report by Contractor of problems which impede planned progress: · None reported. 4. Laboratory Test: · The testing lab invoice has been reviewed by the City and the contract has been extended. · Retests completed at station 21+00 on the Corrigan Ditch. 5. Review of submittal schedule and status of submittal: · Submittal No. 21 should be resubmitted. AI has color samples. 6. Review of RFP and RFI status: · Responses to RFI Nos. 19,22, and 24 through 32 are pending. 7. Review of Change Order status: · A change order is pending for work related to extending Corrigan Ditch improvements north from the project's current northern limit including the existing sanitary crossing replacement with steel pipe. 8. Review of Job Safety: · No on-the-job injuries or other safety related incidents regarding employees were reported. 9. Review of Citizen Complaints: · No complaints. · A community party is scheduled for 11 :00 a.m. to 2:00 p.m. at Centennial Park on September 2nd. 10. I need some help with "what to do" around the water plant site and fire department station. We should be in this area of work the middle of next week. Steve 11/2/2006 fence be extended on both sides of Corrigan Drive to compliment the appearance of the entrance with a masonry fence on both sides of Corrigan Drive. The first request by the residence committee only addressed the length of the existing brick wall of 12 If. However, the length of the masonry fence was extended along the length of the property line of the resident located on the first lot on the east side of Corrigan Drive. This was approved so that the resident would not have a fence of both masonry and wood along their property. The length of the masonry fence increased overall by 80 If. The Cost Increase to the Masonry Fence Item 71A is 92 If @ 95.00 / If is $8,740.00 A RFI was issued to address these two items. 5. CONSTRUCTION OF A FRENCH DRAIN The construction of the Flood Protection Wall was found to cause water to collect on the property side of the wall. Several field meetings with residents along the north property line of the subdivision determined that some solution was needed to prevent a possible future flooding clause to these area residents. A French Drain system was determined to be the best economic solution to the problem. A RFI was issued to address this issue. A cost estimate was submitted for the construction of a French Drain system. The Cost for the French Drain System is $ 23,435.00. 6. INCREASE IN EARTHEN BERM and 6' SIDEWALK The Flood Protection elevation was increased from 48.00' to 48.90'.
