R2024-105 A Resolution of the City Council of the City of Pearland, Texas, authorizing an expenditure of the Pearland Economic Development Corporation, in the amount of $333,330.00, with TBG Partners for landscape architecture services associated with the Broadway Corridor Enhancements Phase II design. Revised 2/10 CONTRACT FOR PROFESSIONAL SERVICES THIS CONTRACT is entered into upon final execution by and between the Pearland Economic Development Corporation ("PEDC") and The Broussard Group, Inc. dba TBG Partners ("CONSULTANT"). The PEDC engages the CONSULTANT to perform professional services for a project known and described as FM 518 / Broadway Corridor Enhancements Phase 2 Design. SECTION I - SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to PEDC standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSULTANT shall perform work to complete final design for Phase 1 of the FM 518 / Broadway Street corridor enhancements, from SH288 to Old Chocolate Bayou. See Exhibit A, attached, for a detailed SCOPE OF WORK and PROJECT schedule. The PROJECT schedule shall be submitted in digital and hard copy form in the Microsoft Project for Windows format. B. The CONSULTANT acknowledges that the PEDC (through its City of Pearland employee handbook) considers the following to be misconduct that is grounds for termination of a PEDC or City employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants, and/or collecting reimbursement of expenses made for the benefit of the PEDC. The CONSULTANT agrees that it will not, directly or indirectly; encourage a PEDC employee to engage in such misconduct. C. The CONSULTANT shall submit all project documents in both hard copy and electronic format. Plans shall be AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current PEDC standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. All Record Drawings electronic files shall be submitted to the PEDC in TIF format. D. The CONSULTANT recognizes that all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT shall be delivered to the PEDC upon request, shall become subject to the Open Records Laws of this State. E. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors Design 2 of 5 D1. Revised 2/10 and omissions relating to the performance of any work by the CONSULTANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers’ Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. The CONSULTANT shall include the PEDC as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers’ Compensation. Certificates of Insurance and endorsements shall be furnished to the PEDC before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and/or reduced in coverage or in limits (“Change in Coverage”) except with prior written consent of the PEDC and only after the PEDC has been provided with written notice of such Change in Coverage, such notice to be sent to the PEDC either by hand delivery to the PEDC President or by certified mail, return receipt requested, and received by the PEDC no fewer than thirty (30) days prior to the effective date of such Change in Coverage. Prior to commencing services under this CONTRACT, CONSULTANT shall furnish PEDC with Certificates of Insurance, or formal endorsements as required by this CONTRACT, issued by CONSULTANT’S insurer(s), as evidence that policies providing the required coverage, conditions, and limits required by this CONTRACT are in full force and effect. F. The CONSULTANT shall indemnify and hold the PEDC, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT, his officers, employees, agents, or subcontractors under this CONTRACT. H. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the PEDC. Design 3 of 5 D1. Revised 2/10 SECTION II - PERIOD OF SERVICE This CONTRACT will be binding upon execution and end upon successful completion of approved deliverables as outlined on the attached SCOPE OF WORK and PROJECT schedule. SECTION III - CONSULTANT'S COMPENSATION A. The method of payment for this CONTRACT is monthly based on the portion of the total estimated fee. Total compensation for the services performed shall not exceed the sum of $333,330 including reimbursable expenses at cost plus 10%. B. The PEDC shall pay the CONSULTANT in installments based upon monthly progress reports and detailed invoices submitted by the CONSULTANT. C. The PEDC shall make payments to the CONSULTANT within thirty (30) days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. SECTION IV - THE PEDC'S RESPONSIBILITIES A. The PEDC shall designate a project manager during the term of this CONTRACT who may be a staff member of the City of Pearland. The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the PEDC on any aspect of the work shall be directed to the project manager. B. The PEDC shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The PEDC will keep the CONSULTANT advised concerning the progress of the PEDC'S review of the work. The CONSULTANT agrees that the PEDC'S inspection, review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub- consultant(s) or in any way affect the CONSULTANT’S status as an independent contractor of the PEDC. SECTION V - TERMINATION A. The PEDC, at its sole discretion, may terminate this CONTRACT for any reason - - with or without cause -- by delivering written notice to CONSULTANT personally or by certified mail at 1333 West Loop South, Suite 1450 Houston, Design 4 of 5 D1. Revised 2/10 Texas 77027. Immediately after receiving such written notice, the CONSULTANT shall discontinue providing the services under this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the PEDC all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the PEDC on or before the 15th day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination. The PEDC shall make final payment within sixty (60) days after the CONSULTANT has delivered to the PEDC a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum, the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the Scope of Work. E. In the event this CONTRACT is terminated, the PEDC shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. F. If the PEDC terminates this CONTRACT for cause and/or if the CONSULTANT breaches any provision of this CONTRACT, then the PEDC shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney’s fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and PEDC desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this, the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. SECTION VI – ENTIRE AGREEMENT This CONTRACT represents the entire agreement between the PEDC and the CONSULTANT and supersedes all prior negotiations, representations, or contracts, either written or oral. This CONTRACT may be amended only by written instrument signed by both parties. Design 5 of 5 D1. Revised 2/10 SECTION VII – COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CONTRACT. For breach or violation of this clause, the PEDC may terminate this CONTRACT without liability, and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent fee that has been paid. SECTION VIII- SUCCESSORS AND ASSIGNS This CONTRACT shall not be assignable except upon the written consent of the parties hereto. Blake Coleman PLA Principal Sincerely, 2 Pearland Broadway Corridor Phase 2 Proposal 05/16/24 The Project This project consists of hardscape, planting, and irrigation improvements along the Broadway St. (FM 518) corridor in Pearland, Texas associated with TXDOT’s proposed phase 2 project limits from Old Chocolate Rd to McLean Rd. The primary objective is to prepare a construction documentation package which identifies opportunities to improve the base scope currently under design by TXDOT. Our approach includes a particular level of design service required to realize the unique opportunities presented by the Project and the associated site. TBG will prepare and develop the site concept design to potentially include the following: 01_ Phase 2A package: Hardscape enhancements within the Broadway St./FM 518 Phase 2 limit Right-of-way and median to be included in TxDOT package. 02_ Phase 2B package: Softscape and irrigation enhancements within the Broadway St./FM 518 Phase 2 limit Right-of-way and median to be included in PEDC back of curb (BOC) package. Reference Exhibit ‘A’ below for our understanding of the current program and which serves as the basis for this Proposal. In the event that the Project scope changes significantly from Exhibit ‘A’, TBG reserves the right to revise the Scope of Services and associated fee allocations to align with the scope modifications. 3 Pearland Broadway Corridor Phase 2 Proposal 05/16/24 Exhibit ‘A’ Phase 2 (Old Chocolate Rd. to McLean Rd.) Plan(s) shown above represents our best understanding of the scope and extent of the Project at the time of preparing this Proposal. Substantive changes may require consideration of Additional Services. 4 Pearland Broadway Corridor Phase 2 Proposal 05/16/24 Scope of Services TBG will provide this Scope of Services based on the Proposal Assumptions that follow. Additional Services may be available, per the terms described later in the Agreement. TBG’s design process divides the Scope of Services into three distinct phases: Discovery, Development, and Delivery. By adhering to these three phases in our design process, projects move seamlessly from an idea to implementation. Discovery To research, analyze and understand the site context as well as programmatic opportunities and constraints. Critical tasks within Discovery include: — Task One: Site Inventory and Analysis Development To develop the Project vision and craft its form and function, from design through documentation, including these ongoing tasks: — Task Two: Schematic Design — Task Three: Design Development — Task Four: Construction Documentation Delivery To consult in the implementation of the Project’s vision through the construction phase, ensuring compliance with the intent of the overall design and its accompanying story. Tasks include: — Task Five: Bidding and Negotiation Assistance (to be provided under separate proposal) — Task Six: Pre-Construction (to be provided under separate proposal) — Task Seven: Construction Observation (to be provided under separate proposal) 5 Pearland Broadway Corridor Phase 2 Proposal 05/16/24 Discovery Task One Site Inventory and Analysis Description of Services TBG will work with the Project team to study and evaluate the existing conditions of the site and to organize opportunities and constraints that will impact potential design solutions. Efforts within this task may include: — Site visit — Topographic survey analysis (surveys by others) — Review of 30% Plan Set developed by TXDOT — Context analysis — Site analysis — Previous Studies / Data Collection Review Deliverables — Inventory and analysis drawings and diagrams — Site visit report/summary — We have assumed one (1) kick-off meeting with the client in Pearland during this task as well as bi-weekly conference calls. Development Task Two Schematic Design Description of Services TBG will develop a schematic design package for the Project, accommodating the program based on the Client’s objectives, as determined above. Schematic design will serve to organize the site with program elements, optimize spatial and performance objectives and begin to establish an overall design framework and approach. Deliverables — Overall color-rendered schematic plan showing refinement of all upgraded intersections and tree and planting bed layout and up to one (1) revision based on Conceptual plan Client and Design Team comments — Illustrative sections/elevations to convey design intent at atypical locations as needed — We have assumed up to one (1) kick-off meeting with the client and design team during this task. 6 Pearland Broadway Corridor Phase 2 Proposal 05/16/24 Task Three Design Development Description of Services TBG will work with the Client and consultant team to further develop design for the project based on Client and Design Team review and comment to the schematic design package and associated budgets. This task will serve to finalize the site plan and selection of materials for the Project. These documents will be suitable for review and for competitive bidding purposes. Package will include hardscape and architectural materials needed for coordination with TxDOT design team and will not include planting bed layout or design. Phase 2B Deliverables — Planting plan and Plant schedule — Typical Planting details — Irrigation plan and details — Fixed furnishings schedule, plan and details — Updated Opinion of Probable Construction Costs — Technical specifications to describe the quality of craftsmanship and materials for the Project. — TBG will submit a progress review set of the construction document package for the Client’s review and comment prior to final submission of the Issue for Bid and/or Issue for Construction Sets. — We have assumed up to two (2) meetings with the client in Pearland during this task as well as bi-weekly conference calls. 8 Pearland Broadway Corridor Phase 2 Proposal 05/16/24 Proposal Assumptions — TBG’s Proposal assumes and is contingent upon the following: — Client shall provide the following information or services as required for performance of the work. TBG assumes no responsibility for the accuracy of such information or services and will not be liable for errors or omissions therein or the effect of same on TBG’s work. Should TBG be required to obtain or compile this information, such services will be charged as Additional Services. — Legal descriptions of property — Traffic Impact Analysis — Topography and boundary surveys — Existing engineering and utility base information — ACAD preparation of approved concept. Fees will be proposed upon Client’s request. — TBG understands that the Project will be delivered as two (2) construction document packages. Client understands and agrees that division of documents into multiple phases or releases will result in compensation for additional services. — TBG understands that this project will be developed and delivered within an AutoCAD format and platform. Additional formats, such as Revit, can be provided for additional services. If Revit is the required format, the client must notify TBG prior to the Project entering the Design Development phase of services. — This proposal includes irrigation design based on water supply from a domestic city source. — TBG will coordinate with Client’s other consultants in the design team, to the extent their scope of work relates to the landscape architectural design elements within the Project. No fees for these consultants have been included in Scope of Services. As schematic design and design development progress, we will make recommendations for additional sub-consultants, as needed, at an additional fee. — The following engineering tasks are not included in our Scope of Services: _ Structural engineering _ MEP engineering _ Environmental engineering and assessment _ Traffic engineering _ Civil engineering _ Geotechnical — Rough grading and storm drainage systems will be designed and documented by Design team civil engineer, including utility rough ins, and site area drainage maps. TBG will coordinate with this consultant for its design requirements. — Client will provide surveys, record drawings, and geotechnical and other investigations that TBG may request to execute the work properly. — Client will review and provide comments on drawings and outline criteria provided by TBG. 9 Pearland Broadway Corridor Phase 2 Proposal 05/16/24 — Project civil engineer will lead and manage the permit submittal process and may include documentation or designs by TBG for site development and landscape requirements. — Client or its separate consultant will provide accessibility permitting, submission, responses or work scope management. If required, TBG will respond to comments generated by the initial submittal to the Registered Accessibility Consultant (RAS). — TBG will not perform work associated with major redesign value engineering tasks due to non-comprehensive or “plug” number CM @ Risk pricing resulting in budget overruns. — TBG will not provide as-built documentation. — TBG will not participate in zoning efforts. — TBG shall not be required to sign any documents that would result in its having to certify, guaranty, or warrant the existence of conditions that it cannot independently ascertain. — Perspective renderings have not been included in deliverables and can be provided for additional services. — This proposal excludes grading and design coordination within proposed TxDOT detention boundary. — This proposal excludes all lighting, electrical and wayfinding. — TBG will bill on an hourly not-to-exceed basis for all coordination meetings with Client and TXDOT as noted under Fees for Professional Services. — TBG assumes the project will include up to four (4) upgraded intersections. 10 Pearland Broadway Corridor Phase 2 Proposal 05/16/24 Budget TBG will work with the Client in preparing the development budget related to TBG’s work, starting at schematic design. TBG will only proceed with each subsequent task of service upon receipt of Client’s authorization, based upon design documents and budget. TBG will maintain conformance of all documents with the budget within each task of service. Schedule Services described herein are contingent upon schedule requirements provided by the Client. Following are specific assumptions contained herein that are the basis for fees and services proposed. Any changes to the assumptions provided will require written acknowledgement and approval of the Client and TBG prior to proceeding. Should the Project schedule change or modify after contract authorization, the Project will be subject to Additional Services. Significant deviations, delays or pauses to the schedule may also be grounds for Additional Services. Fees for other sub-consultants, such as referenced in Proposal Assumptions, including architectural, structural and MEP, are not included in the Total TBG Scope of Services Fee.
