Section 1 That certain contract for professional services associated with the Southwest
Quadrant of Old Town Drainage Improvements and Transite Water Line Replacement Project, a
copy of which is attached hereto as Exhibit"A"and made a part hereof for all purposes, is hereby
authorized and approved
Section 2. That the City Manager or his designee is hereby authorized to execute and

CONTRACT FOR PROFESSIONAL SERVICES
THIS CONTRACT is entered into upon final execution by and between the City of Pearland
("CITY") and GC Engineering, Inc. ("CONSULTANT").
The CITY engages the CONSULTANT to perform professional services for a project known and
described as Southwest Quadrant Old Town("PROJECT"). (Project#DR2307 Contract# )
SECTION I- SERVICES OF THE CONSULTANT
The CONSULTANT shall perform the following professional services to CITY standards and in
accordance with the degree of care and skill that a professional in Texas would exercise under the
same or similar circumstances:
A. The CONSULTANT shall render the following professional engineering services:
engineering services related to drainage, paving and utility improvements. See
Exhibit A, attached, for a detailed SCOPE OF WORK and PROJECT schedule.
The PROJECT schedule shall be submitted in digital and hard copy form in the
Microsoft Project for Windows format.
B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost
of the PROJECT.
C. The CONSULTANT acknowledges that the CITY (through its employee
handbook) considers the following to be misconduct that is grounds for termination
of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving
payment for services not performed or for hours not worked, mishandling or
untruthful reporting of money transactions, destruction of assets, embezzlement,
accepting materials of value from vendors, or consultants, and/or collecting
reimbursement of expenses made for the benefit of the CITY. The CONSULTANT
agrees that it will not, directly or indirectly; encourage a CITY employee to engage
in such misconduct.
D. The CONSULTANT shall submit all final construction documents in both hard
copy and electronic format. Plans shall be AutoCAD compatible and all other
documents shall be Microsoft Office compatible. The software version used shall
be compatible to current CITY standards. Other support documents, for example,
structural calculations, drainage reports and geotechnical reports, shall be
submitted in hard copy only. All Record Drawings electronic files shall be
submitted to the CITY in TIF format.
E. The CONSULTANT recognizes that all drawings, special provisions, field survey
notes,reports,estimates and any and all other documents or work product generated
by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon
request, shall become subject to the Open Records Laws of this State.
F. The CONSULTANT shall procure and maintain for the duration of this Agreement,
insurance against claims for injuries to persons, damages to property, or any errors

and omissions relating to the performance of any work by the CONSULTANT, its
agents, employees or subcontractors under this Agreement, as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate.
(3) Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of any one person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering owned,
hired, and non-owned vehicles, with minimum limits of $1,000,000 for
injury or death of any one person, $1,000,000 for each occurrence, and
$1,000,000 for property damage.
The CONSULTANT shall include the CITY as an additional insured under the
policies, with the exception of the Professional Liability Insurance and Workers'
Compensation. The CONSULTANT shall agree to waive its Right to Subrogation.
Certificates of Insurance and endorsements shall be furnished to the CITY before
work commences. Each insurance policy shall be endorsed to state that coverage
shall not be suspended, voided, canceled, and/or reduced in coverage or in limits
("Change in Coverage") except with prior written consent of the CITY and only
after the CITY has been provided with written notice of such Change in Coverage,
such notice to be sent to the CITY either by hand delivery to the City Manager or
by certified mail, return receipt requested, and received by the City no fewer than
thirty (30) days prior to the effective date of such Change in Coverage. Prior to
commencing services under this CONTRACT, CONSULTANT shall furnish CITY
with Certificates of Insurance, or formal endorsements as required by this
CONTRACT, issued by CONSULTANT'S insurer(s), as evidence that policies
providing the required coverage, conditions, and limits required by this
CONTRACT are in full force and effect.
G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and
employees, harmless from any claim, loss, damage, suit, and liability of every kind
for which CONSULTANT is legally liable, including all expenses of litigation,
court costs, and attorney's fees, for injury to or death of any person, for damage to
any property, or errors in design, any of which are caused by the negligent act or
omission of the CONSULTANT,his officers, employees, agents, or subcontractors
under this CONTRACT.
H. All parties intend that the CONSULTANT, in performing services pursuant to this
CONTRACT, shall act as an independent contractor and shall have control of its
own work and the manner in which it is performed. The CONSULTANT is not to
be considered an agent or employee of the CITY.

SECTION II-PERIOD OF SERVICE
This CONTRACT will be binding upon execution and end July 24, 2026.
SECTION III- CONSULTANT'S COMPENSATION
A. The total compensation for the services performed shall not exceed the total noted
in Section B.
B. The CITY shall pay the CONSULTANT in installments based upon monthly
progress reports and detailed invoices submitted by the CONSULTANT based
upon the following:
1. Basic Services (Not to Exceed) $671,698.00
2. Additional Services shall require independent and specific
authorization and shall be billed as (Not to Exceed): $128,333.00
3. Bid Phase Services (Hourly Not to Exceed) $8,374.00
4. Construction Phase Services (Hourly Not to Exceed) $21,973.00
5. Reimbursable Expenses (Not to Exceed) $0.00
6. Total: $830,378.00
C. The CITY shall make payments to the CONSULTANT within thirty(30)days after
receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly
basis.
D. CONSULTANT shall invoice for work performed during the preceding thirty day
period("Billing Period"). The Billing Period shall run from the 26th day to the 251h
day of each consecutive month. Invoices shall be submitted to CITY not more
frequently than once every 30 days. CONSULTANT shall be responsible for
timely submittal of all invoices and CONSULTANT shall not be entitled to
payment for invoices in arrears. All invoices shall reflect most recent single Billing
Period only and represent the true, correct and accurate account of work performed
during the Billing Period.
E. For an agreed contract amount identified as "Lump Sum", Not to Exceed" and
"Reimbursable"the CONSULTANT shall not exceed the fixed contractual amount
without written authorization in the form of a Contract Amendment.
CONSULTANT shall provide 45 days prior notice to the CITY in the event contract
fees may exceed the fixed contract amount. CONSULTANT shall be responsible
for ensuring that such authorization is complete and executed by all parties

performing any work or submitting any invoices for work that exceeds the fixed
contract amount under any expense category.
F. Allowable Reimbursable Expenses
CONSULTANT shall identify and include in the proposal any anticipated
Reimbursable Expenses, and shall itemize Reimbursable Expenses by work
category. Reimbursable Expenses shall be invoiced AT COST without subsequent
markup by the CONSULTANT. All invoices containing a request for
Reimbursable Expenses shall include copies of the original expense receipts
itemized per the allowable category. Allowable Reimbursable Expenses include:
• Hard copy reproductions, copies and/or binding costs
• Postage
• Mileage, for travel from Consultant's local office (within a 25 mile radius)
to meetings at the City or job-site. Mileage shall be charged at the current
IRS rates.
• Travel expenses, mileage from local office to State or federal regulatory
agency office beyond 100 miles.
• Lodging expenses, for destinations beyond 100 miles from the Consultant's
local office AND when business hours exceed eight hours within one
business day OR requires more than one eight hour day.
F.2. Disallowed Expenses
Disallowed Expenses include travel expenses for professional expertise traveling
into the greater Houston area from Consultant offices outside of the greater Houston
area.
SECTION IV- THE CITY'S RESPONSIBILITIES
A. The CITY shall designate a project manager during the term of this CONTRACT.
The project manager has the authority to administer this CONTRACT and shall
monitor compliance with all terms and conditions stated herein. All requests for
information from or a decision by the CITY on any aspect of the work shall be
directed to the project manager.
B. The CITY shall review submittals by the CONSULTANT and provide prompt
response to questions and rendering of decisions pertaining thereto, to minimize
delay in the progress of the CONSULTANT'S work. The CITY will keep the
CONSULTANT advised concerning the progress of the CITY'S review of the
work. The CONSULTANT agrees that the CITY'S inspection,review, acceptance
or approval of CONSULTANT'S work shall not relieve CONSULTANT'S
responsibility for errors or omissions of the CONSULTANT or its sub-

consultant(s) or in any way affect the CONSULTANT'S status as an independent
contractor of the CITY.
SECTION V- TERMINATION
A. The CITY, at its sole discretion,may terminate this CONTRACT for any reason --
with or without cause--by delivering written notice to CONSULTANT personally
or by certified mail at 2502 Park Ave., Pearland, TX 77581. Immediately after
receiving such written notice, the CONSULTANT shall discontinue providing the
services under this CONTRACT.
B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all
drawings, special provisions, field survey notes, reports, estimates and any and all
other documents or work product generated by the CONSULTANT under the
CONTRACT, entirely or partially completed, together with all unused materials
supplied by the CITY on or before the 15th day following termination of the
CONTRACT.
C. In the event of such termination, the CONSULTANT shall be paid for services
performed prior to receipt of the written notice of termination. The CITY shall
make final payment within sixty(60) days after the CONSULTANT has delivered
to the CITY a detailed invoice for services rendered and the documents or work
product generated by the CONSULTANT under the CONTRACT.
D. If the remuneration scheduled under this contract is based upon a fixed fee or
definitely ascertainable sum,the portion of such sum payable shall be proportionate
to the percentage of services completed by the CONSULTANT based upon the
scope of work.
E. In the event this CONTRACT is terminated, the CITY shall have the option of
completing the work, or entering into a CONTRACT with another party for the
completion of the work.
F. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT
breaches any provision of this CONTRACT, then the CITY shall have all rights
and remedies in law and/or equity against CONSULTANT. Venue for any action
or dispute arising out of or relating to this CONTRACT shall be in Brazoria County,
Texas. The laws of the State of Texas shall govern the terms of this CONTRACT.
The prevailing party in the action shall be entitled to recover its actual damages
with interest, attorney's fees, costs and expenses incurred in connection with the
dispute and/or action. CONSULTANT and CITY desire an expeditious means to
resolve any disputes that may arise between under this CONTRACT. To
accomplish this,the parties agree to mediation as follows: If a dispute arises out of
or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be
settled through negotiation, then the parties agree first to try in good faith, and
before pursuing any legal remedies, to settle the dispute by mediation of a third
party who will be selected by agreement of the parties.

SECTION VI—ENTIRE AGREEMENT
This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and
supersedes all prior negotiations, representations, or contracts, either written or oral. This
CONTRACT may be amended only by written instrument signed by both parties.
SECTION VII—COVENANT AGAINST CONTINGENT FEES
The CONSULTANT affirms that he has not employed or retained any company or person, other
than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT,
and that he has not paid or agreed to pay any company or person,other than a bona fide employee,
any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon
or resulting from the award or making of the CONTRACT. For breach or violation of this clause,
the CITY may terminate this CONTRACT without liability,and in its discretion,may deduct from
the CONTRACT price or consideration, or otherwise recover, the full amount of such fee,
commission, percentage brokerage fee, gift, or contingent fee that has been paid.
SECTION VIII- SUCCESSORS AND ASSIGNS
This CONTRACT shall not be assignable except upon the written consent of the parties hereto.

Project Description
The City of Pearland(City)requested that GC Engineering, Inc. (GCE)provide professional engineering
services for drainage improvement design for the southwest quadrant of The Old Town Site. GCE has
performed a conceptual drainage study for the project and provided the City with a Preliminary
Engineering Letter Report for the project in October 2022 (PELR).
Exiting Conditions:
The project area is mostly residential, approximately 80.7 acres in size, and located at the southwest
quadrant of the SH-35BNSF Railroad Track and Broadway St. intersection and is also known as Old
Town. The project is bounded by Broadway Street to the north, BNSF Railroad Track to the east, Walnut
Street to the south and McLean Road to the west. Project location map is shown in Exhibit 1.
The existing drainage system in the project area consists mainly of shallow storm sewers (approximately
18-in to 24-in dia.) and shallow roadside ditches on either side of the roadways draining mostly to the
south towards Walnut Street. A contributing factor for flooding in the area is that the existing storm
sewer system has not been sized to capture all the overland flows within the neighborhoods in the project
area. The intent of the proposed project is to improve local drainage and conveyance to reduce flooding.
Based on the discussions with the City and review of the City's online GIS mapping system, it is
understood that there is a relatively new and adequately sized existing storm sewer trunkline west and east
of Veterans Drive. The storm sewer sizes ranging from 9'x4' thru 11'x4' RCB trunkline that runs along
Walnut Street approximately from the west side of Walnut Bend Blvd and 30" RCP thru 10'x4' RCB
trunkline that runs approximately from Sacramento Drive, both outfall into Veterans Drive storm sewer
trunkline system, ultimately draining south toward Mary's Creek. The City also indicated that the storm
sewer trunkline along Veterans Drive from Walnut Street to Mary's Creek is currently under design by
Others.
In addition to the above, there is also an existing ditch on the west side of BNSF Railroad Track, that
outfalls to Marys' Creek to the south. Based on FEMA FIRM Map Nos. 48039CO041K and
48039CO035K for Brazoria County dated December 30, 2020, most of the project area lies within the
100-Yr floodplain, and entirely within the 500-Yr floodplain of Mary's Creek.
There are existing 6" to 10" dia. sanitary sewer service lines that run within the project area which tie into
the 15"to 2 1" dia. sanitary sewer trunk lines located on the north side of Walnut St. Right-of-Way
(ROW), which ultimately flows east toward the existing wastewater lift station located on Walnut Street
between Texas Avenue and Sacramento Avenue. Based on the review of the City's GIS map, it appears
that the sanitary sewer lines run mostly in the back of the lots, except at few streets such as Austin Ave.
(approximately 5 ft deep sewer), Texas Ave. (approximately 9 ft deep sewer), and Sacramento Ave
(approximately 5 ft deep sewer), the service lines appear to run in the front, within the street ROWS.
Other utilities include overhead electric lines, underground natural gas lines, and overhead and
underground communication lines.
There are also existing water mains varying in sizes from 6" to 12" dia. running mostly in the front of the
lots and within the street ROW. Based on the review of the City's GIS map, waterlines in the project area

are Asbestos Concrete (AC) lines, except along Johnston Street and along Broadway Street between
Texas Avenue and BNSF Railroad are PVC lines.
The specific information on existing waterline (WL)s as revealed from the City's GIS mapping is
presented in Exhibit 2 and summarized below:

The proposed drainage system for the project that was presented in the PELR is shown in Exhibit 4.
GCE's recommendations outlined in the PELR are summarized as follows:
• Removal and replacement of the existing culverts/ditches with adequately sized storm sewers.
• Reconstruction of affected sidewalks and driveways,
• 2-inch mill and overlay of the existing asphalt pavements within the project area, and
• Reroute/reconnect existing water leads, as required.
Based on the condition of the existing waterlines including the age, the material (AC), size
(approximately 70%undersized), and potential major conflicts, the City directed replacing the AC
waterlines (approximately 9,820')with appropriately sized PVC lines within the project area.
Proposed Project:
Based on the conceptual drainage study performed in October 2022, the City intends to replace the
existing drainage system with a adequately sized drainage system (storm and ditch) to convey storm
runoff to the existing storm trunkline along Walnut Street (sizes ranging with 30-in RCP, 4'x4', 8'x4',
10'x4' RCB east of Veterans Dr and 9'x4', 11'x4' RCB west of Veterans Dr.)which outfalls into the
existing storm sewer trunkline system at Veterans Drive, which ultimately drains south toward Mary's
Creek.
The proposed improvements include replacing the existing storm sewer system with new storm sewer
system to convey 2-year peak flows, and provision of other improvements including reconstruction of the
sidewalks and driveways, overlay of existing asphalt pavements, and abandoning/replacing the existing
AC water lines and water leads.

3. Available latest floodplain mapping for Mary's Creek in the project vicinity,
4. Available information on recent developments within the project area.
GCE shall perform the following additional work as part of the data collection effort:
1. Conduct a preliminary site reconnaissance to identify site constraints, if any, occurred
subsequent to September 2022, such as existing drainage structures, visible drainage issues,
visible utilities, neighboring developments, and site access.
2. Review and compile the information gathered.
B. Surveying
Field surveying work shall be performed by Weisser Engineering & Surveying (WES). GCE shall
administer the survey work by WES and coordinate with the City. Field survey work comprises of,
topography, establishing existing ROW, establishing horizontal and vertical control points, and survey of
utilities as revealed from field observations and utility survey.

The scope of work for surveying tasks by WES is enclosed.
C. Geotechnical
Geotechnical work shall be performed by Geotest Engineering, Inc. (Geotest). GCE shall administer the
geotechnical work by Geotest and coordinate with the City.
Geotechnical study consists of drilling 14 soil borings, each to a depth of 12 feet, soil sampling, and
geotechnical lab testing, and providing recommendations for open cut excavation for proposed storm
sewer installation and pavement thickness (rigid and flexible) including subgrade stabilization.
The scope of work for geotechnical tasks by Geotest is enclosed.
D. Utility Coordination
GCE's services shall include identification of utility conflicts, utility coordination, and resolution of
utility conflicts within the project limits.
Based on the project survey information, GCE shall make a preliminary determination as to potential
utility conflicts. GCE shall prepare a utility conflict table showing utilities in conflict whether relocation
is likely.
GCE shall also prepare a Utility Layout from the information gathered above. The layout shall include
existing utilities, which are to remain in place or be abandoned, and utilities to be adjusted. GCE shall
utilize the layout of existing utilities as prepared, if available, and make a determination of the following:
• Determine temporary/permanent relocation needs for water and sanitary sewers.
• Coordinate dry utility relocation needs including gas, cable, telephone, electric, etc.
The City will conduct a utility coordination meeting with the affected utility companies. GCE shall attend
the utility coordination meeting and shall prepare meeting minutes for the City.
GCE shall also obtain signatures from utility companies on the title sheet of construction plans.
If requested by the City, GCE shall perform a utility relocation design as an out-of-scope service.
E. Drainage Design
As part of the preliminary engineering phase, GCE conducted a conceptual drainage study and prepared
PELR. GCE shall meet with the City to discuss the findings and recommendations and to receive the City's
input on developing a basis for the project design.
Based on the findings from the conceptual drainage study performed, GCE shall perform a final drainage
design to develop the existing and proposed hydrologic and hydraulic conditions, and improved storm
drainage system for the project area. GCE's proposed work include the following:
1. Develop overall drainage area(s) for the study.

2. Develop sub-drainage areas including:
1) Calculate the percent impervious/discharge coefficients.
2) Calculate time of concentrations.
3) Develop the 2-yr storm event flows for the drainage areas.
3. Utilize spreadsheet calculations and/or WinStorm software for the flow computations and
sizing of the conveyance system.
4. Develop starting collection system flow line elevations and tailwater elevations.
5. Compile top of pavement and curb elevations and determine inlet sizes and storm sewer pipe
sizes.
6. Perform/finalize the conceptual drainage design to upsize and/or replace the existing storm
sewer and ditch system to convey peak flows from the 2-Yr design event for the project area
utilizing NOAA Atlas 14 rainfall intensities.
The drainage design shall not include check for the 100-Yr. design event per City's direction.
7. Review available as-built data and project survey for public and private, wet and dry utilities
for conflicts and potential redesign and relocations.
8. Identify,plan for, and incorporate necessary revisions and upgrades to existing infrastructure
associated with drainage objectives.
9. Coordinate the work of this project with that of adjacent present and future projects as
necessary.
10. Prepare drainage exhibits including drainage area plans and storm sewer layouts. Drainage
Plans shall show locations of pavement and driveway repair/replacement as well as utility
relocations based on the available as-built data, site visits, and project survey.
F. Waterline Design
GCE shall design waterlines including the appurtenances within the project area. The design shall include
the following:
1. Replace AC waterlines with PVC waterlines with a minimum diameter of eight(8) inches,
2. Provide water valves, ARVs, connections to fire hydrants, and other appurtenances,
3. Provide service connections to existing water meter locations,
4. Design connections between new PVC lines to existing AC lines,
5. Design trenchless installation where needed such as at seven (7) waterline crossings on Walnut
Street,
6. Develop a staging/sequencing plan to avoid/minimize outage to individual households, and
7. Prepare Waterline Plan.

G. Prepare and Submit 30% Plans
It is estimated that the 30% Submittal shall include the following:
1) Geotechnical Report with borehole location logs & design recommendations;
2) Field Survey;
3) Utility conflict table.
4) 30% Design Plans including:
i. Title sheet and Index sheet
ii. General Notes, Project Notes, and Brazoria Drainage District No. 4 (BDD4)Notes.
iii. Proposed Paving and Drainage Improvement Plan,
iv. Proposed waterlines,
v. Preliminary traffic control plans, and
vi. Typical sections.
5) 30% Engineers Opinion of Construction Cost.
GCE shall attend 30% submittal discussion meeting with the City. GCE shall also prepare meeting
minutes capturing discussion/agreements from 30% submittal meeting.
2. Design Phase Services
Upon review and approval of the 30%Plans by the City, GCE shall initiate Final Design. Final design
will include necessary engineering services for preparation of plans and specifications for the project at
60%, 90% and Final completion levels.
A. PS&E Preparation/Deliverables
GCE will prepare final plans, details, specifications, and cost estimate in accordance with the City's
Design Criteria Manual. This will include:
1. Prepare and Submit 60% Plans
Work shall include the following:
I. Responses to 30% Submittal Comments (PDF).
2. Submit 60%plans to utility companies and coordinate work for relocation or service
changes, if required.
3. Coordinate with external regulatory and permitting agencies, including TCEQ and BDD4.
4. 60% design plans in electronic format for the City's review and comments.
5. Table of Contents and List of Specifications.
6. Utility Conflict Table.
7. 60% Engineers Opinion of Construction Cost.
GCE shall submit drawings in electronic format for the City's review and comments. GCE shall attend
60% submittal discussion meeting with the City. GCE shall also prepare meeting minutes capturing
discus sion/agreements from 60% submittal meeting.

2. Prepare and Submit 90% Plans
GCE shall address the City's 60%Plan comments and submit 90% submittal for the City's review and
comments. 90% Submittal is anticipated to consist of the following:
1. Responses to 60% Submittal Comments (PDF).
2. Utility signatures on plan cover sheet from private utility companies.
3. 90% Design Plans.
4. Bid form.
5. Completed"front end documents".
6. 90% Engineers Opinion of Probable Construction Cost.
3. Prepare and Submit Final(100%) Plans
GCE shall address the City's 90% Plan comments and submit 100% submittal for the City's review and
comments. 100% Submittal is anticipated to consist of the following:
1. Responses to 90% Submittal Comments (PDF).
2. Table of Contents and List of Specifications.
3. Final Engineers Opinion of Probable Construction Cost.
4. Submit applications for necessary permits.
5. Final plans for the City Engineer's signature.
6. Prepare bid sets for distribution via the City's e-bid system.
7. Prepare exhibits and attend one Public Comment Meeting, if applicable.
B. Traffic Control and Signing and Pavement Marling Plans
GCE shall prepare Traffic Control Plans (TCP) for the project and attend a meeting with the City to
discuss traffic staging, road detours, anticipated durations, as well as coordination with public and
affected agencies. GCE shall coordinate with the agencies including local ISD, Emergency Services, and
US Postal Service. Upon receipt of the comments from the agencies, GCE shall finalize the TCP.
It is anticipated that the TCP shall include the following:
1) Closure of east bound lane of Walnut Street from McLean Road to Austin Avenue to facilitate
construction of the storm sewers with sizes ranging from 24" Dia. RCP to 4'x4' RCB. This would
require the provision of detours,phasing plans, as well as advanced warning signs.
2) The construction of storm sewers, inlets, and waterlines on interior roads will include block by
block construction with single lane closed at a time. The project specific typical TCPs on a single
block by block basis shall be prepared, as feasible.
3) TCP/Staging Plans for milling and paving operations shall be handled with standard lane closure
TCP as well as project specific TCP, where required.
GCE shall also develop Signing and Pavement Marking Plans (PMP) for the project.

C. Storm Water Pollution Prevention Plans (SWPPP)
GCE shall prepare SWPPP for the project in accordance with the City and Brazoria County requirements.
This shall include two Notices of Intent(NOI), two Notices on Termination (NOT), and two Construction
Site Notices as/if required in accordance with the current Texas Commission on Environmental Quality,
TPDES General Permit for storm water discharges associated with construction activities.
D. Project Management
GCE shall attend monthly progress meetings (10 meetings) during the design phase. GCE shall attend
two (2)meetings, the TCP meeting, and the Utility Coordination Meeting.
GCE shall coordinate the disciplines including survey and geotechnical subconsultants throughout the
project.
GCE shall also coordinate the Project with the adjacent on-going and planned projects. This shall include
coordination with the Consultant for the Veteran's Drive storm main project, other planned CIP projects
by the City, and private development projects in the vicinity.
3. Bid Phase Services
1. Bid Phase Services
a. Provide Notice to Bidders (NTB) and list of bid items to the Project Manager in an
electronic form appropriate for the e-bid system format. The City is responsible for
advertising.
b. Chair pre-bid meeting and attend Bid Opening
c. Respond in writing to questions from bidders and prepare addenda, coordinate with
Project Manager as necessary.
d. Prepare Engineer's Recommendation of Award Letter that includes the following
required content:
i. Check for math errors and reconcile any mathematical discrepancies.
ii. Review for unbalance bid items.
iii. Certified Bid Tabulation including Engineer's estimate.
iv. Review of contractor's financial standing and references provided.
v. Explanation of discrepancies between the Engineer's estimate and bids.
vi. Recommendation to award.
2. Attend City Council meeting and recommendation for award of Contract for Construction.
4. Construction Phase Services
a. Construction Administration
i. Attend pre-construction meeting to provide information & answer questions.

ii. Attend monthly progress meetings with Construction Manager, Contractor &
City of Pearland.
iii. Review & comment on Construction's submittals, RFIs, RFPs including
coordination with Construction Manager on Change Directives & Change
Orders using the City of Pearland's project management system.
iv. Review & approve monthly pay applications coordinating with Construction
Manager using the City of Pearland's project management system.
v. Provide interpretive guidance for Contractor, Construction Manager in
resolution of problems.
vi. Coordinate with Construction Manager to review progress of work for
Substantial Completion; with production of punch list; substantiation that items
are completed; and issue both Certificate of Substantial Completion &Final
Acceptance.
vii. Issue letter to City recommending acceptance &release of final payment.
viii. Coordinate contracts, CM/CI to provide complete record of As-Builts.
ix. Provide Record Drawings from Contractor's As-Builts in electronic format
(CD) &hard copy format to include shape file in accordance with the
requirements of the City of Pearland's EDCM for GPS location of underground
utilities.
Definition:
1)As-Builts "redlines": Contractor's record of field changes to the work in line, grade & elevation.
2) Record Drawings: Engineer's incorporation of contractor's As-Builts.
5. Additional Services
GCE will provide additional services on an as-needed basis upon authorization by the City. These
services may include:
1. Waterline Probing Survey
Upon direction by the City, depth of existing waterlines at 24 locations will be probed by Surveying
Subconsultant, WES.
Project Cost
GCE shall provide the work entailed in this proposed scope of services at an estimated Lump Sum cost of
$830,378.
The summary of costs is provided in Table 1. GCE's Fee Schedule is provided in Table 2.

ASSUMPTIONS
The proposal presented is based on the following assumptions:
1. The project will not require environmental studies or permitting.
2. The proposed storm systems will be tied-in into the existing storm sewer trunkline along Walnut
St.
3. The project scope does not include provision of floodplain fill mitigation and storm water
detention facilities.
4. The on-going drainage conveyance project along Veterans Drive will provide capacity to convey
increased flows for the design flood event(s).
5. A drainage impact analysis is not required as part of the scope.
6. GCE will provide full-time Construction Inspection, if requested by the City, as an out of scope
item.
7. The project will not include working within TxDOT Right-of-Way and therefore, no TxDOT
permitting will be required. This shall include no proposed storm sewer, asphalt concrete overlay,
waterlines, and other work within the TxDOT ROW.

II. TERMS AND CONDITIONS
1. This Agreement may only be modified by a writing acknowledging agreement of modification by
both parties.
2. The Responsible Party signing this Agreement agrees to be fully responsible for the timely and
complete payment for Services within thirty(30)days of invoicing.Any requests for modification
of this provision must be signed by an officer or department director of Weisser Engineering&
Surveying.
3. Weisser Engineering&Surveying is an independent contractor.Nothing in this Agreement forms a
partnership,joint venture,employment,franchise,master-servant,or agency relationship between
Client and Weisser Engineering&Surveying.
4. WEISSER ENGINEERING&SURVEYING SHALL ONLY BE LIABLE FOR DAMAGE OR
LOSS TO ANY PERSON OR PROPERTY TO THE EXTENT SUCH DAMAGE OR LOSS IS
CAUSED BY WEISSER ENGINEERING&SURVEYIN`G'S NEGLIGENT ACT OR
OMISSION IN CONNECTION WITH THE SERVICES.WEISSER ENGINEERING&
SURVEYING'S LIABILITY TO CLIENT OR ANY OTHER PARTY FOR CLAIMS OF ANY
KIND,WHETHER BASED ON CONTRACT OR TORT OR OTHERWISE RELATING TO
THIS AGREEMENT,SHALL NOT EXCEED THE COMPENSATION PAID OR OWED TO
WEISSER ENGINEERING&SURVEYING FOR SERVICES UNDER THIS AGREEMENT.
5. Client shall not solicit Weisser Engineering&Surveying employees for purposes of employment
during the course of the Agreement or for a period of twelve(12)months thereafter. Client
acknowledges and agrees that breach of this provision may result in irreparable and continuing
damage to Weisser Engineering&Surveying,for which there would be no adequate remedy at
law,and that,in the event of such breach,Weisser Engineering& Surveying may be entitled to
equitable or injunctive relief and/or a decree for specific performance,in addition to all such other
and further relief as may be available at law,in equity,or otherwise.
6. Upon request,Weisser Engineering&Surveying may make electronic files of its CAD drawings
available to Client on an"as is"basis for informational purposes only that may not be relied upon
for any other purpose.ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND
WITH REGARD TO ELECTRONIC FILES ARE DISCLAIMED,INCLUDING BUT NOT
LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS
FOR A PARTICULAR USE. Since revisions or additions to design file drawings may occur at any
time,Client agrees to indemnify,defend and hold harmless Weisser Engineering&Surveying,its
officers,directors,agents,shareholders,and employees from and against any and all claims,suits,
losses,damages or costs,including reasonable attoiney's fees,arising from the use of outdated or
amended design file drawings by Client or any third party,and such indemnification shall survive
acceptance of said file(s)by Client or the termination of this Agreement. Client promises to notify
any third party that the third party may not reasonably rely on electronic files,drawings,or
documents not directly provided to such third party by Weisser Engineering&Surveying.
7. This Agreement shall be deemed entered into in Texas and shall be governed by and construed and
interpreted in accordance with the laws of the State of Texas,without reference to any rules of
conflict of laws. Venue shall be in Houston,Harris County,Texas.
8. hi the event that any one or more of the provisions contained in this Agreement shall for any reason
be held to be invalid,illegal,or unenforceable in any respect,such invalidity,illegality,or
unenforceability shall not affect any other provisions,and the Agreement shall be construed as if
such invalid,illegal,or unenforceable provision had never been contained in it.
9. This Agreement may be executed by facsimile or scanned and electronically transferred signatures.
A copy of this Agreement bearing such a signature or signatures shall have the same force and
effect as an original agreement with inked original signatures.Once signed,any reproduction of
this Agreement made by reliable means(e.g.,photocopy,scan,facsimile)is considered an original.

10. Client's failure to sign and return this Agreement to Weisser Engineering&Surveying within
fifteen(15)days of Effective Date renders the Agreement voidable by Weisser Engineering&
Surveying.
11. Notwithstanding anything to the contrary in this Agreement or any other ancillary documents,
Weisser Engineering&Surveying shall not be responsible for delays caused by factors beyond
Weisser Engineering&Surveying's reasonable control,including but not limited to delays because
of strikes,lockouts,work slowdowns or stoppages,government ordered industry shutdowns,
power or server outages,acts of nature,widespread infectious disease outbreaks(including,but not
limited to epidemics and pandemics),failure of any governmental or other regulatory authority to
act in a timely manner,failure of the Client to furnish timely information or approve or disapprove
of Weisser Engineering&Surveying's services or work product,or delays caused by faulty
performance by the Client or by contractors of any level.When such delays beyond Weisser
Engineering& Surveying's reasonable control occur,Client agrees that Weisser Engineering&
Surveying shall not be responsible for damages,nor shall Weisser Engineering&Surveying be
deemed in default of this Agreement or any other agreement.

Southwest Quadrant of Old Town Project(McLean Road to SH35 south of FM-518),

Field Surveying services are required for the City of Pearland's (The City), Southwest Quadrant
of Old Town Project, located in Pearland, Texas.
The proposed project consists of construction of a storm sewer system and pavement
reconstruction within the project area shown in Exhibit 1. Known water and sewer utilities
within the project area based on available maps are shown in Exhibit 3.
The survey to include all roadways proposed for the above improvements as depicted in Exhibit

Survey scope of work should include the following:
Task 1 - Topographic Survey
Limits—from ROW to 10 feet beyond either side of the ROW.
Contours -At 0.5-foot intervals.
The mapping will include but will not be limited to the following;
1. Establish horizontal and vertical control for the project area and tie to the City of
Pearland and FEMA datum. At a minimum, establish 6 ground control points for the
project area.
2. Locate benchmarks. Tie the survey to City of Pearland and FEMA datum.
3. Existing features such as buildings, roads, fences, monuments, channels, swales, utilities
and drainage structures.
4. Existing drainage structures; inlets, manholes, culverts, ditches, etc. Survey invert/rim
elevations of sewers.

5. Include flowlines at nearest manholes located u/s and d/s for storm/sanitary sewer lines.
6. Locate trees, shrubs, and other landscape items. Provide type and caliper of trees.
7. Mailboxes.
8. Driveways.
9. Any other visible features.
10. Locate soil borings.
Task 2 - Establish Existing Right-of-Way(ROW)
The existing ROW lines of the streets and intersecting streets within the Project Limits will be
re-established.
Utilizing the available mapping from public records/boundary plans and locating sufficient
property and right-of-way monumentation, establish the existing ROW. The boundary survey to
include individual property lines at the ROW as revealed from public records.
An existing ROW Map will be prepared showing existing ROW lines, adjacent lot/block lines,
land boundaries, property corners, existing platted easements, and building setback lines.
Mapping will be prepared in accordance with the current Texas Society of Professional
Surveyors (TSPS) Category 113, Condition 11 (Route Survey) Standards and conforming to City
of Pearland Standards. All ROW maps will be prepared in AutoCAD 2023 at a scale of 1"=20'
on 22"X34" & 1"=40' on 11"x17" size sheets and to be signed and sealed by the surveyor.
Task 3 -Utility Survey
Utility survey, where visible and accessible, shall include the location (horizontally and
vertically) and condition of existing above ground and underground utilities and shall be shown
on the base mapping. The existing utilities at the site include but are not limited to: gas, electric,
water, sanitary sewer, storm sewer, telephone and under ground and overhead communication
cables, etc.
Deliverables:
1. Provide Topographic survey in .dwg file format with AutoCAD version 2023 compatible.
2. Provide Plan View in .dwg file format with AutoCAD version 2023 compatible.
3. Provide ASCII point text file.
4. Provide conversion factor from surface coordinates to grid coordinates.
5. Provide topographic survey and horizontal and vertical control pdf in 2204 format.
Horizontal and vertical control sheets shall be signed and sealed by RPLS.
CADD standards:
1. All objects shall have color and line weight setting as "bylayer".
2. No objects shall be in layer"0".
3. Provide a list/description of all abbreviations used on the survey.
4. All text shall be separated from object layer.
5. All text size shall be legible to 1"=20' scale drawing.

estimated to be 5 feet below the maximum invert depth of 7 feet. The project also
includes pavement reconstruction—rigid or flexible paving options.
Purpose and Scope
The purpose of this investigation is to explore subsurface soil and water level
conditions for the proposed Southwest Quadrant of Old Town Drainage improvements
project in City of Pearland, Texas. The scope of this investigation is based on the
information provided to us on June 29, 2023, June 30, 2023 and November 8, 2023, and
will include the following tasks:
• Calling Texas 811 and Coordinate with utility locators to get areas for the
proposed boring locations cleared.
• Perform concrete coring at all boring locations for boring access.
• Drilling and sampling a total of fourteen (14) soil borings each to a depth of
12 feet along the project alignments.
The Proposed Boring Program is shown on Attachment No. 1, and also shown
in Figure 1.
• Grouting all boreholes using non-shrink cement bentonite grout after
completion of drilling and water level measurements. The use of cement
bentonite grout will eliminate the potential problems and safety hazards
associated with surface settlements that might occur if boreholes are
backfilled with soil cuttings.
• Performing appropriate laboratory tests on selected representative soil samples
to develop the engineering properties of the soil.
• Perform engineering analyses to develop geotechnical recommendations for
the open cut excavation for the proposed storm sewer installation including
excavation stability, bedding and backfill, groundwater control, and pavement
thickness (rigid and flexible) including subgrade stabilization for the
pavement reconstruction, and construction considerations.
• Prepare a geotechnical investigation report including field and laboratory data
and geotechnical recommendations.

It is our understanding that your surveyors will tie-in our borings after
completion of the drilling.
Project Schedule
We should be able to start the fieldwork within one (1) week after receiving your
written authorization. It is estimated that the fieldwork will be completed in about two
(2) weeks barring bad weather. The laboratory tests will be completed in about three (3)
weeks. A geotechnical report, which will include field and laboratory data and
geotechnical recommendations, will be submitted in about eight(8) weeks after receiving
the written authorization.
Cost
Based on the scope of work outlined above, the cost of the field investigation,
laboratory testing, engineering analyses and geotechnical report will be a lump sum
amount of$20,546.00. The cost breakdown given in Attachment No. 1 is for additional
information only. The invoices will be billed on Lump Sum basis based on percent
completion. This cost is based on the assumption that no site clearance will be required.
