R2024-30 A Resolution of the City Council of the City of Pearland, Texas, authorizing the City Manager or his designee to enter into a Development Agreement with VC1 Pearland Limited Partnership, (“Developer”) for the construction and maintenance of off-site public improvements associated with the Elation at Pearland development. COKER CITY ATTORNEY DocuSign Envelope ID: 247ED4DD-329B-40D1-8ACB-567A6E851F38 Page 1 DEVELOPMENT AGREEMENT BETWEEN THE CITY OF PEARLAND, TEXAS AND VC1 PEARLAND LIMITED PARTNERSHIP STATE OF TEXAS § § COUNTY OF BRAZORIA § This Development Agreement (this “Agreement”) is entered into by and between the City of Pearland, Texas (the “City”) and VC1 Pearland Limited Partnership, a Delaware limited partnership, (the “Developer”). The City and the Developer are individually referred to as a “Party” and collectively as the “Parties” RECITALS WHEREAS, the City is a home-rule municipal corporation created and existing under the laws of the State of Texas and situated in Brazoria County, Texas, Fort Bend County, Texas and Harris County, Texas; and WHEREAS, the Developer has a contract to purchase real property that is wholly in the City limits and within Brazoria County, Texas, and which has been platted as Magnolia Commons Replat and Extension, hereinafter referred to as the “Plat,” attached as Exhibit A, approved by the City of Pearland Planning and Zoning Commission on January 16, 2024 under PLAT23-00130; and WHEREAS, the Magnolia Commons Replat and Extension includes Restrictive Reserve A, Restricted to Park Use, hereinafter referred to as the “Property”; and WHEREAS, the Planned Development District adopted by Ordinance 2000M-245 includes design enhancements, amenities, and recreational facilities Developer is required to construct including a Major (Type 1) Trailhead referred to as a Pocket Park, that is to be dedicated to the City, consisting of 1.44 acres with public parking spaces, a shade structure, bench seating areas, harvestable landscaping, and a bike repair station; and WHEREAS, the Developer has submitted a building permit application to the City that includes the construction of a multi-family development on Block 1, Lot 1 of the Plat , hereinafter referred to as the “Developer Project”; and WHEREAS, the City has adopted a Parks, Recreation, Trails, and Open Space Master Plan, via R2021-008 which includes Strategy 1.1.4 that encourages the City to develop a community-based program through which homeowner’s associations and neighborhood groups can work with the City’s Parks Department to develop pocket parks; and WHEREAS, the Developer agrees to pay all costs of designing and constructing the pocket park as reflected in Exhibit B attached hereto (the Improvements); and DocuSign Envelope ID: 89C32741-BBDA-4C3A-8B40-076678D6FA8E Page 2 WHEREAS, the City desires to cooperate with the Developer to provide the Improvements in a manner that meets the City’s adopted plans; and WHEREAS, the City hereby acknowledges that the Developer’s obligations for Parkland Dedication under the City’s Unified Development Code for the Developer Project will be satisfied by successful completion the Improvements and dedication of the Property to the City and Developer shall not owe the City any parkland dedication fees in connection with the City issuing building permits for the Developer Project; and WHEREAS, the Parties desire to enter an agreement to set forth respective responsibilities with regard to providing the Improvements and the maintenance thereof, and WHEREAS, the City Council approved and adopted this Agreement in open session in accordance with all applicable laws; and WHEREAS, all notices, hearings and other procedural requirements imposed by law for the adoption of this Agreement have been met; and WHEREAS, this Agreement provides benefits for the City and the Developer that are reasonable and equitable; NOW THEREFORE, for and in consideration of the mutual agreements contained in this Agreement, and for the good and valuable consideration the receipt and adequacy of which are hereby acknowledged, the Developer and the City agree as follows: ARTICLE I. Section 1.1 Recitals. The recitals set forth above are true and correct and are incorporated herein and made a part hereof as findings for all purposes. Section 1.2 Definitions. Capitalized terms used herein, including the recitals here, shall have the meaning set forth in this section, unless otherwise defined, or unless the context clearly requires another definition. Section 1.3 Effective Date. The effective date of this Agreement (the “Effective Date”) is the date it is signed by both parties. Section 1.4 Term. This Agreement commences on the day that building permits are issued from the City for Developer Project, currently under building permit application number COMM23-00493, and continues until mutually agreed to by the Parties. ARTICLE II. DEVELOPMENT OF THE IMPROVEMENTS Section 2.1 Improvements. Developer shall install the Improvements as reflected in Exhibit B. The Developer shall be responsible for the design, construction and all costs associated with the construction of the Improvements. Section 2.3 City Approval of Plans. The design and construction of the Improvements shall be in accordance with plans approved by the City’s Director of Parks & Recreation. Developer shall require a performance bond from the contractor that Developer retains to construct the Improvements sufficient to cover the cost of Improvements and said bond shall name City as a co-obligee. The Parties agree that Certificates of Occupancy for Buildings 5 and 6 of Developer’s Project (as labeled on the building permit plans) will not be released until the Performance Bond is provided. Developer shall warrant the Improvements for a period of two (2) years following their acceptance by the City and shall provide the City a maintenance bond in an amount equal to one hundred percent (100%) the costs of the Improvements to cover any warranty repairs needed to the Improvements during the warranty period. Section 2.4. Timing of Improvements. The Improvements are required to be completed within six (6) months from the date that Developer obtains a Certificate of Occupancy for Building 5 or 6 for Developer Project (as labeled on the building permit plans), currently under building permit application COMM23-00493. Section 2.5 No Waiver of City Standards. Except as may be specifically provided in this Agreement, the City does not waive or grant any exemption to Developer with respect to City regulations or ordinances, including without limitation, platting, permitting or similar provisions. Section 2.6. Dedication. Upon completion of the construction of the Improvements, Developer shall dedicate the Property to the City. ARTICLE III. MAINTENANCE OF THE IMPROVEMENTS The Parties agree that maintenance of the Improvements shall be as reflected in the following table: Amenity Description Maintenance Responsibility Frequency / Guidelines 1.44 Acre Public Park/Trail Head Turf Care shrubs, landscaping, open space Developer Developer shall maintain the Property to include turf care, fertilization, trash/litter pick up, pruning, trimming, planting, disease/insect prevention, and sweeping or blowing of walkways, seating, and structures. Maintenance shall be performed in a professional manner consistent with the City of Pearland standards for Corridor Overlay Districts. Developer shall visually inspect site grounds, irrigation, and structures to ensure compliance, safety, and proper operation and shall report all issues/concerns to City timely. Parking Lot Parking lot with direct access from Magnolia Parkway and at least 12 standard parking spaces and 1 handicap spot and sign City Parking lot paving, signs, and striping shall be maintained by the City as needed determined by the Director of Parks & Recreation. Curb Ramp Curb ramp allowing access to parking lot City Curb ramp shall be maintained by the City as needed determined by the Director of Parks & Recreation. Trail/Sidewalk 6’wide concrete path, approximately 1,300 feet long, that will provide access the Mary’s Creek Trail Head City Repairs to the concrete path shall be performed by City as needed determined by the Director of Parks and Recreation. Shade Structure 1 Hendee Enterprises 15’x15’ 3-sail/4-post shade structure City Repairs to the shade structure shall be performed as needed determined by the Director of Parks & Recreation. Bench Seating Six (6) Victor Stanley six-foot benches installed on concrete pads City As needed determined by the Director of Parks & Recreation. Edible Trail Extension Harvestable landscaping to include 12 Pomegranates, 8 Pecan, 7 Kumquats, and 11 Live Oak trees Developer/City Developer shall water, fertilize, prune, weed, and provide disease control. Irrigation, Irrigation meter, backflow, controller A separate water meter in City’s name serving the park shall be installed by Developer and connected to an irrigation controller, which shall be an independent WeatherTrak controller, or acceptable substitute, with a 2-wire system. All irrigation sprinkler heads shall be Hunter heads appropriately nozzled for site. Backflow preventer shall meet the minimum City requirement Developer/City City shall pay for all water bills associated with irrigation/watering of the park. City shall have the ability to schedule watering as desired. Developer shall provide assistance with monitoring and will request service or schedule changes as needed. Developer will use commercially reasonable efforts to communicate to the appropriate person within the Parks and Recreation Department on issues that may arise with the irrigations system. After expiration of warranty, repairs and freeze protection to the irrigation system will be completed by City. Drainage Site drainage as identified on civil plan COMM23-00493. Developer Developer shall maintain the site drainage as needed. Bike Repair Station One (1) Bike Repair Station including tool rack, braided stainless steel cable, hanging tools, and air pump (185 SMSS) City As needed determined by the Director of Parks & Recreation. Trash and Recycle Receptacles One (1) Victor Stanley solid steel, black powder coated 36” gallon trach and recycling receptacle (DYN-242) Developer/City Developer shall empty trash and recycling receptacles as needed to ensure trash does not overflow. Drinking Fountain Drinking fountain with push button for pet fountain and bottle filler (10145 SM) City After the expiration of the warranty, City shall repair and replace Drinking Fountain as needed determined by the Director of Parks & Recreation. Wayfinding Signage Wayfinding signage can be combined with trail head sign on a ¼” thickness corten steel base bent to form a 90 degree angle. Sign shall be 90” above ground with proper footing required for stability. Laminated signs shall be 10”x48”x1/2” dimension and include location map for wayfinding and trail name. A watercut graphic will also be included at the top of the corten steel. Please refer to Green Tee Terrace Bike & Trail, sheet G1.00 for sign detail specifics and recommendations. All drafts will need to be reviewed by Parks and Recreation Director for final approval. City City shall repair/replace wayfinding signage as needed determined by the Director of Parks & Recreation. ARTICLE IV. BREACH, NOTICE AND REMEDIES Section 4.1 Notification of Breach. If either Party commits a breach of this Agreement, the non- breaching Party shall give Notice to the breaching Party that describes the breach in reasonable detail. Section 4.2 Cure of Breach. The breaching Party shall commence curing the breach within 15 calendar days after receipt of the Notice of the breach and shall complete the cure within 30 days from the date of commencement of the cure; however, if the breach is not reasonably susceptible to cure within such 30-day period, the non-breaching Party shall not bring any action so long as the breaching Party has commenced to cure within such 30-day period and diligently completes the work within a reasonable time without unreasonable cessation. Section 4.3 Remedies for Breach. If the breaching Party does not substantially cure the breach within the stated period of time, the non-breaching Party may, in its sole discretion, and without prejudice to any other right under this Agreement, law, or equity, seek any relief available at law or in equity, including, but not limited to, an action under the Uniform Declaratory Judgment Act, specific performance, mandamus and injunctive relief; provided, however, that the non-breaching Party shall not be entitled to terminate this Agreement. The Parties specifically waive any right that they have or in the future may have to terminate this Agreement. Damages, if any, to which any non-breaching Party may be entitled shall be limited to actual damages and shall not include special or consequential damages. In addition, the prevailing party in any such action shall be entitled to reasonable attorney’s fees and costs of litigation as determined in a final, non-appealable order in a court of competent jurisdiction. All conditions and covenants of this Agreement are hereby declared to be covenants running with the land and shall be fully binding upon all persons acquiring any interest in all, or a portion of Lot 1, Block 1 of Exhibit A, whether by descent, demise, purchase, gift or otherwise. This Agreement and the benefits and obligations created hereby shall inure to the benefit of and be binding upon the parties hereto and their successors, transferees and assigns. Any purchaser of all or any portion of Lot 1 Block 1 of Exhibit A assumes and agrees to be bound by the covenants and agreements of this Agreement that apply to the Developer. Any person who sells or conveys any portion of the Lot 1, Block 1 of Exhibit A shall, prior to such sale or conveyance, give written notice of this Agreement to the prospective purchaser or grantee, and shall give written notice of the sale or conveyance to the City. Section 5.2 Notices. Any notices, certifications, approvals, or other communications (a “Notice”) required to be given by one Party to another under this Agreement shall be given in writing addressed to the Party to be notified at the address set forth below and shall be deemed given: (i) when the Notice is delivered in person to the person to whose attention the Notice is addressed; (ii) 10 business days after the Notice is deposited in the United States Mail, certified or registered mail, return receipt requested, postage prepaid; (iii) when the Notice is delivered by Federal Express, UPS, or another nationally recognized courier service with evidence of delivery signed by any person at the delivery address; or (iv) 10 business days after the Notice is sent by FAX (with electronic confirmation by the sending FAX machine) with a confirming copy sent by United States mail within 48 hours after the FAX is sent. If any date or period provided in this Agreement ends on a Saturday, Sunday, or legal holiday, the applicable period for calculating the Notice shall be extended to the first business day following the Saturday, Sunday, or legal holiday. For the purpose of giving any Notice, the addresses of the Parties are set forth below. The Parties may change the information set forth below by sending Notice of such change to the other Party as provided in this Section 5.2. Any failure by a Party to insist upon strict performance by the other Party of any provision of this Agreement shall not be deemed a waiver thereof, and the Party shall have the right at any time thereafter to insist upon strict performance of any and all of the provisions of this Agreement. No provision of this Agreement may be waived except by writing signed by the Party waiving such provision. Any waiver shall be limited to the specific purpose for which it is given. No waiver by any DocuSign Envelope ID: 89C32741-BBDA-4C3A-8B40-076678D6FA8E Page 9 Party of any term or condition of this Agreement shall be deemed or construed to be a waiver of any other term or condition or subsequent waiver of the same term or condition. Section 5.4 Governing Law and Venue. This Agreement shall be construed and enforced in accordance with the laws of the State of Texas, as they apply to contracts performed within the State of Texas and without regard to any choice of law rules or principles to the contrary. The Parties acknowledge that this Agreement is performable in Brazoria County, Texas and hereby submit to the jurisdiction of the courts of Brazoria County, Texas and hereby agree that any such court shall be a proper forum for the determination of any dispute arising hereunder. Section 5.5 Authority to Execute. The City represents and warrants to the Developer that the execution of this Agreement has been duly authorized by the City Council and that the person executing this Agreement on behalf of the City has been duly authorized to do so by the City Council. The Developer represents and warrants to the City that they have full authority to execute this Agreement. Section 5.6 Severability. The provisions of this Agreement are severable and, in the event any word, phrase, clause, sentence, paragraph, section, or other provision of this Agreement, or the application thereof to any person or circumstance, shall ever be held or determined to be invalid, illegal, or unenforceable for any reason, and the extent of such invalidity or unenforceability does not cause substantial deviation from the underlying intent of the Parties as expressed in this Agreement, then such provision shall be deemed severed from this Agreement with respect to such person, entity or circumstance, without invalidating the remainder of this Agreement or the application of such provision to other persons, entities or circumstances, and a new provision shall be deemed substituted in lieu of the provision so severed which new provision shall, to the extent possible, accomplish the intent of the Parties as evidenced by the provision so severed. Section 5.7 Changes in State or Federal Laws. If any state or federal law changes so as to make it impossible for the City or the Developer to perform its obligations under this Agreement, the Parties will cooperate to amend this Agreement in such a manner that is most consistent with the original intent of this Agreement as legally possible. Section 5.8 Additional Documents and Acts. The Parties agree that at any time after execution of this Agreement, they will, upon request of the other Party, execute and/or exchange any other documents necessary to effectuate the terms of this Agreement and perform any further acts or things as the other Party may reasonably request to effectuate the terms of this Agreement. Section 5.9 Assignment. This Agreement shall not be assignable without the other Party’s written consent. This Agreement shall be binding upon and inure to the benefit of the Parties and their respective representatives, successors, and assigns as permitted by this Agreement. Section 5.10 Amendment. This Agreement may be amended only with the written consent of the Parties. Section 5.11 Interpretation. This Agreement has been negotiated by the Parties, each of which has been represented by counsel; and both Parties acknowledge and stipulate that this Agreements is the product of mutual negotiation and bargaining; consequently, the rule of construction to the effect that DocuSign Envelope ID: 89C32741-BBDA-4C3A-8B40-076678D6FA8E Page 10 any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement. Section 5.12 No Third-Party Beneficiaries. This Agreement is solely for the benefit of the Parties, and neither Party intends by any provision of this Agreement to create any rights in any third-party beneficiaries or to confer any benefit or enforceable rights under this Agreement or otherwise upon anyone other than the Parties. Section 5.13 Governmental Powers. The City does not waive or surrender any of its governmental powers, immunities or rights, except as specifically waived pursuant in this Section 5.13. The City waives its respective governmental immunity from suit and liability only as to any action brought by Developer to pursue the remedies available under this Agreement. Nothing in this Section 5.13 shall waive any claims, defenses or immunities that the City has with respect to suits against it by persons or entities not a party to this Agreement. Section 5.14 Indemnity. (a) Prior to Dedication. Prior to dedication of the Property to the City, the Developer agrees to indemnify, defend and hold harmless, City and its officers, agents, employees and representatives, from and against any and all liability, suits, actions, proceedings, judgments, claims, losses, liens, damages, injuries (whether in contract or in tort, including personal injury, accidental death or property damage, and regardless, of whether the allegations are false, fraudulent or groundless), costs and expenses (including attorney’s fees, litigation, arbitration, mediation, appeal expenses) which in whole or in part arise out of or are connected with, or which are alleged to have arisen out of or to have been connected with this Agreement, except where the same arise out of the City’s gross negligence or willful misconduct. Developer’s obligation to indemnify, defend, and hold harmless as set forth in this Section 5.14(a) shall remain in effect and shall be binding upon Developer even if such injury or damage is discovered after the Property is dedicated to the City. (b) After Dedication. After the Property has been dedicated to the City, the Developer agrees to indemnify, defend and hold harmless, City and its officers, agents, employees and representatives, from and against any and all liability, suits, actions, proceedings, judgments, claims, losses, liens, damages, injuries (whether in contract or in tort, including personal injury, accidental death or property damage, and regardless, of whether the allegations are false, fraudulent or groundless), costs and expenses (including attorney’s fees, litigation, arbitration, mediation, appeal expenses) if and only to the extent they are caused by Developer’s performance of ongoing Developer obligations hereunder. Section 5.15 Incorporation of Exhibits by Reference.
