R93-53 12-20-93 { RESOLUTION NO. R93-53 A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT WITH VERNON G. HENRY AND ASSOCIATES, INC. FOR LANDSCAPE ARCHITECTURAL SERVICES . WHEREAS, the 1993-94 Parks, Recreation and Beautification Budget of the City of Pearland includes funds for city entrance signs and landscaping, development of Hyde Park and general planning services , and WHEREAS, these projects are in the best interest of the citizens of Pearland, NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, THAT: Section 1. The City Manager is hereby authorized to execute and the City Secretary to attest the annexed agreement Exhibit A and counterparts thereof . Section 2. (CONSULTANT) AND THE CITY OF PEARLAND, TEXAS (CLIENT) I. PROJECTS A. Design attractive, standardized park signs usable for all City parks. B. Conceptual design of signs and landscaping for four entrance points into the City. C. Develop a concept plan and tree planting plan for the park area located behind the Chamber of Commerce and adjacent to City Hall and Shadycrest Elementary School D. Develop a preliminary plan for a 1-2 acre neighborhood park within the Alexander Landing subdivision. H. SCOPE OF SERVICES PROJECT "A" - PARK SIGNS The Consultant will prepare preliminary plan ormatting the standard size, shape, lettering style, color and materials for a menu of attrac e, standardized and coordinated signs. The plans will show typical examples of park identcation, direction and informational signs for use as standard designs in all City parks. A preli wary cost estimate will be prepared. PROJECT "B" - CITY ENTRYWAY SIGNS AND LANDSCAPING The Consultant will prepare conceptual drawings for a typical City identification sign for use at four entrance points into the City. These four points are on State Highway 35 at the northern and southern city limits and on F.M. 518 at the eastern and western city limits. The completed drawing, which may be in a freehand format, will show the size, shape and lettering style of the sign with general notes explaining the materials proposed for use. A conceptual plan slowing landscape planting around the sign will also be prepared along with a preliminary cost estimate for the sign and planting. The Client will specify the location at all four entrance points where the signs and landscaping are desired so that the Consultant can design a typical sign that can be used at all locations. As an extra service, the Consultant could assist the Client with plan review by the Texas Department of Transportation.) PROJECT "C" - CHAMBER OF COMMERCE PARK CONCEPT PLAN The Consultant will design and draft a concept plan for the park area located behind the I earland Chamber of Commerce building on Liberty Drive, adjacent to City Hall and near Shadycrest Elementary School. The plan will include and locate the following elements: gazebo/shelter, entry sign, walkways, sitting areas, plazas, tree and shrub planting areas, playground, and water features, if desired. A preliminary cost estimate will be prepared. Following approval of the concept plan, the Consultant will prepare a tree planting plan detailing the individual location, number, type and size for all specified trees. A plant schedule along with planting details will be provided. PROJECT "D" -NEIGHBORHOOD PARK PRELIMINARY PLANS The Consultant will design and draft a preliminary plan for the neighborhood park located on Westminster Street within the Alexander Landing subdivision. The plan will include and locate the following elements: park identification sign, walkways, water fountain, earth berming, picnic and sitting areas, tree plantings, two playgrounds, and open space play areas. Types of equipment within both the younger and older children's playgrounds will be identified. A preliminary cost estimate will be prepared. M. INFORMATION TO BE FURNISHED TO THE CONSULTANT PROJECT "A" E.J 6 G-r'rD The Client will furnish the Consultant with a varietal list of existing informational and directional signs. PROJECT "B" The Client will furnish the Consultant with street paving plans for State Highway 35 and F.M. 518 at the four entryway locations. PROJECT "C" The Client will furnish the Consultant with scaled maps and/or plan depicting the Chamber of Commerce property and existing building, City Hall and the eastern Page 2 of 6 ' a` G\ cO a�a co cCa c . oc\ Je parking area as built, the water tower site, and the school grounds with existing athletic fields. Property surveys with metes and bounds descriptions would be beneficial. PROJECT "D" The Client will furnish the Consultant with the following: a copy of the subdivision plat delineating metes and bounds of the neighborhood park site, a drainage area map for the park site and adjacent street and lots, the street paving plan alongside the park, the location of the nearest available water line, and the park development budget. IV. FEES AND EXPENSES A. LANDSCAPE ARCHITECTURAL SERVICES The fees for services described above will be charged on an hourly basis for the time expended in completing all four projects. The Consultant estimates that the fees incurred will not exceed $5,700. For the Client's budgetary purposes, the estimated fee for each project is as follows: PROJECT "A" 4--- 75 - PROJECT "B" $1,500 PROJECT "C" $1,300 PROJECT "D" $1,400 TOTAL The fee total assumes that all four tasks will be completed concurrently requiring one trip to Pearland to visit all project sites and a second trip to meet and review all prepared plans. Also, the fee total includes a total of four hours for revisions to drafted plans. B. HOURLY RATES The Consultant's standard hourly rates are as follows: Vice President/Landscape Architect $85.00 Sr. Landscape Architect/Planner $75.00 Sr. Draftsman $45.00 Page 3 of 6 G• co Pr' c'\ Draftsman $35.00 Secretary $30.00 C. REIMBURSABLE EXPENSES In addition to fees, the Consultant shall be reimbursed at his cost plus 15% for processing and bookkeeping for direct expenses attributable to the services, such as prints and other reproduction charges, art supplies, long distance and toll telephone calls, etc. Mileage incurred for the use of staff automobiles shall be charged (currently at the rate of $0.32 per mile, but adjustable without notice according to increased operating expenses). Any reimbursable expenses over $100 will be pre-approved by the Client. D. PAYMENT SCHEDULE Hourly fees will be invoiced monthly for services performed in the previous month. All fees and reimbursable expenses shall be payable within eight (8) days of the date of itemized invoice. An interest rate of 15% per annum shall be applicable to all accounts thirty (30) days past due. In the event that it becomes necessary for the Consultant to retain an attorney to assist with the collection of fees, reasonable attorney's fees and court costs may be charged to the Client in addition to the Consultant's outstanding fees, expenses, and interest. E. ESCALATION In the event that all services to be performed under this contract are not completed by January 1, 1995, the Consultant shall have the right to adjust the hourly fee rates for changes or extra services in accordance with cost of living/inflation rates in the Houston areas as published by the Bureau of Labor Statistics, U.S. Department of Commerce. VI. TERMINATION If any work the Consultant performs is abandoned in whole or in part through no fault of the Consultant, the Consultant is to be paid for the services performed prior to receipt of written notice from the Client of such abandonment or suspension together with reimbursements then due. This Agreement may be terminated by either party upon receipt of written notice five (5) days prior to the effective date of termination should the other fail substantially to perform in Page 4 of 6 <ep G� CY c� accordance with its terms through no fault of the other. In the event of termination due to the fault of other than Vernon G. Henry & Associates, Inc. the Consultant shall be paid for services then due. This Agreement shall not be regarded as terminated until all the outstanding fees and expenses have been paid in full. Vl. OWNERSHIP OF DOCUMENTS Drawings and specifications as instruments of service remain the Consultant's property whether the work for which they are made be executed or not and are not to be used on other projects without the Consultant's written consent. Conversely, they shall not be used by the Consultant on any other project without the Client's written consent. The Client shall have the right to prints (including reproducible prints) of all drawings prepared as part of these services provided the Client's account is not past due. These prints shall be provided as a reimbursable expense. If the account is past due, the Client shall not have the right to use the drawings for any purposes. VIII. CHANGES Any work occasioned by changes requested by the Client after prior approval has been given for those services will be subject to an additional charge at the Consultant's standard hourly rates as previously listed herein. IX. EXTRA SERVICES Any services requested by the Client in addition to those outlined above will be charged as an extra service for the time incurred at the Consultant's standard hourly rates as previously listed herein. Extra services would include additional site visits, meetings, plan revisions, irrigation design, bidding assistance and related correspondence beyond the limits stipulated herein. X. SUCCESSORS AND ASSIGNS The Client and the Consultant each binds themselves, their partners, successors, assigns and legal representatives to the other party of this Agreement and to the partners, successors, assigns, and legal representatives of such other party in respect to all covenants of this Agreement.
