RESOLUTION NO. R2023-16 A Resolution of the City Council of the City of Pearland, Texas, authorizing an architectural services contract with Quorum Architects, associated with the Hillhouse Road Annex Phase II and the Orange Street Service Center Phase II Project, in the estimated amount of $2,388,800.00. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain contract for architectural services associated with the Hillhouse Road Annex Phase II and the Orange Street Service Center Phase II Project, a copy of which is attached h ereto as Exhibit “A” and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest a contract for architectural services associated with the Hillhouse Road Annex Phase II and the Orange Street Service Center Phase II Project. Revised 04/2019 CONTRACT FOR PROFESSIONAL SERVICES THIS CONTRACT is entered into upon final execution by and between the City of Pearland ("CITY") and Quorum Architects, Inc. ("CONSULTANT"). The CITY engages the CONSULTANT to perform professional services for a project known and described as Hillhouse Road Annex Phase II and Orange Street Service Center Phase II ("PROJECT"). (Project #FA2106 & FA1902) SECTION I - SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to CITY standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSULTANT shall provide design services. See Exhibit A, attached, for a detailed SCOPE OF WORK and PROJECT schedule. The PROJECT schedule shall be submitted in digital and hard copy form in the Microsoft Project for Windows format. B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost of the PROJECT. C. The CONSULTANT acknowledges that the CITY (through its employee handbook) considers the following to be misconduct that is grounds for termination of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants, and/or collecting reimbursement of expenses made for the benefit of the CITY. The CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY employee to engage in such misconduct. D. The CONSULTANT shall submit all final construction documents in both hard copy and electronic format. Plans shall be AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current CITY standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. All Record Drawings electronic files shall be submitted to the CITY in TIF format. E. The CONSULTANT recognizes that all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon request, shall become subject to the Open Records Laws of this State. F. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors Exhibit A DocuSign Envelope ID: A602D6FE-70C5-40F6-987F-763DD612D75A Design 2 of 7 D2 Revised 04/2019 and omissions relating to the performance of any work by the CONSULTANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers’ Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. The CONSULTANT shall include the CITY as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers’ Compensation. The CONSULTANT shall agree to waive its Right to Subrogation. Certificates of Insurance and endorsements shall be furnished to the CITY before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and/or reduced in coverage or in limits (“Change in Coverage”) except with prior written consent of the CITY and only after the CITY has been provided with written notice of such Change in Coverage, such notice to be sent to the CITY either by hand delivery to the City Manager or by certified mail, return receipt requested, and received by the City no fewer than thirty (30) days prior to the effective date of such Change in Coverage. Prior to commencing services under this CONTRACT, CONSULTANT shall furnish CITY with Certificates of Insurance, or formal endorsements as required by this CONTRACT, issued by CONSULTANT’S insurer(s), as evidence that policies providing the required coverage, conditions, and limits required by this CONTRACT are in full force and effect. G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT, his officers, employees, agents, or subcontractors under this CONTRACT. H. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the CITY. SECTION III - CONSULTANT'S COMPENSATION A. The total compensation for the services performed shall not exceed the total noted in Section B. B. The CITY shall pay the CONSULTANT in installments based upon monthly progress reports and detailed invoices submitted by the CONSULTANT based upon the following: Hillhouse Road Annex Phase II 1. Basic Services (Lump Sum) $544,000.00 2. Additional Services shall require independent and specific authorization and shall be billed as (Lump Sum): $186,600.00 3. Bid Phase Services (Hourly Not to Exceed) $20,000.00 4. Construction Phase Services (Hourly Not to Exceed) $204,000.00 5. Reimbursable Expenses (Not to Exceed) $0.00 6. Total: $954,600.00 Orange Street Service Center Phase II 7. Basic Services (Lump Sum) $871,400.00 8. Additional Services shall require independent and specific authorization and shall be billed as (Lump Sum): $206,800.00 9. Bid Phase Services (Hourly Not to Exceed) $32,000.00 10. Construction Phase Services (Hourly Not to Exceed) $324,000.00 11. Reimbursable Expenses (Not to Exceed) $0.00 12. Total: $1,434,200.00 C. The CITY shall make payments to the CONSULTANT within thirty (30) days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. The Billing Period shall run from the 26th day to the 25th day of each consecutive month. Invoices shall be submitted to CITY not more frequently than once every 30 days. CONSULTANT shall be responsible for timely submittal of all invoices and CONSULTANT shall not be entitled to payment for invoices in arrears. All invoices shall reflect most recent single Billing Period only and represent the true, correct and accurate account of work performed during the Billing Period. E. For an agreed contract amount identified as “Lump Sum”, Not to Exceed” and “Reimbursable” the CONSULTANT shall not exceed the fixed contractual amount without written authorization in the form of a Contract Amendment. CONSULTANT shall provide 45 days prior notice to the CITY in the event contract fees may exceed the fixed contract amount. CONSULTANT shall be responsible for ensuring that such authorization is complete and executed by all parties performing any work or submitting any invoices for work that exceeds the fixed contract amount under any expense category. F. Allowable Reimbursable Expenses CONSULTANT shall identify and include in the proposal any anticipated Reimbursable Expenses, and shall itemize Reimbursable Expenses by work category. Reimbursable Expenses shall be invoiced AT COST without subsequent markup by the CONSULTANT. All invoices containing a request for Reimbursable Expenses shall include copies of the original expense receipts itemized per the allowable category. Allowable Reimbursable Expenses include: • Hard copy reproductions, copies and/ or binding costs • Postage • Mileage, for travel from Consultant’s local office (within a 25 mile radius) to meetings at the City or job-site. Mileage shall be charged at the current IRS rates. • Travel expenses, mileage from local office to State or federal regulatory agency office beyond 100 miles. • Lodging expenses, for destinations beyond 100 miles from the Consultant’s local office AND when business hours exceed eight hours within one business day OR requires more than one eight hour day. F.2. Disallowed Expenses Disallowed Expenses include travel expenses for professional expertise traveling into the greater Houston area from Consultant offices outside of the greater Houston area. The CITY shall designate a project manager during the term of this CONTRACT. The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the CITY on any aspect of the work shall be directed to the project manager. B. The CITY shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The CITY will keep the CONSULTANT advised concerning the progress of the CITY'S review of the work. The CONSULTANT agrees that the CITY'S inspection, review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub- consultant(s) or in any way affect the CONSULTANT’S status as an independent contractor of the CITY. SECTION V - TERMINATION A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason -- with or without cause -- by delivering written notice to CONSULTANT personally or by certified mail at 825 W. Vickery Blvd., Ste. 100, Fort Worth, TX 76104. Immediately after receiving such written notice, the CONSULTANT shall discontinue providing the services under this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the CITY on or before the 15th day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination. The CITY shall make final payment within sixty (60) days after the CONSULTANT has delivered to the CITY a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum, the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the scope of work. E. In the event this CONTRACT is terminated, the CITY shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT breaches any provision of this CONTRACT, then the CITY shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney’s fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and CITY desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this, the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. SECTION VI – ENTIRE AGREEMENT This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and supersedes all prior negotiations, representations, or contracts, either written or oral. This CONTRACT may be amended only by written instrument signed by both parties. SECTION VII – COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CONTRACT. For breach or violation of this clause, the CITY may terminate this CONTRACT without liability, and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent fee that has been paid. This proposal will become Attachment A to the City’s Professional Services Standard Agreement. As requested by the City, the revised proposal was reduced with the understanding that some of the work previously provided to the City for this project, including electronic cad files could be used by QAI, and further reduced for the February 2022 submittal based on site / civil comments and as directed by the City such as removing Traffic Impact Analysis. Additionally, the programming previously performed for the City on this project will be used by Quorum as a starting point for design. Based on the directive to reduce our fee for programming there is a mutual understanding that the City will provide any additional programming needs to Quorum prior to beginning work. The conceptual layout of spaces will be redesigned, and during the initial design phase Quorum will rely on the City to provide any changes necessary from the initial programming document as it affects the spaces, layout, sizes and relationship. We anticipate developing a design working closely with the City’s leadership and Public Works guidance in a collaborative effort. Quorum’s team will include the local Kimley Horn office in Pearland for Civil Engineering / Landscape and Houston based JQ Consultants for structural engineering. For the general basis of this proposal, we understand the Hillhouse Rd project will include an approximately 17,000 sq. ft Fleet building and an approximately 9000 sf Parks Maintenance building. This project will be further developed upon completion of programming and a site master plan. The Orange St Service Center Phase 2 project will be a phased reconstruction of the site incorporating approximately 40,000 sf to 50,000 sf for a new Operations and Maintenance Building and associated parking. This is intended to house Distribution & Collection, Street & Drainage, and Environmental Services Departments. Due to the need to free up space on the existing Orange St site before a phased reconstruction project can begin, we anticipate focusing our early design efforts primarily on Hillhouse Rd so once that is completed, Fleet and Parks can move from Orange St to Hillhouse Rd. We anticipate there may need to be additional temporary relocation of some Orange St employees to maximize as much construction as possible on the new O&M building and surrounding site, and to minimize the amount of phasing and moving of various departments making the reconstruction more DocuSign Envelope ID: A602D6FE-70C5-40F6-987F-763DD612D75A efficient and less costly. At the request of the City, we have mutually agreed to overlap the design efforts where possible, likely beginning Orange Street Service Center design sometime during Design Development of Hillhouse Service Center. The City would like to overlap construction efforts as well, but that schedule will need to be developed by a CMaR once selected, based on available space for construction, staging, material storage, etc. Our goal will be to overlap design enough so that the CMaR could overlap construction if there is adequate space available for the on-site phased reconstruction efforts, however due to space limitations this likely will not be possible until Fleet and Parks moves to Hillhouse Rd.. The facilities will be designed for wind speeds as required by the applicable codes. Wind Storm Design Certification and Post Construction Inspection Certification are included as described under Supplemental Services. We have not included Platting at the direction of the City since we understand both properties are platted, and no additional related work will be required. Security access control and data cabling will be provided internally by City of Pearland and their current IT vendors. We will coordinate with the City and Convergent like we did for the Animal Shelter design. We have removed Traffic Impact Analysis in the revised proposal since the City does not feel it will be needed at Orange St. and TxDot is already working on something for Hillhouse. If this or platting becomes necessary, it will be addressed as additional services at a later date. BASIC DESIGN SERVICES A. Schematic Design – The Architect shall prepare, for approval by the City, Programming, Concept plans, and ultimately Schematic Design Documents consisting of drawings and other documents illustrating the scale and relationship of Project components. This Schematic Design phase will start with the Hillhouse Rd. site first, followed by the Orange St site as we near completion of Design Documents for Hillhouse Rd. It is our understanding from the City that most of the programming that was done for the remaining Orange St Divisions is likely still valid and the effort required for programming Orange St will be limited, followed by a new Conceptual Site Master plan and floor plans. Architect will utilize related unit costs for similarly constructed facilities recently designed by Quorum as a basis for using square foot costing methods, until a CMaR is selected by the City before Design Development commences. During Schematic Design, Architect shall have a topographic survey of the sites developed and engage the services of a geotechnical engineer for the Hillhouse Rd. site based on conceptual preliminary drawings. Architect will utilize the previous geotechnical work done for the Orange St site. We anticipate including two conceptual renderings for each site showing proposed massing elements, however, these will only be schematic at this point and may be very conceptual to be refined in later design phases. Although the City mentioned a concern for unknown subsurface conditions at the Orange St site based on historical use of the site, and their concern that geotechnical may not find specific areas, there is not much we can do during design, but we will work with the CMaR to request they have allowances in their proposal for addressing this possibility. Work during this phase will include initiating discussions with the City’s planning and development department as well as IT, Fire Marshall, and Facilities and possibly a preliminary Development Review meeting if possible. Design Development – Based on the approved Schematic Design Document and any adjustments authorized by the City in the program, schedule or construction budget, the Architect shall prepare, for approval by the City, Design Development Documents consisting of drawings and other documents to fix and describe the size and character of the Project as to architectural, structural, mechanical, and electrical systems, site civil layouts, materials and such other elements as may be appropriate. Generally, most of the drawing sheets will be started as well as most specification sections, although the details of each will be completed during Construction Document development. Architect shall update the renderings from Schematic Design. Work during this phase will continue to be coordinated with the City’s planning and development department as well as IT, Fire Marshall, and Facilities culminating in another Preliminary Development meeting. Architect will utilize the services of the City selected CMaR for cost estimates, budgeting, and construction planning. C. Construction Documents – Based on the approved Design Development Documents and any further adjustments in the scope or quality of the Project or in the construction budget authorized by the City, the Architect shall prepare, for approval by the City, Construction Documents consisting of Drawings and Specifications setting forth the requirements for the construction of the project as required to obtain building permit approvals. Architect will assist in permit application and submission with final permit being obtained in the name of the selected contractor. D. Bidding – The Architect will assist the City and CMaR in bidding, including attending Pre- proposal meeting, development of addenda as necessary and answering bidder’s RFI’s, questions of clarifications on the Documents, and other concerns. Architect will provide electronic versions of conformed Documents and coordinate with Contractor to execute contracts. A maximum of five printed sets and electronic pdf sets for each site, will be provided to the Owner The CMaR will be responsible for their printing and other printed sets that become necessary. During this phase we expect our efforts to be somewhat limited since the CMaR will be involved in screening many of the questions from sub contractors. E. Construction Contract Administration (CCA) –The Architect shall provide administration of the Contract for Construction as set forth below, unless otherwise provided in this proposal. The Architect, as a representative of the City, shall visit the site at intervals appropriate to the stage of the Contractor’s operations, or as otherwise agreed by the City and the Architect, (1) to become generally familiar with and to keep the City informed about the progress and quality of the portion of the Work completed, (2) to endeavor to guard the City against defects and deficiencies in the Work, and (3) to determine, in general, if the Work is being performed in a manner indicating that the Work, when fully completed, will be in accordance with the Contract Documents. However, the Architect shall not be required to make exhaustive or continuous on-site inspections to check the quality or quantity of the Work. The Architect shall neither have control over or charge of, nor be responsible for, the construction means, methods, techniques, sequences nor procedures, or for safety precautions and programs in connection with the Work, since these are solely the Contractor’s rights and responsibilities under the Contract Documents. However, the Architect shall not be responsible for the Contractor’s failure to perform the Work in accordance with the requirements of the Contract Documents. The Architect shall be responsible for the Architect’s negligent acts or omissions but shall not have control over or charge of and shall not be responsible for acts or omissions of the Contractor, Subcontractors, or their agents or employees, or of any other persons or entities performing portions of the Work. For the purpose of this revised proposal and reduced scope and as requested by the City, for the Hillhouse Rd site, we have assumed a maximum of twenty four (24) site visits over a twelve (12) month construction period, including one (1) pre- construction meeting, one (1) substantial completion inspection and one (1) final review site visit. For the Orange St site, for the purpose of this revised proposal, we have assumed a maximum of thirty six (36) site visits over an 18 month schedule, (this construction period will take longer than Hillhouse Rd due to phasing complexities and size), including one (1) pre-construction meeting, one (1) substantial completion inspection and one (1) final review site visit. Additional visits or extended CCA time period may become necessary depending on the contractor’s construction schedule and management of the project and will be performed as Additional Services if required. At completion of construction Architect shall coordinate with Contractor and use their provided as-built drawings along with the architect’s changes during construction, to produce hard copy and electronic Record Documents, as required by the City. Printing hard copy versions of construction sets is not included and should be part of the CMaR’s responsibility. SUPPLEMENTAL SERVICES A Civil Engineer and Survey- As directed by the City, the Architect shall procure the services of civil engineer and surveyor to include necessary topographic and site work as part of the construction documents, including on-site work such as grading, paving, and utility plans, as well as erosion control, hydrology and drainage calculations if required, for the area disturbed and affected by development. This task also includes Landscape Architect to provide landscape and irrigation drawings. See Attachment B for Civil scope and description. Note after discussing the original proposal with the City and per their directive we have removed the Tree Survey but if certain trees are to remain on site or if we’re asked to provide tree mitigation calculations then we may need to add this scope back later. We also removed TIA (both projects), and the TIA Threshold Worksheet from Orange St site, as well as the LOMR -F (for Hillhouse only) typically require for projects in the floodplain. If this is required later by the City it could be added back into the contract. Additionally we have been directed to remove Franchise Utility Coordination and enhanced Landscape Design beyond code minimum, and to change the Civil Construction Phase services to Hourly not to exceed which resulted in Civil engineering limiting their time to 38 hours for Hillhouse Rd and 48 hours for Orange Steet during construction. We were also asked to change civil permitting and project meetings to hourly resulting in Civil Engineering limiting their time to 34 and 33 hours respectively for each site. Equipment Coordination – Quorum will coordinate existing equipment to be relocated including necessary utility requirements as well as coordinate new built in equipment included as part of the construction contract. TDLR Review and Inspection - Architect to coordinate TDLR review and inspection with local TDLR RAS or preferred RAS of choice by City of Pearland. D. Geotech Investigation – Quorum has included a Geotechnical investigation for Hillhouse Rd and has kept a placeholder in Orange St. to be used only if need for additional borings. Per discussions with the City, an Environmental Analysis is not included in our scope. E. Wind Storm Design / TDI Certification and Post Construction Inspection and Certification – As requested by the City, Architect shall, through a consultant, provide wind storm design, post construction inspection and certification. Generally, the scope of this is described below: i. Preparation of WPI-1 certificate in accordance with the Texas Department of Insurance requirements prior to the start of construction. ii. Review of curtainwall / storefront, roofing, and rooftop mechanical unit submittals for conformance with TDI. iii. A maximum of eleven (11) additional site observations during construction to observe the roofing securement to the base structure and louvers or door / glazing system attachments to base structure. (six visits for 2 buildings at Hillhouse and five visits at Orange St) iv. Quorum Architects, Inc. will provide the City with architectural services as required and agreed upon for satisfactory and normal completion of this project. The Architect and its Consultants shall have no responsibility for the discovery, presence, handling, removal or disposal of or exposure of persons to hazardous materials in any form at the Project site. 3. In performing Architectural Services, the Architect shall use that degree of care and skill ordinarily exercised under similar circumstances by competent members of the architecture profession. Notwithstanding compliance with this standard of care, the City can normally anticipate that some changes and adjustments in the project will be required either during or after construction. The City agrees to establish a construction contingency fund of no less than 5% of the estimated construction cost to cover the reasonably anticipated costs of these changes and adjustments as well as, changes due to code revisions and field conditions. The boundary portion of this task will consist of the associated property boundary and any easements represented and provided per the title documents provided by the City. The scope of work for the topographic information will include the area in the direct vicinity around the proposed improvements, the full width right-of-way adjacent to the site and will be limited to a total of 12.7 acres. The survey will include the following items: 1. Horizontal and vertical control will be established based on the existing site boundary. 2. Two originating benchmarks will be identified and at least three temporary benchmarks will be placed upon the site and noted on the survey, in detail. 3. Elevations will be obtained on a 50 foot by 50 foot grid with a 10 foot overlap onto adjacent properties where a right of entry has been obtained by the City, including the location of any substantial, visible improvements in the overlap areas. 4. Elevations will be obtained at a minimum on 50 foot intervals at the centerline, top of curb, gutter, edge of pavement, edge of shoulder, and flow line of the storm and sanitary sewer. 5. Contour lines at a one-foot interval will be indicated on the survey map as dashed lines. 6. The size of pipes, invert elevations, and top of casting elevations will be obtained and indicated on the survey map for sanitary and storm sewers on the surveyed property or which appear to, or are known to, affect the subject property. 7. Utility information shown on the survey is based on visible above ground improvements and evidence found on-site at the time survey, coupled with markings from Onecall, and available record drawings from the City of Houston, CenterPoint Energy, and ATT Telephone Company at the time of survey. 8. Kimley-Horn is not responsible for abstracting subject property. Kimley-Horn will review and show all existing encumbrances as reflected in the current title commitment provided by Client and is subject to the limitations and restrictions of that commitment. 9. Review of any oil, gas & mineral leases or rights as located within a current title commitment are beyond the scope of this contract, and will not be reflected or noted on the final survey. The scope items listed above are what can be expected at this time based on our previous experience with the City of Pearland and the size of the proposed development. Traffic data collection, traffic impact analysis, and services beyond the completion of the TIA Threshold Worksheet are not included as part of this task. Task 3 – Civil Schematic Design Kimley-Horn will assist the Client with conceptual site planning – evaluating civil related issues for the proposed site (i.e. traffic circulation and access, truck access, building setbacks, easements, etc.). Based on the final concept site plan and boundary and topographic survey provided by the Client, Kimley-Horn will prepare an engineered, dimensionally correct site plan as well as a proposed finished floor elevation, and one-line water, sanitary sewer, and storm layouts. This task includes the preparation of one (1) exhibit depicting the civil-related design elements listed above. Task 4 – Civil Design Development Kimley-Horn will prepare design development civil engineering plans for the proposed on-site improvements in general accordance with the published City requirements. The plans will be prepared for the clients use in estimating construction costs and are not intended for permitting or construction. The plans will be prepared one time and any revisions to the site plan that trigger the need for a redesign will be considered additional services. Task 6 – Detention & Floodplain Mitigation Verification This task is intended to capture the effort required in reviewing record drawings, topographic survey, and other information provided by the Client and City to confirm how much detention and floodplain mitigation that the existing pond on site have adequate detention volume to serve the proposed development and that no additional detention volume will be required. This task does not include a hydraulic analysis of the existing storm or detention system or a floodplain study. Task 7 – Code Minimum Landscape Plan Kimley-Horn will prepare Landscape Plans in an effort to comply with the directives of the Client and the minimum landscape requirements set forth in the review agency’s published regulations. This task shall include the location, size, quantity, scientific name, common name, and specifications for planting materials, as well as calculations showing the requirements and relevant notes and details. This task does not include revisions to the Plans necessitated by material site plan changes directed by the Client or their representatives. Subsequent modifications resulting from material site plan changes directed by the Client or their representatives shall be considered an addition to this agreement. Additional services will be provided on an hourly basis in accordance with the attached rate schedule, as authorized by the Client or their representatives. Task 8 – Irrigation Plans Following 95% final approval from the review agency and Client of the Landscape Plans, Kimley-Horn will prepare Irrigation Plans. The Irrigation Plans will identify a proposed head/drip layout, valve size and location, point of connection and related appurtenances, pipe sizes, sleeve locations, and Controller location. The plans shall include the Client’s preferred irrigation equipment type (Toro, Hunter, Rainbird, etc.) and irrigation equipment power source (Electrical or Solar). The effort for this task includes up to one (1) submittal (CD). This task does not include revisions to the Plans necessitated by material site plan changes directed by the Client or their representatives. Subsequent modifications resulting from material site plan changes directed by the Client or their representatives shall be considered an addition to this agreement. Additional services will be provided on an hourly basis in accordance with the attached rate schedule, as authorized by the Client or their representatives. Task 9 – Permitting & Submittals Plans and calculations will be submitted for review and comment. This task is intended to capture the anticipated effort required in permitting with the City Staff. Because the extent of the review comments required by each agency for plan approval and public meetings is unknown at this time, we have projected our effort at 34 hours based on our experience working in the City. If additional effort is requested by Client, reviewing agency, or other members of the project team, it will be billed as an additional service, in excess of the budget amount estimated. Task 10 – Utility Easement Preparation Through a sub-consultant, Kimley-Horn will prepare a metes & bounds legal descriptions and exhibit for up to two (2) onsite utility easements. The exhibit will contain one legal description and one exhibit to serve as a visual reference only. Task 11 – Storm Water Pollution Prevention Plan (SWPPP) Kimley-Horn will prepare a Storm Water Pollution Prevention Plan (SWPPP) for the site in general accordance with current published Texas Commission on Environmental Quality (TCEQ) standards. This task will incorporate the Erosion Control Plan for the site, prepared under a separate task, to be included with the SWPPP report. The contractor will be responsible for all permit applications, inspections, record keeping, and adjustments to the SWPPP during construction in accordance with the terms of their permits. Task 12 – Project Meetings At the request of the Client, Kimley-Horn will attend coordination meetings with the design team and City to assist the design process. This task assumes 33 hours of effort will be required based on reasonable requests by the Client. Should additional meetings or coordination be required, this effort will be billed on an hourly basis in addition to the lump sum fee provided in this agreement. Task 13 – Construction Phase Services Kimley-Horn will provide professional construction phase services as specifically stated below for up to 38 total hours of effort based on our understanding of the project scope and the anticipated construction timeline of 12 months. Pre-Construction Conference. Consultant will attend a Pre-Construction Conference prior to commencement of Work at the Site. Visits to Site and Observation of Construction. Consultant will provide on-site construction observation services during the construction phase. Consultant will make visits at intervals as directed by Client in order to observe the progress of the Work. Such visits and observations by Consultant are not intended to be exhaustive or to extend to every aspect of Contractor's work in progress. Observations are to be limited to spot checking, selective measurement, and similar methods of general observation of the Work based on Consultant’s exercise of professional judgment. Based on information obtained during such visits and such observations, Consultant will evaluate whether Contractor's work is generally proceeding in accordance with the Contract Documents, and Consultant will keep Client informed of the general progress of the Work through an observation report, as requested. Consultant shall not, during such visits or as a result of such observations of Contractor's work in progress, supervise, direct, or have control over Contractor's work, nor shall Kimley-Horn have authority over or responsibility for the means, methods, techniques, equipment choice and usage, sequences, schedules, or procedures of construction selected by Contractor, for safety precautions and programs incident to Contractor's work, nor for any failure of Contractor to comply with laws and regulations applicable to Contractor's furnishing and performing the Work. Accordingly, Consultant neither guarantees the performance of any Contractor nor assumes responsibility for any Contractor's failure to furnish and perform its work in accordance with the Contract Documents. Attendance at Owner, Architect, Contractor Meetings. When requested by the Owner or Client, Consultant will attend Owner, Architect, Contractor (OAC) meetings to discuss civil related construction items. It is anticipated that the Consultant will not always be required to physically attend every meeting and will only be required to be present for items which are directly related to the civil scope of work. Recommendations with Respect to Defective Work. Consultant will recommend to Client that Contractor's work be disapproved and rejected while it is in progress if, on the basis of such observations, Consultant believes that such work will not produce a completed Project that conforms generally to Contract Documents. Clarifications and Interpretations. Consultant will respond to reasonable and appropriate Contractor requests for information and issue necessary clarifications and interpretations of the Contract Documents to Client as appropriate to the orderly completion of Contractor's work. Any orders authorizing variations from the Contract Documents will be made by Client. Change Orders. Consultant may recommend Change Orders to Client and will review and make recommendations related to Change Orders submitted or proposed by the Contractor. Shop Drawings and Samples. Consultant will review and approve or take other appropriate action in respect to Shop Drawings and Samples and other data which Contractor is required to submit, but only for conformance with the information given in the Contract Documents. The boundary portion of this task will consist of the associated property boundary and any easements represented and provided per the title documents provided by the City. The scope of work for the topographic information will include the area in the direct vicinity around the proposed improvements, the full width right-of-way adjacent to the site and will be limited to a total of 12.7 acres. The survey will include the following items: 1. Horizontal and vertical control will be established. 2. Two originating benchmarks will be identified and at least three temporary benchmarks will be placed upon the site and noted on the survey, in detail. 3. Elevations will be obtained on a 50 foot by 50 foot grid with a 10 foot overlap onto adjacent properties where a right of entry has been obtained by the City, including the location of any substantial, visible improvements in the overlap areas. 4. Elevations will be obtained at a minimum on 50 foot intervals at the centerline, top of curb, gutter, edge of pavement, edge of shoulder, and flow line of the storm and sanitary sewer. 5. Contour lines at a one-foot interval will be indicated on the survey map as dashed lines. 6. The size of pipes, invert elevations, and top of casting elevations will be obtained and indicated on the survey map for sanitary and storm sewers on the surveyed property or which appear to, or are known to, affect the subject property. 7. Utility information shown on the survey is based on visible above ground improvements and evidence found on-site at the time survey, coupled with markings from Onecall, and available record drawings from the City of Houston, CenterPoint Energy, and ATT Telephone Company at the time of survey. 8. Kimley-Horn is not responsible for abstracting subject property. Kimley-Horn will review and show all existing encumbrances as reflected in the current title commitment provided by Client and is subject to the limitations and restrictions of that commitment. 9. Review of any oil, gas & mineral leases or rights as located within a current title commitment are beyond the scope of this contract, and will not be reflected or noted on the final survey. If any oil, gas, or mineral leases or rights are located within a current title commitment, and review is requested, it will be deemed an additional service. 10. Times for performance shall be extended as necessary for delays due to circumstances that Kimley-Horn does not control. Kimley- Horn shall not be liable or be deemed in breach because of delays caused by any factor outside of its reasonable control. Due to the everchanging circumstances surrounding the COVID-19 Virus, situations may arise during the performance of this Agreement that affect availability of resources and staff of Kimley-Horn, the client, other consultants, and public agencies. There could be changes in anticipated delivery times, jurisdictional approvals, and project costs. Kimley-Horn will exercise reasonable efforts to overcome the challenges presented by current circumstances, but Kimley-Horn will not be liable to Client for any delays, expenses, losses, or damages of any kind arising out of the impact of the COVID-19 Virus. ADDITIONAL SERVICES Any services beyond the Scope of Services described in the tasks above shall be considered additional services. Services that have been excluded from the scope due to direction from the Client have been listed below. The Consultant can provide these services, if needed, upon the Client’s issuance of a written request.
