• RESOLUTION NO. 74-13 A RESOLUTION AUTHORIZING THE MAYOR TO EXECUTE AGREEMENT WITH THE STATE.OF TEXAS AND THE ATCHISON, TOPEKA AND SANTA FE RAILWAY COMPANY, FOR INSTALLATION OF GRADE CROSSING PROTECTION SIGNALS ON KNAPP ROAD. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS; Section 1. That the certain agreement dated the 6th day of June„-1974-,-.between. the State of Texas, Party of the First Part, and The Atchison, .Topeka and Santa Fe Railway Company, Party of the' Second Part, and the City of Pearland, Party of the Third Part, for the installation of automatic grade crossing protection devices on Knapp Road where the line of the .- _ railroad company.crosses at a point 368 feet south. of Railroad Milepost -12, . in Pearland, Brazoria County, Texas, as shown on"Exhibit A", attached to the agreement, be and the same is hereby approved,and Carlton McComb, Mayor of the City of Pearland is hereby authorized to execute said contract on behalf of said city and to transmit the same to the State of Texas for appropriate action. DATED: March 21, 1977 AGREEMENT, Made thi s 21st day of March , 19 77 , between THE ATCHISON, TOPEKA ANo-SANTA FE RAILI-JAY Cor'1PANY, a Delaware corporation (hereinafter ca 11 ed "Santa Fe"), as First Party; and CITY OF PEARLANrr, TEXAS, a municipal corporation of Brazoria County, acting herein by its Mayor hereunto duly authorized (hereinafter called "City"), as Second Party. WITNESSETH: R E CrT A L S: City desires to use a certain portion of Santa Fe's property at Pearl and, Brazoria County, Texas, upon which to construct and thereafter maintain and use a public road, which is agreeable to Santa Fe upon the terms and conditions hereinafter stated. AGREEMENT ARnCLE I 1. Santa Fe, for and in consideration of the sum of One and No/lOa Dollars ($1.00) cash to it paid by City, the receipt whereof is hereby acknowledged, and of the full and faithful performance by City of its covenants hereinafter set forth, hereby licenses City to use a portion of Santa Fe's property situated at Pearland, Brazoria County, Texas, for the purpose of constructing, maintaining and using a public road, the property, license to use which is hereby given, being shown in red on print AGM-Engineering, Amarillo, Texas, dated Nov. 9, 1976, hereto attached, marked Exhibit "A", and made a part hereof. 2. Santa Fe agrees that it will, at City's expense, make adjustments to railroad communications lines at the crossing location. 3. Santa Fe agrees that it will, at City's expense, install two standard flashing light signals with gates at the crossing location. 4. Santa Fe agrees that it will, at City's expense, relocate two whistle post signs for the crossing. 5. Santa Fe agrees that it will, at City's expense, install 40 ft. full depth timber crossings on its Main Track and Track No.1, provided that in the event of discontinuance of use by Santa Fe of said tracks all obligations assumed by it hereunder as to such tracks shall cease and be at an end. 6. Santa Fe agrees that it will, at City's expense, raise Track No.1 to meet the grade of the street at the crossing location. 7. Santa Fe agrees that it will, at its own expense, maintain the whistle post signs, timber crossings within the limits of the ties, and the grade crossing warning devices; however, Santa Fe shall be entitled to receive any contribution toward the cost of such maintenance on said grade crossing warning devices as may be now or hereafter made available by reason of any law, ordinance, regulation, order, grant or by other means or sources. ARTICLE II In consideration of the aforesaid license, City covenants and agrees to and with Santa Fe as follows: 1. That it will use the licensed premises exclusively as a site for a public road. 2. That it will not let or sublet the whole or any part of the licensed premises for any purpose whatsoever or assign this license without the" written consent of Santa Fe in each instance. - 2 - 3. That in case of eviction of City by anyone owning or claiming title to the whole or any part of the licensed premises, Santa Fe shall not be liable to City for any damage of any nature whatsoever. 4. That if the licensed premises, or any part thereof, cease to be used at any time for the purpose licensed, City will deliver up to Santa Fe the possession of the whole, or such part so ceased to be used. 5. That it will use the licensed prem~ses and maintain the public road to be located thereon in such manner as not to interfere with, hinder, or in any manner obstruct the use by Santa Fe of the railroad or other property adjacent thereto. In the event of a breach of this covenant at any time, City will, within ten (10) days after receipt of written notice from Santa Fe thereof, do whatever may be necessary to remedy such condition, and if City should fail so to do within said time, Santa Fe may do so at City's expense, bill for the cost of which City will promptly pay. 6. That no legal right of Santa Fe to maintain, use and relocate the railroad track or tracks or other railroad facilities now located upon the licensed premises, or to construct and thereafter maintain, use and relocate any additional track or tracks or other railroad facilities as it may desire upon or across said licensed premises shall be in anywise affected by the giving of this license. ~: ~'. That it will bear and pay the entire cost of constructing and maintaining the public road or street upon the licensed premises (except the portions thereof to be maintained by Santa Fe, as provided in Section 7 of Article I), including any and all drainage facilities made necessary or required because thereof and all paving, curb and gutter and sidewalks. 8. That it will pay to Santa Fe, upon receipt of an itemized bill therefor, the actual cost for those items of work as covered under Sections 2, 3, 4, 5 and 6 of Article T. 9. That if it shall become necessary in the future reconstruction and/or maintenance of said public road or street to make any changes or alterations in Santa Fe's right of way fences, signal, pO\ller and/or communication pole and Wlre lines, and/or other facilities located upon the 1 icensed premises, such changes or alterations, if agreeable to Santa Fe, will be made by Santa Fe at City's expense, bill for the cost of which City will promptly pay. 10. To make any and all arrangements that may be necessary tc secure the location or relocation of wire lines, pipe lines and other facilities owned by private persons, companies, corporations, political subdivisions or public utilities other than Santa Fe which it may be found necessary to locate or relocate in any manner whatsoever due to the construction of said public road. 11. That it will do no work on Santa Fe's property without first contacting Santa Fe's Superintendent at Temple, Texas, and securing his approval of such work. 13. That this license is made subject to all valid, existir.g and future contracts, agreements, licenses and easements which may affect said property, covering roads, public or private; pole lines and appurtenances; pipe lines, or other facilities; provided, however, that in the event pipe lines or pole lines are constructed across the licensed premises, such crossings, ar.d any excavation, tunnels, or paving cuts shall be made at the expense of the one making such excavation or paving cuts as well as any and all repairs necessary to restore the licensed premises to the condition it was in prior to such work. 14. That effective with the opening of the nevi grade crossing at Walnut Street Railway Company's Mile Post 9 + 3845 ft., the existing grade crossing at Pear Street Railway Company's Mile Post 9 + 4532 ft. will be forever closed and abandoned. 15. That all of the covenants hereof shall lnure to the benefit of the succes?ors and assigns of Santa Fe, to the same extent as to ...... . . Box 1386 Houston, Texas 77001 Dear Mr. Poorman: This letter will confirm a telephone conversation between Mr. John Lipscomb and me this date in which we discussed a signal system on Highway 35 for a new Santa Fe Railroad crossing at Walnut Street in the City of Pearland, Texas. A preliminary discussion about this railroad crossing took place approx- imately one year ago when the City of Pearland made application to the Santa Fe Railroad Company for this new crossing. An estimated cost was submitted to the City by the Santa Fe Railroad Company, and this estimate was accepted by the City Council and monies were allocated for this purpose. I have now been advised by the Santa Fe Railroad Company that their construction will begin the first week of November, 1977. In anticipation of this construction, the City of Pearland has completed the fill required on both the East and West approaches to the railroad tracks and the surfacing of the crossing from Highway 35 to Sacramento Street will be done after the railroad tracks are set to their new grade. Some weeks ago I met with Mr: John Lipscomb, and at this meeting we discussed the necessity for a traffic control system on Highway 35 which would have railroad pre-emption. Mr. Lipscomb felt that such a signal system would not be available through the Texas Highway Department until early Summer 1978. Since the City of Pearland is very anxious to open this new railroad crossing at the earliest possible time, we would offer the following proposition for your consideration: First, the City would purchase and erect all poles, signal heads, wiring and meter loop, in conformance with State specifications, at the City's expense; second, the State would furnish a sketch of the signal layout, a material list, and specifications for the signal equipment; and third, we would request that since this signal system will be on State right- of-way, that the signal controller be furnished and maintained by your department. Box 1386 Houston, Texas 77001 Attention: Mr. John Lipscomb Dear Mr. Lipscomb: This letter will confirm our recent telephone conversation in which we discussed the proposed railroad crossing at Walnut Street and Texas Highway 35 in Pearland, Texas. The City of Pearland has now begun construction of this new railroad crossing, and we are quite concerned over creating a severe traffic hazard unless a traffic control device is installed on Highway 35 at Walnut and coordinated with the Railroad Crossing Signals. We estimate that upon completion of this crossing, 30% to 35% of the traffic traveling in an east-west direction on F.M. 518 will be traveling on Walnut Street instead. We urge your immediate consideration of signalizing this intersection so that we can use this new crossing at the earliest possible date and use it with the highest degree of safety. WED: March 21, 1977 AGREEMENT, Made this 21st day of March , 1977 , between THE ATCHISONI, TOPE►:A AND SANTA FE RAILWAY COf'PANY, a Delaware corporation (hereinafter called "Santa Fe") . as First Party; and CITY OF PEARLAND, TEXAS, a municipal corporation of Erazoria County, acting herein by its City 'Manager, hereunto duly authorized (hereinafter called "City') , as Second Party. WITNESSETH: RECITALS: City desires to use a certain portion of Santa Fe's property at rearland, Erazoria County, Texas, upon which to construct and thereafter maintain and use a public road, which is agreeable to Santa Fe upon the terrs and conditions hereinafter stated. AG^EEMEP)T ARTICLE I 1 . Santa Fe, for and in consideration of the sum of Cne and No/100 ")ollars ($1 .00) cash to it paid by City, the receipt whereof is hereby acknowledged, and of the full and faithful performance by City of its covenants hereinafter set forth, hereby licenses City to use a portion of Santa Fe's property situated at Pearland, Erazoria County, Texas, for the purpose of constructing, maintaining and using a public road, the property, license to use which is hereby given, being shown in red on print AG''-Engineering, -Amarillo, Texas, dated ov. O, 197C, hereto attached, marked Exhibit ''A", and made a part hereof. 2. Santa Fe agrees that it will , at City's expense, make adjustments to railroad communications lines at the crossing location. 3. Santa Fe agrees that it will , at City's expense, install two standard flashing light signals with gates at the crossing location. 4. Santa Fe agrees that it will , at City's expense, relocate two whistle post signs for the crossing. 5. Santa Fe agrees that it will , at City's expense, install 40 ft. full depth timber crossings on its Main Track and Track No. 1 , provided that in the event of discontinuance of use by Santa Fe of said tracks all obligations assumed by it hereunder as to such tracks shall cease and be at an end. F. Santa Fe agrees that it will , at City's expense, raise Track .1o. 1 to meet the grade of the street at the crossing location. 7. Santa Fe agrees that it will , at its own expense, maintain the whistle post signs, timber crossings within the limits of the ties, and the grade crossing warning devices; however, Santa Fe shall be entitled to receive any contribution toward the cost of such maintenance on said grade crossing warning devices as may be now or hereafter made available by reason of any law, ordinance, regulation, order, grant or by other means or sources. ARTICLE II In consideration of the aforesaid license, City covenants and agrees to and with Santa Fe as follows: 1 . That it will use the licensed premises exclusively as a site for a public road. 2. That it will not let or sublet the whole or any part of the licensed premises for any purpose whatsoever or assign this license without the written consent of Santa Fe in each instance. - 2 - 3. That in case of eviction of "ity by anyone owning or claiming title to the whole or any part of the licensed premises, Santa Fe shall not be liable to City for any danage of any nature whatsoever. 4. That if the licensed premises, or any part thereof, cease to be used at any time for the purpose licensed, City will deliver up to Santa Fe the possession of the whole, or such part so ceased to be used. 5. That it will use the licensed premises and Maintain the public road to be located thereon in such manner as not to interfere with, hinder, or in any manner obstruct the use by Santa Fe of the railroad or other property adjacent thereto. In the event of a breach of this covenant at any time, city will , within ten (10) days after receipt of written notice from Santa Fe thereof, do whatever may be necessary to remedy such condition, and if City should fail so to do within said time, Santa Fe may do so at City's expense, bill for the cost of which City will promptly pay. f. That no legal right of Santa Fe to maintain, use and relocate the railroad track or tracks or other railroad facilities now located upon the licensed premises, or to construct and thereafter maintain, use and relocate any additional track or tracks or other railroad facilities as it may desire upon or across said license.: premises shall be in anywise affected by the giving of this license. - 3 - 7. That it will bear and pay the entire cost of constructing and maintaining the public road or street upon the licensed premises (except the portions thereof to be ; aintainei by Santa Fe, as provided in Section 7 of Article I) . including any and all drainage facilities made necessary or required because thereof and all paving, curb and gutter and sidewalks. P. That it will pay to Santa Fe, upon receipt of an itemized bill therefor, the actual cost for those items of work as covered under Sections 2, 3, 4, 5 and f of Article I. 9. That if it shall become necessary in the future reconstruction and/or maintenance of said public road or street to make any chanrQs or alterations in Santa Fe's right of way fences, signal , power and/or communication pole and wire lines, and/or other facilities located upon the licensed premises, such charges or alterations, if agreeable to Santa Fe, will be made by Santa Fe at rity's expense, bill for the cost of which City will promptly pay. 10. To make any and all arranoenents that may be necessary to secure the location or relocation of wire lines , nine lines and other facilities owned by private persons, companies, corporations , political subdivisions or public utilities other than Santa Fe which it may be found necessary to locate or relocate in any manner whatsoever due to the construction of said public road. 11 . To appoint and keep competent inspectors, engineers or other authorize' parties on the work to be done ty city during the progress of such work, and to rive Santa Fe reasonable advance notice of the - 4 - performance by City, or any contractor employed by City to construct said public road, of any work upon, along, over or across the right of way and tracks of Santa Fe which night render unsafe the operation of trains on the tracks of Santa Fe. 12. That it will do no work on Santa Fe' s property without first contacting Santa Fe's Superintendent at Temple, Texas, and securing his approval of such work. 13. That this license is ,eade subject to all valid, existing and future contracts, agreements, licenses and easements which may affect said property, covering roads, public or private; pole lines and appurtenances ; pipe lines, or other facilities : provided, however, that in the event pipe lines or pole lines are constructed across the licensed premises, such crossinns, and any excavation, tunnels, or paving cuts shall be made at the expense of the one Making such excavation or paving cuts as well as any and all repairs necessary to restore the licensed premises to the condition it was in prior to such work. 14. That effective with the opening of the new grade crossing at 'falnut Street Railway Company's °wile Post 9 + 3R45 ft. , the existing grade crossing at ''ear Street Railway Company's pile Post 9 + 4532 ft. will be forever closed and abandoned. 15. That all of the covenants hereof shall inure to the benefit of the successors and assinns of Santa Fe, to the same extent as to Santa Fe. 5 ARTICLE III The parties mutually agree that this license shall be effective from its date, and thereafter so long as said public road shall be located on the licensed premises and be maintained in accordance with the provisions of Section 5 of Article II hereof. All of the provisions of the contract submitted by E. C. Honath on November 12, 1976 are acceptable with the exception of Article 3 on page 6 of the contract. This Article 3 relates to the termination of this agreement upon six months written notice by either party. We do not feel that either the City or the Railroad can enter into such an expensive project with this condition. It is our desire that Article 3 be written as a perpetual license. I am sure that you are aware that the City's cost to your company for this construction has risen $5,500.00 between April 1976 and November 1976. It is our desire to expedite this transaction so that further cost increases will not occur between now and the formalization of this contract.
