RESOLUTION NO. R2005-73
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO
ENTER INTO A CONTRACT WITH DANNENBAUM ENGINEERING
CORP., FOR CONSTRUCTION MANAGEMENT SERVICES ASSOCIATED
WITH THE KIRBY DRIVE EXTENSION PROJECT.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract by and between the City of Pearland and
Dannenbaum Engineering Corp., a copy of which is attached hereto as Exhibit "A" and
made a part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest a contract with Dannenbaum Engineering Corp., for
construction management services associated with the Kirby Drive Extension Project.

* All financial obligations created by this agreement are between the City and
Engineer, and shall not be construed to be between City and any subconsultant.

2. Services and Payment.
Engineer shall perform services within the Standard of Care of the Engineering
profession as follows:
A. Engineer will furnish services to the City in accordance with the terms and
conditions specified in this Contract. Payment for the services of Engineer shall be due
and payable upon submission and approval of a statement for services to City.
Statements for services shall not be submitted more frequently than monthly.
After consultation with the City, the Engineer shall specify the basis of
compensation in the scope of work for the project. The Engineer shall provide adequate
detail of the basis of compensation so that the City can determine the reasonableness
of the fees and have the ability to make reasonable progress payments to the Engineer
based upon work completed at the payment intervals. The Engineer shall subcontract
for all subconsultants, subject to City approval, necessary to complete the scope of
work. The subconsultant's fees and administrative mark-up, if any, shall be included in
the scope of work. Unless otherwise agreed upon, the method of compensation shall
be one of the following methods:

1. Salary Cost Times Multiplier Plus Direct Nonsalary Expense ("Salary")
Compensation shall be based on 1) the direct salaries (including benefits)
of the Engineer's employees whose time is directly chargeable to the
project; 2) an agreed upon multiplier to compensate the Engineer for
overhead and profit; and 3) reimbursement for direct nonsalary
expenditures and subconsultant contracts as defined in the scope of work
for the project. The Engineer shall provide a proposal that includes the
total fees for the project, which shall not be exceeded without prior City
approval.

If City fails to make any payment due Engineer for services and expenses within
thirty (30) days after receipt and approval of Engineer's statement for services therefore,
the amounts due Engineer will be increased at the rate of one-half percent (1/2%) per
month from said thirtieth (30th) day, and, in addition, Engineer may, after giving seven
(7) days' written notice to City, suspend services under this Contract until Engineer has
been paid in full, all amounts due for services, expenses, and charges.
B. All the Engineer's working drawings, plans, and specifications, if required under
this Contract, shall be sufficiently accurate, detailed, and complete so that competitive
bids for the work can be obtained and the improvements constructed.
C. Approval of the Engineer's work by the City shall not release the Engineer, its
employees, agents, or consultants, from the responsibility and liability for the accuracy
and competency of their designs, working drawings, and specifications, or other
documents and services.
D. Subject to Article 8 herein or as otherwise agreed, the Engineer shall promptly
correct errors in the Engineer's work, including errors discovered after final payment,
without receiving additional compensation.

submitted in digital and paper form, in the Microsoft Project for Windows format. The
Project Schedule shall contain a complete schedule so that the Engineer's scope of
services under this contract can be accomplished within the specified time and contract
cost. The Project Schedule will provide specific work sequence and definite review
times by the City and the Engineer of the work performed. If the review time should
take longer than shown on the project schedule, through no fault of the Engineer,
additional contract time may be authorized by the City through a supplemental
agreement, if requested by a timely written request from the Engineer and approved by
the City.
3. Term and Termination. This Contract term will begin upon execution and end sixty
days after issuance of the certification of completion of construction by the Engineer.
The City may terminate this Contract at any time during its term by giving written notice
to Engineer. The City shall pay the Engineer for all services rendered to the date of
termination.
4. Modifications. City without invalidating the Contract, may order changes within the
general scope of the work required by the Contract by altering, adding to and/or
deducting from the work to be performed. If any change under this clause causes an
increase or decrease in Engineer's cost of, or the time required for, the performance of
any part of the Services under the Contract, an equitable adjustment will be made by
mutual agreement and the Contract modified in writing accordingly.

5. Subcontracts. If, for any reason, at any time during the progress of providing
services, City determines that any subcontractor for Engineer is incompetent or
undesirable, City will notify Engineer accordingly and Engineer shall take immediate
corrective action, which may include cancellation of such subcontract. Subletting by
subcontractors shall be subject to the same regulations. Nothing contained in the
Contract shall create any contractual relation between any subcontractor and City.
6. Ownership of Documents. All drawings, report data, and other project information
developed in the execution of the services provided under this Contract shall be the
property of the City upon payment of Engineer's fees for services. Engineer may retain
copies for record purposes. Owner agrees such documents are not intended or
represented to be suitable for reuse by City or others. Any reuse by City or by those
who obtained said documents from City without written verification or adaptation by
Engineer will be at City's sole risk and without liability or legal exposure to Engineer, or
to Engineer's independent associates or consultants, and City shall indemnify and hold
harmless Engineer and Engineer's independent associates and consultants from all
claims, damages, losses, and expenses including attorneys' fees arising out of or
resulting therefrom. Any such verification or adaptation will entitle Engineer to further
reasonable compensation. Engineer may reuse all drawings, report data, and other
project information in the execution of the services provided under this Contract in
Engineer's other activities. Any reuse by Engineer will be at Engineer's sole risk and
without liability or legal exposure to City, and Engineer shall indemnify and hold
harmless City from all claims, damages, losses, and expenses including attorneys' fees
arising out of or resulting therefrom.
7. Insurance.
A. The Engineer shall procure and maintain for the duration of this Agreement,
insurance against claims for injuries to persons, damages to property, or any errors and
omissions relating to the performance of any work by the Engineer, its agents,
employees or subcontractors under this Agreement, as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate.
(3) Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of anyone person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering owned,
hired, and non-owned vehicles, with minimum limits of $1,000,000 for

injury or death of anyone person, $1,000,000 for each occurrence, and
$1,000,000 for property damage.
B. The Engineer shall include the City as an additional insured under the policies,
with the exception of the Professional Liability Insurance and Workers' Compensation.
Certificates of Insurance and endorsements shall be furnished to the City before work
commences. Each insurance policy shall be endorsed to state that coverage shall not
be suspended, voided, canceled, reduced in coverage or in limits except after thirty (30)
days prior written notice by certified mail, return receipt requested, has been given to
the City. Upon request, certified copies of all insurance policies shall be furnished to the
City.
8. Indemnity. Engineer shall indemnify and hold the City, its officers, agents, and
employees, harmless from any claim, loss, damage, suit, and liability of every kind for
which Engineer is legally liable, including all expenses of litigation, court costs, and
attorney's fees, for injury to or death of any person, for damage to any property, or
errors in design, any of which are caused by the negligent act or omission of the
Engineer, his officers, employees, agents, or subcontractors under this Contract.
9. Assiqnment. Engineer shall not assign this Contract without the prior written
consent of the City.
10. Law Governinq and Venue. This Contract shall be governed by the law of the State
of Texas and no lawsuit shall be prosecuted on this Contract except in a court of
competent jurisdiction located in Brazoria County, Texas.
11. Entire Contract. This Contract represents the entire Contract between the City and
the Engineer and supersedes all prior negotiations, representations, or contracts, either
written or oral. This Contract may be amended only by written instrument signed by
both parties. Purchase orders issued under this Agreement shall contain a statement
nullifying additional terms and conditions on the reverse side of the purchase order and
referencing this Agreement.
12. Conflicts in Contract Documents. The above proVIsions shall govern over any
conflicting provision contained in any referenced contract document specified above.
13. Dispute Resolution Procedures. The Engineer and City desire an expeditious
means to resolve any disputes that may arise between them regarding this Contract. To
accomplish this, the parties agree to mediation as follows: If a dispute arises out of or
relates to this Contract, or the breach thereof, and if the dispute cannot be settled
through negotiation, then the parties agree first to try in good faith, and before bringing
any legal action, to settle the dispute by mediation of a third party who will be selected
by agreement of the parties.

SCOPE OF SERVICES
Construction Management Services (the "Services") provided under this Agreement shall be of a
high quality and commensurate with industry standards for the construction management
profession. The Services to be provided by the Construction Manager (the "CM") retained by the
City of Pearland (the "Authority") shall be those engineering monitoring, management,
coordination, reporting, liaison, problem mitigating, and quality assurance services that will be
required during the performance of Project construction activities by the Contractor(s) employed
by the Authority. The basic overall service, to be delivered by the CM, is to ensure the timely
completion of the construction of the Project in conformance with the plans and specifications
issued by the Authority and ensure that high quality materials conforming to the quality
requirements of the Project specifications are incorporated into the Project. Construction and
construction management cost control, dispute resolution, and environmental controls and
mitigation are all important components of the daily construction management services and
activities.
The CM is considered to be an extension of the staff of the Authority and shall be subject to
oversight, monitoring, and direction of the Authority, considering and utilizing the advice of its
Consulting Engineer(s). The Services shall include but, shall not necessarily be limited, to the
following:
1. Review of Documents and Information
1.1 The CM shall review and evaluate Authority-furnished documents provided
under this Agreement which detail existing and future elements of the Project.
As a part of that review effort, the CM shall meet with the Authorities Monitors,
as necessary, to obtain an understanding of the contents of the Authority-
furnished documents. The CM shall identify in writing any additional
information that may be required.
The Authority-furnished documents shall include, as a minimum, the following:
-e .. All plans and specifications prepared by section design engineers retained by
the Authority for the Project
e All design manuals and standard construction plans and details prepared by
the Authorities Monitors

1.2 Site Familiarization
The CM shall visit the Project site and become familiar with the natural
characteristics of the area and shall familiarize itself with the existing
information and conditions related to the Project.
2. Technical Support Services
The CM shall provide technical support systems and services including document
control, Project cost control, cost estimates, and schedules.
2.1 Document Control
2.1.1 Document Control Structure
The CM shall develop and implement a document control program that is
acceptable to the Authority, will assure the appropriate control of
documentation, and will allow information retrieval and reporting
The CM shall keep complete accurate records of documents received and
issued by all parties involved in the construction of the Project. Reviews
and comments on these documents by the CM and others shall also be
recorded and distributed to the Authorities Monitors. A "document log"
shall be maintained by the CM to provide current records on the latest
information available. The "log" shall outline document titles, dates,
originator, dates received, and to/from information. This "log" shall be
submitted monthly, or as requested by the Authority, for review by the
Authorities Monitors.
2.1.2 Project Information Library
The CM shall create and maintain a Project information library,
accessible at all times by the Authorities Monitors. This library will
contain all pertinent Project documentation and will include, but not be
limited to copies of the following:
· The Agreement including Appendix "A"
· All Project related contracts and amendments
· Written, facsimile, photocopied, electronic and oral noted
correspondence with all contractors, consultants, agencies,
Authorities Monitors, and other interested parties, related to the
Project
· Design and engineering documents including construction plans and
specifications
· Construction documents including addenda. change orders,
supplemental agreements, extra work orders, plans and specification
reVISIOns.
. Permits
· Monitoring reports
· Project budgets, estimates and schedules

. Testing and inspection reports
. Periodic status reports
. Submittals and shop drawings
. Progressive construction progress payments
. Monthly progress reports
. Reports and documents that may be required by "TxDOT.
. Other information related to the project
2.2 Cost Reporting System
The CM shall develop and implement a system for monitoring the Project
budget. The structure shall allow reporting of Project costs, both actual and
estimated and provide for projection of anticipated costs. It will be implemented
and maintained by the CM, with updates included in the Monthly Progress
Report.
2.3 Cost estimating
The CM shall develop independent estimates of cost for any change orders, extra
work orders, or supplemental agreements on the Project.
2.4 Scheduling
A schedule for the Project shall be updated monthly and include in the Monthly
Progress Report.
Scheduling for the Project shall be performed in a manner which is compatible
with and complementary of the requirements as set forth in the Special Provision
Item 8, "Prosecution and Progress" of the construction contracts.
2.5 Monthly Progress Report
The CM shall report to the Authorities Monitors the progress of the Project's
components by comparing the evolving expenditures, commitments, and time to
the Project budget and time schedule. Variances from the Project budget and
time schedule shall require reassessment by the CM of the construction
contractors' procedures, personnel, and assets dedicated to the Project in order to
meet the Project budget and time schedule.
The CM shall issue a Monthly Progress Report to the Authorities Monitors at the
beginning of each month. The Monthly Progress Report will contain, but not be
limited to, the following:
. An Executive Summary which summarizes its contents.
. Period covered
· General progress and status of the Project construction
· Budget summary/cash flow report, including revisions
. Schedule review and update
· Any major decisions requiring input from the Authorities Monitors
. Major milestones or other items of particular interest

. Progress photographs provided by the Authorities inspector(s).
The format of the Monthly Progress Report shall be developed by the CM and
submitted to the Authorities Monitors for approval.
3.0 Communication and Coordination
3.1 Project Coordination
The CM will monitor construction activities on other public works which will be
under construction within the boundaries of or adjacent to the Project. The
following represents a list of such projects which are identifiable currently.

The CM will periodically initiate and conduct meetings between contractor
representatives and parties performing or managing construction work on other
projects related to the Authority's Project with a goal to maintain adequate
cooperation among all public works implementers.
3.2 Utilities
The CM shall provide liaison services to promote coordination among the
Authority, the utility owners, and the contractor. Except as noted in the
preceding sentences, it is understood that the CM is not responsible for the
design, removal, installation, or relocation of utilities by contractors retained by
the applicable utility companies or any construction performed by contractors not
under contract to the Authority unless otherwise agreed to in writing by all
parties involved.
3.3 Coordination with TxDOT
The CM shall review, in conjunction with the Authorities Monitors, meet
with TxDOT to determine the standard TxDOT forms, documents and
reports that may be required to address any proposed operations directly
impacting TxDOT roadways or facilities. The CM will prepare and
submit all necessary documentation, through the Authorities Monitors, to
TxDOT for approval in advance of the proposed construction operation.
3.4 Permitting
The CM shall assist the Authority in identifying any permits required for the
construction of the Project and shall notify the Authority in writing of any needs
relating to permit acquisition.
The CM shall monitor the contractors to ensure that all applicable permits
required for the construction are obtained in a timely manner.
3.5 Progress Review and Coordination Meetings

The CM shall meet with the Authorities Monitors on a weekly basis. These
meetings shall serve as a forum for the exchange of information, coordination of
work efforts, identification of critical issues, determination of action plans and
schedules for resolving critical issues, schedules and budget considerations and
discussion of other issues deemed appropriate by the CM or the Authorities
Monitors. The CM shall prepare an agenda and submit it to the Authorities
Monitors two work days before the meeting. The CM shall record and distribute
within five calendar days the minutes of the weekly meeting to attendees and
others designated by the Authorities Monitors. Minutes of meetings will be
numbered sequentially throughout the construction of the Project.
4. Constructability Review
The eM shall examine the drawings and specifications separately prepared by
design engineers for general constructability during the review process. Designs
that will cause difficulty in using the most standard and competitive construction
techniques will be called to the attention of the Authorities Monitors, and
alternative methods shall be recommended.
5. Construction Phase Services
During the construction of the Project the CM shall:
5.1 Schedule and conduct a pre-construction meeting for the Project. The CM shall
develop an agenda for the meetings for review and approval by the Authorities
Monitors. The CM shall document the meeting and provide copies of the
minutes to participating parties.
5.2 Serve as the liaison between the construction contractor working on the Project
and other concurrent construction, the Testing Engineers, Surveyors, interested
public and entities, and utility companies to achieve efficiency and continuity
during the construction as requested by the Authority.
5.3 Provide a professionally qualified organization satisfactory to the Authorities to
periodically observe and report on the construction of all elements of the Project
in a manner commensurate with industry standards. Elements of construction
under the responsibility of the CM include, but are not necessarily limited to; all
roadways, excavations, embankments, structures, retaining walls, sound walls,
foundations, drilled shafts, pilings, signing, lighting, pavement, pavement
markings, fencing, storm sewers, conduits, detours, traffic control devices,
erosion control items and grassing.
It is anticipated that the level of construction activity will require, at a minimum,
a single Construction Project Manager, one Resident Engineer, and one Assistant
Resident Engineer and an Administrative assistant. Their duties will also include:
5.4 Maintain and review daily inspection repcrts provided by the Authorities
Monitors documenting all activities and events related to the Project and a record

of all work undertaken or completed by the contractors including quantities of
pay items.
5.5 Maintain a log of all materials entering onto the work site with proper indication
ofthe basis of acceptance of each shipment of materials.
5.6 Request, schedule and review field, laboratory, and mill tests of construction
materials conducted by the Testing Engineer in order to verify that they have
been performed in conformance with the specifications. Review and approve
fabrication shop inspection reports, and material and product suppliers'
certificates of products conformance with specifications.
5.7 Meet with the construction contractor on a weekly basis for Project coordination
and problem resolution. The eM shall obtain from the contractor a weekly
schedule depicting progress over the past week and anticipated activities for the
next week.
5.8 Maintain accurate and complete files of correspondence, telephone
conversations, and other written documentation concerning construction
activities. All records to be maintained as a part of the Project Information
Library (see Item 2.1.2).
5.9 Log, monitor and coordinate the contractors' submittals of fabrication plans,
product and materials submittals and brochures.
Monitor the progress of the Engineer of Record's review of these items and report
to the Authority any problems with the timely progression of such reviews.
5.10 Report field conditions that conflict with design drawings to the Authorities
Monitors and make recommendations for field modifications to resolve conflicts.
5.11 Prepare change orders, supplemental agreements, extra work orders, force
account documentation, and other similar items necessary to properly document
changed conditions or modified construction activities.
5.12 Review contractor and Testing Engineers payment requests and prepare monthly
and final contractor and Testing Engineers pay estimates.
5.13 Act as liaison for and make recommendations to the Authorities Monitors toward
the goal of resolving construction problems and conflicts.
5.14 Provide negotiation assistance on contractor claims and make recommendations
for resolution of claims.
5.15 Prepare and distribute those forms necessary for monitoring find inspecting
construction activities, test reports, etc., using the standardized forms developed
and approved by the Authorities Monitors and supplemented by the required
forms.
5.16 Maintain a current set of contract documents (plan sheets and specifications)
containing revised drawings developed by the Engineer of Record.

5.17 Maintain an updated set of plans of the Storm Water Pollution Prevention Plan
(SWPPP) all modifications made. Provide documentation as required by the
Authority meeting the requirements of TxDOT, FHW A and EP A of inspections
and remedial actions.
5.18 Maintain updated weekly inspection reports of all traffic control devices for
conformity with the Manual on Uniform Traffic Control Devices for Streets and
Highways (MUTCD) and the suggested traffic control plans.
5.19 Conduct observations of the contractors' work activities one day per month to
ensure that the project is being constructed in conformance with the contract
plans and specifications.
6. Construction Contract Finalization
6.1 Conduct final inspection of the completed work and make recommendations
relative to its acceptance.
6.2 Prepare all documentation necessary to comply with the requirements of the
Authority for completed Projects.
6.3 Certify the accuracy of all final pay quantities and make recommendations
relative to final payment to the contractors.

Pursuant to your request, I have prepared the following list of projects and references for your
use. Dannenbaum Engineering Corporation provides Construction Management (CM) Services
for many of our municipal clients.
The projects for which we provide these services range in value (Construction Cost) from a few
thousand dollars to hundreds of millions of dollars. On these projects, we manage single and
multiple contractor contracts.
In the past, we have provided CM services on the $75 million East Houston Water Purification
Expansion for the City of Houston, and are currently providing CM services on the $150 million
ground water to surface water conversion project for the West Harris County Regional Water
Authority.
The East Houston Water Purification Expansion was a 150gal/day treatment expansion. Our
reference for this project is Mr. Showri Nandagiri. Mr. Nandagiri is currently with the North
Harris County Regional Water Authority and can be reached at (281) 440-3924, Ext 17.
The West Harris County project that is currently underway involves management of 6 separate
construction contractors. This will be expanding to a minimum of20 over the life of the project.
Our reference for this project is Mr. Dan Sallee, president of the North Harris County Regional
Water Authority. He can be reached at (713) 961-8531. As a side note, Mr. Mark Fenlon,
E.I.T., is, and has been, the assistant construction manager on this project since it's beginning.

Galveston County. This $2.5 million project consisted of pavement reconstruction and overlays
and sidewalk construction for 2-lane and 4-lane segments of urban curb and gutter and open
ditch roadways. Our reference for this project is Mr. Mike Fitzgerald, Galveston County

Dannenbaum also performed CM services for roadway projects in League City. The CM
services on these projects were performed for private developers; however, the streets and
boulevards within the project were incorporated into the street systems of the City. As such,
services were indirectly serving the City.
Dannenbaum was involved in multiple CM contracts for the City of Austin. Projects are listed
on the attached sheets.
On a personal note, I am currently the engineer in charge of construction phase services on
project 588B at Bush Intercontinental Airport. This $29 million project includes airfield and city
street paving and utilities. Prior to this, I provided construction phase services over the last three
years on projects 497A ($12 Mil), 497B ($10 Mil), and 558A ($28 Mil). These are all projects
for the City of Houston, Houston Airport Authority.
Projects 497 A and 497B involved construction of the Hardy Toll Road roadway and bridge
connector to IF. Kennedy Blvd. This project involved paving, public and private utilities,
lighting, signing, and bridges totaling approximately $18 million. Project 558A involved
modifications to the roadways and bridges of the J.F. Kennedy Blvd and Will Clayton
Expressway interchange, the construction of two major taxiway bridges over J.F. Kennedy Blvd,
and modifications to city connector roads to the Cargo Area. You can contact Mr. Feroz Ismaily
