R2022-231 A Resolution of the City Council of the City of Pearland, Texas, authorizing a contract with Freese and Nichols, Inc., for design services associated with the Sanitary Sewer Rehabilitation Project (Barry Rose Basin 3), in the estimated amount of $494,670.00. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain contract for design services associated with the Sanitary Sewer Rehabilitation Project, a copy of which is attached hereto as Exhibit “A” and made a part hereof for all purposes, is hereby authorized and approved. Revised 04/2019 CONTRACT FOR PROFESSIONAL SERVICES THIS CONTRACT is entered into upon final execution by and between the City of Pearland ("CITY") and Freese and Nichols, Inc. ("CONSULTANT"). The CITY engages the CONSULTANT to perform professional services for a project known and described as Sanitary Sewer Rehabilitation – Barry Rose 3("PROJECT"). (Project # WW2202) SECTION I - SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to CITY standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSULTANT shall perform professional services. See Exhibit A, attached, for a detailed SCOPE OF WORK and PROJECT schedule. The PROJECT schedule shall be submitted in digital and hard copy form in the Microsoft Project for Windows format. B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost of the PROJECT. C. The CONSULTANT acknowledges that the CITY (through its employee handbook) considers the following to be misconduct that is grounds for termination of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants, and/or collecting reimbursement of expenses made for the benefit of the CITY. The CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY employee to engage in such misconduct. D. The CONSULTANT shall submit all final construction documents in both hard copy and electronic format. Plans shall be AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current CITY standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. All Record Drawings electronic files shall be submitted to the CITY in TIF format. E. The CONSULTANT recognizes that all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon request, shall become subject to the Open Records Laws of this State. F. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors Exhibit A DocuSign Envelope ID: B1868E7F-4352-4F09-BF7D-F0C453238F8A Design 2 of 7 D2 Revised 04/2019 and omissions relating to the performance of any work by the CONSULTANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers’ Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. The CONSULTANT shall include the CITY as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers’ Compensation. The CONSULTANT shall agree to waive its Right to Subrogation. Certificates of Insurance and endorsements shall be furnished to the CITY before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and/or reduced in coverage or in limits (“Change in Coverage”) except with prior written consent of the CITY and only after the CITY has been provided with written notice of such Change in Coverage, such notice to be sent to the CITY either by hand delivery to the City Manager or by certified mail, return receipt requested, and received by the City no fewer than thirty (30) days prior to the effective date of such Change in Coverage. Prior to commencing services under this CONTRACT, CONSULTANT shall furnish CITY with Certificates of Insurance, or formal endorsements as required by this CONTRACT, issued by CONSULTANT’S insurer(s), as evidence that policies providing the required coverage, conditions, and limits required by this CONTRACT are in full force and effect. G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT, his officers, employees, agents, or subcontractors under this CONTRACT. H. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the CITY. SECTION III - CONSULTANT'S COMPENSATION A. The total compensation for the services performed shall not exceed the total noted in Section B. B. The CITY shall pay the CONSULTANT in installments based upon monthly progress reports and detailed invoices submitted by the CONSULTANT based upon the following: 1. Basic Services (Not to Exceed) $70,254.00 2. Additional Services shall require independent and specific authorization and shall be billed as (Lump Sum): $396,318.00 3. Bid Phase Services (Hourly Not to Exceed) $7,990.00 4. Construction Phase Services (Hourly Not to Exceed) $20,108.00 5. Reimbursable Expenses (Not to Exceed) $0.00 6. Total: $494,670.00 C. The CITY shall make payments to the CONSULTANT within thirty (30) days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. D. CONSULTANT shall invoice for work performed during the preceding thirty day period (“Billing Period”). The Billing Period shall run from the 26th day to the 25th day of each consecutive month. Invoices shall be submitted to CITY not more frequently than once every 30 days. CONSULTANT shall be responsible for timely submittal of all invoices and CONSULTANT shall not be entitled to payment for invoices in arrears. All invoices shall reflect most recent single Billing Period only and represent the true, correct and accurate account of work performed during the Billing Period. E. For an agreed contract amount identified as “Lump Sum”, Not to Exceed” and “Reimbursable” the CONSULTANT shall not exceed the fixed contractual amount without written authorization in the form of a Contract Amendment. CONSULTANT shall provide 45 days prior notice to the CITY in the event contract fees may exceed the fixed contract amount. CONSULTANT shall be responsible for ensuring that such authorization is complete and executed by all parties performing any work or submitting any invoices for work that exceeds the fixed contract amount under any expense category. Allowable Reimbursable Expenses CONSULTANT shall identify and include in the proposal any anticipated Reimbursable Expenses, and shall itemize Reimbursable Expenses by work category. Reimbursable Expenses shall be invoiced AT COST without subsequent markup by the CONSULTANT. All invoices containing a request for Reimbursable Expenses shall include copies of the original expense receipts itemized per the allowable category. Allowable Reimbursable Expenses include: • Hard copy reproductions, copies and/ or binding costs • Postage • Mileage, for travel from Consultant’s local office (within a 25 mile radius) to meetings at the City or job-site. Mileage shall be charged at the current IRS rates. • Travel expenses, mileage from local office to State or federal regulatory agency office beyond 100 miles. • Lodging expenses, for destinations beyond 100 miles from the Consultant’s local office AND when business hours exceed eight hours within one business day OR requires more than one eight hour day. F.2. Disallowed Expenses Disallowed Expenses include travel expenses for professional expertise traveling into the greater Houston area from Consultant offices outside of the greater Houston area. SECTION IV - THE CITY'S RESPONSIBILITIES A. The CITY shall designate a project manager during the term of this CONTRACT. The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the CITY on any aspect of the work shall be directed to the project manager. B. The CITY shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The CITY will keep the CONSULTANT advised concerning the progress of the CITY'S review of the work. The CONSULTANT agrees that the CITY'S inspection, review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub- consultant(s) or in any way affect the CONSULTANT’S status as an independent contractor of the CITY. The CITY, at its sole discretion, may terminate this CONTRACT for any reason -- with or without cause -- by delivering written notice to CONSULTANT personally or by certified mail at 2107 CityWest Blvd., 3rd Floor, Houston, TX 77042. Immediately after receiving such written notice, the CONSULTANT shall discontinue providing the services under this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the CITY on or before the 15th day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination. The CITY shall make final payment within sixty (60) days after the CONSULTANT has delivered to the CITY a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum, the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the scope of work. E. In the event this CONTRACT is terminated, the CITY shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. F. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT breaches any provision of this CONTRACT, then the CITY shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney’s fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and CITY desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this, the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. This CONTRACT may be amended only by written instrument signed by both parties. SECTION VII – COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CONTRACT. For breach or violation of this clause, the CITY may terminate this CONTRACT without liability, and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent fee that has been paid. (FNI) conducted city-wide flow monitoring as part of Pearland’s Wastewater Master Plan Update. FNI evaluated inflow and infiltration (I/I) throughout the City of Pearland (City’s) collection system and identified basins with high I/I. Multiple basins within the Barry Rose Water Reclamation Facility (WRF) service area were identified for future Sanitary Sewer Evaluation Study (SSES) projects. 2021 SSES and Rehab Design Phase I (Ongoing): Following the Wastewater Master Plan Update, the City adopted an SSES program with the goal of reducing I/I. In 2021, the City retained FNI to conduct a SSES and Rehab Design Phase I project that consisted of targeted flow monitoring within the BR-03 and BR-04 basins to further identify and rank sub-basins with high I/I for field inspection efforts. FNI subsequently performed field inspections on a portion of the assets within the high I/I sub-basins in order to identify rehab recommendations. This project initially included design, bid, and construction phase services for sewer rehab in portions of the ‘Old Town’ district and for defects to be identified in BR-03 and BR-04. The scope was updated to include additional design in more portions of the ‘Old Town’ district in lieu of the design of improvements for defects in BR-03. Design of improvements for defects in BR-04 remained within the project scope. The upcoming 2022 SSES and Rehab Design Phase II project will include design effort for rehab in the BR-03 basin and additional areas to be inspected in the BR-04 basin. 2022 SSES and Rehab Design Phase II (This Project): As a continuation of the City’s SSES program, FNI will conduct an SSES and Rehab Design Phase II (Project) to further analyze possible sources of I/I in the BR-03 and BR-04 basins. This project will utilize the flow monitoring previously conducted during the SSES Phase I study. Phase II efforts will include additional field inspections and the development and design of rehab recommendations as described below: SSES (Phase 1) – The approach of the SSES phase of this Project identifies sources and causes of inflow and infiltration (I/I) in pipes and manholes (see Figure 1 for field inspection areas) and develops proposed rehab recommendations with planning level construction cost estimates. The goal of this SSES is to provide targeted manhole and pipe rehab recommendations for public infrastructure to reduce I/I in the collection system. Rehab Design (Phases 2-5) – The Rehab Design phases of this Project include the design for rehabilitation of defects anticipated to be identified in the sewer system, for pipes 15- inch and smaller only, in BR-03 and BR-04 to be documented in the proposed SSES Tech Memo. FNI will develop a combined bid package for rehab of sewer system defects in the BR-03 and BR-04 basins. The design scope is described in more detail in the attached Exhibit A. Monthly Progress Reports Throughout the project, monthly status updates will be submitted that summarize progress and document upcoming tasks. The monthly status updates will outline any upcoming key decisions which will require input from or discussion with the City. A3. Additional Project Coordination Meetings: Up to Three (3) In addition to technical, task-related meetings, FNI will be available for up to three (3) additional project meetings with the City to review progress, discuss data needs, and any topics of special concern. A4. Field Coordination: Up to Two (2) Field Visits In addition to technical, task-related meetings, FNI staff will perform up to two (2) field visits to verify field work progress and coordinate/monitor SSES field work activities. The purpose of these field activities is to identify specific pipe and manhole defects contributing to inflow and infiltration (I/I) in the collection system and to develop rehab recommendations to mitigate this I/I. These rehab recommendations will be the basis for the rehab design (Phases 2-5) of this project. SSES field activities shall consist of smoke testing, CCTV, manhole inspections, and Electro Scan up to the quantities listed in Table 1. Smoke Testing The area identified for smoke testing will be discussed with City staff prior to commencing field activities. The smoke testing will be performed at a unit cost as shown in Table 2 and on the attached Proposal for Sewer Evaluation Services in Pearland, TX included as Exhibit B. A subconsultant markup will be added to this unit cost. The smoke testing is anticipated to identify both public and private side defects, including broken laterals and missing cleanout caps. Public notification will be provided in English and Spanish, and communication will be maintained with residents and customers throughout the smoke testing process. The City wil l provide: • Access to the manholes, including the opening and sealing of each manhole • Any required manhole uncovering Note: This scope of services does not include the development of rehab recommendations for private-side sewer defects. The City will be notified of any private defects identified via smoke testing. A subconsultant markup will be added to these unit costs. FNI will perform cleaning and conduct CCTV on the selected gravity sanitary sewer lines in the sub basins, up to 34,500* linear feet. The CCTV will be coded for defects and observations according to the NASSCO PACP standards. The manhole inspections will be coded for defects and observations according to Level II NASSCO MACP standards. Electrode leak detection will be utilized to inspect gravity pipes at a unit cost as shown in Table 5 and on the attached Technical Services Proposal to Conduct a Focused Electrode Leak Location Inspection Project for Pearland, Texas included as Exhibit C. A subconsultant markup will be added to this unit cost. The purpose of Electro scan is to further examine the condition of the City owned sanitary sewer system. This inspection technology can simulate a wet weather event to find defects that may not be identified via CCTV in dry weather conditions. The City will provide the following: • Combo truck with at least 600 LF of 1” hose and a pump capable of 80 gpm • Truck will need to get water on the street, the cost of the water and any hydrant permits are the responsibility of the City. • Access to the manholes • Any required manhole uncovering • Traffic control as necessary • Coordination with residents for access into property if needed • The necessary City equipment and assistance as might be required to remove the specialized equipment from the water main should the equipment become lodged during the work, and to complete line repair and restoration of the area. INTRODUCTION Electro Scan, Inc. (“Contractor”) appreciates the opportunity to provide this Proposal to conduct a Focused Electrode Leak Location (FELL) inspection project as a Technical Services Agreement for Pearland, Texas (“Owner”) B. CONTRACTOR SERVICES Electro Scan Inc. shall serve as Contractor for this project, with its headquarters in Sacramento, California. Currently, Electro Scan offers its products and services from international offices London (ENGLAND), Frankfurt (GERMANY), and Melbourne (AUSTRALIA), and supplying the largest sewer Contractor in Japan. In addition to holding all U.S. and international patents and patents pending for low voltage conductivity technologies, Contractor possesses the knowledge, expertise, development, and financial resources to mobilize, engage, deploy, conduct, capture, process, store, transmit, display, and summarize its data to streamline decision making for the Sewer Investigation. C. WHAT IS ELECTRO SCAN OR FOCUSED ELECTRODE LEAK LOCATION INSPECTION? The Contractor offers a wastewater/sewer inspection technology platform providing an impartial and unbiased pipe condition assessment of gravity sewer pipelines that automatically locates, measures, and estimates defect flows in Gallons per Minute (GPM) and Gallons per Day per Inch Diameter Mile (GPD/IDM) in conformance with ASTM F2550-13 (Reauthorized 2018), and the Operation and Maintenance of Wastewater Collection Systems, Volume 1, 7th Edition as depicted in Figure 1. Contractor’s patented technologies overcome common weaknesses of legacy inspection methods that overly rely on visual inspections that often miss major leaks and defects and require difficult and expensive bypass pumping. By offering unambiguous measurements and locations of defects that cause infiltration and exfiltration into sanitary sewer and pressurized water pipes, the Contractor is uniquely positioned to utilize its internationally recognized low voltage conductivity technology for this project. While most sewer utilities have relied on closed-circuit television (CCTV) inspection to see, interpret, and catalog pipeline defect, in dry-weather conditions, in contrast, Electro Scan assess 360-degrees of a pipe’s wall while simulating conditions when a pipe is full of water in wet weather conditions. Successfully tested and benchmarked in US EPA field verification studies (for both Sewer Mains and Laterals) Electro Scan’s patented technology releases a focused array of low voltage, high frequency electrical current of only 10 volts and 40 milliamps (i.e., approximately the equivalent of six (6) AA batteries), to locate and quantify all defects in non-conductive (e.g., asbestos, brick, cement, plastic, reinforced concrete or cement, vitrified clay, etc.) sewer mains and laterals. As a result, no electrical current should ever be able to “leak” or escape from inside a pipe unless there is a crack or break in the pipe. A defect in the pipe that leaks water will also leak electrical current. With a constant applied voltage, the larger the defect, the greater the electric current. This project will be approximately 34,100 + LF. sewer ranging from 8”-36” pipes. Collect and review existing information including reports, maps, flow records, maintenance records and other pertinent information. Information to be provided by the Owner to the Contractor at a minimum of 4 weeks prior to the commencement of the project. 2. Onsite walk to happen along prior to mobilization. 3. Preparation and mobilization of equipment and personnel to the project site. 4. Hold a project kick-off meeting prior to commencement of any work (3 weeks prior to mobilization) to ensure that all work is conducted in the most efficient and economic manner, with proper liaison between Contractor and Owner personnel. 5. Assist Owner with preparations for any required Traffic Control, Permits, access to private property or logistical arrangements to assure safe environments for workers and visitors. 6. Pipeline Constraints. Understanding the pipeline and a plan for dealing with them to ensure a detailed and as complete a detailed survey as possible. As the probe must travel along the intended pipeline survey route and not get trapped in other pipeline branches. During its travel we must collect data from the probe and retrieve it from the pipeline. Pipeline features may include the following: a. Pipeline bends, tees, reducers, crosses, and valves b. Pipeline distances between existing valves c. Interfacing projects d. Specific traffic management needs e. Vehicle, bicycle, and pedestrian impact f. Health and Safety Issues g. Excavations and restorations that could be needed to complete a detailed survey Task 2 – Contractor Testing for Wastewater Mains Electro Scan’s 620 probe is a tethered device, so there is no concern of loss or getting stuck in the pipe. The tether functions as both a power cord and data cable. Once inside the pipeline, the system can travel downstream with the pipeline’s directional flow, up to 1500 LF distance. The total distance surveyed is determined by many variables such as pipe flow, debris, obstructions, and valves, to name a few. All data will be fed back to the Mobile Electro Scan Platform via the standard coaxial cable. Once the data is collected on the system’s laptop computer, it will all be uploaded to the project’s Critical Sewers® cloud- based portal where it will be instantly processed and available for Contractor and staff to view. In addition, Contractor’s software will provide an estimated infiltration rate per defect and for also for the entire pipe segment. Task 3 – Project Administration, Management, Supervision and QA/QC This task consists of supervision of field personnel, project administration, and management, scheduling of field tasks, general management and supervision of field personnel, and quality assurance/control of fieldwork and data management activities. Activities include: 1. General administration and periodic meetings as necessary with the Owner. 2. Internal project control procedures on schedules, budget, quality control review and invoices. Task 4 – Data Evaluation, Analysis, and Reporting This task consists of evaluating and analyzing the collected data and submitting a summary report. This data will be presented in both tabular and graphic formats to facilitate a comparative condition assessment of line segments. In addition, the following will be provided as a final deliverable: - Two (2) copies of the draft report will be prepared for submittal to OWNER for review and comments. - One (1) copies of the Final Report incorporating the comments from the review of the draft report will be furnished. Final Report will be in Microsoft Office 365 and in PDF formats. - Data will be provided in a token to allow access into the API with Electro Scan and Innovyze Info Asset Planner A Final face-to-face, if the COVID-19 crisis allows, or wwebinar meeting with all parties to discuss findings, plans for future and any areas for concern discovered as part of the scanning is included. E. SCHEDULE The work will begin within 30-45 days of the receipt of Authorization to Proceed. Pipeline inspection work will be completed within and estimated +/- 15 (fifteen)* working days. The report delivered within twenty-one (21) days of fieldwork completion. *The estimated working days is determined by ability to work due to weather, traffic maintenance needs etc. We will work with OWNER to create a schedule to accommodate these F. COMPENSATION AND PAYMENT TERMS The total price to cover services described under the Scope of Work will be computed based on the unit prices shown in Table 2 and quantities of work completed as authorized by the Owner including the lump sum mobilization task. Tasks listed as “L.F.” are estimated. Quantities found in field investigation may vary and will be performed and charged by the unit price shown in Tables 2 in an amount not to exceed the total proposal cost. Should Contractor crews be unable to perform work as scheduled due to Invoices will be rendered monthly and are due within thirty (30) days of receipt. Terms and Conditions for Survey and Services provided by Owner: 1. Actual distance surveyed is NOT GUARANTEED, and is strictly dependent on pipe conditions and configuration, termination of any scan at any time is the sole responsibility of the Electro Scan. 2. Owner will need to provide a combo truck with at least 600 LF of 1” hose and a pump capable of 80 GPM. 3. Truck will need to get water on the street, the cost of the water and any hydrant permits are the responsibility of the owner. 4. Verifying all MH’S are able to be opened and access to those manholes for our truck, and any bolted manhole lids must be unlocked for work to be done. 5. The necessary Owner equipment and assistance as might be required to remove the specialized equipment from the water main should the equipment become lodged during the work, and to complete line repair and restoration of the area. However, the Owner will not be responsible for damage to Contractor equipment. H. TERMS AND CONDITIONS General Conditions: These general conditions are incorporated by reference into the proposal and are part of the Agreement under which services are to be performed by the Contractor for the Owner. Contractor will follow Owner verbal and written instructions. Owner Personnel Assistance: Contractor may require assistance from Owner Personnel to perform tasks, which are in addition to the established scope of work. Such tasks include, but are not limited to: • Coordination and cooperation between local agencies such as police, utility departments, Owner, and others as necessary • Assistance by knowledgeable staff member of manhole and cleanout locations, in locating buried or hidden manholes or cleanouts • Expose and/or open manholes that require excavation, cutting of pavement, and/or have lids fastened or frozen in place Damage Limitations: Under no circumstances will the Contractor be responsible for indirect, incidental, or consequential damages. Contractor also is not responsible for the rendering of or failure to render architectural, engineering or surveying professional services. The Owner is responsible for loss of service equipment caused by the pre-existing conditions at the job site. Environmental Conditions: Debris encountered is represented to Contractor to be non-hazardous, requiring no manifesting or special permitting. The Owner will be responsible for any additional costs or claims associated with the treatment, storage, disposal of the removed debris, or breach of the above representation, at any time during or after the completion of this project, if necessary. Indemnification: Contractor and the Owner will each indemnify the other in proportion to relative fault for liability, loss and expense incurred by the other party resulting from a negligent act or omission in performance of work under this Agreement. The Owner also will indemnify Contractor for liability, loss and expense resulting from Contractor's services if the Contractor is acting at the direction or instruction of the Owner or where the primary cause of any damages is due to information provided by the Owner. Entire Agreement: This proposal together with any written documents which may be incorporated by specific reference herein constitutes the entire agreement between the parties and supersedes all previous communications between them, either oral or written. The waiver by Contractor of any term, condition or provision herein stated shall not be construed to be a waiver of any other term, condition, or provision hereof. Insurance: Electro Scan provides insurance for Workers Compensation, Auto and Commercial General Liability Insurance in the limits provided on this quotation. Any requests for Increased Limits or any other insurance type or specialty policy (Railroad, Environmental, Builders Risk, et al.) will be handled on a case-by-case basis and all costs associated with the purchase of this insurance will result in a direct pass through of all costs/premiums in attaining these policies.
