A Resolution of the City Council of the City of Pearland, Texas, amending a
Construction Manager at Risk contract with Durotech to include the
Guaranteed Maximum Price (GMP) of $4,780,850.00 (inclusive of General
Conditions and Pre-Construction Services) for Construction Phase Services
associated with the Public Safety Training & Education Building and
$1,263,087.00 (inclusive of General Conditions and Pre-Construction Services)
for Construction Phase Services associated with Public Safety Building
Renovations.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That the City Council hereby amends a Construction Manager at Risk
contract with Durotech to include the Guaranteed Maximum Price (GMP) of $4,780,850.00
(inclusive of General Conditions and Pre-Construction Services) for Construction Phase Services
associated with the Public Safety Training & Education Building and $1,263,087.00 (inclusive of
General Conditions and Pre-Construction Services) for Construction Phase Services associated
with Public Safety Building Renovations.
Section 2. The City Manager or his designee is hereby authorized to execute an
amended Construction Manager at Risk contract for the Public Safety Training and Education
Building; and Public Safety Building Renovation Project.

facilities, we have formally advertised and solicited proposals for the development of the
GMP for the Pearland Public Safety Projects. Subcontractor & vendor proposals were
received on July 22, 2022. After careful review and compilation of these proposals,
Durotech, Inc. is pleased to present the following:
Public Safety Training & Education Building $ 4,780,850
Public Safety Building Renovations $ 1,263,087
Total GMP (Training & Education Building + PSB Renovations) $ 6,043,937
It is our recommendation that we ask the City Council of The City of Pearland
approve the Guaranteed Maximum Price of $6,043,937 and execute GMP Amendment
No. 1 between The City of Pearland and Durotech, Inc.
We are excited about the potential of entering into the construction phase of
these projects and want to thank you and your team, Joiner Architects and their
consultants for a very successful pre-construction phase. Durotech is committed to the

Scope of work:
THE PROJECT:
The Work of Project is defined by the Contract Documents and consists of the following:
1. Major renovations to convert the existing Fire Station No. 4 into the Public Safety
Training and Education Building. The Public Safety Training and Education
Building includes a large conference room, break room area, fitness area to be
shared by Police and Fire, office area, and associated restroom/shower facilities .
The work also includes new electrical, mechanical, plumbing, communications,
and security systems. Exterior renovations include metal roof replacement and
painted brick.
2. Select interior renovations to both levels of the existing Public Safety Building
including security upgrades, office revisions, building partitioning, and
department modifications.
3. All work or portions of work necessary to provide complete facilities as
represented in the Drawings and Specifications, including, but not limited to,
architectural and structural building components, architectural finishes,
mechanical equipment and ducting, plumbing piping and fixtures, electrical
equipment and fixtures, fire alarm, security, and communications.

DIVISION 00 – PROCUREMENT AND CONTRACTING REQUIREMENTS
1. Excluded is Material Testing.
2. Excluded are City/MUD Fees, City/MUD Inspection Fees, and City/Mud Tap fees.
3. Excluded are Utility Assessment & Impact Fees.
4. Utility Company agreements (terms & conditions and costs), easements and
coordination which will serve as the termination point for Durotech to make
connections for building service shall be the responsibility of the Owner.
5. Off-site Utility Fees and Utility District Connection Fees (if any) to on-site utilities shall
be the responsibility of the Owner.
6. Excluded are all building permit fees. Building permit fees, if any, are to be paid by
the Owner.
7. Excluded are unforeseen underground conditions or obstructions not indicated in
contract documents.
8. Without regard to any other provision of this Agreement, Owner shall be liable to
Contractor for additional costs incurred by Contractor as the result of any
governmental payroll tax or healthcare tax if the tax is applicable to the Project, the
Project is not tax exempt from the specific tax and the tax became effective after the
date of execution of the Contract.
9. Electronic Files and CAD Files will be provided by the Architect/Engineer of re cord for
the purpose of preparing shop drawings and 3D models at no cost to the General
Contractor and/or Subcontractors. A signed release will be required before electronic
files are released by the Architect/Engineer.
10. Owner and Contractor agree that design and specification of systems, operating
parameters, and materials is by Owner’s Architectural and Engineering consultants
and that enforcement of warranties is contingent upon systems being maintained and
operated in accordance with manufacturer recommendations.
11. Owner and Contractor agree that all manufacturer’s warranties, and subcontractor’s
warranties which extend beyond Contractor’s warranty period, are hereby assigned to
and run directly from the manufacturer to the Owner and from the subcontractor to
the Owner, respectively. Owner accepts these assignments and warranties, and
releases and discharges Contractor from any and all claims, liabilities, damages,
costs and expenses arising out of such manufacturer’s warranties and any
subcontractor’s extended warranties.
12. The Contractor’s warranty excludes remedy for damage or defect caused by abuse,
material alteration to the work not executed by the Contractor, insufficient

maintenance, or maintenance not in compliance with manufacturer’s written
recommendations.
13. Payment and Performance Bonds will be charged to the Owner based on the State of
Texas regulated rate.
14. The Guaranteed Maximum Price provided is a not to exceed amount for the entire
project scope. Individual line items within the project budget are not indi vidual
Guaranteed Maximum Price amounts.
15. The GMP package is valid until September 13, 2022, with the assumption that the
Owner will issue a Notice to Proceed and sign the GMP Amendment on or before the
stated date.
16. Excluded is any Security Personnel/Watchman. Included are security cameras as
required for the General Contractor’s jobsite office.
17. Architect will provide an “Issue for Construction” set of plans and specifications which
will include the bid set, addenda, permit changes and accepted cost savings to
Contractor within 14 days of NTP. All individual changes from the bid set will be
clouded with a reference to the origin of the change (addendum number, permit
changes, cost saving, etc.).
18. The proposed cost saving recommendations by Durotech, Inc. shall be subject to the
review and approval of the Architect, Owner and the Owner’s Professional
Consultants. Durotech, Inc. is not required to ascertain that the cost savings are in
accordance with applicable laws, statutes, ordinances, codes, rules and regulations,
or lawful orders of public authorities. The Contractors review of the proposed cost
savings is in the capacity as a Construction Manager and not as a Design
Professional.
19. All accepted Value Engineering/Voluntary Alternates is pending General Contractor’s
review of revised contract documents.
20. For any delays caused by events outside of Contractor’s control, including but not
limited to Acts of God, pandemics, epidemics, acts of governmental authorities, acts
of civil authorities, acts of war or terrorism, unanticipated material shortages and price
escalations, labor disputes and utilities delays, Owner shall grant additional time
extensions and price increases to Contractor when properly documented,
substantiated and approved by Owner, subject to Contractor’s right to dispute.
21. Section 00 73 00 – Supplementary Conditions: Excluded is the requirement of
achieving substantial completion within 240 days after receipt of notice to proceed as
referenced in paragraph 8.4. Due to unanticipated lead times for critical electrical and
HVAC equipment, Durotech proposes to be substantially complete within 365 days
after notice to proceed and receipt of building permits from the Owner except for

installation of the Uninterruptible Power Supplies (UPS) due to lead time constraints.
All parties agree that installation of the UPS will not be a requirement for establishing
Substantial Completion. The owner shall release all retainage for the entire value of
work complete once Substantial Completion is established. Retainage may be held
only for the value of work remaining after the substantial completion date. This
qualification is based on the following equipment delivery lead times, and further
unforeseen increase in lead times will require adjustment to the timeline previously
stated:
a. HVAC Equipment: 34-36 Weeks
b. Main Distribution Panel: 36-38 Weeks
c. Generator: 42-44 Weeks
d. UPS: 85-100 Weeks
22. Section 00 73 00 – Supplementary Conditions: Excluded in its entirety is paragraph
11.2 regarding Owner’s Protective Liability Insurance.
23. Compensation for General Conditions costs, as defined by the contract, are included
as part of the Guaranteed Maximum Price to the date of Substantial Completion. All
General Conditions costs incurred after the date of Substantial Completion shall be
considered Cost of Work.

regarding 10’ x 10’ mockup. The majority of all exterior finishes are exiting to remain.
Mock-ups, if needed, will be done on the building itself as construction progresses.
DIVISION 02 – EXISTING CONDITIONS
37. Excluded is the removal and/or encapsulation of any and all asbestos, lead and other
hazardous materials. The removal and/or encapsulation of all asbestos, lead and
other hazardous materials will be the responsibility of the Owner and all costs of
testing will be paid by the Owner.
38. Durotech recognizes the Owner’s first right of salvage. All items that the Owner
intends to salvage must be removed before demolition is scheduled to start per the
project schedule. Excluded is any cost and labor for the Owner’s salvage ,

39. All existing Fire Suppression, HVAC, Electrical, Communications, and Security
equipment scheduled to remain or be reused is assumed to be in acceptable working
condition. Durotech shall be entitled to additional cost and time for any required
repairs or replacements of existing equipment in order to complete the work.
40. Owner will provide Durotech a clean and safe working environment, free from any
environmental contamination and/or contaminates. Prior to and during construction,
Owner shall maintain in the existing building(s) normal HVAC operations and
habitable climatic conditions to prevent mold growth and/or other potential humidity
related damages. If, during construction, Durotech encounters any known hazardous
materials or mold, Durotech will notify the Owner immediately and cease all work in

approve the Guaranteed Maximum Price of $6,043,937 and execute GMP Amendment
No. 1 between The City of Pearland and Durotech, Inc.

THE PROJECT:
The Work of Project is defined by the Contract Documents and consists of the following:
1. Major renovations to convert the existing Fire Station No. 4 into the Public Safety
Training and Education Building. The Public Safety Training and Education
Building includes a large conference room, break room area, fitness area to be
shared by Police and Fire, office area, and associated restroom/shower facilities .
The work also includes new electrical, mechanical, plumbing, communications,
and security systems. Exterior renovations include metal roof replacement and
painted brick.
2. Select interior renovations to both levels of the existing Public Safety Building
including security upgrades, office revisions, building partitioning, and
department modifications.
3. All work or portions of work necessary to provide complete facilities as
represented in the Drawings and Specifications, including, but not limited to,
architectural and structural building components, architectural finishes,
mechanical equipment and ducting, plumbing piping and fixtures, electrical
equipment and fixtures, fire alarm, security, and communications.

DIVISION 00 – PROCUREMENT AND CONTRACTING REQUIREMENTS
1. Excluded is Material Testing.
2. Excluded are City/MUD Fees, City/MUD Inspection Fees, and City/Mud Tap fees.
3. Excluded are Utility Assessment & Impact Fees.
4. Utility Company agreements (terms & conditions and costs), easements and
coordination which will serve as the termination point for Durotech to make
connections for building service shall be the responsibility of the Owner.
5. Off-site Utility Fees and Utility District Connection Fees (if any) to on-site utilities shall
be the responsibility of the Owner.
6. Excluded are all building permit fees. Building permit fees, if any, are to be paid by
the Owner.
7. Excluded are unforeseen underground conditions or obstructions not indicated in
contract documents.
8. Without regard to any other provision of this Agreement, Owner shall be liable to
Contractor for additional costs incurred by Contractor as the result of any
governmental payroll tax or healthcare tax if the tax is applicable to the Project, the
Project is not tax exempt from the specific tax and the tax became effective after the
date of execution of the Contract.
9. Electronic Files and CAD Files will be provided by the Architect/Engineer of re cord for
the purpose of preparing shop drawings and 3D models at no cost to the General
Contractor and/or Subcontractors. A signed release will be required before electronic
files are released by the Architect/Engineer.
10. Owner and Contractor agree that design and specification of systems, operating
parameters, and materials is by Owner’s Architectural and Engineering consultants
and that enforcement of warranties is contingent upon systems being maintained and
operated in accordance with manufacturer recommendations.
11. Owner and Contractor agree that all manufacturer’s warranties, and subcontractor’s
warranties which extend beyond Contractor’s warranty period, are hereby assigned to
and run directly from the manufacturer to the Owner and from the subcontractor to
the Owner, respectively. Owner accepts these assignments and warranties, and
releases and discharges Contractor from any and all claims, liabilities, damages,
costs and expenses arising out of such manufacturer’s warranties and any
subcontractor’s extended warranties.
12. The Contractor’s warranty excludes remedy for damage or defect caused by abuse,
material alteration to the work not executed by the Contractor, insufficient

maintenance, or maintenance not in compliance with manufacturer’s written
recommendations.
13. Payment and Performance Bonds will be charged to the Owner based on the State of
Texas regulated rate.
14. The Guaranteed Maximum Price provided is a not to exceed amount for the entire
project scope. Individual line items within the project budget are not indi vidual
Guaranteed Maximum Price amounts.
15. The GMP package is valid until September 13, 2022, with the assumption that the
Owner will issue a Notice to Proceed and sign the GMP Amendment on or before the
stated date.
16. Excluded is any Security Personnel/Watchman. Included are security cameras as
required for the General Contractor’s jobsite office.
17. Architect will provide an “Issue for Construction” set of plans and specifications which
will include the bid set, addenda, permit changes and accepted cost savings to
Contractor within 14 days of NTP. All individual changes from the bid set will be
clouded with a reference to the origin of the change (addendum number, permit
changes, cost saving, etc.).
18. The proposed cost saving recommendations by Durotech, Inc. shall be subject to the
review and approval of the Architect, Owner and the Owner’s Professional
Consultants. Durotech, Inc. is not required to ascertain that the cost savings are in
accordance with applicable laws, statutes, ordinances, codes, rules and regulations,
or lawful orders of public authorities. The Contractors review of the proposed cost
savings is in the capacity as a Construction Manager and not as a Design
Professional.
19. All accepted Value Engineering/Voluntary Alternates is pending General Contractor’s
review of revised contract documents.
20. For any delays caused by events outside of Contractor’s control, including but not
limited to Acts of God, pandemics, epidemics, acts of governmental authorities, acts
of civil authorities, acts of war or terrorism, unanticipated material shortages and price
escalations, labor disputes and utilities delays, Owner shall grant additional time
extensions and price increases to Contractor when properly documented,
substantiated and approved by Owner, subject to Contractor’s right to dispute.
21. Section 00 73 00 – Supplementary Conditions: Excluded is the requirement of
achieving substantial completion within 240 days after receipt of notice to proceed as
referenced in paragraph 8.4. Due to unanticipated lead times for critical electrical and
HVAC equipment, Durotech proposes to be substantially complete within 365 days
after notice to proceed and receipt of building permits from the Owner except for

All parties agree that installation of the UPS will not be a requirement for establishing
Substantial Completion. The owner shall release all retainage for the entire value of

only for the value of work remaining after the substantial completion date. This
qualification is based on the following equipment delivery lead times, and further
unforeseen increase in lead times will require adjustment to the timeline previously

c. Builder’s Risk Insurance Premium will be paid by Durotech. Owner will be
responsible for any deductibles if they should occur.
DIVISION 01 – GENERAL REQUIREMENTS-
29. Excluded are any building windstorm inspections and/or certification.
30. Excluded is any cost for third-party Building Commissioning. Included is Building
Commissioning coordination.
31. Excluded are any costs for generator rental and fuel for temporary power. We
assume that we can tie into the existing electrical service for temporary power needs
during construction.
32. All cost for use of utilities (power, water, sanitary) during construction will be paid for
by Owner.
33. Excluded is any ground water control systems, well-point systems, eductor and
ejector-type systems, deep wells, and piezometers or monitoring wells.
34. Excluded is any weekend or overnight work. All work will take place during normal
business hours (7am – 5pm Monday through Friday). Durotech will have unhindered
access to all areas where work is required during these hours for the entire project
duration. Durotech will notify and coordinate with the owner when loud / noisy work
will be necessary.
35. It is assumed that the Project Manual (Exhibit B) and the Drawings (Exhibit C) include
the latest Design and Building Standards provided by the owner and have been
reviewed by the Architect and their Consultants for compliance.
36. Section 01 40 00 – Quality Requirements: Excluded in its entirety is paragraph 1.6 J
regarding 10’ x 10’ mockup. The majority of all exterior finishes are exiting to remain.
Mock-ups, if needed, will be done on the building itself as construction progresses.
DIVISION 02 – EXISTING CONDITIONS
37. Excluded is the removal and/or encapsulation of any and all asbestos, lead and other
hazardous materials. The removal and/or encapsulation of all asbestos, lead and
other hazardous materials will be the responsibility of the Owner and all costs of
testing will be paid by the Owner.
38. Durotech recognizes the Owner’s first right of salvage. All items that the Owner
intends to salvage must be removed before demolition is scheduled to start per the
project schedule. Excluded is any cost and labor for the Owner’s salvage ,
transportation, and relocation/reinstallation operations. Included is salvaging of
existing generator and relocation for storage to 2559 Hillhouse Rd., Pearland, TX
77584.

39. All existing Fire Suppression, HVAC, Electrical, Communications, and Security
equipment scheduled to remain or be reused is assumed to be in acceptable working
condition. Durotech shall be entitled to additional cost and time for any required
repairs or replacements of existing equipment in order to complete the work.
40. Owner will provide Durotech a clean and safe working environment, free from any
environmental contamination and/or contaminates. Prior to and during construction,
Owner shall maintain in the existing building(s) normal HVAC operations and
habitable climatic conditions to prevent mold growth and/or other potential humidity
related damages. If, during construction, Durotech encounters any known hazardous
materials or mold, Durotech will notify the Owner immediately and cease all work in
the potentially contaminated area. Owner agrees to indemnify Durotech from all
damages, costs and expenses stemming from Owner’s failure to maintain normal
HVAC operations and habitable climatic conditions.
DIVISION 03 – CONCRETE
41. Included is approximately 5,122 SF of 2” fiberglass reinforced topping slab in the
apparatus bay area to level the slab and meet ADA requirements for the use of the
building. Any cost associated with additional floor leveling requirements discovered
after demolition operations are complete will be paid for by the Owner.
DIVISION 04 – MASONRY
42. Excluded are cast stone exterior window sills per detail 12/A802. Brick exterior
window sills are existing and shall remain.
DIVISION 05 – METALS
43. Excluded is any galvanizing of structural steel members in enclosed unconditioned
space areas of the building.

work shall include only the following:
a. Remove existing roofing to existing wood deck at tower and to framing at
mansard roofs.
b. Install new ¾” CDX plywood over framing at mansard roofs and secure to
existing framing. Excluded is any new framing; existing framing is assumed to be
in acceptable condition.
c. Install new IMETCO Aquablock 60 HT underlayment over new and existing
plywood per manufacturer’s recommendations.
d. Install new 24-gauge IMETCO galvalume standing seam roof system per
manufacturer’s recommendations, including rakes, ridges, drip edges, hips,
counter flashings, and receivers.
e. Included is a 30-year No-Dollar-Limit warranty.
48. Included is the following TPO roofing scope of work and roofing materials for the
Public Safety Building Renovations:
a. Remove (1 EA) 2’ x 2’ roof curb, infill, and patch to match existing roof area as
shown on sheet MED 2.32.
b. Flash (4 EA) new 2’ x 2’ curbs as indicated on sheet ME 2.32.
c. Roof work operations will not void existing roof warranty. No new roof warranty is
considered.
