A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO
ENTER INTO AN INTERLOCAL AGREEMENT WITH BRAZORIA COUNTY
DRAINAGE DISTRICT NO. 4 FOR REPAIR OF THE TIMBER BRIDGE
LOCATED AT THE INTERSECTION OF ROY ROAD AND HICKORY
SLOUGH.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain interlocal agreement by and between the City of Pearland
and Brazoria County Drainage District No. 4, a copy of which is attached hereto as Exhibit
"A" and made a part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest an interlocal agreement with Brazoria County Drainage
District No. 4, for replacement of a bridge.

INTERLOCAL AGREEMENT
BETWEEN
CITY OF PEARLAND AND BRAZORIA DRAINAGE DISTRICT NO. 4
This AGREEMENT is made between BRAZORIA DRAINAGE DISTRICT NO. 4
(District) and the City of Pearland (City), hereinafter referred to as the District and City
respectively, each being a governmental entity pursuant to the Interlocal Cooperation
Act.
RECITALS
WHEREAS, the City finds it necessary to repair a timber bridge located at the
intersection of Roy Road and Hickory Slough; and
WHEREAS, the replacement and improvement of said timber bridge will directly impact
the function of the District's ditches and other drainage facilities; and
WHEREAS, the District and the City have each agreed to contribute certain material,
equipment, or efforts to the accomplishment of this goal, pursuant to the authority of the
Interlocal Cooperation Act, V.T.C.A Gov. Code Sec. 791.001 et seq.;
NOW, THEREFORE, for the mutual consideration, and covenants set forth below, the
District and the City agrees as follows:
I. REPAIR OF TIMBER BRIDGE
1.01 The District agrees to furnish labor and equipment as necessary to repair the
bridge, including all backfill or excavation where appropriate.
1.02 The City agrees to furnish all materials necessary for said repairs, and to provide
traffic control as necessary.
II. MISCELLANEOUS
2.03 All parties intend that the District, in performing such services, shall act as an
independent contractor and shall have control of its own work and the manner in
which it is performed. The District is not to be considered an agent or employee
of the City.

2.05 To the extent permitted by law, the District agrees to hold harm and release the
City, its agents, officers and employees from any and all loss, damage, cost
demands and causes of action of any nature or kind, including legal fees, for loss
or damage to property, or for injury or death to persons, arising in any manner
from the performance of the above referenced construction.
2.06 To the extent permitted by law, the City agrees to hold harmless and release the
District, its agents, officers and employees from any and all loss, damage, cost
demands and causes of action of any nature or kind, including legal fees, for loss
or damage to property, or for injury or death to persons, arising in any manner
from the performance of the above referenced construction.
2.07 The City executes this Agreement by and through its City Manager, acting
pursuant to a Resolution of the City Council so authorizing; the District executes
this Agreement by and through the Chairman of the Board of Commissioners
acting pursuant to authorization of the Board of Commissioners of the District.
2.08 Nothing herein shall be construed to make either party a purchaser or consumer of
goods or services from the other.
2.09 Nothing herein shall be construed to create any rights in third parties.
2.10 This Agreement may only be amended, modified, or supplemented in writing and
subsequently dated by the District and the City.
