A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
PEARLAND, TEXAS, ACCEPTING OWNERSHIP OF CERTAIN REAL
PROPERTY TO BE USED FOR THE LOCATION OF A PUBLIC
LIBRARY.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS:
Section 1. That ownership of certain real property to be used for the location of
a public library, more particularly described on Exhibit "A" attached hereto, is hereby
accepted.

§ KNOW EVERYONE BY THESE PRESENTS:
COUNTY OF BRAZORIA §
THAT Shadow Creek Ranch Development Company Limited Partnership, a
Nevada limited partnership, hereinafter called "Grantor," for and in consideration of the
sum of TEN AND NO/100 DOLLARS ($10.00) cash to Grantor in hand paid by City of
Pearland, Texas, hereinafter called "Grantee" and whose address is 3519 Liberty Drive,
Pearland, Texas 77581, the receipt and sufficiency of which is hereby acknowledged,
has GRANTED, SOLD, AND CONVEYED and by these presents does GRANT, SELL,
AND CONVEY unto said Grantee, its successors and assigns the property more
particularly described by Shadow Creek Ranch Library Site, Document No. 2006005631
of the Map Records of Brazoria County, specifically incorporated herein and made a part
hereof for all purposes (the "Property"), together with all improvements thereon.
This Special Warranty Deed and the conveyance hereinafter set forth is made by
Grantor and accepted by Grantee subject to the terms, conditions, and provisions hereof
and further subject to all easements, conditions, restrictions, covenants, mineral or
royalty reservations or severances, other encumbrances presently of record validly
existing and affecting the Property, and all matters that would be revealed or disclosed in
an accurate survey of the Property. In addition, it is expressly stipulated and agreed that
all oil, gas and other minerals in, or under, or that may be produced from, the Property
are not included in this conveyance.
TO HAVE AND TO HOLD the Property, together with all and singular the rights
and appurtenances thereto belonging, unto Grantee, its successors and assigns forever,
and Grantor does hereby bind itself, its successors and assigns, to WARRANT AND
FOREVER DEFEND, all and singular the title to said Property unto Grantee, its
successors and assigns, against every person whomsoever lawfully claiming or to claim
the same or any part thereof, by, through, or under the Grantor, but not otherwise,
subject to the matters herein set forth.
As a material part of the consideration for this conveyance, Grantor and Grantee
agree that Grantee is taking the Property "AS iS" with any and all latent and patent
defects and that there is no warranty by Grantor that the Property has a particular
financial value or is fit for a particular purpose. Grantee acknowledges and stipulates
that Grantee is no relying on any representation, statement, or other assertion with
respect to the condition of the Property but is relying on Grantee's examination of the
Property. Grantee takes the Property with the express understanding and stipulation
that, except for the limited warranty of title set forth in this deed, Grantor makes no
express or implied warranties.
