A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS,ACCEPTING THE DEDICATION TO THE CITY OF 20.970 ACRES
OF LAND ALONG CLEAR CREEK FOR USE AS A PUBLIC PARK.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS
Section 1 That the City Council hereby conditionally accepts the draft
Dedication Deed, attached hereto as Exhibit "A" and made a part hereof for all
purposes, conveying to the City that certain 20 970 acres of land, more specifically
described in Exhibit "B" attached hereto, along Clear Creek for use as a public park.
Section 2. That this acceptance is contingent upon the parties' reaching an
agreement regarding the terms of the Dedication Deed

§ KNOW ALL MEN BY THESE PRESENTS
COUNTY OF BRAZORIA §
WHEREAS,John Stuart Dissen,Individually, as Independent Executor of the Estate of
Gladys Dissen, Deceased and as Trustee of the W J Dissen,Jr Marital Trust(collectively, the
"Grantor")(hereinafter called the"Dedicator")is the owner in fee simple of the tract or parcel of
land containing acres, more or less, located in Brazoria County, Texas as more
fully described on Exhibit A attached hereto and made a part hereof for all purposes(the
"Property");and
WHEREAS, Grantor desires and has agreed to convey the Property to The City of
Pearland, a municipal corporation situated in Brazoria County,Texas(the"City of Pearland")
whose mailing address is 3519 Liberty Drive, Pearland, Texas 77581-5416-19 for use as a public
park(the"Permitted Use").
NOW, THEREFORE, in consideration of the sum of Ten and No/100 Dollars($10 00)
and other good and valuable consideration, the receipt of which and sufficiency of which are
hereby acknowledged and confessed, Grantor has SOLD, CONVEYED and DEDICATED and
by these presents does forever SELL. CONVEY and DEDICATE unto the City of Pearland for
use as a public park.
This Dedication Deed (this"Deed")is expressly made and accepted subject to all matters
of record affecting all or any portion of the Property, including,without limitation, those matters
described in Exhibit B attached hereto and made a part hereof for all purposes.
TO HAVE AND TO HOLD the Property, together with all and singular the rights and
appurtenances thereunto in anywise belonging unto the City of Pearland.
TO HAVE AND TO HOLD the Property,together with all and singular the tights and
appurtenance thereunto in anywise belonging unto the City of Pearland, its successors and assigns
forever This Deed is executed, delivered and accepted without warrant of title, either express
or lied, but Grantor hereby grants and conveys to the City of Pearland,with full right of
subrogation, to the extent so transferable,the benefit of and right to enforce the covenants and
warranties, if any,which Grantor is entitled to enforce with respect to the Property or any part
thereof.
This Conveyance and Dedication is an irrevocable and perpetual dedication of the
Property for use as a public park.

The City of Pearland hereby irrevocably and unconditionally stipulates and agrees that the
conveyance and dedication of the Property as effectuated by this Deed shall satisfy all open space
or similar requirements that may now be in force or may be hereafter enacted by the City of
Pearland with regard to the tracts or parcels of land described on Exhibit C attached hereto and
made a part hereof for all purposes (the"Adjacent Property"). The City of Pearland recognizes,
stipulates and agrees that the provisions of this paragraph are a material inducement to Grantor in,
the conveyance and dedication effectuated by this Deed and that,but for such agreement, Grantor
would not have executed and delivered this Deed.
Ad valorem taxes and special assessments,if any, against the Property for the year 1999
and any and all taxes and special assessments for periods prior to the date of this Deed but
assessed on or subsequent to the date of this Deed due to changes in land usage or ownership are
expressly assumed by the City ofpearland.
