A Resolution of the City Council of the City of Pearland, Texas, authorizing the
City Manager or his designee to enter into a Deed of Exchange Agreement with
Jud’s Food Stores, Inc. for the relocation of right-of-way in the vicinity of
Industrial Drive.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain Deed of Exchange by and between the City of Pearland and
Jud’s Food Stores, Inc., a copy of which is attached hereto as Exhibit “A” and made a part hereof for
all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute and
the City Secretary to attest a Deed of Exchange Agreement with Jud’s Food Stores, Inc.
PASSED, APPROVED and ADOPTED this the 6th day of December, A.D., 2021.

Brazoria, Harris and Fort Bend Counties, Texas [the "Second Party" l; and
WHEREAS, the First Party as the owner of the following tract of land lying and being
situated in the County of Brazoria, the State of Texas:
44.1077 acres of land, partially situated in Section 27, HT & Li RR Company Survey,
A-308, and partially situated in Section 28, G. C. Smith Survey, A-551 of Brazoria
County, Texas, and being part of Lots 165. 166, 167 & 173 of the W. Zychlinki
Subdivision, as recorded in Volume 29, upon Page 9, of the Deed Records of

WHEREAS, prior to (he recording of the Plat, the First Party did convey to the Second Party,
by General Warranty (lift Deed, dated March 26, 2008, and recorded under Clerk's Pile No. 2008-
021222 in the Real Property Records of Brazoria County, Texas, the following tract of land lying
and being situated in the County of Brazoria, the State of Texas:
A tract of 0.9298 acres of land, partially situated in Section 27, HT & B RR
Company Survey, A-308, Brazoria County, Texas, and being part of 1.ot 166 of the
W. Zychlinki Subdivision, as recorded in Volume 29, upon Page 9, of the Deed
Records of Brazoria County, Texas Ithc `Existing Right of Way"], said Existing
Right of Way being described by metes and bounds on Exhibit "A" attached hereto
and made a part hereof for any and all purposes; and

WHEREAS, the First Party desires to amend the configuration of the Lots in the
Development; and
WHEREAS, the re -configuration of the Lots in the Development will require the Second
Party to re -convey the Existing Right of Wary to the First Property; and
WHEREAS, the Second Party is willing to re -convey the Existing Right of Way to the First
Party ifand only /f the First Party conveys to the Second Party an acceptable replacement right of
way; and
WHEREAS, the First Party has offered to convey to the Second Party, by this instrument
the following tract of land lying and being situated in the County of Brazoria, the State of 9 exas:
A tract of 0.930 acres of land, in the HT & B RR Company Survey, A-308, of
Brazoria County, Texas, said tract of 0.930 acres being part of Lot I of the
Subdivision [the "Replacement Right of Way"], said Replacement Right of Way
being described by metes and bounds on Exhibit "B" attached hereto and made apart
hereof for any and all purposes; and
WHEREAS, the Second Party finds the Replacement Right of
y acceptable; and

of Way and the Replacement Right of Way arc of equal value; and
WHEREAS, to accomplish the conveyance oftitle to the lands to each other, the First Party
and the Second Party desire to enter into a "like -hind exchange" as that tern is defined the Internal
Revenue Service of the United States of America.

Party does hereby GRANT, BARGAIN, EXCHANGE. AND CON VIiY the Replacement Right of
Way unto the Second Party, together with all rights, ways, privileges and easements appurtenant to
the Replacement Right of Way, including all right, title and interest of First Party in and to all strips,
gores, streets, alleys and way, public or private, adjoining or crossing the Replacement Right. of Way.
FURTHER, for and in consideration as aforesaid, there is EXCEPTED from this conveyance
all of thc oil, gas and other minerals in, under and produced from the lands herein conveyed.
HOWEVER, Grantor, for itself, its successors and assigns, does hereby WAIVE AND
RELINQUISII Ito thc extent that such rights may exist in Grantor': any and all right to use the
surface of' the Replacement Right of Way; any and all right to ingress and egress relating the
aforesaid mineral reservation; and any and all right to the use of any part of the surface of the
Replacement Right of Way for exploration, mining, development, drilling and/or production of oil,
gas and other minerals.

FURTIIER, for and in consideration as aforesaid, First Party has conveyed, and the Second
Party has accepted (as evidenced by the recording of Ihi s instrument'', the Replacement Right of Way

set forth below, the First Party makes no warranty, either express or implied, as to the condition,
merchantability or fitness of the Replacement Right of Way.
THE CONVEYANCE of the Replacement Right of Way by the First Party is made and
accepted SLAM/CP TO:
All ad valorem taxes, fees and assessments, if any, for the year 2022, and for
all subsequent years, the payment of which the Second Party assumes (al the
time of transfer of title), and all subsequent assessments for this and all prim'
years due to change(s) in land usage (including, but not limited to, the
presence or absence of improvements, if any, on the Replacement Right of
Way), ownership, or both, the payment of which Second Party assumes;
2. The mineral reservation set forth above, as well as all valid oil, gas and
mineral rights, interests or leases, royalty reservations, mineral interest and
transfers of interests of any character, in the oil, gas or minerals of record in
any county in which any portion of the Replacement Right of Way is located;
3. All covenants, conditions and restrictions, all zoning ordinances and building
codes, and all other lice items of record in any county in which any portion
of the Replacement Right of Way is located, but only to the extent the same
are still in torte and effect.
4. All easements and/or rights -of -way,

any portion thereof.

FOREVER, and the First Party does hereby bind itself, its successors and assigns, TO WARRANT
AND FOREVER DEFEND all and singular the said Replacement Right of Way unto the said
Second Party, its successes and assigns, against every person whomsoever lawfully claiming or to
claim the same or any part thereof by through or under First Parry hut rno other.
THE ACCEPTANCE OF THIS CONVEYANCE by the Second Party does not, and shall
not, in any way, obligate it to construct a public road on the Replacement Right of Way.

set forth below, Second Party makes no warranty, either express or implied, as to the condition,
merchantability or fitness of the lixisting Right of Way.
THE CONVEYANCE of the Existing Property is made and accepted SUBJECT TO:
