The PEDC engages the CONSULTANT to perform professional services for a project known and described as Pearland Entrepreneurship Hub ("PROJECT"). SECTION I - SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to PEDC standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSl JLTANT shall launch and manage a new Hub for entrepreneurs, small business owners and innovators in Pearland, Texas. See Exhibits A - C, attached, for a detailed Scope of Work, Navigator Job Description and Performance Metrics for the PROJECT. B. See Exhibit D for a detailed budget, including estimated operating costs of the PROJECT. C. The CONSULTANT acknowledges that the PEDC (through its City of Pearland employee handbook) considers the following to be misconduct that is grounds for termination of a PEDC or City employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants and/or collecting reimbursement of expenses made for the benefit of the PEDC. The CONSULTANT agrees that it will not, directly or indirectly; encourage a PFDC employee to engage in such misconduct. D. The CONSULTANT recognizes that all collateral, documents or work product, including all contacts and other data from the Hub portal, generated by the CONSULTANT under the CONTRACT shall be delivered to the PFDC upon request and shall become subject to the Open Records Laws of this State. E. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors and omissions relating to the performance of any work by the CONSULTANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers' Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. DocuSign Envelope ID: C4BB490D-F845 43F0-8569-49749B2EFE64 (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non -owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. The CONSULTANT shall include the PEDC as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers' Compensation. Certificates of Insurance and endorsements shall be furnished to the PEDC before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and/or reduced in coverage or in limits ("Change in Coverage") except with prior written consent of the PEDC and only after the PE -?DC has been provided with written notice of such Change in Coverage, such notice to be sent to the PEDC either by hand delivery to the PEDC President or by certified mail, return receipt requested, and received by the PEDC no fewer than thirty (30) days prior to the effective date of such Change in Coverage. Prior to commencing services under this CONTRACT, CONSULTANT shall furnish PEDC with Certificates of Insurance, or formal endorsements as required by this CONTRACT, issued by CONSULTANT'S insurer(s), as evidence that policies providing the required coverage, conditions, and limits required by this CONTRACT are in full force and effect. F. The CONSULTANT shall indemnify and hold the PEDC, its officers, agents, and employees, harmless from any claim, loss, damage, suit, and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT, his officers, employees, agents, or subcontractors under this CONTRACT. H. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the PFDC. SECTION II - PERIOD OF SERVICE This CONTRACT will be binding upon execution and end upon successful completion of the four phases as outlined below and in the Scope of Work: (1) Phase 1: Launch of the Hub (December 1, 2021 — February 28, 2022) DocuSign Envelope ID: C4BB490D-F845 43F0-8569-49749B2EFE64 (2) Phase 2a: Management and Operation of the Hub (March 1, 2021 September 30, 2022) (3) Phase 2b• Continued Management and Operation of the Hub (October 1, 2022 — September 30, 2023) (4) Phase 2c• Continued Management and Operation of the Hub (October 1, 2023 — September 30, 2024) SECTION III - CONSULTANT'S COMPENSATION A. The method of payment for this CONTRACT is monthly based on the portion of the total estimated fee as outlined below. Total compensation for the services performed shall not exceed $927,000. (1) Within thirty (30) days of execution of the CONTRACT, PHDC shall pay CONSULTANT an advance of $15,000. (2) The PFi;DC shall pay CONSULTANT a management fee on a monthly basis and reimburse CONSULTANT for any Operating Cost expenses, as outlined in F-{;xhibit D. (3) Reimbursements may be adjusted to reflect any sponsorship or other revenues procured by the CONSULTANT at PEDC's discretion. B. The PFH;DC shall make payments to the CONSULTANT within thirty (30) days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. SECTION IV - THE PEDC'S RESPONSIBILITIES A. The PEDC shall designate a project manager during the term of this CONTRACT The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the PEDC on any aspect of the work shall be directed to the project manager. B. The PEDC shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The PEDC will keep the CONSULTANT advised concerning the progress of the PEDC'S review of the work. The CONSULTANT agrees that the PEDC'S inspection, review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub- consultant(s) or in any way affect the CONSULTANT'S status as an independent contractor of the P FDC. The PEDC, at its sole discretion, may terminate this CONTRACT for any reason - - with or without cause -- by delivering a thirty (30)-day written notice to CONSULTANT personally or by certified mail at 1334 Brittmoore Rd #1327, Houston, TX 77043. Thirty (30) days after receiving such written notice, the CONSULTANT shall discontinue providing the services under this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the PFOC all collateral, documents or work product, including all contacts and other data from the Hub portal generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the P14,DC on or before the 15th day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination, minus the advance paid upon execution of the CONTRACT. The PEDC shall make final payment within sixty (60) days after the CONSULTANT has delivered to the PFiDC a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum, the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the scope of work. E In the event this CONTRACT is terminated, the PEDC shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. F. If the P1--F;DC terminates this CONTRACT for cause and/or if the CONSULTANT breaches any provision of this CONTRACT, then the PEDC shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney's fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and PEDC desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this, the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. This CONTRACT may be amended only by written instrument signed by both parties. SECTION VII — COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CONTRACT. For breach or violation of this clause, the PEDC may terminate this CONTRACT without liability, and in its discretion, may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission, percentage brokerage fee, gift, or contingent fee that has been paid. SECTION VIII-- SUCCESSORS AND ASSIGNS This CONTRACT shall not be assignable except upon the written consent of the parties hereto. The Hub will build upon existing initiatives and establish new resources in partnership with academic institutions, private sector businesses and other business assistance providers in the greater Houston ecosystem. The Hub will _provide an inclusive environment for entrepreneurs and small business owners seeking to launch and operate in the City of Pearland " (Pearland Hub Business Model Canvas and Plan, April 8, 2021) The Scope of Services spells out the deliverables and activities to be conducted by The Cannon Workspacee, LLC (the "Contractor") for the creation, launch and management of the Hub, and is designed to achieve the mission described above and the goals established in the Pearland Hub Business Model Canvas and Plan (April 8, 2021). The deliverables are intended to provide transparency in the engagement, as Pearland Economic Development Corporation (the "P KDC") utilizes public funds. Performance metrics are provided in Kxhibit C. The Scope of Services is divided into two phases under this contract: A. Phase 1: launch of the Hub. B. Phase 2: management and operation of all aspects of the Hub including programming and events. y 1 _1, •� Phase 1 commences upon contract execution. It is estimated that Phase 1 deliverables would be completed by the Contractor within 3 months from contract execution. The end of the launch period occurs when the following three activities are completed: 1. Launch Hub website that includes link to the Portal for Cannon Connect. 2 Development of the Pro -Active Coaching program, defined by the call for entrepreneur applications 3. Completion of one event for Pearland entrepreneurs during the launch period. The Contractor will complete the following launch deliverables and activities including strategic planning, recommendation for an appropriate legal and operational structure, planning of programs and events, and marketing, outreach and engagement of partners and potential clients, as listed below: A.1 Management, Staffing, Operations and Budget • Coordinate closely with P HD C to recruit and hire the Navigator for the Hub. PED C will participate in the interview and selection of the Navigator. The job description and compensation are provided in Kxhibit B. Permanent navigator will be hired no less than six months after execution of contract. P rovide an interim Navigator with suitable qualifications to manage the Hub until a permanent hire is made. Train and supervise the Ilub Navigator to ensure that all duties are effectively performed. Utilize qualified staff at the Contractor to provide direct assistance to entrepreneurs in P earland, including development and management of the Pro -Active Coaching program, and when necessary, supplement the assistance provided by the Navigator. Serve in a supporting role, with P 14,DC as the lead, for the formation on a new, nonprofit organization to govern. the Hub. Work closely with P I -A DC to form the interim Hub Advisory Board and recruit and onboard its members All members will be appointed by PKI )C with approval of the PK,DC Board of Directors Work with P N',DC and the I lub Advisory Board on strategic planning. Develop an annual program of work and budget in coordination with PH,DC, which is the primary funder of the Hub. Annual budgets require approval by F DC. Develop and implement the policies and procedures for operating the Hub. Develop a Pearland-branded digital portal for Pearland entrepreneurs and businesses on'lhe Cannon Connect platform and provide access for Pearland entrepreneurs and businesses. Create a database of all entrepreneurs and small business owners who contact the Hub and participate in its programs and events. Provide PKi )C with administrator access to the database. Open an office for the Flub in Pearland that will provide office space for the Navigator and a limited amount of conference room space. P rovide a written schedule for timing and completion of launch/Phase 1 steps, and review with P P,DC on a bi-weekly basis throughout Phase 1. The schedule will be provided to P I -DC no later than 2 weeks after contract execution. A 2 Program, Service and Kvent Planning • Plan and launch the following programs and activities for entrepreneurs, small business owners and post -secondary educational institutions and other educational partners that are designed to enhance the City's innovation and entrepreneurship culture, to include: o The Pro -Active Coaching program, which well have a particular emphasis on traded sectors/primary job creators K,stablish the program structure and operations, including the recruitment of vetted coaches (that includes Pearland business leaders and owners), and call for applications from entrepreneurs and small business owners. o Meetups, lunch and learns and other social activities that are designed to engage entrepreneurs and small business owners in Pearland and understand their needs. • Work collaboratively with the I lub's Key Partners (as defined in the Pearland Hub Business Model Canvas and Plan, April 8, 2021) to create and plan events and competitions to foster Exhibit A: Scope of Services DocuSign Envelope ID: C4BB490D-F845-43F0-8569-49749B2EFE64 innovation and entrepreneurship. At the same time, identify events and competitions operating in the Greater Houston ecosystem that align with the Hub's mission and arrange to co -host and/or sponsor events, as appropriate. • Determine the appropriate mix of virtual and in -person events. • Develop written policies and procedures for all Ilub programs and events and share them with PPDC. • Create an inclusive environment for entrepreneurs and small business owners with programming and outreach conducted fot all Hub programs and events. A.3 Vcosystem and Partner Htngagement • Gain a clear understanding of the providers in the greater Houston ecosystem and capture the information in a digital platform that includes the details about their resources, services, and targeted clientele. • Identify the Key Partners (as specified in the Pearland Hub Business Model Canvas and Plan, April 8, 2021) who are critical for the implementation of the Hub and its programs and services and begin to sign agreements (including co -hosting or sponsoring Hub events) with the types of partners listed in K,xhibtt B/Performance Metrics. • Create relationships with accelerators and incubators, maker spaces and innovation labs, other entrepreneurial assistance programs, and service providers and funding sources in the greater Houston ecosystem for the benefit of Pearland entrepreneurs and small business owners. • Identify potential partners who could provide suitable space for hosting future Hub events. A.4 Branding, Marketing and Outreach • Working closely with PKDC, develop a brand specifically for the Pearland Hub, including brand guidelines and a logo. • Develop a clear and consistent message for the Hub, as well as for each program and event, and convey the message to potential clients, partners, stakeholders and the Pearland community at -large. • Work with PH',DC to obtain domain names for the Hub, (with PKDC having ownership of the domain names) and create and launch the website. Provide administrator access for PKDC to the Hub website and link the Hub site to the PKDC site. • Create a printed brochure or other collateral on the Ilub, working closely with PH',DC. • Kstablish a social media presence for the Ilub and collaborate with PP,DC on social media strategy and posts. Respond to inquiries about the Hub from businesses, community members and others via phone, email, Hub website and social med a channels. P rovide memberships (which provide access to the Cannon Connect) at no charge to P earland entrepreneurs and small business owners. Work with PKDC, the Hub Advisory Board and eventual Board of Directors, and other community partners, on strategic plan implementation. Manage the bi-monthly or more frequent Ilub Advisory Board meetings including the planning of meeting agendas and execution of follow-up items. Maintain the Pearland-branded digital platforms/Cannon Connect for Pearland entrepreneurs and small business owners, with current information on events, programs and resources. Maintain the database/platform of entrepreneurs and small business owners who contact the Hub and participate in its programs and events and share information with PVDC when requested. Maintain written policies and procedures for all Hub programs and share them with PKDC, when requested. Assist PH'DC, when requested, with the creation of a non-profit organization for the Hub. The goal is formation of a non-profit organization for the Hub by the end of Year 1 of operations. P rovide written reports and meet with PKDC on a monthly basis during the course of this contract. B 2 Program Management and Direct Assistance to Businesses, and Student Activities • Manage all programs and services of the Hub, as defined in the Pearland Hub Business Model Canvas and Plan dated April 8, 2021, and in the Phase 1 deliverables. • Manage the Pro -Active Coaching program (following its launch in Phase 1) and provide direct assistance to entrepreneurs and small business owners, including: o Complete the selection of entrepreneur and small business clients (based upon the apphcants obtained during the Launch period). o Serve as the case manager for Pro -Active Coaching clients to ensure that the right combination of resources is provided at the appropriate time to assist the client and the goals of the Hub are met. Monitor client progress against estabhshed milestones. o Continue to recruit and vet coaches (that include Pearland business leaders and owners) for this program. • Connect Pearland entrepreneurs and small business owners to resources, including accelerators and incubators and the Key Partners (see Kxhibit B/Performance Metrics), hxhibit A: Scope of Services DocuSign Envelope ID: C4BB490D-F845-43F0-8569-49749B2EFE64 in the greater Houston ecosystem to ensure that they receive needed assistance and have access to resources that will maximize their growth potential and overall success. • Provide Pearland entrepreneurs and small business owners with access to The Cannon's network of investors, corporations, advisors, service providers, and entrepreneurs via memberships to its Cannon Connect platform. • Work with community colleges and ISDs in and around Pearland (see H;xhibit F) to establish entrepreneurial and innovation -inspiring curriculum and/or extra -curricular activities. • Kngage partners in the ecosystem, when appropriate, in order to create and deliver Hub programming and events. • Continue to create an inclusive environment for entrepreneurs and small business owners with programming and outreach conducted for all Hub programs and events • Gain an understanding of the needs of entrepreneurs and small business owners in Pearland to identify opportunities to best serve them, which may include the creation of additional programs, services, and events B 3 Kvent Management • Continue to provide meetups and other social events on a regular basis as defined in H;xhibit B that are designed to engage Pearland entrepreneurs and small business owners. • Implement and manage the ideation and innovation and business plan competitions, with some events directed for entrepreneurs and small business owners in Pearland and others geared toward community college and university students or high school students. • Identify and recruit speakers, mentors and judges for the events and competitions. Kngage Pearland-based individuals, whenever possible. • Collaborate with Key Partners on their business plan competitions to ensure visibility and measurable outcomes for Pearland and engage them as co -hosts of Hub -organized events and competitions. • Coordinate with P H',DC on the implementation of the events and competitions for Pearland. • Recruit and manage volunteers, including students, to assist with events and competitions in Pearland. B.4 H,cosystem and Partner Kgagement • Continue to sign agreements with and engage Key Partners specifically for Pearland including co -hosting and sponsoring events. • Develop and maintain positive and productive relationships with Key Partners and other partners and providers, including accelerators, incubators, maker spaces and innovation labs, other entrepreneurial assistance programs, and service providers and funding sources in the ecosystem. • Connect Pearland entrepreneurs and small business owners to partners and providers in the ecosystem and ensure that they receive the necessary resources. Exhibit A: Scope of Services DocuSign Envelope ID: C4BB490D-F845-43F0-8569-49749B2EFE64 B 5 Branding, Marketing and Outreach • Promote the Ilub brand, using the agreed -upon guidelines, throughout the community and the greater Houston ecosystem. • Develop a clear and consistent message for each program and event, and convey the message to potential clients, partners, stakeholders, and the Pearland community at -large. • Maintain the Hub portal for the Cannon Connect and Hub website including ensuring that content is current. • Maintain the social media presence for the I lub and conduct regular outreach through its channels. • Continue to coordinate and collaborate with P KDC on all marketing and branding activities. B.6 Fundraising, Budget, and Fees • Raise the necessary funds, including cash and in -kind sponsorships, to support the Ilub and attain financial sustainability over time, abiding by the following agreed -upon arrangement: a. All sponsorship revenue obtained for the Pearland Ilub will be split on a 50/50 basis after the initial $5,000. PP,DC will receive the initial S5,000 raised. 50% of all sponsorship funds raised above this initial amount will be provided to PMC on a quarterly basis. b. A percentage of the Contractor's proceeds will be used to develop new programming specifically curated for the Hub. c. All potential sponsors must be reviewed and approved by P I-1;l )C. d. Provide the status of sponsorships and fundraising in the required monthly reports to P Fi;DC (see B.1 ) • The following activities will be available free -of -charge to Pearland entrepreneurs, small business owners and students: a. Memberships to the Cannon Connect b. Vvent attendance (with the exception of application and participation fees for entrepreneurs and small business owners to compete in competitions, including business plan and innovation competition -type events in which a prize is awarded) • Manage an annual program budget and monitor the Hub's financial performance against budgeted figures. Build interest and excitement around entrepreneurship in the Pearland community through the execution of the PEDC's strategic partnership programming plan in partnership with the Cannon. 2. Design, plan and execute multiple social and business themed events designed specifically for Pearland's growing entrepreneurial community, including happy hours, meetups, lunch and learns, local business tours, mentor/advisor matching and pitch parties. 3. Recruit, coordinate, and track the Pro -active Coaching program, ensuring advisors, coaches, and mentors are properly engaged to help support entrepreneurs and their endeavors. 4.
