APPROVAL OF MINUTES Vice Chair Chavarria made a motion, seconded by Secretary Wendell, to approve the minutes of the Regular Meeting of September 1, 2020. Motion Passed: 6-0 III. PUBLIC COMMENTS None. IV. FINANCIAL REPORT A. Monthly Financial Report --August 2020 Financial Report President Buchanan presented the August 2020 Financial Report. Board Member Dansby made a motion, seconded by Board Member Johnson, to approve the August 2020 Financial Report Motion Passed: 6-0 V. NEW BUSINESS A. Excuse the absence of Vice Chair Chavarria from the regular Board meeting on September 1, 2020. Board Member Johnson made a motion, seconded by Secretary Wendell, to excuse the absence of Vice Chair Chavarria from the September 1, 2020 meeting. Motion Passed: 6-0 B. Business Retention and Expansion Program — Contract for Services with LiftFund, Inc. The City of Pearland is proposing utilizing $800,000 of the Federal Coronavirus Aid, Relief and Economic Security Act (CARES Act) for a COVID-19 Small Business Recovery Grant Program. LiftFund, Inc. will administer the grant program for the City. The fee for their services, paid for by the PEDC, is $64,958 or 8% of the fund, and covers assistance with marketing of the fund, administrative functions, applications, underwriting and technical services. This will allow the City to apply the entire $800,000 to grants. Vice Chair Chavarria made a motion, seconded by Board Member Thumann, to approve the President to negotiate and enter into an agreement with LiftFund, Inc. and related entities for an amount of $64,958. Motion Passed: 6-0 C. 2021 PEDC Marketing Campaign Implementation Plan and Professional Services Agreement with Lou Hammond Group for Marketing Services Marketing Director, Melissa Black and Amanda Hansen of Lou Hammond Group (LHG), provided an update to the current marketing campaign and presented a high-level summary of the implementation plan proposed FY 2020-21 The budget for the plan is $405,000, which includes Minutes of a Regular Meeting September 24, 2020 Page 3 $120,000 for LHG's services and $285,000 to be paid directly to media outlets outlined in the campaign. Board Member Thumann made a motion, seconded by Secretary Wendell, to approve the President to approve the PEDC marketing campaign implementation plan and for the President to enter into a Professional Services Agreement with Lou Hammond Group for an amount not to exceed $120,000. Motion Passed: 6-0 D. 2021 Board of Directors Meeting Dates President Buchanan presented the Board with proposed board meeting dates for 2021 Vice Chair Chavarria made a motion, seconded by Secretary Wendell, to approve the President to the 2021 Board of Directors Meeting Dates Motion Passed: 6-0 E Monthly Activity Report — President Buchanan summarized ongoing activity. No action taken. The meeting went into recess at 6:07 pm. and entered Executive Session at 6.13 p.m. VI. OTHER BUSINESS Executive Session Under Texas Government Code 1 Section 551 087 — DELIBERATIONS REGARDING ECONOMIC DEVELOPMENT NEGOTIATIONS — Update on Business Attraction/Retention Projects 2. SECTION 551 087 — DELIBERATIONS REGARDING ECONOMIC DEVELOPMENT NEGOTIATIONS — Project #2023. The Board closed Executive Session at 6:50 p.m. The Board reconvened into Open Session at 6:52 p.m. VII. NEW BUSINESS CONTINUED: 3. CONSIDERATION AND POSSIBLE ACTION: DELIBERATIONS REGARDING ECONOMIC DEVELOPMENT NEGOTIATIONS — Project #2023. Board Member Dansby made a motion, seconded by Board Member Thumann, to approve the President to negotiate and enter into a reimbursement agreement with Prospect #2023 for an amount not to exceed $40,000.
