A Resolution of the City Council of the City of Pearland, Texas, amending a
contract for design services with Dannenbaum Engineering Corporation, in
the additional amount of $255,109.15 (total contract amount of $1,367,840.65),
associated with the Smith Ranch Road Expansion Project.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That a contract for design services associated with the Smith Ranch Road
Expansion Project was previously awarded to Dannenbaum Engineering Corporation.
Section 2. The City Manager or his designee is hereby authorized to execute an
amended contract for design services associated with the Smith Ranch Road Expansion Project.

CONTRACT FOR ENGINEERING SERVICES
THIS SUPPLEM ENTAL WORK AUTHORIZATION is made pursuant to the terms and conditions of Artide 5
Contract No. TR1501/CSJ0912-31-293 hereinafter identified as the ''Contract," entered into by and
between the City of Pearland; and Dannenbaum Engineering Corporation (the Engineer).
The following terms and conditions of Work Authorization No. 2017-00000547 are hereby amended as
follows:
1. Attachment C, Services to be provided by the Engineer, is amended to add the following services at a
cost of 255,109.15.
• FC 130
i. Provide revised right-of-way maps/plats, property owner changes, revised metes and
bounds descriptions and follow-up field work for 19 parcels;
ii. Condemnation appraisal updates, preparation and testimony for 7 parcels;
iii. Revised title reports, appraisal updates and reviews for 19 parcels; and
iv. Additional Right of Way project administration including revised offer letters and owner
coordination for 19 parcels.
• FC 145
i. Project management including 6 additional meetings and a revised schedule.
• FC 162
i. The addition of a fiber optic line for the project length.
2. The maximum amount payable under the Contract's increased by $255,109.15from 1,112,731.50 to
$1,367,840,65,
All other provisions are unchanged and remain in full force and effect.
This Supplemental Work Authorization shall become effective on the date of final execution of the parties
hereto. All other terms and conditions of Work Authorization No. 2017-00000547 not hereby amended are
to remain in full force and effect.
IN WITNESS WHEREOF, this Supplemental Work Authorization is executed in duplicate counterparts and
hereby accepted and acknowledged below.

These documents are being transmitted to you for your review and concurrence in accordance with
your email dated 12/28/2020 requesting resubmission of documents. The attached Change Order
No.1 documents our additional costs for Right of Way services, meetings and a fiber optic line. These
costs have been adjusted as per discussions with the City of Pearland on 11/17/2020.
As directed, we have included only the revised sheets of the cost documents (Dannenbaum Cost
Spreadsheet, CSJ 0912-31-293). It is our understanding the City of Pearland will use this information
to gain TxDOT's approval for the Change Order to allow property acquisition to proceed to meet the
January, 2022 letting. As a reminder, there are other additional costs for this project that are to be
discussed later and were removed from this Change Order at the request of the City of Pearland.

RIGHT OF WAY SERVICE AGREEMENT
This Right of Way Services Agreement ("Agreement") is entered into by and between
Dannenbaum Engineering Corporation (Dannenbaum), and PAS Property Acquisition Services,
LLC (PAS). Dannenbaum and PAS are hereinafter sometimes referred to individually as a "Party"
and collectively as the "Parties".
WITNESSETH
In consideration of their mutual covenants hereunder, the Parties agree as follows:
f. Scope of Services. Dannenbaum requests that PAS perform certain right of way
and related technical services (the "Services") for the Smith Ranch Road Project.
2. Performance of Services. After accepting a request for Services, PAS will
perform the Services as an independent contractor. Dannenbaumn agrees to provide PAS with such
information, data and criteria as may be required from time to time by PAS to perform the Services
efficiently and in accordance with this Agreement.
3. Compensation and Charges for Services, Charges for Services will be made in
accordance with the Schedule of Rates and Expense Reimbursements attached hereto as Exhibit
R. PAS shall invoice monthly for Services performed and payment shall be made by Danncnbaurn
within thirty (30) days of receipt of invoice. PAS shall maintain such books and records as may
be reasonably required to substantiate charges invoiced under this Agreement.
4. Confidential Information. Ail confidential data and information acquired by
PAS from Dannenbaurn during the performance of Services shall be kept confidential and shall
not be disclosed by PAS to third parties without the written consent of Dannenbaum, unless PAS
is required by law or court order to make disclosure. .Data and information obtained by PAS in
the ordinary course of its business, or which is in the public domain through no wrongful act of
PAS shall not be considered confidential.
5. Ownership of Work Product, All reports, records, and other electronic
files, sketches, working drawings and other tangible evidence of PAS' work product prepared
hereunder for Dannenbaum shall be the property of Dannenbaum. PAS may retain a record of its
work product.
6. Indemnification. PAS SHALL DEFEND, INDEMNIFY, AND HOLD HARMLESS
DANNENBAUM, ITS DIRECTORS, OFFICERS, AGENTS, EMPLOYEE. AND AFFILIATES
FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, OR CAUSES OF ACTION

OF PAS ARISING OUT OF. THE NEGLIGENCE OR MISCONDUCT OF PAS' EMPLOYEES
DIRECTORS, OFFCIERS, AGENTS, OUTSIDE ADVISORY OR SUPPORT CONSULTANTS,
OR REPRESENTATIVES. PAS shall promptly advise Dannenbaum in writing of any claims,
which could give rise to a right of indemnification under this Paragraph
7, Insurance. PAS shall carry at its expense; the insurance cove►a.ge's set forth in
"Insurance Coverage" attached hereto as Exhibit C.
8. Termination and Suspension, (a) Either party shall have the right to
terminate this Agreement if the other Party materially defaults in the performance of its obligations
hereunder and fails to commence steps to remedy such default within fifteen (15) days after written
notice thereof. Dannenbaum shall also have the right to terminate this Agreement for any reason
upon thirty (30) days written notice to PAS, In the event of termination., PAS shall be paid for all
(i) Services rendered up to the termination date and (ii) in. cases where the termination is not due
to the default of PAS, costs incurred by PAS for an orderly discontinuance of Scrvic.es. All
partially completed•work product shall he delivered to Dannenbaum after termination and payment
therefore.
(b) Dannenbaumn may suspend for any reason performance of the Services provided that it
issues to PAS a written suspension notice, which includes an undertaking by Dannenbaum to adjust
the price and/or the performance schedule for the impact of the suspension.
9. Adjustments. In the Event of: (a) changes or additions to the scope of Services
requested; or (b) delays in the performance of Services by reason of force majeure, charges and/or
performance schedules shall, if appropriate, be adjusted. Upon the occurrence of any change,
addition or delay, PAS shall, as soon as practicable, propose in writing to Dannenbaum for
consideration and mutual agreement, an adjustment to charges and/or performance schedules.
10. Warranty. PAS warrants that the Services shall he performed with that degree
of skill and judgment normally exercised by professional right of way firms performing services
of a similar nature. The Parties agree that there are no standards of performance, guarantees or
warranties extending beyond those expressed in this Paragraph.
11. Notices. Any notices or communications required or permitted to be given
hereunder shall be given in writing by delivery in person or by first class mail addressed to the
Party, postage prepaid, or by facsimile at the following addresses or such other address (es) as a
Party may from tirne to time designate in writing

12. Assignments and Subcontracts. This Agreement shall inure to the benefit of
and are binding upon Parties and their successors and permitted assigns, Neither party shall assign
all or any part of this Agreement without the prior written consent of the other Party. PAS shall
obtain the consent of Dannenbaum before subcontracting any component of the Services, such
consent not to be -unreasonably withheld by Dannenbaum.
13. Governing Law, This Agreement shall be governed and construed pursuant to
the laws of the State of Texas and Harris County.
1.4. Seversability, Ia- the event any portion' of this Agreement is held to be
unenforceable or invalid, the validity and enforceability of the remainder of the Agreement shall
be unaffected.
15. Entire Agreement. This Agreement constitutes the entire agreement between
.the Parties relating to the subject matter hereof, and supersedes all previous bids, proposals,
contracts, understanding and other agreements between the Parties. This Agreement may not be
amended except in writing signed by both Parties.

EXHIBIT A
Services to be Provided
The Services to be provided under. this Agreement shall be those requested by Dannenbaum and
accepted by PAS in accordance with Paragraphs I and 2 of this Agreement. Those Services may
include, among others, relocation assistance as stated below.
Relocation
A. Perform initial interview with owner/tenant to research the needs for each
business and residence affected by the acquisition
B. Explain Relocation Benefits Package/Advisory Services and Coordinate Move
1. Meet with the Displacee and discuss the advisory services & benefits they are
eligible to receive
C. 90-Day Notice to Displacee
1, Prepare 90 Day Notice and send to displacee affected by the acquisition along
with the relocation booklet for Business Relocation
2. Find Comparables, Calculate Rent Supplement or Replacement Housing
Payment, prepare 90 Day Notice and send to Displacee affected by the
acquisition along with the relocation booklet for Residential Relocation.
D. Issue 30-day notice
1. Once the property is acquired, it is the relocation agent's responsibility to
notify the owner on the parcel
2. The agent will prepare and send a 30-day notice to vacate the displacement
property to each of the displacees
3. The relocation agent will also confirm that the owner/business owner has also
been issued a 30-day notice, through the acquisition department
4. Once the 30-day has been issued the displacees will start finalizing their .plans
for moving and the agent will be responsible for monitoring each individual
move
E. Moving and Monitoring the Move
1, Obtain moving estimates on moving the personal property of each business or
residence
2. Monitor each move and the circumstance under which the business chooses to
move (actual cost move or negotiated self -move) or in the case of a residential
relocation (actual cost move or room count move)
3. Receive and verify reestablishment expenses for each of the businesses
4. Submit the expenses for reimbursement
F. Submit Vacate Form to the Client
1. Verify vacancy and send the proper form to the client on each of the
displacees and the owner when they have each individually vacated the parcel

G. Process Moving Reimbursement
1, Agent will process the paperwork necessary to reirnbtlrse the displacee for any

Schedule of rates and Expense Reimbursements
The Rates and reimbursements set forth in this Exhibit B sire subject to annual adjustment by PAS,
provided PAS gives Danncnbaum a minimum of sixty (60) days written notice of any such
adj ustment.
PAS will be paid at the rates per service shown below. I.n addition to that rate, Dannenbaurn will
reimburse PAS for actual, project -related expenses at the rates set forth below.
PAS will submit monthly invoices for services provided through the last day of each month to
Danncnbaum, accompanied by an explanation of charges, professional fees, services, and
expenses. Danncnbaum will pay such invoices according to its normal payment procedures, but in
no event snail such payment be later than thirty days after Dannenbaum's receipt of the invoice.

Our opinions will be strictly expressed and reported in compliance with the Uniform
Standards of Professional Appraisal Practice (USPAP), and the professional ethics and
standards of professional appraisal practice of The Appraisal Institute.
Our fee above specifically covers completion of the initial appraisal report. Updated
appraisal reports for Special Commissioners Hearing will be killed at $3,000 per appraisal
report. Additionally, expert testimony relating to this matter will be billed separately at the
standard TxDOT rate of $200 per hour, not to exceed $5,000, without prior authorization
