A Resolution of the City Council of the City of Pearland, Texas, authorizing
the conveyance of certain real properties, as described in Exhibits A -L, to
the Lower Kirby Pearland Management District (LKPMD") and Pearland
Municipal Management District No. 1 ("PMMD No. 1") for the construction
and maintenance of regional drainage detention facilities.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section I. That the City Council hereby authorizes the conveyance of certain real properties,
as described Exhibits A -L, to the LKPMD and PMMD No. 1 by Special Warranty Deed.

MEMORANDUM OF UNDERSTANDING

Harris County
Background
In 2014, the City of Pearland (“City”), in partnership with Pearland Municipal
Management District #1 (“PMMD#l”) and Lower Kirby Pearland Management District
(“LKPMD”) (hereafter collectively referred to as the “Districts”), developed a regional
storm water detention plan in the area generally bound by Kirby Drive to the west,
Beltway 8 to the north, SH288 to the east, and Clear Creek to the south (the “Plan”). In
2015, the City and Districts entered into a Memorandum of Understanding with TxDOT
for the Districts to improve, and use as part of the Plan, the TxDOT ditch utilized for the
Sam Houston Tollway and SH288 corridors.
The City and LKPMD, developed a Phase 2 regional storm water detention plan in the
area generally bound by Kirby Drive to the east, Almeda School Road to the west,
Beltway 8 to the north, and Clear Creek to the south (the “Phase 2 Plan”).
The City and LKPMD have requested to utilize the existing TxDOT drainage ditch for
Beltway 8, located parallel to and approximately 1,900 linear feet west of Kirby Drive
(hereafter referred to as the “Ditch”), for conveyance of additional drainage flows to
detention facilities proposed in the Phase 2 Plan. In the regional system, the Ditch will be
widened and structures will be constructed in accordance with the Phase 2 Plan as
needed by development within the drainage service area. The Ditch is located within a
one- hundred foot (100’) wide strip of land on which TxDOT either has a Drainage
Easement for Highway Purposes or TxDOT owns in fee. TxDOT’s Houston District
Hydraulic Section has reviewed the P h a s e 2 Drainage Analysis and issued a letter
of no objection for the Phase 2 Plan. The letter advises that an agreement needs to be
executed for needed improvements in the TxDOT drainage ditch outlined in the Phase 2
Plan, and outlining responsibilities, such as future maintenance, prior to any work on
TxDOT property, and assurance of drainage capacity for Beltway 8.
Understanding
TxDOT is amenable to future improvements to the Ditch by LKPMD in exchange for the
capacity improvements. TxDOT cannot sell or give LKPMD an easement on the Ditch.
TxDOT must retain its existing rights as the Ditch is part of the State Highway system.
TxDOT is amenable to LKPMD’s Plan to implement Ditch improvements in multiple
phases over many years, provided that LKPMD does the following:

• LKPMD will be responsible for an environmental document, if required, for the
proposed improvements.
• LKPMD will submit plans and obtain a permit from TxDOT for each phase of
ditch improvements on TxDOT property or easement.
• The Ditch will be available for TxDOT to continue to provide drainage for the
TxDOT Projects in perpetuity.
• The drainage capacity and conveyance that TxDOT currently utilizes in the Ditch
shall be available for TxDOT to utilize in perpetuity.
• The City/LKPMD over time will acquire the underlying fee interest in all
properties where TxDOT only has an easement for the Ditch.
• The City/LKPMD will provide TxDOT with all documentation of the acquisitions
showing that all underlying fee simple title is owned by the City/Districts.
• LKPMD will provide ongoing maintenance for the Ditch, including mowing, side
slope repairs, and structure repairs.
The provisions of this Memorandum of Understanding are non-binding on the parties
hereto and are intended merely for the purpose of outlining a tentative agreement on
the points covered herein. Neither party is under any legal obligation to the other. Any
party may cease pursuit of the contemplated actions at any time for any or no reason.
Neither party is obligated to negotiate in good faith.
If the foregoing is in accordance with your understanding, please execute and return
the enclosed copy of this Memorandum of Understanding.

in Harris County, Texas, containing 0.7570 acre, 0.7668 acre, 1.099 acres, 1.820 acres,
1.946 acres and 9.309 acres, respectively, as more particularly described in Exhibits A,
C, E, G, I and K and shown on Exhibits B, D, F, H, J and L, all attached hereto and
incorporated herein for all purposes, together with all rights, titles, and interests
appurtenant thereto and improvements situated thereon (collectively, the "Pro er ").
This Special Warranty Deed and the conveyance. hereinabove set forth are
executed by Grantor and accepted by Grantees subject to the terms, conditions and
provisions hereof and further subject to all easements, conditions, restrictions,
covenants, mineral or royalty interests, mineral reservations, surface waivers, utility
conveyances, liens, encumbrances, regulations .or orders of municipal and/or other
governmental authorities, if any, or other matters of record in Harris County, Texas, to
the extent the same are validly existing and applicable to the Property (collectively, the
"Permitted Encumbrances"). Grantees acknowledge that the Permitted Encumbrances
referenced herein specifically include a reservation of approximately 101 acre-feet of
regional detention and floodplain mitigation volume in the Property for the use and
benefit of PMMD and a portion of the LKPMD.
