Standard Contractual Provisions. A. Definitions. Contract means this Standard Services Contract. Services means the services for which the City solicited bids or received proposals as described in Exhibit A, attached hereto. B. Services and Payment. Contractor will furnish Services to the City in accordance with the terms and conditions specified in this Contract. Contractor will bill the City for the Services provided at intervals of at least 30 days, except for the final billing. The City shall pay Contractor for the Services in accordance with the terms of this Contract, but all payments to be made by the City to Contractor, including the time of payment and the payment of interest on overdue amounts, are subject to the applicable provisions of Chapter 2251 of the Government Code. C. Termination Provisions. (1) City Termination for Convenience. Under this paragraph, the City may terminate this Contract during its term at any time for the City's own convenience where the Contractor is not in default by giving written notice to Contractor. If the City terminates this Contract under this paragraph, the City will pay the Contractor for all services rendered in accordance with this Contract to the date of termination. (2) Termination for Default. Either party to this Contract may terminate this Contract as provided in this paragraph if the other party fails to comply with its terms. The party alleging the default will give the other party notice of the default in writing citing the terms of the Contract that have been breached and what action the defaulting party must take to cure the default. If the party in default fails to cure the default as specified in the notice, the party giving the notice of default may terminate this Contract by written notice to the other party, specifying the date of termination. Termination of this Contract under this paragraph does not affect the right of either party to seek remedies for breach of the Contract as allowed by law, including any damages or costs suffered by either party. (3) Multi -Year Contracts and Funding. If this Contract extends beyond the City's fiscal year in which it becomes effective or provides for the City to make any payment during any of the City's fiscal years following the City's fiscal year in which this Contract becomes effective and the City fails to appropriate funds to make any required Contract payment for that successive fiscal year and there are no funds from the City's sale of debt instruments to make the required payment, then this Contract automatically terminates at the beginning of the first day of the City's successive fiscal year of the Contract for which the City has not appropriated funds or otherwise provided for funds to make a required payment under the Contract. D. Liability and Indemnity. Any provision of any attached contract document that limits the Contractor's liability to the City or releases the Contractor from liability to the City for actual or compensatory damages, loss, or costs arising from the performance of this Contract or that provides for contractual indemnity by one party to the other party to this Contract is not applicable or effective under this Contract. Except where an Additional Contract Document provided by the City provides otherwise, each party to this Contract is responsible for defending against and liable for paying any claim, suit, or judgment for damages, loss, or costs arising from that party's negligent acts or omissions in the performance of this Contract in accordance with applicable law. This provision does not affect the right of either party to this Contract who is sued by a third party for acts or omissions arising from this Contract to bring in the other party to this Contract as a third -party defendant as allowed by law. E. Assignment. The Contractor shall not assign this Contract without the prior written consent of the City. F. Law Governing and Venue. This Contract is governed by the law of the State of Texas and a lawsuit may only be prosecuted on this Contract in a court of competent jurisdiction located in or having jurisdiction in Brazoria County, Texas. G. Entire Contract. This Contract represents the entire Contract between the City and the Contractor and supersedes all prior negotiations, representations, or contracts, either written or oral. This Contract may be amended only by written instrument signed by both parties. H. Independent Contractor. Contractor shall perform the work under this Contract as an independent contractor and not as an employee of the City. The City has no right to supervise, direct, or control the Contractor or Contractor's officers or employees in the means, methods, or details of the work to be performed by Contractor under this Contract. The City and Contractor agree that the work performed under this Contract is not inherently dangerous, that Contractor will perform the work in a workmanlike manner, and that Contractor will take proper care and precautions to insure the safety of Contractor's officers and employees. I. Dispute Resolution Procedures. The Contractor and City desire an expeditious means to resolve any disputes that may arise between them regarding this Contract. If either party disputes any matter relating to this Contract, the parties agree to try in good faith, before bringing any legal action, to settle the dispute by submitting the matter to mediation before a third party who will be selected by agreement of the parties. The parties will each pay one-half of the mediator's fees. J. Attorney's Fees. Should either party to this Contract bring suit against the other party for breach of contract or for any other cause relating to this Contract, neither party will seek or be entitled to an award of attorney's fees or other costs relating to the suit. K. Severability. If a court finds or rules that any part of this Contract is invalid or unlawful, the remainder of the Contract continues to be binding on the parties. IV. Special Terms or Conditions. None. V. Additional Contract Documents. The following specified documents attached to this Contract are part of this Contract, except as follows: any provision contained in any of the Contractor's Additional Contract Documents specified below that conflicts with a Contract provision not included in the Contractor's Additional Contract Documents, does not apply to this Contract. The fuel system update is explained below in detail. All pricing is quoted as an installed price including equipment, materials, accessories, and labor as needed for complete operational systems unless exceptions are taken as stated below. Fuel Control Solutions is a BuyBoard vendor, and offers BuyBoard discounts as applicable to the quote. Responsibilities of Parties involved: It should be noted that we are not an engineering or architectural firm. Our knowledge and expertise is derived from numerous installations, factory training, and working with engineers and architects over the years. We know what works from the customer's standpoint, and strive to help design something functional while keeping the end user's goals in mind. To the extent of this proposal, there will be areas that should garner input and calculative design methods from a licensed engineer employed or contracted by the City of Pearland. Those areas are inclusive of (but not limited to) geophysical survey, subsurface and foundation preparation, watershed impact, surface runoff, concrete design, load bearing surface design, electrical design, and any other impacted area deemed necessary or lawful for an engineer to be involved. This quotation is based on their observations, recommendations, and calculations. Should they be incorrect or at fault, resulting in additional construction costs, then those costs will be passed on to the end user. Existing Location and New LaVout: The location of the facility is located at 3501 East Orange St, Pearland, TX 77581. The new layout and fuel traffic pattern will be per engineered plans provided to us by City of Pearland. The existing underground tanks (USTs) are to be removed and disposed of. Current pricing allows for the UST tanks to be cleaned, demolished, and removed from their current location. The existing underground piping, island curbs, canopy, and dispensers will also be removed. The existing concrete will be demolished and replaced per the engineered drawings and elevations, Any finished elevation difference will be filled in at a later, separate construction project by the City of Pearland. We will provide new island curbs and bollards for the fuel island, and bollards as needed for the fuel tanks. Utilities: All electrical control boxes, consoles, and other operating equipment will be mounted per the city's engineered drawings. We have allowed for all electrical in our scope of work. Any additional ancillary items such as power outlets, surveillance cameras, etc., not on the plans are considered to be outside of our scope of work as quoted. Ethernet shall be provided to the control panel by City of Pearland, and we'll need IT support for IP addresses and configurations associated with communications. Fuel System: The newfuel tanks will be above ground UL2085 Fireguard tanks. We have included one new 12,000 gallon gasoline tank, and one 12,000 gallon diesel tank. The new canopy will be replaced and will include new LED fixtures for lighting. The Fuel System is quoted including submersible pumps, fuel piping, dispensers, and tank accessories (vents, gauges, remote fill, overfill prevention valves, etc.). Above ground piping will enter a fiberglass transition sump at the tanks. Fuel piping will be double wall Fiberglass Reinforced Pipe and will terminate at each fiberglass dispenser sump as needed per product. We will provide all conduit and conductors needed for the fuel system controls and communications. Dispensers are provided by City of Pearland, which we will install. We will expect them to be on site ready to install at the appropriate time. We will be in contact to schedule when we will need them. We will provide new dispense nozzles which will have breakaways and swivels. We will provide all dispensers with new shear valves and leak detection via the Tank Monitor. All areas subject to vibration will have flexible hose connections to minimize leaks and prolong the life of the system. Fuel Management Svstem: The City of Pearland is providing its own fuel management system. We will coordinate installation of conduit and wiring per their vendor's recommendations. Their vendor will be responsible for wiring terminations and configurations between the dispensers and the fuel management system. Tank Monitor System: The tank monitor system is a Franklin Fueling Systems TS-550evo. It will be used to monitor tank levels, water contamination alarm, and high and low level alarms. We quoted variable speed pumps, and the TS-550evo communicates with the MAGVFC pump motor controllers to customize your tank usage. This control also senses pump intake restrictions, pressure loss, and overheating, and can alarm you and shut down a pump prior to a problem occurring. Additionally, your fueling supplier can be emailed at a preset low tank level or they can get access via an Ethernet Portal to maintain your fuel inventory and schedule deliveries. The tank monitor can be accessed via a web browser anywhere on the city's network to view the tank/system status. We will need to coordinate all communications connections and configurations with your IT department. Decommissioning of Existing Fuel Island: We will file the appropriate paperwork with TCEQ for removal/replacement of the fuel tanks. The area will be partitioned off as needed while under construction. The concrete will be saw cut and removed as needed for the area. The tanks, underground piping, electrical, dispensers, and other utilities will all be removed as needed. When the tanks and piping are removed, a third party testing service is brought in per TCEQ requirements to take soil samples. Our quote includes initial soil sample testing. The area is typically left exposed pending soil sample results. Should the samples pass testing, the area is then backfilled, compacted, and re -graded to elevation. Once the new sumps and fuel piping is installed, the area is then backfilled, and concrete will be poured for completion. The third party soil sampling company will get the lab results back in about 6 weeks or less. If the results are clean, there is no further action, and TCEQ considers the facility closed. If contamination is found, it is possible that there could be further expenses depending on the extent of the contamination. Typically this consists of boring test wells for future sampling with a typical annual sampling period. As long as the test well's hydrocarbon levels do not increase over the term of the sampling period, TCEQ should close the case within a 5 year period. Should the soil sample results require additional testing, at that time we will provide costs associated with additional testing which could include sample test wells as directed by TCEQ and/or the third party environmental service recommendations. This additional testing is not part of our quote as it is considered an unforeseen cost that is utilized as needed for the situation. Owner Reouirements: - Provide permits as necessary for installation of the fuel island. - Provide engineered drawings that meet the requirements of the City of Pearland. - Help with scheduling and minimizing the fuel volume levels in the existing tanks prior to removal. - Provide fuel dispensers to be installed when we are ready for them. Provide Ethernet to the fuel facility panel board for communications and IT support for IP addresses and configurations. Provide fuel in new tanks for startup and training.
