BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:

Exhibit"A" and made a part hereof for all purposes, is hereby terminated.

BRAZORIA COUNTY TOLL ROAD AUTHORITY
IN ERLOCAL AGREEMENT
CONCERNING FRONTAGE ROAD
IMPROVEMENT PROJECT
This Agreement is made between the CITY OF PEARLAND, a municipal body politic,
acting through its City Council (the "City"), BRAZORIA COUNTY, a political subdivision of
the State of Texas acting through its Commissioners Court (the "County") and BRAZORIA
COUNTY TOLL ROAD AUTHORITY ("BCTRA"), a local government corporation created
pursuant to and authorized by chapter 431, subchapter D of the Texas Transportation Code
("BCTRA"), acting through its Board. City, County and BCTRA may collectively be referred as
the"Parties".
NOW THEREFORE,THE CITY,THE COUNTY and BCTRA agree as follows:
1.
1.1 This Agreement is made pursuant to Texas Government Code section 791.011 in
that it contemplates the furnishing of governmental functions and services between the parties as
defined by Texas Government Code subsections 791.003(3)(C), (I), (J), and(N).
1.2 Each party agrees that any payments for the performance of governmental
functions or services shall be from current revenues available to the paying party and further that
such payments shall fairly compensate the performing party for the service or materials it
provides for the other party's benefit.
1.3 The City warrants that its City Council approved this Agreement by Resolution
'kl81$—ti 3 , dated "3�\Y tr , 2018 authorizing its City Manager to execute it on the
City's behalf.
1.4 The County warrants that its Commissioners Court approved this Agreement by
Court Order No 1.0.tdated 116 `Q , 2018, authorizing its County Judge to execute
it on the County's behalf.
1.5 Pursuant to Brazoria County Toll Road Authority Board Order dated 6-0g7-7--J
20,18, the Brazoria County Toll Road Authority has approved this Agreement and authorized its
Chairman to execute on BCTR.A.'s behalf.
1.6 Each Party acknowledges and agrees that it shall furnish the services promised,
whether by contractor or not, in compliance with State, City and County guidelines and timely

provide such monies as promised herein to fund its respective share of each project, subject to
the following:
(1) Funding and services for the project is subject to the availability of current
fiscal year revenue or bond revenue and the appropriation of such revenue
by the party's governing body to the project to be commenced;and
(2) Provided that upon appropriation of revenue for the project described
herein and upon commencement of a party's funding or services for the
project or execution of a construction contract for the particular project,
the parties shall be obligated to the construction funding and services
described in this Agreement for the project, and that specific project only.
1.7 This Agreement covers the following project(the"Construction Project"):
(1) General Location of the Construction Project:
The east side of State Highway 288 '("SH 288") between FM 518 and
County Road 59 ("CR 59") inside the Texas Department of
Transportation's ("TxDOT") right-of-way, drainage easements, and
County and City rights-of-way, as shown on the "Project Layout," which
is attached hereto as Exhibit"A";and
(2) Scope of the Construction Project: The Scope of the Construction
Project consists of constructing a frontage road along the east side of SH
288 between FM 518 and CR 59. Said Project is shown on the "Project
Layout," attached hereto as Exhibit"A". Said Scope is further defined as
follows:
a) Two lane frontage road on the east side of SH 288 general purpose
lanes between the intersections of FM 518 &SH 288 and CR 59 &
SH 288;and
b) The reversal of the entrance and exit ramps from the current
configuration as required by TxDOT, meaning the exit from the
general purpose lanes will be the ramp further south and the
entrance to the general purpose lanes will be the ramp further
north; and
c} Drainage improvements to address the existing conditions that are
impacted by this project, along the east side of SH 288, and requirements for this project as required by TxDOT, the City and _
Brazoria Drainage District No. 4;and
d) U-Turn lane on the north side of CR 59.

(3) Specifications of project: The Construction Project will be constructed in
accordance with TxDOT standards.
II.
2.1 The parties agree 'to provide the following services, either directly or by
contracting, and the following levels of funding subject to the conditions and exceptions in this
Agreement.
2.2 The City shall be responsible for the following:
(1) Engineering and Design Costs of the Construction Project: The City
shall provide all engineering, surveying, and geotechnical design services
at an estimated cost of$900,000. The scope of work shall consist of items
included in"Scope of Services" attached as Exhibit"B."
(2) Costs of Construction Project: The City shall, in efforts to complete the
Construction Project described herein, pay for actual construction,
construction management, and construction material testing costs, minus
the contribution from the County. City's estimated contribution is
$2,875,000. Payment will be made to BCTRA upon BCTRA's execution
of the Change Order. A final accounting will occur once the project is
complete and BCTRA will reimburse the City if the project is less than
anticipated and will invoice the City if the project is more than anticipated.
(3) State right-of-way: City shall acquire any and all permits from TxDOT to
complete the Construction Project.
(4) Drainage and Detention: City will design appropriate drainage facilities
for the Construction Project. All designs shall conform to the current
• requirements of Brazoria County Drainage District No. 4.
2.3 The County shall be responsible for the following:
(1) Costs of Construction Project: The.County shall contribute $1,500,000
to the costs of construction, construction management, and construction
material testing. This cost shall be paid to BCTRA upon BCTRA's
issuance of a change order for the Construction Project.
2.4 BCTRA shall be responsible for the following:
(1) Change Order: Issue a Change Order to Pulice Construction for the
. Construction Project upon the completion of the design Sand upon receipt
of TxDOT permits to work within the right-of-way.

(2) Administer and inspect the Construction Project.
(3) Administer the construction materials testing contract.
(4) Administer the construction management contract associated with the
Construction Project.
(5) BCTRA will not be responsible for any costs for the project. Brazoria
County and the City of Pearland are paying for the project as described in
this document.
III.
3.1 The Parties recognize and agree that nothing herein shall be construed to create
any rights in third parties.
3.2 The Parties expressly agree that no party shall have the right to seek
indemnification or contribution from any other party hereto for any losses, costs, expenses, or
damages directly or indirectly arising in whole or part from this Agreement.
3.3 Whenever possible, each provision of this Agreement shall be interpreted in such
a manner as to be effective and valid under applicable law, but if any section, subsection,
paragraph, sentence, clause, phrase, work, or portion of this Agreement is, for-any reason, held
invalid unconstitutional or otherwise unenforceable by any court of competent jurisdiction, such
portion shall be deemed a separate, distinct, and independent provision and such holding shall
not affect the validity of the remaining portions thereof.
3.4 The rights and obligations of this Agreement shall not be assigned without prior
written consent of the Parties.
3.5 This Agreement and all obligations created hereunder shall be performable in
Brazoria County,Texas.
3.6 This Agreement shall be construed and enforced in accordance with and governed
by the laws of the State of Texas.
3.7 This Agreement shall be binding upon and inure to the benefit of the Parties and
their administrators,agents,employees, successors, and assigns permitted by this Agreement.
3.8 Intending to be legally bound, the parties hereto have executed this Agreement
effective as of the effective date of the Agreement, IAA . el ,2018.

CONTRACT FOR PROFESSIONAL SERVICES •
TIIIS CONTRACT is entered into upon final execution by and between the City of Pearland
("CITY")and HDR Engineering,Inc.("CONSULTANT").
The CITY engages the CONSULTANT to perform professional services for a project known and
described as State Highway 288 NB Frontage Road("PROJECT").(City Project#TR1701)CSJ:
0548-02-119
SECTION I-SERVICES OF THE CONSULTANT
The CONSULTANT shall perform the following professional services to CITY standards.and in
accordance with the degree of care and sldll that a professional in Texas would exercise under the
• same or similar circumstances: •
A. The CONSULTANT shall provide roadway and drainage design services per
Attachment A through C, attached, for a detailed SCOPE OF WORK and
• PROJECT schedule. The PROJECT schedule shall be updated periodically and
submitted in digital and hard copy form in the Microsoft Project for Windows
format,
B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost
of the PROJECT at 30%, 60%and 95%submittals.
C. The CONSULTANT acknowledges that the CITY (through its employee •
handbook)considers the following to be misconduct that is grounds for termination
. of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving
payment for services not performed or for hours not worked, mishandling or
untruthful reporting of money transactions, destruction of assets, embezzlement,
• accepting materials of value from vendors, or consultants, and/or collecting
reimbursement of expenses made for the benefit of the CITY. The CONSULTANT
agrees that it will not,directly or indirectly;encourage a CITY employee to engage
• in such misconduct.
•
D. The CONSULTANT shall submit all final construction documents in both hard
copy and electronic format. Plans shall be AutoCAD compatible and all other
documents shall be Microsoft Office compatible. The software version used shall
be compatible to current CITY standards. Other support documents, for example,
structural calculations, drainage reports and geotechnical reports, shall be
submitted in hard copy only. All Record Drawings electronic files shall be
submitted to the CITY in TIP format,
•
B. The CONSULTANT recognizes that ail drawings, special provisions,field survey
notes,reports,estimates and any and all other documents or work product generated .
by the CONSULTANT under the CONTRACT shall be delivered to the C1TY upon
request,shall become subject to the Open Records Laws-of this State.

F, The CONSULTANT shallprocure and maintain for the duration of this Agreement,
insurance against claims for injuries to persons,damages to property,or any errors
and omissions relating to the performance of any work by the CONSULTANT,its
agents,employees or subcontractors under this Agreement,as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate,
• (3) Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of any one person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering owned,
hired, and non-owned vehicles, with minimum limits of$1,000,000 for
injury or death of any one person, $1,000,000 for each occurrence, and
$1,000,000 for property damage.
The CONSULTANT shall include the CITY as an additional insured under the
policies, with the exception of the Professional Liability Insurance and Workers'
Compensation. Certificates of Insurance and endorsements shall be furnished to
the CITY before work commences, Each insurance policy shall be endorsed to
stare that coverage shall not be suspended, voided, canceled, and/or reduced in
coverage or in limits ("Change in Coverage") except with prior written consent of
the CITY and only after the CITY has been provided with written notice of such
Change in Coverage,such notice to be sent to the CITY either by hand delivery to
the City Manager or by certified mail,return receipt requested,and received by the
City no fewer than thirty (30) days prior to the effective date of such Change in
Coverage.Prior to commencing services under this CONTRACT,CONSULTANT
shall furnish crrY with Certificates of Insurance, or formal endorsements as
required by this CONTRACT,issued by CONSULTANT'S insurer(s),as evidence
that policies providing the required coverage,conditions,and limits required by this
CONTRACT are in full force and effect.
G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and
employees,harmless from any claim,loss,damage,suit,and liability of every kind .
for which CONSULTANT is legally liable, including all expenses of litigation,
court costs,and attorneys fees,for injury to or death of any person,for damage to
any property, or errors in design, any of which are caused by the negligent act or
omission of the CONSULTANT,his officers,employees,agents,or subcontractors
under this CONTRACT.

H. All parties intend that the CONSULTANT,in performing services pursuant to this
CONTRACT, shall act as an independent contractor and shall have control of its •
own work and the manner in which it is performed. The CONSULTANT is not to
be considered an agent or employee of the CITY.
SECTION II-PERIOD OF SERVICE
This CONTRACT will be binding upon execution and end January 2,2020.
SECTION In-CONSULTANT'S COMPENSATION
A. The total compensation for the services performed shall not exceed the total noted
in Section B.
B. The CITY shall pay the CONSULTANT in installments based upon monthly
progress reports and detailed invoices submitted by the CONSULTANT based
upon the following:
I. Basic Services(Lump Sum) $351,066.00
2. Additional Services shall require independent and specific authorization
and shall be billed as(Lump Sum): NIA
3. Bid Phase Services(Hourly Not to Exceed) $5,$70.00

C. The CITY shall make payments to the CONSULTANT within thirty(30)days after
receipt and approval.ofa detailed invoice. Invoices shall be submitted on a monthly
basis,
SECTION IV-THE CITY'S RESPONSIBILITIES
A. The CITY shall designate a project manager during the term ofethis CONTRACT.
The project manager has the authority to administer this CONTRACT and shall
monitor compliance with all terms and conditions stated herein. All requests for
information from or a decision by the CITY on any aspect of the work shall be
directed to the project manager.

B. The CITY shall review submittals by the CONSULTANT and provide prompt •
response to questions and rendering of decisions pertaining thereto, to minimize
delay in the progress of the CONSULTANTS work, The CITY will keep the
CONSULTANT advised concerning the progress of the CITY'S review of the
work. The CONSULTANT agrees that the CITY'S inspection,review, acceptance
or approval of CONSULTANT'S work shall not relieve CONSULTANT'S
responsibility for errors or omissions of the CONSULTANT or its sub •
-
consultant(s)or in any way affect the CONSULTANT'S status as an independent
contractor of the CITY.
SECTION V-TERMINATION .
A. The CITY,at its sole discretion,may terminate this CONTRACT for any reason
. with or without cause--by delivering written notice to CONSULTANTpersonally
or by certified mail at HDR.Engineering,Inc.,4828 Loop Central Drive,Suite 800,
Houston, TX 77081. immediately after receiving such written notice, the
CONSULTANT shall discontinue providing the services under this CONTRACT.
II. If this CONTRACT is terminated, CONSULTANT shall deliver to.the CITY all
drawings,special provisions,field survey notes, reports,estimates and any and all
other documents or work product generated by the CONSULTANT under the •
CONTRACT, entirely or partially completed, together with all unused materials
supplied by the CITY on or before the 15t1i day following termination of the •
CONTRACT.
•
C. In the event of such termination, the CONSULTANT shall be paid for services
•
performed prior to receipt of the written notice of termination. The CITY shall
make final payment within sixty(60)days after the CONSULTANT has delivered •
to the CITY a detailed invoice for services rendered and the documents or work
product generated by the CONSULTANT under the CONTRACT. •
D. If the remuneration scheduled under this contract is based upon a fixed fee or
definitely ascertainable sum,the portion of such Sum payable shall be proportionate
to the percentage of services completed by the CONSULTANT based upon the
scope of work.
E. In the event this CONTRACT is terminated, the CITY shall have the option of .
completing the work,•or entering into a CONTRACT with another party for the .
completion of the work: •

F. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT
breathes any provision of this CONTRACT, then the CITY shall have all rights
and remedies in law and/or equity against CONSULTANT. Venue for any action
or dispute arising out of or relating to this CONTRACT shall be in Brazoria County,
Texas, The laws of the State of Texas shall govern the terms of this CONTRACT.
The prevailing party in the action shall be entitled to recover its actual damages
with interest, attorney's fees,costs and expenses incurred in connection with the
dispute and/or action. CONSULTANT and CITY desire an expeditious means to
resolve any disputes that may arise between under this CONTRACT. To •
accomplish this,the parties agree to mediation as follows: If a dispute arises out of
or relates to this CONTRACT, or the breach thereof,and if the dispute cannot be
settled through negotiation, then the parties agree first to try in.good faith, and
before pursuing any legal remedies, to settle the dispute by mediation of a third
party who will be selected by agreement of the parties.

SECTION VI—ENTIRE AGREEMENT . •

This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and
supersedes all prior negotiations, representations, or contracts, either written or oral. This -
CONTRACT may be amended only by written instrument signed by both parties,
•
SECTION VII—COVENANT AGAINST CONTINGENT FEES
The CONSULTANT affirms that he has not employed or retained any company or person, other
than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT,
and that he has not paid or agreed to pay any company or person,other than a bona fide employee,
any fee,commission,percentage brokerage fee, gift, or any other consideration, contingent upon
or resulting from the award or making of the CONTRACT.For breach or violation of this clause,
the CITY may terminate this CONTRACT without liability,and in its discretion,may deduct from
• the CONTRACT price or consideration, or otherwise recover, the full amount of such fee,
commission,percentage brokerage fee,gilt,or contingent fee that has been paid.

Transportation(hereinafter to be referred to as the State)has commissioned the services of
(HDR Engineering,Inc.)to serve as the Engineer on this project.
The City and State will furnish to the Engineer the following items:
I. Roadway design requirements.
2. Available interface data for any projects adjacent to,crossing,and/or within
limits.
3, Existing geotechnical information.
4. Right of way maps/Subdivision Plats.
5. Available approved Houston District design standard drawings and standard
summary and border sheets(i.e.,blank summary tables,blank plan and
profile sheets with title blocks,etc.),All design standards are available on
the State's web site.
6. Available City design standards.

The work to be performed by the Engineer under this contract consists of providing •
- engineering services required for the preparation of Plans, Specifications and Estimates •
(PS&E)for the reversal of the ramps between CR 59 and FM 518 as well as the construction
of the NB frontage road and the u-turn on the northside of CR 59.The construction will
consist of pavement and sidewalk construction, storm sewer, and detention for the
placement of the frontage road within the proposed right ofway.The Engineer shall prepare
p ans,details and compute quantities to include roadway design,grading,paving,retaining
walls, sidewalks, and pedestrian ramps, drainage, signing, pavement markings,
illumination, traffic control plans,storm water pollution prevention plans,specifications,
' and costesticnates. •
The Engineer shall collect,review and evaluate the available existing data pertaining to the
project and prepare the Plans,Specifications and Estimates(PS&B)in accordance with the
requirements and policies of the State,
The Engineer shalt be responsible for identifying and delineating temporary construction
easements in areas outside the Right of Way(ROW).The City shall secure the necessary
legal instruments, -
A geotechnical report was completed for the SH 288 Managed Lanes project and will be
used fox this project to determine the pavement structure.
The Engineer shall identify,prepare exhibits and complete all necessary forms for Design
Exceptions and/or Waivers within project limits prior to the schematic Submittal. These
• exceptions shall be provided to the State for coordination and processing of approvals. If
subsequent changes require additional exceptions, the Engineer shall notify the State as
soon as possible after identification.
Survey was completed as part of the SH 288 Managed Lanes project and will be used for
this project to prepare the Digital Terrain Model (DTM) and produce topographic maps.
Coordinate geometry shall be based on and tied into State plane surface coordinate system.
It shall be the responsibility of the Engineer to secure right of entry to private property for
the purpose of performing any surveying and/or soil boring activities or drainage activities.
In pursuance of the State's policy with the general public,the Engineer shall not commit
acts which will result in damages to private property and the Engineer will make every
effort to comply with the wishes and address the concerns of private property owners.

The Engineer shall coordinate and agree with adjacent Engineers on all controls at
interfaces. In the event agreement cannot be reached,each Engineer shall meet jointly with

the City and State for resolution. The City and State shall have authority over the
Engineers'disagreements and its decision shall be final. •
The Engineer shall perform their work in. accordance with the State's Utility
Accommodation Policy, and the Houston District's The 1 DOT Utility Cooperative
Management Process.The Engineer shallprep are drawings early inthe design phase(30%)
to be used as exhibits in utility agreements. The exhibits shall be prepared using English
units. The Engineer shall show existing utilities, including those in conflict with
construction on this project.The Engineer shall prepare plans to avoid or minimize utility
adjustments,where feasible.The Engineer shall implement The TxDOT Utility Cooperative
Management Process and is responsible for sending out notices, with copies of exhibits
and plans,including all milestone submittals.
The Engineer shall compile,maintain and update a Utility Conflict List to include phone
log and all correspondence to the utility owners. The Engineer shall provide the most
current copy of the conflict list to the City and State at each milestone submittal,and shall
be responsible for coordination with utility companies to resolve conflicts. The Utility
Conflict List shall identify the owner of the facility, the contact person(with address and
telephone number), location of conflict (station and offset), type of facility, expected
clearance date,status,effect on construction and type of adjustrnentnecessary,
After identifying all conflicting utilities, and in coordination with the City's and State's
Project Manager, the Engineer shall arrange for (send plans and invitations in a timely
manner) and attend utility meetings with all utility owners and other interested parties or
agencies that are identified to be within the proposed project's area, This meeting will be
held at City Hall or the Houston District office. The purpose of this meeting is to ensure
that all utility owners and area entities are aware of the scope and relevant details of the
proposed project. The Engineer shall be responsible for writing and documenting the
meeting minutes and other follow-up work with utility owners, if necessary. The
information obtained at each utility meeting shall be included as part of the milestone
submittals.
The Engineer shall make every effort to prevent detours and utility relocations from .•
extending beyond the proposed right of way lines. If it is necessary to obtain additional
light of way,permanent or temporary easements and/or right of entry, the Engineer shall
notify the State in writing of the need and justification for such action, The Engineer shall
identify and coordinate with all utility companies for relocations required. •
The Engineer shall prepare any exhibits necessary for Utility approvals, and other
governmental/regulatory agencies,specific to the project.
The Engineer shall review and implement the findings of the environmental document
study.The report prepared for the SH 288 Managed Lanes project will be used as the basis
and will be updated to include the additional work being completed as part of this project,
The Engineer shall include 11"x 17" copies of the Environmental Permits to be inserted
into the final PS&E, if applicable.
Any applicable project specific maintenance agreements provided by the City and State
should be inserted by the Engineer into the final PS&E.

The Engineer shall coordinate through the City's end State's Project Manager for the . •
development of the PS&E with any local entity having jurisdiction or interest in the project
(e.g.city,county,municipal utility district,etc.) •

State. The TCP shall include interim signing for every phase of construction. This is to
include regulatory, warning, construction, route, and guide signs. The Engineer shall
interface and coordinate phases of work, including the TCP, with adjacent Engineers,

The Engineer will review the Drainage Report for the SH 288 Managed Lanes and update
the report to include drainage requirements for this project to include any additional •
detention or mitigation requirements. . _
The Engineer will provide available Federal Emergency Management Agency (FEMA)
flood insurance study maps and studies.
The Engineer shall design all conventional storm drainage and cross drainage systems. .
When-oversized storm drains are used for detention, the Engineer shall evaluate the
hydraulic grade line throughout the whole system,within the project limits,for the design •
frequeney(ies)and make necessary system adjustments.The City and State will assess the
affects of such changes on the comprehensive drainage studies.Should there be adjacent
projects under design,the Engineer shall coordinate with the City and State and designers
of adjacent projects such that all proposed drainage systems accommodate the proposed
construction phasing plan.No design shall be completed for drainage systems outside the . •

The preliminary and final construction cost estimate for the proposed improvements shall
be prepared by the Engineer utilizing the Houston District's 12 month average unit prices
and compared to the unit costs based on prices received from the SH 288 Managed Lanes
Project.
The Engineer shall not move forward withperforming detailed PS&E(60%,90%and final
submittals)until the City and the State approves the schematic milestone submittal.
The PSRt.F.shall be complete and organized in accordance with Stand alone Manual Notice
00-1 entitled"Organization of Plan Sheets"and as identified by the latest edition of the
Consultant Contract Administration's "Guidelines for Milestone Submittals". The PS&E
package shall be suitable for the bidding and awarding of a construction contract, and in
accordance with the latest State's policies and procedures, and the Houston District's
PS&P:Checklist.
The Engineer shall use CADD to fully develop all drawings. The CADD drawings
developed shall be compatible with the State using Microstation. The Engineer shall
provide earthwork cross-section data files in a GEOPAK format at each milestone
submittal as an evolving electronic data file.The State cross section criteria files should be
used to generate design cross sections,New criteria files should only be developed in the
absence of applicable existing State criteria files. Once the project goes to letting all
electronic files shall be delivered within 30 days of written request
The PS&E shall be developed in English units. The final plan sheets shall be size 11"x
17", signed,sealed and dated by a Professional Engineer registered hi.the State of Texas.
The plans shall be noted as copyrighted with the.City and State's logo.
PS&E for the above work shall be prepared in accordance with the applicable requirements
of the State's Specifications, Standards and Manuals(latest revision). Whenever possible,
the State's standard drawings, standard specifications, or previously approved special
provisions and/or special specifications shall be used. If a special provision or a special
specification must be developed or modified for this project,it shall be in the State's format
and, to the extent possible, incorporate references to approved State test procedures. Any
specifications developed by the Engineer shall be submitted to the State for approval prior
to inclusion in the PS&E. The Engineer shall sign, seal, and date all project specific
modifications to standard drawings.
In the event that Federal or State funds become available for the construction project the
following provisions will apply:
The Engineer shall receive limited access to the State's DCIS(CONENG AND CONEST)
to update responsible engineer information,sign,seal and date,build specification list and
• develop Project estimate.
• The provisions above are conditional on the project receiving Federal or State funds.
The Engineer shall make submittals in accordance with the latest State's policies and
procedures,The submittals shall consist of 15 (12 for TxDOT, 3 for City) 11"x17"paper

The Engineer may be required to meet with the City and State's Project Managers to report
• on progress.After each meeting with the City and State and any other meeting,the Engineer
shall prepare meeting minutes, solicit and incorporate participants' comments, distribute
the minutes,submit a memorandum summarizing the events,including an ACTION ITEM
LIST,within five(5)working days of the meeting.
The Engineer shall invoice monthly and in accordance with the format provided at the
Kick-off meeting and shall include Form 132. This invoice package shall include a
completed Forut 132, a schedule of values weighted by individual task per function code,
an updated design schedule showing baseline schedule and the progress bar beneath it, a
written progress report, and a bar chart indicating the percentage of completion of each
task. The written progress report shall describe activities during the reporting period;
activities planned for the following period; problems encountered and actions.taken to
remedy them; list of meetings attended; and overall status, including a per cent complete
by task. The Engineer shall submit monthly written progress report to the Stafe's Project
Manager regardless of whether the Engineer is invoicing for thatmonth.

• The Engineer shall prepare a design time schedule.The design time schedule shall indicate
• tasks, subtasks, critical dates, milestones, deliverables, review requirements in a format. •
that depicts the interdependence of the various items and shall be updated monthly and
submitted with the invoice. The Engineer shall provide assistance to City and State
personnel in interpreting the schedule. Milestone submittals shall be at schematic, 60%,
• 90% and final. If the Engineer cannot meet the scheduled milestone review date they are
to advise the City and State in writing.
The Engineer shall prepare a construction time determination to be submitted one month.

All documents submitted to the`City and State shalt be accompanied by a letter of

The Engineer shall designate one Texas Registered Professional Engineer to be responsible •
throughout the project for project management and all communications, including billing, •

The Engineer shall prepare and execute contracts with sub-consultants,•monitor sub-

This information will not be reviewed nor checked by the City and State but instead serves •
as documentation that the Engineer has performed an internal review of their own work

process is not to be considered as additional work but rather it is a routine order of business.

A. Data Collection. The Engineer shall collect, review and evaluate data described
below. The Engineer shall notify the City and State in writing whenever the

SUE mapping, geotechnical data, existing planiznetric mapping,
environmental documents, and existing channel and drainage easement
data,
2. Data from the SH 288 Managed Lanes project (survey, geotechnical,
environmental,plans,etc.)
3- Documents for existing and proposed development along proposed route
from local municipalities and Iocal ordinances related to project
development.
4. Utility plans and documents from appropriate municipalities andagencies.
5. Readily available flood plain information and studies from the Federal

Engineers,local municipalities and other governmental agencies in addition
to that provided by the State.
It. Schematic Development. The Engineer shall develop a design,schematic for the
SH 288 NB Frontage Road from CR 59 to FM 518 including the switching of the
existing entrance and exit ramps and u-turn north of CR59.
1. The Engineer shall develop typical sections to reflect the existing and
proposed layouts.
2. The Engineer shall produce a preliminary project layout(plan view only)
for coordination with local stakeholders. The Engineer shall revise the
preliminary project layout per direction from the State, City and
stakeholders. •
3. The Engineer shall define limits of construction attie-ins. •

4. The Engineer shall prepare a Design Summary Report (DSR) and Form

1002 to be submitted with the schematic for approval.
5. The Engineer shall produce a design schematic (plan and profile)for the
NB frontage road using topographic mapping obtained from the SH 288

will meet to discuss and determine what criteria will be used.
F. Preliminary Cost Estimate.The Engineer shall prepare a preliminary construction
cost estimate using Houston District's 12 month average unit rates for discussion at
the DCC and compare to SH 288 Managed Lanes Project unitprices. _ •
G. Geotechnical Borings.The Engineer shall review the existing geotechnical report
and determine if additional gee technical investigation is required. At this time,no
additional borings appear to be needed, `

public meetings held during the NEPA process during schematic approval for
Public Involvement.It is anticipated that the Engineer's participation will be needed

formal public meeting,if required by the Categorical Bxclusionprocess. If a formal
public meeting is required,it shall be handled as a supplemental agreement.
B. Environmen.tal Permits Issues and Commitments(EPIC)Sheets.The Engineer
shall complete the latest version of the EPIC sheets. These sheets shall be signed,
sealed and dated by the Engineer as indicated in signature block:The final sheets
shall be submitted for the State''s signature. •
C. Environmental Study Review, The Engineer shall review the existing
environmental report to determine any additional work that will be required. The

issues as it relates to the environmental impacts.
The following assumptions are being made for the completion of the
Environmental Study:

will be updated for the improvements for this project.
2. A Categorical Exclusion (CE) will be required for NEPA
clearance byTxDOT.
3. The Categorical Exclusion will be developed in compliance
with TxDOT's Standards of Uniformity(SOU).If a new SOU
is issued,it may require a supplemental scope and feeestimate.
4. No formal public meeting will be required for the CE.
5. The Meeting of Affected Property Owners (MAPO) will be
documented through information meetings.
The following sub tasks will be completed:
1. Create figures in accordance with the SOU.
2. Visit the site to document on-site conditions and take
photographs.
3. Complete the following documentation for the CE—Meeting of
Affected Property Owners, Socioeconomics, Section 4(f)
Resources (Not required for CE documentation), Historic
Properties, Archeological Resources, Vegetation to be
documented in accordance with the MOU between TxDOT and
TPWD,Water Quality,Soils/Farmland,Noise(Noise analysis not
required since the horizontal and vertical alignment is not
changing substantially),Hazardous Materials(database search in
compliance with ASTM Bi 527), Visual,Floodplains,Threatened
and Endangered Species(survey for presence/absence of suitable
habitat to be completed), Air Quality (a quantitative air quality
analysis not required since tramc volume is less than. 14,000 •
vehicles per day), Indirect and Cumulative Effects (based on •
TxDOT Screening Tool this may be required).
4. The following review and revisions are included within the •
scope— X review by the City, 2 reviews by TxDOT Houston
District, 2 reviews by TxDOT Environmental Division, and I

for the environmental study. The Engineer shall coordinate with the
Environmental Project Manager and the State's Environmental Engineer for
the preparation of these exhibits.These exhibits will include a general project

map.

E. Cut and Fill Exhibits. The Engineer shall prepare cut and fill exhibits for any
delineated wetland as defined in the environmental study.
F. Waters of the U.S. Verification and Permitting. The Engineer shall review the
existing, approved wetland delineation for the SH 288 Managed Lanes Project,
complete a site visit to verify the delineation, and coordinate with the Galveston
District to determine any additional work that will be required. The following
subtasks will be completed:
1. Visit the site to document on site conditions and take photographs.
2. Create figures in accordance with the USACE Galveston District
Guidelines.
3. Complete the following documentation for the Section 404/401
Permit — Draft Jurisdictional Delineation Report, Significant
Nexus Evaluation Fenn, and Pre-Construction Notification.
4. The following review and revisions are included within the scope
— 1 review by the City, I review and request for additional •
information by the USACE Galveston District. Any additional
reviews may require a supplemental scope and fee estimate.

determine the location of all existing and proposed utilities and attend meetings

covering milestone meetings, minutes, invitations to utility companies to attend
milestone meetings,correspondence,etc.

) OADWAY DESIGN (Function Code 160) •
A. Roadway Design.The Engineer shall provide roadway plan and profile drawings •
using CADD standards as required by the City and State.The drawings shall consist
of a planimetric file of existing features and files of the proposed improvements.
The roadway base map shall contain line work that depicts existing surface features
obtained from the schematic drawing, Existing major subsurface and surface
utilities shall he shown. Existing and proposed right-of-way linesshall be shown.
Plan and Profile to be shown on same sheets.
The plan view shall contain the foIlowinng design elements:
1. Calculated roadway centerlines for new roadway and ramps.Horizontal
control points shall be shown. The alignments shall be calculated using
GEOPAK.
2. Pavement edges for all improvements.
3. Lane and pavement width dimensions. •
4. The geometries of roadway lanes.
5. Direction of traffic flow on all roadways.Lane lines and/or arrows
indicating the number of lanes shall also be shown.
6. Drawing scale shall be as required by the City.
7. Control of access line, &ROW lines and easements,
8. Begin/end.superelevation transitions and cross slope changes.
9. Limits of rip rap,block sod,and seeding.
10. Existing utilities and structures.
11. Benchmark information.
12. Radii call outs,curb location,CTB,guard fence,and crash safety items.
The profile view shall contain the following design elements:
1, Calculated profile grade for proposed roadway and ramps.Vertical curve
data,including"K"values shall be shown.
2, Existing and proposed profiles along the centerline ofthe frontage road and
the outside shoulder line of the ramps.
3, Water surface elevations at major stream crossing for I0-,25--, 50-,and
• 100-year storms.
4. Drawing vertical scale shall be as required by the City.
C. Typical Sections: Typical sections shall be required for all proposed and existing
roadways and structures. Typical sections shall include width of travel lanes,
shoulders, outer separations, border widths, curb offsets, and ROW. The typical
section shall also include PGL, centerline, pavement design, longitudinal joints,
side slopes, sodding/seeding limits, station limits, common proposed/existing
structures including existing pavement removal,riprap,limits of embankment and
excavation, etc.The typical sections shall also reference Pay Schedule for Item of
work"Ride Quality of Pavement Surface".
D. Frontage Road Design: The Engineer shall provide the design of the NB frontage
road as well as reversing the entrance and exit ramps within the projectlimits.The

design shall be consistent with the approved schematic and the current Roadway
Design Manual.
E. Cut and Fill Quantities. The Engineer shall develop an earthwork analysis to
determine cut and fill quantities and provide final design cross sections at 100 feet
intervals. Cross sections shall be delivered in standard GEOPAK format on
11."x17"sheets and electronic files.The Engineer shall provide all criteria and input
files used to generate the design cross sections. Cross sections and quantities shall
consider existing pavement removals. Annotation shall include at a minimum
existing/proposed right of way,side slopes(front&back),profiles,etc.
' Four sets of drawings shall be submitted by the Engineer at the 60%,90%,and final
submittals,respectively.
F. Plan Preparation. The Engineer shall prepare roadway plans,profiles and typical
sections for'.the proposed improvements. Prior to the schematic submittal the
Engineer shall schedule a workshop to review profiles and cross-sections With the
City and State.The profile and cross sections shall depict the 2, 5, 10,25, 50, 100
and 500 year(if available)water surface elevations. The drawings will provide an •
overall view of the roadway/existing ground elevations with respect to the various
storm design frequencies for the length of the project. This will enable the City and
State to dcteraniue the most feasible proposed roadway profile. The City will
approve the profiles and cross sections before continuing with the subsequent •
submittals.This scope of services and the corresponding cost proposal are based on
the Engineer preparing plans to construct the roadway lanes. The roadway plans
•
shall consist of the types and be organized in the sequence as described in"Stand
Alone Manual Notice Number00-1".
H. Wetlands Information.From the information provided in the SH 288 Managed
Lanes Project, the wetland areas are to be staked, fenced and the delineation
surveyed by the Engineer. The survey data shall be electronically transferred to
the P&P sheets and the volumes calculated for the delineated areas.
1(. Pavement Design.The Engineer shall incorporate the pavement design developed
by TxDOT/City for this project. The Engineer shall assume a pavement design to
match the frontage road at the FM 518 intersection.The final Pavement Design
may change from this assumption.
S. Pedestrian Facilities.The Engineer shall coordinate with the City to incorporate
pedestrian and bike facilities as required.All pedestrian and bike facilities must be
designed in accordance with the latest Americans with Disabilities Act
Accessibility Guidelines(ADAAG),and the Texas Accessibility Standards(TAS).
A sidewalk will be placed along the eastern side of the frontage xoad within the
project limits, 1

A. Drainage Report.
1. The Engineer shall review the existing drainage study and then shall prepare
an appendix to be added to the existing drainage report for the project area.

2. The drainage report will review the detention requirements for the SH 288
Managed Lanes project and determine additional requirements for this
project. The report will then determine where the detention will berequired
and if the ponds being constructed for the SH 288 Managed Lanes project
can be modified or if new detention facilities will be required.
3. For drainage areas, the Engineer will limit the outfalls into existing storm
sewer to existing capacity flows,which will be determined by the Engineer.
Alternate flow routes, if feasible, will be looked into for relieving stoma
sewer overload.The amount of the total detention storage to control storm
sewer runoff for the design frequency will be determined based on
hydrograph routing, as well as a rough estimate of the available on-site
volume, The method for handling the required off-site storage volume is
part of this scope.
4. The Engineer will prepare a report signed, sealed and dated by a
registeredilicensed engineer and shall include the preliminary findings of
the storm sewer capacities, requirement for line rerouting, preliminary
detention storage volumes based on hydrograph and initial
recommendations on how to mitigate the storm impact cm the receiving
streams.The report will also include preliminary sizing of the trunkline for
the proposed gravity storm sewer within the limits of the project,conceptual
and generic discussions of the alternatives considered, a comparative cost
associated with each alternative and a recommended solution.
5. Recommendations at this point should be generic and conceptual in nature,
mainly for discussions with the State and the local government entities.
6. Review the existing detention facility plans to determine if it will allow for •
the mitigation requirements for this project. If it does not have capacity,
determine where the detention facility can be placed or if the existing
facility can be modified,
B. Culvert and Storm Drain Design.The Engineer shall develop design details that
minimize the interference with the passage of traffic or incur damage to the •
highway and local property. The Engineer shall provide layouts, drainage area
maps, and design of all drainage components. The Engineer shall design all
conventional storm drainage and cross drainage in conformance with the latest
edition of State Hydraulic Manual, Houston District criteria, and any specific
guidance provided by the State. Storm drain design. shall be performed using
WinStorni or CEOPAK Drainage. Cross drainage design shall be performed using
}IBC 2 or MC RAS. When oversized storm drains are used for detention, the
Engineer shall evaluate the hydraulic graddline throughout the whole system,
within project limits, for the design frequency(ies).The Engineer shall coordinate
with the State any proposed changes to'the detention systems,The State will assess
the effects of such changes on the comprehensive drainage studies, The Engineer
shall coordinate with the City,State and designers of adjacent projects to check that

all proposed drainage systems accommodate the proposed construction phasing
plan.
The Engineer shay perform the following:
I, : Identify areas requiring trench protection,excavation,shoring and do-
watering.
2. Prepare drainage area maps.
3. If applicable,prepare plan/profile sheets for storm drain systems and
outfall ditches,
4. Select standard details from State or District's list of standards for items
such as inlets,manholes,junction boxes and end treatment,etc.
5. Prepare details fox non-standard inlets,manholes and junction boxes.
6, Prepare drainage details for outlet protection,outlet structures and utility
accommodation structures. •
7. Identify pipe strength requirements,

8. Prepare drainage facility quantity summaries.
9. Identify potential utility conflicts and design around them,wherever
possible.
10. Take into consideration pedestrian facilities,utility impacts,and driveway
grades drainage impacts.
L I. Identify existing ground elevation profiles at the ROW lines on storm
sewer plan and profile sheets.
12. Prepare Hydraulic Data Sheets for bridge structures at outfall channel.
C. • Storm Water Pollution Prevention Plans (SW3P). The Engineer shall develop
SW3P, on separate sheets from (but in conformance with) the TCP, to minimize
potential impact to receiving waterways. The SW3P shall include text describing
the plan, quantities, type, phase and locations of erosion control devices and any
required permanent erosion control measures,

D. Temporary drainage facilities.The Engineer shall develop plans for all temporary
drainage facilities necessary to allow staged construction of the project and to
conform with the phasing of adjacent construction projects without significant
impact to the hydraulic capacity of the area. Drainage area maps are not required for
temporary drainage.
E. Layout,Structural Design and Detailing of Dr aionagep'eatures. •
The Engineer shall develop layouts for the following:

I. Storm Sewers:New or modified storm sewers; inlets;manholes;trunk
lines.
2. Outfall channels within existing ROW,
3. Detention pond,associated outlet structures and details.
4. If work on outfall channels is required outside of the SH 288 ROW,this
work will be completed as a supplemental agreement that will be approved
prior to any work starting.

G. Floodplain Cut and Fill. Using water surface elevation profiles determined by the
comprehensive drainage study,the Engineer shall calculate proposed cut and fill
volumes below the I DO year flood elevation.

A. Signing. The Engineer shall prepare drawings, specifications and details for all
signs.The Engineer shall coordinate with the City and State(and other Engineers
as required) for overall final signing strategies and placement of signs outside
contract limits. Sign detail sheets shall provide a summary of small signs. The
proposed signs shall be illustrated and numbered on plan sheets. Sign foundation
shall be selected from State Standards. Temporary and interim signing will be
designed as part of TCP preparation,

The Engineer shall provide the following information on sign/pavement marking •
layouts: •
1. Roadway layout. •
2. Center line with station numbering. •

3. ROW lines.
4. Culverts and other structures that present a hazard to traffic.
5. Location of utilities.
6. Existing signs to remain,to be removed,or to berelocated,

pavement markings and channelization devices on plan sheets.The Engineer shall
coordinate with the City and State(and other Engineers as required)for overall final
pavement marking strategies. Pavement markings shall be selected from the latest
•State standards. Temporary and interim pavement markings will be designed as part
of TCP plan preparation.
The Engineer shall provide the following information on sign/pavement marking •
layouts: -
1. Proposed markings(illustrated and quantified)which include pavement
markings,object markings and delineation.
2. Quantities of existing pavement markings to be removed.
3. Proposed delineators and object markers. -
4. The number of lanes in each section of proposed highway and the location
of changes in numbers oflanes.

A. Retaining Walls.All permanent retaining walls shall,be mechanically stabilized
earth retaining walls, except for specialized retaining walls, as noted below, The
Engineer shall provide layouts (scale 1'L�100'), elevations, quantity estimate,
sutrunazy of quantities,typical cross sections and structural details of all retaining
walls within the project.
If applicable,architectural standard drawings will be provided by the State and shall
be incorporated into design details, The specific requirements for each item are as
follows;

(4) Horizontal curve data

B. Traffic Control Plan, Detours and Sequence of Construction. The Engineer
shall prepare Traffic Control Plans (TCP) for the project. The Engineer is to
complete Form 2229-Significant Project Procedures along with Page 4 of Form
• 1002, specifically titled Accelerated Construction Procedures. A detailedTCF

shall be developed in accordance with the latest edition of the Texas Manual on
Uniform Traffic Control Devices for Streets and Highways(Texas MUTCD). The
Engineer is to implement the current Barricade and Construction(BC)standards as
applicable. The Engineer shall interface and coordnate phases of work,including
the TCP,with adjacent Engineers.
I, The Engineer shall provide a written narrative of the construction
sequencing and work activities per phase and determine the existing and
proposed traffic control devices (regulatory signs, warning signs, guide
signs, route markers, construction pavement markings, barricades, flag
personnel,temporary traffic signals,etc.)to be used to handle traffic during
each construction sequence. The Engineer shalt show proposed traffic
control devices at grade intersections during each construction.phase(stop
. signs, flagperson, signals, etc.). The Engineer shall show temporary
roadways, ramps, structures and detours required to maintain lane
continuity throughout the construction phasing.
2, Where detours are required, the Engineer shall develop typical cross
sections, calculate quantities, and show horizontal and vertical alignment
information.The Engineer shall provide a detailed layout and arrangement
of construction signs, construction pavement marking, traffic control
devices,
3. The Engineer shall be responsible to coordinate with the City and State in
scheduling a Traffic Control Workshop and submittal ofthe TCP for Traffic
Control Approval Team (TCAT) approval. The Engineer shalt assist the
State in coordinating mitigation of impacts to adjacent schools,emergency
vehicles,pedestrians,bicyclists andneighborhoods.
4. Continuous,safe access to all properties during all phases of construction is
mandatory.The Engineer shall develop TCP to preserve existing curb cuts.
Approval from the City and State is required for any elimination of existing
access capacity.
5. The Engineer shall design temporary drainage to replace existing drainage
disturbed by construction activities or to drain detour pavement. The ,
Engineer shall show horizontal and vertical location of culverts and required
cross sectional area of culverts,
6. The Engineer shall identify and delineate any outstanding ROW parcels.
7. Delineate areas of wetlands on traffic control plan sheets.
•
B. Illumination, The Engineer shall provide illumination layout plans, electrical
circuit plans and details for safety lighting at ramps. The Engineer shall prepare •
exhibits as required to obtain agreements with adjacent municipalities. The
Engineer shall tabulate all quantities and provide summary sheets. All electrical
work will be completed per the NEC electrical code.

C. Exhibits for Utility Agreerments. The Engineer shall coordinate with the City and
State regarding utilities. The Engineer shall prepare drawings early in the design
phase to be used as exhibits in utility agreements. The Engineer shall show existing
utilities,including those in conflict with consuuction on this project. The Engineer
shall prepare plans to avoid utility adjustments, if feasible. The Engineer shall
incorporate all requirements identified in the utility agreements:The Engineer shall
continue to maintain and update the utility exhibits as necessary.
Identify and evaluate utility conflicts with proposed construction.Prepare and
submit to the City and State, drawings for required utilityagreement:
1. An 11 x 17 inch reproducible drawing and title
2. Each utility drawing will include thefollowing: •
a. Existing right of way lines
h. Existing or proposed roadways

4. Prepare a list of potential conflicts with existing utilities prior to the 30 •
percent submittal and at every milestone submittal date thereafter. This
utility conflict list must include highway station number, name of utility
company and type of facility,the contact person(with address and telephone
number),location of conflict(station and offset),proposed highway facility,
impacts to storm sewer,roadway,drainage ditch and drilled shaft,expected
clearance date,effect on construction and.type of adjustment necessary,etc.
The Engineer shall maintain and update the conflict list as necessary.After •
submittal to City and Design Division,the Engineer will need to update the
utility conflict list again due to ROW certifications,
E. Estimate. The Engineer shall independently develop and report quantities in
standard State bid format at the 60%, 90% and Final PS&E submittals. The
Engineer shall identify and document quantity variances to be provided with each
submittal.In the event that Federal or State funds become available for this project,
the Engineer shall be prepared to input the estimate into DCIS per the access rights
given to the Engineer at the 90%and Final PS&E submittals.
F. Specifications. The Engineer shall develop the list of standard specifications with
the appropriate reference items from the estimate.The Engineer shall also identify

the need for any special specifications,and special provisions.The Engineer shall
prepare General Notes from the Houston District's Master List of General Notes,
Special Specifications and Sped al Provisions for inclusion in the plans and bidding
documents. The Engineer shall provide General Notes,Special Specifications and
Special Provisions in rich text format.

G, Construction Time Determination. The Engineer shall prepare a construction
time determination in accordance with the State's Administrative Circular No. 1.7
93. The schedule shall indicate tasks, subtasks, critical dates, milestones, and
depicts the interdependence of the various items, and adjacent construction
packages.The Engineer shall provide assistance to the City and State in interpreting
the schedule.
H. Roadway CIosures. One month prior to the 90 percent milestone submittal, the
Engineer shall submit to the City's and State's Project Manager, a list of the
proposed roadways and lane closures for the project along with the supportive TCP,

In addition,the Engineer shall submit a list of contact persons and their addresses

to be notified by the City's and State's Project Manager of the proposed closures.
I. Bid Phase Services, There will be no bid phase services required for this project
as it is assumed that this w.01 be changed ordered into the SH 288 Managed Lanes
