COKER CITY ATTORNEY Resolution No. R2019-216 Exhibit A CONTRACT FOR PROFESSIONAL SERVICES THIS CONTRACT is entered into upon final execution by and between the City of Pearland ("CITY") and Stantec Consulting Services Inc. ("CONSULTANT"). The CITY engages the CONSULTANT to perform professional services for a project known and described as Surface Water Plant("PROJECT"). (Project#WA1605) SECTION I-SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to CITY standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSULTANT shall perform engineering services. See Exhibit A, attached, for a detailed SCOPE OF WORK and PROJECT schedule.The PROJECT schedule shall be submitted in digital and hard copy form in the Microsoft Project for Windows format. B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost of the PROJECT. C. The CONSULTANT acknowledges that the CITY (through its employee handbook)considers the following to be misconduct that is grounds for termination of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants, and/or collecting reimbursement of expenses made for the benefit of the CITY. The CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY employee to engage in such misconduct. D. The CONSULTANT shall submit all final construction documents in both hard copy and electronic format. Plans shall be AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current CITY standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. All Record Drawings electronic files shall be submitted to the CITY in TIF format. E. The CONSULTANT recognizes that all drawings, special provisions, field survey notes,reports,estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon request, shall become subject to the Open Records Laws of this State. F. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property,or any errors Design 1 of 7 D2.Revised 04/2019 and omissions relating to the performance of any work by the CONSULTANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers' Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. The CONSULTANT shall include the CITY as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers' Compensation. The CONSULTANT shall agree to waive its Right to Subrogation. Certificates of Insurance and endorsements shall be furnished to the CITY before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and/or reduced in coverage or in limits ("Change in Coverage") except with prior written consent of the CITY and only after the CITY has been provided with written notice of such Change in Coverage, such notice to be sent to the CITY either by hand delivery to the City Manager or by certified mail, return receipt requested, and received by the City no fewer than thirty (30) days prior to the effective date of such Change in Coverage. Prior to commencing services under this CONTRACT,CONSULTANT shall furnish CITY with Certificates of Insurance, or formal endorsements as required by this CONTRACT, issued by CONSULTANT'S insurer(s), as evidence that policies providing the required coverage, conditions, and limits required by this CONTRACT are in full force and effect. G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and employees,harmless from any claim,loss, damage,suit,and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT,his officers,employees,agents,or subcontractors under this CONTRACT. H. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the CITY. Design 2 of 7 D2 Revised 04/2019 SECTION II-PERIOD OF SERVICE This CONTRACT will be binding upon execution and end December 31, 2023. SECTION III -CONSULTANT'S COMPENSATION A. The total compensation for the services performed shall not exceed the total noted in Section B. B. The CITY shall pay the CONSULTANT in installments based upon monthly progress reports and detailed invoices submitted by the CONSULTANT based upon the following: 1. Basic Services(Lump Sum) $2,450,000.00 2. Additional Services shall require independent and specific authorization and shall be billed as (Not to Exceed): $450,000.00 3. Bid Phase Services(Hourly Not to Exceed) 4. Construction Phase Services(Hourly Not to Exceed) 5. Reimbursable Expenses(Not to Exceed) 6. Total: $2,900,000.00 C. The CITY shall make payments to the CONSULTANT within thirty(30)days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. D. CONSULTANT shall invoice for work performed during the preceding thirty day period("Billing Period"). The Billing Period shall run from the 26th day to the 25th day of each consecutive month. Invoices shall be submitted to CITY not more frequently than once every 30 days. CONSULTANT shall be responsible for timely submittal of all invoices and CONSULTANT shall not be entitled to payment for invoices in arrears. All invoices shall reflect most recent single Billing Period only and represent the true,correct and accurate account of work performed during the Billing Period. E. For an agreed contract amount identified as "Lump Sum", Not to Exceed" and "Reimbursable"the CONSULTANT shall not exceed the fixed contractual amount without written authorization in the form of a Contract Amendment. CONSULTANT shall provide 45 days prior notice to the CITY in the event contract fees may exceed the fixed contract amount. CONSULTANT shall be responsible for ensuring that such authorization is complete and executed by all parties performing any work or submitting any invoices for work that exceeds the fixed contract amount under any expense category. Allowable Reimbursable Expenses CONSULTANT shall identify and include in the proposal any anticipated Reimbursable Expenses, and shall itemize Reimbursable Expenses by work category. Reimbursable Expenses shall be invoiced AT COST without subsequent markup by the CONSULTANT. All invoices containing a request for Reimbursable Expenses shall include copies of the original expense receipts itemized per the allowable category. Allowable Reimbursable Expenses include: • Hard copy reproductions, copies and/or binding costs • Postage • Mileage, for travel from Consultant's local office (within a 25 mile radius) to meetings at the City or job-site. Mileage shall be charged at the current IRS rates. • Travel expenses, mileage from local office to State or federal regulatory agency office beyond 100 miles. • Lodging expenses,for destinations beyond 100 miles from the Consultant's local office AND when business hours exceed eight hours within one business day OR requires more than one eight hour day. F.2. Disallowed Expenses Disallowed Expenses include travel expenses for professional expertise traveling into the greater Houston area from Consultant offices outside of the greater Houston area. SECTION IV-THE CITY'S RESPONSIBILITIES A. The CITY shall designate a project manager during the term of this CONTRACT. The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the CITY on any aspect of the work shall be directed to the project manager. B. The CITY shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The CITY will keep the CONSULTANT advised concerning the progress of the CITY'S review of the work. The CONSULTANT agrees that the CITY'S inspection,review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub- consultant(s) or in any way affect the CONSULTANT'S status as an independent contractor of the CITY. Design 4 of 7 D2 Revised 04/2019 SECTION V-TERMINATION A. The CITY, at its sole discretion,may terminate this CONTRACT for any reason-- with or without cause--by delivering written notice to CONSULTANT personally or by certified mail at 580 Westlake Park Boulevard, Suite 1000, Houston, TX 77079. Immediately after receiving such written notice,the CONSULTANT shall discontinue providing the services under this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all drawings, special provisions, field survey notes,reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the CITY on or before the 15th day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination. The CITY shall make final payment within sixty(60) days after the CONSULTANT has delivered to the CITY a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum,the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the scope of work. E. In the event this CONTRACT is terminated, the CITY shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. F. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT breaches any provision of this CON TRACT, then the CITY shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney's fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and CITY desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this,the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. Design 5 of 7 D2 Revised 04/2019 SECTION VI—ENTIRE AGREEMENT This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and supersedes all prior negotiations, representations, or contracts, either written or oral. This CONTRACT may be amended only by written instrument signed by both parties. SECTION VII—COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person,other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CONTRACT. For breach or violation of this clause, the CITY may terminate this CONTRACT without liability,and in its discretion,may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission,percentage brokerage fee, gift, or contingent fee that has been paid. The work is separated into the following three phases: PHASE 1 - PRELIMINARY ENGINEERING SERVICES (NEARING COMPLETION) PHASE 2- FINAL DESIGN SERVICES (THIS PHASE) PHASE 3 - CONSTRUCTION ENGINEERING SUPPORT AND START-UP SUPPORT SERVICES (FUTURE PHASE) Package 3 includes the following key features: Onsite Project Work • Ground storage tank AWWA Dl 10 Type 3 that holds 2-2.5 million gallons± of treated water and is situated to allow construction of a second tank of that size in the future. • High service pump station (HSPS) capable of pumping 10 million gallons per day of treated water which is expandable to 20 million gallons per day in the future; and designed for the following: minimum pumping, average day, peak day and peak hour. Reconfirm GST capacity and reserve for fire pumping. • Booster pump station to supply water for consumption, process needs and, in an emergency, fire flow to the entire treatment plant site. • Disinfection residual boost and other supporting systems that are part of the HSPS. This design should include routing chemical feed pipes from the demarcation point from Package 2, chemical injection locations, and chemical injection diffusers. • Site civil design of roadways, drainage, parking, fencing, and process piping. • Administrative office building and training facility. Transmission Line Work • Segment 2, 30-inches, 7,700 LF: From the SWP along Airline Rd/Old Airline Rd/Kingsley Dr to Broadway St. • Segment 3, 24-inches, 6,500 LF: From Segment 2 at the intersection of Old Airline Rd/Kingsley Dr. and Broadway St east to Kirby Water Plant. Page 1 of 29 Scope of Services for Final Design Phase Services Surface Water Treatment Plant (Package 3) July 19,2019 • Segment 4, 24-inches, 8,000 LF: From Segment 2 at the intersection of Old Airline Rd/Kingsley Dr and Broadway St west to Almeda (FM 521) to FM 521 Water Plant. • Kirby and Shadow Creek Ranch Water Plant Modifications including simple flowmeter and GST discharge through an air break GST connection and controls coordination with the SWP. At each pump station site, a Flow Metering Station with standby meter run with provisions for chemical feed residual boost and a control valve at the Flow Metering Station and/or at each GST inlet (grade level). A cascaded P&ID control loop will control the valve to open and fill the GST and then closing when GST is nearing full. Valve would also serve to limit max flowrate into the GSTs with a third level of control not letting upstream system pressure drop below a certain minimum valve. The City stated that no mixing apparatus (blend tank) downstream of the Flow Metering Station would be necessary for continuous blend of surface water or groundwater from other sources. If and when there is a need for blending, it will be done in the GST with some form of mixing system whether pulsed air mixing, in tank mixers, or pumped flow mixing by others. • Integrate existing chemical feed system (chlorine and ammonia) with the new Flow Metering Stations, including routing chemical feed piping, identifying chemical injection points, and chemical injection diffuser system design. • Waterline connection from existing FM521 waterline to Shadow Creek Ranch WP (approximately 1600 feet). • Piping material restrained joint construction, construction difficulties, etc. to be discussed and confirmed in an Ad-Hoc workshop. • Corrosion control via cathodic protection impressed current system; in plant and transmission. • Fiber to two points in existing network adjacent to the transmission main alignment (not requiring additional drawings). Activities include project setup and planning, establishment and maintenance of project controls tools, development of the project schedule, coordination of internal and City meetings, sub-Stantec management, review of project schedule and budget, invoicing, and City communications. Project management activities will focus on coordinating the production of deliverables, including: 1.1 Regular Project Reporting, Invoicing, and Scheduling Stantec will prepare monthly progress reports for the duration of the project (based on the project schedule) that will be used to monitor performance. The report will be produced and updated, as reasonably required, and will include the following information: • Master Package 3 Project Schedule • Key Project Milestone Summary • Look-ahead Schedule • Regular Progress Report (monthly) • Project Issues/Decisions Log • Project Change Log The report will be stored on the City's ManagelT portal. Stantec will Track the progress of the Project and Prepare a Microsoft Project schedule and provide updates including revisions to bring the Project back on schedule if behind. The updated Schedule will be provided to the Owner's Representative five (5) days prior to the monthly Package 3 Project meeting. Stantec will prepare monthly invoices that reflect the services completed each month that aligns with the information provided in the monthly reports. Invoices will present information consistent with the reimbursement terms of the contract. The format for invoices will be Stantec's selected format that complies with the Owner's and all funding agency requirements. 1.2 Project Execution Plan - Update Stantec will update the existing project PXP that will guide the project work. The PXP will be provided to the City and updated as needed throughout the life of the project. Stantec will load the PXP on the Project Collaboration Portal site. The purpose of the kickoff meeting will be to identify success factors, obtain equipment and process preferences, identify previously studied alignments, brainstorm potential design solutions, and establish a clear set of objectives for the project based on the City's input and consultation with senior technical staff. In addition, the Project Kickoff meeting will address the following items: • Scope review • Project deliverables • Project schedule • Project team member responsibilities and coordination of common elements • Project management protocols • Communications protocols • Risk Management • Initial Project Delivery Framework • Project Working Groups composition, charters, and meeting schedules • Initial technical tasks to be accomplished • Guidelines to be applied during field activities • Administrative Building space programming confirmation • Other topics identified by the Team The Stantec Project Manager will facilitate the Project Kickoff meeting. Stantec will prepare and distribute a meeting agenda and information 24 hours in advance of the meeting with input from Owner's Representative if needed. Stantec will prepare the meeting summary. A project responsibility assignment matrix (RAM) will be prepared that documents who is responsible and authorized to make PROJECT decisions. Deliverables: • Project kickoff meeting summary 1.4 Project Meetings and Workshops with Owner, Owner's Representative and CMAR. Stantec will prepare supporting materials to provide additional background and context to be discussed at monthly progress meetings, coordination meetings, and workshops. The level of effort is as follows: 1 . Project meetings as follows: o Monthly progress meetings with the City, Owner's Representative and CMAR, provide meeting materials, agenda, and meeting minutes with action log. Prepare for and host two (2) in-progress design workshops. One between 60%o and 90%o design and the other for any early work package coordination. Design workshops are anticipated to be 4 hours in length and include key City, Owner's Representative and CMAR staff. In-progress plans and specifications will be provided for review and comment during the workshops. Deliverables: • Monthly progress meeting summaries • Design workshops meeting summaries • Meeting summaries within five (5) business days of meeting 1.5 Quality Control and City Reviews Stantec shall perform intra-discipline, inter-discipline, and QA/QC team reviews at each submittal milestone throughout the duration of the project. These reviews shall be performed on plans, specification, calculations, reports, and technical memorandum prior to the City, Owner's Representative and CMAR's review.Stantec's QA/QC plan shall be provided in the PXP. Stantec shall work with the City's Project Manager, and other designated City personnel, to coordinate the City's review of final reports. Deliverables: • Comment response logs for City, Owner's Representative and CMAR comments. 20200 Task 2:Transmission Lines-Detailed Design It is understood that the Transmission lines will be also be built by the CMAR. Therefore, transmission lines design will be included as a single package with the pumping station design. 2.1 60%a Design Drawings & Specifications Stantec shall develop design drawings and specifications in coordination with the Owner's Representative and CMAR to the 60%a design level including the following categories. Construction plans shall be created in electronic format using AutoCAD software, program standards, and plotted digitally to a 11" x 17" pdf format. Technical construction specifications shall be prepared using the standard Pearland and /or program standard specifications as able and supplemented with Project specifications sourced from Stantec's standard technical specifications or other sources. Each drawing and the combined specifications shall be sealed by a registered Texas Professional Engineer. Deliverables • Final Drawings included as part of HSPS final design deliverable • Final Specifications included as part of HSPS final design deliverable 20300 Task 3: High Service Pump Station and Building Package 3 - Detailed Design During Phases I of this project, the scope for the SWP Package 3 was selected lo include an initial pumping capacity of 10 million gallon per day (MGD) with future expansion of pumping capacity to 20 MGD within the constructed building and piping. Package 3 will consist of the following (Refer to Figure 1 Site Plan and the PER for this project): Package 3 Design Scope: • An onsite high service pumping station/administration building will be dual purpose with an administrative and emergency management component designed to include a pump room, work room, offices, conference room, electrical room,janitorial space, limited kitchen, multi-purpose room, reception, and bathrooms. Engineer will include necessary provisions within the Package 3 design to be compliant with accessibility per Texas Department of Licensing and Regulation (TDLR). It is understood that the Owner will request minor modifications to the square footage of the administrative building and building Page 13 of 29 Scope of Services for Final Design Phase Services Surface Water Treatment Plant (Package 3) July 19,2019 materials from that shown in the PER. Final space planning will be set at the kickoff meeting or soon thereafter (first month) to allow Stantec to move forward with final design. Subsequent modifications to space planning resulting in additional effort will be compensated as an additional service. • A 2-2.5 MG ground storage tank with adjacent space for a future second 2-2.5 MG tank. • A booster pumping station for onsite fire flow and plant water. • FAA Coordination check for beacon area and flight path. This design will also include (for Package 3 site and facilities only): yard piping; roadways, parking, and sidewalks; site grading and drainage; landscaping; fire protection and sprinkler systems; MEP, HVAC, plant lighting, communications and security. The Package 3 design will also include items that apply to all three Packages, including: • Site chain link fencing for all three Packages and building security to be coordinated with Package 2. Overall site security including cameras, license plate readers, and motion detectors will be provided in Package 2 and is not included in this scope of work. • Plant Water booster pumping station and waterline from HSPS to waterline loop. Plant water waterline loop will be provided by Package 2. • Sanitary sewer lift station and influent manhole will be provided by Package 2. Package 3 will provide sewer piping from HSPS building to influent manhole. • Chemical and sample piping will be brought to the Package 3 area boundary and coordinated with Package 2. • Telephone system for all three Packages will be provided in Package 2 and is not included in this scope of work. • High voltage power supply system comprehensive for Package 1, 2 and 3 at the SWP site will be provided in Package 2 and is not included in this scope of work. Package 2 will provide transformers for Package 3 to tie into. • Plant system architecture for full-plant SCADA system will be provided in Package 2 and is not included in this scope of work. PLCs, controls, instruments and P&IDs for Package 3 will be provided by Stantec. SWP operational control strategies will be set at the kickoff meeting or soon thereafter (first month) to allow Stantec to move forward with final design. Subsequent modifications to control strategies resulting in additional effort will be compensated as an Page 14 of 29 Scope of Services for Final Design Phase Services Surface Water Treatment Plant (Package 3) July 19,2019 additional service. SCADA system programming and applications engineering will not be performed as part of this scope of work. • Drainage design will be developed for all three packages by Package 2. Package 2 will provide elevations and tie-in points for Stantec to tie into. The stormwater detention basin to be located south of Mustang Bayou will be designed as part of Package 1 and is not included in this scope of work. It is understood that the Transmission lines will be also be built by the CMAR. Therefore, transmission lines design will be included as a single package with the pumping station design. In addition to the scope described above, a preliminary Drawing List was prepared for this project and is attached to this scope in Attachment A. 3.1 60% Design Drawings and Specifications. The plans, opinion of probable construction cost, and specifications for the SWP will be completed to a 60-percent level as defined below and submitted to City for review and comment. Engineer will use City's project standard specifications and details (as supplied by the Owner's Representative) and modify as necessary to fit this Package. No Division 0 specifications are anticipated as the City has hired a CMAR firm under a separate contract. The Owner's Representative shall return to the Engineer one set of consolidated comments (CMAR firm, Owner and Owner's Representative) within four weeks of submittal. The plans and specifications for the SWP will be finalized based on comments from City, CMAR and Owner's Representative. Engineer will seal and sign the completed documents. Engineer shall update plans and specifications with any final comments prior to finalizing for Construction. Plans and specifications will be provided as one set of documents and not in separate packages. The CMAR will be responsible for preparing the documents into separate procurement and construction packages for bidding the work. Deliverables: • Five sets of final documents and Electronic .PDF files. Electronic copies of equipment data sheets for major equipment and ACAD files and electronic 3D models provided for CMAR use. 20400 Task 4: Permitting and Agency Coordination Stantec shall provide permitting and environmental support for the regulating agencies and scope as listed below. Stantec shall notify the CITY and Owner's Representative a minimum of fifteen (15) working days in advance of permit application submittal of the required fees to allow the preparation of payment of the application fee and shall also Page 17 of 29 Scope of Services for Final Design Phase Services Surface Water Treatment Plant (Package 3) July 19,2019 provide a copy of the permitting Agency's fee schedule for each permit required. The CITY will pay all fees for required permits. 4.1 Texas Commission on Environmental Quality (TCEQ) - Environmental Clearance Engineer will review and submit documents for compliance with Texas Commission on Environmental Quality (TCEQ) Chapter 217 and 290 rules and regulations. Engineer will submit sealed and signed preliminary engineering report (PER) and supplemental addenda to reflect scope changes and 95-percent complete plans and specifications to TCEQ for review. Upon receipt of plan review comments, ENGINEER will respond in writing and make necessary changes to the contract documents and resubmit a 100- percent set of signed and sealed bid documents. Deliverables: • One original and three hard copies to TCEQ for review and Response Letter to address comments. 4.2 Brazoria County Drainage District No. 4 (BCDD)-Conflict Coordination Development of a Preliminary and Final plan submittal including submission of sealed plans and specifications, comment review and resolution, and two in person meetings. Deliverables: One hard copy for review and Response Letter to address comments. 20200 Task 5: Additional Services These items are not part of the base engineering services and will begin only upon written authorization from the City of Pearland on an as needed basis. The Level of effort and payment terms will be negotiated when services are requested by the City. The level of effort herein is based on the anticipated scope provided below, however; the full extent of the scope will be defined prior to City authorization. 5.1 CMAR Coordination During Design The ENGINEER shall provide services related to the CMAR project delivery during the Phase 3- Final Design, when requested by Owner. These services may include such items as: • Attending additional coordination meetings • Participation in special review meetings related to constructability or value engineering options that the CMAR requests review • Preparation of Quantity take-offs in CMAR provided format • Review of CMAR bid proposals • Other services related to the CMAR delivery 5.2 Additional Survey If additional survey is needed to supplement the survey completed in Phase 1 for the plant site and/or waterline corridors it will be performed as an additional service. 5.2.2 Topographic Survey 1 . Identification of the adjacent property for the purposes of establishing the existing property corners, as well as identification of adjacent easements and right- of- ways. 2. Surface elevations across the survey area at 50 feet intervals or at changes in grade. Top of canal/ditch banks and centerlines of the canals/ditches, if present. 4. Extents of retaining walls, bridges and bridge abutments, if present. 5. Extents and centerline of roads (include type of surfacing), as well as paths, sidewalks, alley approaches, drive approaches, lane markings, traffic signs, road surface transitions, and other transportation related items. 6. Top of curbs, gutter flow lines, and other drainage flow paths. 7. The location of trees and hedges 6-inches in diameter and larger. Indicate location, diameter and species. Show the extents of wooded areas. 8. Power, utility and light poles, overhead power lines, guy wires, anchors, electric vaults,fencing,sheds/outbuildings, barriers, gates,signs,and telephone pedestals. 9. Prepare drawing to identify project control and benchmarks for inclusion in the plan sets. Survey will use/tie into City control monuments. 5.3 Additional Subsurface Utility Engineering (SUE): If additional SUE is needed to supplement that completed in Phase 1 for the plant site and/or waterline corridors it will be performed as an additional service. Location of subsurface utilities at identified locations along the preferred waterline and force main alignment shall be mapped. Consultant shall be responsible for recording contact information associated with these utilities, including utility affiliation, contact name, address, and phone number. Utilities that cannot be directly observed shall have their locations estimated by record drawings or from utility locate marks supplied by the utility owner or by a 3rd party locate service. Specific subsurface utilities to identify in the survey include the following: 1 . Existing water mains and observable appurtenances such as fire hydrants and water valve boxes. The elevation of the top of valve operator nuts shall also be recorded. 2. Existing storm and sanitary sewers, manholes, force mains, storm inlets, culverts, and associated items. Manhole and storm drain inlet information shall include manhole lid center location and elevation of pipe inverts. Manholes outside of the survey boundary shall also be surveyed if pipes are suspected to be within the survey boundaries. 3. Fiber optic, phone, and other communication utilities. 4. Buried power (including duct banks), traffic signal, and traffic loops. 5. Natural gas and other petroleum transmission and distribution systems. 6. Any other underground structures or utility such as underground tanks, thrust blocks, lift stations, vaults. 7. Chemical feed lines. 8. Provide traffic control within the designated work area while designating and locating the subsurface utilities. Traffic control is to be maintained in accordance with applicable standards. Utilizing conventional electronic designating equipment together with Ground Penetrating Radar (GPR), designate and mark with paint and/or flags the horizontal location of found underground utilities (larger than 2" in diameter). 10. Survey collected utility information will be used to develop the Civil 3D model. 11. Based upon Engineering considerations including above information and proposed design, Consultant shall provide a Utility Conflict Matrix containing potential utility conflicts by appropriate coordinates. 12. Utilizing the Utility Conflict Matrix described above, survey and pre-stake each of the utility conflicts. Active utilities that cannot be accurately located shall be recorded according to the best available information and shall be labeled "LOCATION NOT KNOWN. FIELD VERIFY". Abandoned utilities whose locations are not known shall be recorded to the best available information and shall be labeled as abandoned and that the location is not known. A note indicating that the utility is abandoned shall also be recorded. After review of the survey data, Consultant and/or City may require that buried utilities that cannot be located accurately be potholed for verification. 5.4 Geotechnical 5.4.1 Geotechnical Report If additional geotechnical work is needed to supplement that completed in Phase 1 for the plant site and/or waterline corridors it will be performed as an additional service. Consultant will perform design geotechnical drilling and a geotechnical report for the pump station site. Permanent control points based on City benchmarks to USGS datum will be established. The following items will be included in the geotechnical scope: 1. Provide an appropriate number of borings and piezometers for design of the package 3 components. Borings will be backfilled. 2. Borings will be used to estimate site stratigraphy, and soil samples will be collected for lab testing. All specified field and lab standards will be prepared per ASTM standards. 3. Supplement geotechnical report with bore logs and test data, groundwater conditions, foundation recommendations for structures, pavement recommendations, structural fill requirements, and general earthwork recommendations. 4. Perform Plaxis or equivalent differential settlement analysis on proposed structure to provide recommendations on foundation soil design and estimated edge settlements. 5. Provide recommendations on soil corrosivity and need for pipeline protection systems. Deliverables: • Supplement to Geotechnical Report Page 22 of 29 Scope of Services for Final Design Phase Services Surface Water Treatment Plant (Package 3) July 19,2019 5.5 Right-of-Way Negotiations Services by the Owner The following services will be provided on an as as-needed basis to support right-of-way acquisitions by the Owner for the project. 5.5.1 Right-of-Way and Easement Acquisition An initial ROW easement/parcel analysis was completed to identify restrictions and preliminary boundary conditions along the proposed routes. The results of this study were incorporated into the waterline and force main route studies to identify fatal flaws early and recommend the preferred route. As part of the route study performed for Broadway St., there were permanent and temporary easement needs identified for the area adjacent to the drainage ditch west of Kirby Plant between Broadway and the Plant. For these easement needs Stantec shall complete the following tasks: 1. Obtain title reports on properties involving right-of-way acquisition, permanent easement or temporary construction access. 2. Write full legal descriptions for property and easement acquisition based on figures with meets and bounds provided by Consultant 3. Contact, negotiate and obtain the required ROW/easements. If the tract is encumbered, prior to payment, prepare and/or obtain the relative curative documents. 4. Prepare property acquisition figures in the listed parcel areas. 5. Prepare figures for existing encroachment conflict improvements in the listed parcel areas. 5.5.1 Communication 1 . Attend monthly meeting with appropriate City staff. Date, time and location are determined by City staff. 2. Provide monthly summaries of project expenses including amounts authorized, amounts paid and budget forecasting as required by City staff. Will work with City staff to determine appropriate format. 3. Maintain current status reports of all parcels and project activities and provide weekly status reports to City staff. Will work with City staff to determine appropriate format. 4. Provide schedule of all areas of work indicating anticipated start and end dates. The reporting format will be determined by City staff. 5. Prepare initial property owner contact list for use by City staff in distribution of Consultant introduction letters or as determined necessary by the City. Will coordinate with City staff to determine format for type of file folders and document order and placement. 2. Prepare invoices utilizing City standard payment submission forms with supporting documentation.Supporting documentation requirements are determined by City staff. 3. Maintain records of all payments including, but not limited to, check number, amount, date paid, etc. 4. Maintain copies of all correspondence,emails and contacts with property owners. 5. Turn over all files, hard and pdf files to the City upon completion of the project or as requested by the City. 6. All files shall be accessible and available to the City or assignee. 5.5.3 Title and Closing Services 1 . Secure preliminary title commitment or preliminary title search, and 5- year sales data from Title Company that will be providing title insurance. 2. The charges from the Title Company for the preliminary title commitments will be paid by the City and should not be included in the Consultant's fee schedule. 3. Secure title commitment updates in accordance with insurance rules and requirements for parcel payment submissions.The charges from the Title Company for the update of the title commitment will be paid by the City and should not be included in the Consultant's fee schedule. 4. Secure title insurance for all parcels acquired, insuring acceptable title to the City. Written approval by the City required for any exception.The charges from the Title Company for the title insurance will be paid by the City and should not be included in the Consultant's fee schedule. 5. The curative services necessary to provide clear title to the City is the responsibility of the Consultant and is to be included in the fee schedule for this service. 6. The Consultant has the responsibility of direct contact with the Title Company to obtain an updated title commitment along with other forms and certified copy of the instrument of conveyance necessary when requesting the Parcel Payment from City staff. 7. The Consultant provides closing services in conjunction with the Title Company and will be required to attend closings. 8. Any fee related to obtaining certified court documents and fees for recording same which are not collected at the closing of the parcel shall be paid directly by the City. 9. Consultant shall cause the recordation all original instruments immediately after closing at the respective County Clerk's Office. The cost of the recording fees and filing fees are paid by City and should not be included in the Consultant's fee schedule. Review right of way, parcel sketches and construction plans provided by the City and provide comments when necessary. 2. Verify that legal descriptions, right of way maps, construction plans, survey (if provided) and appraisal reports correspond with each other. 3. Issue all applicable notices in accordance with City, State, Federal policies and procedures. 4. Analyze preliminary title report to determine potential title problems, propose and inform City of methods to cure title deficiencies. 5. Analyze appraisal and appraisal review reports and confirm the City's approved value prior to making offer for each parcel. 6. Prepare and send the letter transmitting the Landowners' Bill of Rights by Certified Mail-Return Receipt Requested (CMRRR). 7. Prepare the initial offer letter, memorandum of agreement, instruments of conveyance, and any other documents required or requested by the City on applicable City forms. 8. The written offer, appraisal report and required brochures must send to each property owner or the property owner's designated representative through CMRRR. Maintain follow-up contacts and secure the necessary instruments upon acceptance of the offer for the closing. Retain copies of the unsigned CMRRR receipt and the appraisal as support for billing purposes. 9. Respond to property owner inquiries verbally and in writing. Follow up with phone call to schedule a face to face meeting with landowner per request. 10. Prepare a separate negotiator contact report for each parcel. 11 . Advise property owner of the Administrative Settlement process. Transmit to the City any written counteroffer from property owners including supporting documentation. 12. Prepare and mail the documents of conveyance. 13. Appear and provide Expert Witness testimony as a Consultant when requested. 14. Securing a Right of Entry or Possession and Use Agreement is part of general Negotiation Services. 5.5.5. Condemnation Support Services 1. Upon receipt of a copy of the final offer, request an updated title commitment for Eminent Domain from the Title Company or as deemed necessary by the City. 2. Prepare a packet containing copies each of the following documents: Commitment, Negotiator's Reports, Appraisal Acknowledgment, Pre-appraisal Contact Sheet, signed and sealed property description, and plat, Final Offer Letter, any correspondence from the land owner or representatives, one original copy of the appraisal report, and any real property records which are relevant to any unusual joiner or service issue. Maintain a copy of the condemned parcel. In an event of a judgment/award, consultant shall coordinate with City staff to obtain copies of all executed post hearing documents for the condemned parcel. If a settlement is agreed upon by both parties prior to condemnation, Consultant shall coordinate with City staff to complete all necessary procedures to close the file. 5. Provide all closed parcel files including condemned parcels to City. Deliverables: • Turn over the paid draft, Ownership Report, and recorded documents associated therewith to the City. 5.6 Additional Permitting and Environmental Services Consultant shall provide additional permitting and environmental support for the regulating agencies identified in Task 4 on an as-needed basis. Because the history and extent of the current site conditions and route are not completely known, additional services beyond that listed in task 4 may be required. Consultant shall notify the City Project Manager a minimum of fifteen (15) working days in advance of permit application submittal of the required fees to allow the preparation of payment of the application fee and shall also provide a copy of the permitting Agency's fee schedule for each permit required. The City will pay all fees for required permits. The Consultant shall coordinate with the agencies having permit jurisdiction over the Project and use reasonable professional effort to gain timely approval of permits for the Project. During Phase 1 of this Project, a desktop environmental screening was conducted to identify potential environmental impacts. Further, as part of Additional Services Request #6 (ASR #6),Texas Water Development Board Environmental Information Document (EID) services are being performed. Pending the outcome of this work additional environmental services may be required and may include the following: 1. Wetland delineation 2. USACOE jurisdictional determination 3.
