COKER CITY ATTORNEY SECOND AMENDMENT TO UTILITY AGREEMENT This Second Amendment to Utility Agreement (this "Second Amendment") is made and entered into as of the 26th day of August, 2019 (the "Effective Date") by and between CITY OF PEARLAND,TEXAS, a municipal corporation and home-rule city of the State of Texas (the "City") and HARRIS-BRAZORIA COUNTIES MUNICIPAL UTILITY DISTRICT NO. 509, a political subdivision of the State of Texas, created under the authority of Article XVI, Section 59 of the Texas Constitution and operating under and governed by the provisions of Chapters 49 and 54, Texas Water code, as amended (the"District"). RECITALS WHEREAS, the City and the District entered into that certain Utility Agreement, dated August 1, 2007 (the "Original Agreement"), which details the terms and conditions pursuant to which (i) the District will acquire for the benefit of and conveyance to the City certain facilities needed to serve certain lands;and (ii)in order to enhance the economic feasibility of the District and more equitably distribute among the taxpayers of the City and the District the burden of ad valorem taxes to be levied from time to time by the City and the District, the City will make annual tax and monthly water and sewer revenue rebate payments to the District in consideration of the District's financing,acquisition,and construction of such facilities;and WHEREAS, in connection with obtaining the City's consent to the annexation of 12.569 acres of land into the boundaries of the District, the City and the District entered into that certain First Amendment to Utility Agreement ("First Amendment"), dated July 13, 2015, which reduced the amount of the initial annual tax payments to be made by the City to the District related to such 12.569 acre annexation tract and certain other tracts subsequently annexed into the boundaries of the District (the Original Agreement, as amended by the First Amendment, is referred to herein as the "Utility Agreement");and WHEREAS, in addition to the annexation of such 12.569 acre tract of land, described in Exhibit A-1 attached hereto ("Annexation Tract 1"), the District subsequently annexed an approximate (i) 84.946 acre tract of land, described in Exhibit A-2 attached hereto ("Annexation Tract 2"), (ii) 26.522 acre tract of land, described in Exhibit A-3 attached hereto ("Annexation Tract 3"), and (iii) 14.720 acre tract of land, described in Exhibit A-4 attached hereto ("Annexation Tract 4"); and WHEREAS, pursuant to the Original Agreement and the First Amendment, 517.498 acres (comprised of the 502.778 acre tract described in Exhibit B attached hereto and Annexation Tract 4 (14.720 acres), which is within the Exhibit D Land (as defined 793637_2 herein)) within the District remain subject to the initial Annual Payment (as defined herein) of$0.15 per $100 of assessed valuation and is referred to herein as the "Original Agreement Tract;" and WHEREAS, pursuant to the First Amendment, 124.037 acres (comprised of Annexation Tract 1, Annexation Tract 2 and Annexation Tract 3 (collectively, the "First Amendment Tract")) within the District remain subject to the initial Annual Payment of $0.10 per$100 of assessed valuation; and WHEREAS, the District desires to annex additional property, as more fully described in the metes and bounds attached hereto as Exhibit C (the "Second Amendment Tract"), into the boundaries of the District; and WHEREAS, the City will consent to the annexation of the Second Amendment Tract, subject to the execution of this Second Amendment; and WHEREAS, the Parties now wish to make certain adjustments to the Annual Payments made by the City to the District as such payments relate to the Second Amendment Tract and any additional land that may be annexed into the boundaries of the District in the future; except that any portion of the land described in Exhibit D of the Original Agreement ("Exhibit D Land") that is not currently located in the District may be annexed into the boundaries of the District and be subject to the initial Annual Payment of$0.15 per $100 of assessed valuation that applies to the Original Agreement Tract. NOW, THEREFORE, in consideration of the premises, mutual promises, covenants, obligations and benefits herein contained, the City and the District agree as follows: AGREEMENT 1. The recitals set forth above are declared true and correct and are hereby incorporated as part of this Second Amendment. 2. Section 6.01 of the Original Agreement shall be deleted in its entirety and replaced with the following: 6.01. Calculation of Annual Payment. (a) In consideration of the development of the land within the District and the related increase in the taxable value of such land to the City through the acquisition of and construction of the Facilities by the District and in order to enhance the economic feasibility of the District and more equitably distribute among the taxpayers of the City and the District 793637_2 the burden of ad valorem taxes to be levied from time to time by the City and the District, the City agrees to collect and pay to the District a portion of the ad valorem taxes collected by the City in future years on the land and improvements within the District (the "Annual Payment"). The Annual Payment shall be a payment of a portion of the City's tax revenues actually collected and received by the City, exclusive of any interest and penalties paid by the taxpayer to the City and exclusive of any collection costs incurred by the City. All Annual Payments received by the District from the City shall be deposited by the District into a debt service fund of the District and shall be applied solely to the payment of the Bonds and other debts, liabilities, and obligations of the District to or for the benefit of any persons or entities relating to the financing, construction, and acquisition of all or any portion of the Facilities. (b) The initial Annual Payment for the Original Agreement Tract and the Exhibit D Land shall be at a rate of$0.15 per$100 of assessed valuation. The initial Annual Payment for the First Amendment Tract shall be at a rate of$0.10 per$100 of assessed valuation. There shall be no Annual Payment for the Second Amendment Tract, or any additional land annexed into the District in the future (other than Exhibit D Land). (c) The Annual Payment shall be incrementally reduced upon the occurrence of the following: (i) All developers within the District have been fully reimbursed,with interest, in accordance with the rules of the TCEQ; (ii) The District has completely financed and constructed 100% of its Facilities; and (iii) The District levies a debt service tax at a rate that is less than $0.80 per$100 of assessed valuation. (d) Once all the conditions of subsection (c) have been met, the Annual Payment shall be reduced by an amount equal to the decrease in the District debt service tax rate. For example, if the Board of Directors of the District sets a debt service tax rate of $0.79 per $100 of assessed valuation (a decrease of $0.01), the Annual Payment will be reduced by $0.01 to $0.14 per$100 of assessed valuation. The Annual Payment will be recalculated annually, and will continue to be reduced to the extent that the District debt service tax rate is decreased. For example,if the Board of Directors of the District sets a debt service tax rate of $0.70 per $100 of assessed valuation (an aggregate decrease of $0.10), the Annual Payment would be $0.05 per $100 of assessed valuation. Once the Annual Payment is reduced, it shall not thereafter be increased, and any increase in the 793637_2 District debt service tax rate does not affect the calculation of the Annual Payment. (e) Notwithstanding anything contained in subsection (d), the Annual Payment associated with the First Amendment Tract shall not be decreased until the Annual Payment associated with the Original Agreement Tract, and the Exhibit D Land, has been decreased to $0.10 per $100 of assessed valuation, at which time the Annual Payments for both the Original Agreement Tract and the First Amendment Tract, shall decrease, so long as all other necessary conditions have been met as required in subsection (c),at the same rate. (f) If the District debt service tax rate decreases to the rate of $0.65 per $100 of assessed valuation, the City is thereafter relieved of any obligation to make any Annual Payments pursuant to this Agreement. Any subsequent increase in the District debt service tax rate does not obligate the City to again make Annual Payments. 2. Except as specifically amended in this Second Amendment, the Utility Agreement shall remain in full force and effect in accordance with its original terms and conditions. 3. Except as modified by this Second Amendment, capitalized terms used herein shall have the same meanings given them in the Utility Agreement. RECITALS WHEREAS, the City and the District entered into that certain Utility Agreement, dated August 1, 2007 (the "Original Agreement"), which details the terms and conditions pursuant to which (i) the District will acquire for the benefit of and conveyance to the City certain facilities needed to serve certain lands; and (ii) in order to enhance the economic feasibility of the District and more equitably distribute among the taxpayers of the City and the District the burden of ad valorem taxes to be levied from time to time by the City and the District, the City will make annual tax and monthly water and sewer revenue rebate payments to the District in consideration of the District's financing, acquisition,and construction of such facilities; and WHEREAS, in connection with obtaining the City's consent to the annexation of 12.569 acres of land into the boundaries of the District, the City and the District entered into that certain First Amendment to Utility Agreement ("First Amendment"), dated July 13, 2015, which reduced the amount of the initial annual tax payments to be made by the City to the District related to such 12.569 acre annexation tract and certain other tracts subsequently annexed into the boundaries of the District (the Original Agreement, as amended by the First Amendment, is referred to herein as the "Utility Agreement");and WHEREAS, in addition to the annexation of such 12.569 acre tract of land, described in Exhibit A-1 attached hereto ("Annexation Tract 1"), the District subsequently annexed an approximate (i) 84.946 acre tract of land, described in Exhibit A-2 attached hereto ("Annexation Tract 2"), (ii) 26.522 acre tract of land, described in Exhibit A-3 attached hereto ("Annexation Tract 3"), and (iii) 14.720 acre tract of land, described in Exhibit A-4 attached hereto ("Annexation Tract 4");and WHEREAS, pursuant to the Original Agreement and the First Amendment, 517.498 acres (comprised of the 502.778 acre tract described in Exhibit B attached hereto and Annexation Tract 4 (14.720 acres), which is within the Exhibit D Land (as defined 793637 2 herein)) within the District remain subject to the initial Annual Payment (as defined herein) of$0.15 per $100 of assessed valuation and is referred to herein as the "Original Agreement Tract;' and WHEREAS, pursuant to the First Amendment, 124.037 acres (comprised of Annexation Tract 1, Annexation Tract 2 and Annexation Tract 3 (collectively, the "First Amendment Tract")) within the District remain subject to the initial Annual Payment of $0.10 per$100 of assessed valuation;and WHEREAS, the District desires to annex additional property, as more fully described in the metes and bounds attached hereto as Exhibit C (the "Second Amendment Tract"),into the boundaries of the District; and WHEREAS, the City will consent to the annexation of the Second Amendment Tract,subject to the execution of this Second Amendment; and WHEREAS, the Parties now wish to make certain adjustments to the Annual Payments made by the City to the District as such payments relate to the Second Amendment Tract and any additional land that may be annexed into the boundaries of the District in the future; except that any portion of the land described in Exhibit D of the Original Agreement ("Exhibit D Land") that is not currently located in the District may be annexed into the boundaries of the District and be subject to the initial Annual Payment of$0.15 per $100 of assessed valuation that applies to the Original Agreement Tract. NOW, THEREFORE, in consideration of the premises, mutual promises, covenants, obligations and benefits herein contained, the City and the District agree as follows: AGREEMENT 1. The recitals set forth above are declared true and correct and are hereby incorporated as part of this Second Amendment. 2. Section 6.01 of the Original Agreement shall be deleted in its entirety and replaced with the following: 6.01. Calculation of Annual Payment. (a) In consideration of the development of the land within the District and the related increase in the taxable value of such land to the City through the acquisition of and construction of the Facilities by the District and in order to enhance the economic feasibility of the District and more equitably distribute among the taxpayers of the City and the District 793637 2 the burden of ad valorem taxes to be levied from time to time by the City and the District, the City agrees to collect and pay to the District a portion of the ad valorem taxes collected by the City in future years on the land and improvements within the District (the "Annual Payment"). The Annual Payment shall be a payment of a portion of the City's tax revenues actually collected and received by the City, exclusive of any interest and penalties paid by the taxpayer to the City and exclusive of any collection costs incurred by the City. All Annual Payments received by the District from the City shall be deposited by the District into a debt service fund of the District and shall be applied solely to the payment of the Bonds and other debts, liabilities, and obligations of the District to or for the benefit of any persons or entities relating to the financing, construction, and acquisition of all or any portion of the Facilities. (b) The initial Annual Payment for the Original Agreement Tract and the Exhibit D Land shall be at a rate of$0.15 per$100 of assessed valuation. The initial Annual Payment for the First Amendment Tract shall be at a rate of $0.10 per $100 of assessed valuation. There shall be no Annual Payment for the Second Amendment Tract, or any additional land annexed into the District in the future (other than Exhibit D Land). (c) The Annual Payment shall be incrementally reduced upon the occurrence of the following: (i) All developers within the District have been fully reimbursed, with interest, in accordance with the rules of the TCEQ; (ii) The District has completely financed and constructed 100% of its Facilities;and (iii) The District levies a debt service tax at a rate that is less than $0.80 per$100 of assessed valuation. (d) Once all the conditions of subsection (c) have been met, the Annual Payment shall be reduced by an amount equal to the decrease in the District debt service tax rate. For example, if the Board of Directors of the District sets a debt service tax rate of $0.79 per $100 of assessed valuation (a decrease of $0.01), the Annual Payment will be reduced by $0.01,to$0.14 per$100 of assessed valuation. The Annual Payment will be recalculated annually, and will continue to be reduced to the extent that the District debt service tax rate is decreased. For example, if the Board of Directors of the District sets a debt service tax rate of $0.70 per $100 of assessed valuation (an aggregate decrease of $0.10), the Annual Payment would be $0.05 per $100 of assessed valuation. Once the Annual Payment is reduced, it shall not thereafter be increased, and any increase in the 793637_2 District debt service tax rate does not affect the calculation of the Annual Payment. (e) Notwithstanding anything contained in subsection (d), the Annual Payment associated with the First Amendment Tract shall not be decreased until the Annual Payment associated with the Original Agreement Tract, and the Exhibit D Land, has been decreased to $0.10 per $100 of assessed valuation, at which time the Annual Payments for both the Original Agreement Tract and the First Amendment Tract, shall decrease, so long as all other necessary conditions have been met as required in subsection (c), at the same rate. (f) If the District debt service tax rate decreases to the rate of $0.65 per $100 of assessed valuation, the City is thereafter relieved of any obligation to make any Annual Payments pursuant to this Agreement. Any subsequent increase in the District debt service tax rate does not obligate the City to again make Annual Payments. 2. Except as specifically amended in this Second Amendment, the Utility Agreement shall remain in full force and effect in accordance with its original terms and conditions. 3.
