A Resolution of the City Council of the City of Pearland, Texas, authorizing a
contract for design services with Freese & Nichols, Inc., in the amount of
$1,019,070.00, associated with the Bailey Road Expansion Project (Veterans
Dr. to SH 35).
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract for engineering design services associated with the
Bailey Road Expansion Project, a copy of which is attached hereto as Exhibit "A" and made a part
hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute and
the City Secretary to attest a contract for engineering design services associated with the Bailey
Road Expansion Project.

CONTRACT FOR PROFESSIONAL SERVICES
Exhibit A
THIS CONTRACT is entered into upon final execution by and between the City of Pearland
("CITY") and Freese & Nichols ("CONSULTANT").
The CITY engages the CONSULTANT to perform professional services for a project known and
described as Bailey Road Expansion (Veterans Dr to Main) ("PROJECT"). (Project #TR1904)
SECTION I - SERVICES OF THE CONSULTANT
The CONSULTANT shall perform the following professional services to CITY standards and in
accordance with the degree of care and skill that a professional in Texas would exercise under the
same or similar circumstances:
A. The CONSULTANT shall perform engineering services. See Exhibit A, attached,
for a detailed SCOPE OF WORK and PROJECT schedule. The PROJECT schedule
shall be submitted in digital and hard copy form in the Microsoft Project for
Windows format.
B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost
of the PROJECT.
C. The CONSULTANT acknowledges that the CITY (through its employee
handbook) considers the following to be misconduct that is grounds for termination
of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving
payment for services not performed or for hours not worked, mishandling or
untruthful reporting of money transactions, destruction of assets, embezzlement,
accepting materials of value from vendors, or consultants, and/or collecting
reimbursement of expenses made for the benefit of the CITY. The CONSULTANT
agrees that it will not, directly or indirectly; encourage a CITY employee to engage
in such misconduct.
D. The CONSULTANT shall submit all final construction documents in both hard
copy and electronic format. Plans shall be AutoCAD compatible and all other
documents shall be Microsoft Office compatible. The software version used shall
be compatible to current CITY standards. Other support documents, for example,
structural calculations, drainage reports and geotechnical reports, shall be
submitted in hard copy only. All Record Drawings electronic files shall be
submitted to the CITY in TIF format.
E. The CONSULTANT recognizes that all drawings, special provisions, field survey
notes, reports, estimates and any and all other documents or work product generated
by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon
request, shall become subject to the Open Records Laws of this State.
F. The CONSULTANT shall procure and maintain for the duration of this Agreement,
insurance against claims for injuries to persons, damages to property, or any errors

and omissions relating to the performance of any work by the CONSULTANT, its
agents, employees or subcontractors under this Agreement, as follows:
(1) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1,000,000 in
the aggregate.
(3)
Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000,000 for injury or death of any one person,
$1,000,000 for each occurrence, and $1,000,000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering owned,
hired, and non -owned vehicles, with minimum limits of $1,000,000 for
injury or death of any one person, $1,000,000 for each occurrence, and
$1,000,000 for property damage.
The CONSULTANT shall include the CITY as an additional insured under the
policies, with the exception of the Professional Liability Insurance and Workers'
Compensation. The CONSULTANT shall agree to waive its Right to Subrogation.
Certificates of Insurance and endorsements shall be furnished to the CITY before
work commences. Each insurance policy shall be endorsed to state that coverage
shall not be suspended, voided, canceled, and/or reduced in coverage or in limits
("Change in Coverage") except with prior written consent of the CITY and only
after the CITY has been provided with written notice of such Change in Coverage,
such notice to be sent to the CITY either by hand delivery to the City Manager or
by certified mail, return receipt requested, and received by the City no fewer than
thirty (30) days prior to the effective date of such Change in Coverage. Prior to
commencing services under this CONTRACT, CONSULTANT shall furnish CITY
with Certificates of Insurance, or formal endorsements as required by this
CONTRACT, issued by CONSULTANT'S insurer(s), as evidence that policies
providing the required coverage, conditions, and limits required by this
CONTRACT are in full force and effect.
G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and
employees, harmless from any claim, loss, damage, suit, and liability of every kind
for which CONSULTANT is legally liable, including all expenses of litigation,
court costs, and attorney's fees, for injury to or death of any person, for damage to
any property, or errors in design, any of which are caused by the negligent act or
omission of the CONSULTANT, his officers, employees, agents, or subcontractors
under this CONTRACT.
H. All parties intend that the CONSULTANT, in performing services pursuant to this
CONTRACT, shall act as an independent contractor and shall have control of its
own work and the manner in which it is performed. The CONSULTANT is not to
be considered an agent or employee of the CITY.

SECTION II - PERIOD OF SERVICE
This CONTRACT will be binding upon execution and end April 30, 2023.
SECTION III - CONSULTANT'S COMPENSATION
A. The total compensation for the services performed shall not exceed the total noted
in Section B.
B. The CITY shall pay the CONSULTANT in installments based upon monthly
progress reports and detailed invoices submitted by the CONSULTANT based
upon the following:
1. Basic Services (Lump Sum) $599,200.00
2. Additional Services shall require independent and specific authorization
and shall be billed as (Not to Exceed): $329,710.00
3. Bid Phase Services (Hourly Not to Exceed) $13,120.00
4. Construction Phase Services (Hourly Not to Exceed) $70,540.00
5. Reimbursable Expenses (Not to Exceed) $6,500.00
6. Total: $1,019,070.00
C. The CITY shall make payments to the CONSULTANT within thirty (30) days after
receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly
basis.
D. CONSULTANT shall invoice for work performed during the preceding thirty day
period ("Billing Period"). The Billing Period shall run from the 26th day to the 25th
day of each consecutive month. Invoices shall be submitted to CITY not more
frequently than once every 30 days. CONSULTANT shall be responsible for
timely submittal of all invoices and CONSULTANT shall not be entitled to
payment for invoices in arrears. All invoices shall reflect most recent single Billing
Period only and represent the true, correct and accurate account of work performed
during the Billing Period.
E. For an agreed contract amount identified as "Lump Sum", Not to Exceed" and
"Reimbursable" the CONSULTANT shall not exceed the fixed contractual amount
without written authorization in the form of a Contract Amendment.
CONSULTANT shall provide 45 days prior notice to the CITY in the event contract
fees may exceed the fixed contract amount. CONSULTANT shall be responsible
for ensuring that such authorization is complete and executed by all parties
performing any work or submitting any invoices for work that exceeds the fixed
contract amount under any expense category.

F. Allowable Reimbursable Expenses
CONSULTANT shall identify and include in the proposal any anticipated
Reimbursable Expenses, and shall itemize Reimbursable Expenses by work
category. Reimbursable Expenses shall be invoiced AT COST without subsequent
markup by the CONSULTANT. All invoices containing a request for
Reimbursable Expenses shall include copies of the original expense receipts
itemized per the allowable category. Allowable Reimbursable Expenses include:
• Hard copy reproductions, copies and/ or binding costs
• Postage
• Mileage, for travel from Consultant's local office (within a 25 mile radius)
to meetings at the City or job -site. Mileage shall be charged at the current
IRS rates.
• Travel expenses, mileage from local office to State or federal regulatory
agency office beyond 100 miles.
• Lodging expenses, for destinations beyond 100 miles from the Consultant's
local office AND when business hours exceed eight hours within one
business day OR requires more than one eight hour day.
F.2. Disallowed Expenses
Disallowed Expenses include travel expenses for professional expertise traveling
into the greater Houston area from Consultant offices outside of the greater Houston
area.
SECTION IV - THE CITY'S RESPONSIBILITIES
A. The CITY shall designate a project manager during the term of this CONTRACT.
The project manager has the authority to administer this CONTRACT and shall
monitor compliance with all terms and conditions stated herein. All requests for
information from or a decision by the CITY on any aspect of the work shall be
directed to the project manager.
B. The CITY shall review submittals by the CONSULTANT and provide prompt
response to questions and rendering of decisions pertaining thereto, to minimize
delay in the progress of the CONSULTANT'S work. The CITY will keep the
CONSULTANT advised concerning the progress of the CITY'S review of the
work. The CONSULTANT agrees that the CITY'S inspection, review, acceptance
or approval of CONSULTANT'S work shall not relieve CONSULTANT'S
responsibility for errors or omissions of the CONSULTANT or its sub-
consultant(s) or in any way affect the CONSULTANT'S status as an independent
contractor of the CITY.

SECTION V - TERMINATION
A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason --
with or without cause -- by delivering written notice to CONSULTANT personally
or by certified mail at 11200 Broadway Street, Suite 2320, Pearland, TX 77584.
Immediately after receiving such written notice, the CONSULTANT shall
discontinue providing the services under this CONTRACT.
B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all
drawings, special provisions, field survey notes, reports, estimates and any and all
other documents or work product generated by the CONSULTANT under the
CONTRACT, entirely or partially completed, together with all unused materials
supplied by the CITY on or before the 15th day following termination of the
CONTRACT.
C. In the event of such termination, the CONSULTANT shall be paid for services
performed prior to receipt of the written notice of termination. The CITY shall
make final payment within sixty (60) days after the CONSULTANT has delivered
to the CITY a detailed invoice for services rendered and the documents or work
product generated by the CONSULTANT under the CONTRACT.
D. If the remuneration scheduled under this contract is based upon a fixed fee or
definitely ascertainable sum, the portion of such sum payable shall be proportionate
to the percentage of services completed by the CONSULTANT based upon the
scope of work.
E. In the event this CONTRACT is terminated, the CITY shall have the option of
completing the work, or entering into a CONTRACT with another party for the
completion of the work.
F. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT
breaches any provision of this CONTRACT, then the CITY shall have all rights
and remedies in law and/or equity against CONSULTANT. Venue for any action
or dispute arising out of or relating to this CONTRACT shall be in Brazoria County,
Texas. The laws of the State of Texas shall govern the terms of this CONTRACT.
The prevailing party in the action shall be entitled to recover its actual damages
with interest, attorney's fees, costs and expenses incurred in connection with the
dispute and/or action. CONSULTANT and CITY desire an expeditious means to
resolve any disputes that may arise between under this CONTRACT. To
accomplish this, the parties agree to mediation as follows: If a dispute arises out of
or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be
settled through negotiation, then the parties agree first to try in good faith, and
before pursuing any legal remedies, to settle the dispute by mediation of a third
party who will be selected by agreement of the parties.

SECTION VI — ENTIRE AGREEMENT
This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and
supersedes all prior negotiations, representations, or contracts, either written or oral. This
CONTRACT may be amended only by written instrument signed by both parties.
SECTION VII COVENANT AGAINST CONTINGENT FEES
The CONSULTANT affirms that he has not employed or retained any company or person, other
than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT,
and that he has not paid or agreed to pay any company or person, other than a bona fide employee,
any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon
or resulting from the award or making of the CONTRACT. For breach or violation of this clause,
the CITY may terminate this CONTRACT without liability, and in its discretion, may deduct from
the CONTRACT price or consideration, or otherwise recover, the full amount of such fee,
commission, percentage brokerage fee, gift, or contingent fee that has been paid.
SECTION VIII- SUCCESSORS AND ASSIGNS
This CONTRACT shall not be assignable except upon the written consent of the parties hereto.

Exhibit A with attachments. The Design Phase contract time is estimated at 540 days to account for
engineering and other services listed above as well as the railroad, USACE, and other permitting.

TRANSPORTATION SCOPE OF SERVICES

I. PROJECT DESCRIPTION
The work to be performed by the CONSULTANT will generally consist of developing
Plans, Specifications, and Estimates (PS&E) in accordance with the CITY criteria,
standards, and specifications to widen Bailey Road by adding lanes 3 & 4 and a
bridge over BNSF Railroad. Project will begin from Veterans Drive and ends few
hundred feet west of SH 35 where widening will tie in to existing 4-lane divided
roadway. These tasks are generally described in detail below and detailed more in
the Attachment.
II. GENERAL REQUIREMENTS
a) The CONSULTANT shall develop project specific design criteria, based on
design speed, functional class of road, and other applicable CITY and TxDOT
Manuals and CITY ordinances.
b) The CONSULTANT shall coordinate with the utility companies that have utilities
within or adjacent to the PROJECT boundary on any and all exposure, removal,
and/or relocation work necessary to implement the PROJECT. The
CONSULTANT shall coordinate with the CITY in reviewing existing utility
information and provide a utility conflict analysis. If it is determined that any other
utility coordination will be necessary by the CONSULTANT, the task will be
accomplished through an amendment to this Agreement.
c) The CONSULTANT shall prepare plans following the CITY Engineering Design
Criteria Manual.
d) For submittals to the CITY, the CONSULTANT shall follow the guidelines
provided in Chapters 1 and 2 of the CITY Engineering Design Criteria Manual.
e) After addressing the comments adequately, the CONSULTANT shall submit an
electronic copy of the revised and final construction plans and other documents
along with responses to comments and redlined plans to the CITY for approval.

f) All plans, specifications, documents, provisions, attachments, and
correspondence provided in accordance with the contract shall be dated. The
CONSULTANT shall also provide monthly progress reports to the CITY during
the course of the design. Monthly progress reports will not be provided during bid
phase or construction.
III. BASIC SERVICES
The Consultant shall render the following professional engineering services to the
CITY in connection with the construction of the PROJECT.
1. Preliminary Phase Services
a. The CONSULTANT shall attend meetings with the CITY.
b. The CONSULTANT will gather and review existing information from:
i. Available as -built plans and existing right-of-way (ROW) maps from
the CITY and public and private utility plans
ii. Available drainage studies and floodplain information from FEMA,
CITY, and BDD4
iii. Available existing traffic counts, if necessary.
iv. CITY General Notes for Plans
v. Applicable Standard Drawings/Details
c. The CONSULTANT shall provide or procure additional information, as
required.
2. Field Survey
a. The CONSULTANT shall provide services as outlined in the Attachment and
more specifically called out in surveyor's proposal.
3. Environmental Services
a. The CONSULTANT shall provide services as outlined in the Attachment —
Special Services.

4. H & H Study
b. The CONSULTANT shall provide services as outlined in the Attachment and
more specifically called out in H & H subconsultant's proposal.
5. Geotechnical Services
a. The CONSULTANT shall provide services as outlined in the Attachment
and more specifically called out in Geotech subconsultant's proposal.

6. Prepare Preliminary Engineering (30% PS&E Documents)
a. The CONSULTANT shall prepare a planimetric layout based on
conceptual layout defined in the Tech Memo dated February 2018 and
topo & mapping.
b. The CONSULTANT shall prepare 30% Preliminary Construction Drawings
showing Preliminary Horizontal & Vertical Alignments, basic roadway and
drainage plan/profile sheets, bridge layout, typical sections, etc.
c. Based on the Preliminary Construction Drawings, the CONSULTANT shall
identify utility conflicts & notify all utility companies and other entities that
have facilities within the project limit.
d. Based on 30% plans, CONSULTANT shall begin coordination with BNSF
railroad for eventual submittal of application and exhibits at later date for
the overpass bridge crossing.
e. The CONSULTANT shall prepare a preliminary Engineer's opinion of
probable cost estimate.
f. The CONSULTANT shall attend progress/update meetings.
Deliverables
• Three (3) hard copies of 11 "x17" plans and a pdf copy.
• 30% Preliminary Construction Plans to utility companies.
• Preliminary Engineer's opinion of probable cost estimate.

7. Final Design Phase Services
This phase will consist of three submittals: 60%, 90%, and Final.
a. The CONSULTANT shall prepare plans, specifications, and cost estimate
in accordance with City of Pearland's Design Criteria Manual (DCM) and
applicable TxDOT standards.
i. The CONSULTANT shall prepare the following plans:
• Title/Cover Sheet.
• Index Sheets.
• Project Layout — The layout should depict project limit with begin
and end stations, and north arrow.
• Existing and Proposed Typical Sections — The existing and
proposed typical sections should be shown with roadway
(pavement, curb, sidewalk, ROW etc.) characteristics. The
CONSULTANT shall incorporate pavement design for the
pavement widening based on the existing pavement section.
• General Notes (inserted by the CONSULTANT) — The
CONSULTANT will edit the Master General Notes file(s) provided
by the CITY and will insert into the plan set.
• Estimate and Quantities (inserted by the CONSULTANT) — The
CONSULTANT will prepare, in a spreadsheet format, a complete
listing of construction bid items and compute estimated quantities
required for each bid item and insert it in the plan set.
• Traffic Control Plans (TCP) — The CONSULTANT shall develop a
detailed TCP when traffic handling during construction involves
complications for which a feasible solution is not covered by the
current edition of the TMUTCD or the current TxDOT TCP
Standards. The CONSULTANT shall prepare plans, details, typical
sections, and phasing for the construction.

• Survey (H & V) Control — This sheet will include centerline
alignment data, tied to project control, for the entire project limits
including curve data and bearing/coordinates for each alignment.
• Roadway and Drainage Plan/Profile — These sheets will show
roadway and drainage plans and profiles, including roadway tie-in
at both ends.
• Bridge Layout & Details — The CONSULTANT will prepare all the
necessary layouts, plan/profile, and details and standards for the
BNSF railroad overpass crossing.
• Intersection Layout — The CONSULTANT shall design the
intersections as needed for the project.
• Miscellaneous Roadway Details — This sheet(s) may be developed
to illustrate any necessary additional construction details not
covered by the Standards. The CONSULTANT shall obtain CITY
approvals for these details.
• Storm Sewer Calculations — The CONSULTANT shall prepare
these sheets showing all detail calculations.
• Signing and Pavement Marking — The CONSULTANT shall prepare
signing and pavement marking plans according to the TMUTCD.
Details of any non-standard sign(s) will be shown in the plans.
• Traffic Signal — The CONSULTANT shall provide the design of
modifications to signal at Veterans Dr. at Bailey Rd.
• Erosion Control Plan — Prepare erosion control layout sheets
showing all necessary erosion control devices and details.
• Standard Drawings — The CONSULTANT shall identify and insert,
as frequently as possible, all applicable CITY and TxDOT
standards for TCP, Roadway, Drainage, bridge, Signing and
Pavement Markings, Traffic Signal and other details.
• Cross Sections — The CONSULTANT will develop cross sections at
100' for the roadway.

ii. The CONSULTANT shall prepare Engineer's opinion of probable
cost estimates for each submittal.
iii. The CONSULTANT shall prepare bid documents for the Final Plan
Submittal, including a specification package including standard
CITY and TxDOT specifications, and any special
specifications/provisions.
b. The CONSULTANT shall provide 60% and 90% plans to all utility
companies or other entities that have facilities within the project limit. If
requested by the CITY, the CONSULTANT shall coordinate and attend the
utility coordination meeting(s) and schedule relocation.
c. The CONSULTANT shall attend progress/update meetings at the City.
The last meeting will be the Technical Review Committee which will
consist of:
• Review of project and solution.
• Review of the plans and basis of design.
• Designed systems (roadway, storm, bridge, landscape, pedestrian
facilities, etc.).
• Review of constructability.
• Review of key specifications.
• Review cost estimate.
• Review bid items and bid proposal.
• Review schedule for advertisement and bid phase.
d. The CONSULTANT shall prepare bid sets for distribution via the City's e-
bid system; including Plans, Specifications, Bid Proposal, (utilizing City
Standard Details + Specs; for details & specification sections the City does
not have, submit proposed supplement specs) and submit to CITY for
signatures.
i. provide three (3) sets plans and specifications and estimates to City
for review at 60% & 90%; provide written comments/resolution to
City revisions/comments.

8. Bid Phase Services (As Needed)
The CONSULTANT shall provide services to assist the CITY in selection of a
Contractor for the construction of the PROJECT. These services shall consist the
following:
a. Provide Notice to Bidders (NTB) to the Project Manager in an electronic
form appropriate for the CITY's e-bid system format. CITY is responsible
for advertising.
b. Reproduce and disseminate bid sets to Dodge, AGC, ABC, Amtek and (2)
two sets to the City [PM (1), Purchasing (1), and interested bidders].
c. Distribute (including the sale of) plans to interested bidders.
i. Keep record of plan holder's list.
d. Chair pre -bid meeting and attend the Bid Opening.
e. Respond in writing to questions from bidders and prepare addenda as
necessary.
f. Assist with design of Bid Proposal*.
g. Prepare Engineer's Recommendation of Award Letter that includes the
following required content:

alternatives, etc.

9. Construction Phase Services (As Needed)
These services are intended to assist the CITY in the following areas during
construction; administering the contract for construction, monitoring the
performance of the construction contractor, verifying that the contractor's work is
in substantial compliance with the Contract Documents, and in responding to the
events that occur during construction. The CONSULTANT shall provide
Construction Administration services as defined below.
a. Construction Administration:

ii. Attend monthly progress meetings with Construction Manager,
Contractor & City of Pearland as needed.
iii. Review/approve & comment on Contractor's submittals, RFIs,

coordination with Construction Manager on Proposals & Change
Orders using the City of Pearland's Pro-Trak system.
iv. Provide interpretive guidance for Contractor, Construction Manager
in resolution of problems.
v. Conduct Substantial Completion Inspection with CM or PM to:
• Review progress of work for Substantial Completion walk
through.
• Generate a punch list of items for correction.
• Substantiate items that are completed.
• Issue both Certificate of Substantial Completion
(signed/sealed from Design Engineer) & Final Acceptance or
2nd walk through.
vi. Issue Final Completion & Acceptance letter to City recommending
acceptance & release of final payment.
vii. Coordinate contractors, CM/CI to provide complete record of As-
Builts Drawing.
viii. Within thirty (30) days after receipt of As-Builts from the contractor
to the CM, the project engineer shall provide to the City one (1) set
of full size reproducible record drawings, an electronic file copy
(PDF format) and a Civil 3D file, or compatible .dxf file.

IV. ITEMS NOT INCLUDED IN THE SCOPE OF SERVICES
The CITY and the CONSULTANT agree that the following services are beyond the
Scope of Services described above. However, the CONSULTANT may provide
these services, upon the CITY's written request. Any additional amounts paid to the
CONSULTANT as a result of any material change to the Scope of the PROJECT
shall be agreed upon in writing by both parties before the Services are performed.

SUPPLEMENTAL SCOPE OF SERVICES
ARTICLE I
BASIC SERVICES: Freese and Nichols, Inc. (FNI) shall render the following professional services to City P
(CITY) in connection with the development of the Project described as: Bailey Road Widening. Project
limits for the roadway will be from Veterans Drive to west of SH 35. Scope for the roadway improvements
design will include roadway and drainage Final Design, Bid, and Construction phases. Scope of work will be
in accordance with Exhibit "A" — City of Pearland's Transportation Scope of Services for Bailey Road
Widening Design. Plans, Specifications, and Estimates (PS&E) documents will be prepared in accordance with
the CITY criteria, standards, and specifications. This Supplemental Scope of Services defines and detailed the
scope of work further.
Construction plan set will follow CITY Format and will be prepared in Civil 3D.
A. PRELIMINARY & DESIGN PHASE SERVICES
1. Prepare for and attend a kick-off meeting with City staff to establish specific scope and
requirements for the Project.
2. Provide overall project management, scoping, contract administration, invoicing, quality
control/quality assurance, and monthly one -page reports.
3. Coordinate and provide project requirements information to the Surveying Subconsultant to
conduct topo and mapping of the project.
4. Conduct data collection from the City and archived files on existing roadway and project corridor.
5. Conduct site reconnaissance and project photos.
6. Based on topo & mapping and conceptual alignment included in the Technical Memorandum
Report dated February 2018, prepare a planimetric layout of the project.
7. Coordinate and provide project requirements information to the Geotechnical Subconsultant to
conduct the geotechnical borings and analysis.
8. Coordinate and provide project drainage information to the H&H Subconsultant to conduct the
drainage assessment and impact study.
9. Based on conceptual alignment plans included in the Technical Memorandum Report dated
February 2018 and the topographical survey & mapping, prepare final roadway and drainage
design and plans and plan/profile sheets for the widening of Bailey Road by adding the eastbound
lanes 3 & 4, on 11 "x 17" sheets with 1" =40' (H) and 1" =4' (V) scales.
10. Based on H&H study information and existing lanes 1 & 2 drainage infrastructure, prepare overall
drainage area and detailed maps including computation tables.
11. Based on conceptual alignment and typical section in the Technical Memorandum Report dated
February 2018, design and prepare plans and details for the bridge over the BNSF Railroad.

12. Conduct existing City and franchise co.'s utilities office and field coordination, data gathering,
and prepare a color -coded existing utility plans/profile sheets and list of utility contacts and
potential conflicts. Conduct existing utility conflict study & assessment. Submit plans for
reviews at 30%, 60%, & 90% milestones. Submit fmal plans for approvals.
13. Prepare misc. plans: cover sheet, index sheet, general notes, quantity summary sheets, typical
sections, intersections layouts plans, alignment control sheets, project layout sheets, point data
sheets, for the Project.
14. Prepare plans for the sidewalk and the brick pavers.
15. Design and prepare plans for pavement marking and signage for the Project including redesign of
existing 2-lane road marking and signage.
16. Prepare traffic control plans and details for the Project.
17. Review and assemble and incorporate City & TxDOT's standard details into construction plans.
18. Design and prepare plans and details for storm water pollution prevention.
19. Coordinate with Geotechnical Firm and prepare Geotech log plans.
20. Coordinate with signal design subconsultant to prepare signal modifications plans for the signal at
Veterans Drive at Bailey Road. Signal at SH 35 will remain as is.
21. Prepare plans for the installation of conduit for the eastbound lanes street lights. CITY will
coordinate with CPE to install lights after or concurrent with construction.
22. Prepare 100' cross sections plans.
23. Prepare bid quantities and engineer's opinion of probable construction cost and updates at
milestone submittals.
24. Assemble City's standard technical specifications and contract document and bid proposal.
25. Prepare and submit three (3) copies of 11 "x 17" of 30%-complete plans and a pdf copy for CITY
review and comments. Attend meeting to review comments.
26. Prepare and submit three (3) copies of 11 "x 17" of 60%-complete plans and a pdf copy for CITY
review and comments. Attend meeting to review comments.
27. Prepare and submit three (3) copies of 11 "x 17" of 90%-complete plans and Technical
Specifications and Bid Proposal and a pdf copy of each for CITY's final review and comments.
Attend meeting to review comments.
28. Conduct drainage coordination, meeting with BDD#4 and submit final plans for approval.
29. Submit plans for ADA Compliance review and register project at TDLR.

30. Conduct coordination with BNSF and submit application & exhibits for their review and approval
of the railroad overpass crossing bridge.
31. Finalize plans and Project Manual based on CITY's fmal comments and submit three (3) copies of
fmal documents along with pdf copies to CITY.
32. Prep and attend CITY's Technical Review Committee Meeting.
33. Prepare and attend Progress Meetings during Design Phase (12 meetings).
D. BID AND AWARD PHASE (As -Needed Basis):
Upon authorization from the CITY, FNI will proceed with the performance of services in this phase as
indicated in Exhibit A, "Transportation Scope of Services for Bailey Road Widening."
E. CONSTRUCTION PHASE (As -Needed Basis):
Upon completion of the bid phase services, FNI will proceed with the performance of construction
phase services as described Exhibit A, "Transportation Scope of Services for Bailey Road Widening."
FNI will endeavor to protect CITY in providing these services however, it is understood that FNI does
not guarantee the Contractor's performance, nor is FNI responsible for supervision of the Contractor's
operation and employees. FNI shall not be responsible for the means, methods, techniques, sequences
or procedures of construction selected by the Contractor, or any safety precautions and programs
relating in any way to the condition of the premises, the work of the Contractor or any Subcontractor.
FNI shall not be responsible for the acts or omissions of any person (except its own employees or
agents) at the Project site or otherwise performing any of the work of the Project.
B. SPECIAL SERVICES
Upon authorization from the CITY, FNI provide the following Additional Services:
1. FNI will provide environmental services for a Phase 1 ESA, Wetland Delineation, and submittal
of an Individual Permit if impacts to Cowart's Creek cannot be avoided. These services include:
a. Compile Information: Assemble data such as aerial photos, ROW limits, and alignments in
digital format for use in GPS data logger. Create Data Dictionary for GPS data logger for data
collection. Print maps and CAD drawings as necessary for field work.
b. Conduct Site Visit: FNI environmental scientists will conduct a site visit to observe the
existing conditions (environment) and assess project impacts. The presence and locations of
waters of the U.S. including wetlands, the ordinary highwater mark (OHWM) of the Cowart's
Creek Ditch, potential threatened/endangered species habitat; and vegetation cover types will
be identified in the proposed ROW. Other visible constraints to development will be noted.
c. Prepare a Technical Memorandum: FNI will prepare a technical memorandum documenting
the results of the field study including jurisdictional determination forms, wetland delineation
data forms, photos, GPS information, and assess Section 404 permitting requirements. FNI
will recommend what, if any, additional studies are needed, and a proposed course of action
needed to get the project authorized under a Section 404 permit.

d. Consultation with Texas Historical Commission: Projects sponsored by public entities that
affect a cumulative area greater than five acres or that disturb more than 5,000 cubic yards
require advance consultation with the Texas Antiquities Committee according to Section
191.0525 (d) of the Antiquities Code of Texas. Because the proposed project is expected to
exceed these thresholds, coordination with the Committee will be required. FNI will prepare
a letter to the Texas Historical Commission describing the project and requesting the
Committee's review.
e. Phase 1 ESA: The Phase I ESA will be conducted in accordance with the following
regulations and standards:
• American Society of Testing and Materials (ASTM) Standard E 1527-05, Standard
Practice for Phase I Environmental Site Assessments (2005)
• Title 40 of the Code of Federal Regulations Part 312 (40 CFR §312), Standards and
Practices for All Appropriate Inquiries (AAI); Final Rule
A Phase I ESA is a preliminary evaluation of the potential for chemical contamination which
involves the review of historical land use records for the site, a site visit, and interviews with
property owners and tenants. It does not involve the collection and analysis of samples from
soils, groundwater, or other environmental media. Following the completion of the historical
review, regulatory records review, and the site survey, Freese and Nichols will provide two
copies of a report which details our findings.
f. Conduct Wetland/Waters of the U.S. Delineation: FNI will conduct a field delineation of the
project area water bodies including any adjacent wetlands and will denote the OHWM and
wetland boundaries with a GPS unit with submeter accuracy. Delineation will be conducted in
accordance with the 1987 Delineation Manual and the Atlantic/Gulf Coast Regional
Supplement.
g. Prepare Delineation and Preliminary Jurisdictional Determination Report: FNI will prepare a
delineation and preliminary jurisdictional determination report using the Rapanos Guidance to
assess if waters present in the project corridor are jurisdictional under Section 404 of the
Clean Water Act.
h. Pre -Application Meeting: FNI will meet with the USACE Galveston District prior to
preparation of the permit application to discuss the project and any known issues as well as to
obtain input from the USACE regarding the Project. At this meeting, FNI would also discuss
potential mitigation measures and the Least Environmentally Damaging Practicable
Alternative (LEDPA) selection.
i. Prepare/Submit Individual Permit Application: FNI assumes that this project element will
require authorization under Section 404 of the Clean Water Act and that this project will
require an Individual Permit if the Cowart's Creek Ditch cannot be avoided. FNI will prepare
the Individual Permit Application for submittal to the USACE. The application will include
the PJD and wetland delineation report as well as a conceptual mitigation plan. A detailed
mitigation plan for permittee responsible mitigation would be developed as an additional
service if required.
j. Meetings with CITY: FNI environmental scientists will attend up to two meetings with the
CITY to discuss the draft 404 Permit Technical Memorandum, the CITY's comments, and the
USACE permitting process.
Should the CITY apply for construction TIP funding and successful in securing funding, FNI will
submit a separate scope and fee proposal to conduct the environmental document and process the
funding will require.
2. Conduct topographical field survey and mapping for the purpose of design consisting of
establishing horizontal & vertical controls, establishing existing ROW, field topo. & utilities,

locating core borings, H & V data sheets per TxDOT, air rights easement for the BNSF crossing,
& preparation of documents in Microstation format in accordance with TxDOT requirements. See
attached proposal from Subconsultant for more details.
3. Conduct geotechnical study and soil borings for the Project consisting of 2-95', 3-75', and 6-20'
borings and samplings, analysis, and recommendations. See attached proposal from
Subconsultant for more details.
4. Conduct H&H modeling and analysis to assess existing & proposed conditions and determined the
drainage impacts and storm sewer sizes. See attached proposal from Subconsultant for more
details.
5. Design the modifications to signal at Veterans Drive at Bailey Road consisting of review of
existing traffic data, lane assignments, and signal phasing and prepare the necessary plans and
details. See Subconsultant proposal for more details.
6. Reimbursable project expenses such as printing, deliveries, mileage, outside printing of plans and
for the Project and TDLR Registration and ADA Compliance Reviews.
ARTICLE II
ADDITIONAL SERVICES: Services that are not specifically listed in above Supplemental Scope of
Services or Attachments shall be considered as Additional Services to be performed by FNI, if authorized by
CITY and will be paid for as stated in the Compensation Attachment, Item D.2.
ARTICLE III
TIME OF COMPLETION: Upon authorization by the CITY, FNI shall proceed with performance of
professional services, to submit fmal design package within 540 calendar days after date of authorization. The
approval periods for BNSF Railroad crossing and USACE Permitting approvals and permitting are not
included.
If FNI's services are delayed through no fault of FNI, FNI shall be entitled to adjust contract schedule
consistent with the number of days of delay. These delays may include but are not limited to delays in CITY or
regulatory reviews, delays on the flow of information to be provided to FNI, governmental approvals, etc.
ARTICLE IV
RESPONSIBILITIES OF CITY: CITY shall perform the following in a timely manner so as not to delay the
services of FNI:
A. Designate a person to act as CITY's representative with respect to the services to be rendered. Such
person shall have contract authority to transmit instructions, receive information, interpret and define
CITY's policies and decisions with respect to FNI's services for the Project.
B. Provide all criteria and full information as to CITY's requirements for the Project, including design
objectives and constraints, space, capacity and performance requirements, flexibility and

expandability, and any budgetary limitations; and furnish copies of all design and construction
standards which CITY will require to be included in the drawings and specifications.
C. Assist FNI by placing at FNI's disposal all available information pertinent to the Project including
previous reports and any other data relative to design or construction of the Project.
D. Arrange for access to and make all provisions for FNI to enter upon public and private property as
required for FNI to perform services.
E. Give prompt written notice to FNI whenever CITY observes or otherwise becomes aware of any
development that affects the scope or timing of FNI's services, or any defect or nonconformance of the
work of any Contractor.

C. COMPENSATION TERMS
1. "Sub -Consultant Expense" is defined as the expense that is incurred by FNI in employment of others
in outside firms for services such as geotechnical services, surveying, and similar services that are not
included in the Basic Services or design services not performed by FNI.
2. "Direct Non -Labor Expense" is defined as that expense for any assignment incurred by FNI for
supplies, transportation and equipment, travel, communications, subsistence and lodging away from
home and similar incidentals in connection with that assignment.
D. BASIC SERVICES:
1. Upon authorization from the CITY, FNI shall proceed with the services outlined in each phase of the
Project. For the purposes of preparing monthly statements, FNI shall submit to the CITY payment
requests in proportion to that part of the service which has been accomplished as evidenced by
monthly statements. Final payment shall be due upon the completion of defined services.
2. If other Additional Services are required and authorized by the CITY, FNI shall be compensated as

Dear Mr. Bavarian:
We are pleased to present this proposal to perform a geotechnical evaluation for the subject project.
This proposal is based on the information that we received from your office.
SITE AND PROJECT DESCRIPTION
We understand the City of Pearland plans to expand Bailey Road from two to four lanes between
Veterans Drive and approximately 600 feet west of State Highway (SH) 35 (South Main Street).
The planned construction consists of two additional lanes to the south of the existing roadway, a
new bridge over the Burlington Northem & Santa Fe Railroad (BNSF), retaining walls, culverts, and
storm sewers. The new roadway and bridge will be designed in general accordance with TxDOT
Houston District guidelines.
The bridge will be approximately 900 feet long with 23% feet of clearance above the railroad. We
understand that the embankments for the proposed bridge approaches have previously been
constructed. Retaining walls will be up to about 5 feet in height.
The project is also proposed to include rerouting about 2,000 feet of Cowart's Creek to two parallel
8-foot by 5-foot reinforced concrete box (RCB) culverts to the south of the new roadway. A storm
sewer is also planned on the east side of the BNSF.

SCOPE OF SERVICES
• Review readily available published and in-house geotechnical literature of the site and the
general site area including geologic maps.
• Perform a reconnaissance of the project site and mark out proposed boring locations. We will
also contact Texas811 prior to exploration.
• Drill, log, and sample 11 exploratory borings to depths of 20 to 95 feet below the ground surface
(bgs). The purpose and planned drilling depth for each boring are summarized in the following
table.

• We will collect geotechnical soil samples continuously to a depth of 10 feet and at 5-foot
intervals thereafter. Samples will be taken using conventional split -spoon and/or thin -wall tube
sampling techniques for laboratory testing and analysis. We will also perform Texas Cone
Penetration (TCP) tests at 5-foot intervals in general accordance with TxDOT guidelines.
• Perform laboratory testing that will generally consist of moisture content, No. 200 Wash,
Atterberg limits, strength tests, California Bearing Ratio (CBR), sulfate and chloride content,
and corrosivity testing.
• Prepare a geotechnical report to include logs of the exploratory borings and results of the
laboratory testing. The report will include a cover letter sealed by a Professional Engineer
licensed in the State of Texas. The preliminary report will include the following:
o Description of work scope, laboratory, and field procedures;
o Maps and boring plans;
o WinCore boring logs and laboratory test results;
o Subsurface soil and groundwater conditions;
o Earthwork considerations;
o Excavation characteristics of onsite soils;
o Potential for re -use of onsite soils;
o Expansive soil -related movements using an empirical method for predicting Potential
Vertical Rise (PVR) developed by TxDOT;

o Subgrade preparation measures;
o Bridge foundation recommendations, including axial capacity curves (using WinCore),
estimated settlements, and parameters for an L-Pile analysis;
o Retaining wall recommendations for allowable bearing pressures and lateral earth
pressures; and
o Concrete pavement recommendations.
ASSUMPTIONS
• The exterior boring locations are accessible to all -terrain vehicle (ATV) -mounted drilling
equipment and site access will be granted.
• Fieldwork can be accomplished during normal business hours (Monday through Friday,
8:OOAM to 5:OOPM).
• Traffic control will not be needed.
• The boreholes can be backfilled with soil cuttings from the drilling operations.
• Some ground disturbance should be expected as a result of our fieldwork.
• Ninyo & Moore will contact Texas811 prior to performing our subsurface evaluation. We will not
be responsible for damage to utilities encountered during subsurface exploration that have not
been marked out or shown on the plans.
• Ninyo & Moore will not need to obtain any permits or environmental clearance as a part of this
project, including permits from the BNSF.
• Our field exploration does not include any sampling, testing, or chemical analysis of soil,
groundwater, surface water, or other materials for the purpose of evaluating possible
environmental hazards or risks. These services can be provided, if requested, as an additional
scope of work.
SCHEDULE
We are prepared to initiate this project immediately upon receiving your authorization to proceed.
Assuming that there are no delays due to inclement weather or site access restrictions, we
anticipate that our fieldwork will be performed within about two weeks after receipt of the notice to
proceed. We anticipate issuing a report within about six weeks after fieldwork is completed.
FEE
We propose to provide our services for a lump sum fee of $39,600 (Thirty -Nine Thousand Six
Hundred Dollars). Any additional services, not included in the aforementioned scope, will be
charged on a time -and -materials basis in accordance with our current Schedule of Fees.

SCOPE OF SERVICES
Project Description
Located in City of Pearland, Texas, the proposed project is comprised of widening of
approximately 1.2-mile section of Bailey Road from Veterans Drive to SH-35. GC Engineering,
Inc. (GCE) proposes to perform a drainage study for the project area west of the BNSF Railroad.
In addition, GCE will provide engineering services including traffic signal analysis/modification
for the existing signalized intersection at Veterans Drive. GCE's services will include; drainage
impact analysis, preparation of drainage report, and traffic signal analysis and design.
The existing Bailey Road within project limits is consisted of approximately 24 feet wide
concrete pavement. The proposed project includes construction of two new eastbound lanes
consisting of concrete curb and gutter pavement section south of the existing pavement, a storm
sewer conveyance system, and traffic signal modification at Veterans Drive intersection.
BASIC SERVICES: GCE will render the following professional services consistent with the
City of Pearland (The City) and Brazoria Drainage District No. 4 (BDD4) requirements.
TASK 1.0 DRAINAGE IMPACT ANALYSIS
1.1 Data Collection
GCE will obtain available information for the project area including:
• Available drainage studies, reports, and models.
• Available as -built plans, utility plans, and engineering reports for the project area
including the utility plans.
• A site reconnaissance to inventory the existing conditions including visible utilities,
driveways, drainage features, visible obstructions, etc. within the project corridor.
• Latest topographic and aerial mapping for the project area.
• Latest design plans for the Bailey Road Project (Veterans Drive to BNSF Railroad)
from FNI.
• Latest hydrologic and hydraulic models for Cowart Creek.
• Latest drainage design for the Bailey Road Project (Veterans Drive to BNSF
Railroad) from FNI.

1.2 Hydraulic Impact Analysis
It is understood that the storm drainage system for the ultimate Bailey Road Section which
consists of 4-lane divided roadway was previously designed for the 10-year storm event by
others. In addition, it is understood that the approximately 95-acre existing detention pond
located south west of Bailey Road and Wells Road would cater for the proposed project.
The purpose of the Hydrologic and Hydraulic (H&H) study is to determine the existing H&H
conditions, to perform a drainage impact analysis for the proposed improvements based on the
current conditions and the design criteria, and to size the stormwater conveyance system to the
outfall location near Wells Road intersection.
H&H Study will include the following:
Hydraulic Impact Analysis utilizing the FEMA effective model (latest update) for the Cowart
Creek watershed. Hydraulic Analysis shall be performed to evaluate the impacts and to
determine storm water detention requirements for the proposed project.
The following is the brief summary of the Hydraulic Impact Study:
i. Obtain HEC-HMS and HEC-RAS hydraulic models for Cowart Creek watershed.
ii. Incorporate available topographic surveys including stream sections to be performed
under this project in the HEC-RAS model.
iii. Update HEC-HMS model to mimic existing conditions.
iv. Use HEC-RAS and HEC-HMS from Section ii and iii above and develop a pre -
project condition HEC models.
v. Develop post project HEC-RAS and HEC-HMS models by incorporating the
proposed improvements.
vi. Update the mitigation models utilizing approximately 95-acre storm water detention
pond to achieve "zero impact" to Cowart Creek.
vii. Size the storm sewer conveyance system to convey the design flood.
1.3 Drainage Report Preparation
Based on the preliminary H&H analysis performed, a drainage report will be prepared. The
report will include the following:
• Existing Conditions including the findings from field reconnaissance and data search.
• Existing and Proposed Hydrology and Hydraulics.
• Determination of Impacts and mitigation.
• Proposed Floodplain Fill Mitigation and Storm Water Management Measures, and
• Conclusions and Recommendations.

Preliminary Drainage Report will be submitted to BDD4 and the City for review and approval.
Drainage design will be performed in accordance with the City and BDD4 requirements.
Once the review comments are provided by the City and BDD4, GCE will address the comments
and prepare Final Drainage Report. Final Drainage Report will be submitted to BDD4 and the
City for review and approval.
Upon receipt of the review comments by the City and BDD4, GCE will address the comments
and prepare and submit the Revised Final Drainage Report.
TASK 2.0 TRAFFIC SIGNAL ANALYSIS
The proposed work related to the existing traffic signal at Veterans Drive intersection includes
the following:
• Review the existing traffic data for the project area.
• Review existing lane assignments and signal phasing.
• Perform Synchro Analysis to determine the best signal phasing for Level of Service
(LOS) C.
• Prepare signal modification plans and submit 30%, 60%, 90% and 100% completion
levels.
ASSUMPTIONS:
The proposal presented is based on the following assumptions:
1. Surveying, environmental, and geotechnical services for the project will be performed
by subconsultants under separate contracts with FNI.
2. The latest HEC-RAS and HEC-HMS models are available for use for the H&H
Analysis.
PROJECT SCHEDULE
A project schedule including the milestones will be determined based on the discussions with the
City and FNI.
PROJECT COST
The work described in the above scope tasks will be performed on a cost plus basis with a not -to -
exceed cost of $67,315. The summary of cost breakdown is given below:
