A Resolution of the City Council of the City of Pearland, Texas, authorizing a
contract with Cobb Fendley Associates, Inc. for design services, associated
with the Willowcrest Subdivision Drainage Improvement Project, in the
estimated amount of$1,151,953.00.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract for design services associated with the Willowcrest
Subdivision Drainage Improvement Project, a copy of which is attached hereto as Exhibit "A" and
made a part hereof for all purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute and
the City Secretary to attest a contract for design services associated with the Willowcrest
Subdivision Drainage Improvement Project.

CONTRACT FOR PROFESSIONAL SERVICES
THIS CONTRACT is entered into upon final execution by and between the City of Pearland
("CITY")and Cobb, Fendley& Associates, Inc. ("CONSULTANT").
The CITY engages the CONSULTANT to perform professional services for a project known and
described as Willowcrest Subdivision Drainage Improvements & Willowcrest Subdivision
Sanitary Sewer("PROJECT"). (Project# DRI 903 & W W1905)
SECTION I -SERVICES OF THE CONSULTANT
The CONSULTANT shall perform the following professional services to CITY standards and in
accordance with the degree of care and skill that a professional in Texas would exercise under the
same or similar circumstances:
A. The CONSULTANT shall perform engineering services. See Exhibit A,attached,
for a detailed SCOPE OF WORK and PROJECT schedule.The PROJECT schedule
shall be submitted in digital and hard copy form in the Microsoft Project for
Windows format.
B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost
of the PROJECT.
C. The CONSULTANT acknowledges that the CITY (through its employee
handbook)considers the following to be misconduct that is grounds for termination
of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving
payment for services not performed or for hours not worked, mishandling or
untruthful reporting of money transactions, destruction of assets, embezzlement,
accepting materials of value from vendors, or consultants, and/or collecting
reimbursement of expenses made for the benefit of the CITY. The CONSULTANT
agrees that it will not,directly or indirectly;encourage a CITY employee to engage
in such misconduct.
D. The CONSULTANT shall submit all final construction documents in both hard
copy and electronic format. Plans shall be AutoCAD compatible and all other
documents shall be Microsoft Office compatible. The software version used shall
be compatible to current CITY standards. Other support documents, for example,
structural calculations, drainage reports and geotechnical reports, shall be
submitted in hard copy only. All Record Drawings electronic tiles shall be
submitted to the CITY in TIF format.
E. The CONSULTANT recognizes that all drawings, special provisions, field survey
notes,reports,estimates and any and all other documents or work product generated
by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon
request, shall become subject to the Open Records Laws of this State.
F. The CONSULTANT shall procure and maintain for the duration of this Agreement.
insurance against claims for injuries to persons, damages to property,or any errors

and omissions relating to the performance of any work by the CONSULTANT, its
agents,employees or subcontractors under this Agreement,as follows:
(I) Workers' Compensation as required by law.
(2) Professional Liability Insurance in an amount not less than $1.000.000 in
the aggregate.
(3) Comprehensive General Liability and Property Damage Insurance with
minimum limits of $1,000.000 for injury or death of any one person.
$1,000,000 for each occurrence, and $1,000.000 for each occurrence of
damage to or destruction of property.
(4) Comprehensive Automobile and Truck Liability Insurance covering owned.
hired, and non-owned vehicles, with minimum limits of $1,000,000 for
injury or death of any one person, $1,000,000 for each occurrence, and
$1,000.000 for property damage.
The CONSULTANT shall include the CITY as an additional insured under the
policies, with the exception of the Professional Liability Insurance and Workers'
Compensation. The CONSULTANT shall agree to waive its Right to Subrogation.
Certificates of Insurance and endorsements shall be furnished to the CITY before
work commences. Each insurance policy shall be endorsed to state that coverage
shall not be suspended, voided, canceled, and/or reduced in coverage or in limits
("Change in Coverage") except with prior written consent of'the CITY and only
after the CITY has been provided with written notice of such Change in Coverage,
such notice to be sent to the CITY either by hand delivery to the City Manager or
by certified mail, return receipt requested, and received by the City no fewer than
thirty (30) days prior to the effective date of such Change in Coverage. Prior to
commencing services under this CONTRACT,CONSULTANT shall furnish CITY
with Certificates of Insurance, or formal endorsements as required by this
CONTRACT, issued by CONSULTANT'S insurer(s), as evidence that policies
providing the required coverage, conditions, and limits required by this
CONTRACT are in full force and effect.
G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and
employees,harmless from any claim, loss,damage,suit,and liability of every kind
for which CONSULTANT is legally liable, including all expenses of litigation.
court costs. and attorney's fees, for injury to or death of'any person, for damage to
any property, or errors in design, any of which arc caused by the negligent act or
omission of the CONSULTANT,his officers,employees,agents.or subcontractors
under this CONTRACT.
H. All parties intend that the CONSULTANT. in performing services pursuant to this
CONTRACT, shall act as an independent contractor and shall have control of its
own work and the manner in which it is performed. The CONSULTANT is not to
be considered an agent or employee of the CITY.

SECTION 11 -PERIOD OF SERVICE
This CONTRACT will be binding upon execution and end May 31, 2022.
SECTION III -CONSULTANT'S COMPENSATION
A. The total compensation for the services performed shall not exceed the total noted
in Section B.
B. The CITY shall pay the CONSULTAN I. in installments based upon monthly
progress reports and detailed invoices submitted by the CONSULTANT based
upon the following:
Drainage:
1. Basic Services(Lump Sum) $688,421.00
2. Additional Services shall require independent and specific authorization
and shall be billed as(Not to Exceed): $218,572.00
3. Bid Phase Services(Hourly Not to Exceed) $3,160.00
4. Construction Phase Services(Hourly Not to Exceed) $53.750.00
5. Reimbursable Expenses(Not to Exceed) $2,700.00
6. Total: $966.603.00
Sanitary Sewer:
I. Basic Services(Lump Sum) $95,039.00
2. Additional Services shall require independent and specific authorization and
shall be billed as(Not to Exceed): $30,701.00
3. Bid Phase Services(Hourly Not to Exceed) $3,160.00
4. Construction Phase Services(Hourly Not to Exceed) $53,750.00
5. Reimbursable 1:xpenses(Not to Exceed) $2,700.00
6. Total: $185,350.00
C. The CITY shall make payments to the CONSULTANT within thirty(30)days after
receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly
basis.

D. CONSULTANT shall invoice for work performed during the preceding thirty day
period("Billing Period"). The Billing Period shall run from the 26th day to the 25'h
day of each consecutive month. Invoices shall be submitted to CITY not more
frequently than once every 30 days. CONSULTANT shall be responsible for
timely submittal of all invoices and CONSULTANT shall not be entitled to
payment for invoices in arrears. All invoices shall reflect most recent single Billing
Period only and represent the true,correct and accurate account of work performed
during the Billing Period.
E. For an agreed contract amount identified as "Lump Sum". Not to Exceed" and
"Reimbursable"the CONSULTANT shall not exceed the fixed contractual amount
without written authorization in the form of a Contract Amendment.
CONSULTANT shall provide 45 days prior notice to the CITY in the event contract
fees may exceed the fixed contract amount. CONSULTANT shall be responsible
for ensuring that such authorization is complete and executed by all parties
performing any work or submitting any invoices for work that exceeds the fixed
contract amount under any expense category.
F. Allowable Reimbursable Expenses
CONSULTANT shall identify and include in the proposal any anticipated
Reimbursable Expenses, and shall itemize Reimbursable Expenses by work
category. Reimbursable Expenses shall be invoiced AT COST without subsequent
markup by the CONSULTANT. All invoices containing a request for
Reimbursable Expenses shall include copies of the original expense receipts
itemized per the allowable category. Allowable Reimbursable Expenses include:
• Hard copy reproductions,copies and/or binding costs
• Postage
• Mileage, for travel from Consultant's local office(within a 25 mile radius)
to meetings at the City or job-site. Mileage shall be charged at the current
IRS rates.
• Travel expenses. mileage from local office to State or federal regulatory
agency office beyond 100 miles.
• Lodging expenses, for destinations beyond 100 miles from the Consultant's
local office AND when business hours exceed eight hours within one
business day OR requires more than one eight hour day.
F.2. Disallowed Expenses
Disallowed Expenses include travel expenses for professional expertise traveling
into the greater Houston area from Consultant offices outside of the greater I louston
area.

SECTION IV-THE CITY'S RESPONSIBILITIES
A. The CITY shall designate a project manager during the term of this CONTRACT.
The project manager has the authority to administer this CONTRACT and shall
monitor compliance with all terms and conditions stated herein. All requests for
information from or a decision by the CITY on any aspect of the work shall be
directed to the project manager.
B. The CITY shall review submittals by the CONSULTANT and provide prompt
response to questions and rendering of decisions pertaining thereto, to minimize
delay in the progress of the CONSULTANTS work. The CITY will keep the
CONSULTANT advised concerning the progress of the CITY'S review of the
work. The CONSULTANT agrees that the CITY'S inspection, review,acceptance
or approval of CONSULTANT'S work shall not relieve CONSULTANT'S
responsibility for errors or omissions of the CONSULTANT or its sub-
consultant(s)or in any way affect the CONSULTANT'S status as an independent
contractor of the CITY.
SECTION V-TERMINATION
A. The CITY,at its sole discretion,may terminate this CONTRACT for any reason --
with or without cause--by delivering written notice to CONSULTANT personally
or by certified mail at 13430 Northwest Freeway, Suite 1100, Houston,TX 77040.
Immediately after receiving such written notice, the CONSULTANT shall
discontinue providing the services under this CONTRACT.
B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all
drawings, special provisions, field survey notes,reports,estimates and any and all
other documents or work product generated by the CONSULTANT under the
CONTRACT, entirely or partially completed, together with all unused materials
supplied by the CITY on or before the I5`h day following termination of the
CONTRACT.
C. In the event of such termination, the CONSULTANT shall be paid for services
performed prior to receipt of the written notice of termination. The CITY shall
make final payment within sixty(60)days after the CONSULTANT has delivered
to the CITY a detailed invoice for services rendered and the documents or work
product generated by the CONSULTANT under the CONTRACT.
U. If the remuneration scheduled under this contract is based upon a fixed fee or
definitely ascertainable sum,the portion of such sum payable shall be proportionate
to the percentage of services completed by the CONSULTANT based upon the
scope of work.
E. In the event this CONTRACT is terminated. the CITY shall have the option of
completing the work, or entering into a CONTRACT with another party for the
completion of the work.

F. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT
breaches any provision of this CONTRACT, then the CITY shall have all rights
and remedies in law and/or equity against CONSULTANT. Venue for any action
or dispute arising out of or relating to this CONTRACT shall be in Brazoria County,
Texas. The laws of the State of Texas shall govern the terms of this CONTRACT.
The prevailing party in the action shall be entitled to recover its actual damages
with interest, attorney's fees, costs and expenses incurred in connection with the
dispute and/or action. CONSULTANT and CITY desire an expeditious means to
resolve any disputes that may arise between under this CONTRACT. To
accomplish this,the parties agree to mediation as follows: If a dispute arises out of
or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be
settled through negotiation, then the parties agree first to try in good faith, and
before pursuing any legal remedies, to settle the dispute by mediation of a third
party who will be selected by agreement of the parties.
SECTION VI—ENTIRE AGREEMENT
This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and
supersedes all prior negotiations, representations, or contracts, either written or oral. This
CONTRACT may be amended only by written instrument signed by both parties.
SECTION VII—COVENANT AGAINST CONTINGENT FEES
The CONSULTANT affirms that he has not employed or retained any company or person, other
than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT,
and that he has not paid or agreed to pay any company or person,other than a bona fide employee,
any fee,commission, percentage brokerage fee, gift, or any other consideration, contingent upon
or resulting from the award or making of the CONTRACT. For breach or violation of this clause,
the CITY may terminate this CONTRACT without liability,and in its discretion.may deduct from
the CONTRACT price or consideration, or otherwise recover, the full amount of such fee,
commission,percentage brokerage fee, gift,or contingent fee that has been paid.
SECTION VIII-SUCCESSORS AND ASSIGNS
This CONTRACT shall not be assignable except upon the written consent of the parties hereto.

SCOPE OF SERVICES & COMPENSATION

Proposal for Professional Engineering Services for
Willowcrest Drainage and Paving Improvements
Project Limits and Background
The project area is bounded by Woody Road on the west, Cherry Street on the south,
Mykawa Road on the east and W Orange Street on the north and is comprised of single-
family homes with concrete sidewalks and a concrete curb and gutter street and storm
sewer system. Portions of the drainage system along the outer edges of the study are
comprised of a combination of storm sewers and roadside ditches.
The project scope includes drainage improvements, street replacement, regrading,
sidewalks, and gravity sanitary rehabilitation on backlot lines, as identified in the
CobbFendley report dated May 06, 2019. Waterlines are not included for replacement
however waterline offsets and relocations will be required. Note that these
recommendations did not include replacing all streets within the subdivision. Additional
pavement replacement may be identified and added during the preliminary phase as the
project budget is refined.

General
Cobb, Fendley & Associates, Inc. (CobbFendley) will perform professional engineering
services as follows: provide topographic survey, drainage study, drainage design,
geotechnical engineering, civil design drawings for construction and construction
administration phase services
Sub Consultants
CobbFendley shall subcontract the geotechnical investigation and any other services not
specifically offered by CobbFendley to perform the tasks described in this scope of
service. Below is a list of the consultants that we anticipate on using for this project:
• Geotechnical Investigation — Raba Kistner, Inc.
• Environmental — Raba Kistner, Inc.
• Sanitary Sewer CCTV—AIMS Companies.
Construction Estimate
The preliminary Opinion of Probable Construction Cost for this project are attached as
Figure B.
BASIC SERVICES
CobbFendley will provide the following engineering services as part of its basic service.

30% Design and Drainage Analysis Basic Services:
1. Coordination, data collection and review
a. Attend Design Kick-off meeting with City to review City's objectives
i. Refine, define, and agree on project scope and limits
b. Review adjacent projects, current and future, to identify any interplay or
impact to or from subject project.
i. Identify any requirements stemming from this relationship if it exists
c. Identify existing data sources and resources currently held by the City and
make arrangements to obtain this information
d. Identify any gaps in this data and make arrangements to supplement
through other sources, specifically:
i. Surveys
ii. Geotechnical
iii. Environmental
e. Perform preliminary site visits
2. Drainage analysis as part of the 30% design phase
a. Develop overall drainage area(s)for the study and provide exhibits
b. Develop sub-drainage areas including
c. Develop the 1 percent (100 yr) and the 33 percent (3 yr) exceedance
probabilities for the drainage areas
d. Calculate the percent impervious/discharge coefficients
e. Calculate time of concentrations
f. Develop flow rates for each system within the study area
Note, In the event that alternatives related to this drainage design occur as a result
of adjacent project(s) interplay, there are tasks located in additional services that
could be scoped specifically and authorized separately.
3. Cherry Street Impact Analysis (including ARKK provided flows)
a. Perform a drainage impact analysis for areas contributing flow to the Cherry
Street combination roadside ditch and storm sewer system prior to
outfalling into the proposed Mykawa Road storm sewer trunk (dual 10'x 4'
RCBs). An existing analysis will be performed to verify present day
condition land use and topography utilizing 2001, 2008 and 2018 LiDAR
data and available aerial imagery. Hydrologic runoff rates will be
calculated for the 3-, 10-, and 100-year rainfall events utilizing Hydro-35/
TP-40 rainfall runoff coefficients. The previously calculated proposed
storm sewer sizes (from Willowcrest and Mimosa Acres) will be verified to
ensure storm sewers have adequate capacity to convey 3-year flow
utilizing static hydraulic calculations. An additional analysis will be
performed to ensure runoff from the 100-year rainfall event can be
conveyed to a point in which water surface elevations (WSEs) are
contained within the ROW. If it is cost prohibitive to contain WSEs within
the ROW, the proposed 100-yr design will ensure homes in the
Willowcrest and Mimosa Acres are not inundated during the design
extreme event (24-hour, 100-year storm). Upon completion of the
proposed design, a comparison will be performed between existing and
proposed condition flows to identify areas in which

impacts may occur as a result of the proposed improvements. Alternatives
(up to 3)will be created to provide mitigation for increases in flow or WSEs.
4. Determine storm sewer pipe sizes, inlet sizes, develop flow line elevations,
tailwater elevations and preliminary HGL's.
5. Perform the utility and investigation work involving the research and identification
of all private and public utilities within the project limits.
a. Research the existence of public utilities such as sanitary, storm sewer and
waterlines.
b. Request any additional information from private utilities (CenterPoint Gas,
CenterPoint Electric, AT&T and Others) and pipeline.
c. Identify potential conflicts between the existing utilities and the proposed
project improvements.
d. Coordinate with Utility Company's on plans for relocations and provide
updated project design information.
6. Perform topographic survey of all streets within the project limits (to be authorized
as an additional services task).
7. Perform drone photography of backlot lines for the purposes of sanitary sewer
rehabilitation. Door hangers or home specific notification are not included in this
scope. It is anticipated that the City will assist with neighborhood mass
notifications. (to be authorized separately as an additional services task).
8. Perform internal television inspection of the sanitary sewers within the project
limits. This will be performed in accordance with City Specification. This will be
performed by ATMs for$1.90/LF. An approximately length is provided in the scope
as 14,479 LF but will be billed as actual length as measured by the camera. (to be
authorized separately as an additional services task)
9. Prepare cover sheet, legend and P&P key notes.
10. Prepare project layouts of existing and proposed, storm sewers, street pavement
reconstruction, sanitary sewers, and existing waterlines.
11. Prepare 30% plans consisting of plan & profile, specifications and topographic
survey with abstracted parcel data.
12. Prepare preliminary opinion of construction cost with a 15% contingency.
Final Design:
1. Coordinate with external regulatory agencies and identify and incorporate changes
from Mykawa or the Mimosa Acres projects.
2. Incorporate review comments and revisions into preparation of 60% plans
including, but not limited to:

a. Calculate hydraulic grade lines within the system for the 3 year event(33%)
and design for the 100 yr(1%) event with overland flow
b. Prepare trunk and branch line system plan and profiles for pipe and
associated ditches. Finalize storm sewer design based on preliminary
engineering comments.
3. Review sanitary sewer internal television inspection in accordance with national
standards and make recommendations for rehabilitation. Submit preliminary
recommendations to PWD for review and comment.
4. CobbFendley will provide typical sections sheets prepared for the existing and
proposed roadway. Typical section information will include:
a. Station Limits
b. Profile Grade Line Location
c. Centerline and Baseline Locations
d. Pavement Section
e. Pavement Cross Slopes
f. Curbs
g. Sidewalks
h. Green Space (Mow Strips)
5. Identify utility conflicts with private and other public utilities, submit plans to all
affected entities and organize and chair a Utility Relocation Conference to
coordinate relocation schedule and efforts.
6. CobbFendley will provide roadway plan and profile drawings using CADD
standards as required by the City. The drawings will consist of a plan and profile
view of existing features and proposed improvements.
Plan view will include:
a. Roadway centerlines and baselines
b. Pavement edges for all improvements
c. Lane and pavement width dimensions
d. 5-ft wide sidewalks (both sides)
e. Proposed structure locations
f. Existing utilities and structures
g. Benchmark information
h. Radius callouts
Curb locations
j. Pavement Details
Profile view will include:
a. Existing and proposed profiles along the proposed centerline
Existing and Proposed Grade Lines for pavement and natural
ground along the project centerline.
Notes: Storm Sewer Plan and Profiles and Roadway Plan and Profiles will be

9. CobbFendley will prepare Storm Water Pollution Prevention Plan (SW3P) sheets
and details based on the latest NPDES, and City standards to minimize the
potential impact to receiving waterways. The SW3P sheets will include:
a. Erosion control measures to be used
b. Locations of erosion control devices
c. Phasing of erosion control measures
d. Permanent erosion control measures
e. Erosion control measure detail sheet(s)
10. CobbFendley will prepare Traffic Control Plan (TCP)sheets in accordance with the
Texas Manual on Uniform Traffic Control Devices (TMUTCD) for Streets and
Highways (latest edition). Plans sheets will include the following:
a. Written narrative of the construction sequencing and work activities per
phase.
b. Existing and proposed traffic control devices (regulatory signs, warning
signs, guide signs, route markers, construction pavement markings,
barricades, flag personnel, temporary traffic signals, etc.) to be used to
handle traffic during each construction sequence.
c. Typical sections for each phase
d. Proposed traffic control devices at grade intersections during each
construction phase (stop signs, flagperson, signals, etc.).
e. Temporary roadways, structures and detours required to maintain lane
continuity throughout the construction phasing.
f. Continuous, safe access to each adjacent property during all phases of
construction and to preserve existing access.
g. Temporary drainage to replace existing drainage disturbed by construction
activities or to drain detour pavement.
h. Interim signing for every phase of construction. Interim signing must
include regulatory, warning, construction, route, and guide signs.

i. Maintain continuous access to abutting properties during all phases of the
TCP.
11. CobbFendley will provide construction document deliverables based on the
milestone submittals below:

12. Fully develop engineer's construction cost estimate for each item of work including

14. Once all comments are received by all entities involved, CobbFendley will finalize
the construction documents for bidding.
Bid Phase Services:
1. Provide Notice to Bidders (NTB) to the Project Manager in an electronic form
appropriate for the City's e-bid system format. City is responsible for advertising.
2. Reproduce and disseminate bid sets to Dodge, AGC, ABC, Amtek and (2)two sets
to the City [PM (1), Purchasing (1) and interested bidders
3. Distribute(including the sale of) plans to interested bidders
a. Keep record of plan holder's list
4. Chair pre-bid meeting and attend the Bid Opening
5. Respond in writing to questions from bidders and prepare addenda as necessary.

7. Prepare Engineer's Recommendation of Award Letter that includes the following

d. Review of contractor's financial standing and references provided
e. Explanation of discrepancies between the Engineer's estimate and bids

8. Attend City Council meeting and recommendation for award of Contract for
Construction.
9. Produce and transmit to selected contractor five (5) sets of project manuals ready
for execution with City's Notice of Intent to Award (N01)
*This is the use of bid strategies to attain lowest possible prices for work, use of
alternatives, etc.
Construction Phase Services:
1. Construction Administration
a. Attend pre-construction meeting to provide information & answer
questions
b. Attend monthly progress meetings with Construction Manager, Contractor
& City of Pearland as needed
c. Review/approve & comment on Contractor's submittals, RFIs, Contractor
Proposals, Request for Change Orders
d. (RCO) including coordination with Construction Manager on Proposals &
Change Orders using the City of Pearland's Pro-Trak system.
e. Provide interpretive guidance for Contractor, Construction Manager in
resolution of problems
f. Conduct Substantial Completion Inspection with CM or PM to:
g. review progress of work for Substantial Completion walk through
h. generate a punch list of items for correction
i. substantiate items that are completed
j. issue both Certificate of Substantial Completion (signed/sealed from
Design Engineer) & Final Acceptance or 2nd walk through.
ADDITONAL SERVICES
Surveying
CobbFendley, as the project surveyor shall:
1. Establish horizontal and vertical project control throughout the site. Vertical
control will be tied to current TSARP datum.

2. Perform a Category 6, Condition II topographical survey of the project area in
accordance with the requirements of the Texas Society of Professional
Surveyors to locate existing utilities, appurtenances and pavement providing
cross sections of the following existing features: natural ground, concrete curbs
and pavement. Elevations will be obtained at a maximum of 50-ft intervals, right-
of-way to right-of-way, plus 10 feet on each side.
3. Prepare a survey drawing on a plan style sheet at a scale of 1"=20' horizontally
or at the direction of the engineer. The drawing will depict the obtained field
information and any record information provided by outside sources.
Geotechnical Investigation
1. The geotechnical investigation will be performed by Raba Kistner in accordance
with the attached proposal. A geotechnical report will include geotechnical
engineering recommendations on subgrade preparation, pavement design for
concrete streets and storm sewer construction considerations.
TDLR Sidewalk Review
1. Perform design and post-construction review of sidewalk in accordance with TAS
requirements. Notify the contractor of any ADA compliancy deficiencies.
Exclusions for the Scope of Services:
The services described above are the identified BASIC AND ADDITIONAL SERVICES
for this assignment. Other items that may arise during the course of the project that the
City may wish to add to the scope of services shall be deemed as SUPPLEMENTAL
ADDITIONAL SERVICES. CobbFendley shall undertake such supplemental additional
services as assigned by the City upon written direction from the City. Examples of such
items are as follows:
1. Quality Control (QC) inspections, full or part time, during the construction phase
of the project.
2. Preparing Construction Pay Estimates
3. Materials Testing Services
4. Public Meetings
5. Obtaining Construction Permits
6. Right-of-way Acquisition
7. Bidding project more than once
8. Urban Forestry Services —Tree Preservation Plan
9. Any other services not specifically included within the description of the Basic
Services and Additional Services as described above.
If supplemental services are requested by the City, CobbFendley will provide the City
with a separate proposal for the supplemental work.

ADDITIONAL SERVICES
The Compensation to be paid to CobbFendley for providing any ADDITIONAL SERVICES
under this agreement shall be based on the rate schedule included in the Agreement.
Reimbursable items and subconsultant invoices will be subject to a 8% administration
charge. Services will be charged according to those personnel directly involved in
providing the service and will be rounded to the nearest half hour.
Lump sum fees will be negotiated for particular, defined assignments at the request of
the City. When an occasion arises which the City desires to be covered by a lump sum
fee, CobbFendley will negotiate an acceptable fee with the City and prepare an
addendum to this Agreement which describes the scope of services to be provided and
the fee. The addendum will be effective only after its signature by both parties.
Direct Personnel Expense means salaries and wages paid to CobbFendley's employees
plus payroll related costs and benefits such as payroll taxes, worker's compensation,
health and retirement benefits, bonuses, sick leave, vacation, and holiday pay applicable
hereto. Reimbursable Direct Expenses shall be those costs incurred on or directly for the
CLIENT'S project, including but not limited to necessary transportation costs including
mileage at the current IRS rate, meals and lodging, laboratory tests and analyses, and
printing and binding charges.

Raba Kistner Consultants, Inc. (RKCI) is thankful for having been selected as a member of the project's
design team to provide Geotechnical Engineering Services to Cobb Fendley& Associates, Inc., (CLIENT) for
the above-referenced project. As such, RKCI is pleased to submit this proposal to CLIENT for the services
described herein. The broad objectives of our study will be to explore subsurface conditions within the
limits of the subject project and to provide recommendations for design and construction of new concrete
pavement and underground storm sewer lines.
Project Description
The project consists of engineering design and construction for the installation of a storm sewer lines and
new concrete pavements within various street alignments in the Willowcrest Subdivision. The subdivision
is located in Pearland City, Texas. Imagery provided by Google Street View indicates the existing
pavement appears to be concrete and asphalt. The proposed improvements include:
• Street Paving as necessary
• Driveway
• Sidewalk replacement
• Installation of new storm sewer lines
Field Study
For this study,the borings will be spaced at about 500 feet. As such,we propose to drill a total of twenty-
seven (27) soil borings each to depths of 10-12 feet along the project alignment to evaluate subsurface
conditions. A total of 284 vertical feet of drilling is included within the project site. Pavement cores(6-inch
diameter)will be taken at the proposed boring locations of the existing pavement within the project limits
to define the existing pavement structure such as concrete/asphalt, thickness, and base and subbase
characteristics.

Traffic control will be required to safely route traffic around the coring crew and drilling rig during the field
work activities. RKCI will provide certified subcontractor to perform traffic control duties at cost plus
15 percent,which is estimated to be about$2,300 for two days of traffic control.
The field work will be conducted using standard geotechnical drilling and sampling procedures. The
pavement/utility soil borings will be sampled continuously to 10-feet, and at 5-feet intervals thereafter to
scheduled completion depths. Samples will be taken using conventional split-spoon and/or Shelby tube
sampling techniques in general accordance with applicable American Society for Testing and Materials
(ASTM) standards. Representative portions of the samples will be sealed, identified, packaged, and
transported to our laboratory for subsequent testing and classification. Drilling will be performed in
general accordance with the ASTM D 1586 and D 1587 criteria.
Immediately following completion of drilling activities, water level readings, if applicable, will be recorded
for the open boreholes and the boreholes will be backfilled using the auger cuttings generated during the
drilling operations. Please note that twenty-four hour water level readings will not be obtained because
the boreholes are located on the existing asphalt roadway and traffic lanes cannot be closed for that
amount of time. The pavement section will then be plugged and sealed with ready-mix concrete or
patched with cold-mix asphalt and flushed with the adjacent ground/pavement surface elevation.
Laboratory Testing
Upon completion of the subsurface exploration, a general testing program will be designed to define the
moisture condition, classification, strength, and shrink/swell characteristics of the subsurface soil samples.
The laboratory testing program is anticipated to include moisture content determinations, Atterberg
Limits, percent passing No. 200 sieve, grain size analyses, unit dry weights, and shear strength tests
(unconfined compression and unconsolidated undrained). However, the actual type and number of
laboratory tests will be based on the subsurface conditions encountered in the borings. The laboratory
testing will be performed in general accordance with applicable ASTM standards and samples will be kept
for 90 days upon submittal of the final report. For pavement design analysis, the modulus of subgrade
reaction will be assumed based on the laboratory test results performed to determine the classification of
the subgrade soils and estimate their strength characteristics.
Engineering;Analyses and Report
The results of the field and laboratory studies will be reviewed by our staff of engineers and geologists.
The results of our review, together with the supporting field and laboratory data, will be presented in a
draft geotechnical report which will be finalized after we receive CLIENT comments. Both the draft and
final reports will be submitted electronically.
The geotechnical report will include the following information:
• A summary of the field and laboratory sampling and testing program.
• Boring logs and laboratory testing results.

• A review of the general site conditions including a description of each of the
sites, existing pavement section thickness, the subsurface stratigraphy,
groundwater conditions, and the presence and condition of fill materials, if
encountered.
• Trench safety and groundwater control, if applicable.
• Bedding and backfill criteria for utility installation in accordance with City of Pearland criteria.
• Utility excavation retention and groundwater control.
• Pavement subgrade preparation and concrete pavement design in accordance with City
of Pearland guidelines.
Tentative Project Schedule
Based on our present workload and weather permitting, it is anticipated that the field exploration phase of
this study can begin within five working days of receiving written authorization to proceed, provided that
the site is accessible to our truck-mounted drill rigs and the CLIENT has supplied us with all available
information regarding existing utilities and below-grade structures on site (if any). The field exploration
will require five to eight days to complete. Laboratory testing phases of the study are expected to take ten
working days to complete. The engineering report will be submitted within an additional ten working days
following completion of the laboratory testing. The above schedule does not account for delays due to
inclement weather. We will be pleased to provide the design team with verbal design information as the
data becomes available.
Lump Sum Cost
The total lump sum cost for the study outlined herein is $28,600 for geotechnical engineering services in
support of this project. Should unusual subsurface conditions be encountered in the field indicating the
desirability of significantly broadening the scope of study, we will contact you to receive written
authorization before proceeding with any additional work. Additional services will be billed on a unit basis
in accordance with our standard fees as indicated on the attached Schedule of Fees for Professional
Services.
RKCI has been provided with a site plan illustrating the limits of the subject project. Our scope of services
and cost assumes that the boring/core locations will be accessible to truck-mounted drilling rigs and coring
equipment conducting the drilling/coring operations with the vehicles temporarily parked in the driving
lane utilizing standard warning signs,cones,and flagmen to alert the traveling public of work ahead.
Historically, the cost of our field services is about 45 percent of our total fee. These services are
predominantly provided by subcontractors. In order to promptly pay our subcontractors and continue to
be able to respond to your needs, we will send you an interim invoice for 45 percent as soon as the field
exploration phase of our study is complete.
It should also be noted that our study scope (and project cost) do not include plan review or earthwork
and waterline excavation observations during the construction of the project. However, plan review and
construction observation costs should be included in the project budget.

19. DISPUTE RESOLUTION/LITIGATION. All claims, disputes, and
other controversy between RK and CLIENT arising out of or in any
way related to the services provided by RK shall be submitted to
mediation, before and as a condition precedent to other remedies
provided by law. If a dispute at law arises related to these services
and that dispute requires litigation as provided above,the CLIENT
assents to personal jurisdiction in the State of Texas;the claim will
be brought and tried in Bexar County, the county where RK's
principal place of business is located,and CLIENT waives the right
to remove or transfer the action to any other county or jurisdiction.
The prevailing party will be entitled to recovery of all court costs,
attorneys' fees, and other legally recoverable claim-related
expenses. As a condition precedent to mediation of any claim
arising out of the services provided under this Agreement.CLIENT
shall obtain the written opinion from a registered,independent,and
reputable professional engineer that RK has violated the standard
of care applicable to RK's performance of services,in a form that
meets the requirements of Texas Civil Practice&Remedies Code
Chapter 150.
20. TERMINATION OF CONTRACT. CLIENT and RK may terminate
services at any time upon ten(10)calendar days'written notice. In
the event of termination,CLIENT agrees to fully compensate RK for
services performed including reimbursable expenses through the
termination date, as well as reasonable demobilization expenses.
RK will terminate services without waiving any claims or incurring
any liability.
21. STATUTE OF LIMITATIONS. Any applicable statute of limitations
will commence to run and any cause of action shall be deemed to
have accrued not later than the earlier of the following:(1)the date
of the report issued by RK giving nse to the cause of action:(2)the
date on which RK issues its last report under this Agreement:or(3)
if RK is retained to perform construction observation, the date of
substantial completion of the project.
22. FORCE MAJEURE. Neither party shall be liable in damages or
have the right to terminate this Agreement for any delay or default in
performing hereunder if such delay or default is caused by
conditions beyond its control ("Force Majeure")including, but not
limited to Acts of God,Government restrictions(including the denial
or cancellation of any export or other necessary license), wars,
insurrections and/or any other cause beyond the reasonable control
of the party whose performance is affected. Force Majeure may not
be claimed as a cause for delay in payment of money due and
payable hereunder.
23. NO ASSIGNMENT. Neither RK nor CLIENT shall assign,sublet,or
transfer its interest in this Agreement without the express written
consent of the other.
24. SEVERABILITY. Each provision of this Agreement is intended to
be severable. If any terms or provisions of this agreement shall be
held to be invalid, illegal, or unenforceable for any reason
whatsoever,the validity,legality,and enforceability of the remaining
provisions hereof shall remain in full force and effect and shall not in
any way be affected or impaired thereby. Moreover,to the maximum
extent allowed by law,the Parties hereto stipulate that any offending
provisions will be modified or altered, as necessary, so as to give
such provision the maximum permissible effect and application
intended.
25. ENTIRE AGREEMENT. This Agreement,and all of its attachments,
constitutes the entire,integrated Agreement between the Parties to
it, and this Agreement supersedes all other Agreements, oral or
written between the Parties,concerning the subject set forth in this
Agreement. This Agreement may not be amended except in writing,
with that amendment being signed by both Parties.

The specific hourly rate within each classification listed above depends on the experience.

requiring work at any hazardous waste site, there will be a $10 per hour surcharge added
to the normal billing rate for all personnel. Consultants to Raba Kistner (RK) will be
charged according to their professional classification.
EXPENSES: Use of company automobiles will be charged at $1.00 per mile. Automobiles and light
trucks assigned to field sites will be charged at S70.00 per day, plus $1.00 per mile over
50 miles per day. Copies will be charged at$0.25 per page.
Other project specific charges for use of RK equipment or for RK testing will be in
accordance with established fee schedules. All other project specific, third-party costs will
be charged at cost plus 15 percent.
Invoices will be submitted monthly for work in progress in our standard format. They are
due and payable upon receipt and become past due 30 days after the billing date. Past
due invoices may be subject to late charges at the rate of 1-1/2 percent per month
(18 percent per annum). In the event that the State of Texas legislates a sales tax on
Professional Services, the amount of the tax will be PAYMENT added to the appropriate
service rate charged. Our invoices are due and payable upon receipt at P.O. Box 971037,
Dallas, Texas 75397-1037.
Preparation of non-standard invoice will be charged on a time and materials basis in
accordance with the rates in this fee schedule.
CONDITIONS: Services will be performed in accordance with our Standard Terms and Conditions.
The proposal to which this schedule is an attachment is valid for 90 days from the date of

Raba Kistner Environmental, Inc. (RKEI) is pleased to submit this scope of work to CobbFendley
(CLIENT) for the above-referenced project. RKEI understands the CLIENT is requested a wetland
delineation survey on three (3) outfall locations into the roadside ditch parallel to Mykawa Road
between Orange Street and Cherry Street in Pearland, Brazoria County, Texas.
Scope of Work
Task 1—Waters of the U.S. Delineation
RKEI will conduct field investigations and prepare a Waters of the U.S. (WOUS)(including wetlands)
determination and delineation report for the site in accordance with current federal delineation
methodology including the 1987 U.S. Army Corps of Engineers (USACE) Wetland Delineation
Manual and 2010 Regional Supplement for the Atlantic and Gulf Coastal Plains. A determination
will be made regarding the presence of potential WOUS, as defined using prescribed USACE
guidance, that may be subject to Clean Water Act Section 404 jurisdiction. Should any potential
jurisdictional features be identified, RKEI will identify and delineate the boundaries, including
special aquatic sites (e.g., wetlands), and collect a minimum of two representative wetland sample
data points. If no surface water features are identified, two Wetland Determination Data Forms
will be completed to document negative findings. Any identified stream/wetland boundaries will
be surveyed using a survey-grade Global Positioning Satellite (GPS) system with sub-meter
accuracy.

RKEI will prepare a delineation report for the site complete with appropriate field data forms
to provide documentation of these conditions.The report will include:
Brief description of the project, methods/sampling procedures, and results as required
by the USACE;
Boundaries of any waters of the U.S. identified in the field;

Completed wetland data forms;
Area (acres) of potential jurisdictional waters of U.S. shown on an exhibit;
Pertinent published data (e.g., historical USGS topographic maps, historical aerial
photography, Federal Emergency Management Agency maps, National Wetland
Inventory Maps, and USDA soil surveys) to support the findings.

We are prepared to begin work (desktop studies at a minimum) immediately upon receipt of
notice to proceed. Fieldwork and report preparation can be completed within 15 business days.
V. ACCEPTANCE

reputable professional engineer that RK has violated the standard
of care applicable to RK's performance of services.in a form that
meets the requirements of Texas Civil Practice 8 Remedies Code
Chapter 150.
20. TERMINATION OF CONTRACT, CLIENT and RK may terminate
services at any time upon ten(10)calendar days'written notice. In
the event of termination,CLIENT agrees to fully compensate RK for
services performed including reimbursable expenses through the
termination date, as well as reasonable demobilization expenses.
RK will terminate services without waiving any claims or incumng
any liability.
21. STATUTE OF LJMITATIONS. Any applicable statute of limitations
will commence to run and any cause of action shall be deemed to
have accrued not later than the earlier of the following: (1)the date
of the report issued by RK giving rise to the cause of action:(2)the
date on which RK issues its last report under this Agreement;or(3)
if RK is retained to perform construction observation, the date of
substantial completion of the project.
22 FORCE MAJEURE. Neither party shall be liable in damages or
have the right to terminate this Agreement for any delay or default in
performing hereunder if such delay or default is caused by
conditions beyond its control ("Force Majeure') including, but not
limited to Acts of God,Government restrictions(including the denial
or cancellation of any export or other necessary license), wars,
insurrections and/or any other cause beyond the reasonable control
of the party whose performance is affected. Force Majeure may not
be claimed as a cause for delay in payment of money due and
payable hereunder.
23 NO ASSIGNMENT. Neither RK nor CLIENT shall assign,sublet,or
transfer its interest in this Agreement without the express written
consent of the other.
24. SEVERABILITY. Each provision of this Agreement is intended to
be severable. If any terms or provisions of this agreement shall be
held to be invalid, illegal, or unenforceable for any reason
whatsoever,the validity,legality,and enforceability of the remaining
provisions hereof shall remain in full force and effect and shall not in
any way be affected or impaired thereby. Moreover,to the maximum
extent allowed by law,the Parties hereto stipulate that any offending
provisions will be modified or altered, as necessary, so as to give
such provision the maximum permissible effect and application
intended.
25. ENTIRE AGREEMENT. This Agreement,and all of its attachments,
constitutes the entire.integrated Agreement between the Parties to
it, and this Agreement supersedes all other Agreements, oral or
written between the Parties.concerning the subject set forth in this
Agreement. This Agreement may not be amended except in writing,
with that amendment being signed by both Parties.

SCHEDULE OF FEES FOR PROFESSIONAL SERVICES
PERSONNEL: Principal ... $135 to $2501hour
Professional $70 to $200/hour
Auto Cad Operator $65 to $110/hour
Technical/Clerical/Administrative $40 to $80/hour
The specific hourly rate within each classification listed above depends on the experience,
special training, and qualifications of the personnel needed for the project. For projects
requiring work at any hazardous waste site,there will be a $10 per hour surcharge added to
the normal billing rate for all personnel. Consultants to Raba Kistner (RK) will be charged
according to their professional classification.
EXPENSES: Use of company automobiles will be charged at$1.00 per mile. Automobiles and light trucks
assigned to field sites will be charged at $70.00 per day, plus$1.00 per mile over 50 miles
per day. Copies will be charged at$0.25 per page.
Other project specific charges for use of RK equipment or for RK testing will be in accordance
with established fee schedules. All other project specific,third-party costs will be charged at
cost plus 15 percent.
Invoices wit be submitted monthly for work in progress in our standard format. They are due
and payable upon receipt and become past due 30 days after the billing date. Past due
invoices may be subject to late charges at the rate of 1-1/2 percent per month (18 percent
per annum). In the event that the State of Texas legislates a sales tax on Professional
Services, the amount of the tax will be PAYMENT added to the appropriate service rate
charged. Our invoices are due and payable upon receipt at P.O. Box 971037, Dallas,Texas
75397-1037.
Preparation of non-standard invoice will be charged on a time and materials basis it
accordance with the rates in this fee schedule.
CONDITIONS: Services will be performed in accordance with our Standard Terms and Conditions.
The proposal to which this schedule is an attachment is valid for 90 days from the date of the
proposal.
