BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain Reimbursement Agreement by and between the City of Pearland and the Pearland Economic Development Corporation, a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That certain SH 288 Aesthetic Improvement Project Agreement between the City, Blue Ridge Transportation Group, LLC and Pearland Municipal Management District No. 2, a copy of which is attached hereto as Exhibit "B" and made part hereof for all purposes, is hereby authorized and approved. Section 3. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest the Reimbursement Agreement and the SH288 Aesthetic Improvement Project. COKER CITY ATTORNEY Resolution No. R2019-76 Exhibit "A" REIMBURSEMENT AGREEMENT SH288 AESTHETIC IMPROVEMENTS CLEAR CREEK TO BW8 HARRIS COUNTY SECTION h This Agreement is entered into this)day of March, 2019, by and between the CITY OF PEARLAND, TEXAS (hereinafter "City"), and the Pearland Economic Development Corporation (hereinafter "PEDC"). WHEREAS, the PEDC is a Type B economic development corporation, created pursuant to Chapter 505 of the Texas Local Government Code, as amended; and WHEREAS, the Pearland Municipal Management District No. 2 (hereinafter, "District") has approved a SH288 Corridor Master Improvements Plan (hereinafter, "Plan") consisting of a beautification strategy to implement long term aesthetic improvements intended to support the Pearland 20/20 Strategic Plan's goal of enhancing the appearance of the SH288 Corridor in order to sustain its economic prosperity; and WHEREAS, the PEDC has entered into a contract for the design of aesthetic improvements along the SH288 corridor that are consistent with the Plan. WHEREAS, Blueridge Transportation Group, LLC (hereinafter, "BTG") is constructing mobility improvements along SH288 within the Harris County portion of the City of Pearland (hereinafter, "BIG Project") and the City desires to construct/fund certain aesthetic improvements along SH288 within the City of Pearland; and WHEREAS, the aesthetic improvements are generally identified as consisting of hardscape and softscape improvements (hereinafter, "Aesthetic Improvements"); and • WHEREAS, the aesthetic improvements may include: brick pavers, power washing and painting of bridges, walls, rails, columns, sloped concrete rip-rap, barriers, culverts, gantry structures and light foundations, irrigation sleeves, landscaping, irrigation, and gateway signage as described in Exhibit "A"; and WHEREAS, the City and District desire construction of the Aesthetic Improvements, separate from and ata later date than the BTG Project, and whose agreement to set forth their respective responsibilities with regard to the use of City Funds and installation, ownership and maintenance of the Aesthetic Improvements is addressed in the Multi- party Agreement (City of Pearland Resolution No. R2019- (Q ) approved by the City of Pearland on Marche, 2019 ; and WHEREAS, the District desires to maintain the Aesthetic Improvements; and WHEREAS, the City desires to construct the Aesthetic Improvements; and WHEREAS, Section 501.103 of the Texas Local Government Code (hereinafter"Code"), in pertinent part, defines the term "project" to mean "expenditures that are found by the board of directors to be required or suitable for infrastructure necessary to promote or develop new or expanded business enterprises, limited to: (1) streets and roads, rail spurs, water and sewer utilities, electric utilities, or gas utilities, drainage, site improvements, and related improvements; (2) telecommunications and Internet improvements . . ."; and WHEREAS, Section 505.303 of the Code, allows for the cost of the project to include the maintenance and operating costs of the project; and WHEREAS, the PEDC desires to fund the open space Aesthetic Improvements; and WHEREAS, the PEDC approved funding the Aesthetic Improvements at its February 28, 2019 Board of Directors' meeting; and WHEREAS, City and PEDC entered into a Reimbursement Agreement (City of Pearland Resolution No. R2016-164) on September 12, 2016 for the PEDC to fund the SH288 Corridor hardscape improvements in the Brazoria County portion of the City of Pearland. WHEREAS, City, Brazoria County and District,entered into an Interlocal Agreement for SH 288 Corridor Enhancements (City of Pearland Resolution No. R2016-164) on September 27, 2016 for the construction and maintenance of the hardscape improvements located in the Brazoria County portion of the City of Pearland. WHEREAS, City and PEDC desire an . agreement to set forth their respective responsibilities with regard to the Aesthetic Improvements. WITNESSETH: NOW THEREFORE, in consideration of the foregoing premises and other good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, it is hereby agreed as follows: 1. Subject to the City entering into a multi-party Agreement with BTG, the City shall enter into a contract to construct the Aesthetic Improvements shown in Exhibit "A" attached hereto. 2. City shall obtain competitive line item bids in accordance with Local Government • Code Chapter 252 for the construction of the Aesthetic Improvements which may be bid in phases. City shall review the bids and award a contract to the respondent offering the best value to the City within ninety (90) days.. City reserves the right to reject any and all bids for the construction of the Improvements. PEDC must approve the bid, and any change order that exceeds 1% of the bid. Following award of the bid by City, City shall cause construction of the Improvements to commence within 90 days ("Commencement Date"), and shall cause the 2 Improvements to be completed in accordance with the plans and specifications within a reasonable period of time. 3. City shall on a timely basis submit, to the PEDC, invoices submitted by the contractor selected to construct the Improvements. PEDC shall, within ten (10) days following receipt of an invoice pursuant to this section, review and approve the invoice payment for payment to the contractor constructing the Improvements. 4. The estimated construction cost of the Aesthetic Improvements is approximately $2,097,775, as itemized in, Exhibit "B" attached hereto. PEDC shall fund an amount equal to the actual cost of the Aesthetic Improvements, which shall be paid to City in installments or a lump sum amount. The timing and amount of the payment shall be determined at sole discretion of the City, but in no event shall the total payments exceed the actual cost of the improvements. 5. The initial term of this Agreement shall be for a period of twelve (12) months, commencing on thebay of March 2019, and may be renewed as needed until the Aesthetic Improvements are substantially complete. 6. This Agreement may only be amended, modified, or supplemented by written agreement and signed by both parties. 7. No assignment by a party hereto of any rights under or interests in this agreement will be binding on another party hereto without the written consent of the party sought to be bound; and specifically but without limitation moneys that may become due and moneys that are due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to an assignment no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. 8. Nothing herein is intended to supersede or waive any City ordinance or regulation pertaining to such construction. 9. Whenever possible, each provision.of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement is prohibitive or invalid under applicable law, such provision shall be ineffective to the extent of such provision or invalidity, without invalidating the remainder of such provision or the remaining provisions of this Agreement. 10. This Agreement shall be construed and enforced in accordance with and governed by the laws of the State of Texas. 11. To accomplish execution of this Agreement, it may be executed in multiple counterparts. 3 12. The Parties agree that any suit arising out of or related to this Agreement shall be filed in Brazoria County Texas.. 13. RECITALS Whereas, Transportation Code, Chapters 201, 221, and 361, authorize the State of Texas through the Texas Department of Transportation ("TxDOT") to construct, maintain, and operate a system of streets, roads, and highways that comprise the State Highway System; and Whereas, SH 288 is part of the State Highway System and a portion of which is located in the City and District and serves the residents and businesses of the City and the District; and Whereas, Government Code, Chapter 791, and Transportation Code, §201.209 and Chapter 221, authorize TxDOT to contract with municipalities and political subdivisions; and Whereas, TxDOT has entered into an agreement with the Concessionaire (the "Comprehensive Development Agreement") to implement Managed Toll Lanes on SH 288 from the Harris county line at Clear Creek to SH59, a portion of which is included in the City of Pearland, ("Concessionaire Project"); and Whereas, the District was created by Senate Bill No. 863, Acts of the 83rd Legislature, Regular Session, to be codified as Chapter 3867, Texas Special District Local Laws Code, and governed by Chapter 375, Texas Local Government Code, (collectively, the "Act") for the purpose of providing services and improvements to the District; and Whereas, the District has approved a SH 288 Corridor Master Improvements Plan (hereinafter, "Plan"), attached hereto as Exhibit "A", consisting of a beautification strategy to implement long term aesthetic improvements intended to support the Pearland 20/20 Strategic Plan's goal of enhancing the appearance of the SH 288 Corridor in order to sustain its economic prosperity; and Whereas, TxDOT has entered into an Advance Funding Agreement, attached hereto as Exhibit "B", with the District for voluntary construction and maintenance of long term aesthetic improvements in State ROW along the SH 288 corridor; and Whereas, the aesthetic improvements are generally identified as consisting of brick pavers, power washing and painting of bridges, walls, rails, columns, sloped concrete rip - rap, barriers, culverts, gantry structures and light foundations, irrigation sleeves, landscaping, irrigation, and gateway signage, as further described in Exhibit "C" (hereinafter, "Aesthetic Improvements"); and Whereas, the City desires to construct the Aesthetic Improvements, separate from the Concessionaire Project, from Clear Creek north to the Beltway 8 frontage road, and the City and District desire to set forth their respective responsibilities with regard to the use of City and District funds associated with the installation, ownership and maintenance of the Aesthetic Improvements; and Whereas, this Agreement is entered into pursuant to the authority of the Interlocal Cooperation Act, V.T.C.A. Gov. Code Sec. 791.001 et seq. WITNESSETH NOW THEREFORE, in consideration of the mutual covenants, agreements and benefits to the parties herein named, it is hereby agreed as follows: SCOPE OF THE PROJECT A. The scope of the Aesthetic Improvements to be constructed by the City is as depicted in Exhibit "C" attached hereto. B. Concessionaire and TxDOT will be provided the opportunity to review and approve the construction plans the Aesthetic Improvements prior to the City advertising the improvements for bid. II. CONSTRUCTION OF THE IMPROVEMENTS A. City shall contract for construction of the Aesthetic Improvements to furnish all labor, equipment, and incidentals to provide for installation of the improvements as described herein in phases. City will verify location of all utilities and toll project improvements within the project area. City will provide fulltime daily inspection of all installation work performed and any testing services as may be required to ensure that the work is accomplished in accordance with the approved construction plans. City or City's contractor will submit for approval to TxDOT a traffic control plan and provide, erect and maintain barricades, signs, and traffic handling devices as necessary to protect the safety of the traveling public and in accordance with TxDOT Traffic Control Plan Standards and the Texas Manual on Uniform Traffic Control Devices. B. Concessionaire shall have no obligation to construct the Aesthetic Improvements. C. Concessionaire agrees to provide City at least 60 days written notice of when City may commence construction of the Aesthetic Improvements: a. Brick pavers in the median under the bridge overpass as the U-turn schedule allows; b. Irrigation and landscaping in the medians between the toll lanes and main lanes, prior to the toll lanes being opened to traffic; c. Powerwashing and painting of hardscapes prior to the toll lanes being opened to traffic; and d. All other proposed Aesthetic Improvements. III. OWNERSHIP AND MAINTENANCE OF THE IMPROVMENTS A. Following construction of the Aesthetic Improvements, the Aesthetic Improvements will be owned by TxDOT and subject to the lease by and between TxDOT and Concessionaire entered into pursuant to the Comprehensive Development Agreement. B. District shall maintain the Aesthetic Improvements in accordance with City standards for Aesthetic Improvements, as provided in Exhibit "D". Other than as may be required by the Comprehensive Development Agreement, Concessionaire shall have no obligation to maintain the Aesthetic Improvements. C. District and Concessionaire shall obtain City approval before removing any Aesthetic Improvements; provided, that the Concessionaire shall have the right to remove any Aesthetic Improvements without providing notice to, or obtaining the prior approval of, the City to the extent any such Aesthetic Improvements are not in compliance with the applicable requirements of the Comprehensive Development Agreement or otherwise interfere with the operation of the Concessionaire Project. D. District shall maintain insurance, at replacement value, for the Aesthetic Improvements. E. City shall provide water to District for irrigation and maintenance of the Aesthetic Improvements. F. City shall provide electricity to the District at its contracted rates to the District through separate meters. City will invoice District on a semi-annual basis for District's electrical consumption, or more frequently as determined in the sole discretion of City. G. After construction of the Aesthetic Improvements, the Aesthetic Improvements will be owned by TxDOT, subject to the requirements of this Agreement and subject to the lease entered into by TxDOT and Concessionaire pursuant to the Comprehensive Development Agreement. IV. CURRENT FUNDS AVAILABLE A. City shall provide all funding for construction of the Aesthetic Improvements. B. District shall provide all funding for the ongoing maintenance of the Aesthetic Improvements as described in section III. C. The City and the District represent that they have appropriated sufficient funds to satisfy their respective obligations under this Agreement. MISCELLANEOUS A. City, District, and Concessionaire recognize and agree that the City, in performance of this Agreement, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. B. City, District, and Concessionaire shall comply with all applicable laws, regulations and requirements in performance of their respective obligations under this agreement, including the applicable requirements of the Comprehensive Development Agreement. C. Parties recognize and agree that nothing herein shall be construed to create any rights in third parties. Notwithstanding the forgoing, the City and the District agree to take all actions necessary to prevent the placement of any liens on property of the State of Texas in connection with the work contemplated by this agreement. In the event that a lien is placed on property of the State, then the City and the District agree to immediately take all actions necessary to discharge the lien or otherwise have it removed from the property of the State by the posting of a bond or by other suitable method. In the even any such lien is not promptly removed by the City or the District, the City and the District acknowledge and agree that the State may take any and all such actions as may be necessary to remove and/or discharge the lien, including, but not limited to, paying the holder of the lien. In that event, the City and the District agree that they will be jointly and severally liable to the State to pay the State for all costs, fees, and expenses the State may incur in connection with the removal of any such liens. The parties agree that the State of Texas, acting by and through the Texas Department of Transportation, is a third party beneficiary of this contract for the purpose of enforcing the obligations contained in this paragraph V.C. D. Parties agree that no party shall have the right to seek indemnification or contribution from any other party hereto for any losses, costs, expenses, or damages directly or indirectly arising, in whole or part from this Agreement; provided, however, to the extent allowed by law, that the Concessionaire shall have the right to seek indemnification or contribution from the City or the District for any losses, costs, expenses, or damages directly arising, in whole or part from a breach of this Agreement by the City or the District, as applicable. E. Whenever possible, each provision of this agreement shall be interpreted in such a manner as to be effective and valid under applicable law, but if any section, subsection, paragraph, sentence, clause, phrase, work or portion of this Agreement is, for any reason, held invalid unconstitutional or otherwise unenforceable by any court of competent jurisdiction, such portion shall be deemed a separate, distinct, and independent provision and such holding shall not affect the validity of the remaining portions thereof. F. The Rights and Obligations of this Agreement shall not be assigned without prior written consent of the City, District, and Concessionaire; provided, that the City and the District shall not withhold their consent to an assignment by the Concessionaire of its rights and obligations under this Agreement undertaken as a result of an assignment of the Concessionaire's rights and obligations under the Comprehensive Development Agreement. G. This Agreement may only be amended, modified, or supplemented in writing and subsequently signed and dated by the City, as acted upon by its City Council, the Concessionaire, and the District. H. Upon termination of the Comprehensive Development Agreement for any reason, TxDOT, in its sole discretion, may step into and assume the Concessionaire's rights and obligations under this Agreement (the date of such assumption being the "Assumption Date"). Notwithstanding the forgoing, TxDOT shall have no liability or responsibility for (i) any amounts owed by Concessionaire to the City or District which accrued in whole or in part prior to the Assumption Date or (ii) any damages, claims or losses based on or arising from in whole or in part a breach of or default under this Agreement by the Concessionaire, or based on any other act or omission of the Concessionaire, which occurred prior to the Assumption Date. TxDOT may assume Concessionaire's rights and obligations under this Agreement by written notice delivered to the City and the District within thirty (30) days of the termination of the Comprehensive Development Agreement. Otherwise, this Agreement will terminate, and Concessionaire's rights and obligations under this Agreement will terminate, on the earlier of (i) the date on which TxDOT delivers written notice to the City and the District that TxDOT will not assume this Agreement or (ii) thirty (30) days following the termination of the Comprehensive Development Agreement. The City and the District agree and consent to the assumption by TxDOT of Concessionaire's rights and obligations under this Agreement pursuant to this Section V(H). VI. The Project shall be maintai^ed in such a manner and to the degree deemed necessary hereafter to enhance r_adway aesthetirs for the traveling public. The State reserves the right to require Roy changes, maintenance or repairs as may be necessary to provide protection of life or property on or adjar'ent to the highway.
