R2019-71 A Resolution of the City Council of the City of Pearland,Texas,authorizing the City Manager or his designee to enter into a contract with CDM Smith, Inc., in the amount of$5,202,432.00,for final design services associated with Surface Water Plant Package No. 2. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. COKER CITY ATTORNEY Exhibit A R2019-71 CONTRACT FOR PROFESSIONAL SERVICES THIS CONTRACT is entered into upon final execution by and between the City of Pearland ("CITY") and CDM Smith Inc. ("CONSULTANT"). The CITY engages the CONSULTANT to perform professional services for a project known and described as Surface Water Plant("PROJECT"). (Project#WA1605) SECTION I - SERVICES OF THE CONSULTANT The CONSULTANT shall perform the following professional services to CITY standards and in accordance with the degree of care and skill that a professional in Texas would exercise under the same or similar circumstances: A. The CONSULTANT shall perform final design services. See Exhibit A, attached, for a detailed SCOPE OF WORK and PROJECT schedule.The PROJECT schedule shall be submitted in digital and hard copy form in the Microsoft Project for Windows format. B. The CONSULTANT shall prepare and submit a detailed opinion of estimated cost of the PROJECT. C. The CONSULTANT acknowledges that the CITY (through its employee handbook)considers the following to be misconduct that is grounds for termination of a CITY employee: Any fraud, forgery, misappropriation of funds, receiving payment for services not performed or for hours not worked, mishandling or untruthful reporting of money transactions, destruction of assets, embezzlement, accepting materials of value from vendors, or consultants, and/or collecting reimbursement of expenses made for the benefit of the CITY. The CONSULTANT agrees that it will not, directly or indirectly; encourage a CITY employee to engage in such misconduct. D. The CONSULTANT shall submit all final construction documents in both hard copy and electronic format. Plans shall be AutoCAD compatible and all other documents shall be Microsoft Office compatible. The software version used shall be compatible to current CITY standards. Other support documents, for example, structural calculations, drainage reports and geotechnical reports, shall be submitted in hard copy only. All Record Drawings electronic files shall be submitted to the CITY in TIF format. E. The CONSULTANT recognizes that all drawings, special provisions, field survey notes,reports,estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT shall be delivered to the CITY upon request, shall become subject to the Open Records Laws of this State. F. The CONSULTANT shall procure and maintain for the duration of this Agreement, insurance against claims for injuries to persons, damages to property, or any errors Design 1 of 6 D2.Revised 2018 and omissions relating to the performance of any work by the CONSULTANT, its agents, employees or subcontractors under this Agreement, as follows: (1) Workers' Compensation as required by law. (2) Professional Liability Insurance in an amount not less than $1,000,000 in the aggregate. (3) Comprehensive General Liability and Property Damage Insurance with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for each occurrence of damage to or destruction of property. (4) Comprehensive Automobile and Truck Liability Insurance covering owned, hired, and non-owned vehicles, with minimum limits of $1,000,000 for injury or death of any one person, $1,000,000 for each occurrence, and $1,000,000 for property damage. The CONSULTANT shall include the CITY as an additional insured under the policies, with the exception of the Professional Liability Insurance and Workers' Compensation. Certificates of Insurance and endorsements shall be furnished to the CITY before work commences. Each insurance policy shall be endorsed to state that coverage shall not be suspended, voided, canceled, and/or reduced in coverage or in limits ("Change in Coverage") except with prior written consent of the CITY and only after the CITY has been provided with written notice of such Change in Coverage, such notice to be sent to the CITY either by hand delivery to the City Manager or by certified mail,return receipt requested, and received by the City no fewer than thirty (30) days prior to the effective date of such Change in Coverage.Prior to commencing services under this CONTRACT,CONSULTANT shall furnish CITY with Certificates of Insurance, or formal endorsements as required by this CONTRACT,issued by CONSULTANT'S insurer(s), as evidence that policies providing the required coverage,conditions,and limits required by this CONTRACT are in full force and effect. G. The CONSULTANT shall indemnify and hold the CITY, its officers, agents, and employees,harmless from any claim, loss,damage, suit, and liability of every kind for which CONSULTANT is legally liable, including all expenses of litigation, court costs, and attorney's fees, for injury to or death of any person, for damage to any property, or errors in design, any of which are caused by the negligent act or omission of the CONSULTANT,his officers,employees,agents, or subcontractors under this CONTRACT. H. All parties intend that the CONSULTANT, in performing services pursuant to this CONTRACT, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The CONSULTANT is not to be considered an agent or employee of the CITY. Design 2 of 6 D2 Revised 2018 SECTION II-PERIOD OF SERVICE This CONTRACT will be binding upon execution and end December 31, 2023. SECTION III-CONSULTANT'S COMPENSATION A. The total compensation for the services performed shall not exceed the total noted in Section B. B. The CITY shall pay the CONSULTANT in installments based upon monthly progress reports and detailed invoices submitted by the CONSULTANT based upon the following: 1. Basic Services (Lump Sum) $4,358,698.00 2. Additional Services shall require independent and specific authorization and shall be billed as (Hourly Not to Exceed): $301,600.00 3. Additional Services shall require independent and specific authorization and shall be billed as (Lump Sum) $542,134.00 4. Construction Phase Services (Hourly Not to Exceed) 5. Reimbursable Expenses (Not to Exceed) 6. Total: $5,202,432.00 C. The CITY shall make payments to the CONSULTANT within thirty(30)days after receipt and approval of a detailed invoice. Invoices shall be submitted on a monthly basis. SECTION IV-THE CITY'S RESPONSIBILITIES A. The CITY shall designate a project manager during the term of this CONTRACT. The project manager has the authority to administer this CONTRACT and shall monitor compliance with all terms and conditions stated herein. All requests for information from or a decision by the CITY on any aspect of the work shall be directed to the project manager. B. The CITY shall review submittals by the CONSULTANT and provide prompt response to questions and rendering of decisions pertaining thereto, to minimize delay in the progress of the CONSULTANT'S work. The CITY will keep the CONSULTANT advised concerning the progress of the CITY'S review of the work. The CONSULTANT agrees that the CITY'S inspection,review, acceptance or approval of CONSULTANT'S work shall not relieve CONSULTANT'S responsibility for errors or omissions of the CONSULTANT or its sub- Design 3 of 6 D2 Revised 2018 consultant(s) or in any way affect the CONSULTANT'S status as an independent contractor of the CITY. SECTION V-TERMINATION A. The CITY, at its sole discretion, may terminate this CONTRACT for any reason-- with or without cause--by delivering written notice to CONSULTANT personally or by certified mail at 11490 Westheimer Road, Suite 700, Houston, Texas 77077. Immediately after receiving such written notice, the CONSULTANT shall discontinue providing the services under this CONTRACT. B. If this CONTRACT is terminated, CONSULTANT shall deliver to the CITY all drawings, special provisions, field survey notes, reports, estimates and any and all other documents or work product generated by the CONSULTANT under the CONTRACT, entirely or partially completed, together with all unused materials supplied by the CITY on or before the 15th day following termination of the CONTRACT. C. In the event of such termination, the CONSULTANT shall be paid for services performed prior to receipt of the written notice of termination. The CITY shall make final payment within sixty(60) days after the CONSULTANT has delivered to the CITY a detailed invoice for services rendered and the documents or work product generated by the CONSULTANT under the CONTRACT. D. If the remuneration scheduled under this contract is based upon a fixed fee or definitely ascertainable sum,the portion of such sum payable shall be proportionate to the percentage of services completed by the CONSULTANT based upon the scope of work. E. In the event this CONTRACT is terminated, the CITY shall have the option of completing the work, or entering into a CONTRACT with another party for the completion of the work. F. If the CITY terminates this CONTRACT for cause and/or if the CONSULTANT breaches any provision of this CONTRACT, then the CITY shall have all rights and remedies in law and/or equity against CONSULTANT. Venue for any action or dispute arising out of or relating to this CONTRACT shall be in Brazoria County, Texas. The laws of the State of Texas shall govern the terms of this CONTRACT. The prevailing party in the action shall be entitled to recover its actual damages with interest, attorney's fees, costs and expenses incurred in connection with the dispute and/or action. CONSULTANT and CITY desire an expeditious means to resolve any disputes that may arise between under this CONTRACT. To accomplish this,the parties agree to mediation as follows: If a dispute arises out of or relates to this CONTRACT, or the breach thereof, and if the dispute cannot be settled through negotiation, then the parties agree first to try in good faith, and before pursuing any legal remedies, to settle the dispute by mediation of a third party who will be selected by agreement of the parties. Design 4 of 6 D2 Revised 2018 SECTION VI—ENTIRE AGREEMENT This CONTRACT represents the entire agreement between the CITY and the CONSULTANT and supersedes all prior negotiations, representations, or contracts, either written or oral. This CONTRACT may be amended only by written instrument signed by both parties. SECTION VII—COVENANT AGAINST CONTINGENT FEES The CONSULTANT affirms that he has not employed or retained any company or person, other than a bona fide employee working for the CONSULTANT to solicit or secure this CONTRACT, and that he has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration, contingent upon or resulting from the award or making of the CON TRACT. For breach or violation of this clause, the CITY may terminate this CONTRACT without liability,and in its discretion,may deduct from the CONTRACT price or consideration, or otherwise recover, the full amount of such fee, commission,percentage brokerage fee, gift, or contingent fee that has been paid. A WATER+ENVIRONMENT+TRANSPORTATION+ENERGY+FACILITIES i " _ AMENDMENT 2 - FINAL DESIGN FOR PEARLAND SURFACE WATER PLANT PROJECT PROJECT#:WA1605 INTRODUCTION The following scope of work clarifies and describes the phases of work and associated project tasks to be performed and completed by the Engineer. Work includes engineering services associated with the design of the new Pearland Surface Water Plant(SWP). This overall project is broken into three packages.This scope of work only addresses Package 2-Surface Water Plant. • Package 1 -Pre-Sedimentation Basin and Raw Water Pump Station • Package 2-Surface Water Plant • Package 3-Ground Storage Tanks,High Service Pump Station,and Off-site Distribution System Improvements Stakeholders for this contract include: • CDM Smith Inc. and its teaming partners as"Engineer" • City of Pearland as"City" or"Owner" • Ardurra Group as"Owner's Representative" • Construction Manager-at-Risk(CMAR) is to be determined • Freese and Nichols as"Package 1 Consultant" • Stantec as"Package 3 Consultant" The new SWP facilities are scheduled to be placed into operation by January 2023 to meet projected water demands. The work is separated into the following five phases: Phase 1 -PROCESS EVALUATION AND DEVELOPMENT-Complete. Phase 2-PRELIMINARY DESIGN- Complete. Phase 3-FINAL DESIGN-Amendment 2. Phase 4-CONSTRUCTION SERVICES-Not included. Future task. Phase 5 -START-UP AND OPERATIONS-Not included. Future task. Phases 1 and 2 were completed under the original authorization and Phase 3-Final Design is described here as Amendment 2 to the Contract. Amendment 1 was a no-cost reallocation of funds from the bench testing task to provide additional survey services during Phase 2. Upon receipt of notice to proceed for Phase 3,Engineer shall perform final design,and prepare construction contract documents for the Package 2-Surface Water Plant facilities and provide coordination effort with the CMAR,who will prepare the guaranteed maximum price (GMP) for the Project. Construction services,startup and training services,and preparation of a multi- media operations manual for the new Pearland SWP are not included in this Phase 3 contract scope of work. Phases 4 and 5 services will be included in a future contract amendment. Pearland Surface Water Plant 1 Draft Scope of Work 02/11/2019 During Phases 1 and 2 of this project,the scope for the SWP was selected to include an initial production capacity of 10 million gallon per day (MGD)with future expansion of production capacity to 20 MGD on the current plant site configuration.The SWP will be located along the American Canal on the west side of Airline Road.The source water for the Pearland SWP will be the American Canal. Package 2 will consist of the following(Refer to Figure 1 Site Plan and Figure 2 Process Flow Diagram): Package 2 Design Scope: • The pretreatment system will include chemical coagulation with static mixers,three- stage flocculation basins,and sedimentation basins with plate settlers. Settled water will be transferred to the membrane building using membrane feed pumps. • Membrane filtration will be achieved using polymeric Microfiltration(MF) or Ultrafiltration(UF) membranes. This system includes membrane feed pumps,strainers, membrane filtration units,chemical cleaning systems,blowers,and other appurtenances. The membrane system facilities,except the membrane feed pumps,will be housed in a stand-alone building. • Chemical disinfection will be achieved through free chlorination. Liquid ammonium sulfate(LAS)will then be added to convert the disinfection residual to chloramines prior to storage. Chlorine dioxide will also be fed as a pre-oxidant. The Gas Chlorine and Chlorine Dioxide storage and feed equipment will be housed in a stand-alone building. • Chemical storage and feed facilities for coagulant, liquid ammonium sulfate (LAS) and caustic will include chemical feed pumps located in the Membrane Building and bulk storage tanks located outside of the Membrane Building beneath a canopy. • Granular activated carbon(GAC) adsorbers,located downstream of membrane filtration may be included to address taste and odor issues pending the results of the pilot study and flavor profile analyses conducted during Phase 1 and the 30% construction cost estimate to be provided by the selected CMAR. The design of the GAC adsorbers and associated chlorine contact tank and pump station will be included as an Additional Service during design,if authorized by the City. • An Operations Building will be designed on site that includes offices,control room, server room,janitorial space,break room,locker rooms and showers. • An electrical building will be designed for bringing power on site to supply power to Packages 1,2 and 3. A secondary power system will also be designed that includes diesel fuel storage and diesel generators rated for 100-percent plant operation. • The solids handling system will be comprised of a Return Flow Pump Station,Sanitary Lift Station,Gravity Thickener,Thickened Sludge Pumps, one Belt Filter Press (BFP), conveyors and a polymer feed system. The BFP and appurtenant items will be housed in a stand-alone Dewatering Building.If a Pre-Sedimentation Basin(PSB) is not included in the Package 1 design,a washwater recovery tank and pumps will need to be included with the Package 2 design. The design of the Washwater Recovery Tank and Pumps Pearland Surface Water Plant 2 Draft Scope of Work 02/11/2019 will be included as an Additional Service during design,if authorized by the City. • A Maintenance Building will be designed to house maintenance equipment,offices, restroom and area for equipment storage and repairs. This project will also include (for Package 2 site and facilities only):yard piping;plant roadways and sidewalks;site grading and drainage;landscaping;miscellaneous meter vaults and valve vaults;480V plant electrical;fire protection and sprinkler systems;and HVAC and plumbing. The project will also include items that apply to all three Packages,including: 1. Telephone system. 2. High voltage power supply system comprehensive for Package 1,2 and 3 at the SWP site. 3. Plant system architecture for full-plant SCADA system(PLCs,controls,instruments and P&IDs for Packages 1 and 3 are not included). 4. Drainage design will be developed for the plant site area north of Mustang Bayou only, but will consider all three packages.Package 1 and 3 consultants will be given elevations and tie-in points for their own packages for design.The stormwater detention basin to be located south of Mustang Bayou will be designed as part of Package 1 and is not included in this scope of work. Site fencing for all three Packages will be provided in Package 3 and is not included in this scope of work.Plant SCADA system programming and applications engineering will not be performed as part of this scope of work. Reference Figure 1 attached at the end of this scope to further details regarding scope definition between packages. SCOPE OF WORK The scope of work presented below describes the base level of services Phase 3 of this project. Phase 3 -Final Design Under Phase 3 of the project,Engineer will develop contract documents for bidding and construction of the SWP. The final design will be based on the work developed in Phases 1 and 2. Task 3.0- General Tasks Task 3.0.1 -Project Management. Engineer will update the written project work plan that outlines the project scope and establishes procedures and protocols for executing the project. The project work plan will include: the scope of work;schedule;organizational structure; communications plan;document management procedures;quality management procedures; outstanding issues and decision list;action item list;frozen issues list;and list of deliverables. A draft work plan will be issued at the project Kickoff Meeting for review and comment and reissued as a final copy upon incorporation of comments. Pearland Surface Water Plant 3 Draft Scope of Work 02/11/2019 Engineer will track the budget and schedule on a weekly basis and meet with the City's project manager as necessary to update the schedule,progress of work,and potential changes to the scope of work. Engineer will provide a project status report to the City with the monthly invoice. Engineer will provide a monthly M/WBE Report to the City documenting work performed by and payment to the M/WBE subconsultants. Deliverables: Electronic copies of the draft and final Revised Project Work Plan, monthly invoices and project status reports,and monthly M/WBE Reports. Task 3.0.2 -Kick Off and Monthly Project Meetings. Engineer will conduct an initial Kick Off Meeting with the City to introduce new project team members (if needed),review protocols and lines of communication,review project goals and objectives from Phases 1 and 3,gather all available documents pertinent to the assignment,and review the Project Work Plan, scope of work and schedule. Monthly Progress Meetings will be held during the project with the City staff,CMAR firm,and Owner's Representatives to discuss aspects of the project presently underway,project schedule, and upcoming issues. It is assumed that there will be 11 progress meetings. These meetings will generally be about four hours in duration. The appropriate Engineer team members shall attend the meetings to discuss pertinent issues,typically three to four people. Program Coordination Meetings will also be held on a monthly basis throughout the project. These meetings will include the other program packages,Owner's Representative,and/or the CMAR firm. It is assumed that there will be 11 program coordination meetings. CDM Smith will typically have one to two representatives in attendance. Deliverables: Meeting agenda and meeting summary for Kick Off Meeting and Package 2 Progress Meetings.Attendance only at Program Coordination Meetings. Task 3.0.3- Quality Assurance/Quality Control. The 60-percent complete plans and specifications will be submitted to the Engineer Technical Review Committee (TRC)for review. The TRC will be comprised of senior level engineers not specifically involved with the project. The review will include process and technical feasibility,constructability,discipline coordination,and plans and specification coordination. A one-day review meeting will be conducted to discuss the project and the associated TRC comments.The 90-percent complete plans and specifications will be submitted to technical specialists for a"red-yellow-green" quality check for coordination and constructability. Deliverables: TRC Comment Response Memoranda at 60-percent milestone. Task 3.0.4-Review Meetings. Review meetings with City staff will be conducted for the 60- percent and 90-percent complete plans and specifications. These meetings will be held approximately four weeks following submittal of the documents to provide time for review. Separate meetings will be conducted for the various project disciplines so that the appropriate staff are available. It is anticipated that four separate review meetings,approximately 4 hours Pearland Surface Water Plant 4 Draft Scope of Work 02/11/2019 each,will be conducted at both the 60% and 90% completion for a total of ten half-day meetings. In addition,CDM Smith will utilize virtual reality visualization to facilitate reviews of the 3D model for the Pre-treatment Structure,Membrane Building,Sludge Dewatering Building,and Chlorine Building at both 60% and 90%. Following their review,City staff and/or Owner's Representatives will provide written comments to Engineer. Engineer will provide written responses to these questions. Deliverables: Review Comment Response Memoranda at 60-percent and 90-percent Task 3.1 -Final Design In addition to the scope described above,a preliminary Drawing List was prepared for this project and is attached to this scope in Attachment 1. Task 3.1.1 -60-percent Plans and Specifications. The plans,opinion of probable construction cost,and specifications for the SWP will be completed to a 60-percent level and submitted to City for review and comment.Engineer will use City's project standard specifications (as supplied by the Owner's Representative) and modify as necessary to fit this Package. No Division 0 specifications are anticipated as the City is hiring a CMAR firm under a separate contract. The Owner's Representative shall return to the Engineer one set of consolidated comments (CMAR firm,Owner and Owner's Representative)within four weeks of submittal. This scope includes geotechnical design based on the recommendations of the PER only. Should alternate foundation types be requested to be evaluated,the costs for this evaluation will be reimbursed through the additional engineering services. The 60% review shall be defined and consist of the minimum level of completion by the following disciplines: • General/Standard Sheets-70% • Process Mechanical-70% • Civil-70% • Structural-60% • Architectural-60% • HVAC and Plumbing-50% • Instrumentation&Control-75% • Electrical-50% • Specifications-40% • Cost Estimate-60% • Sheet List-90% Deliverables: Five copies of half-size plans and specifications (60% Complete) and Electronic .PDF files. 60% opinion of probable construction cost(OPCC) and equipment data sheets for major equipment only. Owner's Representative shall supply an electronic file summarizing all comments from the impacted parties to be addressed during 90% design. ACAD files and electronic 3D models provided for CMAR use. Pearland Surface Water Plant 5 Draft Scope of Work 02/11/2019 Task 3.1.2-90%Plans and Specifications. The plans and specifications for the SWP will be completed to a 90-percent level and submitted to City for review and comment. Final Geotechnical Report. ACAD files and electronic 3D models provided for CMAR use. Task 3.1.3-Coordination with TCEQ and Texas Department of Licensing and Regulation (TDLR) Engineer will review and submit documents to be in compliance with Texas Commission on Environmental Quality(TCEQ)rules and regulations. Engineer will meet with TCEQ in Austin to review specific critical design items for the SWP to facilitate timely review and approval. A one-day trip is planned. Engineer will submit sealed and signed preliminary engineering report(PER) and supplemental addenda to reflect scope changes and 95-percent complete plans and specifications to TCEQ for review. Upon receipt of plan review comments,ENGINEER will respond in writing and make necessary changes to the contract documents and resubmit a 100- percent set of signed and sealed bid documents. Deliverables: Two hard copies to TCEQ for review and Response Letter to address comments. Engineer will include necessary provisions within the SWP design to be compliant with accessibility per the TDLR. Engineer will obtain the services of Registered Accessibility Specialist(RAS) and submit 95-percent plans and specifications to the RAS for review to obtain approval through the TDLR. Upon receipt of comments,Engineer will make appropriate changes in the contract documents to address requested changes. Deliverables: Two hard copies to RAS for review and Response Letter to address comments. Task 3.1.4-Final Plans and Specifications. The plans and specifications for the SWP will be finalized based on comments from City,CMAR and Owner's Representative. Engineer will seal Pearland Surface Water Plant 6 Draft Scope of Work 02/11/2019 and sign the completed documents. Engineer shall update plans and specifications with any final comments prior to finalizing for Construction. Plans and specifications will be provided as one set of documents and not in separate packages. The CMAR will be responsible for preparing the documents into separate procurement and construction packages for bidding the work. Deliverables: Five sets of final documents and Electronic .PDF files. Electronic copies of equipment data sheets for major equipment and ACAD files and electronic 3D models provided for CMAR use. ADDITIONAL ENGINEERING SERVICES These items are not part of the base engineering services and will begin only upon written authorization from the City of Pearland. Task 3.2 - CMAR Coordination During Design The ENGINEER shall provide services related to the CMAR project delivery during the Phase 3 -Final Design,when requested by Owner. These services may include such items as: • Attending additional coordination meetings • Participation in review meetings related to constructability or value engineering options that the CMAR requests review • Review of CMAR bid proposals • Other services related to the CMAR delivery These services do not include construction services. The services provided under this task will be paid for from an allowance to be used at the Owner's Discretion with agreed to scope and fee impact negotiated prior to use. Task 3.3 -Membrane Pre-Selection Membranes have been selected as part of the treatment process for the SWP. Three membrane manufacturers have successfully piloted the water supply and will be approved for settled water membrane treatment by TCEQ. Since each of these membrane manufacturers have different design criteria,including building size,auxiliary equipment requirements,chemical usage,and power requirements, one membrane system must be selected prior to completing the design of facilities. Therefore,an equipment pre-selection process will be required for the membrane system prior the design of the membrane facilities in Phase 3-Final Design. Task 3.3.1 -Prepare Pre-Selection Proposal Documents. Engineer will prepare technical specifications and associated drawings and figures necessary for the pre-selection of membrane elements and associated equipment to be provided for the SWP design. The front-end documents will be provided by others. The equipment specifications will be prepared as part of Task 3.1 of the Basic Services based on the results of membrane pilot testing conducted during Phase 2 of the project. The proposal documents will include requirements for capital costs, membrane replacement costs,warranty provisions,annual consumption of power and chemicals,and warranty provisions. Pearland Surface Water Plant 7 Draft Scope of Work 02/11/2019 Deliverables: Pre-selection Proposal Documents. An electronic copy of the draft and final package will be submitted of these documents for review. It is anticipated that bidding will be performed by the CMAR firm. Task 3.3.2 -Membrane Pre-Selection Process Assistance. Owner or CMAR firm will submit proposal documents to qualified equipment manufacturers. Two representatives of the ENGINEER will attend a pre-proposal meeting,prepare written responses to manufacturer's questions,prepare required addenda,and attend proposal opening. Deliverables: Pre-proposal meeting agenda,meeting summary and addenda to the documents. Task 3.3.3-Membrane System Pre-Selection Evaluation. Engineer will evaluate the received proposals and provide a recommendation of award for the pre-selection equipment. The evaluation may include capital and annual operating costs,present worth costs,and non- economic factors. Deliverables: Evaluation Spreadsheet Tabulation and Recommendation for Award. Electronic deliverables only. Task 3.4-Permitting Coordination Task 3.4.1 -Air Permitting for Diesel Generators Engineer will prepare necessary permit applications to obtain a Permit By Rule (PBR) (specifically under 30 TAC 106.511)for the Diesel Generators to be added on site to provide secondary power for the SWP. It is assumed that no dispersion modeling will be required.The permitting tasks are based on the current"moderate" ozone nonattainment area for the Houston-Galveston-Brazoria area. Deliverables: Draft and Final Electronic copies of the permit application. Owner is responsible for all permitting fees. Task 3.5 - GAC, Chlorine Contact Tank and Transfer Pump Station Additional Design Services Engineer will develop designs for the Granular Activated Carbon(GAC) Contactors, Chlorine Contact Tank,and Transfer Pump Station complete and suitable for bidding. The final design of these facilities is not included in the scope of work described in Section 3.1 above. This task will begin upon authorization from the Owner. These facilities will be included in the final design milestones described in Section 3.1 and not provided as a separate deliverable. Task 3.6 - Washwater Recovery Tank and Pumps Additional Design Services Engineer will develop design for the Washwater Recovery Tank and Pumps complete and suitable for bidding. The final design of these facilities is not included in the scope of work described in Section 3.1 above. This task will begin upon authorization from the Owner. These facilities will be included in the final design milestones described in Section 3.1 and not provided as a separate deliverable. Pearland Surface Water Plant 8 Draft Scope of Work 02/11/2019 Task 3.7- Geotechnical Engineering. Engineer will conduct supplemental geotechnical subsurface investigation to evaluate existing subsurface conditions at the site as impacted by the selected value engineering site plan. See Figure 3. A total of up to 6 soil test borings and one additional piezometer are anticipated to be performed at the locations of the proposed improvements.The test borings will be performed using vehicles suited to access the project site terrain(e.g. truck,ATV,tracked). The test borings are anticipated to be advanced using auger and wash-rotary drilling techniques.Soil samples are anticipated to be collected in the test borings continuously from the ground surface to 10 feet and at 5 foot intervals thereafter to the planned depth of boring. Collected soil samples from the test borings will be delivered to the geotechnical laboratory where selected samples will be subject to index and strength testing, as applicable.Upon completion of the subsurface investigation program,geotechnical boring logs and results from the geotechnical laboratory testing program will be prepared. The data will be incorporated into the Draft and Final Geotechnical Engineering Reports. Deliverables: Revised Draft and Final Geotechnical Report.The Draft Geotechnical Report will be provided at 60-percent design and the Final Geotechnical Report will be provided at 90-percent design. Task 3.8-Pilot Study and Design Coordination Carollo conducted the membrane pilot study during Phase 1 of the project and prepared the pilot study report for submittal to TCEQ for approval. During the final design phase of the project,Carollo will provide as-needed assistance to coordinate issues related to the SWP facility design and potential TCEQ comments and questions. This work will be performed on a time and materials basis and will only be performed after authorization from the City. III. COMPENSATION FOR ADDITIONAL SERVICES A. ENGINEER shall provide AACE with a written request for the Special Services, if such services become necessary. Written authorization must be obtained from ENGINEER prior to proceeding with Special Services required to support the activities in Basic Services. B. If fee-based specialty software or cloud-based software is required in addition to a standard Revit software license for maintaining, sharing and storing of the PROJECT's Revit model, then the associated cost for this extra specialty/cloud based software if required to be paid by AACE shall be considered an Additional Expense. (County Road 48) intersection in Brazoria County, Texas. It is the understanding of CobbFendley that: • The scope of services of the civil site design of the "Package 2" project is for submittals at project milestones of 60%, 90% and final (100%) submittal only. Project breakout into additional or partial phases with separate civil site submittals will require additional fee. • The proposed packages are defined by the client as: • Package 1 — Pre-Sedimentation Basin and Raw Water Pump Station • Package 2 — Surface Water Plant • Package 3 — Ground Storage Tanks, High Service Pump Station, and Off-site Distribution System Improvements • The Package 2-GAC Building Area is considered a separate area and the Client has requested a separate fee for the civil site design services. The scope of services of the civil site design of"Package 2-GAC Area" project is for submittals at the project milestones of 60%, 90% and final (100%) submittal only. Project breakout into additional or partial phases with separate civil site submittals will require additional fees. • Design of"Package 1" and "Package 3" are excluded. • Client will have separate agreements for architecture, MEP engineering, geotechnical engineering, structural engineering, and landscaping. These services will not be included in this scope of services. • The proposed on-site sanitary sewer lift station will be designed by others. • The subject tract has been platted. Re-platting is not anticipated. • CobbFendley will provide Civil 3D models of the design throughout the project. CobbFendley will provide supplements as required for items related to civil site design. • . Coordinate the site grading between "Package 2"and all other packages to match with the future development. Underground Utilities Plan—Prepare one site utility plan for the proposed development for the storm sewer, water distribution (excluding process water line) and sanitary sewer service connections from 5 feet outside the structures and across the site. Sanitary sewer will connect to the proposed lift station located within the site. A sanitary sewer force-main line to the existing public sanitary sewer adjacent to the site. Storm sewer system from the entire site will outfall through "Package 2"to Mustang Bayou. Additional Services-Electrical Coordination and Arc Flash Studies Not Included with this Contract Electrical Coordination and Arc Flash Studies related to medium voltage electrical system can be performed by the Electrical Equipment Supplier(Contractor)or by the Engineer. To minimize any potential change orders and schedule delays during construction,it is recommended the electrical studies related to medium voltage electrical system be performed by the Engineer. CDM Smith 12400 Coit Road, Suite 400 Dallas, Texas 75251 Reference: Supplemental Geotechnical Drilling and Laboratory Testing Pearland Surface Water Treatment Plant—Package 2 City of Pearland, Texas Dear Mr. VanPelt: As per your request, we are pleased to present the revised cost proposal for drilling and laboratory testing and preparation of lab data report for the proposed Pearland Surface Water Treatment Plant—Package 2, located at approximately 3525 County Road 48 (west of CR 48 and north of Mustang Bayou). The scope of this study is based on your e-mails on November 16, 2018, January 25, 2019 and February 6,2019 are given below: • Upon receiving boring location plan; stake the borings in the field with GPS and obtain underground utilities clearance of boring locations with one call; • Drill and sample six (6) borings to depths ranging from 45 to 100 feet. The details of boring program are: • 2 borings to 100 feet; • 2 borings to 75 feet; and • 2 borings to 45 feet. The sampling will be continuous in the upper 20 feet and then at 5-foot intervals, thereafter. Obtain sampling in Shelby tube in cohesive soils and split spoon sampler in cohesionless soils. It is understood that a CDM Smith representative will be on site during drilling to log the borings and providing sampling direction; • Obtain water level readings in the boreholes during drilling and upon boring completion; • Suitable portion of each sample at each borehole location will be sealed, labeled and packaged for transportation to Geotest laboratory; • After taking water level measurements, backfill the borings with the cement bentonite grout and restore the site to pre-existing conditions; • Perform the laboratory tests of assigned samples per ASTM procedures. The number and type of tests are given below: • 55—Moisture contents; • 23—Atterberg limits; • 8—Grain size analysis; • 8—Percent Passing No. 200; Mr. Jeffrey D. VanPelt, P.E. Proposal No. 1140445499 Page 2 February 7, 2019 • 8—Unconfined compression tests on soil; • 8—UU triaxial tests; • 2—One Dimensional Consolidation tests; • 2—One Dimensional Swell tests; and • 4—Specific gravity tests(required for consolidation and swell tests) The laboratory data letter report will be submitted in about ten(10)weeks after receiving the written authorization. The cost of drilling nine (9) borings to depths ranging from 30 to 100 feet, laboratory testing including consolidation tests, and preparation of a laboratory data report will be a lump sum of$28,591.00. The cost breakdown is given on Attachment No. 1. This cost includes utilization of marsh buggy drilling and no clearance for boring access.
